(fiecare “Parte” şi ambele în mod colectiv “Părţile”)

Au convenit asupra următoarelor:

Secţiunea A

1. Următoarele documente în comun constituie prezentul Acord de Finanţare: prezentul document, Descrierea Proiectului şi Aranjamente de Implementare (Suplimentul 1), Tabelul de Alocări (Suplimentul 2).

2. Condiţiile Generale ale Fondului pentru finanţarea dezvoltării agriculturii din 29 aprilie 2009, cu amendamente din 2014, ce pot fi modificate din când în când (“Condiţii Generale”) sunt anexate la prezentul Acord şi toate prevederile acestor condiţii urmează a fi aplicate prezentului Acord. În conformitate cu termenii şi condiţiile prezentului Acord, noţiunile definite în cadrul Condiţiilor Generale vor avea semnificaţiile stipulate în documentul în cauză.

3. Fondul va acorda un Împrumut, un Grant IFAD şi grantul ASAP pentru Împrumutat/Beneficiar (împreună "Finanţare”) pe care Împrumutatul/Beneficiarul le va utiliza pentru implementarea Programului în conformitate cu termenii şi condiţiile prezentului Acord.

Secţiunea B

1. A. Suma Împrumutului constituie 18 200 000(Optsprezece milioane două sute mii) dolari SUA.

B. Suma Grantului IFAD constituie 500 000(cinci sute mii) dolari SUA).

C. Suma Grantului ASAP constituie 5 000 000(cinci milioane) dolari SUA.

2. Împrumutul va fi supus unei rate a dobânzii aplicată la o rată fixă de 1,25 la sută şi un comision de 0,75 la suma principală, şi o perioadă de maturitate de douăzeci şi cinci (25) ani, inclusiv o perioadă de graţie de cinci (5) ani, şi, la sută, începând de la data aprobării de către Comitetul Executiv.

3. Valuta plăţii de deservire a împrumutului este dolari SUA.

4. Prima zi a Anului Fiscal aplicabil va fi 1 ianuarie.

5. Plata la suma principală si la comision va fi la o data fixă (1 aprilie şi 1 octombrie).

6. (a) Un Cont Destinatar pentru Împrumutul, un Cont Destinatar pentru Grantul IFAD şi un Cont Destinatar pentru Grantul ASAP urmează a fi deschis de către “Împrumutat/Beneficiar” la Banca Naţională a Moldovei pentru Grantul ASAP întru recepţionarea mijloacelor de Împrumut, Grant IFAD şi Grant ASAP respectiv în dolari SUA pentru finanţarea Proiectului.

(b) Conturile operaţionale pentru Împrumut, IFAD grant, ASAP grant şi pentru contribuţia Beneficiarilor urmează a fi deschise de către Trezoreria de Stat la Banca Naţională pentru a primi sursele băneşti din conturile destinatare corespunzătoare.

7. Împrumutatul/Beneficiarul va asigura o finanţare autorizată pentru proiect în valoare de două milioane nouă sute patruzeci de mii de dolari SUA (2 940 000 USD), prin acoperirea tuturor taxelor şi impozitelor pe bunuri şi servicii achiziţionate în cadrul proiectului. Împrumutatul/Beneficiarul va finanţa costul tuturor taxelor pentru mărfurile achiziţionate în cadrul proiectului sau va recurge la anularea taxelor şi impozitelor respective.

Secţiunea C

1. Ministerul Agriculturii şi industriei Alimentare este Agenţia de conducere a Proiectului care va avea responsabilitatea generală pentru implementarea proiectului.

2. În calitate de parteneri adiţionali ai proiectului sunt următoarele entităţi: DLC; IFP; AEÎ; CNPF; APL (Primăriile); Agenţia de stat pentru protecţia solului; Inspecţia de stat în construcţii; Agenţia de stat “Apele Moldovei”; Asociaţiile utilizatorilor de apă(AUA); Institutul de cercetări în domeniul silviculturii; Institutul de cercetări ştiinţifice in domeniul solului, Academia de Ştiinţe, Universitatea Agrară de Stat din Moldova, ONG în domeniul consultantei şi extensiunii; UPA, Asociaţia Moldova Fruct, APESM şi asociaţia producătorilor de miere.

3. Data finalizării Proiectului va fi cea de-a şasea (6) aniversare a datei intrării în vigoare a prezentului Acord.

Secţiunea D

Mijloacele de Împrumut vor fi administrate şi Proiectul va fi supravegheat de către Fond.

Secţiunea E

1. Următoarele vor fi considerate motive adiţionale pentru suspendarea prezentului Acord:

(a) Manualul de Implementare a Proiectului (“MIP”), menţionat în paragraful 8 al Suplimentului 1, sau orice altă prevedere a prezentului Acord, a fost abrogat(ă), amânat(ă), suspendat(ă), sau modificat(ă) fără acordul prealabil al Fondului şi Fondul a determinat că orice asemenea abrogare, amânare, suspendare sau modificare are sau poate avea un efect material advers asupra Proiectului.

2. Următoarele condiţii sunt stipulate ca condiţii generale pentru efectuarea tragerilor din Categoria II “Împrumut, Fondul de garantare” asociate cu mecanismele de garantare a creditelor:

(a) studiul specific pentru evaluarea unei potenţiale companii de Garantare a creditelor este finalizat şi a indicat cea mai clară şi adecvată metodă pentru schema de garantare a creditelor.

3. Prezentul Acord este supus ratificării de către Împrumutat/ Beneficiar. Acordul de Finanţare va intra în vigoare la data la care Fondul Internaţional pentru Dezvoltarea Agricolă notifică Beneficiarul privind acceptarea dovezii că semnarea şi realizarea Acordului de către Republica Moldova a fost în totalitate autorizată prin măsurile guvernamentale necesare şi Acordul poate intra în vigoare.

Suplimentul 1

Descrierea Proiectului şi Aranjamente de Implementare

I. Descrierea Proiectului

1. Ariile de Implementare a Proiectului . Proiectul va fi implementat pe teritoriul Împrumutatului/ Beneficiarului. În cadrul proiectului se va acorda prioritate fermierilor şi întreprinderilor agricole vulnerabile faţă de efectele climatice, precum şi segmentelor sărace din zonele rurale. Acest aspect va fi determinat în baza Indicelui de Deprivare a Ariilor Mici, complementat cu date privind sărăcia. Vulnerabilitatea la climă se va determina în baza indicelui de vulnerabilitate a condiţiilor de trai şi alte măsuri ale impactului schimbărilor climatice.

2. Populaţia ţintă. Clasificarea principalelor categorii a grupurilor ţintă este următoarea:

• Business agricol , în special întreprinderile mici şi mijlocii.

• Fermieri mici , în special de semisubzistenţă şi orientaţi spre comerţ.

• Tinerii antreprenori , grup ţintă esenţială ce se confruntă cu provocări şi oportunităţi unice care de asemenea necesită strategii de direcţionare personalizate.

• Femeile – fermieri mici, ce deţin afaceri în agricultură, vulnerabile, sensibile la sărăcie şi la schimbările climatice, de asemenea se consideră un grup ţintă esenţial.

3. Scopul . Scopul primordial al acestui Proiect este de a îmbunătăţi bunăstarea populaţiei din zonele rurale din Moldova şi să contribuie la reducerea sărăciei.

4. Obiectivele . Obiectivul de dezvoltare al proiectului este sporirea rezilienţei şi îmbunătăţirea oportunităţilor economice pentru cei săraci din mediul rural.

5. Componentele . Proiectul va avea două componente de bază, care prevăd o serie de complementarităţi între iniţiative şi subcomponente.

5.1. Componenta 1 : Îmbunătăţirea capacităţilor de adaptare a fermierilor mici şi a întreprinderilor agricole.

Scopul esenţial al Componentei este de a spori rezilienţa, prin investiţii productive în infrastructura rurală şi sisteme agricole. Această componentă va fi dedicată Schimbărilor Climaterice identificate de Guvernul Republicii Moldova în sectorul agricol şi va fi implementată prin intermediul a două subcomponente:

5.1.1. Managementul apelor în contextul schimbărilor climatice şi dezvoltarea infrastructurii vor sprijini investiţiile în infrastructura rurală pentru a elimina blocajele ce apar în procesul de consolidare şi extindere a fermelor competitive şi a afacerilor agricole rurale, cît şi pentru a favoriza adoptarea de tehnologii climatice inteligente.

5.1.2: Adaptarea fermierilor la schimbările climatice prin intermediul investiţiilor reliziente va include: (a) suport acordat fermierilor mici la adoptarea unor sisteme şi tehnologii de producţie a culturilor rezistente la schimbările climatice, prin granturi investiţionale şi prin dezvoltarea capacităţilor acestora; (b) suport în securitatea alimentară/nutriţională şi diversificarea grupurilor de femei din zonele cu vulnerabilitate mai înaltă la climă şi sărăcie, şi; (c) suport oferit sub forma investiţiilor publice şi private la adoptarea măsurilor de restaurare ecologică, ce au drept scop reducerea riscurilor legate de schimbările climatice şi îmbunătăţirea serviciilor ecosistemele pentru agricultură.

5.2. Componenta 2: Suport pentru dezvoltare businessului agricol . Rezultatul preconizat al componentei va fi îmbunătăţirea accesului sporit la servicii şi pieţe financiare rurale pentru transformarea zonelor rurale. Componenta dată este compusă din alte 3 subcomponente:

5.2.1 Suport financiar ce va sprijini investiţiile la termen pentru micro întreprinderi, întreprinderi mici şi mijlocii (MIMM) din Moldova (inclusiv mijloace circulante de până la 20 la sută din suma totală a creditului).

5.2.2. Garanţii de credit pentru MIMM , în cadrul căreia Guvernul Republicii Moldova va fi asistat pentru a crea Fondul de Garantare a Creditelor ce va oferi garanţii interbancare pentru creditele acordate MIMM de către instituţiile financiare licenţiate.

5.2.3. Suport tehnic pentru MIMM , care include o serie de măsuri mici, dar importante, pentru a lărgi şi aprofunda impactul altor componente, care va include suport tehnic pentru businessul agricol, tineri antreprenori şi asociaţii de economii şi împrumut.

II. Aranjamente de Implementare

6. Agenţia de Conducere a Proiectului .

6.1 Responsabilitatea generală de gestionare şi implementare a Proiectului o va deţine Comitetul pentru Supravegherea a Programelor IFAD (CSPI) , ce a fost creat prin Hotărârea Guvernului, fiind responsabil pentru elaborarea politicilor, ghidarea şi controlul tuturor proiectelor şi programelor finanţate de IFAD în Moldova.

6.2 Ministrul agriculturii şi industriei alimentare va deţine Preşedinţia Comitetului de Supraveghere al Programelor IFAD. Ceilalţi membri ai Comitetului vor face parte cîte un reprezentant nominalizat din partea: Ministerului Finanţelor (MF), Unităţii de coordonare a asistenţei externe din cadrul Cancelariei de Stat, Comisiei Parlamentare pentru Agricultură şi Industria Alimentară, Băncii Naţionale a Moldovei (BNM) şi reprezentanţii din partea altor actori implicaţi în implementarea Proiectului, inclusiv şi agenţiile guvernamentale, organizaţiile (publice şi private) care se consideră a fi necesare. Calitatea de membru al Comitetului de Supraveghere al Programelor IFAD poate fi modificată în funcţie de cerinţele Proiectului, prin acordarea unei atenţii sporite schimbărilor climaterice şi rezilienţei.

6.3 Administrarea de zi cu zi şi implementarea Proiectului va fi efectuată de către actuala Unitatea Consolidată pentru Implementarea Programelor IFAD în Moldova (UCIP-IFAD), ce deja a stablit un sistem robust de gestionare competentă a proiectelor IFAD anterioare şi în derulare.

6.4 Funcţiile principale ale UCIP-IFAD vor fi: planificarea activităţilor şi elaborarea bugetului Proiectului, asumarea rolului de conducere pentru implementarea integrală a Proiectului în cooperare cu prestatorii de servicii privind dezvoltarea afacerilor şi alte domenii, antreprenorii din domeniul infrastructurii, instituţiile beneficiare, precum organizaţiile fermierilor şi grupurile de femei din mediul rural, instituţiile financiare participante (IFP), precum şi monitorizarea şi documentarea progresului obţinut al Proiectului.

6.5 Şi anume, UCIP-IFAD îşi va asuma responsabilitatea de a elabora planul anual de lucru şi bugetul ce va fi înaintat către CSPI pentru revizuire şi aprobare, iar ulterior către IFAD pentru aprobarea finală. De asemenea, UCIP-IFAD va fi responsabil de procurarea bunurilor şi serviciilor, cât şi a lucrărilor civile.

7. Revizuire la jumătatea perioadei de implementare. Fondul va efectua o analiză a implementării Proiectului nu mai târziu de finele celui de al treilea an al acestuia. Analiza va cuprinde printre altele şi: (i) progresul fizic şi financiar conform Planului şi Bugetului anual de Lucru; (ii) performanţa şi gestiunea financiară a partenerilor de implementare contractaţi; (iii) o evaluare a eficacităţii instituţiilor în activitatea de dezvoltare şi consolidarea capacităţilor; (iv) progresele înregistrate în sectorul investiţiilor în infrastructură; (v) stabilirea şi furnizarea de servicii de extensiune; (vi) furnizarea serviciilor financiare; şi (vii) accesul la pieţe. Fondul va prezenta un raport de evaluare la perioada intermediară de implementare cu concluzii şi recomandări pentru Ministerul Agriculturii şi Industriei Alimentare.

8 . Manualul de Implementare a Proiectului (MIP). UCIP-IFAD va elabora o variantă de proiect a MIP în conformitate cu cerinţele Fondului şi o va înainta spre aprobare către CSPI. Odată aprobat, o copie a MIP va fi prezentată Fondului. MIP poate fi modificat în caz de necesitate pentru înlăturarea neclarităţilor de proceduri, constrângerilor la implementarea proiectului şi în scopul îmbunătăţirii accesului producătorilor la serviciile acordate de proiect.

CONDIŢII GENERALE PENTRU FINANŢAREA DEZVOLTĂRII AGRICULTURII

(cu completările din septembrie 2014 1 )

ARTICOLUL I – APLICAREA

SECŢIUNEA 1.01. Aplicarea Condiţiilor Generale.

(a) Aceste Condiţii Generale se aplică pentru toate Acordurile de finanţare (după cum este definit acest termen în Secţiunea 2.01). Ele se aplică pentru alte acorduri numai dacă acordul respectiv indică specific acest lucru.

ARTICOLUL II – DEFINIŢII

Secţiunea 2.01. Definiţii generale.

Următorii termeni au următoarele semnificaţii când sunt utilizate în aceste Condiţii Generale:

“Acord” înseamnă un Acord de finanţare sau un alt acord care face subiectul prezentelor Condiţii Generale.

“Plan de lucru şi bugetul anual” sau “PALB” înseamnă planul de lucru anual şi bugetul pentru implementarea unui Proiect pe durata unui An de proiect, care include Planul de achiziţii.

“Debitor” înseamnă partea desemnată astfel în Acord.

“Practică coercitivă” înseamnă deteriorarea sau păgubirea, sau ameninţarea de a deteriora sau păgubi, direct sau indirect, una din părţi sau bunurile părţii pentru a influenţa impropriu acţiunile unei părţi.

“Practică de complot” înseamnă un aranjament între două sau mai multe părţi cu scopul de a realiza un scop impropriu, inclusiv influenţarea improprie a unei alte părţi.

“Instituţie cooperantă” înseamnă o instituţie desemnată în Acordul de finanţare ca responsabilă pentru administrarea finanţării şi/sau supravegherea implementării Proiectului.

“Acord de cooperare” înseamnă un acord sau acordurile dintre Fond şi o Instituţie cooperantă prin care Instituţia cooperantă este de acord să acţioneze în această calitate.

“Practică de corupere” înseamnă oferirea, darea, primirea sau solicitarea, directă sau indirectă, a unor obiecte de valoare pentru a influenţa impropriu acţiunile unei părţi.

“Valuta” unui stat sau teritoriu înseamnă valuta care este mijlocul legal de plată al datoriilor publice şi private în acest stat sau teritoriu.

“Cont desemnat” înseamnă un cont desemnat pentru trageri în avans de către Împrumutat / Beneficiar în conformitate cu secţiunea 4.04 (d).

“Cheltuieli eligibile” înseamnă cheltuielile care se conformă Secţiunii 4.08.

“Euro” sau “EUR” este valuta Uniunii Monetare Europene.

“Finanţare” înseamnă un împrumut, un grant, sau o îmbinare a acestora.

“Acord de finanţare” înseamnă un Acord de finanţare a unui proiect sau un Acord de finanţare a unui program, conform căruia Fondul este de acord să acorde Finanţare Împrumutatului/Beneficiarului.

“Data de încheiere a finanţării” semnifică data când se încheie dreptul Împrumutatului/Beneficiarului de a solicita trageri din Contul împrumutului şi/sau Contul grantului, care este şase (6) luni după Data de finalizare a proiectului sau altă dată desemnată de Fond asupra căreia Împrumutatul/Beneficiarul este informat.

“An fiscal” semnifică perioada de douăsprezece luni desemnată într-un Acord.

“Practică fraudulentă” semnifică orice acţiune sau omisiune, inclusiv interpretarea greşită, care induce în eroare în cunoştinţă de cauză sau cu nesăbuinţă, sau încearcă să inducă în eroare, o parte pentru a obţine un beneficiu financiar sau de alt fel sau pentru a evita o obligaţie.

“Valută liber convertibilă” semnifică orice valută desemnată a fi liber convertibilă de către Fond în orice moment.

“Fond” înseamnă Fondul Internaţional pentru Dezvoltare Agricolă.

“Grant” înseamnă un grant acordat unui Beneficiar în conformitate cu un Acord de finanţare sau un alt Acord.

“Cont de grant” semnifică contul existent la Fond deschis în numele Beneficiarului în care se creditează suma grantului.

“Acord de garantare” semnifică un acord între un Stat membru şi Fond prin care Statul membru respectiv garantează îndeplinirea unui alt Acord.

“Garant” semnifică un Stat membru desemnat în această calitate într-un Acord de garantare.

“Ghidul IFAD pentru achiziţii” semnifică Îndrumarul pentru achiziţii aprobat de Consiliul Executiv al Fondului în decembrie 2004 (pentru Finanţarea aprobată de Consiliul Executiv al Fondului înainte de septembrie 2010) sau Ghidul pentru achiziţii în cadrul proiectelor aprobat de Consiliul Executiv al Fondului în septembrie 2010 (pentru Finanţarea aprobată de Consiliul Executiv al Fondului după septembrie 2010) cu completările posibile ulterioare efectuate de Fond. 2

“Rata de referinţă a dobânzii a IFAD” semnifică rata stabilită periodic de Fond în calitate de rata sa de referinţă pentru calcularea dobânzii la împrumuturile sale.

“Agenţia de conducere a proiectului” înseamnă entitatea care este desemnată astfel într-un Acord, care este responsabilă în general de implementarea unui Proiect.

“Împrumut” înseamnă un împrumut acordat de Fond Împrumutatului în conformitate cu un Acord de finanţare.

“Contul împrumutului” semnifică contul existent la Fond deschis în numele Beneficiarului în care se creditează suma împrumutului.

“Plată de deservire a împrumutului” semnifică orice plată necesară sau permisă de către Debitor sau Garant către Fond conform unui Acord de finanţare, inclusiv (dar fără a se limita la) orice plată a sumei de bază sau a dobânzii sau a Plăţii de deservire pentru un Împrumut.

“Valuta plăţii de deservire a împrumutului” semnifică valuta liber convertibilă definită astfel într-un Acord de finanţare.

“Stat membru” înseamnă oricare din statele membre ale Fondului.

“Liră sterlină” sau “GBP” înseamnă valuta Regatului Unit al Marii Britanii şi Irlandei de Nord.

“Plan de achiziţii” semnifică Planul de achiziţii al Împrumutatului/Beneficiarului care acoperă primele optsprezece (18) luni de implementare a Proiectului, care este actualizat pentru a cuprinde următoarea perioadă de douăsprezece (12) luni.

“Proiect” semnifică proiectul sau programul de dezvoltare agricolă descris într-un Acord şi finanţat în întregime sau parţial din contul Finanţării.

“Contul Proiectului” semnifică un cont pentru operaţiunile Proiectului după cum se descrie în Secţiunea 7.02 (b).

“Acord de proiect” înseamnă un acord între Fond şi o Parte a proiectului care se referă la implementarea întregului sau unei părţi a unui Proiect.

“Data de finalizare a Proiectului” semnifică data specificată într-un Acord când implementarea Proiectului trebuie să fie finalizată, sau o altă dată de mai târziu după cum se decide de Fond prin informarea Împrumutatului/Beneficiarului.

“Perioada de implementare a proiectului” înseamnă perioada pe parcursul căreia se execută Proiectul, care începe cu data de intrare în vigoare a Acordului şi se finalizează cu Data de finalizare a Proiectului.

“Statul membru al Proiectului” semnifică statul membru în care se implementează Proiectul.

“Parte a Proiectului” semnifică fiecare entitate responsabilă pentru implementarea Proiectului sau a unei Părţi a acestuia. Termenul “Parte a proiectului” include (dar nu se limitează la) Agenţia de conducere a Proiectului şi alte entităţi desemnate ca Părţi ale Proiectului într-un Acord.

“An de Proiect” semnifică (i) perioada care începe cu data de intrare în vigoare a unui Acord şi se finalizează cu ultima zi a Anului Fiscal curent, şi (ii) fiecare perioadă ulterioară care începe cu prima zi a Anului fiscal şi se finalizează cu ultima zi a acestuia, totuşi, cu condiţia că dacă data de intrare în vigoare a Acordului nimereşte în mijlocul Anului fiscal, Anul de Proiect 1 va continua şi pe parcursul următorului An fiscal.

“Beneficiar” semnifică partea desemnată în această calitate într-un Acord.

“Drepturi Speciale de Tragere” sau “DST” semnifică drepturile speciale de tragere după cum sunt apreciate periodic de către Fondul Monetar Internaţional în conformitate cu Statutul FMI.

“Acord subsidiar” înseamnă orice acord sau aranjament prin care (i) toate sau o parte din mijloacele Finanţării sunt puse la dispoziţia unei Parţi a proiectului şi/sau (ii) o Parte a proiectului se obligă să implementeze Proiectul în întregime sau parţial.

“Populaţia-ţintă vizată” semnifică grupul de persoane care se intenţionează a fi beneficiarii Proiectului.

“Impozite” semnifică toate impozitele, contribuţiile, plăţile, tarifele şi încasările de orice tip impuse, percepute, colectate, reţinute sau evaluate de sau pe teritoriul Statului membru a proiectului în orice perioadă de timp.

“Dolar SUA” sau “USD” semnifică valuta Statelor Unite ale Americii.

“Data efectuării plăţii” semnifică, în privinţa oricăror trageri din Contul împrumutului, data la care o astfel de retragere a banilor este considerată efectuată în conformitate cu Secţiunea 4.06 şi, în privinţa oricărei Plăţi de deservire a împrumutului, data când o astfel de Plată de deservire a împrumutului este considerată efectuată în conformitate cu Secţiunea 5.04.

“Yen” sau “JPY” semnifică valuta Japoniei.

SECŢIUNEA 2.02. Utilizarea termenilor.

După cum sunt utilizate în prezentele Condiţii Generale şi orice Acord, cu excepţia când contextul prevede altfel, termenii la singular includ pluralul, termenii la plural includ singularul, şi pronumele masculine includ genul feminin.

SECŢIUNEA 2.03. Referinţe şi denumiri.

Dacă nu se indică altfel, referinţele din prezentele Condiţii Generale la Articole sau Secţiuni se referă la Articolele sau Secţiunile prezentelor Condiţii Generale. Denumirile Articolelor şi Secţiunilor şi Tabelul de conţinut al acestor Condiţii Generale sunt date doar pentru comoditatea referirii şi nu formează o parte integrală a prezentelor Condiţii Generale.

ARTICOLUL III – INSTITUŢIA COOPERANTĂ

SECŢIUNEA 3.01. Numirea Instituţiei cooperante.

Un Acord de finanţare poate stipula că se va numi o Instituţie cooperantă întru administrarea Finanţării şi supravegherea Proiectului.

SECŢIUNEA 3.02. Responsabilităţile Instituţiei cooperante

În cazul în care se desemnează o Instituţie cooperantă, aceasta va fi responsabilă pentru:

(a) facilitarea implementării Proiectului prin acordarea asistenţei Împrumutatului/Beneficiarului şi Părţilor proiectului la interpretarea şi respectarea Acordului de finanţare;

(b) revizuirea cererilor de retragere a mijloacelor ale Împrumutatului/Beneficiarului pentru a determina sumele pe care Împrumutatul/Beneficiarul are dreptul să le retragă din Contul împrumutului şi/sau grantului;

(c) revizuirea şi aprobarea pe baza de “Nu-s obiecţii” a achiziţiei de bunuri, lucrări de construcţie şi servicii pentru Proiect din contul Finanţării;

(d) monitorizarea respectării Acordului de finanţare, informând Fondul cu privire la orice necorespundere substanţială şi recomandând măsuri de remediere; şi

(e) îndeplinirea altor funcţii de administrare a Finanţării şi de supraveghere a Proiectului care pot fi stipulate în Acordul de cooperare.

SECŢIUNEA 3.03. Acordul de cooperare.

Dacă se desemnează o Instituţie cooperantă, Fondul va semna un Acord de cooperare cu Instituţia cooperantă în care se vor stipula termenele şi condiţiile numirii sale.

SECŢIUNEA 3.04. Acţiunile Instituţiei cooperante .

Oricare acţiune a Instituţiei cooperante în conformitate cu un Acord de cooperare va fi privită şi tratată de Împrumutat/Beneficiar, Garant şi Părţile proiectului ca o acţiune întreprinsă de Fond.

SECŢIUNEA 3.05. Cooperarea între Împrumutat/Beneficiar şi Părţile proiectului.

Împrumutatul/Beneficiarul, Garantul şi Părţile proiectului vor întreprinde toate măsurile necesare sau potrivite pentru a permite Instituţiei cooperante să-şi îndeplinească responsabilităţile în mod normal şi eficace.

ARTICOLUL IV – CONTUL ÎMPRUMUTULUI ŞI TRAGERILE DE MIJLOACE

SECŢIUNEA 4.01. Conturile împrumutului şi grantului.

La intrarea în vigoare a unui Acord de finanţare, Fondul va deschide un Cont de împrumut şi/sau grant pe numele Împrumutatului/Beneficiarului şi va credita suma de bază a Împrumutului şi respectiv grantului în aceste conturi.

SECŢIUNEA 4.02. Tragerile din Conturile împrumutului şi grantului.

(a) Între data de intrare în vigoare a Acordului şi Data de încheiere a finanţării, Împrumutatul/Beneficiarul poate solicita trageri din Contul împrumutului şi/sau Contul grantului a sumelor achitate sau care urmează a fi achitate pentru Cheltuielile eligibile. Fondul va informa Împrumutatul/Beneficiarul care este suma minimă a unei trageri.

(b) Nu se vor face trageri din Conturile împrumutului şi/sau grantului până la aprobarea primelor PALB de către Fond şi Fondul a stabilit că celelalte condiţii specificate în Acordul de finanţare în calitate de condiţii generale adiţionale precedente tragerii au fost îndeplinite. Acordul de finanţare poate stipula de asemenea condiţii specifice adiţionale precedente tragerii care se aplică anumitor categorii sau activităţi. Tragerile pentru acoperirea costurilor de iniţiere a Proiectului pot fi făcute de la data intrării în vigoare a Acordului, conform limitelor, dacă există, stabilite în Acordul de finanţare.

SECŢIUNEA 4.03. Angajamente speciale.

La solicitarea Împrumutatului/Beneficiarului, Fondul poate fi de acord să-şi asume un angajament irevocabil de a achita sumele necesare pentru a garanta un Acreditiv utilizat pentru finanţarea Cheltuielilor eligibile (un “angajament special”) în termenele şi condiţiile în care au convenit Împrumutatul/Beneficiarul.

SECŢIUNEA 4.04. Cererile de tragere sau Angajamentul special.

(a) Când Împrumutatul/Beneficiarul doreşte să solicite o tragere din Conturile împrumutului şi/sau grantului sau un Angajament special, Împrumutatul/Beneficiarul va expedia Fondului o cerere în formatul specificat în acest scop de către Fond, împreună cu documentele sau dovezile care susţin această cerere solicitate în mod rezonabil de către Fond.

(b) Împrumutatul/Beneficiarul va oferi Fondului dovadă satisfăcătoare a autorităţii persoanei sau persoanelor care sunt autorizate să semneze aceste cereri şi specimenul autentificat al semnăturii a fiecărei astfel de persoane.

(c) Fiecare cerere şi documentele însoţitoare şi alte dovezi trebuie să fie suficiente pentru a convinge Fondul că Împrumutatul/Beneficiarul are dreptul la o asemenea tragere sau Angajament special.

(d) Dacă Împrumutatul/Beneficiarul solicită o tragere din Conturile împrumutului şi/sau grantului pentru sume care ulterior vor fi plătite pentru Cheltuielile eligibile, înainte de a transfera această sumă Împrumutatului/Beneficiarului, Fondul poate solicita ca Împrumutatul/Beneficiarul să prezinte dovadă suficientă pentru Fond care arătă că mijloacele retrase anterior au fost utilizate corect pentru Cheltuieli eligibile. Fondul poate plasa limite rezonabile asupra sumei pe care Împrumutatul/Beneficiarul le poate retrage în avans sau soldul general al acestor trageri în avans, şi poate solicita ca aceste sume să fie ţinute în valută liber convertibilă şi/sau într-un cont destinat pentru acest scop într-o bancă acceptabilă pentru Fond.

SECŢIUNEA 4.05. Transferul efectuat de Fond.

După primirea unei cereri autentificate şi satisfăcătoare de tragere a mijloacelor din partea Împrumutatului/Beneficiarului, Fondul va transfera în contul specificat de Debitor/Beneficiar suma specificată în cerere.

SECŢIUNEA 4.06. Datele de efectuare a tragerilor.

O tragere se consideră efectuată la data când instituţia financiară relevantă debitează contul Fondului ales pentru scopul debursării acestei trageri.

SECŢIUNEA 4.07. Alocările şi realocările mijloacelor Finanţării.

(a) Un Acord de finanţare poate aloca suma Finanţării în categorii de Cheltuieli eligibile şi specifica procentele acestor Cheltuieli eligibile care urmează a fi finanţate din contul Finanţării.

(b) Fondul va monitoriza utilizarea Finanţării pentru a determina când alocarea pentru o categorie a fost epuizată sau urmează a fi epuizată.

(c) Dacă Fondul determină că suma Finanţării alocată în Acordul de finanţare pentru o categorie de Cheltuieli eligibile este sau va fi insuficientă, Fondul poate, după înştiinţarea Împrumutatului/Beneficiarului:

(i) realocă în această categorie sume ale Finanţării alocate pentru o altă categorie în măsura necesară pentru a acoperi deficitul estimat; şi/sau

(ii) dacă o astfel de realocare nu va acoperi pe deplin deficitul estimat, reduce procentul Cheltuielilor eligibile care urmează a fi finanţate din contul Finanţării.

SECŢIUNEA 4.08. Cheltuieli eligibile. 3

(a) Finanţarea se va utiliza exclusiv pentru a finanţa cheltuielile care îndeplinesc toate cerinţele de eligibilitate de mai jos:

(i) Cheltuielile vor reprezenta costuri rezonabile ale bunurilor, lucrărilor şi serviciilor necesare pentru Proiect şi vor fi incluse în PALB relevant şi achiziţionate în conformitate cu Îndrumarul pentru achiziţii al Fondului.

(ii) Cheltuielile vor fi generate pe parcursul Perioadei de implementare a proiectului, cu excepţia cheltuielilor de finalizare a Proiectului, care pot fi generate după Data de finalizare a proiectului şi înainte de Data de încheiere a finanţării.

(iii) Cheltuielile vor fi generate de una din Părţile proiectului.

(iv) Dacă Acordul alocă suma Finanţării în categorii de Cheltuieli eligibile şi indică specific procentul Cheltuielilor eligibile care urmează a fi finanţate din contul Finanţării, cheltuielile trebuie să se refere la o categorie pentru care alocarea nu s-a epuizat, şi vor fi eligibile numai în limita procentului aplicabil pentru categoria respectivă.

(v) Cheltuielile vor fi altfel eligibile în conformitate cu termenii Acordului de finanţare.

(b) Fondul poate exclude periodic anumite tipuri de cheltuieli din categoria celor eligibile.

(c) Orice plată interzisă prin decizia Consiliului de Securitate al Naţiunilor Unite luată în conformitate cu Capitolul VII al Cartei Naţiunilor Unite nu va fi eligibilă spre finanţare din contul Finanţării.

(d) Orice plată către o persoană sau o entitate, pentru orice bunuri, lucrări sau servicii, dacă efectuarea sau primirea unei astfel de plăţi reprezintă o practică coercitivă, de complot, de corupere sau fraudulentă de către un reprezentant al Împrumutatului/Beneficiarului sau de una din Părţile proiectului nu va fi eligibilă spre finanţare din contul Finanţării.

SECŢIUNEA 4.09. Returnarea tragerilor.

Dacă Fondul determină că o sumă retrasă din Conturile împrumutului şi/sau grantului nu a fost utilizată pentru scopurile indicate sau nu va fi necesară ulterior pentru a finanţa Cheltuieli eligibile, Împrumutatul/Beneficiarul va returna prompt această sumă Fondului după ce va primi instrucţii în acest sens din partea Fondului. Cu excepţia cazurilor când Fondul va conveni altfel, această sumă va fi returnată în valuta utilizată de Fond pentru a debursa tragerea respectivă. Fondul va credita Conturile împrumutului şi/sau grantului cu Echivalentul DST al sumei returnate în acest fel.

ARTICOLUL V – PLĂŢILE DE DESERVIRE A ÎMPRUMUTULUI

SECŢIUNEA 5.01. Termenele de creditare. 4

Împrumuturile acordate de Fond vor fi oferite în termeni foarte concesivi, intermediari sau ordinari, după cum se specifică în Acordul de finanţare:

a) Creditele acordate de către Fond vor fi prelungite conform condiţiilor prevăzute în Acordul de Finanţare şi determinat în conformitate cu politicile de creditare aplicabile Fondului.

b) Dobânda şi taxa pentru servicii se va cumula la valoarea împrumutului principal şi se calculează pe baza unui an de 360 de zile, douăsprezece (12) luni şi 30 de zile.

Fondul va furniza Împrumutatului o declaraţie de interes şi / sau taxa de serviciu pe baza datelor generate privind facturarea datelor scadente în Acordul de finanţare, unde Împrumutatul va efectua plata în termen de treizeci (30) de zile de la data respectivă.

c) Fondul va publica Rata de referinţă a dobânzii a IFAD aplicabilă pentru fiecare perioadă de calcul a dobânzii.

d) Pe durata perioadei de graţie, dobânda şi plată de deservire se vor acumula la suma de bază a împrumutului şi se vor achita semianual, dar nu se va datora achitarea sumei de bază.

SECŢIUNEA 5.02. Achitarea şi achitarea în avans a sumei principale.

(a) Împrumutatul va achita suma principală agregată a Împrumutului retras din Contul împrumutului în rate semianuale, calculate pe durata perioadei de scadenţă minus perioada de graţie. Fondul va informa Împrumutatul cu privire la datele şi sumele acestor plăţi cât mai repede posibil după ce începe perioada de scadenţă a Împrumutului. În cazul în care suma totală principală a Împrumutului nu este pe deplin achitată, după anularea sumei principale nedebursate,graficul de rambursare se recalculează pe baza sumei efective minus rambursările principale primite deja de Fond.

(b) Împrumutatul va avea dreptul de a plăti în avans toată sau o parte din suma principală a Împrumutului cu condiţia că Împrumutatul plăteşte toate dobânzile şi plăţile de deservire calculate şi neachitate pentru suma care urmează să se ramburseze în avans, care sunt datorate la data plăţii în avans. Toate plăţile vor fi creditate în primul rând în contul dobânzilor şi plăţilor neachitate şi apoi în contul ratelor rămase a Împrumutului.

SECŢIUNEA 5.03. Modul şi locul de plată.

Toate Plăţile de deservire a împrumutului se vor face pe contul sau conturile dintr-o bancă sau altă instituţie financiară desemnată de Fond cu înştiinţarea Împrumutatului.

SECŢIUNEA 5.04. Datele de efectuare a plăţilor de deservire a împrumutului.

Plăţile de deservire a împrumutului se vor considera făcute la data în care instituţia financiară relevantă creditează contul Fondului desemnat în acest scop.

ARTICOLUL VI – PREVEDERI CU PRIVIRE LA VALUTĂ

SECŢIUNEA 6.01. Valutele tragerilor.

(a) Tragerile din Conturile împrumutului şi/sau grantului se vor face în valutele respective în care cheltuielile care urmează a fi finanţate din contul Finanţării au fost plătite sau sunt plătibile, sau în valuta sau valutele selectate de Fond.

(b) Conturile împrumutului şi/sau grantului vor fi debitate cu Echivalentul DST a sumei retrase determinate la data de efectuare a tragerii. Dacă valuta tragerii a fost procurată de Fond cu o altă valută, Conturile împrumutului şi/sau grantului se vor debita cu Echivalentul DST al sumei acestei alte valute.

SECŢIUNEA 6.02. Valuta plăţii de deservire a împrumutului.

Toate Plăţile de deservire a împrumutului se vor face în Valuta plăţii de deservire a împrumutului specificată în Acordul de finanţare. Suma unei Plăţi de deservire a împrumutului va fi echivalentul în Valuta plăţii de deservire a împrumutului la data de rambursare a sumei în DST a acestei Plăţi de deservire a împrumutului, după cum se determină de Fond, în conformitate cu Articolul 5, Secţiunea 2(b) a Acordului de constituire a IFAD .

SECŢIUNEA 6.03. Valutare.

Când este necesar să se determine valoarea unei valute într-o altă valută, Fondul va determina această valoare, în conformitate cu Articolul 5, Secţiunea 2(b) a Acordului de constituire a IFAD .

ARTICOLUL VII – IMPLEMENTAREA PROIECTULUI

SECŢIUNEA 7.01. Implementarea proiectului.

(a) Împrumutatul şi fiecare din Părţile proiectului vor implementa Proiectul:

(i) în modul cuvenit şi eficient;

(ii) în conformitate cu practicile administrative, inginereşti, financiare, economice, operaţionale, ecologice şi agricole potrivite (inclusiv practicile de dezvoltare rurală) şi buna guvernare;

(iii) în conformitate cu planurile, standardele de design, specificaţiile, orarele de achiziţii şi de lucru şi metodele de construcţie asupra cărora au convenit Împrumutatul/Beneficiarul şi Fondul;

(iv) în conformitate cu prevederile Acordului relevant, PALB-urile şi Planurile de achiziţii;

(v) în conformitate cu politicile, criteriile şi regulamentele care se referă la finanţarea dezvoltării agriculturii stabilite periodic de Consiliul Guvernator şi Consiliul Executiv ale Fondului; şi

(vi) astfel încât să se asigure durabilitatea realizărilor proiectului cu trecerea timpului.

(b) (i) Proiectele vor fi implementate pe baza Planului anual de lucru şi Bugetului (PALB). Agenţia de conducere a proiectului va pregăti proiectul PALB pentru fiecare Proiect pe baza, în măsura posibilului, proiectelor PALB pregătite de Părţile proiectului. Fiecare proiect PALB al Proiectului va include, printre altele, o descriere detaliată a activităţilor planificate ale Proiectului în timpul următorului An de proiect, un Plan de achiziţii, şi sursele şi modalităţile de utilizare a fondurilor.

(ii) Înainte de fiecare An de proiect, Agenţia de conducere a proiectului, dacă va fi necesar, va prezenta proiectul PALB pentru Proiect organului de supraveghere desemnat de Împrumutat/Beneficiar spre revizuire. După ce a fost revizuit în acest fel, Agenţia de conducere a proiectului va prezenta proiectul PALB pentru Proiect Fondului spre comentarii nu mai târziu de şaizeci (60) de zile înainte de începutul Anului relevant de proiect. Dacă Fondul nu comentează asupra proiectului PALB pentru Proiect în termen de treizeci (30) de zile de la primirea acestuia, PALB se va considera acceptabil pentru Fond.

(iii) Agenţia de conducere a proiectului va adopta PALB pentru Proiect în forma acceptabilă pentru Fond.

(iv) Agenţia de conducere a proiectului poate propune ajustări la PALB pentru Proiect în timpul Anului relevant de proiect, care vor intra în vigoare după ce sunt acceptate de Fond.

SECŢIUNEA 7.02. Disponibilitatea mijloacelor financiare.

(a) Împrumutatul/Beneficiarul vor pune mijloacele Finanţării la dispoziţia Părţilor proiectului în termenii şi condiţiile specificate în Acordul de finanţare sau aprobate altfel de către Fond în scopul implementării Proiectului.

(b) Acordul de finanţare poate să stipuleze ca Împrumutatul/Beneficiarul să deschidă şi să menţină unul sau mai multe Conturi ale proiectului pentru Activităţile proiectului într-o bancă acceptabilă pentru Fond, şi va identifica Partea proiectului responsabilă pentru utilizarea acestui cont sau conturi. Utilizarea acestor conturi, cu excepţia cazurilor când se specifică altfel în Acordul de finanţare, se va face în conformitate cu regulile şi regulamentele aplicabile ale Părţii proiectului responsabile pentru acestea.

SECŢIUNEA 7.03. Disponibilitatea resurselor adiţionale.

(a) Pe lângă mijloacele Finanţării, Împrumutatul/Beneficiarul va pune la dispoziţia Părţilor proiectului fondurile, facilităţile, serviciile şi alte resurse disponibile care pot fi necesare pentru implementarea Proiectului în conformitate cu Secţiunea 7.01.

(b) Pe lângă mijloacele Finanţării, Acordul de finanţare poate stipula că Împrumutatul/Beneficiarul va pune la dispoziţia Părţilor proiectului pe durata Perioadei de implementare a proiectului fondurile proprii din resursele proprii în conformitate cu procedurile naţionale obişnuite pentru asistenţa de dezvoltare.

SECŢIUNEA 7.04. Coordonarea activităţilor.

Pentru a asigura că Proiectul este implementat în conformitate cu Secţiunea 7.01, Împrumutatul/Beneficiarul se va asigura că activităţile relevante ale ministerelor, departamentelor şi agenţiilor sale, şi cele ale fiecărei Părţi a proiectului sunt efectuate şi coordonate în conformitate cu politicile şi procedurile administrative bune.

SECŢIUNEA 7.05. Achiziţii.

(a) Achiziţionarea bunurilor, lucrărilor şi serviciilor finanţate din contul Finanţării se va efectua în conformitate cu prevederile regulamentelor de achiziţionare ale Împrumutatului/Beneficiarului, în măsura în care acestea sunt consistente cu Ghidul de achiziţii al IFAD. Fiecare Plan de achiziţii va identifica procedurile care trebuie aplicate de Împrumutat/Beneficiar pentru a asigura consistenţa cu Îndrumarul de achiziţii al IFAD.

(b) După înştiinţarea Împrumutatului/Beneficiarului, Fondul poate cere ca toate documentele de licitaţie şi contractele de achiziţionare a bunurilor, lucrărilor şi serviciilor finanţate din contul Finanţării să includă prevederi prin care se solicită ofertanţilor, furnizorilor, contractorilor, subcontractorilor şi consultanţilor:

(i) să permită inspectarea completă de către Fond a întregii documentaţii de tender şi evidenţei relevante;

(ii) să menţină toate documentele şi evidenţa legate de ofertă sau contract timp de trei ani după finalizarea licitaţiei sau contractului; şi

(iii) să coopereze cu agenţii sau reprezentanţii Fondului care îndeplinesc un audit sau o investigare.

SECŢIUNEA 7.06. Utilizarea bunurilor şi serviciilor.

Toate bunurile, serviciile şi clădirile finanţate din contul Finanţării vor fi utilizate în exclusivitate pentru scopurile Proiectului.

SECŢIUNEA 7.07. Întreţinerea.

Împrumutatul/Beneficiarul se va asigura că toate încăperile şi lucrările de construcţie utilizate în legătură cu Proiectul vor funcţiona şi vor fi întreţinute adecvat şi că toate reparaţiile necesare se vor face prompt pe măsura necesităţii.

SECŢIUNEA 7.08. Asigurare.

(a) Împrumutatul/Beneficiarul sau Agenţia de conducere a proiectului va asigura toate bunurile şi clădirile utilizate în proiect contra riscurilor şi sumelor consistente cu practica comercială bună.

(b) Împrumutatul/Beneficiarul sau Agenţia de conducere a proiectului va asigura bunurile importate pentru Proiect care sunt finanţate din contul Finanţării contra riscurilor specifice pentru achiziţionarea, transportarea şi livrarea acestora către locul de utilizare sau instalare în conformitate cu practica comercială bună.

SECŢIUNEA 7.09. Acordurile subsidiare.

(a) Împrumutatul/Beneficiarul se va asigura că nici una din Părţile proiectului nu va încheia un Acord subsidiar, sau va consimţi la modificarea acestuia, în contradicţie cu Acordul de finanţare sau Acordul de proiect.

(b) Împrumutatul/Beneficiarul şi fiecare Parte a proiectului îşi vor exercita drepturile conform unui Acord subsidiar a cărei parte este pentru a asigura că interesele Împrumutatului/Beneficiarului şi Fondului sunt protejate pe deplin şi Proiectul este implementat în conformitate cu Secţiunea 7.01.

(c) Nici o prevedere a vreunui Acord subsidiar la care Împrumutatul/Beneficiarul este parte nu va fi desemnată, anulată, suspendată, abrogată sau completată, sau altfel modificată fără acordul prealabil al Fondului.

(d) Împrumutatul/Beneficiarul va comporta riscul de schimb valutar în cadrul Acordului subsidiar la care este parte, cu excepţia cazurilor când s-a convenit altfel cu Fondul.

SECŢIUNEA 7.10. Îndeplinirea acordurilor.

(a) Împrumutatul/Beneficiarul va fi complet responsabil faţă de Fond pentru îndeplinirea cuvenită şi în timp util a tuturor obligaţiilor sale şi cele atribuite Agenţiei de conducere a proiectului şi tuturor altor Părţi ale proiectului în conformitate cu un Acord. Dacă o Parte a Proiectului are un statut juridic separat de cel al Împrumutatului/Beneficiarului, orice referinţă la una din obligaţiile unei astfel de Părţi a Proiectului într-un Acord se va considera că este obligaţia Împrumutatului/Beneficiarului ca această Parte a proiectului să îndeplinească obligaţia respectivă. Acceptarea de către o Parte a proiectului a unei obligaţii atribuite ei într-un Acord nu va afecta responsabilităţile şi obligaţiile Împrumutatului/Beneficiarului.

(b) Împrumutatul/Beneficiarul va întreprinde toate măsurile necesare sau adecvate în puterile sale pentru a permite şi ajuta Agenţia de conducere a proiectului şi alte Părţi ale proiectului să-şi îndeplinească obligaţiile în conformitate cu Acordul. Împrumutatul/Beneficiarul nu va întreprinde, şi nu va permite unei părţi terţe să întreprindă, acţiuni care ar împiedica îndeplinirea acestora.

SECŢIUNEA 7.11. Personalul cheie al proiectului.

Împrumutatul/Beneficiarul sau Agenţia de conducere a proiectului va numi Directorul proiectului şi restul personalului cheie a proiectului în modul specificat în Acord sau aprobat în alt mod de către Fond. Întregul personal cheie al proiectului va deţine calificarea şi experienţa indicată în Acord sau aprobate în alt mod de către Fond. Împrumutatul/Beneficiarul va depune toate eforturile pentru a asigura continuitatea menţinerii personalului cheie al proiectului pe durata perioadei de implementare a proiectului. Împrumutatul/Beneficiarul sau Agenţia primară a proiectului vor asigura personalul cheie al proiectului contra riscurilor de sănătate şi accidente în măsura practicilor comerciale bune sau practicilor sale obişnuite pentru serviciul public naţional, în dependenţă de care este mai adecvat.

SECŢIUNEA 7.12. Părţile proiectului.

Fiecare Parte a proiectului va implementa Proiectul în conformitate cu Secţiunea 7.01:

(a) va întreprinde prompt toate măsurile necesare sau cuvenite pentru a-şi menţine existenţa corporativă şi a dobândi, menţine şi reînnoi drepturile, proprietatea, abilităţile, privilegiile şi francizele sale;

(b) va angaja management şi personal competent şi experimentat;

(c) va exploata, menţine şi înlocui tehnologiile, echipamentul şi alte bunuri ale sale; şi

(d) nu va vinde, închiria sau înstrăina în alt mod bunurile Proiectului, cu excepţia derulării obişnuite a afacerilor sau după cum s-a convenit cu Fondul.

SECŢIUNEA 7.13. Alocarea resurselor Proiectului.

Împrumutatul/Beneficiarul şi Părţile proiectului se vor asigura că resursele şi beneficiile Proiectului, în cea mai mare măsură posibilă, sunt alocate Grupului vizat al populaţiei pe baza metodelor dezagregate gender.

SECŢIUNEA 7.14. Factorii de mediu.

Împrumutatul/Beneficiarul şi Părţile proiectului vor întreprinde toate măsurile rezonabile pentru a se asigura că Proiectul este implementat cu efortul cuvenit în privinţa factorilor de mediu şi în conformitate cu legislaţia naţională privind protecţia mediului şi tratatele internaţionale la care Statul membru al proiectului este parte. În particular, Părţile proiectului vor aplica în cadrul Proiectului practicile cuvenite de combatere a dăunătorilor şi, în acest sens, vor respecta principiile Codului Internaţional de Conduită pentru Distribuirea şi Utilizarea Pesticidelor al Organizaţiei pentru Produse Alimentare şi Agricultură a Naţiunilor Unite (FAO), cu completările respective, şi va asigura că pesticidele achiziţionate în cadrul proiectului nu includ componente care pot fi clasificate ca Extrem de periculoase (Clasa Ia) sau Foarte periculoase (Clasa Ib), conform Clasificării recomandate de OMS a pesticidelor după gradul de pericol , cu completările respective.

SECŢIUNEA 7.15. Ratele de recreditare.

Pe durata Perioadei de implementare a proiectului, Împrumutatul/Beneficiarul şi Fondul vor revizui periodic rata dobânzii aplicabilă creditelor acordate populaţiei vizate, care sunt finanţate (direct sau indirect) din contul Finanţării. Aceste revizuiri vor fi efectuate în comun cu obiectivul de a stabili sau menţine rate pozitive a dobânzii pe parcursul anilor. Împrumutatul/Beneficiarul va întreprinde măsurile necesare, în conformitate cu politicele sale şi ale Fondului, pentru a realiza acest obiectiv. Ca parte a acestor măsuri, Împrumutatul/Beneficiarul şi fiecare Parte a proiectului care acordă aceste credite se vor strădui să-şi minimizeze costurile. Pentru scopurile acestei Secţiuni, termenul “rată pozitivă a dobânzii” înseamnă, în legătură cu un credit acordat de o Parte a proiectului, o astfel de rată a dobânzii, care după includerea inflaţiei, permite Părţii proiectului să-şi recupereze costurile şi să-şi asigure durabilitatea.

SECŢIUNEA 7.16. Finalizarea proiectului.

Împrumutatul/Beneficiarul se va asigura ca Părţile proiectului finalizează implementarea Proiectului până la Data de finalizare a proiectului. Fondul şi Împrumutatul/Beneficiarul vor conveni asupra utilizării bunurilor Proiectului după finalizarea acestuia.

ARTICOLUL VIII – RAPORTAREA ŞI INFORMAREA PRIVIND IMPLEMENTAREA

SECŢIUNEA 8.01. Evidenţa implementării.

Împrumutatul/Beneficiarul se va asigura că Părţile proiectului menţin evidenţa şi documentaţia necesare pentru a-şi reflecta operaţiunile de implementare a Proiectului (inclusiv, dar fără a se limita la, copii sau originale ale corespondenţei, procese-verbale ale întrunirilor şi toate documentele legate de achiziţii) până la Data de finalizare a proiectului, şi va păstra această evidenţă şi documente cel puţin zece (10) ani.

SECŢIUNEA 8.02. Monitorizarea implementării proiectului.

Agenţia de conducere a proiectului va:

(a) stabili şi apoi va menţine un sistem adecvat de management al informaţiei în conformitate cu Ghidul Fondului pentru monitorizarea şi evaluarea proiectelor prin intermediul căruia va monitoriza Proiectul în permanenţă.

(b) pe durata Perioadei de implementare a proiectului, va colecta toate datele şi alte informaţii relevante (inclusiv toate informaţiile solicitate de Fond) necesare pentru monitorizarea evoluţiei implementării Proiectului şi realizării obiectivelor sale; şi

(c) pe durata Perioadei de implementare a proiectului şi apoi timp de cel puţin zece (10) ani, va păstra în mod adecvat această informaţie şi la solicitare va pune prompt la dispoziţia Fondului şi reprezentanţilor şi agenţilor acestuia informaţia respectivă.

SECŢIUNEA 8.03. Raportarea asupra progreselor şi revizuirile de la mijloc de termen.

(a) Agenţia de conducere a proiectului, sau altă parte desemnată astfel în Acordul relevant, va prezenta Fondului rapoarte periodice privind progresele Proiectului în forma şi conţinutul solicitate în mod rezonabil de către Fond. Cel puţin, aceste rapoarte se vor referi la (i) progresele cantitative şi calitative realizate la implementarea Proiectului şi atingerea obiectivelor sale, (ii) problemele întâmpinate pe durata perioadei de raportare, (iii) paşii făcuţi sau propuşi pentru a remedia problemele respective, şi (iv) programul propus de activităţi şi rezultatele aşteptate pentru următoarea perioadă de raportare.

(b) Dacă se specifică într-un Acord, Agenţia de conducere a proiectului şi Fondul vor efectua împreună o revizuire a implementării Proiectului nu mai târziu decât la mijlocul Perioadei de implementare a proiectului (“Revizuirea de la mijloc de termen”) pe baza termenilor de referinţă pregătiţi de Agenţia de conducere a proiectului şi aprobaţi de Fond. Printre altele, Revizuirea de la mijloc de termen va examina realizarea obiectivelor Proiectului şi constrângerile în acest sens, şi va recomanda reorientarea necesară pentru a realiza obiectivele respective şi elimina constrângerile apărute.

(c) Împrumutatul/Beneficiarul se va asigura că recomandările produse în rezultatul Revizuirii de la mijloc de termen sunt implementate în termenele indicate şi în mod satisfăcător pentru Fond. Aceste recomandări ar putea duce la modificarea Acordului sau anularea Finanţării.

SECŢIUNEA 8.04. Raportul de finalizare.

Cât mai repede posibil după Data de finalizare a proiectului, dar oricum nu mai târziu de Data de încheiere a finanţării, Împrumutatul/Beneficiarul va prezenta Fondului un raport privind implementarea generală a Proiectului în forma şi conţinutul indicat în Acordul de finanţare sau după cum a fost solicitat în mod rezonabil de către Fond. Cel puţin, un astfel de raport se va referi la (i) costurile şi beneficiile Proiectului, (ii) realizarea obiectivelor sale, (iii) îndeplinirea de către Împrumutat/Beneficiar, Părţile proiectului, Fond al obligaţiilor respective în conformitate cu Acordul şi (iv) lecţiile însuşite în urma celor de mai sus.

SECŢIUNEA 8.05. Planuri şi orare.

Părţile proiectului vor prezenta Fondului prompt după pregătirea lor planurile, proiectele, standardele, rapoartele, documentele contractuale, specificaţiile şi orarele legate de Proiect, şi modificările considerabile efectuate ulterior asupra acestora.

SECŢIUNEA 8.06. Alte rapoarte şi informaţii privind implementarea.

Pe lângă rapoartele şi informaţiile solicitate de prevederile precedente ale acestui Articol:

(a) Împrumutatul/Beneficiarul şi Părţile proiectului vor furniza prompt Fondului alte rapoarte şi informaţii solicitate în mod rezonabil de Fond cu privire la orice aspect legat de Proiect sau una din Părţile proiectului.

(b) Împrumutatul/Beneficiarul şi Părţile proiectului vor informa prompt Fondul despre orice situaţie care împiedică, sau ameninţă să împiedice, implementarea proiectului sau realizarea obiectivelor acestuia. În particular, Împrumutatul/Beneficiarul şi Părţile proiectului vor informa prompt Fondul despre orice alegaţie de fraudă şi/sau corupţie care este făcută în legătură cu activităţile Proiectului.

ARTICOLUL IX – RAPORTAREA ŞI INFORMAŢIILE FINANCIARE

SECŢIUNEA 9.01. Evidenţa financiară.

Părţile proiectului vor menţine documentaţia şi evidenţa separat în conformitate cu practicile contabile cuvenite aplicate consistent care reflectă adecvat operaţiunile, resursele şi cheltuielile legate de Proiect până la Data de încheiere a finanţării şi vor păstra aceste documente şi evidenţă cel puţin zece (10) ani.

SECŢIUNEA 9.02. Rapoartele financiare.

Împrumutatul/Beneficiarul va prezenta Fondului rapoarte financiare detaliate privind operaţiunile, resursele şi cheltuielile legate de proiect pentru fiecare An fiscal pregătite în conformitate cu standarde şi proceduri acceptabile pentru Fond şi va expedia aceste rapoarte financiare Fondului în termen de patru (4) luni de la finele fiecărui An fiscal.

SECŢIUNEA 9.03. Auditul.

Împrumutatul/Beneficiarul:

(a) în fiecare An fiscal, va supune auditului documentaţia legată de Proiect în conformitate cu standardele de audit acceptabile pentru Fond şi Ghidul Fondului privind Auditele Proiectelor (pentru Debitori) de către o companie de audit independentă acceptabilă pentru Fond;

(b) în termen de şase (6) luni de la finele fiecărui An fiscal, va expedia Fondului un exemplar certificat al raportului de audit. Împrumutatul/Beneficiarul va prezenta Fondului răspunsul la scrisoarea de management a auditorilor în termen de o lună de la primirea acesteia;

(c) dacă Împrumutatul/Beneficiarul nu prezintă la timp raportul de audit solicitat în format satisfăcător şi Fondul determină că Împrumutatul/Beneficiarul probabil nu va expedia acest raport într-o perioadă rezonabilă de timp, Fondul poate angaja auditori independenţi la alegerea sa pentru auditul documentaţiei legate de Proiect. Fondul poate finanţa costul unui astfel de audit din trageri din Conturile de împrumut şi/sau grant.

SECŢIUNEA 9.04. Alte rapoarte şi informaţii financiare.

Pe lângă rapoartele şi informaţiile solicitate de prevederile precedente ale acestui Articol:

(a) Împrumutatul/Beneficiarul şi Părţile proiectului vor furniza prompt Fondului alte rapoarte şi informaţii solicitate în mod rezonabil de Fond cu privire la orice aspect financiar legat de Proiect sau una din Părţile proiectului.

(b) Împrumutatul/Beneficiarul şi Garantul vor informa prompt Fondul despre orice situaţie care împiedică sau ameninţă să împiedice, efectuarea Plăţilor de deservire a împrumutului.

(c) Statul membru al proiectul va prezenta prompt Fondului toate informaţiile solicitate în mod rezonabil de către Fond cu privire la situaţiile financiare şi economice de pe teritoriul său, inclusiv balanţa de plăţi şi datoriile externe.

ARTICOLUL X - COOPERARE

SECŢIUNEA 10.01. Generalităţi asupra cooperării.

Fondul, Instituţia cooperantă şi fiecare Parte a proiectului vor coopera pe deplin pentru a asigura realizarea obiectivelor Proiectului.

SECŢIUNEA 10.02. Schimb de opinii.

Fondul, Împrumutatul/Beneficiarul şi Agenţia de conducere a proiectului vor face schimb de opinii periodic asupra Proiectului, Finanţării sau Părţile proiectului la solicitarea unuia din ei.

SECŢIUNEA 10.03. Vizite, inspecţii şi intervievări.

Periodic, Împrumutatul/Beneficiarul şi Părţile proiectului vor permite agenţilor şi reprezentanţilor Fondului:

(a) să viziteze şi să inspecteze Proiectul, inclusiv oricare şi toate locaţiile, lucrările, echipamentul şi alte bunuri utilizate pentru scopurile proiectului;

(b) să examineze originalele şi să facă copii de pe orice date, documente, evidenţă şi rapoarte relevante pentru Finanţare, Proiect sau oricare din Părţile proiectului; şi

(c) să viziteze, să comunice şi să intervieveze pe oricine din personalul Proiectului şi angajaţii oricărei Părţi a proiectului.

SECŢIUNEA 10.04. Auditele iniţiate de Fond.

Împrumutatul/Beneficiarul şi Părţile proiectului vor permite auditorilor desemnaţi de Fond să auditeze evidenţa şi documentaţia legată de Proiect. Împrumutatul/Beneficiarul şi Părţile proiectului vor coopera pe deplin cu astfel de auditori şi le vor acorda drepturi şi privilegii depline de agenţi sau reprezentanţi ai Fondului conform Secţiunii 10.03. Cu excepţia auditelor efectuate în conformitate cu Secţiunea 9.03(c), Fondul va acoperi costul unui astfel de audit.

SECŢIUNEA 10.05. Evaluările proiectului.

(a) Împrumutatul/Beneficiarul şi Părţile proiectului vor facilita toate evaluările şi revizuirile Proiectului pe care le va efectua Fondul pe durata Perioadei de implementare a proiectului şi timp de zece (10) ani după aceasta.

(b) După cum se utilizează în această Secţiune, termenul “facilita”, pe lângă respectarea deplină a Articolelor VIII, IX şi prezentul Articol X cu privire la astfel de evaluări şi revizuiri, include acordarea suportului logistic în timp util prin punerea la dispoziţie a personalului proiectului şi echipamentului şi întreprinderea promptă a măsurilor solicitate de Fond în legătură cu aceste evaluări şi revizuiri, dar nu include acoperirea cheltuielilor din cont propriu.

SECŢIUNEA 10.06. Revizuirile portofoliului de ţară.

Statul membru al proiectului va permite agenţilor şi reprezentanţilor Fondului, în consultanţă cu Statul membru al proiectului, să intre periodic pe teritoriul său pentru a face schimb de opinii, să viziteze locaţiile şi să examineze datele, evidenţa şi documentele solicitate în mod rezonabil de Fond pentru a efectua o revizuire generală a tuturor proiectelor şi programelor finanţate, pe deplin sau parţial, de către Fond pe teritoriul său şi toată finanţarea acordată de Fond Statului membru al proiectului. Statul membru al proiectului se va asigura că toate părţile implicate cooperează pe deplin pentru o astfel de revizuire.

ARTICOLUL XI – IMPOZITARE

SECŢIUNEA 11.01. Impozitare.

(a) Finanţarea şi Plăţile de deservire a împrumutului vor fi scutite de toate Impozitele, şi toate Plăţile de deservire a împrumuturilor se fac neîmpovărate cu Impozite.

(b) Acordul va fi scutit de orice Impozite la semnare, livrare sau înregistrare.

(c) Utilizarea mijloacelor Finanţării pentru a achita Impozite se supune politicii Fondului de a solicita economisire şi eficienţă la utilizarea Finanţării sale. Prin urmare, dacă Fondul determină într-un moment că suma unui Impozit este excesivă, discriminatorie sau altfel irezonabilă, Fondul, poate, după înştiinţarea Împrumutatului/Beneficiarului, reduce procentele Cheltuielilor eligibile care urmează a fi finanţate din contul Finanţării, care sunt specificate în Acordul de finanţare.

SECŢIUNEA 11.02. Returnarea impozitelor.

Dacă Fondul determină la un moment dat că vreo sumă din mijloacele Finanţării a fost utilizată pentru a achita Impozite pe care Fondul le-a determinat a fi excesive, discriminatorii sau altfel irezonabile, Fondul poate solicita Împrumutatului/Beneficiarului, prin înştiinţare scrisă, să returneze această sumă prompt Fondului. După primirea acestei sume, Fondul va credita Conturile împrumutului şi/sau grantului cu suma returnării respective.

ARTICOLUL XII – MĂSURILE DE REMEDIERE ALE FONDULUI

SECŢIUNEA 12.01. Suspendarea de către Fond.

(a) Când are loc şi persistă unul din evenimentele de mai jos, Fondul poate suspenda în totalitate sau parţial dreptul Împrumutatului/Beneficiarului de a solicita trageri din Conturile împrumutului şi/sau grantului:

(i) Împrumutatul nu a achitat Plăţile de deservire a împrumutului în termen, indiferent dacă Garantul sau o altă parte terţă a efectuat Plata de deservire a împrumutului.

(ii) Împrumutatul/Beneficiarul nu a achitat nici o plată datorată în conformitate cu alt Acord de finanţare, Acord de garantare sau altă obligaţie de finanţare de orice tip a Împrumutatului/Beneficiarului către Fond, indiferent dacă o parte terţă a efectuat plata.

(iii) Garantul nu a făcut Plata de deservire a împrumutului în termen.

(iv) Garantul nu a efectuat nici o plată datorată în conformitate cu altă Finanţare sau Acord de garantare între Garant şi Fond, sau alte obligaţii financiare de orice tip ale Garantului către Fond.

(v) Fondul a determinat că Proiectul nu a îndeplinit, sau cel mai probabil nu va îndeplini în timp util, scopurile sale după cum sunt stipulate în Acord.

(vi) Fondul a determinat că a apărut o situaţie care ar putea face improbabilă implementarea cu succes a Proiectului sau că vreo una din Părţile proiectului va putea îndeplini cu succes obligaţiile sale din cadrul Acordului.

(vii) Calitatea de membru în Fond al statului membru al proiectului a fost suspendată sau anulată; sau Statul membru al proiectului a expediat o înştiinţare referitor la dorinţa sa de a se retrage din Fond.

(viii) Vreo afirmaţie a Împrumutatului/Beneficiarului, Garantului sau unei Părţi a proiectului dintr-un Acord, sau declaraţie prezentată în legătură cu acesta şi pe care Fondul s-a bazat la efectuarea Finanţării este incorectă sau înşelătoare în aspect substanţial.

(ix) Dacă Împrumutatul/Beneficiarul nu este Stat membru, Fondul a determinat apariţia unei schimbări negative considerabile în legătură cu Împrumutatul/Beneficiarul.

(x) Fie Împrumutatul/Beneficiarul, fie Garantul în general nu a putut să-şi achite datoriile la scadenţă.

(xi) O autoritate competentă a întreprins măsuri pentru dizolvarea Agenţiei de conducere a proiectului sau suspendarea operaţiunilor acesteia.

(xii) O autoritate competentă a luat măsuri pentru dizolvarea unei Părţi a proiectului (alta decât Agenţia de conducere a proiectului) sau suspendarea operaţiunilor acesteia, şi Fondul a determinat că această dizolvare sau suspendare probabil va avea un efect negativ substanţial asupra proiectului.

(xiii) Împrumutatul/Beneficiarul nu a pus la dispoziţia Părţilor proiectului fondurile, facilităţile, serviciile şi alte resurse în conformitate cu Secţiunile 7.02 sau 7.03.

(xiv) Fondul nu a primit raportul de audit sau alte documente la care se face referinţă în Articolul VIII (Raportarea şi informaţia privind implementarea) sau Articolul IX (Raportarea şi informaţiile financiare) în termenul desemnat în acest scop în Acorduri, sau raportul de audit nu este pe deplin satisfăcător pentru Fond, sau Împrumutatul/Beneficiarul sau altă Parte a proiectului nu a reuşit în alt mod să-şi îndeplinească obligaţiile conform Articolului VIII sau IX.

(xv) Agenţia de conducere a proiectului sau altă Parte a proiectului nu a îndeplinit nici una din obligaţiile sale conform Acordului de proiect.

(xvi) Împrumutatul/Beneficiarul sau Agenţia de conducere a proiectului nu a îndeplinit nici una din obligaţiile sale conform Acordului subsidiar.

(xvii) O Parte a proiectului (alta decât Agenţia de conducere a proiectului) nu a îndeplinit nici una din obligaţiile sale conform Acordului subsidiar, şi Fondul a stabilit că acest lucru a avut, sau probabil va avea, un efect negativ substanţial asupra Proiectului.

(xviii) Orice Acord subsidiar sau prevedere a acestuia a fost desemnată, anulată, suspendată, finalizată, completată sau modificată în alt fel fără acordul prealabil al Fondului, şi Fondul a determinat că această desemnare, anulare, suspendare, finalizare, completare sau modificare a avut, sau probabil va avea, un efect negativ substanţial asupra Proiectului.

(xix) Fondul a suspendat în totalitate sau parţial dreptul Împrumutatului/Beneficiarului sau a Garantului de a solicita sau face trageri în cadrul oricărui Acord cu Fondul.

(xx) Împrumutatul/Beneficiarul sau o Parte a proiectului nu a îndeplinit alte obligaţii în cadrul Acordului de finanţare sau alt Acord.

(xxi) Fondul a stabilit că o sumă din Finanţare a fost utilizată pentru a finanţa o cheltuială care nu face parte din Cheltuielile eligibile.

(xxii) Fondul, după consultări cu Împrumutatul/Beneficiarul, a stabilit că beneficiile considerabile ale Proiectului nu ajung în mod adecvat la Populaţia vizată, sau se reflectă asupra persoanelor care nu fac parte din grupul Populaţiei vizate în detrimentul Populaţiei vizate.

(xxiii) Împrumutatul/Beneficiarul nu a îndeplinit Acordul special stipulat în Acordul relevant şi acest fapt a continuat fără a fi remediat pentru o perioadă de treizeci (30) de zile, şi Fondul a determinat că acest lucru a avut, sau probabil va avea, un efect negativ considerabil asupra proiectului.

(xxiv) Fondul înştiinţează Împrumutatul/Beneficiarul că alegări credibile referitor la aplicarea practicilor coercitive, de complot, de corupţie sau fraudulente în legătură cu Proiectul au ajuns în atenţia Fondului, şi Împrumutatul/Beneficiarul nu a întreprins măsuri oportune şi adecvate pentru a aborda problema spre satisfacţia Fondului.

(xxv) Achiziţiile nu sunt sau nu au fost efectuate în conformitate cu Ghidul IFAD pentru achiziţii.

(xxvi) După apariţia sau neapariţia, în funcţie de caz, a unui eveniment specificat în Acordul relevant ca motiv suplimentar pentru suspendare.

O astfel de suspendare intră în vigoare după expedierea înştiinţării de către Fond către Împrumutat/Beneficiar şi Garant. O astfel de suspendare va continua până în momentul când Fondul va înştiinţa Împrumutatul/Beneficiarul că dreptul Împrumutatului/Beneficiarului de a solicita trageri a fost restabilit în totalitate sau parţial.

(b) Dacă raportul de audit solicitat în Secţiunea 9.03 nu a fost prezentat Fondului în termen de şase (6) luni de la data limită a prezentării acestuia, se va suspenda dreptul Împrumutatului/Beneficiarului de a solicita trageri din Conturile împrumutului şi/sau grantului.

SECŢIUNEA 12.02. Anularea de către Fond.

(a) Dacă a avut loc vreunul din evenimentele de mai jos, Fondul poate anula în totalitate sau parţial sumele rămase în Conturile împrumutului şi/sau grantului:

(i) Dreptul Împrumutatului/Beneficiarului de a solicita trageri din Conturile împrumutului şi/sau grantului a fost suspendat conform Secţiunii 12.01 pentru sumele Finanţării pentru o perioadă consecutivă de cel puţin treizeci (30) de zile.

(ii) Fondul stabileşte după consultări cu Împrumutatul/Beneficiarul că o sumă din Finanţare nu va fi necesară pentru finanţarea Proiectului.

(iii) După consultări cu Împrumutatul/Beneficiarul, Fondul determină că s-au aplicat practici coercitive, de complot, de corupere sau fraudulente de către reprezentanţii Împrumutatului/Beneficiarului sau o Parte a proiectului cu privire la cheltuielile generate în timpul achiziţiilor sau îndeplinirea unui contract finanţat din contul Finanţării, şi că Împrumutatul/Beneficiarul nu a reuşit să întreprindă acţiuni adecvate pentru a remedia situaţia.

(iv) Fondul a determinat că o sumă din Finanţare a fost utilizată pentru a finanţa cheltuieli care nu fac parte din Cheltuielile eligibile şi Împrumutatul/Beneficiarul nu a returnat prompt această sumă Fondului după emiterea instrucţiunilor respective de către Fond.

(v) Fondul a primit o înştiinţare din partea Garantului cu privire la încetarea obligaţiilor acestuia în cadrul Acordului de garantare.

(vi) Revizuirea de la mijloc de termen a recomandat încetarea Proiectului.

(vii) După apariţia sau neapariţia, în funcţie de caz, a unui eveniment specificat în Acordul de finanţare relevant ca motiv suplimentar pentru suspendare.

O astfel de suspendare intră în vigoare după expedierea înştiinţării de către Fond către Împrumutat/Beneficiar.

(b) Orice sumă rămasă în Conturile împrumutului şi/sau grantului se va anula pe Data de încheiere a finanţării, cu excepţia soldurilor neretrase a cererilor pentru trageri primite până la Data de încheiere a finanţării şi sumele care fac subiectul Angajamentelor speciale neîndeplinite, care vor fi anulate după îndeplinirea completă a acestor Angajamente speciale.

SECŢIUNEA 12.03. Anularea de către Împrumutat/Beneficiar.

După consultare cu Fondul şi cu acordul Garantului, Împrumutatul/Beneficiarul poate, după înştiinţarea Fondului, anula orice sumă neretrasă a Finanţării, cu excepţia sumelor care fac subiectul Angajamentelor speciale. O astfel de anulare va intra în vigoare după recunoaşterea acesteia de către Fond.

SECŢIUNEA 12.04. Aplicabilitatea anulării sau suspendării.

(a) Anularea sau suspendarea nu se aplică la sumele care fac subiectul oricărui Angajament special asumat de Fond, decât dacă acest Angajament special specific stipulează altfel.

(b) Cu excepţia cazurilor stipulate concret în prezentul Articol, toate prevederile Acordului de finanţare vor continua să fie în vigoare pe deplin indiferent de o anulare sau suspendare.

SECŢIUNEA 12.05. Accelerarea scadenţei.

Dacă la un moment dat are loc oricare din evenimentele de mai jos, în orice moment ulterior pe durata continuării acestuia, Fondul poate declara suma de bază a împrumutului neachitată la acel moment, împreună cu dobânda acumulată şi alte plăţi aferente, ca fiind imediat scadente şi plătibile:

(a) oricare din evenimentele specificate în alineatele (v) până la (xii), inclusiv Secţiunea 12.01;

(b) Fondul a declarat suma de bază neachitată la acel moment a unui alt împrumut către Împrumutat/Beneficiar sau Garant ca fiind imediat scadentă şi plătibilă;

(c) oricare din evenimentele specificate în alineatele (i) până la (iv), inclusiv Secţiunea 12.01 a avut loc şi continuă pentru o perioadă de treizeci (30) de zile;

(d) oricare din evenimentele specificate în alineatele (xiii) până la (xxvi), inclusiv Secţiunea 12.01, a avut loc şi continuă pentru o perioadă de şaizeci (60) de zile după ce Fondul a expediat înştiinţarea respectivă Împrumutatului/Beneficiarului şi Garantului; sau

(e) oricare alt eveniment specificat în Acordul de finanţare pentru scopurile prezentei Secţiuni a avut loc şi a continuat pentru o perioadă, dacă e cazul, specificată în Acordul de finanţare.

O astfel de decizie va fi în vigoare după expedierea înştiinţării către Împrumutat/Beneficiar şi Garant, după care suma de bază, dobânda şi alte plăţi imediat devin scadente şi plătibile.

SECŢIUNEA 12. 06. Alte măsuri de remediere.

Măsurile de remediere ale Fondului descrise în prezentul Articol nu vor limita sau altfel prejudicia drepturile sau mijloacele de remediere altfel disponibile Fondului.

ARTICOLUL XIII – INTRAREA ÎN VIGOARE ŞI ÎNCHEIEREA

SECŢIUNEA 13.01. Intrarea în vigoare.

Un Acord sau o completare la acesta va intra în vigoare la data când atât Fondul cât şi Împrumutatul/Beneficiarul l-au semnat decât dacă Acordul stipulează că trebuie să fie ratificat, caz în care Acordul va intra în vigoare la data când Fondul primeşte instrumentul ratificării.

SECŢIUNEA 13.02. Încheierea după îndeplinirea completă.

Fondul poate rezilia acordul şi toate drepturile şi obligaţiile părţilor care decurg din acesta în cazul în care:

a) înainte de data primei trageri din împrumut şi/sau a unor conturi de grant, sau orice motiv de suspensie specificat în secţiunea 12.01; sau

b) înainte de data primei trageri din împrumut şi/sau a unor conturi de grant, Împrumutatul /Beneficiar, Garantul sau orice altă parte de proiect ce au luat acţiuni inconsecvente cu obiectul şi scopul oricărui Acord.

ARTICOLUL XIV – APLICAREA ŞI ASPECTE AFILIATE

SECŢIUNEA 14.01. Aplicarea.

Acordul şi drepturile şi obligaţiile părţilor conform acestuia vor fi valabile şi aplicabile în conformitate cu termenele lor, indiferent de divergenţe în legislaţia aplicată pe teritoriul Statului membru al proiectului.

SECŢIUNEA 14.02. Incapacitatea de a exercita drepturile.

Întârzierea de a exercita, sau incapacitatea de a exercita, un drept, o atribuţie sau o măsură de remediere de către o parte în cadrul unui Acord nu va afecta acest drept, atribuţie sau măsură de remediere, sau va fi percepută ca renunţare la acesta. Nici o acţiune sau omisiune a unei părţi cu privire la o neexecutare în cadrul unui Acord nu va submina nici un drept, atribuţie sau măsură de remediere a acestei părţi în legătură cu o neexecutare ulterioară.

SECŢIUNEA 14. 03. Drepturi şi remedii cumulative.

Drepturile şi măsurile de remediere ale unei părţi în cadrul unui Acord sunt cumulative şi (cu excepţia cazurilor când specific se stipulează altfel) nu exclud alte drepturi sau măsuri de remediere pe care partea respectivă le-ar avea altfel.

SECŢIUNEA 14.04. Arbitraj.

Orice dispută, controversă sau revendicare care rezultă din sau în legătură cu un acord sau existenţa, interpretarea, aplicarea, încălcarea, rezilierea sau nulitatea acesteia se soluţionează în conformitate cu Regulile de arbitraj (2012) al Curţii Permanente de arbitraj.

a) Numărul arbitrilor trebuie să fie unul (1).

b) Locul arbitrajului va fi la Roma, Italia.

c) Limba care urmează să fie utilizată în cadrul procedurilor de arbitraj este limba Acordului dat.

SECŢIUNEA 14.05. Lege aplicabilă

Orice acord care intră sub incidenţa acestor Condiţii Generale vor fi guvernate şi interpretate în conformitate cu dreptul internaţional public.

ARTICOLUL XV – ALTE PREVEDERI

SECŢIUNEA 15.01. Comunicarea.

Toate înştiinţările, solicitările şi alte comunicări acordate sau făcute în cadrul Acordului vor fi în scris. Cu excepţia cazurilor când se stipulează altfel în Acord, aceste înştiinţări, solicitări sau alte comunicări vor fi considerate ca acordate sau făcute în mod cuvenit când au fost livrate manual, prin poştă, telegramă, telegraf, fax sau poştă electronică părţii căreia sunt destinate la adresa acestei părţi specificată în Acordul respectiv sau la altă adresă desemnată prin înştiinţare de o parte către celelalte părţi.

SECŢIUNEA 15.02. Limba rapoartelor.

Împrumutatul/Beneficiarul şi Părţile proiectului vor prezenta toate rapoartele şi informaţiile către Fond în limba Acordului sau în altă limbă asupra căreia Părţile au convenit.

SECŢIUNEA 15.03. Autoritatea de a întreprinde măsuri.

Reprezentantul sau agentul desemnat în această calitate într-un Acord, sau o altă persoană autorizată în modul cuvenit în scris de un astfel de reprezentant sau agent, poate întreprinde măsuri şi semna orice document în legătură cu acest Acord în numele acestei părţi.

SECŢIUNEA 15.04. Dovadă autorizării.

La solicitarea Fondului, Împrumutatul/Beneficiarul, Garantul şi altă Parte a proiectului vor furniza Fondului dovezi suficiente ale autorizării persoanei sau persoanelor la care se face referinţă în Secţiunea 15.03, şi specimenul autentificat al semnăturii fiecărei astfel de persoane.

SECŢIUNEA 15.05. Modificări la Acord.

Părţile pot conveni periodic asupra modificării termenelor şi condiţiilor unui Acord (inclusiv, dar fără a se limita la termenele şi condiţiile prezentelor Condiţii Generale, după cum se aplică acestuia) sau de aplicare a unui Acord. Orice completare la un Acord va intra în vigoare în conformitate cu prevederile Secţiunii 13.01, decât dacă părţile convin altfel.

SECŢIUNEA 16.06. Schimbarea entităţii sau reprezentantului.

Dacă o parte doreşte să numească un succesor, să redesemneze responsabilităţile sau să schimbe scopul sau adresa uneia din entităţile specificate într-un Acord, această parte va înştiinţa în acest sens celelalte părţi. După acceptarea de către celelalte părţi, o astfel de entitate nouă va reprezenta entitatea responsabilă pe deplin de îndeplinirea funcţiilor desemnate predecesorului său conform Acordului.

SECŢIUNEA 15.07. Semnarea Acordului.

Semnarea unui Acord de către o parte va constitui exprimarea acordului acestei părţi de a-şi asuma obligaţiile din cadrul Acordului, care este subiectul ratificării sau autorizării necesare conform legislaţiei interne de importanţă fundamentală şi este dezvăluit celeilalte părţi în scris înainte de semnare.

The International Fund for Agricultural Development (the “Fund” or “IFAD”)

and

The Adaptation for Smallholder Agriculture Programme Trust Fund (”the ASAP Trust”)

(each a “Party” and all of them collectively the “Parties”)

HEREBY agree as follows:

Section A

1. The following documents collectively form this Agreement: this document, the Project Description and Implementation Arrangements (Schedule 1), and the Allocation Table (Schedule 2).

2. The Fund′s General Conditions for Agricultural Development Financing dated 29 April 2009, amended as of April 2014, and as may be amended hereafter from time to time (the “General Conditions”) are annexed to this Agreement, and all provisions thereof shall apply to this Agreement. For the purposes of this Agreement the terms defined in the General Conditions shall have the meanings set forth therein.

3. The Fund shall provide a Loan, an IFAD Grant and an ASAP Trust Grant (together the “Financing”) to the Borrower/Recipient, which the Borrower/Recipient shall use to implement the Project in accordance with the terms and conditions of this Agreement.

Section B

1. A. The amount of the Loan is eighteen million two hundred thousand US dollars (USD 18 200 000).

B. The amount of the IFAD Grant is five hundred thousand US dollars (USD 500 000)

C. The amount of the ASAP Trust Grant is five million US dollars (USD 5 000 000).

2. The Loan shall be subject to interest at a fixed rate of 1.25 per cent and a service charge of 0.75 per cent on the principal amount outstanding, and shall have a maturity period of twenty five (25) years including a grace period of five (5) years starting from the date of approval by the Executive Board.

3. The Loan Service Payment Currency shall be the USD.

4. The first day of the applicable Fiscal Year shall be1 January.

5. Payments of principal and service charge shall be payable on each 1Apriland 1 October.

6. (a) There shall be a Loan Designated Account, an IFAD Grant Designated Account and an ASAP Trust Grant Designated Account for the purposes of receiving the proceeds of the Loan, the IFAD Grant and the ASAP Trust Grant respectively and financing the project, all of which shall be denominated in USD and opened by the Borrower/Recipient in the National Bank of Moldova.

(b) Project operating accounts for the loan, IFAD grant, ASAP grant and Beneficiaries contributions shall be opened by the State treasury at the National Bank to receive resources from the respective designated accounts and from Beneficiaries

7. The Borrower/Recipient shall provide counterpart financing for the Project estimated in the amount of two million nine hundred and forty thousand US dollars (USD 2 940 000) by covering all duties and taxes on goods and services procured under the project. The Borrower/Recipient will finance the cost of all taxes on goods procured under the project, or will waive the duties and taxes.

Section C

1. The Ministry of Agriculture and Food Industry is the Lead Project Agency and shall have overall responsibility for the implementation of the project.

2. The following are designated as additional Project Parties:CLD, PFIs, SCAs, NCFM, Local Public Authorities (Primarias), State Association for Soil Protection, State Inspection on Civil Works, State Agency “Apele Moldovei”, Water Users Associations (WUA), Research Institute in Forestry, Research Institute in Soil Science, Academy of Science, State Agrarian University of Moldova, consulting and extension service provides NGOs, producer associations UAP, Moldova Fruct, APESM, and the Association of Honey Producers.

3. The Project Completion Date shall be the sixth (6 th ) anniversary of the date of entry into force of this Agreement.

Section D

The Financing will be administered and the Project supervised by the Fund.

Section E

1. The following is designated as an additional ground for suspension of this Agreement:

(a) The Project Implementation Manual (PIM) referred to in paragraph 8of Schedule 1hereto, or any provision thereof, has been waived, suspended, terminated, amended or otherwise modified without the prior consent of the Fund, and the Fund has determined that such waiver, suspension, termination, amendment or modification has had, or is likely to have, a material adverse effect on the Project.

2. The following is designated as an additional general conditions precedent to withdrawal of the part of the Category II “Credit, Guarantee Funds” related to the Credit Guarantee Mechanisms:

(a) the specific study to assess the feasibility for and potential of a Credit Guarantee Company (CGC)is completed and shows a clear and appropriate pathway for the credit guarantee scheme.

3. This Agreement is subject to ratification by the Borrower/Recipient The Financing Agreement shall enter into force on the date upon which the International Fund for Agricultural Development dispatches to the Recipient notice of its acceptance of the evidence that the execution and delivery of the Agreement by the Republic of Moldova has been duly authorized by all necessary governmental actions and the Agreement can become effective.

Schedule 1

Project Description and Implementation Arrangements

I. Project Description

1. Project Area . The Project shall be implemented throughout the Borrower/Recipient′s territory. Special prioritisation will be given to climate vulnerable farmers and agribusinesses as well as poorer segments of the rural society. This will be determined by the Small Area Deprivation Index, supplemented by poverty data. Climate vulnerability will be based on the Livelihood Vulnerability Index and other measures of the impact of climate change.

2. Target Population .In terms of categorisation the major target groups are as following:

• Agribusiness, mainly small and medium size enterprises.

• Smallholder farmers, especially semi-subsistence and commercially oriented smallholder farmers.

• Young entrepreneurs are a crosscutting target group facing unique challenges and opportunities that also require tailor-made targeting strategies.

• Smallholder women farmers belonging to vulnerable households, sensitive to poverty and climate change, also comprise a crosscutting target group.

3. Goal . The overall goal of the Project is to improve the wellbeing of Moldova′s rural population and contribute to poverty reduction.

4. Objective . The development objective of the Project is to strengthen the resilience and improve economic opportunities for the rural poor.

5. Components . The Project will have two core components that envisage a number of complementarities between initiatives and subcomponents.

5.1. Component 1: Improve smallholders and agribusinesses′ adaptive capacity . This component will aim at enhancing the resilience through investments in productive rural infrastructure and agri-systems. This component will address the Climate Change adaptation priorities identified by the Moldovan government and will operate under two subcomponents:

5.1.1. Climate-resilient water management and infrastructure development will support investments in productive rural infrastructure to remove the bottlenecks hampering the consolidation and expansion of competitive farms and village based agri-business and to foster the adoption of climate smart technologies.

5.1.2. Farmers′ adaptation through climate resilient investments will include: (a) support smallholder farmers in the adoption of climate-resilient crop production systems and technologies, through investment grants and capacity development support; (b) support food/nutrition security and business diversification of women groups in high climate- and poverty-vulnerable areas, and (c) support public and private investments in ecological restoration measures aiming to reduce climate-related risks and improve ecosystem services for agriculture.

5.2. Component 2: Agribusiness development support . The expected outcome of the component will be to enhanced access to financial services and markets for rural transformation. The component is set up with three subcomponents:

5.2.1. Term finance for Micro, small and medium enterprises (MSMEs) will support the investments (including some working capital up to 20 per cent of the total loan) of MSMEs in Moldova.

5.2.2. Credit Guarantees for MSMEs , under which the Government of Moldova will be assisted to create the Moldova Credit Guarantee Fund to provide inter-bank guarantees for loans granted to MSMEs by licensed financial institutions.

5.2.3. Technical support to MSMEs , which includes a number of smaller, but important measures to widen and deepen the impacts of other components, comprising technical support to agribusiness, youth entrepreneurs and Saving and Credit Associations.

II. Implementation Arrangements

6. The Lead Project Agency:

6.1. Overall responsibility for the Project management and implementation will rest with the IFAD Programme Steering Committee (IPSC) already established by Government decree and responsible for providing overall policy guidance and oversight for all IFAD-supported projects and programmes in Moldova.

6.2. The Minister of Agriculture and Food Industry will be the Chairperson of the IPSC. Other members include one representative each of the Ministry of Finance, the Aid Coordination Unit under the State Chancellery, the Parliament′s Agricultural Committee, the National Bank of Moldova, and representatives from other Project stakeholders, including government agencies and public and private organisations as appropriate. The IPSC membership can be amended depending on programme requirements, with a view to reflect the increased emphasis on climatic adaptation and resilience.

6.3. Day-to-day management and implementation of the Project will rest with the existing Consolidated Programme Implementation Unit (CPIU), which has established a robust and well-recognised track record of competent and diligent programme management of IFAD′s previous and ongoing projects.

6.4. The principal functions of the CPIU will be to carry out the overall programming and budgeting of Project activities, take the lead in implementation - in cooperation with business development partners and other services providers, infrastructure contractors, beneficiary institutions, such as farmer-based organisations, participating financial institutions - and to monitor and document Project progress.

6.5. Specifically, the CPIU will assume the responsibility for generating the annual work plans and budgets (AWPBs) to be submitted to the IPSC for review and approval and subsequently to IFAD for final approval. Likewise, the CPIU will take the lead in the procurement of civil works and goods and services.

7. Mid-Term Review . The Fund shall carry out a review of Project implementation no later than the end of the Project′s third year. The review shall cover, among other things: (i) physical and financial progress as measured against AWPBs; (ii) performance and financial management of contracted implementing partners; (iii) an assessment of the efficacy of the institutional development and capacity building activities; (iv) progress in infrastructure investments; (v) establishing and delivering of extension services; (vi) delivering of financial services; and (vii) access to markets. Fund will present a report on mid-term review with conclusions and recommendations for Ministry of Agriculture and Food Industry.

8. Project Implementation Manual (PIM). The CPIU shall prepare a draft PIM acceptable to the Fund and submit it for approval to the IPSC. When so approved, a copy of the PIM shall be provided by the CPIU to the Fund. The PIM may be amended when necessary to introduce clarification in procedures, eliminating constraints for project implementation and for facilitating access of producers to the project services.

Article I - APPLICATION

Section 1.01. Application of General Conditions

These General Conditions apply to all Financing Agreements. They apply to other agreements only if the agreement expressly so provides.

Article II - DEFINITIONS

Section 2.01. General Definitions

The following terms have the following meanings wherever used in these General Conditions:

“Agreement” means a Financing Agreement or other agreement subject to these General Conditions.

“Annual Workplan and Budget” or “AWPB” means the annual workplan and budget for carrying out a Project during a particular Project Year, which includes the Procurement Plan.

“Borrower” means the party designated as such in an Agreement.

“Coercive practice” means impairing or harming, or threatening to impair or harm, directly or indirectly, any party or the property of the party to influence improperly the actions of a party.

“Collusive practice” means an arrangement between two or more parties designed to achieve an improper purpose, including influencing improperly the actions of another party.

“Cooperating Institution” means an institution designated as such in a Financing Agreement as responsible for the administration of the Financing and/or the supervision of the implementation of the Project.

“Cooperation Agreement” means an agreement or agreements between the Fund and a Cooperating Institution by which a Cooperating Institution agrees to act as such.

“Corrupt practice” means offering, giving, receiving or soliciting, directly or indirectly, anything of value to improperly influence the actions of another party.

“Currency” of a State or a territory means the currency that is legal tender for the payment of public and private debts in such State or territory.

“Denomination Currency” means, with respect to a Loan or Grant, the currency (which may also be the SDR) in which such Loan or Grant is denominated, as specified in the Financing Agreement.

“Designated Account” means an account designated for advance withdrawals by the Borrower/Recipient in accordance with Section 4.04(d).

“Eligible Expenditure” means an expenditure that complies with Section 4.08.

“Euro” or “EUR” each means the lawful currency of the member states of the European Union that adopt the single currency in accordance with the Treaty establishing the European Community, as amended by the Treaty on European Union.

“Financing” means a Loan, a Grant, or a combination thereof.

“Financing Agreement” means a Project Financing Agreement or Programme Financing Agreement, pursuant to which the Fund agrees to extend Financing to the Borrower/Recipient.

“Financing Closing Date” means the date on which the right of the Borrower/Recipient to request withdrawals from the Loan Account and/or Grant Account ends, which is six (6) months after the Project Completion Date or such later date as the Fund may designate by notice to the Borrower/Recipient.

“Fiscal Year” means the twelve-month period designated as such in an Agreement.

“Fraudulent practice” means any action or omission, including a misrepresentation, that knowingly or recklessly misleads, or attempts to mislead, a party to obtain a financial or other benefit or to avoid an obligation.

“Freely convertible currency” means any currency so designated by the Fund at any time.

“Fund” means the International Fund for Agricultural Development.

“Grant” means a grant extended to a Recipient pursuant to a Financing Agreement or other Agreement.

“Grant Account” means the account in the books of the Fund opened in the name of the Recipient to which the amount of the Grant is credited.

“Guarantee Agreement” means an agreement between a Member State and the Fund by which such Member State guarantees the performance of another Agreement.

“Guarantor” means any Member State designated as such in a Guarantee Agreement.

“IFAD Procurement Guidelines” means the Procurement Guidelines approved by the Fund′s Executive Board in December 2004 (for Financing approved by the Fund′s Executive Board prior to September 2010) or the Project Procurement Guidelines approved by the Fund′s Executive Board in September 2010 (for Financing approved by the Fund′s Executive Board after September 2010) as such guidelines may be amended by the Fund.

“IFAD Reference Interest Rate” means the rate determined periodically by the Fund as its reference rate for the computation of interest on its Loans.

“Lead Project Agency” means the entity designated as such in an Agreement, which has overall responsibility for the execution of a Project.

“Loan” means a loan extended by the Fund to the Borrower pursuant to a Financing Agreement.

“Loan Account” means the account in the books of the Fund opened in the name of the Borrower to which the amount of a Loan is credited.

“Loan Service Payment” means any payment required or permitted to be made by the Borrower or the Guarantor to the Fund under a Financing Agreement, including (but not limited to) any payment of the principal of, or interest or service charge on any Loan.

“Loan Service Payment Currency” means the freely convertible currency defined as such in a Financing Agreement.

“Member State” means any Member State of the Fund.

“Pound sterling” or “GBP” means the currency of the United Kingdom of Great Britain and Northern Ireland.

“Procurement Plan” means the Borrower/Recipient′s Procurement Plan covering the initial eighteen (18) month period of Project implementation, as the same shall be updated to cover succeeding twelve (12) month periods.

“Project” means the agricultural development project or programme described in an Agreement and financed, in whole or in part, by the Financing.

“Project Account” means an account for Project operations as described in Section 7.02(b).

“Project Agreement” means any agreement between the Fund and any Project Party relating to the implementation of all or any part of a Project.

“Project Completion Date” means the date specified in an Agreement on which the implementation of the Project is to be completed, or such later date as the Fund may designate by notice to the Borrower/Recipient.

“Project Implementation Period” means the period during which the Project is to be carried out, beginning on the date of entry into force of the Agreement and ending on the Project Completion Date.

“Project Member State” means the Member State in which the Project is carried out.

“Project Party” means each entity responsible for the implementation of the Project or any part thereof. The term “Project Party” includes (but is not limited to) the Lead Project Agency and any entity designated as a Project Party in an Agreement.

“Project Year” means (i) the period beginning on the date of entry into force of an Agreement and ending on the last day of the then-current Fiscal Year, and (ii) each period thereafter beginning on the first day of the Fiscal Year and ending on the last day thereof, provided, however, that if the date of entry into force of the Agreement falls after the midpoint of the Fiscal Year, Project Year 1 shall continue through the following Fiscal Year.

“Recipient” means the party designated as such in an Agreement.

“Special Drawing Rights” or “SDR” mean special drawing rights as valued from time to time by the International Monetary Fund in accordance with its Articles of Agreement.

“Subsidiary Agreement” means any agreement or arrangement by which (i) the whole or part of the proceeds of the Financing are made available to a Project Party and/or (ii) a Project Party undertakes to carry out the Project, in whole or in part.

“Target Population” means the group of people intended to benefit from a Project.

“Taxes” means all imposts, levies, fees, tariffs and duties of any kind imposed, levied, collected, withheld or assessed by the Project Member State or any political subdivision thereof at any time.

“US dollar” or “USD” means the currency of the United States of America.

“Value Date” means, in respect of any withdrawal from the Loan Account, the date on which such withdrawal is deemed made in accordance with Section 4.06 and, in respect of any Loan Service Payment, the date on which such Loan Service Payment is deemed made in accordance with Section 5.04.

“Yen” or “JPY” means the currency of Japan.

Section 2.02. Use of Terms

As used in these General Conditions and any Agreement, except as the context otherwise requires, terms in the singular include the plural, terms in the plural include the singular, and masculine pronouns include the feminine.

Section 2.03. References and Headings

Unless otherwise indicated, references in these General Conditions to Articles or Sections refer to Articles or Sections of these General Conditions. The headings of the Articles and Sections and in the Table of Contents of these General Conditions are given for convenience of reference only and do not form an integral part of these General Conditions.

Article III - THE COOPERATING INSTITUTION

Section 3.01. Appointment of the Cooperating Institution

A Financing Agreement may provide that a Cooperating Institution will be appointed to administer the Financing and supervise the Project.

Section 3.02. Responsibilities of the Cooperating Institution

If appointed, the Cooperating Institution shall be responsible for:

(a) facilitating Project implementation by assisting the Borrower/Recipient and the Project Parties in interpreting and complying with the Financing Agreement;

(b) reviewing the Borrower/Recipient′s withdrawal applications to determine the amounts which the Borrower/Recipient is entitled to withdraw from the Loan and/or Grant Account;

(c) reviewing and approving on a no-objection basis the procurement of goods, civil works and services for the Project financed by the Financing;

(d) monitoring compliance with the Financing Agreement, bringing any substantial non- compliance to the attention of the Fund and recommending remedies therefor; and

(e) carrying out such other functions to administer the Financing and supervise the Project as may be set forth in the Cooperation Agreement.

Section 3.03. Cooperation Agreement

If a Cooperating Institution is appointed, the Fund shall enter into a Cooperation Agreement with the Cooperating Institution setting forth the terms and conditions of its appointment.

Section 3.04. Actions by the Cooperating Institution

Any action by the Cooperating Institution in accordance with a Cooperation Agreement shall be regarded and treated by the Borrower/Recipient, the Guarantor and the Project Parties as an action taken by the Fund.

Section 3.05. Cooperation by the Borrower/Recipient and the Project Parties

The Borrower/Recipient, the Guarantor and the Project Parties shall take all necessary or appropriate steps to enable the Cooperating Institution to carry out its responsibilities smoothly and effectively.

Article IV - LOAN ACCOUNT AND WITHDRAWALS

Section 4.01. Loan and Grant Accounts

Upon the entry into force of a Financing Agreement, the Fund shall open a Loan Account and/or a Grant Account denominated in the Denomination Currency in the name of the Borrower/Recipient and credit the principal amount of the Loan and/or the amount of the Grant, respectively thereto.

Section 4.02. Withdrawals from the Loan and Grant Accounts

(a) Between the date of entry into force of the Agreement and the Financing Closing Date, the Borrower/Recipient may request withdrawals from the Loan Account and/or Grant Account of amounts paid or to be paid for Eligible Expenditures. The Fund shall notify the Borrower/Recipient of the minimum amount for withdrawals.

(b) No withdrawal shall be made from the Loan and/or Grant Accounts until the first AWPB has been approved by the Fund and the Fund has determined that all other conditions specified in the Financing Agreement as additional general conditions precedent to withdrawal have been fulfilled. The Financing Agreement may also establish additional specific conditions precedent to withdrawal applicable to particular categories or activities. Withdrawals to meet the costs of starting up the Project may be made from the date of entry into force of the Agreement, subject to any limits established in the Financing Agreement.

Section 4.03. Special Commitments

Upon the Borrower/Recipient′s request, the Fund may agree to make an irrevocable commitment to pay amounts necessary to guarantee a Letter of Credit used to finance Eligible Expenditures (a “Special Commitment”) on such terms and conditions as the Borrower/Recipient and the Fund may agree.

Section 4.04. Applications for Withdrawal, or Special Commitment

(a) When the Borrower/Recipient wishes to request a withdrawal from the Loan and/ or Grant Accounts or a Special Commitment, the Borrower/Recipient shall deliver to the Fund an application in the form specified therefor by the Fund, together with such documents and other evidence in support of such application as the Fund shall reasonably request.

(b) The Borrower/Recipient shall furnish to the Fund satisfactory evidence of the authority of the person or persons authorised to sign such applications and the authenticated specimen signature of each such person.

(c) Each such application, and the accompanying documents and other evidence, must be sufficient to satisfy the Fund that the Borrower/Recipient is entitled to such withdrawal or Special Commitment.

(d) If the Borrower/Recipient requests a withdrawal from the Loan and/or Grant Accounts for amounts to be paid thereafter for Eligible Expenditures, the Fund may, before transferring such amount to the Borrower/Recipient, require that the Borrower/ Recipient provide evidence satisfactory to the Fund showing that previous withdrawals have been properly spent for Eligible Expenditures. The Fund may place reasonable limits on the amount that the Borrower/Recipient may withdraw in advance or the overall balance of such advance withdrawals, and may require that such amounts be held in a freely convertible currency and/or be held in an account designated for that purpose in a bank acceptable to the Fund.

Section 4.05. Transfer by the Fund

Upon receipt of an authenticated and satisfactory application for withdrawal from the Borrower/Recipient, the Fund shall transfer to the account specified by the Borrower/ Recipient the amount specified therein.

Section 4.06. Value Dates of Withdrawals

A withdrawal shall be deemed made as of the day on which the relevant financial institution debits the account of the Fund chosen for the purpose of disbursing such withdrawal.

Section 4.07. Allocations and Reallocations of Financing Proceeds

(a) A Financing Agreement may allocate the amount of the Financing to categories of Eligible Expenditures and specify the percentages of such Eligible Expenditures to be financed by the Financing.

(b) The Fund shall monitor the uses of the Financing in order to determine when the allocation to a category has been depleted or is about to be depleted.

(c) If the Fund determines that the amount of the Financing allocated in the Financing Agreement to a category of Eligible Expenditures is or will be insufficient, the Fund may, by notice to the Borrower/Recipient:

(i) reallocate to such category amounts of the Financing allocated to another category to the extent required to meet the estimated shortfall; and/or

(ii) if such reallocation will not fully meet the estimated shortfall, reduce the percentage of such Eligible Expenditures to be financed by the Financing.

Section 4.08. Eligible Expenditures

(a) The Financing shall be used exclusively to finance expenditures meeting each of the following eligibility requirements:

(i) The expenditure shall meet the reasonable cost of goods, works and services required for the Project and covered by the relevant AWPB and procured in conformity with the Fund′s Procurement Guidelines.

(ii) The expenditure shall be incurred during the Project Implementation Period, except that expenditures to meet the costs of winding up the Project may be incurred after the Project Completion Date and before the Financing Closing Date.

(iii) The expenditure shall be incurred by a Project Party.

(iv) If the Agreement allocates the amount of the Financing to categories of Eligible Expenditures and specifies the percentages of such Eligible Expenditures to be financed by the Financing, the expenditure must relate to a category whose allocation has not been depleted, and shall be eligible only up to the percentage applicable to such category.

(v) The expenditure shall be otherwise eligible in accordance with the terms of the Financing Agreement.

(b) The Fund may from time to time exclude certain types of expenditure from eligibility.

(c) Any payment prohibited by a decision of the United Nations Security Council taken under Chapter VII of the Charter of the United Nations, shall not be eligible for financing by the Financing.

(d) Any payments to a person or an entity, or for any goods, works or services, if making or receiving such payment constitutes a coercive, collusive, corrupt or fraudulent practice by any representative of the Borrower/Recipient or any Project Party, shall not be eligible for financing by the Financing.

Section 4.09. Refund of Withdrawals

If the Fund determines that any amount withdrawn from the Loan and/or Grant Accounts was used to finance an expenditure other than an Eligible Expenditure or will not be needed thereafter to finance Eligible Expenditures, the Borrower/Recipient shall promptly refund such amount to the Fund upon instruction by the Fund.

Except as the Fund shall otherwise agree, such refund shall be made in the currency used by the Fund to disburse such withdrawal. The Fund shall credit the Loan and/or Grant Accounts with the amount so refunded.

Article V - LOAN SERVICE PAYMENTS

Section 5.01. Lending Terms

(a) Loans provided by the Fund shall be extended on the terms specified in the Financing Agreement and determined in accordance with the applicable lending policies of the Fund.

(b) Interest and service charge shall accrue on the outstanding principal amount of the Loan and shall be computed on the basis of a 360-day year of twelve (12) 30-day months. The Fund shall provide the Borrower with a statement of interest and/or service charge due generated on the billing due dates specified in the Financing Agreement and the Borrower shall effect payment within thirty (30) days of such date.

(c) The Fund shall publish the IFAD Reference Interest Rate applicable in each interest period.

(d) During the grace period, interest and/or service charge shall accrue on the outstanding principal amount of the Loan and shall be payable semi-annually on the billing due dates, but no payments of principal shall be due.

Section 5.02. Repayments and Prepayments of Principal

(a) The Borrower shall repay the aggregate principal amount of the Loan withdrawn from the Loan Account in semi-annual instalments, calculated on the basis of the total principal amount over the maturity period minus the grace period. The Fund shall inform the Borrower of the dates and amounts of the payments as soon as possible after the start of the period of maturity of the Loan. If the total principal amount of the Loan is not fully disbursed, upon cancellation of the undisbursed principal amount the schedule of repayments shall be recalculated on the basis of the amount actually disbursed minus principal repayments already received by the Fund.

(b) The Borrower shall have the right to prepay all or any part of the principal amount of the Loan, provided that the Borrower pays all accrued and unpaid interest and/or service charges on the amount to be prepaid as of the prepayment date. All prepayments shall be credited against the remaining Loan instalments in such manner as the Borrower and the Fund shall agree.

Section 5.03. Manner and Place of Payment

All Loan Service Payments shall be paid to such account or accounts in such bank or other financial institution as the Fund may designate by notice to the Borrower.

Section 5.04. Value Dates of Loan Service Payments

Loan Service Payments shall be deemed made as of the day on which the account of the Fund designated therefor is properly credited with such amount. If the amount is credited within the period indicated in Section 5.01(b), the value date of payment shall be the billing due date. If the amount is credited after the period indicated in Section 5.01(b), the value date of payment shall be the day the amount is credited.

Article VI - CURRENCY PROVISIONS

Section 6.01. Currencies for Withdrawals

(a) Withdrawals from the Loan and/or Grant Accounts shall be made in the respective currencies in which expenditures to be financed out of the proceeds of the Financing have been paid or are payable, or in such currency or currencies as the Fund may select.

(b) The Loan and/or Grant Accounts shall be debited by the amount withdrawn in the Denomination Currency or, if the amount so withdrawn is disbursed in another currency, its equivalent in the Denomination Currency as of the value date of withdrawal.

Section 6.02. Loan Service Payment Currency

All Loan Service Payments shall be made in the Loan Service Payment Currency specified in the Financing Agreement. The amount of any Loan Service Payment shall be converted into the Denomination Currency, if necessary, at the rate applicable on the value date of payment in accordance with the provisions of Section 6.03.

Section 6.03. Valuation of Currencies

The rate of conversion from one currency to another, or from a currency to Special Drawing Rights, shall be the published rate of the International Monetary Fund available to the Fund on the value date of payment or withdrawal, as the case may be, or such other rate as the Fund may notify to the Borrower/Recipient.

Article VII - IMPLEMENTATION OF THE PROJECT

Section 7.01. Project Implementation

(a) The Borrower and each of the Project Parties shall carry out the Project:

(i) with due diligence and efficiency;

(ii) in conformity with appropriate administrative, engineering, financial, economic, operational, environmental and agricultural development practices (including rural development practices) and good governance;

(iii) in accordance with plans, design standards, specifications, procurement and work schedules and construction methods agreed by the Borrower/Recipient and the Fund;

(iv) in accordance with the provisions of the relevant Agreement, the AWPBs, and the Procurement Plan;

(v) in accordance with the policies, criteria and regulations relating to agricultural development financing laid down from time to time by the Governing Council and Executive Board of the Fund; and

(vi) so as to ensure the sustainability of its achievements over time.

(b) (i) Projects shall be implemented on the basis of an Annual Workplan and Budget (AWPB). The Lead Project Agency shall prepare a draft Project AWPB for each Project based, to the extent appropriate, on the draft AWPBs prepared by the various Project Parties. Each draft Project AWPB shall include, among other things, a detailed description of planned Project activities during the coming Project Year, a Procurement Plan, and the sources and uses of funds.

(ii) Before each Project Year, the Lead Project Agency shall, if required, submit the draft Project AWPB to the oversight body designated by the Borrower/Recipient for its review. When so reviewed, the Lead Project Agency shall submit the draft Project AWPB to the Fund for comments no later than sixty (60) days before the beginning of the relevant Project Year. If the Fund does not comment on the draft Project AWPB within thirty (30) days of receipt, the AWPB shall be deemed acceptable to the Fund.

(iii) The Lead Project Agency shall adopt the Project AWPB in the form accepted by the Fund.

(iv) The Lead Project Agency may propose adjustments in the Project AWPB during the relevant Project Year, which shall become effective after acceptance by the Fund.

Section 7.02. Availability of Financing Proceeds

(a) The Borrower/Recipient shall make the proceeds of the Financing available to the Project Parties upon terms and conditions specified in the Financing Agreement or otherwise approved by the Fund for the purpose of carrying out the Project.

(b) The Financing Agreement may provide that the Borrower/Recipient open and maintain one or more Project Account(s) for Project operations in a bank acceptable to the Fund, and/or (ii) one or more Designated Account(s) to receive advances in accordance with Section 4.04(d). The Borrower/Recipient shall identify the Project Party responsible for operating such account or accounts. Unless otherwise specified in the Financing Agreement, such accounts, shall be operated in accordance with the applicable rules and regulations of the Project Party responsible therefor.

Section 7.03. Availability of Additional Resources

In addition to the proceeds of the Financing, the Borrower/Recipient shall make available to the Project Parties such funds, facilities, services and other resources as may be required to carry out the Project in accordance with Section 7.01.

Section 7.04. Coordination of Activities

In order to ensure that the Project is carried out in accordance with Section 7.01, the Borrower/Recipient shall ensure that the relevant activities of its ministries, departments and agencies, and those of each Project Party, are conducted and coordinated in accordance with sound administrative policies and procedures.

Section 7.05. Procurement

(a) Procurement of goods, works and services financed by the Financing shall be carried out in accordance with the provisions of the Borrower/Recipient′s procurement regulations, to the extent such are consistent with the IFAD Procurement Guidelines. Each Procurement Plan shall identify procedures which must be implemented by the Borrower/Recipient in order to ensure consistency with the IFAD Procurement Guidelines.

(b) By notice to the Borrower/Recipient, the Fund may require that all bidding documents and contracts for procurement of goods, works and services financed by the Financing include provisions requiring bidders, suppliers, contractors, sub-contractors and consultants to:

(i) allow full inspection by the Fund of all bid documentation and related records;

(ii) maintain all documents and records related to the bid or contract for three years after completion of the bid or contract; and

(iii) cooperate with agents or representatives of the Fund carrying out an audit or investigation.

Section 7.06. Use of Goods and Services

All goods, services and buildings financed by the Financing shall be used exclusively for the purposes of the Project.

Section 7.07. Maintenance

The Borrower/Recipient shall ensure that all facilities and civil works used in connection with the Project shall at all times be properly operated and maintained and that all necessary repairs of such facilities shall be made promptly as needed.

Section 7.08. Insurance

(a) The Borrower/Recipient or the Lead Project Agency shall insure all goods and buildings used in the Project against such risks and in such amounts as shall be consistent with sound commercial practice.

(b) The Borrower/Recipient or the Lead Project Agency shall insure the goods imported for the Project which are financed by the Financing against hazards incident to the acquisition, transportation and delivery thereof to the place of use or installation in accordance with sound commercial practice.

Section 7.09. Subsidiary Agreements

(a) The Borrower/Recipient shall ensure that no Project Party shall enter into any Subsidiary Agreement, or consent to any modification thereof, inconsistent with the Financing Agreement or the Project Agreement.

(b) The Borrower/Recipient and each Project Party shall exercise its rights under any Subsidiary Agreement to which it is party to ensure that the interests of the Borrower/ Recipient and the Fund are fully protected and the Project is carried out in accordance with Section 7.01.

(c) No provision of any Subsidiary Agreement to which the Borrower/Recipient is a party shall be assigned, waived, suspended, abrogated, amended or otherwise modified without the prior consent of the Fund.

(d) The Borrower/Recipient shall bear any foreign exchange risk under any Subsidiary Agreement to which it is party, unless otherwise agreed by the Fund.

Section 7.10. Performance of the Agreements

(a) The Borrower/Recipient shall be fully responsible to the Fund for the due and timely performance of all obligations ascribed to it, the Lead Project Agency and all other Project Parties under any Agreement. To the extent any Project Party enjoys legal personality separate from the Borrower/Recipient, any reference to an obligation of such Project Party in an Agreement shall be deemed an obligation of the Borrower/ Recipient to ensure that such Project Party performs such obligation. The acceptance by any Project Party of any obligation ascribed to it in an Agreement shall not affect the responsibilities and obligations of the Borrower/Recipient.

(b) The Borrower/Recipient shall take all necessary or appropriate action within its powers to enable and assist the Lead Project Agency and any other Project Party to perform its obligations under an Agreement. The Borrower/Recipient shall not take, and shall not permit any third party to take, any action that would interfere with such performance.

Section 7.11. Key Project Personnel

The Borrower/Recipient or the Lead Project Agency shall appoint the Project Director and all other key Project personnel in the manner specified in the Agreement or otherwise approved by the Fund. All key Project personnel shall have qualifications and experience specified in the Agreement or otherwise approved by the Fund. The Borrower/Recipient shall exercise best efforts to ensure continuity in key Project personnel throughout the Project Implementation Period. The Borrower/Recipient or the Lead Project Agency shall insure key Project personnel against health and accident risks to the extent consistent with sound commercial practice or its customary practice in respect of its national civil service, whichever is appropriate.

Section 7.12. Project Parties

Each Project Party shall, as required to carry out the Project in accordance with Section 7.01:

(a) promptly take all necessary or appropriate action to maintain its corporate existence and to acquire, maintain and renew its rights, properties, powers, privileges and franchises;

(b) employ competent and experienced management and personnel;

(c) operate, maintain and replace its plant, equipment and other properties; and

(d) not sell, lease or otherwise dispose of any of the Project′s assets, except in the normal course of business or as agreed by the Fund.

Section 7.13. Allocation of Project Resources

The Borrower/Recipient and the Project Parties shall ensure that the resources and benefits of the Project, to the fullest extent practicable, are allocated among the Target Population using gender disaggregated methods.

Section 7.14. Environmental Factors

The Borrower/Recipient and the Project Parties shall take all reasonable measures to ensure that the Project is carried out with due diligence in regard to environmental factors and in conformity with national environmental laws and any international treaties to which the Project Member State may be party. In particular, the Project Parties shall maintain appropriate pest management practices under the Project and, to that end, shall comply with the principles of the International Code of Conduct on the Distribution and Use of Pesticides of the Food and Agriculture Organisation of the United Nations (FAO), as amended, and ensure that pesticides procured under the Project do not include any pesticide formulation which would be classified as Extremely Hazardous (Class Ia) or Highly Hazardous (Class Ib) according to The WHO Recommended Classification of Pesticides by Hazard, as amended.

Section 7.15. Relending Rates

During the Project Implementation Period, the Borrower/Recipient and the Fund shall periodically review the interest rates applicable to any credits extended to members of the Target Population which are financed (directly or indirectly) by the Financing. These reviews shall be conducted jointly with the objective of reaching or maintaining positive interest rates over time. The Borrower/Recipient shall take any appropriate measures, consistent with its policies and the Fund′s policies, to achieve that objective. Among such measures, the Borrower/Recipient and each Project Party extending such credits shall endeavour to minimise its costs. For purposes of this Section, the term “positive interest rate” means, in respect of any credit extended by any Project Party, an interest rate which, after giving effect to inflation, permits such Project Party to recover its costs and achieve sustainability.

Section 7.16. Project Completion

The Borrower/Recipient shall ensure that the Project Parties complete the implementation of the Project by the Project Completion Date. The Fund and the Borrower/Recipient shall agree on the disposition of the assets of the Project upon its completion.

Article VIII - IMPLEMENTATION REPORTING AND INFORMATION

Section 8.01. Implementation Records

The Borrower/Recipient shall ensure that the Project Parties maintain records and documents adequate to reflect their operations in implementing the Project (including, but not limited to, copies or originals of all correspondence, minutes of meetings and all documents relating to procurement) until the Project Completion Date, and shall retain such records and documents for at least ten (10) years thereafter.

Section 8.02. Monitoring of Project Implementation

The Lead Project Agency shall:

(a) establish and thereafter maintain an appropriate information management system in accordance with the Fund′s operational guidelines and Results Measurement Framework;

(b) during the Project Implementation Period, gather all data and other relevant information (including any and all information requested by the Fund) necessary to monitor the progress of the implementation of the Project and the achievement of its objectives; and

(c) during the Project Implementation Period and for at least ten (10) years thereafter, adequately store such information, and, promptly upon request, make such information available to the Fund and its representatives and agents.

Section 8.03. Progress Report and Mid-Term Reviews

(a) The Lead Project Agency, or other party so designated in the relevant Agreement, shall furnish to the Fund periodic progress reports on the Project, in such form and substance as the Fund shall reasonably request. At a minimum, such reports shall address (i) quantitative and qualitative progress made in implementing the Project and achieving its objectives, (ii) problems encountered during the reporting period, (iii) steps taken or proposed to be taken to remedy these problems, and (iv) the proposed programme of activities and the progress expected during the following reporting period.

(b) If specified in an Agreement, the Lead Project Agency and the Fund shall jointly carry out a review of Project implementation no later than the midpoint of the Project Implementation Period (the “Mid-Term Review”) based on terms of reference prepared by the Lead Project Agency and approved by the Fund. Among other things, the Mid- Term Review shall consider the achievement of Project objectives and the constraints thereon, and recommend such reorientation as may be required to achieve such objectives and remove such constraints.

(c) The Borrower/Recipient shall ensure that the recommendations resulting from the Mid-Term Review are implemented within the specified time therefor and to the satisfaction of the Fund. Such recommendations may result in modifications to the Agreement or cancellation of the Financing.

Section 8.04. Completion Report

As promptly as possible after the Project Completion Date but in any event no later than the Financing Closing Date, the Borrower/Recipient shall furnish to the Fund a report on the overall implementation of the Project, in such form and substance as may be specified in the Financing Agreement or as the Fund shall reasonably request. At a minimum, such report shall address (i) the costs and benefits of the Project, (ii) the achievement of its objectives, (iii) the performance by the Borrower/Recipient, the Project Parties, the Fund of their respective obligations under the Agreement and (iv) lessons learned from the foregoing.

Section 8.05. Plans and Schedules

The Project Parties shall furnish to the Fund promptly upon their preparation, such plans, design standards, reports, contract documents, specifications and schedules relating to the Project, and any material modifications subsequently made therein.

Section 8.06. Other Implementation Reports and Information

In addition to the reports and information required by the foregoing provisions of this Article:

(a) The Borrower/Recipient and the Project Parties shall promptly furnish to the Fund such other reports and information as the Fund shall reasonably request on any matter relating to the Project or any Project Party.

(b) The Borrower/Recipient and the Project Parties shall promptly inform the Fund of any condition that interferes with, or threatens to interfere with, the implementation of the Project or the achievement of its objectives. In particular, the Borrower/Recipient and the Project Parties shall promptly notify the Fund of any allegations of fraud and/or corruption that are received in relation to any of the Project activities.

Article IX - FINANCIAL REPORTING AND INFORMATION

Section 9.01. Financial Records

The Project Parties shall maintain separate accounts and records in accordance with consistently maintained appropriate accounting practices adequate to reflect the operations, resources and expenditures related to the Project until the Financing Closing Date, and shall retain such accounts and records for at least ten (10) years thereafter.

Section 9.02. Financial Statements

The Borrower/Recipient shall deliver to the Fund detailed financial statements of the operations, resources and expenditures related to the Project for each Fiscal Year prepared in accordance with standards and procedures acceptable to the Fund and deliver such financial statements to the Fund within four (4) months of the end of each Fiscal Year.

Section 9.03. Audit of Accounts

The Borrower/Recipient shall:

(a) each Fiscal Year, have the accounts relating to the Project audited in accordance with auditing standards acceptable to the Fund and the IFAD Guidelines on Project Audits by independent auditors acceptable to the Fund;

(b) within six (6) months of the end of each Fiscal Year, furnish to the Fund a certified copy of the audit report. The Borrower/Recipient shall submit to the Fund the reply to the management letter of the auditors within one month of receipt thereof;

(c) if the Borrower/Recipient does not timely furnish any required audit report in satisfactory form and the Fund determines that the Borrower/Recipient is unlikely to do so within a reasonable period, the Fund may engage independent auditors of its choice to audit the accounts relating to the Project. The Fund may finance the cost of such audit by withdrawal from the Loan and/or Grant Accounts.

Section 9.04. Other Financial Reports and Information

In addition to the reports and information required by the foregoing provisions of this Article:

(a) The Borrower/Recipient and the Project Parties shall promptly furnish to the Fund such other reports and information as the Fund shall reasonably request on any financial matter relating to the Financing or the Project or any Project Party.

(b) The Borrower/Recipient and the Guarantor shall promptly inform the Fund of any condition that interferes with, or threatens to interfere with, the maintenance of Loan Service Payments.

(c) The Project Member State shall promptly furnish to the Fund all information that the Fund may reasonably request with respect to financial and economic conditions in its territory, including its balance of payments and its external debt.

Article X - COOPERATION

Section 10.01. Cooperation, Generally

The Fund, the Cooperating Institution and each Project Party shall cooperate fully to ensure that the objectives of the Project are achieved.

Section 10.02. Exchange of Views

The Fund, the Borrower/Recipient and the Lead Project Agency shall, from time to time at the request of any one of them, exchange views on the Project, the Financing, or any Project Party.

Section 10.03. Visits, Inspections and Enquiries

The Borrower/Recipient and the Project Parties shall enable agents and representatives of the Fund from time to time to:

(a) visit and inspect the Project, including any and all sites, works, equipment and other goods used for Project-related purposes;

(b) examine the originals and take copies of any data, accounts, records and documents relevant to the Financing, the Project, or any Project Party; and

(c) visit, communicate with and make enquiries of all Project personnel and any staff member of any Project Party.

Section 10.04. Audits Initiated by the Fund

The Borrower/Recipient and the Project Parties shall permit auditors designated by the Fund to audit the records and accounts relating to the Project. The Borrower/Recipient and the Project Parties shall cooperate fully with any such audit and accord the auditors the full rights and privileges of agents or representatives of the Fund under Section 10.03. With the exception of audits carried out in accordance with Section 9.03(c), the Fund shall bear the cost of such audits.

Section 10.05. Evaluations of the Project

(a) The Borrower/Recipient and each Project Party shall facilitate all evaluations and reviews of the Project that the Fund may carry out during the Project Implementation Period and for ten (10) years thereafter.

(b) As used in this Section, the term “facilitate”, in addition to full compliance with Articles VIII, IX and this Article X in respect of such evaluations and reviews, includes providing timely logistical support by making available Project personnel and equipment and promptly taking such other action as the Fund may request in connection with such evaluations and reviews, but does not include incurring out-of-pocket expenses.

Section 10.06. Country Portfolio Reviews

The Project Member State shall permit the agents and representatives of the Fund, in consultation with the Project Member State, to enter its territory from time to time to exchange views with such persons, visit such sites, and examine such data, records and documents as the Fund may reasonably request in order to carry out a general review of all projects and programmes financed, in whole or in part, by the Fund in its territory and all financing extended by the Fund to the Project Member State. The Project Member State shall ensure that all concerned parties cooperate fully in such review.

Article XI - TAXATION

Section 11.01. Taxation

(a) The Financing and all Loan Service Payments shall be exempt from all Taxes, and all Loan Service Payments shall be made free and clear of Taxes.

(b) The Agreement shall be exempt from any Taxes on signature, delivery or registration.

(c) The use of any proceeds of the Financing to pay for Taxes is subject to the Fund′s policy of requiring economy and efficiency in the use of its Financing. Therefore, if the Fund at any time determines that the amount of any such Tax is excessive, discriminatory or otherwise unreasonable, the Fund may, by notice to the Borrower/Recipient, reduce the percentages of Eligible Expenditures to be financed by the Financing which are specified in the Financing Agreement.

Article XII - REMEDIES OF THE FUND

Section 12.01. Suspension by the Fund

(a) Whenever any of the following events has occurred and is continuing, the Fund may suspend, in whole or in part, the right of the Borrower/Recipient to request withdrawals from the Loan and/or Grant Accounts:

(i) The Borrower has failed to make any Loan Service Payment when due, whether or not the Guarantor or any other third party has made such Loan Service Payment.

(ii) The Borrower/Recipient has failed to make any payment due under any other Financing Agreement, Guarantee Agreement, or other financial obligation of any kind of the Borrower/Recipient to the Fund, whether or not any third party has made such payment.

(iii) The Guarantor has failed to make any Loan Service Payment when due.

(iv) The Guarantor has failed to make any payment due under any other Financing or Guarantee Agreement between the Guarantor and the Fund, or other financial obligation of any kind of the Guarantor to the Fund.

(v) The Fund has determined that the Project has failed to fulfil, or is unlikely to fulfil in a timely manner, its purposes as stated in the Agreement.

(vi) The Fund has determined that a situation has arisen which may make it improbable that the Project can be successfully carried out or that any Project Party will be able to perform any of its obligations under any Agreement.

(vii) The Project Member State has been suspended from membership in the Fund or ceased to be a Member State; or the Project Member State has delivered a notice of its intention to withdraw from the Fund.

(viii) Any representation made by the Borrower/Recipient, the Guarantor, or any Project Party in any Agreement, or any statement furnished in connection therewith and relied upon by the Fund in making the Financing, is incorrect or misleading in any material respect.

(ix) If the Borrower/Recipient is not a Member State, the Fund has determined that any material adverse change in the condition of the Borrower/Recipient has occurred.

(x) Either the Borrower/Recipient or the Guarantor has been unable to pay its debts generally as they come due.

(xi) Any competent authority has taken action for the dissolution of the Lead Project Agency or suspension of its operations.

(xii) Any competent authority has taken action for the dissolution of any Project Party (other than the Lead Project Agency) or suspension of its operations, and the Fund has determined that such dissolution or suspension is likely to have a material adverse effect on the Project.

(xiii) The Borrower/Recipient has failed to make any funds, facilities, services and other resources available to the Project Parties in accordance with Sections 7.02 or 7.03.

(xiv) The Fund has not received any audit report or other document referred to in Article VIII (Implementation Reporting and Information) or Article IX (Financial Reporting and Information) within the time prescribed therefor in the Agreements, or the audit report is not fully satisfactory to the Fund, or the Borrower/Recipient or any other Project Party has otherwise failed to perform its obligations under Article VIII or IX.

(xv) The Lead Project Agency or any other Project Party has failed to perform any of its obligations under a Project Agreement.

(xvi) The Borrower/Recipient or the Lead Project Agency has failed to perform any of its obligations under any Subsidiary Agreement.

(xvii) Any Project Party (other than the Lead Project Agency) has failed to perform any of its obligations under any Subsidiary Agreement, and the Fund has determined that such failure has had, or is likely to have, a material adverse effect on the Project.

(xviii) Any Subsidiary Agreement or any provision thereof has been assigned, waived, suspended, terminated, amended or otherwise modified without the prior consent of the Fund, and the Fund has determined that such assignment, waiver, suspension, termination, amendment or modification has had, or is likely to have, a material adverse effect on the Project.

(xix) The Fund has suspended, in whole or in part, the right of the Borrower/Recipient or the Guarantor to request or make withdrawals under any other Agreement with the Fund.

(xx) The Borrower/Recipient or any Project Party has failed to perform any other obligation under the Financing Agreement or any other Agreement.

(xxi) The Fund determines that any amount of the Financing has been used to finance an expenditure other than an Eligible Expenditure.

(xxii) The Fund, after consultation with the Borrower/Recipient, has determined that the material benefits of the Project are not adequately reaching the Target Population, or are benefiting persons other than the Target Population to the detriment of the Target Population.

(xxiii) The Borrower/Recipient has defaulted in the performance of any Special Covenant set forth in the relevant Agreement, and such default has continued unremedied for a period of thirty (30) days, and the Fund has determined that such default has had, or is likely to have, a material adverse effect on the Project.

(xxiv) The Fund has given notice to the Borrower/Recipient that credible allegations of coercive, collusive, corrupt or fraudulent practices in connection with the Project have come to the attention of the Fund, and the Borrower/Recipient has failed to take timely and appropriate action to address the matters to the satisfaction of the Fund.

(xxv) Procurement has not been or is not being carried out in accordance with the IFAD Procurement Guidelines.

(xxvi) Upon the occurrence or non-occurrence, as the case may be, of any event specified in the relevant Agreement as an additional ground for suspension.

Such suspension shall become effective upon dispatch of notice by the Fund to the Borrower/Recipient and the Guarantor. Such suspension shall continue until the Fund has notified the Borrower/Recipient that the Borrower/Recipient′s right to request withdrawals has been restored in whole or in part.

(b) If the audit report required by Section 9.03 has not been submitted to the Fund within six (6) months of the date on which it is due, the right of the Borrower/Recipient to request withdrawals from the Loan and/or Grant Accounts shall be suspended.

Section 12.02. Cancellation by the Fund

(a) If any of the following events has occurred, the Fund may cancel in whole or in part the remaining amounts in the Loan and/or Grant Accounts:

(i) The right of the Borrower/Recipient to request withdrawals from the Loan and/ or Grant Accounts has been suspended under Section 12.01 with respect to any amount of the Financing for a continuous period of at least thirty (30) days.

(ii) The Fund determines after consultation with the Borrower/Recipient that any amount of the Financing will not be required to finance the Project.

(iii) After consultation with the Borrower/Recipient, the Fund determines that coercive, collusive, corrupt or fraudulent practices were engaged in by representatives of the Borrower/Recipient or any Project Party in respect of any expenditures incurred during the procurement or the carrying out of any contract financed by the Financing, and that the Borrower/Recipient has failed to take timely and appropriate action to remedy the situation.

(iv) The Fund has determined that any amount of the Financing has been used to finance an expenditure other than an Eligible Expenditure and the Borrower/ Recipient has failed to promptly refund such amount to the Fund upon the Fund′s instructions.

(v) The Fund has received any notice from the Guarantor terminating its obligations under the Guarantee Agreement.

(vi) The Mid-Term Review has recommended that the Project be terminated.

(vii) Upon the occurrence or non-occurrence, as the case may be, of any event specified in the relevant Financing Agreement as an additional ground for cancellation.

Such cancellation shall be effective upon dispatch of notice to the Borrower/Recipient.

(b) Any amounts remaining in the Loan and/or Grant Accounts shall be cancelled on the Financing Closing Date, except for any unwithdrawn balances of applications for withdrawal received by the Financing Closing Date and any amounts subject to undischarged Special Commitments, which shall be cancelled upon the full discharge of such Special Commitments.

Section 12.03. Cancellation by the Borrower/Recipient

After consultation with the Fund and with the concurrence of the Guarantor, the Borrower/ Recipient may by notice to the Fund cancel any unwithdrawn amount of the Financing, except for amounts subject to Special Commitment. Such cancellation shall become effective upon acknowledgement thereof by the Fund.

Section 12.04. Applicability of Cancellation or Suspension

(a) No cancellation or suspension shall apply to amounts subject to any Special Commitment made by the Fund, unless such Special Commitment expressly provides otherwise.

(b) Except as expressly provided in this Article, all provisions of the Financing Agreement shall continue in full force and effect notwithstanding any cancellation or suspension.

Section 12.05. Acceleration of Maturity

If at any time any of the following events has occurred, at any subsequent time during the continuance thereof, the Fund may declare the principal amount of the Loan then outstanding, together with all accrued interest and other charges thereon, to be immediately due and payable:

(a) any event specified in paragraphs (v) through (xii), inclusive, of Section 12.01 has occurred;

(b) the Fund has declared the principal of any other loan to the Borrower/Recipient or the Guarantor then outstanding to be immediately due and payable;

(c) any event specified in paragraphs (i) through (iv), inclusive, of Section 12.01 has occurred and continues for a period of thirty (30) days;

(d) any event specified in paragraphs (xiii) though (xxvi), inclusive, of Section 12.01 has occurred and continues for a period of sixty (60) days after notice thereof has been given by the Fund to the Borrower/Recipient and the Guarantor; or

(e) any other event specified in the Financing Agreement for the purposes of this Section has occurred and has continued for the period, if any, specified in the Financing Agreement.

Such declaration shall be effective upon dispatch of notice to the Borrower/Recipient and the Guarantor, whereupon such principal, interest and other charges shall become due and payable immediately.

Section 12.06. Other Remedies

The remedies of the Fund set forth in this Article shall not limit or otherwise prejudice any rights or remedies available to the Fund otherwise.

Article XIII - ENTRY INTO FORCE AND TERMINATION

Section 13.01. Entry into Force

An Agreement or amendment thereto shall enter into force on the date when both the Fund and the Borrower/Recipient have signed it, unless the Agreement states that it is subject to ratification, in which case the Agreement shall enter into force on the date the Fund receives an instrument of ratification.

Section 13.02. Termination before Withdrawal

The Fund may terminate the Agreement and all rights and obligations of the parties thereunder if:

(a) before the date of first withdrawal from the Loan and/or Grant Accounts, any event of suspension specified in Section 12.01 has occurred; or

(b) before the date of first withdrawal from the Loan and/or Grant Accounts, the Borrower/ Recipient, the Guarantor or any other Project Party has taken any action inconsistent with the object and purpose of any Agreement.

Section 13.03. Termination upon Full Performance

An Agreement and all obligations of the parties thereunder shall terminate when the entire principal amount of the Loan withdrawn from the Loan Account and all interest and other charges which shall have accrued on the Loan have been paid and when all other obligations of the parties have been fully performed, or when agreed by the parties.

Article XIV - ENFORCEABILITY AND RELATED MATTERS

Section 14.01. Enforceability

The Agreement and the rights and obligations of the parties thereunder shall be valid and enforceable in accordance with their terms, regardless of any law to the contrary in the territory of the Project Member State.

Section 14.02. Failure to Exercise Rights

No delay in exercising, or failure to exercise, any right, power or remedy of any party under an Agreement shall impair any such right, power or remedy, or be construed as a waiver thereof. No action or omission of any party in respect of any default under an Agreement shall impair any right, power or remedy of such party in respect of any subsequent default.

Section 14.03. Rights and Remedies Cumulative

The rights and remedies of any party under an Agreement are cumulative and (except as otherwise expressly provided) not exclusive of any right or remedies that such party would otherwise have.

Section 14.04. Settlement of Disputes

Any dispute, controversy or claim arising out of, or in relation to, an Agreement, or the existence, interpretation, application, breach, termination, or invalidity thereof, shall be settled in accordance with the Arbitration Rules (2012) of the Permanent Court of Arbitration.

(a) The number of arbitrators shall be one (1).

(b) The place of arbitration shall be Rome, Italy.

(c) The language to be used in the arbitral proceedings shall be the language of the Agreement.

Section 14.05. Applicable Law

Any agreements subject to these General Conditions shall be governed by, and construed in accordance with, public international law.

Article XV - MISCELLANEOUS PROVISIONS

Section 15.01. Communications

All notices, requests and other communications given or made under an Agreement shall be in writing. Except as otherwise expressly provided in the Agreement, any such notice, request or other communication shall be deemed duly given or made when delivered by hand, mail, telegram, facsimile or email to the party to which it is given or made at such party′s address specified in the particular Agreement, or at such other address as such party may designate by notice to the other parties thereto.

Section 15.02. Language of Reporting

The Borrower/Recipient and the Project Parties shall deliver all reports and information to the Fund in the language of the Agreement, or in any other language agreed by the parties.

Section 15.03. Authority to Take Action

The representative or agent so designated in any Agreement, or another person duly authorized in writing by such representative or agent, may take any action and sign any document in connection with such Agreement on behalf of such party.

Section 15.04. Evidence of Authority

Upon request by the Fund, the Borrower/Recipient, the Guarantor and any Project Party shall furnish to the Fund sufficient evidence of the authority of the person or persons referred to in Section 15.03, and the authenticated specimen signature of each such person.

Section 15.05. Modifications of the Agreement

The parties may agree from time to time to modify the terms and conditions of an Agreement or the application of the Agreement. Any amendment to an Agreement shall enter into force in accordance with the provisions of Section 13.01 hereof, unless the parties agree otherwise.

Section 15.06. Change of Entity or Representative

If a party wishes to appoint any successor to, reassigns the responsibilities of, or changes the designation or address of any of the entities specified in an Agreement, such party shall give notice thereof to the other parties. Upon acceptance by the other parties, such new entity shall constitute the entity fully responsible for carrying out the functions assigned to its predecessor under the Agreement.

Section 15.07. Signature of the Agreement

The signature of an Agreement by a party shall constitute the expression of such party′s consent to be bound thereby, subject only to any ratification or authorisation required by a rule of internal law of fundamental importance and disclosed to the other party in writing before such signature.
