Prezentul ACORD DE GRANT (“Acordul”) este încheiat la 1 aprilie 2016 între Republica Moldova (“Beneficiarul”), CET-Nord SA (în continuare “Entitatea Proiectului”) şi Banca Europeană pentru Reconstrucţie şi Dezvoltare (denumită în continuare “Banca” sau “BERD”).
ÎNTRUCÂT:
(A) BERD este o instituţie financiară internaţională înfiinţată în conformitate cu dreptul internaţional conform Acordului de înfiinţare a Băncii Europene pentru Reconstrucţie şi Dezvoltare (“Acordul privind înfiinţarea Băncii”) din data de 29 mai 1990.
(B) Beneficiarul şi Entitatea Proiectului au solicitat asistenţă pentru finanţarea unei părţi a Proiectului, care are drept scop să ajute la îmbunătăţirea infrastructurii de aprovizionare centralizată cu energie termică a Entităţii Proiectului.
(C) La 30 octombrie 2014, Banca a încheiat un acord de împrumut cu Beneficiarul, în temeiul căruia, Banca în calitate de creditor a fost de acord să acorde un împrumut de până la 7000000 euro pentru finanţarea unei părţi a Proiectului, aşa cum este descris în Anexa nr.1 la acest acord (“Proiectul”), sub rezerva termenelor şi condiţiilor stabilite în Acordul de Împrumut care pot fi modificate din când în când (“Acordul de Împrumut”).
(D) Suma împrumutată va fi recreditată de către Beneficiar către Entitatea Proiectului pentru punerea în aplicare a Proiectului, în conformitate cu termenii şi condiţiile Acordului de împrumut subsidiar care urmează să fie încheiat între Beneficiar şi Entitatea Proiectului, care poate fi modificat din când în când (“Acordul de împrumut subsidiar”).
(E) La 30 octombrie 2014, Banca a încheiat un acord de proiect cu Entitatea Proiectului, care poate fi modificat din când în când (“Acordul de proiect”), în temeiul căruia, având în vedere că Banca a încheiat Acordul de Împrumut, Entitatea Proiectului a fost de acord să realizeze Proiectul în conformitate cu termenii şi condiţiile Acordului de proiect.
(F) La 30 octombrie 2014, Banca a încheiat un acord de susţinere a proiectului cu municipiul Bălţi, care poate fi modificat din când în când (“Acordul de susţinere a proiectului”), în temeiul căruia, având în vedere faptul că Banca a încheiat Acordul de împrumut, municipiul Bălţi a fost de acord să sprijine realizarea Proiectului de către Entitatea Proiectului, în conformitate cu termenii şi condiţiile Acordului de susţinere a proiectului.
(G) În conformitate cu articolul 20 din Acordul privind înfiinţarea Băncii, Banca a creat Fondul Regional al Parteneriatului Europei de Est pentru Eficienţă Energetică şi Mediu (“Fondul”), care este gestionat şi administrat în conformitate cu Regulile Fondului din data de 23 iulie 2014, care poate fi modificate din când în când (“Regulile Fondului”).
(H) În conformitate cu articolul 20 din Acordul de Înfiinţare a Băncii, Banca a încheiat un acord de codelegare, din 29 decembrie 2015, care din timp în timp poate fi modificat (“Co delegare Acord de”), cu Uniunea Europeană prin care Uniunea Europeană a acceptat să aducă o contribuţie Fondului prin intermediul Facilităţii de investiţii în vecinătate a Uniunii Europene.
(I) Banca a convenit să acţioneze în calitate de agenţie de implementare în ceea ce priveşte finanţarea acordată de Fond pentru Proiect.
(J) În conformitate cu termenii şi condiţiile Regulilor Fondului, la 5 septembrie 2015, Adunarea Contribuitorilor Fondului (aşa cum este definită în secţiunea 1.01 (Definiţii) din prezentul Acord) a aprobat acordarea unui grant investiţional nerambursabil în beneficiul Entităţii Proiectului în suma care nu va depăşi 3 milioane de euro (trei milioane de euro) din Fond, sub rezerva şi în termenii, şi condiţiile prevăzute în prezentul Acord, pentru a finanţa achiziţionarea unor bunuri, lucrări şi servicii conexe în legătură cu Proiectul
ACUM, PRIN URMARE, părţile au convenit după cum urmează:
ARTICOLUL I – DEFINIŢII; REFERINŢE ŞI TITLURI
Secţiunea 1.01 Definiţii
Cuvintele şi expresiile cu majusculă în prezentul Acord (inclusiv Anexele şi Listele), însă care nu sunt definite aici, au acelaşi înţeles atribuit acestora în Acordul de împrumut, în Acordul de proiect şi / sau în Termenii şi Condiţiile Standard atunci când sunt utilizate în prezentul Acord.
Oricând sunt utilizaţi în prezentul Acord (inclusiv în Anexe şi Preambul), decât dacă contextul cere altceva, următorii termenii vor avea sensurile care urmează:
| “Acordul de înfiinţare a băncii” | are înţelesul atribuit acestuia în Preambulul A. |
| “Baza de date centrale a excluderilor” | bază de date a tuturor persoanelor juridice şi fizice excluse din finanţare din partea UE instituită de Comisia Europeană în temeiul Regulamentului (CE, Euratom) nr.1302/2008, din 17 decembrie 2008, privind bază de date a excluderilor centrale (JO L 344/12, 20.12.2008). |
| “Contracte” | înseamnă contractele în vigoare sau care urmează să fie încheiate între Entitatea Proiectului şi oricare Contractori, în formă şi substanţă satisfăcătoare pentru Bancă, în legătură cu achiziţiile de bunuri, lucrări şi servicii pentru proiect, inclusiv articolele finanţate din grant, care urmează să fie finanţate în întregime sau parţial cu finanţare din grant. |
| “Contractori” | înseamnă contractorii şi Contractorii legali şi de bună reputaţie care urmează să fie angajaţi de către Entitatea Proiectului în legătură cu achiziţionarea de bunuri, lucrări şi servicii pentru proiect, inclusiv articolele finanţate din grant, iar fiecare contractor şi Contractor să fie selectaţi în conformitate cu Secţiunea 3.06 (Achiziţii). |
| “Debursare” | înseamnă debursarea oricărei părţi din finanţarea din grant din când în când în conformitate cu Secţiunea 2.02 (Debursările) din prezentul Acord. |
| “Intrarea în vigoare” | înseamnă data la care prezentul Acord intră în vigoare în conformitate cu Secţiunea 7.01 (Data de intrare în vigoare). |
| “Fond” | are înţelesul atribuit acestuia în Preambulul G. |
| “Articole finanţate din grant” | înseamnă bunuri, lucrări şi servicii conexe necesare Proiectului şi care urmează să fie finanţate din grant aşa cum este descris în continuare în Anexa 1 la prezentul Acord. |
| “Finanţare din grant” | are înţelesul atribuit acesteia în Secţiunea 2.01 (a) (Suma, moneda şi scopul) a prezentului Acord. |
| “Ultima dată disponibilă pentru finanţarea din grant” | înseamnă data specificată în Secţiunea 2.02 (a) (Ultima dată disponibilă pentru finanţarea din grant) a prezentului Acord. |
| “Acordul de împrumut” | are înţelesul atribuit acestuia în Preambulul C. |
| “Finanţarea prin împrumut” | înseamnă finanţare acordată sau care urmează să fie acordată de către Bancă Beneficiarului în calitatea sa de Imprumutat conform Acordului de împrumut şi recreditat către Entitatea Proiectului în conformitate cu termenii Acordului de împrumut subsidiar. |
| “Planul de achiziţii” | înseamnă planul de achiziţii pentru Proiect, inclusiv articolele finanţate din grant, în formă şi substanţă satisfăcătoare pentru Bancă, odată ce planul de achiziţii poate fi modificat din când în când de către Entitatea proiectului cu acordul prealabil în scris al Băncii. |
| “Proiect” | înseamnă proiectul descris în Anexa 1 a Acordului de împrumut. |
| “Acordul de proiect” | are înţelesul atribuit în Preambulul E. |
| “Data de finalizare a proiectului” | înseamnă data la care au avut loc toate cele de mai jos: (a) Entitatea proiectului va fi furnizat Bancii şi Consultantului pentru implementarea proiectului un aviz în formă şi substanţa satisfăcătoare pentru Bancă, semnat de Reprezentantul autorizat al entităţii proiectului, care certifică că Proiectul a fost finalizat; (b) Banca va fi primit un certificat de la Consultantul pentru implementarea proiectului a cărui formă şi conţinut sunt satisfăcătoare pentru Banca, confirmând fără nici o rezervă semnificativă că Proiectul a fost finalizat; şi (c) Banca va fi furnizat Entităţii proiectului un aviz care confirmă satisfacţia Băncii cu privre la finalizarea Proiectului |
| “Consultantul pentru implementarea proiectului” | înseamnă consultantul (consultanţii) angajat sau determinat să fie angajat de către Entitatea Proiectului, în conformitate cu Secţiunea 2.06 (a) (1) (Consultanţi) a Acordului de proiect pentru a ajuta la punerea în aplicare a proiectului. |
| “Beneficiar” | înţelesul atribuit acestuia în secţiunea privind părţile la începutul acestui Acord. |
| “Reprezentantul autorizat al beneficiarului” | înseamnă orice persoană autorizată să solicite trageri în conformitate cu Acordul de împrumut. |
| “Angajament pentru rambursare” | înseamnă un angajament în conformitate cu Secţiunea 2.03 (Angajamente de rambursare condiţionate şi necondiţionate) a prezentului Acord şi poate fi un “Angajament de rambursare condiţionat” sau un “Angajament de rambursare necondiţionat”, aşa cum aceşti termeni sunt folosiţi în Secţiunea respectivă. |
| “Reguli ale Fondului” | are înţelesul atribuit acestuia în Preambulul G. |
| “Condiţii şi termeni standard” | înseamnă condiţiile şi termenii standard ale BERD din data de 1 decembrie 2012. |
| “Acordul de împrumut subsidiar” | are înţelesul atribuit acestuia în Preambulul D. |
Secţiunea 1.02 Interpretare
În prezentul Acord:
(a) cuvintele care denotă singularul includ pluralul şi viceversa, cu excepţia cazului în care contextul impune altfel;
(b) titlurile şi Cuprinsul sunt inserate doar pentru facilitarea referinţei şi nu va afecta interpretarea prezentului Acord;
(c) cuvintele care denotă persoane includ companii, parteneriate, precum şi alte persoane juridice, iar referinţele către o persoană includ succesorii săi şi cesionarii permişi; şi
(d) trimiterea la un anumit Articol, Secţiune, Anexă sau Listă, cu excepţia cazului în care se prevede altfel în prezentul Acord, se interpretează ca trimitere la Articolul sau Secţiunea, sau Anexa, sau Lista la prezentul Acord.
ARTICOLUL II – FINANŢAREA DIN GRANT
Secţiunea 2.01 Suma, moneda şi scopul
(a) Sub rezerva şi în conformitate cu prezentul Acord, Banca este de acord să ofere din Fond, Beneficiarului un grant în valoare de 3000000 EUR (trei milioane de euro) (“Finanţare din grant”).
(b) Finanţarea din grant se foloseşte exclusiv cu scopul de finanţare a articolelor finanţate din grant care urmează să fie achiziţionate în conformitate cu Secţiunea 3.06 (Achiziţii) din prezentul acord.
(c) Sub rezerva Secţiunii 5.05 (Acţiuni de restituire) a prezentului Acord, Finanţarea din grant este nerambursabilă.
(d) Este recunoscut şi convenit în mod expres că Banca nu va fi obligată să facă Debursări sau orice altă plată în cadrul şi/sau în temeiul prezentului Acord, cu excepţia cazului în care suma egală cu această Debursare sau o astfel de plată este disponibilă pentru acest scop în Fond.
(e) Cu excepţia cazului în care Banca convine altfel, articolele finanţate din grant vor fi finanţate în sume care urmează să fie stabilite în Planul de achiziţii.
Secţiunea 2.02 Debursările
Sub rezerva Secţiunii 5.01 (Suspendarea), Secţiunii 5.02 (Anularea de către Bancă) şi Secţiunii 7.02 (Condiţiile prealabile intrării în vigoare) ale prezentului Acord, finanţarea din grant este debursată de către Bancă din când în când, în una sau mai multe Debursări, sub rezerva următoarelor prevederi:
(a) Ultima dată disponibilă pentru finanţarea din grant
Dreptul Beneficiarului de a solicita o Debursare în conformitate cu prezentul Acord va intra în vigoare la data intrării în vigoare şi se încheie la data care va surveni mai devreme (1) ultima dată disponibilă specificată în Secţiunea 2.02 (Alţi termeni financiari ai împrumutului) din Acordul de împrumut sau (2) 30 noiembrie 2019, sau la o dată ulterioară pe care Banca o poate stabili la discreţia sa şi cu acordul Beneficiarului şi prin notificarea Beneficiarului.
(b) Cheltuieli eligibile
Cu excepţia cazului în care Banca convine altfel, Debursările vor fi efectuate numai pentru finanţarea cheltuielilor suportate (sau, daca Banca este de acord, ca acestea să fie făcute) în ceea ce priveşte costurile rezonabile ale articolelor finanţate din grant; cu condiţia că aceste cheltuieli sunt suportate după data prezentului Acord.
(c) Condiţii pentru debursare
Fără a limita generalitatea Secţiunii 2.02 (Debursările) din prezentul Acord, orice Debursare în temeiul prezentului Acord în ceea ce priveşte unul sau mai multe articole finanţate din grant va fi realizată sau la discreţia Băncii, renunţarea, fie în totalitate sau parţial şi dacă face obiectul unor condiţii sau necondiţionat de condiţia conform căreia suma de Finanţare de Împrumut se trage sau se solicită în temeiul unei cereri de tragere satisfăcătoare, de Beneficiar în calitatea sa de Imprumutat este cel puţin egală cu cea din Finanţarea de Grant plătită sau solicitată în cadrul unei cereri de debursare satisfăcătoare de către Beneficiar, în conformitate cu Acordul de împrumut.
(d) Solicitarea de debursare
(1) Beneficiarul poate solicita o Debursare prin prezentarea la Bancă a unei cereri iniţiale pentru o astfel de debursare, semnat de Reprezentantul autorizat al beneficiarului sau o persoană desemnată de Reprezentantul autorizat al beneficiarului. Fiecare cerere de Debursare va fi conform Formularului 1 (Formularul cererii de debursare) şi va fi furnizată Băncii cu cel puţin cincisprezece (15) zile lucrătoare înainte de data valutei propusă pentru această debursare. O astfel de cerere, cu excepţia în care Banca convine altfel, este irevocabilă şi obligatorie pentru Beneficiar.
(2) Fiecare cerere de Debursare va fi însoţită de documente şi alte dovezi suficiente ca formă şi conţinut pentru a satisface Banca despre faptul că beneficiarul este îndreptăţit să primească suma Debursării, iar suma Debursării va fi folosită exclusiv pentru articolele finanţate din grant. Astfel de documente vor include, dar nu se vor limita la factura (facturile) Contractantului, certificate de către sau în numele Beneficiarului (sau Entitatea Proiectului, după caz), fie pe factura reală sau sub forma unui certificat separat, indicând confirmarea Beneficiarului (sau a Entităţii Proiectului, după caz) că bunurile, lucrările sau serviciile au fost livrate sau efectuate satisfăcător în conformitate cu cerinţele prezentului Acord şi contractului în cauză.
(e) Moneda Debursărilor
Debursările se efectuează în euro în sumă echivalentă cu cheltuielile care urmează să fie finanţate din mijloacele financiare ale finanţării din grant. În cazul cheltuielilor efectuate într-o monedă sau în alte monede decât EUR, suma echivalentă cu Debursarea se stabileşte după cum urmează:
(1) în cazul în care Beneficiarul solicită plata în euro, suma echivalentă a Debursării se stabileşte de către Bancă, pe baza costului de schimb valutar care ar fi fost suportat de către Banca dacă ar fi cumpărat o astfel de monedă sau monede pentru a satisface cererea; sau
(2) În cazul în care Beneficiarul solicită plata în moneda sau monedele în care se fac cheltuielile, Banca, cu condiţia că aceste cheltuieli sunt efectuate în valute disponibile imediat, va cumpăra o astfel de monedă sau monede într-un mod pe care Banca le consideră adecvate. Volumul de Debursare se stabileşte de către Bancă pe baza costurilor de schimb valutar care au fost sau ar fi fost suportate de Banca in utilizarea EURO pentru a satisface cererea.
f) Plăţi în alte monede
În circumstanţe excepţionale, Banca poate da curs solicitării Beneficiarului pentru ca plata să fie efectuată în moneda sau monedele în care se fac cheltuielile. În acest caz, Banca, va procura moneda pe care o va considera corespunzătoare de o manieră care pentru Bancă va fi corespunzătoare. Suma echivalentă de Debursare va fi stabilită de către Bancă pe baza costurilor de schimb valutar care au fost sau ar fi fost suportate de Banca in utilizarea EURO pentru a satisface cererea.
g) Suma minima a Debursării
Cu excepţia ultimei Debursări sau cu excepţia faptului când Banca convine altfel, Debursările se efectuează în volume nu mai mici de 50000 de euro).
Secţiunea 2.03 Angajamente de rambursare condiţionate şi necondiţionate
(a) La cererea Beneficiarului, ca formă şi conţinut satisfăcătoare pentru Bancă, Banca poate, în conformitate cu dispoziţiile aplicabile ale BERD privind Manualul de Debursări mutatis mutandis, emite Angajamentele de rambursare necondiţionate sau condiţionate pentru a rambursa plăţile efectuate de către bănci conform scrisorilor de credit în ceea ce priveşte cheltuielile care urmează să fie finanţate prin fnanţarea din grant. Orice rambursare de acest fel constituie o debursare.
(b) În cazul unui angajament de rambursare condiţionat, obligaţia Băncii de a plăti se suspendă sau este finisată imediat după orice suspendare sau anulare a finanţării din grant de către Bancă în conformitate cu Secţiunea 5.01 (Suspendare) sau Secţiunea 5.02 (Anularea de către Banca) a prezentului Acord.
(c) În cazul unui angajament de rambursare necondiţionat, obligaţia Băncii de a plăti nu va fi afectată de orice suspendare sau anulare ulterioară de acordare a finanţării.
Secţiunea 2.04 Realocare
Beneficiarul poate solicita Băncii să realoce sumele alocate pentru fiecare element din articolele finanţate din grant enumerate în Anexa 1 la prezentul Acord, cu condiţia că o astfel de realocare este în conformitate cu termenii Acordului privind Fondul. Banca poate acorda cererea de realocare prin notificarea Beneficiarului. Această realocare va intra în vigoare când va fi oferită notificarea.
Secţiunea 2.05 Anularea de către beneficiar
Beneficiarul poate anula în orice moment, cu un preaviz în scris de cel puţin treizeci (30) de zile lucrătoare către Bancă, în totalitate sau parţial, orice parte netrasă din finanţarea din grant. Orice preaviz de anulare de către Beneficiar va fi irevocabilă şi obligatorie pentru Beneficiar.
Secţiunea 2.06 Plăţi
(a) Cu excepţia cazului în care Banca convine altfel, sumele care urmează să fie debursate de către Banca în temeiul prezentului Acord se plătesc direct în contul Contractantului relevant după cum este desemnat de către Beneficiar în Cererea de debursare.
(b) În cazul în care data scadenţei pentru orice plată în temeiul prezentului acord ar surveni într-o zi care nu este o zi lucrătoare, atunci această plată va surveni în următoarea zi lucrătoare succesivă.
(c) Orice sume care vor deveni scadente către Bancă în temeiul prezentului acord vor fi achitate, fără o cerere de recompensare în euro, pentru valoarea la data scadenţei, la contul în Londra, Anglia sau în orice alt loc pe care Banca îl poate din când în când desemna prin notificarea Beneficiarului.
ARTICOLUL III – EXECUTAREA PROIECTULUI
Secţiunea 3.01 Cooperarea şi informarea
(a) Dispoziţiile secţiunilor 4.01 (a) şi 4.01 (b) (Cooperare şi informare) ale termenilor şi condiţiilor standard se aplică în cazul în care se prevede aici mutatis mutandis, inclusiv, dar fără a aduce atingere caracterului general al acestuia, ca în cazul în care:
(i) trimiterile la “Împrumut” au fost citite ca trimiteri la “Finanţarea din grant”; şi
(ii) trimiterile la “Acordului de împrumut” au fost citite ca trimiteri la “prezentul Acord”.
(b) la primirea informaţiei în conformitate cu Acordul de împrumut, Acordul de proiect sau Acordul de sprijin al proiectului, Banca poate folosi şi se bazează pe această informaţie în calitate de furnizor al finanţării din grant în temeiul prezentului acord.
Secţiunea 3.02 Responsabilităţi aferente executării proiectului
(a) Beneficiarul şi Entitatea proiectului, cu excepţia când Banca convine altfel, vor:
(1) realiza Proiectul cu diligenţa şi eficienţa necesare şi în conformitate cu Acordul de împrumut, Acordul de proiect, şi acest Acord; şi
(2) realiza Proiectul în conformitate cu Planul de Achiziţii, sub rezerva oricărei modificări la care Banca poate conveni în scris;
(3) realiza Proiectul în conformitate cu Planul de acţiune pentru mediu şi cerinţele de performanţă desemnate; şi
(4) lua toate măsurile necesare pentru a asigura finalizarea cu succes a proiectului.
(b) Dispoziţiile Secţiunilor 4.02 (d) şi 4.02 (f) (Responsabilităţi referitoare la executarea proiectului) ale Termenilor şi Condiţiilor Standard se aplică de parcă sunt prevăzute aici în totalitate, mutatis mutandis, inclusiv, dar fără a aduce atingere caracterului general al acestuia, ca în cazul în care referirea la “sumele împrumutului” au fost citite ca trimiteri la “finanţare din grant”.
Secţiunea 3.03 Conformarea cu aspectele de mediu şi sociale
Cu excepţia cazului în care Banca convine altfel, Entitatea proiectului va asigura că partea din Proiectul finanţat din finanţarea din grant este realizată în conformitate cu Secţiunea 2.05 (Angajamente de conformare cu spectele de mediu şi sociale) din Acordul de proiect.
Secţiunea 3.04 Obligaţiile de suport ale Beneficiarului
(a) Beneficiarul nu va întreprinde nici o acţiune şi nu va permite nici unei dintre agenţiile sau filialele sale să întreprindă vreo acţiune, care ar putea preveni sau interveni în executarea proiectului sau în funcţionarea eficientă a facilităţilor de Proiect sau realizarea obligaţiilor de către Entitatea Proiectului în temeiul prezentului Acord. Beneficiarul va asigura, de asemenea, că nici o acţiune de acest fel nu va fi luată sau nu va permite să fie luate de oricare dintre subdiviziunile sale politice sau administrative sau oricare dintre entităţile deţinute şi controlate de, sau care operează în contul sau beneficiul Beneficiarului.
(b) Beneficiarul, cu excepţia cazului în care Banca va conveni altfel:
(1) va realiza în mod corespunzător toate obligaţiile sale în temeiul prezentului Acord şi în conformitate cu Acordul de împrumut;
(2) va pune la dispoziţia Entităţii Proiectului mijloacele financiare din finanţarea din grant în condiţii şi termeni acceptabili pentru Bancă;
(3) va sprijini Entitatea Proiectului în îndeplinirea obligaţiilor sale în temeiul prezentului acord şi Acordului de proiect, inclusiv prin întreprinderea tuturor acţiunilor legislative, de reglementare sau de altă natură necesare sau dezirabile, şi prin alocarea şi acordarea, sau determinarea de a acorda fonduri şi sprijin pentru Entitatea Proiectului cum şi cînd acest lucru este necesar Entităţii Proiectului pentru a finaliza Proiectul;
(4) va determina Entitatea Proiectului să realizeze toate obligaţiile care îi revin în temeiul prezentului acord; şi
(5) va executa orice alte documente şi va întreprinde orice alte măsuri determinate de Bancă ca fiind necesare sau dezirabile pentru a pune în aplicare prezentul acord.
Secţiunea 3.05 Unitatea de Implementare a Proiectului
Entitatea Proiectului va asigura că activităţile şi responsabilităţile UIP, menţionate în secţiunea 2.03 (Unitatea de Implementare a Proiectului) din Acordul de proiect includ achiziţionarea articolelor finanţate din grant şi implementarea finanţării din grant.
Secţiunea 3.06 Achiziţii
(a) Cu excepţia cazului în care Banca convine altfel, achiziţionarea tuturor articolelor finanţate din grant este reglementată de Regulamentul privind achiziţiile BERD. Articolele finanţate din grant vor fi achiziţionate prin licitaţie deschisă, în conformitate cu capitolul 3 din Regulamentul privind achiziţiile BERD.
(b) Toate Contractele vor fi supuse procedurilor de control prealabile prevăzute în Regulamentul privind achiziţiile BERD.
Secţiunea 3.07 Registrele şi rapoartele în cadrul Proiectului
Beneficiarul şi respectiv Entitatea Proiectului vor asigura că informaţiile furnizate Băncii de către Beneficiar în conformitate cu obligaţiile Beneficiarului conform Secţiunii 3.01 (d) (5) şi (7) (Alte angajamente afirmative ale proiectului) din Acordul de împrumut, precum şi de către Entitatea proiectului, în conformitate cu obligaţiile entităţii proiectului în conformitate cu secţiunea 2.07 (b) din Acordul de proiect, precum şi de către Beneficiar şi Entitatea proiectului în conformitate cu secţiunea 5.02 (Raportarea) din Termenii şi Condiţiile standard, precum şi registrele păstrate de Beneficiar şi Entitatea proiectului în conformitate cu secţiunea 4.04 (Registrele şi rapoartele proiectului) din Termenii şi Condiţiile standard:
(1) include informaţii detaliate cu privire la Contracte, Contractori, Debursări, finanţarea din grant şi utilizarea acesteia, articolele finanţate din grant, precum şi starea conformării cu fiecare dintre angajamentele prevăzute în prezentul Acord în formă şi substanţă satisfăcătoare pentru Bancă;
(2) conţine informaţii suficiente pentru a permite urmărirea finanţării din grant distinctă de finanţarea din împrumut; şi
(3) include alte informaţii cu privire, printre altele, la Beneficiar, Entitatea proiectului, Proiectul şi tranzacţiile prevăzute în prezentul Acord pe care Banca din când în când le poate solicita în mod rezonabil.
(b) De îndată ce vor fi disponibile, dar în orice caz, în termen de treizeci (30) de zile de la finalizarea ultimului Contract, Beneficiarul va furniza, sau va determina Entitatea Proiectului să furnizeze) Băncii (dacă sunt solicitate de către Bancă, certificate de către un funcţionar autorizat al Beneficiarului sau entităţii proiectului, după caz) un raport final cu privire la utilizarea finanţării din grant, care va preciza în detaliu toate contractele, toţi Contractorii, toate articolele finanţate din grant şi livrarea şi graficul lucrărilror de montare, şi compaţia cu previziunile iniţiale.
(c) De îndată ce sunt disponibile, dar în orice caz, în termen de treizeci (30) de zile de la Data de finalizare a proiectului, Beneficiarul va furniza, sau va determina Entitatea Proiectului să furnizeze Băncii (dacă sunt solicitate de Bancă, certificate de un reprezentant autorizat al Beneficiarului sau Entitatea Proiectului, după caz) un raport final cu privire la Proiect, identificând utilizarea finanţări de grant.
(d) Beneficiarul şi Entitatea Proiectului vor permite Băncii şi reprezentanţilor, de asemenea, atunci când sunt însoţiţi de reprezentanţii donatorilor la Fond, la cererea Băncii:
(1) pentru a vizita facilitatile şi şantierele de construcţii aferente proiectului;
(2) să examineze orice şi toate bunurile, lucrările şi serviciile finanţate din sumele finanţării din grant şi orice echipamente, instalaţii, şantiere, lucrari, cladiri, bunuri, echipamente, înregistrări şi documente relevante pentru îndeplinirea obligaţiilor Beneficiarului şi Entităţii Proiectului în temeiul prezentului acord; şi
(3) în aceste scopuri, pentru a satisface şi purta discuţii cu aceşti reprezentanţi şi angajaţi ai Beneficiarului sau Entitatea Proiectului pe care Banca le poate considera necesare şi oportune.
(e) La atribuirea oricărui Contract, Banca poate publica o descriere a acestora, numele şi naţionalitatea contractantului şi preţul contractului.
(f) Beneficiarul şi Entitatea Proiectului trebuie să se asigure că Banca, donatorii Fondului alocat pentru Republica Moldova, şi reprezentanţii acestora au acces la registrele contabile ale entităţii proiectului şi registrele Proiectului şi finanţări din grant.
ARTICOLUL IV – ANGAJAMENTE FINANCIARE,
OPERAŢIONALE ŞI AFERENTE DONATORILOR
Secţiunea 4.01 Rapoarte şi registre financiare
(a) Beneficiarul şi Entitatea proiectului vor menţine registre şi conturi separate în ceea ce priveşte finanţarea din grant, în conformitate cu standardele de contabilitate acceptabile pentru Bancă şi aplicate în mod consecvent.
(b) Beneficiarul şi Entitatea Proiectului, după caz, vor asigura că informaţiile furnizate Băncii şi registrele menţinute de Beneficiar şi Entitatea Proiectului în conformitate cu obligaţiile Entităţii Proiectului conforme Secţiunii 3.01 (Registre financiare şi rapoarte) din Acordul de proiect, precum şi obligaţiile Beneficiarului şi Entităţii Proiectului în conformitate cu Secţiunea 5.02 (c) (i) (Raportarea) din Termenii şi Condiţiile standard:
(1) include informaţii detaliate privind finanţarea din Grant şi utilizarea acesteia, în formă şi substanţă satisfăcătoare pentru Bancă;
(2) conţine informaţii suficiente pentru a permite urmărirea finanţării din grant distinct de finanţarea din împrumut; şi
(3) include alte astfel de informaţii privind registrele, conturile şi situaţiile financiare pe care Banca le poate solicita din cînd în cînd în mod rezonabil.
(c) Beneficiarul şi Entitatea proiectului, cel puţin într-un termen de până la cinci (5) ani de la Data de finisare a proiectului sau, dacă mai târziu, de data termenului-limită a oricărei revendicări în conformitate cu legea în vigoare, care reglementează Acordul de Delegare, prezentul Acord sau orice Contract, trebuie:
(1) să păstreze documentele financiar-contabile şi registrele privind activităţile finanţate de Grant; şi
(2) să furnizeze Băncii şi/sau donatorilor Fondului, la cerere, toate informaţiile financiare relevante şi acces la orice documente şi date computerizate, inclusiv extrasele din conturi, în legătură cu Proiectul, precum şi să le permită accesul la amplasamentele şi incintele în care sunt realizate operaţiunile aferente Proiectului.
Secţiunea 4.02 Desfăşurarea activităţilor şi operaţiunilor
Beneficiarul şi Entitatea Proiectului, cu excepţia când Banca convine altfel:
(a) efectuează în mod corespunzător toate obligaţiile sale în temeiul prezentului Acord, (în cazul Beneficiarului), în calitate de Imprumutat conform Acordului de împrumut şi (în cazul Entităţii Proiectului) ca Entitate a proiectului în cadrul Acordului de proiect;
(b) nu vinde, închiriază sau nu dispune de oricare dintre activele sale de bază care sunt necesare pentru buna desfăşurarea a operaţiunilor sale sau de eliminare a ceea ce poate să aducă atingere capacităţii de a efectua în mod satisfăcător oricare din obligaţiile sale în temeiul prezentului Acord;
(c) nu face modificări sau permite modificările care trebuie aduse Statutului, dacă aceste modificări sunt compatibile cu orice prevedere a prezentului Acord sau ar putea afecta capacitatea Entităţii Proiectului de a se conforma cu termenii acestui acord; şi
(d) să execute orice alte documente şi să ia orice alte măsuri pe care Banca le determină ca fiind necesare sau dezirabile pentru a pune în aplicare prezentul Acord.
Secţiunea 4.03 Taxe
a) Beneficiarul va plăti, la scadenţă, toate taxele aferente, plătibile, sau în legătură cu executarea, emiterea, furnizarea, înregistrarea sau legalizarea notarială a prezentului Acord (inclusiv furnizarea Finanţări de Grant) sau orice alt document aferent acestui Acord.
(b) Nici o parte din sumele din finanţarea de grant nu vor fi utilizate, direct sau indirect, pentru plata oricăror taxe, fie ele directe sau indirecte, pe teritoriul Republicii Moldova sau în altă parte.
Secţiunea 4.04 Vizibilitate
(a) Cu excepţia cazului când BERD nu recomandă altfel, cazul în care se face referinţă la proiect, fie în documente oficiale sau documente cu informaţie publică, Beneficiarul şi Entitatea proiectului mereu vor recunoaşte şi vor face publice în publicaţii relevante, comunicate, precum şi mass-media, faptul că proiectul a primit finanţare, printre altele, de la Fond, făcând referire în mod expres, de asemenea, la contribuitorii individuali ai Fondului. Beneficiarul şi Entitatea de Proiect trebuie să includă, în toate materialele promoţionale legate de proiect o referire la faptul că Proiectul este sprijinit de Fond şi să identifice în mod expres contribuabilii individuali ai Fondului.
(b) Beneficiarul şi Entitatea de Proiect trebuie să procure şi să asigure că în orice rapoarte specifice referitoare la punerea în aplicare a Proiectului, elaborate de către Beneficiar şi/sau de Entitatea de Proiect, şi/sau astfel de rapoarte pregătite de către Consultanţi şi/sau de promotorii proiectului se să includă următoarea declaraţie: “Acest document a fost elaborat cu sprijinul financiar al Fondului. Punctele de vedere exprimate aici sunt cele ale [numele autorului] şi nu pot, prin urmare, în nici un caz, fi luate pentru a reflecta opinia oficială a contribuabililor Fondului sau BERD”.
Secţiunea 4.05 Fraudă şi corupţie
Beneficiarul şi Entitatea proiectului nu se vor implica, nu vor autoriza şi nu vor permite implicarea în orice practică interzisă a oricărei din persoanele sale cu funcţii de răspundere, directori, angajaţi autorizaţi, filiale, agenţi sau reprezentanţi din cadrul Proiectului, finanţări din grant sau din cadrul oricărei tranzacţii menţionate în acest Contract.
Secţiunea 4.06 Conflict de interese
Entitatea proiectului trebuie, dacă este cazul, să ia toate măsurile necesare pentru a se asigura că Beneficiarul se va abţine, în conformitate cu reglementările şi normele respective ale acestora, de la orice acţiune, care ar putea da naştere unui conflict de interese. Un conflict de interese survine în cazul în care exercitarea imparţială şi obiectivă a funcţiilor Entităţii proiectului sau a Beneficiarului, în temeiul prezentului Acord, este compromisă.
Secţiunea 4.07 Protejarea de date
Entitatea proiectului trebuie, dacă este cazul, să ia toate măsurile necesare pentru a asigura, că Beneficiarul va asigura o protecţie adecvată a datelor cu caracter personal, printre altele, prin luarea unor măsuri de securitate tehnice şi organizatorice corespunzătoare în ceea ce priveşte riscurile inerente oricărei astfel de operaţiuni în conformitate cu normele şi reglementările respective ale acestora şi natura informaţiilor referitoare la persoana fizică în cauză, cu scopul de a:
(a) împiedică orice persoană neautorizată să obţină acces la sistemele computerizate pentru efectuarea unor astfel de operaţiuni, în special citirea, copierea, modificarea sau eliminarea suporturilor de stocare, aceasta include introducerea de date neautorizate, precum şi orice divulgare neautorizată, modificarea sau ştergerea informaţiilor stocate;
(b) să se asigure că utilizatorii autorizaţi ai unui sistem informatic, care efectuează astfel de operaţiuni pot avea acces doar la informaţiile la care se referă dreptul de acces al acestora; şi
(c) a proiecta structurile lor organizatorice respective, astfel încât acestea să îndeplinească cerinţele de mai sus.
Secţiunea 4.08 Baza de Date Centrale a Excluderilor
În conformitate cu Acordul de codelegare, Banca este obligată de a informa Uniunea Europeană în cazul în care, în legătură cu punerea în aplicare a Proiectului, s-a constatat că Entitatea de Proiect sau Beneficiarul sau persoanele au competenţă de reprezentare, de luare a deciziilor sau control asupra oricare dintre acestea, au fost subiectul unei hotărâri cu autoritate de lucru judecat pentru fraudă, corupţie, participare la o organizaţie criminală, spălare de bani sau orice altă activitate ilegală în detrimentul intereselor financiare ale Uniunii Europene. Uniunea Europeană trebuie să introducă această informaţie în Baza de Date Centrale a Excluderilor.
ARTICOLUL V – SUSPENDAREA, ANULAREA ŞI RESTITUIREA
Secţiunea 5.01 Suspendarea
a) Dacă oricare din următoarele situaţii vor apărea şi vor continua, Banca poate, prin notificarea Beneficiarului, să suspende, integral sau parţial, dreptul Beneficiarului de a efectua Debursări în temeiul acestui Acord:
(1) oricare dintre cele ce urmează, Acordul de împrumut, Acordul de proiect sau Acordul de împrumut subsidiar încetează să mai fie în vigoare sau sunt reziliate;
(2) Beneficiarul nu a reuşit sau nu reuşeşte să îndeplinească oricare din obligaţiile sale în temeiul prezentului Acord sau în calitate de Împrumutat conform Acordului de împrumut, sau în calitatea sa de creditor în temeiul Acordului de împrumut subsidiar;
(3) finanţarea alternativă se dovedeşte a fi fost dobândită pentru finanţarea Proiectului, dând astfel naştere la finanţare dublă (în întregime sau parţial);
(4) Entitatea Proiectului nu a reuşit sau nu reuşeşte să îndeplinească oricare din obligaţiile sale în temeiul prezentului Acord sau, în calitate de Entitate a Proiectului, Acordul de proiect, sau, în calitate de Împrumutat, în temeiul Acordului de împrumut subsidiar;
(5) Banca a suspendat, sau un eveniment a avut loc, care conferă Băncii dreptul de a suspenda, în totalitate sau parţial, dreptul Beneficiarului de a expedia cereri pentru trageri, în conformitate cu Secţiunea 7.01 (Suspendare) din Termenii şi Condiţiile Standard sau secţiunea 4.01 (Suspendarea) din Acordul de împrumut;
(6) Banca a anulat, sau un eveniment a avut loc, care conferă Băncii dreptul de a anula, în totalitate sau parţial, finanţarea împrumutului în conformitate cu Secţiunea 7.02 (Anulare de către Bancă) a Termenilor şi Condiţiilor Standard;
(7) orice Eveniment de accelerare în cadrul Acordului de împrumut şi/sau Termenilor şi Condiţiilor Standard a avut loc sau continuă, iar Banca a declarat toată sau orice parte din finanţarea împrumutului să fie scadentă şi plătibilă conform Secţiunii 7.06 (Evenimente de accelerare) din Termenii şi Condiţiile Standard;
(8) o situaţie extraordinară va fi apărut ca rezultat al evenimentelor care au survenit care fac improbabilă realizarea Proiectului sau Beneficiarul sau Entitatea proiectului vor fi capabili de a îndeplini obligaţiile sale în cadrul acestui Acord;
(9) o reprezentare făcută de către Beneficiar sau Entitatea Proiectului în legătură cu acest Acord va fi fost incorectă sau greşită în orice sens;
(10) Statutul Entităţii Proiectului va fi fost modificat, suspendat, abrogat, anulat sau derogat de o asemenea manieră încât să afecteze material şi advers activitatea sau situaţia financiară a Entităţii Proiectului sau abilitatea sa de a realiza Proiectul sau de a îndeplini oricare din obligaţiile prevăzute în prezentul Acord;
(11) Beneficiarul, în calitatea sa de Împrumutat conform Acordului de împrumut a anulat în totalitate sau parţial orice parte netrasă din Finanţarea din împrumut în conformitate cu Secţiunea 3.08 (Anulare) a Termenilor şi Condiţiilor Standard;
(12) Fondul a reziliat sau donatorii au suspendat plăţile către Fond în conformitate cu Regulile Fondului, sau o notificare de reziliere a fost dată în conformitate cu Regulile Fondului, sau fereastra de ţară (aşa cum este definită în Regulile Fondului) pentru Moldova a fost închisă, în conformitate cu Regulile Fondului;
(13) Beneficiarul, Entitatea proiectului, un Contractor, sau oricare dintre subalternii, angajaţii, agenţii sau reprezentanţii lor au fost găsiţi vinovaţi în cadrul unui proces judiciar sau în cadrul altei anchete oficiale că s-au angajat în practici interzise; sau
(14) cadrul legislativ şi de reglementare aplicabil sectorului de alimentare centralizată cu energie termică de pe teritoriul Republicii Moldova va fi fost amendat, suspendat, abrogat, revocat sau derogat, astfel încât să afecteze material şi negativ operaţiunile sau situaţia financiară a Entităţii Proiectului pentru a efectua oricare dintre obligaţiile care îi revin în temeiul prezentului Acord.
b) Dreptul Beneficiarului de a efectua Debursări va continua sa fie suspendat, integral sau parţial, dupa caz, până când situaţia sau situaţiile care au determinat suspendarea vor înceta să existe, numai dacă Banca va notifica Beneficiarul ca dreptul de a efectua trageri a fost restabilit; cu condiţia, totuşi, ca dreptul de a efectua Debursări va fi restabilit numai în măsura şi în conformitate cu condiţiile specificate într-o astfel de notificare şi nici o astfel de notificare nu va afecta sau submina dreptul, puterea sau despăgubirea Băncii în legătură cu orice altă situaţie ulterioară descrisă în prezenta Secţiune.
Secţiunea 5.02 Anularea de către Bancă
a) Dacă în orice moment Banca determină, după consultare cu Beneficiarul şi Entitatea proiectului, ca o sumă din finanţarea din grant nu va fi solicitată pentru finanţarea costurilor Proiectului care sa fie finanţat din finanţarea din grant, Banca poate, prin notificarea Beneficiarului şi entităţii proiectului să anuleze o asemenea sumă din finanţarea din grant. La ultima dată disponibilă de finanţare din grant, orice sumă disponibilă rămasă netrasă din finanţarea din grant va fi anulată automat, decât în cazul în care Banca decide altfel.
b) Dacă dreptul Beneficiarului de a efectua debursări pentru orice sumă din Finanţarea din grant în cadrul acestui Acord ar fi fost suspendat în virtutea Secţiunii 5.01 (Suspendare) a acestui Acord pentru o perioadă continuă de treizeci (30) zile, prin notificare către Beneficiar şi Entitatea proiectului, Banca poate anula Finanţarea din grant în totalitate sau parţial.
(c) În cazul în care Banca a anulat, sau a survenit o situaţie, care oferă Băncii dreptul de a anula, în totalitate sau parţial finanţarea împrumutului în conformitate cu secţiunea 7.02 (Anulare de către Bancă) a Termenilor şi Condiţiilor Standard, Banca poate, prin notificarea Beneficiarului şi entităţii proiectului, să anuleze finanţarea din grant, în totalitate sau parţial.
(d) Daca în orice moment Banca stabileşte că:
(1) achiziţionarea unuia dintre articolele finanţate din grant este incompatibilă cu prezentul Acord;
(2) fondurile acordate în temeiul prezentului Acord au fost utilizate în alte scopuri decât cele prevăzute în temeiul prezentului Acord; sau
(3) cu privire la orice Contract, orice reprezentant al Beneficiarului, Entităţii proiectului sau orice Contractor a fost implicat în practică interzisă în timpul achiziţionării sau executării unei astfel de contract, fără ca Beneficiarul şi/sau Entitatea Proiectului să fi acordat timp util şi acţiuni satisfăcătoare pentru Bancă pentru a remedia situaţia;
Banca, prin notificare către Beneficiar şi Entitatea proiectului, poate anula Finanţarea din grant parţial sau în totalitate. Asemenea anulări vor intra în vigoare la momentul transmiterii notificării.
(e) Dacă în orice moment Banca stabileşte, că orice reprezentant al Beneficiarului, al Entităţii Proiectului sau orice Contractor a fost identificat prin proces juridic sau altă investigaţie oficială că s-ar fi angajat într-o practică coruptă sau practică frauduloasă, Banca poate, cu notificarea Beneficiarului şi Entităţii proiectului să anuleze Finanţarea din grant în totalitate sau parţial. Această anulare va intra în vigoare în momentul transmiterii notificării.
Secţiunea 5.03 Angajamentul de Rambursare Necondiţionat neafectat de suspendare sau anulare
Nici o anulare sau suspendare nu se va aplica sumelor care fac subiectul unui Angajament de Rambursare Necondiţionat încheiat de Bancă potrivit Secţiunii 2.03 (Angajament de Rambursare Necondiţionat şi condiţionat) în afara cazului în care aceasta nu este prevăzută în mod expres în cadrul unui asemenea angajament.
Secţiunea 5.04 Obligaţiile Beneficiarului şi Entităţii Proiectului
În pofida oricărei anulări sau suspendări, toate prevederile prezentului Acord vor continua să fie legale şi efective, cu excepţia cazului în care aceasta nu este prevăzută în mod specific prin sine.
Secţiunea 5.05 Situaţii de restituire
Dacă oricare din următoarele situaţii ar fi apărut şi ar fi continuat pe parcursul perioadei specificate mai jos, atunci în orice moment pe perioada continuării acestei situaţii, Banca poate, prin notificare către Beneficiar şi Entitatea proiectului, solicita Beneficiarului şi/sau Entităţii Proiectului să restituie Finanţarea din grant în totalitate sau parţial (şi să achite plăţile plătibile conform acestui Acord) şi astfel acestea vor deveni datorate şi plătibile imediat:
(a) Orice situaţie prevăzută în Secţiunea 5.01(a)(1) (Suspendare) a acestui Acord a survenit.
(b) Orice situaţie specificată în Secţiunea 5.01 (a) (2), 5,01 (a) (3) sau 5.01 (a) (8) (Suspendarea) din prezentul Acord a avut loc (inclusiv, dar fără a se limita la, utilizarea incorectă a Finanţării de Grant cu încălcarea Secţiunii 2.01 (b) din prezentul Acord) şi, în cazul în care poate fi remediată a continuat pentru o perioada de treizeci (30) de zile de la notificarea acordată de Bancă cu privire la aceasta.
(c) Orice situaţie de accelerare specificată în Acordul de împrumut, precum şi în Termenii şi Condiţiile Standard a avut loc sau continuă şi Banca, a declarat toată sau orice parte din finanţarea împrumutului să fie datorată şi plătibilă conform Secţiunii 7.06 (Situaţii de accelerare) ai Termenilor şi Condiţiilor standard.
(d) În orice moment Banca stabileşte că orice reprezentant al Beneficiarului sau Entitate a Proiectului sau orice Contractor a fost identificat de un proces judiciar sau altă anchetă oficială că s-ar fi angajat în practici interzise.
(e) Beneficiarul, în calitatea sa de Imprumutat conform Acordului de împrumut a anulat în totalitate sau parţial orice parte neretrasă din finanţarea din împrumut în conformitate cu Secţiunea 3.08 (Anulare) a Termenilor şi Condiţiilor Standard.
ARTICOLUL VI - EXECUTAREA; SOLUŢIONAREA LITIGIILOR
Secţiunea 6.01 Executarea
Drepturile şi obligaţiile Beneficiarului şi Entităţii Proiectului vor fi valide şi executorii in concordantă cu condiţiile acestora, in pofida oricărei legi locale contrare. Nici o parte la nici un asemenea acord nu va fi îndreptăţită în nici o circumstanţă să reclame că vre-o prevedere a oricărui acord, este nevalidă sau neexecutorie dintr-un anumit motiv.
Secţiunea 6.02 Incapacitatea de a-şi exercita drepturile
Nici o întârziere în exercitarea sau omisiunea de a exercita orice drept, competenţă sau remediu care apare în raport cu orice parte la acest Acord ca urmare a oricărei neîndepliniri, nu va submina nici un drept, competenţă sau remediu sau nu va fi interpretată ca fiind o renunţare la acestea sau o acceptare a oricărei neîndepliniri; acţiunea unei asemenea părţi privind orice neîndeplinire sau acceptarea oricărei neîndepliniri nu va afecta sau submina orice drept, competenţă sau despăgubire a unei asemenea părţi referitoare la oricare altă neîndeplinire sau o neîndeplinire ulterioară.
Secţiunea 6.03 Soluţionarea litigiilor
Dispoziţiile din secţiunea 8.04 (Soluţionarea Litigiilor) din Termenii şi Condiţiile Standard se aplică în cazul în care se prevede aici mutatis mutandis, inclusiv, fără a aduce atingere caracterului general al acestuia, ca şi în cazul în care trimiterile la “Acordul de împrumut” sau “Acordul de proiect” au fost interpretate ca trimiteri la “Prezentul acord”.
ARTICOLUL VII – INTRARE ÎN VIGOARE; ÎNCETAREA
Secţiunea 7.01 Data intrării în vigoare
Cu excepţia cazului în care Banca, Beneficiarul şi Entitatea Proiectului vor conveni altfel, prezentul Acord va intra în vigoare la data la care Banca expediază Beneficiarului şi Entităţii proiectului avizul de acceptare de către Bancă a dovezilor solicitate în Secţiunea 7.02 (Condiţii prealabile intrării în vigoare) şi Secţiunea 7.03 (Opinia legală) din prezentul Acord.
Secţiunea 7.02 Condiţii prealabile intrării în vigoare
Acest Acord nu va intra în vigoare decât dacă Banca este convinsă că nici o situaţie menţionată în Secţiunea 5.01 (a) (Suspendare) sau Secţiunea 5.05 (Situaţie de restituire) din prezentul Acord nu au avut loc şi continuă; şi până la realizarea următoarelor condiţii prealabile, ca formă şi conţinut satisfăcătoare pentru Bancă, sau renunţate la discreţia Băncii, fie în întregime sau parţial şi dacă sunt supuse unor condiţii sau necondiţionat:
(a) Banca ar trebui să primească două exemplare originale executate în mod corespunzător ale prezentului Acord;
(b) toate condiţiile prealabile pentru intrarea în vigoare a Acordului de împrumut în conformitate cu secţiunea 9.02 (Condiţii prealabile intrării în vigoare) a termenilor şi condiţiilor standard şi Secţiunea 5.01 (Condiţiile prealabile intrării în vigoare) a Acordului de împrumut, cu excepţia intrării în vigoare a prezentului Acord, au fost îndeplinite, în formă şi substanţă satisfăcătoare pentru Bancă;
(c) Banca ar fi trebuit să primească dovadă, ca formă şi conţinut satisfăcătoare pentru Bancă, că executarea şi furnizarea prezentului Acord în numele Beneficiarului şi entităţii proiectului a fost autorizată sau ratificată prin toate acţiunile necesare guvernamentale, administrative şi corporative; şi
(d) Banca a primit aceste documente, pe care le-a solicitat în mod rezonabil.
Secţiunea 7.03 Opinie legală
Ca parte a dovezilor care urmează să fie furnizate în conformitate cu Secţiunea 7.02 (Condiţiile prealabile intrării în vigoare) ale prezentului Acord, Beneficiarul şi entitatea Proiectului vor furniza, sau vor fi determinaţi sa furnizeze Băncii opinia legală din partea Beneficiarului semnată de către Ministrul Justiţiei al Beneficiarului şi în numele entităţii proiectului de către juristul principal al Entităţii proiectului, ca formă şi conţinut satisfăcătoare pentru Bancă, în ceea ce priveşte prezentul Acord, care arată că acest acord a fost autorizat sau ratificat în mod corespunzător, şi executat şi furnizat în numele Beneficiarului şi entităţii proiectului, şi constituie o obligaţie a Beneficiarului şi Entităţii Proiectului, executorie în conformitate cu prevederile sale.
Secţiunea 7.04 Rezilierea datorită neintrării în vigoare
Dacă
(a) prezentul Acord nu a intrat în vigoare până la data, care este o sută optzeci de zile (180) calendaristice de la data prezentului Acord; sau
(b) Acordul de împrumut nu a intrat în vigoare până la data specificată în Secţiunea 6.03 (Rezilierea datorită neintrării în vigoare) în Acordul de împrumut sau orice altă dată ulterioară notificată de către Bancă către Beneficiar în calitate de Împrumutat în conformitate cu secţiunea 9.04 din Termenii şi condiţiile standard;
Toate obligaţiile Băncii în conformitate cu prezentul Acord încetează, cu excepţia cazului în care Banca, după luarea în considerare a motivelor întârzierii, va stabili o dată ulterioară, în sensul prezentei secţiuni. Banca va notifica cu promptitudine Beneficiarul şi Entitatea Proiectului cu privire la o astfel de dată ulterioară.
Secţiunea 7.05 Încetarea drept urmare a realizării proiectului
(a) Prezentul Acord va rămâne în vigoare până când Beneficiarul şi Entitatea Proiectului au efectuat toate obligaţiile, care le revin în conformitate cu prevederile prezente, cu excepţia cazului unei rezilieri mai devreme, în conformitate cu termenii; cu condiţia că dispoziţiile din secţiunea 6.03 (Soluţionarea litigiilor) vor supravieţui rezilierea prezentului Acord;
(b) Fără a aduce atingere oricăror prevederi contrare în prezentul Acord, dispoziţiile din Secţiunea 5.05 (d) (Situaţii de restituire) vor supravieţui încetării prezentului Acord pe parcursul a cinci ani (5) de la Data Finalizării Proiectului.
ARTICOLUL VIII - DIVERSE
Secţiunea 8.01 Notificări
Orice notificare sau cerere solicitată sau permisă sa fie acordată sau efectuată în cadrul prezentului Acord va fi în scris. Cu excepţia celor prevăzute in Secţiunea 7.01 (Data pentru intrarea în vigoare), a acestui Acord, această notificare sau cerere va fi considerată ca a fost oferită sau efectuată în mod corespunzător atunci, când a fost predată părţii la care aceasta trebuie să ajungă, la adresa părţii specificată mai sau la orice altă adresă, pe care partea a specificat-o în scris părţii care notifică sau face cererea. Cu excepţia cazului, când se prevede altfel în Manualul de Debursări BERD, această predare poate fi făcută personal, prin poştă, sau fax. Transmiterile efectuate prin fax vor fi, de asemenea, confirmate prin postă.

Secţiunea 8.02 Împuternicirea de a acţiona
Orice acţiune solicitată sau permisă sa fie întreprinsă şi orice documente solicitate sau permise sa fie semnate în cadrul Acordului de către Beneficiar şi Entitatea Proiectului, vor fi întreprinse sau semnate de către Reprezentantul Autorizat al Beneficiarului şi Entitatea Proiectului, care va fi desemnat în scris. Beneficiarul şi Entitatea Proiectului, vor furniza Băncii dovezi suficiente ale împuternicirii şi specimene autorizate de semnături autorizate ale funcţionarului în conformitate cu Formularul (2) (Formularul certificatului de atestare a SEMNATARILOR AUTORIZAŢI).
Secţiunea 8.03 Modificări
(a) Prezentul Acord poate fi modificat printr-un instrument scris, semnat de Reprezentantul autorizat al Beneficiarului, reprezentantul autorizat al Entităţii Proiectului şi de un funcţionar autorizat corespunzător al Băncii.
(b) Beneficiarul şi Entitatea Proiectului vor obţine acordul băncii în calitate de furnizor al finanţării din grant în temeiul prezentului Acord, înainte de a accepta orice amendament la Acordul de împrumut sau respectiv Acordul de proiect.
Secţiunea 8.04 Limba engleză
Acest Document a fost elaborat şi executat în engleză. Orice document predat conform acestui Acord va fi în limba engleză. Documentele în orice altă limbă vor fi insotite de o traducere in limba engleza, certificată ca fiind o traducere autorizată, iar această traducere aprobată va prevala.
Secţiunea 8.05 Compensări
(a) Beneficiarul şi Entitatea Proiectului îşi asumă răspundere deplină pentru şi sunt de acord cu şi vor compensa şi proteja BERD şi persoanele cu funcţii de răspundere, directorii, angajaţii, agenţii şi funcţionarii săi contra şi de oricare şi toate răspunderile, obligaţiile, pierderile, prejudiciile (compensatorii, punitive sau de alt fel), penalităţile, pretenţiile, acţiunile, impozitele, cererile de chemare în judecată, costurile şi cheltuielile (inclusiv taxele rezonabile ale avocatului, precum şi cheltuielile şi costurile investigaţiei) de orice natură sau fel, inclusiv, fără prejudicierea prevederilor sus-enunţate, acele care rezultă din contract sau delict (inclusiv neglijenţă) sau din cazurile de răspundere în lipsa vinovăţiei sau de alt fel, care sunt impuse, suportate sau constatate împotriva BERD sau oricare din persoanele cu funcţii de răspundere, directorii, angajaţii, agenţii sau funcţionarii săi (indiferent, dacă este sau nu compensată şi de orice altă persoană în conformitate cu orice alt document) şi care, în orice mod, are legătură cu sau rezultă, direct sau indirect, din:
(1) Orice tranzacţii menţionate în acest Acord sau executarea, livrarea sau îndeplinirea lor;
(2) Funcţionarea sau întreţinerea spaţiilor Beneficiarului sau a spaţiilor aflate în proprietatea, sub controlul sau în posesia Entităţii Proiectului; sau
(3) Exercitarea de către Bancă a oricărui din drepturile şi remediile sale în conformitate cu acest Acord cu condiţia, că Banca nu va avea niciun drept de a fi compensat pentru neglijenţa sa severă sau conduită necorespunzătoare voluntară.
(a) Beneficiarul şi Entitatea Proiectului recunosc, că Banca încheie acest Acord şi acţionează faţă de Beneficiar şi Entitatea Proiectului exclusiv în calitate de furnizor de grant şi nu de consilier. Beneficiarul şi Entitatea Proiectului reprezintă şi garantează că, la încheierea acestui Acord, s-au angajat şi au ţinut cont de recomandările consilierilor săi juridici, financiari sau altor consilieri profesionişti şi, că nu s-a bazat şi nu se va baza pe recomandările Băncii.
Secţiunea 8.06 Cesionări
Beneficiarul şi Entitatea Proiectului nu pot cesiona sau transfera toate sau o parte din drepturile sau obligaţiile sale în temeiul prezentului Acord, fără acordul prealabil scris al Băncii.
Secţiunea 8.07 Drepturi, Remedii şi Renunţări
Drepturile şi remediile Băncii în virtutea acestui Acord nu vor fi prejudiciate de orice act sau lucru şi care ar putea, în afară de prezenta Secţiune, prejudicia astfel de drepturi sau remedii. Conduita anterioară a părţilor şi întîrzierea în exercitare, sau incapacitatea de a exercita orice drept, împuternicire sau remediu al Băncii nu vor afecta nici un drept, competenţă sau remediu, care poate fi interpretată ca o renunţare. Orice renunţare la oricare dintre termenii sau condiţiile prezentului Acord se face în scris şi este semnată de către Bancă. În cazul în care Banca renunţă o condiţie pentru orice Debursare din finanţarea din grant, Beneficiarul, primind o astfel de debursare, se va considera, că a fost de acord cu termenii unei astfel de renunţări şi dreptul Băncii de a solicita respectarea acestei condiţii trebuie să fie păstrată în mod expres în vederea oricărei debursări ulterioare. Drepturile şi remediile prevăzute în acest Acord şi alte acorduri sunt cumulative şi nu exclud orice alte drepturi sau remedii.
Secţiunea 8.08 Dezvăluirea
Banca va putea dezvălui documente, informaţii şi înregistrări privind Beneficiarul şi Entitatea Proiectului şi această tranzacţie (inclusiv copii ale acestui Acord şi orice alte acorduri), pe care Banca le va considera corespunzătoare în legătură cu orice litigiu în care va fi implicat Beneficiarul şi/sau Entitatea Proiectului, cu scopul de a respecta sau executa oricare din drepturile Băncii în virtutea acestui Acord sau oricărui alt Acord sau încasarea oricăror sume datorate Băncii şi pentru scopul de raportare conform Regulilor Fondului.
Secţiunea 8.09 Exemplare
Prezentul Acord poate fi întocmit în mai multe exemplare, fiecare din ele va fi considerat original, dar toate împreună vor constitui unul şi acelaşi contract.
DREPT PENTRU CARE, părţile, acţionând prin intermediul reprezentanţilor lor împuterniciţi în mod corespunzător, au convenit să încheie prezentul Acord în numele lor în şase exemplare la data indicată prima mai sus.

Note pentru completarea formularului cererii de debursare
[1] Beneficiarul va numerota fiecare formular de cerere. Prima cerere de debursare din grant va fi numerotată cu 1, următoarele cereri vor fi numerotate 2, 3, etc. Este responsabilitatea Beneficiarului de a ţine evidenţa numărului tuturor cererilor de debursare din grant în cadrul Acordului de Grant respectiv. Formularele cererilor trebuie să urmeze acelaşi sistem de numerotare secvenţial, indiferent, dacă sunt pentru debursarea unei plăţi directe sau pentru emiterea unui angajement de rambursare. Utilizarea sistemului de numerotare elimină confuziile în cazurile, în care formularele se reţin la poştă, sau sunt transmise prin fax mai mult de o singură dată etc.
[2] Indicaţi moneda plăţii solicitate. Aceasta va fi moneda grantului sau moneda cheltuielilor (vedeţi [3] în continuare). Ca şi alternativă, în unele circumstanţe Banca poate agrea efectuarea plăţii într-o altă monedă, caz în care va acţiona în calitate de agent al Beneficiarului pentru obţinerea monedei respective.
Dacă plata este solicitată în mai multe monede, formularele separate vor fi utilizate per monedă.
[3] Suma(sumele) finanţată(finanţate) sunt cheltuieli originale, în moneda lor originală, este descrisă în fişa rezumativă, calculate conform procentului corespunzător, specificat în Acordul de Grant pentru articolul corespunzător eligibil, finanţat din grant. Suma(sumele) indicată(indicate) trebuie să corespundă sumei(sumelor) totale din secţiunea [15] a fişei rezumative.
[4] Data tranzacţiei este data la care contul BERD este debitat cu suma plăţii spre debursare. BERD nu poate garanta creditarea contului beneficiarului la aceeaşi dată, deoarece, aceasta depinde de procedurile adoptate de sistemul de clearing al băncii Beneficiarului în ţara acestuia. Trebuie să existe cel puţin 15 zile lucrătoare între data la care BERD recepţionează cererea şi data solicitată a tranzacţiei. Dacă, de fapt, plata este necesară cât de curând posibil, în loc de data specifică a tranzacţiei ar putea să nu fie indicată o dată specifică, dar ar putea fi inclusă menţiunea “cât de curând posibil” în câmpul [4]. În acest caz, BERD va efectua plata în orice caz timp de 15 zile lucrătoare, dar şi mai repede, dacă este posibil. (Plata poate fi garantată timp de 15 zile lucrătoare doar dacă cererea de debursare este corectă şi completă.)
[5] Debursarea este plătibilă beneficiarului. De regulă, beneficiarul va fi contractorul, dar dacă Banca va agrea altfel în scris şi documentaţia anexată (vedeţi fişa rezumativă) oferă dovezi, că împrumutatul a plătit deja Contractorul, plata va fi oferită Beneficiarului.
[6] Denumirea contului beneficiarului va fi simpla denumire a beneficiarului în majoritatea cazurilor.
[7] Numărul contului beneficiarului este necesară pentru a evita întârzierile. În mai multe ţări, băncile vor refuza efectuarea plăţii, dacă numărul contului beneficiarului nu este oferit în instrucţiunile de plată.
[8] Banca beneficiarului este banca, unde este ţinut contul beneficiarului. Indicaţi denumirea băncii şi oraşul.
[9] În loc de adresă, poate fi oferit codul de sortare sau codul SWIFT.
[10] Banca corespondentă a băncii beneficiarului este necesară doar, dacă plata nu urmează a fi efectuată în moneda ţării unde este situată banca beneficiarului. În acest caz, banca corespondentă este banca situată în ţara monedei plăţii, unde banca beneficiarului are un cont.
[11] În loc de adresă, poate fi oferit codul de sortare sau codul SWIFT al băncii corespondente.
[12] Denumirea contului băncii beneficiarului va fi simpla denumire a băncii beneficiarului în majoritatea cazurilor.
[13] Numărul contului băncii beneficiarului este esenţial, dacă banca are mai mult de un cont în banca corespondentă sau dacă nu este membru al SWIFT (sistemul electronic internaţional de decontare a plăţilor). În caz contrar, numărul este util, dar nu obligatoriu. În caz de necesitate, trebuie să fie indicat nr.IBAN.
[14] Referinţa plăţii, pe care BERD o va remite odată cu efectuarea plăţii, ajută beneficiarul să identifice plata. Dacă nu este solicitată o referinţă specifică, BERD va menţiona denumirea Beneficiarului şi numărul acordului.
[15] Semnătura. Fişa rezumativă a cererii trebuie să fie semnată de către sau din numele Beneficiarului.
[16] Fişele rezumative enumeră toate articolele documentaţiei anexate drept suport la cererea de debursare. Dacă există mai multe articole, se recomandă utilizarea unei fişe rezumative separate pentru fiecare categorie.
[17] Articolele documentaţiei (contracte, facturi, bonuri etc.) urmează a fi numerotate şi prezentate în aceeaşi ordine, după cum apar în fişele rezumative. Numărul lor total trebuie să fie indicat aici pentru a facilita examinarea de către BERD.
NOTE PENTRU COMPLETAREA FIŞEI REZUMATIVE A CERERII DE DEBURSARE
[1] Numele. Numele beneficiarului. Trebuie să fie acelaşi ca şi în formularul cererii de debursare, căruia aparţine fişa rezumativă.
[2] Data. Data cererii. Această dată trebuie să fie aceeaşi ca şi în formularul cererii de debursare, căruia aparţine fişa rezumativă.
[3] Numărul operaţiunii. Acest număr este acelaşi ca şi în formularul cererii de debursare, căruia aparţine fişa rezumativă.
[4] Numărul cererii. Aceste este numărul formularului cererii de debursare, căruia aparţine fişa rezumativă.
[5] Numărul fişei rezumative. Pentru fiecare cerere de debursare, fişele rezumative trebuie să fie numerotate, începând cu 1, şi numărul lor total indicat în formularul cererii de debursare, căruia aparţine.
[6] Articolul finanţat din grant. Acesta este articolul finanţat din grant în cadrul proiectului, care urmează a fi finanţat din mijloacele debursării solicitate. Consultaţi Acordul de Grant pentru a determina denumirea şi numărul de referinţă al articolului finanţat din grant, şi procentul cheltuielilor spre a fi finanţate (de exemplu, “articolul finanţat din grant nr.(3b), echipament, 60%”).
În cazul în care cererea de debursare vizează cheltuieli din mai multe articole finanţate din grant, fişe rezumative separate vor fi utilizate pentru fiecare articol finanţat din grant.
[7] Numărul articolului. Toate articolele documentaţiei (facturi, contracte, bonuri etc.) trebuie să fie prezentate în aceeaşi ordine, după cum apar în fişa/fişele rezumative. Pentru a facilita identificarea, documentele trebuie să fie numerotate cu 1, 2, 3 etc., pentru fiecare cerere de debursare nouă, şi acest număr trebuie să fie clar indicat în document. Numărul total de articole pentru totalul fişelor rezumative este indicat în formularul cererii de debursare.
[8] Descrierea articolului. Descrieţi fiecare articol, de exemplu, “factură”, “bon”, “certificatul inginerului”, “traducerea [...]” etc.
[9] Numărul de ordine şi data contractului. Se recomandă atribuirea unui număr iniţial contractului, la momentul elaborării acestuia dintre Entitatea Proiectului şi contractor. BERD va adopta acest număr pentru propria sa evidenţă. În cazul în care contractului nu i-a fost atribuit un număr iniţial, BERD va atribui un număr şi va informa Beneficiarul la momentul aprobării. În cazul în care Beneficiarul nu cunoaşte numărul fişei rezumative, această parte poate fi lăsată spre completare pentru BERD.
Data contractului/ordinul de achiziţie trebuie să fie indicate, de asemenea, în acest câmp.
Notă: acelaşi contract poate apărea în mai multe cereri de debursări în cazul livrării bunurilor, lucrărilor sau serviciilor (vedeţi [11]), şi plata pentru aceste bunuri etc., este efectuată în etape.
[10] Numele şi adresa contractorului. Numele şi adresa omologului Entităţii Proiectului (contractorul) în contract/ordinul de achiziţie, conform descrierii din [9].
[11] Descrierea succintă a bunurilor, lucrărilor sau serviciilor. Aceste bunuri, lucrări sau servicii trebuie să corespundă detaliilor oferite în contract sau alte documente prezentate, şi trebuie să se încadreze în articolul finanţat din grant în [6].
[12] Moneda şi suma totală a contractului. Suma totală a contractului, în moneda originală, reflectată în [9].
[13] Moneda şi suma cheltuielilor eligibile. Per cheltuială: suma totală scadentă sau plătită, în moneda originală, după cum este vizată în facturi sau alte documente reflectate în [7] şi [8]. Când există mai multe “articole” pentru fiecare cheltuială (de exemplu, factură, certificat şi bon pentru aceeaşi cheltuială), acele articole trebuie să fie incluse în paranteze şi doar suma trebuie să fie indicată în acest câmp.
[14] Suma finanţării. Pentru fiecare sumă indicată în câmpul [13] trebuie să existe o sumă corespondentă în acest câmp [14], calculată conform procentului reflectat în [6], care corespunde categoriei acestei fişe rezumative. Suma finanţării trebuie să fie indicată în moneda originală a contractului şi cheltuielilor (câmpurile 12 şi 13). Aceasta poate să fie sau să nu fie aceeaşi ca şi moneda împrumutului sau moneda plăţii.
[15] Totalul. Sumele finanţării, după cum sunt reflectate în [14], trebuie să fie însumate într-un singur total per monedă. Pentru cererile de debursări directe, suma(sumele) indicate aici trebuie să corespundă sumei(sumelor) reflectate în [9] a formularului cererii de debursare.
[16] Semnătura. Fişa rezumativă a cererii trebuie să fie semnată de către sau din numele Beneficiarului. Vedeţi formularul cererii de debursare pentru cerinţele aferente semnării.

in respect of an investment grant from the
Eastern Europe Energy Efficiency and Environment Partnership (E5P)
Regional Fund for the Balti District Heating Project
Dated 1 April 2016
This GRANT AGREEMENT (the “Agreement”) is made on 1 April 2016 between the Republic of Moldova (the “Recipient”), CET-Nord JSC (hereinafter referred to as the “Project Entity”) and the European Bank for Reconstruction and Development (hereinafter referred to as the “Bank” or “EBRD”).
WHEREAS:
(A) EBRD is an international financial institution established under international law pursuant to the Agreement establishing the European Bank for Reconstruction and Development (the “Agreement Establishing the Bank”) dated 29 May 1990.
(B) The Recipient and the Project Entity have requested assistance in financing part of the Project, which is designed to assist in the improvement of the district heating infrastructure of the Project Entity.
(C) On 30 October 2014, the Bank entered into a loan agreement with the Recipient, pursuant to which the Bank as lender agreed to make a loan of up to EUR 7,000,000 for the financing of part of the Project, as described in Schedule 1 thereto (the “Project”), subject to the terms and conditions set forth in the loan agreement as may be amended from time to time (the “Loan Agreement”).
(D) The proceeds of the Loan Agreement are to be on-lent by the Recipient to the Project Entity for the implementation of the Project in accordance with the terms and conditions of a Subsidiary Loan Agreement to be entered into between the Recipient and the Project Entity, as may be amended from time to time (the “Subsidiary Loan Agreement”).
(E) On 30 October 2014, the Bank entered into a project agreement with the Project Entity, as may be amended from time to time (the “Project Agreement”), pursuant to which, in consideration for the Bank entering into the Loan Agreement, the Project Entity agreed to carry out the Project in accordance with the terms and conditions of the Project Agreement.
(F) On 30 October 2014, the Bank entered into a project support agreement with the Municipality of Balti, as may be amended from time to time (the “Project Support Agreement”), pursuant to which, in consideration for the Bank entering into the Loan Agreement, the Municipality of Balti agreed to support the carrying out by the Project Entity of the Project in accordance with the terms and conditions of the Project Support Agreement.
(G) Pursuant to Article 20 of the Agreement Establishing the Bank, the Bank has established the Eastern Europe Energy Efficiency and Environment Partnership Regional Fund (the “Fund”) which is managed and administered in accordance with the Rules of the Fund dated 23 July 2014, as may be amended from time to time (the “Rules of the Fund”).
(H) Pursuant to Article 20 of the Agreement Establishing the Bank, the Bank entered into a co-delegation agreement, dated 29 December 2015, as may be amended from time to time (the “Co-Delegation Agreement”) with the European Union whereby the European Union agreed to make a contribution to the Fund via the European Union′s Neighborhood Investment Facility.
(I) The Bank has agreed to act as implementing agency with respect to the financing provided by the Fund for the Project.
(J) In accordance with the terms and conditions of the Rules of the Fund, on 5 September 2015, the Assembly of Contributors of the Fund (as defined in Section 1.01 (Definitions) of this Agreement) approved the extension of a non-refundable investment grant for the benefit of the Project Entity in an amount not to exceed EUR 3,000,000 (three million Euro) from the Fund, subject to and on the terms and conditions set forth in this Agreement, to finance the procurement of certain goods, works and related services in relation to the Project.
NOW, THEREFORE, IT IS HEREBY AGREED AS FOLLOWS:
ARTICLE I - DEFINITIONS; REFERENCES AND HEADINGS
Section 1.01 Definitions
Words and expressions capitalised in this Agreement (including the Exhibits and any Schedules) but not herein defined shall have the same meaning ascribed thereto in the Loan Agreement, the Project Agreement and/or in the Standard Terms and Conditions when used in this Agreement.
Wherever used in this Agreement (including the Appendices and the Recitals), unless the context otherwise requires, the following terms have the following meanings:
“Agreement Establishing
the Bank” has the meaning ascribed to it in Recital A.
“Central Exclusion Database” database of all legal and natural persons excluded from European Union funding set up by the European Commission under Regulation (EC, Euratom) No. 1302/2008, of 17 December 2008, on the central exclusion database (OJ L 344/12, 20.12.2008).
“Contracts” means the contracts in place or to be entered into between the Project Entity and any Contractors, in form and substance satisfactory to the Bank, in connection with the procurement of goods, works and services for the Project, including the Grant Financed Items, and to be financed in whole or in part with the Grant Financing.
“Contractors” means the contractors and Contractors of good standing and repute to be engaged by the Project Entity in connection with the procurement of goods, works and services for the Project, including the Grant Financed Items, with each such contractor and Contractor to be selected in accordance with Section 3.06 (Procurement).
“Disbursement” means the disbursement of any portion of the Grant Financing from time to time pursuant to Section 2.02 (Disbursements) of this Agreement.
“Effective Date” means the date upon which this Agreement becomes effective in accordance with Section 7.01 (Effective Date).
“Fund” has the meaning ascribed to it in Recital G.
“Grant Financed Items” means the goods, works and related services necessary for the Project and to be financed by the Grant Financing as further described in Appendix 1 to this Agreement.
“Grant Financing” has the meaning ascribed to it under Section 2.01(a) (Amount, Currency and Purpose) of this Agreement.
“Last Availability Date of
Grant Financing” means the date specified in Section 2.02(a) (Last Availability Date of Grant Financing) of this Agreement.
“Loan Agreement” has the meaning ascribed to it in Recital C.
“Loan Financing” means financing made or to be made available by the Bank to the Recipient in its capacity as Borrower under the Loan Agreement and on-lent to the Project Entity pursuant to the terms of the Subsidiary Loan Agreement.
“Procurement Plan” means the procurement plan for the Project including the Grant Financed Items, in form and substance satisfactory to the Bank, as such procurement plan may be amended from time to time by the Project Entity with the prior written consent of the Bank.
“Project” means the project as described in Schedule 1 of the Loan Agreement.
“Project Agreement” has the meaning ascribed to it in Recital E.
“Project Completion Date” means the date on which all of the following have occurred:
(a) the Project Entity shall have delivered to the Bank and the Project Implementation Consultant a notice, in form and substance satisfactory to the Bank, signed by the Project Entity′s Authorised Representative, certifying that the Project has been completed;
(b) the Bank shall have received a certificate from the Project Implementation Consultant, in form and substance satisfactory to the Bank, confirming without any material reservations, that the Project has been completed; and
(c) the Bank shall have delivered to the Project Entity a notice confirming that the Bank is satisfied that the Project has been completed.
“Project Implementation Consultant” means the consultant(s) engaged or caused to be engaged by the Project Entity in accordance with Section 2.06(a)(1) (Consultants) of the Project Agreement to assist with the implementation of the Project.
“Recipient” the meaning given to it in the parties′ section at the beginning of this Agreement.
“Recipient′s Authorised Representative” means any person authorised to request drawdowns under the Loan Agreement.
“Reimbursement Commitment” means a commitment referred to in Section 2.03 (Conditional and Unconditional Reimbursement Commitments) of this Agreement, and may be a “conditional Reimbursement Commitment” or an “unconditional Reimbursement Commitment”, as those terms are used in that Section.
“Rules of the Fund” has the meaning ascribed to it in Recital G.
“Standard Terms and Conditions” means the Standard Terms and Conditions of EBRD dated 1 December 2012.
“Subsidiary Loan Agreement” has the meaning ascribed to it in Recital D.
Section 1.02 Interpretation
In this Agreement:
(a) words denoting the singular include the plural and vice versa, unless the context otherwise requires;
(b) the headings and the Table of Contents are inserted for convenience of reference only and shall not affect the interpretation of this Agreement;
(c) words denoting persons include corporations, partnerships, and other legal persons and references to a person includes its successors and permitted assigns; and
(d) reference to a specified Article, Section, Schedule or Exhibit shall, except where stated otherwise in this Agreement, be construed as a reference to that specified Article or Section of, or Appendix or Exhibit to, this Agreement.
ARTICLE II - GRANT FINANCING
Section 2.01 Amount, currency and purpose
(a) Subject to and in accordance with this Agreement, the Bank agrees to provide to the Recipient, from the Fund, a grant in the amount of EUR 3,000,000 (three million euro) (the “Grant Financing”).
(b) The Grant Financing shall be used solely for the purposes of financing the Grant Financed Items to be procured in accordance with Section 3.06 (Procurement) of this Agreement.
(c) Subject to Section 5.05 (Events of Refund) of this Agreement, the Grant Financing is non-refundable.
(d) It is expressly acknowledged and agreed that the Bank will not be obliged to make any Disbursement or any other payment under and/or pursuant to this Agreement, except to the extent that an amount in respect of, and equal to, such Disbursement or such payment is available in the Fund for such purpose.
(e) Except as the Bank otherwise agree Grant Financed Items shall be financed in amounts to be determined in the Procurement Plan.
Section 2.02 Disbursements
Subject to Section 5.01 (Suspension), Section 5.02 (Cancellation by the Bank) and Section 7.02 (Conditions Precedent to Effectiveness) of this Agreement, the Grant Financing shall be disbursed by the Bank from time to time, in one or more Disbursements, subject to the following provisions:
(a) Last Availability Date of Grant Financing
The Recipient′s right to request a Disbursement in accordance with this Agreement shall become effective on the Effective Date and shall terminate on the earlier to occur of (1) last availability date specified in Section 2.02 (Other Financial Terms of the Loan) of the Loan Agreement or (2) 30 November 2019, or on such later date that the Bank may in its discretion and with the agreement of the Recipient establish and notify to the Recipient.
(b) Eligible expenditures
Except as the Bank otherwise agrees, Disbursements shall only be made to finance expenditures made (or, if the Bank so agrees, to be made) in respect of the reasonable costs of the Grant Financed Items; provided such expenditures are incurred after the date of this Agreement.
(c) Conditions to Disbursement
Without limiting the generality of Section 2.02 (Disbursements) of this Agreement, any Disbursement under this Agreement in respect of one or more Grant Financed Items shall be subject to the fulfilment, or at the sole discretion of the Bank the waiver, whether in whole or in part and whether subject to conditions or unconditionally of the condition that, amount of Loan Financing drawn down, or requested under a satisfactory Drawdown application, by the Recipient in its capacity as Borrower is at least equal to that of the Grant Financing disbursed to, or requested under a satisfactory Disbursement application by the Recipient, in accordance with the Loan Agreement.
(d) Disbursement Request
(1) The Recipient may request a Disbursement by submitting to the Bank an original request for such Disbursement, signed by the Recipient′s Authorised Representative, or a person designated by the Recipient′s Authorised Representative. Each Disbursement request shall be in the form of Exhibit 1 (Form of Disbursement Request) and shall be delivered to the Bank at least fifteen (15) Business Days prior to the proposed value date of such Disbursement. Such request shall, except as the Bank otherwise agrees, be irrevocable and binding on the Recipient.
(2) Each Disbursement request shall be accompanied by such documents and other evidence sufficient in form and substance to satisfy the Bank that the Recipient is entitled to the amount of the Disbursement and that the amount of the Disbursement will be used exclusively for the Grant Financed Items. Such documents shall include, but not be limited to the Contractor′s invoice(s), certified by or on behalf of the Recipient (or the Project Entity, as the case may be), either on the actual invoice or in the form of a separate certificate, indicating the Recipient′s (or the Project Entity′s, as the case may be) confirmation that the goods, works or services have been satisfactorily delivered or carried out in compliance with the requirements of this Agreement and the relevant Contract.
(e) Currency of Disbursements
Disbursements shall be made in EUR in an amount equivalent to the expenditures to be financed out of the proceeds of the Grant Financing. In the case of expenditures incurred in a currency or currencies other than EUR, the equivalent Disbursement amount shall be determined as follows:
(1) if the Recipient requests payment in EUR, the equivalent Disbursement amount shall be determined by the Bank on the basis of the exchange cost that would have been incurred by the Bank if it had purchased such currency or currencies to meet the request; or
(2) if the Recipient requests payment in the currency or currencies of the expenditures, the Bank will, provided such expenditures are in readily available currencies or currency, purchase such currency or currencies in such a manner as the Bank may deem appropriate. The equivalent Disbursement amount shall be determined by the Bank on the basis of the exchange costs that were or would have been incurred by the Bank in using EUR to meet the request.
(f) Payments in other Currencies
In exceptional circumstances, the Bank may grant a request by the Recipient that payment be made in a currency or currencies other than EUR or the currency of expenditures. In that case, the Bank will purchase such currency or currencies in such manner as the Bank may deem appropriate. The equivalent Disbursement amount shall be determined by the Bank on the basis of the exchange costs that were or would have been incurred by the Bank in using EUR to meet the request.
(g) Minimum Disbursement Amount
Except for the last Disbursement or except as the Bank otherwise agrees, Disbursements shall be made in amounts of not less than EUR 50,000).
Section 2.03 Conditional and Unconditional Reimbursement Commitments
(a) Upon the Recipient′s request, in form and substance satisfactory to the Bank, the Bank may, in accordance with the applicable provisions of the EBRD Disbursement Handbook mutatis mutandis, issue unconditional or conditional Reimbursement Commitments to reimburse payments made by banks under letters of credit in respect of expenditures to be financed by the Grant Financing. Any such reimbursement shall constitute a Disbursement.
(b) In the case of a conditional Reimbursement Commitment, the obligation of the Bank to pay shall be suspended or terminated immediately upon any suspension or cancellation of the Grant Financing by the Bank pursuant to Section 5.01 (Suspension) or Section 5.02 (Cancellation by the Bank) of this Agreement.
(c) In the case of an unconditional Reimbursement Commitment, the obligation of the Bank to pay shall not be affected by any subsequent suspension or cancellation of the Grant Financing.
Section 2.04 Reallocation
The Recipient may request the Bank to reallocate the amounts allocated against each item of the Grant Financed Items listed in Schedule 1 to this Agreement, provided that such reallocation is in accordance with the terms of the Fund Agreement. The Bank may grant the request of reallocation by notice to the Recipient. Such reallocation shall take effect when notice is given.
Section 2.05 Cancellation by the Recipient
The Recipient may cancel at any time, on not less than thirty (30) Business Days prior written notice to the Bank, in whole or in part, any undisbursed portion of the Grant Financing. Any such notice of cancellation by the Recipient shall be irrevocable and binding on the Recipient.
Section 2.06 Payments
(a) Except as the Bank otherwise agrees, the sums to be disbursed by the Bank under this Agreement shall be paid directly to the account of the relevant Contractor as the Recipient designates in its Disbursement request.
(b) If the due date for any payment under this Agreement would otherwise fall on a day that is not a Business Day, then such payment shall instead be due on the next succeeding Business Day.
(c) Any amounts that may become due to the Bank under this Agreement shall be paid, without set-off or counterclaim in EUR, for value on the due date, to such account in London, England or such other place as the Bank may from time to time designate by notice to the Recipient.
ARTICLE III - EXECUTION OF THE PROJECT
Section 3.01 Cooperation and Information
(a) The provisions of Sections 4.01(a) and 4.01(b) (Cooperation and Information) of the Standard Terms and Conditions shall apply as if set out herein in full mutatis mutandis, including without prejudice to the generality thereof, as if:
(i) references to the “Loan” were read as references to the “Grant Financing”; and
(ii) references to the “the Loan Agreement” were read as references to “this Agreement”.
(b) In receiving information pursuant to the Loan Agreement, the Project Agreement or the Project Support Agreement, the Bank may use and rely on any such information in its capacity as provider of the Grant Financing under this Agreement.
Section 3.02 Responsibilities Relating to the Execution of the Project
(a) The Recipient and the Project Entity shall, except as the Bank otherwise agrees:
(1) carry out the Project with due diligence and efficiency and in accordance with the Loan Agreement, the Project Agreement and this Agreement; and
(2) carry out the Project in accordance with the Procurement Plan, subject to any modification to which the Bank may agree in writing;
(3) carry out the Project in accordance with the Environmental Action Plan and the Designated Performance Requirements; and
(4) take all action necessary to ensure the successful completion of the Project.
(b) The provisions of Sections 4.02(d) and 4.02(f) (Responsibilities Relating to Project Execution) of the Standard Terms and Conditions shall apply as if set out herein in full, mutatis mutandis, including without prejudice to the generality thereof, as if references to the “proceeds of the Loan” were read as references to the “Grant Financing”.
Section 3.03 Environmental and social compliance
Except as the Bank otherwise agrees, the Project Entity shall ensure that the part of the Project financed with the Grant Financing is carried out in accordance with Section 2.05 (Environmental and Social Compliance Covenants) of the Project Agreement.
Section 3.04 Support Obligations of the Recipient
(a) The Recipient shall take no action, nor shall it permit any of its agents or subsidiaries to take any action, that would prevent or interfere with the execution of the Project or with the efficient operation of the Project facilities or the performance of the Project Entity′s obligations under this Agreement. The Recipient shall also ensure that no such action is taken or permitted to be taken by any of its political or administrative subdivisions or any of the entities owned and controlled by, or operating for the account or benefit of, the Recipient or such subdivisions.
(b) The Recipient shall, unless the Bank shall agree otherwise:
(1) duly perform all of its obligations under this Agreement and under the Loan Agreement;
(2) make available to the Project Entity the proceeds of the Grant Financing on terms and conditions acceptable to the Bank;
(3) support the Project Entity in meeting its obligations under this Agreement and the Project Agreement, including by taking all legislative, regulatory or other actions necessary or desirable, and by allocating and proving, or causing to be provided, funds and support to the Project Entity as and when needed by the Project Entity to complete the Project;
(4) cause the Project Entity to perform all of its obligations under this Agreement; and
(5) execute any other documents and take any other actions that the Bank determines are necessary or desirable to give effect to this Agreement.
Section 3.05 Project Implementation Unit
The Project Entity shall ensure that the activities and responsibilities of the PIU, referred to in Section 2.03 (Project Implementation Unit) of the Project Agreement, include the procurement of the Grant Financed Items and implementation of the Grant Financing.
Section 3.06 Procurement
(a) Except as the Bank otherwise agrees, the procurement of all Grant Financed Items shall be governed by the EBRD Procurement Rules. The Grant Financed Items shall be procured through open tendering as set out in Chapter 3 of the EBRD Procurement Rules.
(b) All Contracts shall be subject to the prior review procedures set out in the EBRD Procurement Rules.
Section 3.07 Project records and reports; Examinations
(a) The Recipient and the Project Entity, respectively, shall ensure that information furnished to the Bank by the Recipient in compliance with the Recipient′s obligations pursuant to Section 3.01(d)(5) and (7) (Other Affirmative Project Covenants) of the Loan Agreement, and by the Project Entity, in compliance with Project′s Entity′s obligations pursuant to Section 2.07 (b) of the Project Agreement, and by the Recipient and the Project Entity pursuant to Section 5.02 (Reporting) of the Standard Terms and Conditions, as well as the records maintained by the Recipient and the Project Entity pursuant to Section 4.04 (Project Records and Reports) of the Standard Terms and Conditions:
(1) includes detailed information concerning the Contracts, the Contractors, Disbursements, the Grant Financing and its use, the Grant Financed Items, as well as the status of compliance with each of the covenants contained in this Agreement in form and substance satisfactory to the Bank;
(2) contains sufficient information to enable tracking of the Grant Financing distinct from the Loan Financing; and
(3) includes such other information regarding inter alia the Recipient, the Project Entity, the Project and transactions contemplated in this Agreement as the Bank may from time to time reasonably request.
(b) As soon as available but in any event, within thirty (30) days after completion of the last Contract, the Recipient shall furnish, or shall cause the Project Entity to furnish) to the Bank (if requested by the Bank, certified by an authorised officer of the Recipient or the Project Entity, as the case may be) a final report with regard to the use of the Grant Financing, which will specify in detail all Contracts, all Contractors, the Grant Financed Items and the delivery and erection schedules, and comparison against original forecasts.
(c) As soon as available but in any event, within thirty (30) days after the Project Completion Date, the Recipient shall, or shall cause the Project Entity to furnish, to the Bank (if requested by the Bank, certified by an authorised officer of the Recipient or the Project Entity, as applicable) a final report with regard to the Project, identifying the use of the Grant Financing.
(d) The Recipient and the Project Entity shall enable the Bank and representatives, also when accompanied by the representatives of donors to the Fund, at the Bank′s request:
(1) to visit any facilities and construction sites relating to the Project;
(2) to examine any and all goods, works and services financed out of the proceeds of the Grant Financing and any plants, installations, sites, works, buildings, property, equipment, records and documents relevant to the performance of the obligations of the Recipient and the Project Entity under this Agreement; and
(3) for these purposes, to meet and hold discussions with such representatives and employees of the Recipient or the Project Entity as the Bank may deem necessary and appropriate.
(e) Upon the award of any Contract, the Bank may publish a description thereof, the name and nationality of the Contractor and the contract price.
(f) The Recipient and the Project Entity shall ensure that the Bank, the donors to the window of the Fund allocated for the Republic of Moldova, and their representatives are provided access to the Recipient′s and the Project Entity′s books of account and records related to the Project and the Grant Financing.
ARTICLE IV – FINANCIAL, OPERATIONAL AND DONOR RELATED COVENANTS
Section 4.01 Financial Records and Reports
(a) The Recipient and the Project Entity shall maintain separate records and accounts in respect of the Grant Financing, in accordance with accounting standards acceptable to the Bank and consistently applied.
(b) The Recipient and the Project Entity, as applicable, shall ensure that the information furnished to the Bank and records maintained by the Recipient and the Project Entity, in compliance with the Project Entity′s obligations pursuant to Section 3.01 (Financial Records and Reports) of the Project Agreement as well as the Recipient′s and the Project Entity′s obligations pursuant to Section 5.02 (c)(i) (Reporting) of the Standard Terms and Conditions:
(1) includes detailed information concerning the Grant Financing and its use, in form and substance satisfactory to the Bank;
(2) contains sufficient information to enable tracking of the Grant Financing distinct from the Loan Financing; and
(3) includes such other information concerning such records, accounts and financial statements as the Bank may from time to time reasonably request.
(c) The Recipient and the Project Entity shall, until at least five (5) years after the Project Completion Date or, if later, the date of the limitation period of any claim pursuant to the applicable law governing the Delegation Agreement, this Agreement or any Contract:
(1) keep financial accounting documents and records concerning the activities financed by the Grant Financing; and
(2) provide to the Bank and/or the donors to the Fund, upon request, all relevant financial information and access to any documents and computerised data, including statements of accounts, in connection with the Project, as well as grant them access to sites and premises at which the operations related to the Project are carried out.
Section 4.02 Conduct of Business and Operations
The Recipient and the Project Entity shall, except as the Bank otherwise agrees:
(a) duly perform all of its obligations under this Agreement, (in the case of the Recipient) in its capacity as Borrower under the Loan Agreement and (in the case of the Project Entity) as the Project Entity under the Project Agreement;
(b) not sell, lease or otherwise dispose of any of its core assets that are required for the efficient carrying on of its operations or the disposal of which may prejudice it ability to perform satisfactorily any of its obligations under this Agreement;
(c) not make changes or permit changes to be made to the Statutes if such changes are inconsistent with any provision of this Agreement or could impair the ability of the Project Entity to comply with the terms of this Agreement; and
(d) execute any other documents and take any other actions that the Bank determines are necessary or desirable to give effect to this Agreement.
Section 4.03 Taxes
(a) The Recipient shall pay, when due, all Taxes levied on it and payable on, or in connection with, the execution, issue, delivery, registration or notarisation of this Agreement (including the provision of the Grant Financing) or any other document related to this Agreement.
(b) No part of the proceeds of the Grant Financing shall be used, directly or indirectly, for the payment of any Taxes, be they direct or indirect, in the territory of the Republic of Moldova or elsewhere.
Section 4.04 Visibility
(a) Unless advised otherwise by the EBRD, where reference is made to the Project, either in official or public information documents, the Recipient and the Project Entity shall always acknowledge and make public in relevant publications, communications, as well as media, the fact that the Project has received funding from inter alia the Fund, making express reference also to the individual contributors to the Fund. The Recipient and the Project Entity shall incorporate in all their promotional material related to the Project a reference to the fact that the Project is supported by the Fund and expressly identify the individual contributors to the Fund.
(b) The Recipient and the Project Entity shall procure and ensure that any specific reports relating to the implementation of the Project, prepared by the Recipient and/or the Project Entity, and/or such reports prepared by the consultants and/or promoters of the Project shall include the following statement: “This document has been produced with the financial assistance of the Fund. The views expressed herein are those of [name of author] and can, therefore, in no way be taken to reflect the official opinion of the contributors to the Fund or the EBRD”.
Section 4.05 Fraud and Corruption
The Recipient and the Project Entity shall not, and shall not authorise or permit any of their respective officers, directors, authorised employees, agents or representatives to, engage on with respect to the Project, the Grant Financing or any transactions contemplated by this Agreement, any Prohibited Practice.
Section 4.06 Conflict of Interests
The Project Entity shall and, as applicable, shall take all necessary steps to ensure that the Recipient shall, refrain, in accordance with their respective regulations and rules, from any action which may give rise to a conflict of interests. There is a conflict of interests where the impartial and objective exercise of the functions of the Project Entity or the Recipient under this Agreement is compromised.
Section 4.07 Data Protection
The Project Entity shall and, as applicable, shall take all necessary steps to procure that the Recipient shall, ensure appropriate protection of personal data, inter alia, by taking, in accordance with their respective regulations and rules, appropriate technical and organisational security measures concerning the risks inherent in any such operation and the nature of the information relating to the natural person concerned, in order to:
(a) prevent any unauthorised person from gaining access to computer systems performing such operations, and especially unauthorised reading, copying, alteration or removal of storage media, this includes unauthorised data input as well as any unauthorised disclosure, alteration or erasure of stored information;
(b) ensure that authorised users of an IT system performing such operations can access only the information to which their access right refers; and
(c) design their respective organisational structures in such a way that they meet the above requirements.
Section 4.08 Central Exclusion Database
Pursuant to the Co-Delegation Agreement the Bank is under an obligation to inform the European Union if, in relation to the implementation of the Project, it has found that the Project Entity or the Recipient or persons having powers of representation, decision making or control over either of them have been the subject of a judgement which has the force of res judicata for fraud, corruption, involvement in a criminal organisation, money laundering or any other illegal activity detrimental to the European Union′s financial interests. The European Union shall introduce this information in the Central Exclusion Database
ARTICLE V - SUSPENSION AND CANCELLATION; REFUND
Section 5.01 Suspension
(a) If any of the following events shall have occurred and be continuing, the Bank may, by notice to the Recipient, suspend in whole or in part, the right of the Recipient to any further Disbursement under this Agreement:
(1) any of the Loan Agreement, the Project Agreement or the Subsidiary Loan Agreement ceases to be in full force and effect or is terminated;
(2) the Recipient has failed or fails to perform any of its obligations under this Agreement, or in its capacity as Borrower under the Loan Agreement, or in its capacity as lender under the Subsidiary Loan Agreement;
(3) alternative funding proves to have been acquired for the financing of the Project, thus giving rise to double-financing (either in whole or in part);
(4) the Project Entity has failed or fails to perform any of its obligations under this Agreement or, in its capacity as Project Entity, the Project Agreement, or, in its capacity as borrower, under the Subsidiary Loan Agreement;
(5) the Bank has suspended, or an event has occurred which gives the Bank the right to suspend, in whole or in part, the right of the Recipient to make applications for Drawdowns, pursuant to Section 7.01 (Suspension) of the Standard Terms and Conditions or Section 4.01 (Suspension) of the Loan Agreement;
(6) the Bank has cancelled, or an event has occurred which gives the Bank the right to cancel, in whole or in part, the Loan Financing pursuant to Section 7.02 (Cancellation by the Bank) of the Standard Terms and Conditions;
(7) any Event of Acceleration under the Loan Agreement and/or the Standard Terms and Conditions has occurred or is continuing and the Bank has declared all or any portion of the Loan Financing to be due and payable pursuant to Section 7.06 (Events of Acceleration) of the Standard Terms and Conditions;
(8) an extraordinary situation has arisen as a result of events which have occurred which shall make it improbable the Project can be carried out or the Recipient or the Project Entity will be able to perform their obligations under this Agreement;
(9) a representation made by the Recipient or the Project Entity in connection with this Agreement shall have been incorrect or misleading in any material respect;
(10) the Statutes of the Project Entity shall have been amended, suspended, abrogated, repealed or waived in such a way as to affect materially and adversely the operations or the financial condition of the Project Entity or its ability to carry out the Project or to perform any of its obligations under this Agreement;
(11) the Recipient in its capacity as Borrower under the Loan Agreement has cancelled in whole or in part any undisbursed portion of the Loan Financing pursuant to Section 3.08 (Cancellation) of the Standard Terms and Conditions;
(12) the Fund has terminated, or the donors to the Fund have suspended payments under the Rules of the Fund, or notice of termination has been given under the Rules of the Fund, or the Country Window (as defined in the Rules of the Fund) for Moldova has closed, pursuant to the Rules of the Fund;
(13) the Recipient, the Project Entity, a Contractor, or any of their officers, employees, agents or representatives has been found by a judicial process or other official enquiry to have engaged in any Prohibited Practice; or
(14) the legislative and regulatory framework applicable to the district heating sector in the territory of the Republic of Moldova shall have been amended, suspended, abrogated, repealed or waived in a manner so as to affect materially and adversely the operations or the financial condition of the Project Entity to perform any of its obligations under this Agreement.
(b) The right of the Recipient to any further Disbursement shall continue to be suspended in whole or in part, as the case may be, until the event or events which gave rise to suspension shall have ceased to exist, unless the Bank shall have notified the Recipient that the right to further Disbursements has been restored; provided, however that, that the right to further Disbursements shall be restored only to the extent and subject to the conditions specified in such notice, and no such notice shall affect or impair any right, power or remedy of the Bank in respect of any other subsequent event described in this Section.
Section 5.02 Cancellation by the Bank
(a) If at any time the Bank determines, after consultation with the Recipient and the Project Entity, that an amount of the Grant Financing will not be required to finance costs of the Project to be financed out of the Grant Financing, the Bank may, by notice to the Recipient and the Project Entity, cancel such amount of the Grant Financing. On the Last Availability Date of the Grant Financing, any undisbursed portion of the Grant Financing shall be cancelled automatically, except as the Bank otherwise agrees.
(b) If the right of the Recipient to Disbursement of any portion of the Grant Financing under this Agreement shall have been suspended pursuant to Section 5.01 (Suspension) of this Agreement for a continuous period of thirty (30) days, the Bank may, by notice to the Recipient and the Project Entity, cancel the Grant Financing, in whole or in part.
(c) If the Bank has cancelled, or an event has occurred which gives the Bank the right to cancel, in whole or in part, the Loan Financing pursuant to Section 7.02 (Cancellation by the Bank) of the Standard Terms and Conditions, the Bank may, by notice to the Recipient and the Project Entity, cancel the Grant Financing, in whole or in part.
(d) If at any time, the Bank determines that:
(1) the procurement of any of the Grant Financed Items is inconsistent with this Agreement;
(2) funds disbursed under this Agreement have been used for purposes other than those provided for under this Agreement; or
(3) with respect to any Contract, any representative of the Recipient, the Project Entity or any Contractor has engaged in any Prohibited Practice during the procurement or execution of such Contract, without the Recipient and/or the Project Entity having taken timely and appropriate action satisfactory to the Bank to remedy the situation;
the Bank may, by notice to the Recipient and the Project Entity, cancel the Grant Financing in whole or in part.Such cancellation shall take effect when notice is given.
(e) If at any time the Bank determines that any representative of the Recipient, the Project Entity or any Contractor has been found by a judicial process or other official enquiry to have engaged in any Prohibited Practice, the Bank may, by notice to the Recipient and the Project Entity, cancel the Grant Financing in whole or in part.Such cancellation shall take effect when notice is given.
Section 5.03 Unconditional Reimbursement Commitments Unaffected by Suspension or Cancellation
No cancellation or suspension shall apply to amounts subject to an unconditional Reimbursement Commitment entered into by the Bank pursuant to Section 2.03 (Conditional and Unconditional Reimbursement Commitments) of this Agreement except as expressly provided in such commitment.
Section 5.04 Obligations of the Recipient and the Project Entity
Notwithstanding any cancellation or suspension, all the provisions of this Agreement shall continue in full force and effect, except as specifically provided herein.
Section 5.05 Events of Refund
If any of the following event shall have occurred and shall be continuing for the period specified below, then at any time during the continuance of that event the Bank may, by notice to the Recipient and the Project Entity, demand that the Recipient and/or the Project Entity refund all or any portion of the Grant Financing (and pay any other amounts payable under this Agreement) and the same shall thereupon become (anything in this Agreement to the contrary notwithstanding), due and payable immediately:
(a) Any event specified in Section 5.01(a)(1) (Suspension) of this Agreement has occurred.
(b) Any event specified in Section 5.01(a)(2), 5.01(a)(3) or 5.01(a)(8) (Suspension) of this Agreement has occurred (including, without limitation, the incorrect usage of the Grant Financing in breach of Section 2.01(b) of this Agreement) and, if capable of remedy, has continued for a period of thirty (30) days after notice thereof has been given by the Bank.
(c) Any Event of Acceleration specified in the Loan Agreement and the Standard Terms and Conditions has occurred or is continuing and the Bank, has declared all or any portion of the Loan Financing to be due and payable pursuant to Section 7.06 (Events of Acceleration) of the Standard Terms and Conditions.
(d) At any time the Bank determines that any representative of the Recipient or the Project Entity or of any Contractor has been found by a judicial process or other official enquiry to have engaged in any Prohibited Practice.
(e) The Recipient in its capacity as Borrower under the Loan Agreement has cancelled in whole or in part any undisbursed portion of the Loan Financing pursuant to Section 3.08 (Cancellation) of the Standard Terms and Conditions.
ARTICLE VI - ENFORCEABILITY, DISPUTE RESOLUTION
Section 6.01 Enforceability
The rights and obligations of the Recipient and the Project Entity shall be valid and enforceable in accordance with their terms, notwithstanding any local law to the contrary. The Recipient and the Project Entity shall not be entitled under any circumstances to assert any claim that any provision of this Agreement is invalid or unenforceable for any reason.
Section 6.02 Failure to exercise rights
No delay in exercising, or omission to exercise, any right, power or remedy, accruing to either party under this Agreement upon any default shall impair any such right, power or remedy or be construed to be a waiver thereof or an acquiescence in such default; nor shall the action of such party in respect of any default, or any acquiescence in any default, affect or impair any right, power or remedy of such party in respect of any other subsequent default.
Section 6.03 Dispute resolution
The provisions of Section 8.04 (Dispute Resolution) of the Standard Terms and Conditions shall apply as if set out herein in full mutatis mutandis including, without prejudice to the generality thereof, as if references to “the Loan Agreement” or “Project Agreement” were read as references to “this Agreement”.
ARTICLE VII - EFFECTIVENESS; TERMINATION
Section 7.01 Effective Date
Except as the Bank, the Recipient and the Project Entity shall otherwise agree, this Agreement shall become effective on the date upon which the Bank dispatches to the Recipient and the Project Entity notice of the Bank′s acceptance of the evidence required by Section 7.02 (Conditions Precedent to Effectiveness) and Section 7.03 (Legal Opinions) of this Agreement.
Section 7.02 Conditions Precedent to Effectiveness
This Agreement shall not become effective unless the Bank is satisfied that no event referred to in Section 5.01(a) (Suspension) or Section 5.05 (Events of Refund) of this Agreement has occurred and is continuing; and until the following conditions precedent have been fulfilled, in form and substance satisfactory to the Bank, or at the sole discretion of the Bank waived, whether in whole or in part and whether subject to conditions or unconditionally:
(a) the Bank shall have received two duly executed originals of this Agreement;
(b) all conditions precedent to the effectiveness of the Loan Agreement under Section 9.02 (Conditions Precedent to Effectiveness) of the Standard Terms and Conditions and Section 5.01 (Conditions Precedent to Effectiveness) of the Loan Agreement, except only the effectiveness of this Agreement, have been fulfilled, in form and substance satisfactory to the Bank;
(c) the Bank shall have received evidence, in form and substance satisfactory to the Bank, that the execution and delivery of this Agreement on behalf of the Recipient and the Project Entity has been duly authorised or ratified by all necessary governmental, administrative and corporate action; and
(d) the Bank has been provided with such other documents it may have reasonably requested.
Section 7.03 Legal Opinions
As part of the evidence to be furnished pursuant to Section 7.02 (Conditions Precedent to Effectiveness) of this Agreement, the Recipient and the Project Entity shall furnish, or cause to be furnished, to the Bank an opinion on behalf of the Recipient by the Minister of Justice to the Recipient and on behalf of the Project Entity by the chief legal officer of the Project Entity, in form and substance satisfactory to the Bank, in respect of this Agreement, and showing that this Agreement has been duly authorised or ratified by, and executed and delivered on behalf of the Recipient and the Project Entity, and constitutes a valid and legally binding obligation of the Recipient and the Project Entity, enforceable in accordance with its terms.
Section 7.04 Termination for Failure to Become Effective
If
(a) this Agreement shall not have become effective by the date which is one hundred eighty (180) calendar days from the date of this Agreement; or
(b) the Loan Agreement shall not have become effective by the date specified in Section 6.03 (Termination for Failure to Become Effective) of the Loan Agreement or any further date notified by the Bank to the Recipient in its capacity as Borrower pursuant to Section 9.04 of the Standard Terms and Conditions;
all obligations of the Bank under this Agreement shall terminate unless the Bank, after consideration of the reasons for the delay, shall establish a later date for the purposes of this Section. The Bank shall promptly notify the Recipient and the Project Entity of such later date.
Section 7.05 Termination on Performance
(a) This Agreement shall continue in force until the Recipient and the Project Entity have performed all of their respective obligations in accordance with the provisions hereof, unless earlier terminated in accordance with its terms; provided that the provisions of Section 6.03 (Dispute Resolution) shall survive the termination of this Agreement.
(b) Notwithstanding anything to the contrary in this Agreement, the provisions of Section 5.05(d) (Events of Refund) shall survive the termination of this Agreement for five (5) years after the Project Completion Date.
ARTICLE VIII - MISCELLANEOUS
Section 8.01 Notices
Any notice or request required or permitted to be given or made under this Agreement shall be in writing. Except as otherwise provided in Section 7.01 (Effective Date) of this Agreement, such notice or request shall be deemed to have been duly given or made when it has been delivered to the party to which it is required to be given or made at the party′s address specified below or at such other address as such party shall have specified in writing to the other party giving the notice or making the request. Except as otherwise provided in this Agreement or the EBRD Disbursement Handbook, such delivery may be made by hand, mail or facsimile transmission. Deliveries made by facsimile transmission shall also been confirmed by mail.

Section 8.02 Authority to Act
Any action required or permitted to be taken and any documents required or permitted to be executed under this Agreement by the Recipient and the Project Entity, shall be taken or executed by the Authorised Representatives of the Recipient and the Project Entity, or such other officer of the Recipient and the Project Entity as any such Authorised Representatives shall designate in writing. The Recipient and the Project Entity shall furnish to the Bank evidence of the authority and the authorised specimen signature of such officer substantially in the form of Exhibit 2 (Form of Letter Designating Authorised Signatories).
Section 8.03 Amendment
(a) This Agreement may be amended by a written instrument signed by the Recipient′s Authorised Representative, the Project Entity′s Authorised Representative and by a duly authorised officer of the Bank.
(b) The Recipient and the Project Entity shall obtain the consent of the Bank in its capacity as provider of the Grant Financing under this Agreement, before agreeing to any amendment to the Loan Agreement or the Project Agreement, respectively.
Section 8.04 English language
This Agreement has been prepared and executed in English. Any document delivered pursuant to this Agreement shall be in the English language. Documents in any other language shall be accompanied by an English translation thereof certified as being an approved translation and such approved translation shall be conclusive.
Section 8.05 Indemnification
(a) The Recipient and the Project Entity assume full liability for, and agree to and shall indemnify and hold harmless the Bank and its officers, directors, employees, agents and servants against and from, any and all liabilities, obligations, losses, damages (compensatory, punitive or otherwise), penalties, claims, actions, Taxes, suits, costs and expenses (including, reasonable legal counsel′s fees and expenses and costs of investigation) of whatsoever kind and nature, including, without prejudice to the generality of the foregoing, those arising in contract or tort (including, negligence) or by strict liability or otherwise, which are imposed on, incurred by or asserted against the Bank or any of its officers, directors, employees, agents or servants (whether or not also indemnified by any other person under any other document) and which in any way relate to or arise out of, whether directly or indirectly:
(1) any of the transactions contemplated by this Agreement or the execution, delivery or performance thereof;
(2) the operation or maintenance of the Recipient′s or the Project Entity′s facilities or the ownership, control or possession thereof by the Recipient or the Project Entity; or
(3) the exercise by the Bank of any of its rights and remedies under this Agreement; and
provided that the Bank shall not have any right to be indemnified hereunder for its own gross negligence or wilful misconduct.
(b) The Recipient and the Project Entity acknowledge that the Bank is entering into this Agreement, and has acted, solely as a grant provider, and not as an advisor, to the Recipient and the Project Entity. The Recipient and the Project Entity represent and warrant that, in entering into this Agreement, they have engaged, and relied upon advice given to it by, their own legal, financial and other professional advisors and it has not relied on and will not hereafter rely on any advice given to it by the Bank.
Section 8.06 Assignments
The Recipient and the Project Entity may not assign or otherwise transfer all or any part of its rights or obligations under this Agreement without the prior written consent of the Bank.
Section 8.07 Rights, Remedies and Waivers
The rights and remedies of the Bank under this Agreement shall not be prejudiced by any act or thing which might, apart from this Section, prejudice such rights or remedies. No course of dealing and no delay in exercising, or failure to exercise, any right, power or remedy of the Bank shall impair any such right, power or remedy or be construed to be a waiver thereof. Any waiver of any of the terms or conditions of this Agreement shall be in writing and signed by the Bank. In the event that the Bank waives a condition to any Disbursement of the Grant Financing, the Recipient shall, by receiving such Disbursement, be deemed to have agreed to the terms of such waiver and the right of the Bank to require compliance with such condition shall be expressly preserved for the purposes of any subsequent Disbursement. The rights and remedies provided in this Agreement and the other agreements contemplated hereby are cumulative and shall not preclude any other or further exercise thereof or the exercise of any other right or remedy.
Section 8.08 Disclosure
The Bank may disclose such documents, information and records regarding the Recipient, the Project Entity and this transaction (including copies of this Agreement and any other agreement contemplated hereby) as the Bank deems appropriate for any purposes in connection with any dispute involving the Recipient and/or the Project Entity, for the purpose of preserving or enforcing any of the Bank′s rights under this Agreement or any other agreement contemplated hereby or collecting any amount owing to the Bank and for the purpose of reporting pursuant to the Rules of the Fund.
Section 8.09 Counterparts
This Agreement may be executed in any number of counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same agreement.

The goods and services covered by this request have been or are being purchased in accordance with the terms of the Grant Agreement.
We confirm that the amount of Loan Financing drawn down, or requested under a satisfactory Drawdown application, by the Recipient in its capacity as Borrower is at least equal to that of the Grant Financing disbursed to, or requested under a satisfactory Disbursement application by the Recipient, in accordance with the Loan Agreement.

Notes for completion of the form of Disbursement request
[1] The Recipient should number each request form. The first request for a grant disbursement will be number 1, the following requests will be numbers 2, 3, etc. It is up to the Recipient to keep track of the number of all grant disbursement requests that it has made under the given grant agreement. The request forms should follow the same sequential numbering system, whether they are for a direct payment disbursement, or for the issue of a reimbursement commitment. The use of this numbering system avoids confusion in case forms are held up in the post, are faxed more than once, etc.
[2] Please state currency of actual payment required. This will be either the grant currency, or the currency of the expenditures (see [3] below). Alternatively, in some circumstances the Bank may agree to pay in a third currency, in which case it would act as the Recipient′s agent in order to obtain this currency.
If payment is required in more than one currency, then a different application form should be used per currency.
[3] The financed amount(s) are the original expenditures, in their original currency as detailed on the summary sheet, calculated at the appropriate percentage specified in the grant agreement for the applicable eligible Grant Financed Item. The amount(s) given here should correspond with the total amount(s) in section [15] of the summary sheet.
[4] The value date is the date that the EBRD′s account is debited with the payment amount of the disbursement. The EBRD cannot guarantee that the payee′s account will be credited on the same date, as this depends on the procedures adopted by the clearing system or the Recipient bank in the country of the payee. There should be 15 business days minimum between the date that the EBRD receives the application and the requested value date. If in fact the payment is needed as soon as possible, instead of on that specific value date, it may be better not to give a specific date, but to put “as soon as possible” in this field [4]. In that case the EBRD will make the payment in any case within 15 business days, but earlier if possible. (Please note payment can only be guaranteed within 15 business days if the disbursement request is correct and complete.)
[5] The Disbursement is paid out to the payee. Normally the payee will be the Contractor, but provided that the Bank has agreed otherwise in writing and the enclosed documentation (see the summary sheet) provides evidence that the borrower has already paid the Contractor, then payment may be made to the Recipient.
[6] The payee′s account name in most cases will simply be the name of the payee.
[7] The payee′s account number is required to avoid delays. In a growing number of countries, banks will refuse to make payment if the payee′s account number is not given in the payment instructions.
[8] The payee′s bank is the bank where the payee′s account is held. Please indicate bank name and town.
[9] Instead of the address, the sorting code or SWIFT code can be given.
[10] The correspondent bank of the payee′s bank is only required if payment is not to be made in the currency of the country where the payee′s bank is located. In that case, the correspondent bank is the bank, located in the country of the payment currency, with which the payee′s bank holds an account.
[11] Instead of an address, the sort code or SWIFT code of the correspondent bank can be given.
[12] The payee′s bank′s account name in most cases will simply be the name of the payee′s bank.
[13] The payee′s bank′s account number is essential if the payee bank holds more than one account with the correspondent bank, or if it is not a member of SWIFT (the international electronic payment settlement system). Otherwise this number is useful but not mandatory. Where applicable the IBAN No. (International Bank Account Number) should be quoted.
[14] The payment reference which the EBRD will send with the payment helps the payee to identify the payment. If no specific reference is requested, the EBRD will mention the Recipient′s name and the agreement number.
[15] Signature. The request summary sheet should be signed off by or on behalf of the Recipient.
[16] The summary sheets list all the items of documentation enclosed to support the Disbursement request application. If there are many items, it is advisable to use a separate summary sheet per category.
[17] The documentation items (contracts, invoices, receipts, etc.) are to be numbered and presented in the same order as they appear on the summary sheets. Their total number should be indicated here to facilitate the EBRD′s review.
NOTES FOR COMPLETION OF DISBURSEMENT REQUEST SUMMARY SHEET
[1] Name. Recipient′s name. This should be the same as on the Disbursement request form to which this summary sheet belongs.
[2] Date. Date of request. This should be the same as on the Disbursement request form to which this summary sheet belongs.
[3] Operation number. This number is the same as on the Disbursement request form to which this summary sheet belongs.
[4] Request number. This is the number of the Disbursement request form to which this summary sheet belongs.
[5] Summary sheet number. For each Disbursement request, the summary sheets should be numbered starting from 1, and their total number noted on the Disbursement request form to which they belong.
[6] Disbursement Grant Financed Item. This is the Grant Financed Item for the project, to be financed out of the proceeds of the requested Disbursement. Please consult the grant agreement to find the name and reference number of the Grant Financed Item, and the percentage of expenditures to be financed (for example, “ Grant Financed Item no. (3b), equipment, 60%”).
If one Disbursement request covers expenditures from more than one Grant Financed Item, then a separate summary sheet is to be used for each Grant Financed Item.
[7] Item number. All document items (invoices, contracts, receipts, etc.) should be presented in the same order as they appear on the summary sheet(s). To facilitate identification, the documents should be numbered, starting with 1, 2, 3, etc., for each new Disbursement request, and this number should be clearly marked on the document itself. The total number of items for the total of all summary sheets is noted on the Disbursement request form.
[8] Description of item. Please describe each item, e.g. “invoice”, “receipt”, “engineer′s certificate”, “translation of [...]”, etc.
[9] Contract order number and date. It is recommended that the contract is given an original number when it is drawn up between the Project Entity and the Contractor. The EBRD will adopt this number for its own record keeping. If the contract has not been given an original number, the EBRD will allocate it a number and advise the Recipient at the time of approval. If the Recipient does not know the number at the time of completing the summary sheet, this part can be left for the EBRD to complete.
The date of the contract/purchase order should also be given in this column.
Note: the same contract may appear in more than one Disbursement request, if delivery of the goods, works or services (see [11]), and therefore payment for these goods, etc., is made in stages.
[10] Name and address of Contractor. Name and address of Project Entity′s counterparty (Contractor) in the contract/purchase order as described in [9].
[11] Brief description of goods, works or services. These goods, works or services should correspond to the details provided in the Contract or other documents presented, and should fall within the Grant Financed Item indicated in [6].
[12] Currency and total amount of Contract. Total amount, in original currency, of the Contract listed in [9].
[13] Currency and amount of eligible expenditure. Per expenditure: total amount due or paid, in original currency, as covered by the invoices or other documents listed in [7] and [8]. When there is more than one “item” for each expenditure, (e.g. an invoice, certificate and receipt, all for the same expenditure), those items should be bracketed and only one amount should be shown in this column.
[14] Amount of financing. For each amount listed in column [13], there should be a corresponding amount in this column [14], calculated at the percentage stated in [6], corresponding to the category of this summary sheet. The amount of financing should be in the original currency of the contract and expenditure (columns 12 and 13). This may or may not be the same as the loan currency or the payment currency.
[15] Total. The amounts of financing, as listed in [14], should be added up into one total amount per currency. For direct Disbursement requests, amount(s) given here should correspond with the amount(s) given in [9] of the direct Disbursement request form.
[16] Signature. The request summary sheet should be signed off by or on behalf of the Recipient. See request for Disbursement form for signature requirements.

Notes for completion of the letter designating authorised signatories
• The above authorisation letter is to be signed on behalf of the Recipient and Project Entity by its respective Authorised Representatives.
• In the event that each document is to be signed by more than one official, the authorisation letter must state this clearly, and the first sentence must be adjusted accordingly.
If authorised signatories are divided into two groups, and the signature of an official from each group is required, this must also be clearly stated.
