PRIVIND COOPERAREA ÎN DOMENIUL
DEŞEURILOR ÎN DOMENIUL ENERGIEI
Prezentul acord de grant ("acordul de grant") este încheiat între:
Swedfund International AB (Instituţia Financiară de Dezvoltare a Regatului Suediei), Reg. nr.556436-2084, o societate constituită şi înregistrată în temeiul legislaţiei Regatului Suediei cu sediul social în Box 3286, SE-103 65, Stockholm, Suedia ("Swedfund");
şi
Ministerul Energiei, instituţie înfiinţată şi înregistrată în conformitate cu legislaţia Republicii Moldova, cu sediul pe bd. Ştefan cel Mare şi Sfînt nr.134, Chişinău 2012, Republica Moldova (denumit în continuare "beneficiarul").
Swedfund şi beneficiarul sunt denumiţi în mod colectiv "părţile"şi, individual, "partea".
1. Context şi obiectiv
În conformitate cu termenii prezentului Acord de Grant, Swedfund este de acord să ofere un grant de maximum 9.000.000 de coroane suedeze (SEK) ("Grantul Swedfund") pentru a finanţa costul serviciilor de consultanţă pentru efectuarea studiilor legate de un studiu de fezabilitate al unei instalaţii de valorificare energetică a deşeurilor în două locaţii ("Proiectul") din Republica Moldova ("Ţara Gazdă").
2. Grantul Swedfund
Conform termenilor şi condiţiilor stabilite în prezentul document, Swedfund va finanţa costul proiectului, care va include studii analitice şi asistenţă tehnică până la o valoare maximă a grantului Swedfund.
Grantul din Fondul Suedez care urmează să fie acordat în temeiul prezentului acord de grant va fi utilizat exclusiv pentru finanţarea proiectului.
3. Contract de consultanţă
Consultantul/Consultanţii cărora li se atribuie sarcina aferentă proiectului sunt selectaţi în cadrul unui proces competitiv de selecţie şi urmează a fi aprobaţi atât de Swedfund, cât şi de beneficiarul grantului.
Între Beneficiar şi Consultant se va încheia un acord de consultanţă, care este aprobat de Swedfund (denumit în continuare "Contractul de consultanţă"). Contractul de Consultanţă trebuie semnat de către Beneficiar şi Consultant înainte ca acesta să înceapă orice lucrare în legătură cu Proiectul. O copie electronică a versiunii semnate a Contractului de Consultanţă va fi trimisă către Swedfund. Nu se vor face modificări la acest contract fără aprobarea prealabilă în scris a Swedfund.
Plata către Consultant va fi efectuată direct de către Swedfund în numele Beneficiarului în conformitate cu prezentul acord de grant.
4. Termeni de referinţă
Domeniul de aplicare general ataşat ca anexa 1 constituie un punct de plecare pentru elaborarea termenilor de referinţă pentru proiect ("termeni de referinţă"). Termenii de referinţă vor fi redactaţi şi conveniţi în timp util între Beneficiar şi Swedfund.
Executarea sarcinii de către Consultant trebuie să respecte pe deplin termenii de referinţă, iar orice modificare sau abatere trebuie aprobată în scris de Swedfund. Termenii de referinţă vor fi încorporaţi în Contractul de Consultanţă.
Obligaţiile Swedfund în temeiul prezentului acord de grant sunt condiţionate de faptul că părţile au convenit asupra termenilor de referinţă, iar Swedfund nu are nicio obligaţie de a plăti nicio parte din grantul Swedfund până când termenii de referinţă respectivi nu au fost conveniţi.
5. Impozite
Grantul Swedfund acordat în temeiul prezentului acord nu este utilizat, cu excepţia cazului în care părţile convin altfel, pentru a plăti impozite, tarife, taxe sau alte taxe ("impozite") impuse în temeiul legislaţiei în vigoare în ţara-gazdă, cu excepţia impozitelor de minimis impuse pentru cazarea, mâncarea, transportul sau sosirile/ plecările din aeroporturi. În cazul în care se impune o taxă în legătură cu proiectul, beneficiarul se asigură că taxa respectivă este plătită direct de beneficiar sau de consultant (după caz) autorităţii competente.
Pentru a evita orice neînţelegeri, beneficiarul nu are dreptul să solicite rambursarea de la Swedfund pentru niciun impozit. În cazul în care o autoritate din ţara gazdă sau orice altă parte formulează o cerere împotriva Swedfund în legătură cu proiectul, beneficiarul se obligă să despăgubească imediat Swedfund, la solicitarea acesteia, pentru orice cost aferent acelui impozit, inclusiv costurile administrative. Această obligaţie de despăgubire se aplică indiferent dacă Swedfund este considerată contribuabilul final în ceea ce priveşte acel impozit.
6. Planul de timp
În cazul în care proiectul nu a fost iniţiat, şi anume consultantului nu i s-a atribuit sarcina, până la 31 octombrie 2025, prezentul acord de grant va înceta să mai fie valabil şi nici o prevedere nu va fi în vigoare, cu excepţia cazului în care Swedfund a convenit altfel în scris.
7. Operaţiuni de proiect şi plăţi
Beneficiarul va oferi Swedfund şi consultantului sprijinul necesar pentru realizarea proiectului, de exemplu accesul la personalul-cheie, facilităţi şi spaţiu de lucru (după caz).
Swedfund are dreptul (dar nu şi obligaţia) de a avea un reprezentant într-un grup de referinţă (sau echivalentul acestuia) al proiectului, în cazul în care un astfel de grup este format.
Beneficiarul se va asigura că Consultantul şi subconsultanţii săi, la cererea Swedfund, vor coopera şi vor asista Swedfund în mod gratuit pentru a efectua audituri precum şi evaluări independente ale proiectului.
Beneficiarul va notifica Swedfund cu privire la aprobarea sau neaprobarea (după caz) oricăror facturi care urmează să fie plătite parţial sau integral de către Swedfund în termen de şapte (7) zile lucrătoare de la primirea unei astfel de facturi, prin e-mail la adresa victoria.jonsson@swedfund.se, cu copie la adresa PA@swedfund.se.
Notificarea către Swedfund va include următoarele informaţii:
numărul de referinţă de pe factura consultantului;
raportul privind activitatea desfăşurată (de exemplu, raportul iniţial);
suma de pe factura care trebuie plătită;
o declaraţie care să ateste dacă factura consultantului este aprobată sau nu.
Orice plată efectuată de Swedfund se va face direct către Consultant. Swedfund va avea la dispoziţie cel puţin treizeci (30) de zile pentru a aproba şi a plăti factura sau pentru a respinge şi a solicita documente justificative sau informaţii suplimentare referitoare la raportul de activitate efectuat şi/sau la suma facturată. Beneficiarul va avea la dispoziţie şapte (7) zile pentru a prezenta astfel de informaţii suplimentare.
Swedfund are dreptul de a refuza plata unei facturi, chiar dacă aceasta a fost aprobată de beneficiar, în oricare dintre următoarele situaţii: (i) dacă, în opinia Swedfund, acordul de consultanţă nu acoperă serviciile sau costurile indicate în factură; sau (ii) dacă beneficiarul sau consultantul nu şi-a îndeplinit, în orice mod, obligaţiile esenţiale avute în vedere de Swedfund la momentul semnării prezentului acord de grant.
8. Confidenţialitate
Toate informaţiile schimbate între părţi cu privire la proiect sunt considerate a fi strict confidenţiale şi nu pot fi divulgate niciunei părţi terţe fără consimţământul în scris prealabil al celeilalte părţi, cu condiţia ca acest angajament de confidenţialitate să nu se aplice informaţiilor care:
se află sau intră în domeniul public (altfel decât printr-o încălcare a acestui angajament de confidenţialitate de către partea destinatară);
sunt deja cunoscute de partea destinatară la data divulgării;
sunt elaborate de partea destinatară complet independent fără a se baza în niciun fel pe informaţiile confidenţiale furnizate ulterior;
sunt divulgate părţii destinatare de către o terţă parte, cu condiţia ca partea destinatară să nu aibă cunoştinţă că respectiva divulgare încalcă vreo obligaţie de confidenţialitate pe care acea terţă parte o are faţă de cealaltă parte; şi/sau
partea destinatară este obligată să divulge informaţiile prin lege, de către orice instanţă sau în urma oricărei anchete sau investigaţii efectuate de orice organism guvernamental, oficial sau de reglementare care are dreptul legal de a solicita o astfel de divulgare.
Această obligaţie de confidenţialitate continuă să se aplice la cinci (5) ani de la încetarea prezentului acord de grant.
Fără a aduce atingere celor de mai sus, părţile convin şi recunosc că Swedfund are dreptul să divulge în orice moment informaţiile solicitate de guvernul suedez şi/sau de orice subdiviziune a acestuia.
9. Utilizarea rapoartelor şi a publicităţii
Swedfund are dreptul de a primi o copie simplă (pe un stick de memorie USB sau similar) a tuturor rapoartelor consultantului referitoare la proiect, precum şi orice alte informaţii şi rezultate legate de proiect (denumite în mod colectiv "rapoartele").
Beneficiarul autorizează Swedfund să publice următoarele informaţii sub orice formă şi pe orice suport, inclusiv, dar fără a se limita la LinkedIn şi Twitter:
numele beneficiarului;
obiectul şi scopul grantului Swedfund, fără a aduce atingere clauzei de la pct.8, beneficiarul grantului oferă Swedfund dreptul de a utiliza gratuit rapoartele pentru care beneficiarul grantului a primit finanţare în temeiul prezentului acord de grant.
La o cererea motivată şi justificată în mod corespunzător a beneficiarului, Swedfund poate renunţa la o astfel de publicitate în cazul în care divulgarea informaţiilor indicate mai sus ar risca să compromită aspectele de securitate naţională sau interesele comerciale ale beneficiarului.
Părţile convin şi recunosc că acordul de consultanţă va include dispoziţii adecvate pentru a se asigura că Swedfund are dreptul de a utiliza rapoartele, astfel cum se prevede în prezenta clauză 9.
10. Maniere de afaceri durabile şi responsabile
Beneficiarul se va asigura că Consultantul/subconsultanţi vor notifica prompt Swedfund dacă apar modificări sau alte probleme importante care ar putea afecta performanţa Proiectului (indiferent dacă ar afecta sau nu Contractul de Consultanţă).
Beneficiarul se angajează şi se asigură că Consultantul/subconsultanţi:
îşi vor desfăşura activitatea într-un mod sustenabil şi responsabil, cu o perspectivă pe termen lung, şi să respecte standardele internaţionale şi drepturile omului recunoscute la nivel internaţional, precum şi standardele recunoscute la nivel internaţional pentru integritatea întreprinderilor şi guvernanţa corporativă;
vor respecta cerinţele legale şi de reglementare din jurisdicţiile în care îşi desfăşoară activitatea;
vor respecta lista armonizată de excludere a EDFI;
vor respecta standardele de performanţă aplicabile ale IFC;
să respecte politica de integritate în afaceri a Swedfund, inclusiv, dar fără a se limita la interzicerea tuturor tipurilor de corupţie, cum ar fi mita, extorcarea, plăţile de facilitare, nepotismul, frauda, spălarea banilor, finanţarea terorismului şi contribuţiile politice, precum şi alte comportamente lipsite de etică.
11. Durată şi încetare
Prezentul acord de grant nu constituie un tratat internaţional, în conformitate cu Convenţia de la Viena din 1969 privind dreptul tratatelor.
Prezentul acord de grant va intra în vigoare la data la care ambele părţi vor semna în mod corespunzător prezentul acord de grant. Fără a aduce atingere celor de mai sus, angajamentul Swedfund de a furniza subvenţia Swedfund pentru finanţarea proiectului este supus aprobării interne finale a Swedfund pentru finanţarea proiectului.
Swedfund îşi poate rezilia angajamentul de finanţare în temeiul prezentului acord de grant cu efect imediat în cazul în care oricare dintre părţile implicate în proiect a indus în eroare în mod fraudulos Swedfund, a făcut declaraţii false sau a fost implicată în acte de corupţie. Beneficiarul se angajează să achiziţioneze şi să se asigure că Swedfund poate solicita rambursarea imediată de la partea care a contribuit la fraudă, declaraţii false sau corupţie, împreună cu dobânda.
Swedfund îşi poate rezilia angajamentul de finanţare în curs cu o notificare prealabilă de două (2) săptămâni în cazul în care cerinţa de finanţare nu mai este îndeplinită (astfel cum este stabilit de Swedfund). Motivele pentru încetarea unei iniţiative în curs ar putea include, dar nu se limitează la:
angajamentul insuficient din partea beneficiarului;
transparenţă insuficientă faţă de Swedfund şi/sau consilierii săi profesionali;
modificarea condiţiilor care ar putea afecta punerea în aplicare sau beneficiile proiectului;
o încălcare a Contractului de Consultanţă şi/sau a termenilor şi condiţiilor stabilite în acesta.
Cu excepţia cazului în care este reziliat mai devreme în conformitate cu prezentul Acord, Acordul va înceta automat atunci când Swedfund a aprobat şi a plătit ultima factură emisă de Consultant în legătură cu Proiectul. Pentru a evita orice îndoială, clauzele 8,9, 12 şi 13 vor rămâne în vigoare după orice reziliere a prezentului acord.
12. Diverse
Toate modificările sau amendamentele la prezentul acord de grant trebuie să fie în scris şi semnate în mod corespunzător în numele ambelor părţi.
Niciuna dintre părţi nu poate transfera vreunul dintre drepturile sau obligaţiile care îi revin în temeiul prezentului acord de grant unei părţi terţe fără acordul prealabil scris al celeilalte părţi.
13. Legea aplicabilă
Atât condiţiile cât şi termenii sunt reglementate de legile de fond ale Suediei.
Orice litigiu, controversă sau pretenţie care decurge din sau în legătură cu prezentul contract sau încălcarea, rezilierea sau nulitatea acestuia se soluţionează definitiv prin arbitraj administrat de Institutul de Arbitraj al Camerei de Comerţ din Stockholm (denumit în continuare "CCS").
Regulile privind arbitrajul accelerat se aplică, cu excepţia cazului în care CCS decide, la propria discreţie, ţinând cont de complexitatea cauzei, valoarea litigiului şi alte circumstanţe relevante, că trebuie aplicate regulile obişnuite de arbitraj. În acest caz, CCS va decide, de asemenea, dacă tribunalul arbitral va fi format dintr-un arbitru unic sau din trei arbitri. Sediul arbitrajului va fi Stockholm, iar limba utilizată în cadrul procedurii arbitrale va fi limba engleză.
DREPT CARE, prin semnarea de mai jos, fiecare dintre semnatari certifică prin prezenta că este un reprezentant autorizat în mod corespunzător al părţii aplicabile, iar părţile, fiecare acţionând prin intermediul reprezentantului lor autorizat în mod corespunzător, au făcut ca prezentul acord de grant să fie semnat în numele lor şi transmis începând cu data indicată mai jos.

Anexa 1: Domeniul de aplicare la nivel înalt
Obligaţiile Swedfund în temeiul prezentului acord de grant sunt condiţionate de faptul că părţile au convenit asupra termenilor de referinţă, iar Swedfund nu are nicio obligaţie de a plăti nicio parte din grantul Swedfund până când termenii de referinţă respectivi nu au fost conveniţi.
1. Obiectivul principal
Scopul principal al studiului este de a evalua fezabilitatea tehnică, economică şi de mediu a implementării soluţiilor de valorificare energetică a deşeurilor în Republica Moldova, utilizând datele şi informaţiile deja colectate în studiul de caracterizare a deşeurilor. Acesta va oferi un cadru clar pentru identificarea şi dezvoltarea proiectelor de transformare a deşeurilor în energie (WTE) care contribuie la gestionarea eficientă a deşeurilor şi la producţia de energie din surse regenerabile.
Studiul de fezabilitate ce urmează a fi elaborat (proiectul) se va baza pe rezultatele şi recomandările Studiului USAID de Caracterizare a Deşeurilor. Raportul de fezabilitate rezultat ar putea servi drept bază pentru obţinerea de finanţare pentru întreaga investiţie într-o etapă următoare a procesului. Mai jos sunt prezentate teme care stipulează conţinutul studiului final de fezabilitate. Această listă nu este exhaustivă, iar unele aspecte pot fi retrase sau adăugate.
2. Analiza contextului şi a stării actuale a deşeurilor
Având în vedere că există deja un studiu USAID privind caracterizarea deşeurilor, acest studiu se va baza pe aceste rezultate pentru:
Revizuirea datelor de caracterizare a deşeurilor, inclusiv cantităţile şi tipurile de deşeuri disponibile pentru prelucrare, precum şi fluxurile de deşeuri la nivel naţional şi regional.
Identificarea principalelor surse de deşeuri (deşeuri municipale, industriale, agricole etc.) şi analizarea posibilităţii de colectare, transport şi prelucrare a acestora în scopuri energetice.
Evaluarea diversităţii deşeurilor (organice, reciclabile, periculoase) şi a potenţialului acestora de valorificare energetică.
3. Evaluarea tehnologiilor de recuperare a energiei reziduale
Studiul va analiza tehnologiile WTE disponibile şi aplicabile în contextul Republicii Moldova, ţinând cont de tipologia deşeurilor caracterizată în studiul anterior. Printre aspectele analizate se vor număra:
Identificarea tehnologiilor viabile (incinerare, gazeificare, piroliză, digestie anaerobă etc.), în funcţie de tipul de deşeuri şi de capacitatea de prelucrare a acestora.
Evaluarea costurilor şi eficienţei fiecărei tehnologii în contextul economic al Republicii Moldova, inclusiv investiţiile iniţiale, costurile operaţionale şi profitabilitatea pe termen lung.
Stabilirea unui model de recuperare a energiei, care să includă tipul de energie produsă (electricitate, căldură) şi potenţialul de integrare în reţeaua energetică naţională.
4. Evaluarea impactului social şi de mediu
Studiul de fezabilitate va include o evaluare detaliată a impactului social şi de mediu al punerii în aplicare a unui sistem WTE:
Impactul asupra mediului: Reducerea deşeurilor din depozitele de deşeuri, a emisiilor de CO2 şi de alţi poluanţi, a economiilor de resurse şi a protecţiei mediului.
Beneficii pentru comunităţi: Crearea de locuri de muncă, educarea şi sensibilizarea cu privire la gestionarea deşeurilor şi a subproduselor acestora.
Comunitatea locală şi acceptarea socială: Identificarea posibilelor preocupări ale comunităţii cu privire la punerea în aplicare a proiectelor WTE şi la modul de abordare a acestora.
5. Analiza impactului economic
Studiul va evalua viabilitatea economică a implementării proiectelor WTE, inclusiv:
Costurile totale de punere în aplicare şi sursele de finanţare (inclusiv opţiunile pentru parteneriatele public-privat, fondurile europene, împrumuturile internaţionale etc.).
Estimarea costurilor operaţionale şi a economiilor de costuri rezultate din reducerea deşeurilor provenite din depozitele de deşeuri şi din creşterea eficienţei energetice.
Evaluarea randamentului investiţiilor pe baza analizei financiare şi a previziunilor economice.
Beneficii economice indirecte: Crearea de locuri de muncă, reducerea costurilor de gestionare a deşeurilor, creşterea surselor regenerabile de energie.
6. Evaluarea cadrului juridic şi de reglementare
Studiul va analiza cadrul legislativ şi de reglementare existent şi va identifica orice modificări sau îmbunătăţiri necesare:
Revizuirea legislaţiei existente privind gestionarea deşeurilor şi generarea de energie din surse regenerabile pentru a facilita implementarea soluţiilor WTE.
Aliniere la directivele UE şi la reglementările internaţionale în materie de mediu.
Recomandări de îmbunătăţire a cadrului juridic pentru a sprijini dezvoltarea unui sector energetic al deşeurilor în Moldova, inclusiv stimulente fiscale şi reglementări favorabile.
7. Infrastructura şi logistica necesare
Studiul va analiza nevoile de infrastructură pentru punerea în aplicare a proiectelor WTE:
Infrastructura de colectare şi transport al deşeurilor: Identificarea nevoilor de modernizare a sistemelor existente de colectare a deşeurilor şi transportul acestora către centrele de prelucrare WTE.
Infrastructura energetică: Evaluarea capacităţii de integrare a energiei produse din deşeuri în reţelele de distribuţie existente, inclusiv necesitatea unor noi conexiuni sau instalaţii de stocare.
Rolul autorităţilor locale şi al actorilor economici în gestionarea infrastructurii şi în punerea în aplicare a proiectelor.
8. Recomandări de punere în aplicare
Studiul va include un plan detaliat de punere în aplicare care va include:
Paşii necesari pentru dezvoltarea şi funcţionarea unui sistem WTE eficient în Republica Moldova.
Recomandări privind parteneriatele public-privat şi atragerea investiţiilor internaţionale.
Strategii de punere în aplicare pe termen scurt, mediu şi lung, inclusiv etape-cheie de dezvoltare şi monitorizare.
9. Rezultatele studiului
Studiul va furniza următoarele rezultate:
Raport de fezabilitate detaliat care include toate analizele tehnice, economice şi de mediu.
Recomandări de punere în aplicare pentru fiecare tehnologie WTE evaluată.
Evaluarea financiară şi planul de punere în aplicare, cu estimări ale costurilor şi termene de execuţie.
Evaluarea impactului social şi de mediu cu propuneri de atenuare a posibilelor riscuri.
10. Cronologie şi paşi cheie
Studiul se va desfăşura pe o perioadă de 6-12 luni.
Grant Agreement
REGARDING COOPERATION IN THE
FIELD OF WASTE TO ENERGY
This grant agreement (the "Grant Agreement") is entered into between:
Swedfund International AB (the Development Financial Institution of the Kingdom of Sweden), Reg. No. 556436-2084, a company incorporated and registered under the laws of the Kingdom of Sweden and having its registered office at Box 3286, SE-103 65, Stockholm, Sweden ("Swedfund");
and
The Ministry of Energy, an institution established and registered in accordance with the laws of the Republic of Moldova, with its registered office at 134 Ştefan cel Mare şi Sfînt Blvd., Chişinău 2012, Republic of Moldova (the "Grantee").
Swedfund and the Grantee are collectively referred to as the "Parties" and individually as a "Party".
1. Background and Objective
Under the terms of this Grant Agreement, Swedfund agrees to provide a grant of a maximum of 9,000,000 Swedish Krona (SEK) ("Swedfund Grant") to fund the cost of consultancy services to perform studies related to a feasibility study of Waste to Energy facility in two locations (the "Project") in the Republic of Moldova (the "Host Country").
2. Swedfund Grant
Subject to the terms and conditions set out herein, Swedfund will fund the cost of the Project, which will include analytical studies and technical assistance up to a maximum amount of the Swedfund Grant.
The Swedfund Grant to be provided under this Grant Agreement shall be used solely to finance the Project.
3. Consultancy Contract
The consultants awarded the assignment relating to the Project (the "Consultant(s)") shall be selected in a competitive sourcing process and approved by both Swedfund and the Grantee.
A consultancy agreement shall be entered into between the Grantee and the Consultant and shall be approved by Swedfund (the "Consultancy Agreement"). The Consultancy Agreement must be signed by the Grantee and the Consultant before the Consultant commences any work in relation to the Project. A soft copy of the signed version of the Consultancy Agreement shall be sent to Swedfund. No changes shall be made to such Consultancy Agreement without Swedfund′s prior written approval.
Payment to the Consultant will be made directly by Swedfund on behalf of the Grantee with the Swedfund Grant pursuant to this Grant Agreement.
4. Terms of Reference
The high-level scope attached as Annex 1 form a starting point for developing the terms of reference that will be produced for the Project ("Terms of Reference"). The Terms of Reference will be drafted and agreed in due course between the [Grantee] and Swedfund.
The Consultant′s performance of the assignment must fully comply with the Terms of Reference, and any modification of, or deviation from, the Terms of Reference must be approved in writing by Swedfund. The Terms of Reference shall be incorporated in the Consultancy Agreement.
Swedfund′s obligations under this Grant Agreement are conditional upon the Parties having agreed upon the Terms of Reference, and not until such Terms of Reference have been agreed upon shall Swedfund have any obligation to pay any part of the Swedfund Grant.
5. Taxes
The Swedfund Grant provided under this Grant Agreement shall, unless otherwise agreed between the Parties, not be used to pay any taxes, tariffs, duties, fees or other levies ("Tax") imposed under laws in effect in the Host Country, except for taxes of a de minimis nature imposed on local lodging, food, transportation or airport arrivals or departures. Should any Tax be imposed in relation to the Project, the Grantee shall procure that such Tax is paid directly by the Grantee or the Consultant (as applicable) to the relevant authority.
For the avoidance of doubt, the Grantee may not seek reimbursement from Swedfund for any Tax. Should any Host Country Tax claim be made against Swedfund in relation to the Project, by or on behalf of any authority in the Host Country or otherwise because of the Project, the Grantee shall upon Swedfund′s request immediately compensate Swedfund for the cost of such Tax and the administration thereof. This shall apply regardless of whether Swedfund is regarded as the final tax subject for such Tax.
6. Time plan
Should the Project not have been initiated, i.e. that the Consultant has not been awarded the assignment, by 31 October 2025 then this Grant Agreement shall cease to be valid and no provisions hereof shall continue to be in force, unless otherwise agreed by Swedfund in writing.
7. Project Operations and Payment
The Grantee shall provide Swedfund and the Consultant with the necessary support to carry out the Project, e.g. access to key staff, facilities and workspace (as applicable).
Swedfund shall have the right (but not the obligation) to have a representative in a reference group (or the equivalent thereof) of the Project if such a group is established.
The Grantee shall, and shall procure and ensure that the Consultant and its sub-consultants will, upon request by Swedfund, co-operate with and assist Swedfund free of charge to perform audits and follow-ups as well as independent evaluations of the Project.
The Grantee shall notify Swedfund of its approval or non-approval (as applicable) of any invoices to be partly or fully paid by Swedfund within seven (7) business days from receipt of such invoice, by e-mail to victoria.jonsson@swedfund.se with copy to PA@swedfund.se.
The notification to Swedfund shall include the following information:
(i) reference number on the invoice from the Consultant;
(ii) report of work carried out (e.g. Inception report);
(iii) amount on the invoice to be paid; and
(iv) a statement whether the invoice from the Consultant is approved, or not.
Any payment by Swedfund shall be made directly to the Consultant. Swedfund shall have at least thirty (30) days to approve and pay the invoice or reject and request additional supporting documents or information relating to the report of work carried out and/or the invoiced amount. The Grantee shall have seven (7) days in which to submit such additional information.
Swedfund shall have the right not to pay an invoice, even if the invoice has been approved by the Grantee, should Swedfund consider that the Consultancy Agreement does not cover the items on the invoice or if the Grantee or the Consultant otherwise has not fulfilled any of its respective obligations envisaged by Swedfund when entering into this Grant Agreement.
8. Confidentiality
All information exchanged between the Parties regarding the Project is considered to be strictly confidential and may not be disclosed to any third party without the prior written consent of the other Party, provided that this confidentiality undertaking shall not apply to information which:
(i) is in or comes into the public domain (otherwise than through a breach of this confidentiality undertaking by the receiving Party);
(ii) is already known to the receiving Party at the date of disclosure;
(iii) is developed by the receiving Party entirely independently of any confidential information supplied hereunder;
(iv) is disclosed to the receiving Party by a third party (otherwise than in a breach known to the receiving Party of any obligation owed by such third party to the other Party); and/or
(v) the receiving Party is required to disclose by law, by any court, or by any stock exchange or pursuant to any enquiry or investigation by any governmental, official or regulatory body which is lawfully entitled to require any such disclosure.
This duty of confidentiality shall continue to apply five (5) years after the termination of this Grant Agreement.
Notwithstanding the above, the Parties hereby agree and acknowledge that Swedfund at all times shall be entitled to disclose information which is requested by the Swedish Government and/or any subdivision thereof.
9. Use of Reports and publicity
Swedfund shall have the right to receive one soft copy (on a USB-memory stick or similar) of all of the Consultant′s report(s) relating to the Project, as well as any other information and deliverables related to the Project as requested by Swedfund (collectively the "Reports").
The Grantee authorises Swedfund to publish the following information in any form and medium, including but not limited to LinkedIn and Twitter:
- the Grantee′s name; and
the subject and purpose of the Swedfund Grant.Notwithstanding clause 8 above, the Grantee grants Swedfund the right to make free use of the Reports for which the Grantee has been provided funding under this Grant Agreement.
Upon a reasoned and duly substantiated request by the Grantee, Swedfund may agree to forgo such publicity if disclosure of the information indicated above would risk compromising national security aspects or commercial interests of the Grantee.
The Parties agree and acknowledge that the Consultancy Agreement shall incorporate appropriate provisions to ensure that Swedfund is entitled to use the Reports as set out in this clause 9.
10. Sustainable and Responsible Business Manners
The Grantee shall, and shall procure and ensure that the Consultant and any sub-consultants will, promptly notify Swedfund if any changes or other matters of importance occur which may affect the performance of the Project (regardless whether it would affect the Consultancy Agreement or not).
The Grantee undertakes to, and shall procure and ensure that the Consultant and any sub-consultants will:
(i) conduct its business in a sustainable and responsible manner with a long-term perspective and strive to adhere to international standards and internationally recognised human rights as well as internationally acknowledged standards for business integrity and corporate governance;
(ii) comply with legal and regulatory requirements in the jurisdictions where they operate;
(iii) comply with the Harmonized EDFI Exclusion List;
(iv) comply with applicable IFC Performance Standards; and
(v) comply with Swedfund′s Business Integrity policy, including but not limited to prohibit all kind of corruption, such as bribery, extortion, facilitation payments, nepotism and cronyism, fraud, money laundering, financing of terrorism and political contributions and other unethical behaviour.
11. Term and Termination
This Grant Agreement does not constitute an international treaty, in accordance with the Vienna convention on the law of treaties, 1969.
This Grant Agreement shall become valid on the date when both Parties have duly signed this Grant Agreement. Notwithstanding the foregoing, Swedfund′s undertaking to provide the Swedfund Grant to finance the Project is subject to Swedfund′s final internal approval to the funding of the Project.
Swedfund may terminate its financing commitment under this Grant Agreement with immediate effect should any of the parties involved in the Project have fraudulently misled Swedfund, made misrepresentations or been engaged in corruption. The Grantee undertakes to procure and ensure that Swedfund may request immediate repayment from such party having contributed in the fraud, misrepresentation or corruption together with interest.
Swedfund may terminate its on-going financing commitment with two (2) weeks prior notice should the requisite for financing no longer be fulfilled (as determined by Swedfund). Reasons to terminate an on-going initiative could include, but is not limited to:
(i) insufficient commitment from the Grantee;
(ii) insufficient transparency towards Swedfund and/or its professional advisors;
(iii) change of conditions that are likely to affect the implementation or benefit of the Project; and/or
(iv) a breach of the Consultancy Agreement and/or the terms and conditions set out herein.
Unless terminated earlier in accordance with this Agreement, this Agreement shall automatically terminate when Swedfund has approved and paid the last invoice issued by the Consultant relating to the Project. For the avoidance of doubt, clauses 8, 9, 12 and 13 shall survive any termination of this Agreement.
12. Miscellaneous
All modifications of or amendments to this Grant Agreement must be in writing and duly signed on behalf of both Parties.
Neither Party may transfer any of its rights or obligations under this Grant Agreement to any third party without the prior written consent from the other Party.
13. Governing Law
These terms and conditions shall be governed by the substantive laws of Sweden.
Any dispute, controversy or claim arising out of or in connection with this contract, or the breach, termination or invalidity thereof, shall be finally settled by arbitration administered by the Arbitration Institute of the Stockholm Chamber of Commerce (the "SCC").
The Rules for Expedited Arbitrations shall apply, unless the SCC in its discretion determines, taking into account the complexity of the case, the amount in dispute and other circumstances, that the Arbitration Rules shall apply. In the latter case, the SCC shall also decide whether the Arbitral Tribunal shall be composed of one or three arbitrators. The seat of arbitration shall be Stockholm. The language to be used in the arbitral proceedings shall be English.
IN WITNESS WHEREOF, by signing below, each of the signatories hereby certifies that it is a duly authorized representative of the applicable Party, and the Parties, each acting through its duly authorized representative, have caused this Grant Agreement to be signed in their names and delivered as of the date written below.

Annex 1: High level scope
Swedfund′s obligations under this Grant Agreement are conditional upon the Parties having agreed upon the Terms of Reference, and not until such Terms of Reference have been agreed upon shall Swedfund have any obligation to pay any part of the Swedfund Grant.
1. Main objective
TThe main purpose of the study is to assess the technical, economic and environmental feasibility of implementing waste-to-energy solutions in the Republic of Moldova, using the data and information already collected in the waste characterization study. It will provide a clear framework for identifying and developing Waste-to-Energy (WTE) projects that contribute to efficient waste management and renewable energy production.
The feasibility study to be developed (the project) will build on the results and recommendations from the USAID Waste Characterization Study. The resulting feasibility report should potentially serve as a basis for seeking finance for the full investment in a next step of the process. Below are themes with bullets stipulating content of the final feasibility study. This list is non-exhaustive and aspects may be retracted or added.
2. Analysis of the context and the current state of waste
Given that a USAID Waste Characterization Study already exists, this study will build on these results to:
Review of waste characterisation data, including quantities and types of waste available for processing, as well as waste streams at national and regional level.
Identify the main sources of waste (municipal, industrial, agricultural waste, etc.) and analyse the possibility of collecting, transporting and processing it for energy purposes.
Assessment of the diversity of waste (organic, recyclable, hazardous) and its potential for energy recovery.
3. Evaluation of Waste Energy Recovery Technologies
The study will analyse the WTE technologies available and applicable in the context of Moldova, taking into account the typology of waste characterized in the previous study. Issues analysed will include:
Identification of viable technologies (incineration, gasification, pyrolysis, anaerobic digestion, etc.), depending on the type of waste and its processing capacity.
Assessment of the costs and efficiency of each technology in the economic context of Moldova, including initial investments, operational costs and long-term profitability.
Establish an energy recovery model, including the type of energy produced (electricity, heat) and the potential for integration into the national energy grid.
4. Environmental and Social Impact Assessment
The feasibility study will include a detailed assessment of the environmental and social impacts of implementing a WTE system:
Environmental impact: Reducing landfill waste, emissions of CO2 and other pollutants, resource savings and environmental protection.
Benefits for communities: Job creation, education and awareness raising in relation to waste management and its by-products.
Local community and social acceptance: Identify possible community concerns about the implementation of WTE projects and how to address them.
5. Economic Impact Analysis
The study will assess the economic viability of implementing WTE projects, including:
Total implementation costs and sources of funding (including options for public-private partnerships, European funds, international loans, etc.).
Estimation of operational costs and cost savings from reducing waste from landfills and increasing energy efficiency.
Assessment of return on investment based on financial analysis and economic projections.
Indirect economic benefits: Creating jobs, reducing waste management costs, increasing renewable energy sources.
6. Assessment of the Legal and Regulatory Framework
The study will analyse the existing legislative and regulatory framework and identify any necessary changes or improvements:
Revise existing legislation on waste management and renewable energy generation to facilitate the deployment of WTE solutions.
Alignment with EU directives and international environmental regulations.
Recommendations to improve the legal framework to support the development of a waste energy sector in Moldova, including tax incentives and favourable regulations.
7. Necessary Infrastructure and Logistics
The study will analyse the infrastructure needs for the implementation of WTE projects:
Waste collection and transport infrastructure: Identify needs to modernise existing waste collection systems and transport them to WTE processing centres.
Energy infrastructure: Assessment of the capacity to integrate energy produced from waste into existing distribution networks, including the need for new connections or storage facilities.
The role of local authorities and economic actors in infrastructure management and project implementation.
8. Recommendations for Implementation
The study will include a detailed implementation plan that will include:
The necessary steps for the development and operation of an efficient WTE system in Moldova.
Recommendations for public-private partnerships and attracting international investment.
Short-, medium- and long-term implementation strategies, including key stages of development and monitoring.
9. the Study Deliverables
The study will provide the following deliverables:
Detailed feasibility report including all technical, economic and environmental analyses.
Implementation recommendations for each WTE technology assessed.
Financial evaluation and implementation plan, with cost estimates and lead times.
Social and environmental impact assessment with proposals to mitigate possible risks.
