Excelenţă,

Am onoarea să fac referinţă la discuţiile recente dintre reprezentanţii Guvernului Japoniei şi ai Guvernului Republicii Moldova în privinţa extinderii cooperării economice japoneze pentru a întări relaţiile de prietenie şi cooperare dintre cele două state, şi să propun din partea Guvernului Japoniei următoarele aranjamente:

1. Pentru scopul de a contribui la promovarea eforturilor Guvernului Republicii Moldova în legătură cu reforma structurală economică, cât şi pentru diminuarea dificultăţilor economice ale Republicii Moldova, inclusiv îndatorarea, Guvernul Japoniei va oferi Guvernului Republicii Moldova, în conformitate cu legile şi regulamentele Japoniei în vigoare, un grant în sumă de trei sute milioane yeni (300,000,000) (numit în continuare “Grant”).

2. (1) Grantul şi dobânda sporită aferentă va fi utilizat de către Guvernul Republicii Moldova corect şi în exclusivitate pentru procurarea bunurilor enumerate într-o listă ce va fi aprobată reciproc de organele competente ale celor două Guverne, şi pentru serviciile aferente acestor bunuri, cu condiţia ca astfel de bunuri să provină din ţări de origine corespunzătoare.

(2) Lista menţionată în subparagraful (1) mai sus poate fi modificată cu acordul organelor competente ale celor două Guverne.

(3) Lista ţărilor de origine corespunzătoare menţionate în subparagraful (1) mai sus va fi aprobată de organele competente ale celor două Guverne.

3. (1) Guvernul Republicii Moldova va deschide un cont de depozit ordinar în yeni într-o bancă din Japonia în numele Guvernului Republicii Moldova (numit în continuare “Depozit”), în decurs de paisprezece zile după data intrării în vigoare a aranjamentelor date şi va notifica în scris Guvernul Japoniei despre completarea procedurii de deschidere a Depozitului în decurs de şapte zile după deschiderea acestuia.

(2) Scopul unic al Depozitului este de a primi plăţile în yeni japonezi efectuate de Guvernul Japoniei menţionate în paragraful 4, cât şi pentru efectuarea plăţilor necesare pentru procurarea bunurilor şi serviciilor menţionate în subparagraful (1) al paragrafului 2, cât şi pentru alte plăţi care vor fi aprobate de organele competente ale celor două Guverne.

4. Guvernul Japoniei va oferi Grantul prin efectuarea plăţilor în yeni japonezi a sumei menţionate în paragraful 1 în contul de Depozit pe parcursul perioadei dintre data primirii notificării în scris menţionate în subparagraful (1) al paragrafului 3 şi 31 martie 2008. Perioada poate fi extinsă cu acordul comun al organelor competente ale celor două Guverne.

5. (1) Guvernul Republicii Moldova va lua măsurile necesare pentru:

(a) utilizarea Grantului şi dobânzii aferente pe parcursul unei perioade de douăsprezece luni din momentul executării Grantului, cu condiţia ca perioada să nu fie extinsă cu acordul organelor competente ale celor două Guverne, şi să restituie suma rămasă în cont la sfârşitul perioadei Guvernului Japoniei;

(b) asigurarea faptului că orice taxe vamale, impozite interne şi alte obligaţii fiscale care ar putea fi aplicate în Republica Moldova la procurarea bunurilor şi serviciilor menţionate în subparagraful (1) al paragrafului 2 să nu fie acoperite din fondurile Grantului;

(c) asigurarea utilizării corecte şi eficiente a Grantului şi dobânzii aferente pentru promovarea reformelor structurale economice, cât şi diminuarea dificultăţilor economice, inclusiv îndatorarea, ale Republicii Moldova; şi

(d) prezentarea Guvernului Japoniei a unui raport elaborat într-o formă scrisă acceptabilă Guvernului Japoniei despre tranzacţiile efectuate prin contul de Depozit împreună cu copiile contractelor, facturilor şi altor documente aferente acestor tranzacţii fără întârziere în momentul utilizării complete a Grantului şi dobânzii aferente în conformitate cu stipulările subparagrafului (2) al paragrafului 3, sau atunci când perioada utilizării Grantului şi dobânzii aferente expiră în conformitate cu stipulările din punctul (a) mai sus, sau la cererea Guvernului Japoniei.

(2) Bunurile procurate din fondurile Grantului şi a dobânzii aferente nu vor fi reexportate din Republica Moldova.

6. (1) Guvernul Republicii Moldova, deşi va încerca să depoziteze o sumă echivalentă cu sumele oferite în yeni, va crea un depozit în sumă de cel puţin jumătate din suma în yeni plătită pentru procurarea bunurilor menţionate în subparagraful (1) al paragrafului 2 în lei moldoveneşti, cu excepţia cazului când organele competente ale celor două Guverne vor decide altfel, într-un cont de depozit, deschis pe numele său la Banca de Economii S.A. sau altă bancă aprobată de organele competente ale celor două Guverne. Depozitul va fi deschis pe parcursul unei perioade de doi ani de la data intrării în vigoare a aranjamentelor date, cu excepţia cazului când organele competente ale celor două Guverne vor decide altfel.

(2) Suma depozitată astfel va fi utilizată pentru dezvoltarea ramurii întreprinderilor mici şi mijlocii în Republica Moldova.

(3) Organele competente ale celor două Guverne se vor consulta reciproc în legătură cu detaliile utilizării fondurilor depozitate, înainte de utilizarea acestora.

(4) Guvernul Republicii Moldova va prezenta Guvernului Japoniei un raport într-o formă scrisă acceptabilă pentru Guvernul Japoniei despre utilizarea fondului depozitat fără întârziere, atunci când fondul va fi complet utilizat în conformitate cu stipulările subparagrafelor (2) şi (3) mai sus.

7. Alte detalii procedurale pentru implementarea aranjamentelor date vor fi aprobate prin intermediul consultărilor între organele competente ale celor două Guverne.

8. Cele două Guverne se vor consulta reciproc în legătură cu orice fapt care ar putea apărea ca consecinţă sau va avea legătură cu aranjamentul dat.

În continuare am onoarea să propun ca această Scrisoare şi Scrisoarea Dumneavoastră de răspuns care ar confirma din partea Guvernului Republicii Moldova aranjamentul de mai sus, să constituie un acord între cele două Guverne, care ar intra în vigoare din data Scrisorii Dumneavoastră de răspuns.

Profit de această ocazie pentru a reînnoi asigurarea celui mai înalt respect din partea mea pentru Dumneavoastră.

PROCESUL-VERBAL

APROBAT DESPRE DETALIILE PROCEDURALE

Cu referinţă la paragrafele 2 şi 7 ale schimbului de Note între Guvernul Japoniei (numit în continuare “Donator”) şi Guvernul Republicii Moldova (numit în continuare “Beneficiar”), din 5 martie 2008 (numit în continuare “Schimbul de Note”), în legătură cu extinderea cooperării economice japoneze cu scopul de a promova eforturile de reformă structurală economică ale Beneficiarului, cât şi pentru a diminua dificultăţile economice, inclusiv îndatorarea, ale Republicii Moldova (numit în continuare “Grant”), reprezentanţii Donatorului şi ai Beneficiarului doresc să noteze următoarele detalii procedurale, drept fiind aprobate de organele competente ale celor două Guverne:

1. Lista bunurilor corespunzătoare

Bunurile menţionate în subparagraful (1) al paragrafului 2 din schimbul de Note vor constitui cele enumerate în Anexa I.

2. Ţările de origine corespunzătoare

Ţările de origine corespunzătoare menţionate în subparagraful (3) al paragrafului 2 din schimbul de Note vor constitui următoarele:

Toate ţările şi regiunile cu excepţia Republicii Moldova.

3. Achiziţionarea

(1) Grantul şi dobânda aferentă vor fi utilizate pentru procurarea bunurilor şi serviciilor menţionate în subparagraful (1) al paragrafului 2 din schimbul de Note, cu atenţia necesară pentru economia, eficienţa şi nediscriminarea între ţările de origine corespunzătoare, cu excepţia cazului când organele competente ale celor două Guverne vor decide altfel.

(2) Pentru a asigura conformitatea cu aceste cerinţe, este necesar ca Beneficiarul să angajeze un agent independent şi competent pentru procurarea bunurilor şi serviciilor menţionate în subparagraful (1) al paragrafului 2 al schimbului de Note.

Beneficiarul va semna un contract de angajare, pe parcursul unei luni din momentul intrării în vigoare a schimbului de Note cu Crown Agents for Oversea Governments and Administrations (numit în continuare “Agent”), care va activa în interesul Beneficiarului în conformitate cu Scopul Serviciilor de Agent descrise în Anexa II.

(3) Contractul de angajare menţionat va intra în vigoare din momentul aprobării în scris de către Donator.

(4) Produsele indicate în subparagraful (1) al paragrafului (2) al schimbului de Note urmează a fi procurat în corespundere cu “Ghidul procurărilor în cadrul Grantului Japonez Non-Proiect” care prevede, inter alia, procedura de tender care trebuie urmată, cu excepţia cazurilor când o astfel de procedură este inaplicabilă sau inadecvată.

(5) Beneficiarul va lua măsurile necesare pentru a expedia informaţia cu privire la utilizarea Grantului şi a dobânzilor aferente, inclusiv facilitarea procedurilor de import existente.

4. Comitetul

(1) În decurs de zece zile de la data intrării în vigoare a schimbului de Note, Beneficiarul şi Donatorul vor desemna reprezentanţii săi, care vor deveni membri ai unui comitet consultativ (numit în continuare “Comitet”), rolul căruia va fi să discute orice fapte care ar putea apărea ca consecinţă sau va avea legătură cu schimbul de Note. Imediat după încheierea contractului de angajare menţionat în subparagraful (2) al paragrafului 3, mai sus, Agentul va numi un reprezentant al său care va participa la şedinţele Comitetului în rol de consultant.

(2) Comitetul va fi prezidat de reprezentantul Beneficiarului. Reprezentanţii altor organizaţii decât Agentul, pot fi invitaţi să participe la şedinţele Comitetului pentru a oferi servicii de consultanţă.

(3) Termenii de referinţă ai Comitetului vor fi descrişi în Anexa V.

(4) Prima şedinţă a Comitetului va avea loc imediat după aprobarea de către Donator a contractului de angajare menţionat în subparagraful (2) al paragrafului 3, mai sus. Şedinţele ulterioare vor avea loc fie la cererea Beneficiarului sau a Donatorului. Agentul poate sfătui Beneficiarul sau Donatorul despre necesitatea desfăşurării unei şedinţe a Comitetului.

5. Procedura de disbursare

Procedura de disbursare legată de procurarea bunurilor şi serviciilor adiacente, inclusiv taxa Agentului, în cadrul Grantului şi a dobânzii aferente va fi după cum urmează:

(1) Beneficiarul (sau organul sau desemnat) şi banca japoneză menţionată în subparagraful (1) al paragrafului 3 din schimbul de Note (numită în continuare “Banca”) vor semna un acord în privinţa transferului de fonduri, în care Beneficiarul va desemna Agentul drept reprezentant care acţionează în numele Beneficiarului, pentru toate transferurile de fonduri către Agent.

(2) Agentul va prezenta cereri către Bancă pentru transferul fondurilor necesare pentru procurarea bunurilor şi serviciilor adiacente şi pentru serviciile Agentului descrise în Anexa II. Fiecare cerere va fi însoţită de o estimare detaliată a cheltuielilor ce vor fi acoperite de fondurile transferate şi o copie aprobată de Donator a contractului menţionat în subparagraful (3) al paragrafului 3, mai sus. O copie a cererii şi estimării vor fi trimise în acelaşi timp Beneficiarului.

(3) După prezentarea cererii de către Agent după cum e menţionat în subparagraful (2) mai sus, Banca va notifica Beneficiarul despre cererea prezentată de Agent. Banca va transfera suma Agentului din contul de depozit menţionat în subparagraful (1) al paragrafului 3 din schimbul de Note (numit în continuare “Cont de Depozit”), cu excepţia cazului când Beneficiarul îşi exprimă dezacordul pentru această plată în decurs de zece zile lucrătoare după notificarea de către Bancă. Agentul va efectua plăţile către furnizori din fondurile primite (numite în continuare “Avansuri”) în conformitate cu condiţiile contractelor semnate cu ei.

După astfel de plăţi, Agentul poate utiliza suma rămasă a Avansurilor, dacă există, pentru a procura alte bunuri şi servicii adiacente corespunzătoare, fără ca să transfere aceste sume înapoi în contul de Depozit.

(4) Procedura de rambursare

În momentul când suma rămasă în Contul de Depozit şi suma rămasă a Avansurilor (numită în continuare “Suma rămasă”) va fi mai mică de 3% din suma Grantului şi a dobânzii aferente, Beneficiarul poate cere Agentului să ramburseze suma rămasă Beneficiarului pentru plăţi efectuate deja de Beneficiar pentru procurarea bunurilor enumerate în Anexa I, cu condiţia ca aceste plăţi să fi fost efectuate la sau după data intrării în vigoare a schimbului de Note.

Atunci când Agentul va considera cererea Beneficiarului corespunzătoare, Agentul va prezenta Băncii o cerere pentru transferarea sumei rămase Agentului, prin prezentarea unui Certificat de Procurare Corespunzătoare pentru Suma rămasă, autorizată de Beneficiar şi Agent în forma prezentată în Anexa IV. După acest transfer, Agentul va rambursa suma rămasă Beneficiarului.

(5) În legătură cu punctul (a) al subparagrafului (1) ai paragrafului 5 al schimbului de Note, plăţile din Contul de Depozit vor fi efectuate pe parcursul unei perioade de douăsprezece luni după data executării Grantului, iar alte plăţi nu vor fi efectuate după acea dată, cu excepţia cazului când organele competente ale celor două Guverne vor conveni altfel.

6. Rambursarea sumei rămase

În legătură cu punctul (a) al subparagrafului (1) al paragrafului 5 al schimbului de Note, atunci când Donatorul va afla, după primirea raportului final în conformitate cu punctul (d) al subparagrafului (1) al paragrafului 5 al schimbului de Note, că utilizarea Grantului şi a dobânzii aferente este incompletă, va notifica Beneficiarul în legătură cu procedurile de rambursare a sumei rămase a Grantului şi dobânzii aferente. Beneficiarul va rambursa suma rămasă menţionată fără întârziere prin intermediul acestor proceduri menţionate mai sus.

7. Depozitul în lei moldoveneşti

(1) În legătură cu subparagraful (1) al paragrafului 6 din schimbul de Note, Agentul va calcula suma necesară pentru a fi depozitată de către Beneficiar în lei moldoveneşti. Dacă nu se va conveni altfel de organele competente ale celor doua Guverne, suma va fi calculată în baza preţului F.O.B. al bunurilor procurate în cadrul Grantului şi rata medie de schimb 5 martie 2008, despre care F.M.I. va fi notificat.

(2) Beneficiarul va asigura prezentarea rapoartelor lunare Agentului despre contul menţionat în subparagraful (1) al paragrafului (6) din schimbul de Note.

(3) Dacă nu se va conveni altfel de organele competente ale celor două Guverne, Agentul va prezenta rapoarte lunare pe parcursul unei perioade de cinci ani pentru membrii Comitetului în legătură cu suma necesară pentru depozitare şi suma real depozitată în lei moldoveneşti.

(4) Beneficiarul va informa direct Donatorul despre situaţia depozitului în lei moldoveneşti la cererea Donatorului.

(5) Beneficiarul va asigura efectuarea auditului extern pentru a asigura gestionarea şi utilizarea corectă a Depozitului în valută moldovenească şi va prezenta rezultatele auditului Donatorului la cererea acestuia.

(6) În legătură cu subparagraful (3) al paragrafului 6 din schimbul de Note, Beneficiarul va elabora “Programul de Utilizare” a fondurilor depozitate, care va include denumirile proiectelor specifice, detaliile lor şi sumele băneşti ce vor fi alocate. “Programul de Utilizare” va fi prezentat Donatorului pentru consultare.

Anexa I

LISTA PRODUSELOR ELIGIBILE

Anexa II

Scopul serviciilor Agentului

1. Asigurarea adunărilor Comitetului cu informaţii şi consultaţii.

2. Asigurarea că Beneficiarul şi utilizatorul final va înţelege pe deplin procedura care se va aplica, inclusiv necesitatea creării depozitului în lei moldoveneşti, în caz de necesitate.

3. (1) Pregătirea specificaţiei bunurilor pentru Beneficiar, inclusiv, în caz de necesitate, discuţii detaliate cu utilizatorii finali.

(2) Pregătirea documentelor pentru ofertă, corespunzătoare tipului şi valorii bunurilor care urmează a fi procurate.

(3) Publicitatea ofertelor, în cazul utilizării tenderului internaţional, formularea cărora se va face de comun acord cu Beneficiarul şi Donatorul.

(4) Evaluarea ofertelor, inclusiv a detaliilor tehnice şi financiare.

(5) Transmiterea recomandărilor Beneficiarului pentru aprobarea plasării comenzilor la furnizori.

4. Primirea şi utilizarea Avansurilor în conformitate cu contractul de angajare cu Beneficiarul, în conformitate cu subparagraful (2) paragraful 3 al procesului-verbal aprobat despre detaliile procedurale.

5. Negocierea şi încheierea contractelor cu furnizorii, inclusiv a prevederilor privind condiţiile de achitare satisfăcătoare, condiţiile de livrare şi inspectare.

6. Verificarea executării obligaţiilor furnizorilor în scopul asigurării livrărilor la data stabilită.

7. Asigurarea Beneficiarului şi a utilizatorilor finali cu documente care vor conţine informaţii detaliate privind executarea comenzilor, notificarea privind plasarea comenzilor, amendamentele la contract, informaţii privind livrarea, documentele de livrare etc.

8. Achitarea cu furnizorii din Avansuri.

9. Asigurarea Donatorului şi Beneficiarului cu următoarele documente:

(1) Certificatul Procurărilor Eligibile indicat în Anexa III.

(2) Pro forma invoice.

10. Pregătirea unui raport trimestrial pentru Beneficiar şi Donator, menţionând solicitările, comenzile, starea comenzilor, valoarea şi informaţia privind livrarea.

11. Prezentarea către Beneficiar şi Donator a rapoartelor trimestriale, conţinând detalii privind bilanţul Grantului şi a dobânzii calculate la acesta, precum şi toate disbursările efectuate pe parcursul unui trimestru.

12. Transferarea Avansurilor neutilizate la Cont după perioada indicată în subparagraful (5), paragraful 5 al procesului-verbal aprobat despre detaliile procedurale.

13. Prezentarea membrilor Comitetului a unor rapoarte lunare privind depozitul în valută moldovenească în conformitate cu subparagraful (3), paragraful 7 ale procesului-verbal aprobat despre detaliile procedurale, cu detalii privind suma totală necesară a fi depozitată, suma depozitată de fapt şi rata procentuală a acesteia.

14. Prezentarea Donatorului unui raport de evaluare care va conţine detalii privind toate bunurile livrate, ţările de origine, data livrărilor, valoarea bunurilor (inclusiv toate cheltuielile relevante) şi suma totală disbursată şi suma neutilizată.

Anexa V

Termenii de referinţă a Comitetului

1. Să creeze un plan pentru utilizarea rapidă şi efectivă a Grantului şi al interesului său sporit.

2. Sa efectueze un schimb de opinii privind alocările Grantului şi interesului sporit al acestuia precum şi al potenţialilor utilizatori finali.

3. Să identifice problemele care ar putea cauza amânarea utilizării Grantului şi dobânda aferentă, de a înainta soluţii la astfel de probleme.

4. Să asiste la formularea unui plan privind depozitul în valuta naţională a Republicii Moldova.

5. Să efectueze un schimb de opinii privind utilizarea efectivă a fondului depozitat în valuta naţională a Republicii Moldova.

6. Să efectueze un schimb de opinii referitoare la publicitatea privind utilizarea Grantului şi a dobânzii aferente acestuia şi al fondului depozitat în valută naţională a Republicii Moldova.

7. Să discute orice alte situaţii care pot apărea din/în legătură cu Schimburile de Opinii.

 PROCESUL-VERBAL AL DISCUŢIILOR

Cu referire la Schimbul de Note din 5 martie 2008 în privinţa extinderii cooperării economice japoneze pentru a întări relaţiile de prietenie şi cooperare dintre Guvernul Japoniei şi Guvernul Republicii Moldova (în continuare numite “Schimbul de Note”), reprezentanţii Delegaţiei Japoniei şi Delegaţia Moldovei doresc să noteze următoarele:

1. Cu referire la paragraful 2 al schimbului de Note, reprezentanţii Delegaţiei Japoniei au declarat următoarele:

Guvernul Japoniei înţelege că Guvernul Republicii Moldova va lua măsurile necesare pentru a preveni orice ofertă, dar sau achitare, sau alt beneficiu, considerat o practică de corupţie în Republica Moldova, care ar putea fi văzut ca stimul sau remunerare pentru încheierea unui contract la care Agentul face referire în subparagraful (2), paragraful 3 ale procesului-verbal privind Detaliile Procedurale a Notelor de Schimb, în scopul procurării bunurilor şi serviciilor prevăzute în paragraful 2 al schimbului de Note.

2. Reprezentanţii Delegaţiei Moldovei declară că Delegaţia nu are obiecţii la declaraţia Delegaţiei Japoniei la care se face referire mai sus.

I have the honour to refer to the recent discussions held between the representatives of the Government of Japan and of the Government of the Republic of Moldova concerning Japanese economic cooperation to be extended with a view to strengthening friendly and cooperative relations between the two countries, and to propose on behalf of the Government of Japan the following arrangements:

1. For the purpose of contributing to promotion of the economic structural adjustment efforts by the Government of the Republic of Moldova as well as mitigation of the economic difficulties, including indebtedness, of the Republic of Moldova, the Government of Japan shall extend to the Government of the Republic of Moldova, in accordance with the relevant laws and regulations of Japan, a grant of three hundred million yen (¥300,000,000) (hereinafter referred to as "the Grant").

2. (1) The Grant and its accrued interest shall be used by the Government of the Republic of Moldova properly and exclusively for the purchase of products enumerated in a list to be mutually agreed upon between the authorities concerned of the two Governments and services incidental to such products, provided that those products are produced in eligible source countries.

(2) The list mentioned in sub-paragraph (1) above will be subject to modifications which may be agreed upon between the authorities concerned of the two Governments.

(3) The scope of the eligible source countries mentioned in sub-paragraph (1) above shall be agreed upon between the authorities concerned of the two Governments.

3. (1) The Government of the Republic of Moldova shall open a yen ordinary deposit account at a bank in Japan in the name of the Government of the Republic of Moldova (hereinafter referred to as "the Account") within fourteen days after the date of entry into force of the present arrangements and shall notify in writing the Government of Japan of the completion of the procedure for opening the Account within seven days after the date of the opening of the Account.

(2) The sole purpose of the Account is to receive the payment in Japanese yen by the Government of Japan referred to in paragraph 4. as well as to make payments necessary for the purchase of the products and services referred to in sub-paragraph (1) of paragraph 2., and such other payment as may be agreed upon between the authorities concerned of the two Governments.

4. The Government of Japan shall execute the Grant by making payment in Japanese yen of the amount referred to in paragraph 1. to the Account during the period between the date of receipt of the written notification referred to in sub-paragraph (1) of paragraph 3. and March 31, 2008. The period may be extended by mutual consent between the authorities concerned of the two Governments.

5. (1) The Government of the Republic of Moldova shall take necessary measures:

(a) to ensure that the Grant and its accrued interest be completely disbursed from the Account to be ready for the procurement of goods or services within a period of twelve months after the date of the execution of the Grant unless the period is extended by mutual consent between the authorities concerned of the two Governments and to refund the amount remaining in the Account after the period to the Government of Japan;

(b) to ensure that customs duties, internal taxes and other fiscal levies which may be imposed in the Republic of Moldova with respect to the purchase of the products and services referred to in sub-paragraph (1) of paragraph 2. shall not be borne by the Grant;

(c) to ensure that the Grant and its accrued interest be used properly and effectively for promotion of the economic structural adjustment efforts as well as mitigation of the economic difficulties, including indebtedness, of the Republic of Moldova; and

(d) to present to the Government of Japan a report prepared in a written form acceptable to the Government of Japan on the transactions on the Account together with copies of contracts, vouchers and other documents concerning the relevant transactions without delay when the Grant and its accrued interest are completely drawn in accordance with the provisions of sub-paragraph (2) of paragraph 3., or when the period for the use of the Grant and its accrued interest expires in accordance with the provisions of (a) above, or upon request by the Government of Japan.

(2) The products purchased under the Grant and its accrued interest shall not be re-exported from the Republic of Moldova.

6. (1) The Government of the Republic of Moldova shall ensure that, while endeavoring to deposit an amount equivalent to the total yen disbursement, it will deposit an amount equivalent to at least a half of the yen disbursement paid with respect to the purchase of the products referred to in sub-paragraph (1) of paragraph 2. in Moldovan currency, unless otherwise agreed between the authorities concerned of the two Governments, in an account to be opened in its name in Banca de Economii S.A. or a bank to be agreed between the authorities concerned of the two Governments. The deposit shall be made within the period of 2 years from the date of entry into force of the present arrangements, unless otherwise agreed between the authorities concerned of the two Governments.

(2) The fund thus deposited shall be utilized for support and development of small and medium-scale enterprises in the Republic of Moldova.

(3) The authorities concerned of the two Governments shall consult with each other about the detail of the utilization of the fund deposited prior to the utilization.

(4) The Government of the Republic of Moldova shall present to the Government of Japan a report prepared in a written form acceptable to the Government of Japan on the utilization of the fund deposited without delay when the fund deposited is completely used in accordance with the provisions of sub-paragraphs (2) and (3) above.

7. Further procedural details for the implementation of the present arrangements shall be agreed upon through consultation between the authorities concerned of the two Governments.

8. The two Governments shall consult with each other in respect of any matter that may arise from or in connection with the present arrangements.

I have further the honour to propose that this Note and Your Excellency's Note in reply confirming on behalf of the Government of the Republic of Moldova the foregoing arrangements shall constitute an agreement between the two Governments, which shall enter into force on the date of Your Excellency's Note in reply.

I avail myself of this opportunity to renew to Your Excellency the assurance of my highest consideration.

AGREED MINUTES ON PROCEDURAL DETAILS

With reference to paragraphs 2. and 7. of the Exchange of Notes between the Government of the Republic of Moldova (hereinafter referred to as "the Recipient") and the Government of Japan (hereinafter referred to as "the Donor") dated March 5, 2008 (hereinafter referred to as "the Exchange of Notes") concerning the Japanese economic cooperation to be extended for the purpose of contributing to promotion of the economic structural adjustment efforts by the Recipient as well as mitigation of the economic difficulties, including indebtedness, of the Republic of Moldova (hereinafter referred to as "the Grant"), the representatives of the Recipient and of the Donor wish to record the following procedural details, as agreed upon between the authorities concerned of the two Governments:

1. List of Eligible Products

The products referred to in sub-paragraph (1) of paragraph 2. of the Exchange of Notes shall be those enumerated in Appendix I.

2. Eligible Source Countries

The eligible source countries referred to in sub-paragraph (3) of paragraph 2. of the Exchange of Notes shall be as follows:

All countries and areas except the Republic of Moldova.

3. Procurement

(1) The Grant and its accrued interest shall be used for the purchase of the products and the services referred to in sub-paragraph (1) of paragraph 2. of the Exchange of Notes with due attention to economy, efficiency and non-discrimination among the eligible source countries, unless otherwise agreed between the authorities concerned of the two Governments.

(2) In order to ensure compliance with such requirements, it is required that the Recipient employ an independent and competent agent for procurement of the products and services referred to in sub-paragraph (1) of paragraph 2. of the Exchange of Notes.

The Recipient shall, therefore, conclude an employment contract, within one month after the date of entry into force of the Exchange of Notes, with the Crown Agents for Oversea Governments and Administrations (hereinafter referred to as "the Agent") to act on behalf of the Recipient in accordance with the Scope of the Agent's Services as set forth in Appendix II.

(3) The said employment contract shall become effective upon the approval of the Donor in a written form.

(4) The products referred to in sub-paragraph (1) of paragraph 2. of the Exchange of Notes shall be procured in accordance with the "Procurement Guidelines of Japan's Non-Project Grant Aid", which set forth, inter alia, the procedures of tendering to be followed except where such procedures are inapplicable or inappropriate.

(5) The Recipient shall take necessary measures to expedite utilization of the Grant and its accrued interest, including facilitation of the existing import procedures.

4. The Committee

(1) Within ten days after the date of entry into force of the Exchange of Notes, the Recipient and the Donor shall appoint their representatives who will be members of a consultative committee (hereinafter referred to as "the Committee"), the role of which shall be to discuss any matter that may arise from or in connection with the Exchange of Notes. Immediately after the conclusion of the employment contract referred to in sub-paragraph (2) of paragraph 3. above, the Agent shall appoint its representative who will participate in the Committee meetings as an adviser.

(2) The Committee shall be chaired by the representative of the Recipient. Representatives of other organizations than the Agent may, when necessary, be invited to participate in the Committee meetings to provide advisory services.

(3) The terms of reference of the Committee shall be as set forth in Appendix V.

(4) The first meeting of the Committee shall be held immediately after the approval of the Donor of the employment contract referred to in sub-paragraph (2) of paragraph 3. above. Further meetings will be held upon request of either the Recipient or the Donor. The Agent may advise the Recipient and the Donor on the necessity to call a meeting of the Committee.

5. Disbursement Procedure

Disbursement procedure relating to the procurement of products and incidental services including the Agent's fees under the Grant and its accrued interest shall be as follows:

(1) The Recipient (or its designated authority) and the bank in Japan referred to in sub-paragraph (1) of paragraph 3. of the Exchange of Notes (hereinafter referred to as "the Bank") shall conclude an arrangement regarding transfer of funds in which the Recipient shall designate the Agent as the representative acting in the name of the Recipient concerning all transfers of funds to the Agent.

(2) The Agent shall make requests to the Bank for transferring of funds to cover expenses necessary for the procurement of eligible products and incidental services and the Agent's related services set forth in Appendix II. Each of the request shall be accompanied by a detailed estimate of the expenses which is to be covered by the funds transferred and a copy of the approval by the Donor of the contract referred to in sub-paragraph (3) of paragraph 3. above. A copy of the request and of the estimation shall be sent at the same time to the Recipient.

(3) Pursuant to the Agent's request as per sub-paragraph (2) above, the Bank shall notify the Recipient of the request made by the Agent. The Bank shall pay the amount to the Agent from the account referred to in sub-paragraph (1) of paragraph 3. of the Exchange of Notes (hereinafter referred to as "the Account") unless the Recipient makes opposition to such payment within ten working days after the notification by the Bank. The Agent shall make payments to suppliers from the funds received (hereinafter referred to as "the Advances") in accordance with the terms of the contracts with them.

After such payments, the Agent may use the remaining amount of the Advances, if any, for the procurement of other eligible products and incidental services without transferring the said amount back to the Account.

(4) Reimbursement procedure

When the total of the remaining amount in the Account and the remaining amount of the Advances (hereinafter referred to collectively as "the Remaining Amount") is less than 3% of the Grant and its accrued interest, the Recipient may request the Agent to reimburse the Remaining Amount to the Recipient for payments which have already been made by the Recipient for the procurement of the products listed in Appendix I, provided that such payments have been made on or after the date of entry into force of the Exchange of Notes.

When the Agent deems the request by the Recipient appropriate, the Agent shall make requests to the Bank for transferring to the Agent the remaining amount in the Account by issuing to the Bank a Certificate of Eligible Procurement for the Remaining Amount certified by both the Recipient and the Agent as per the form set forth in Appendix IV. After such transfer, the Agent shall reimburse the Remaining Amount to the Recipient.

(5) With respect to (a) of sub-paragraph (1) of paragraph 5. of the Exchange of Notes, disbursements from the Account shall be made within a twelve months period after the date of the execution of the Grant, and no further disbursement shall be made thereafter, unless otherwise agreed between the authorities concerned of the two Governments.

6. Refund of the Remaining Amount

With respect to (a) of sub-paragraph (1) of paragraph 5. of the Exchange of Notes, when the Donor finds, upon the receipt of the termination report pursuant to (d) of sub-paragraph (1) of paragraph 5. of the Exchange of Notes, that the use of the Grant and its accrued interest is incomplete, it shall notify the Recipient of the procedures for refunding of the remaining amount of the Grant and its accrued interest. The Recipient shall refund the said remaining amount to the Donor without delay through such procedures as notified above.

7. Moldovan Currency Deposit

(1) With respect to sub-paragraph (1) of paragraph 6. of the Exchange of Notes, the Agent shall compute the amount required to be deposited in Moldovan currency by the Recipient. Unless otherwise agreed between the authorities concerned of the two Governments, it shall be calculated based on the F.O.B. price of the products purchased under the Grant and the average exchange rate of March 2008 which the I.M.F. is notified of.

(2) The Recipient shall ensure that the Agent will receive monthly statements of the account referred to in sub-paragraph (1) of paragraph 6. of the Exchange of Notes.

(3) Unless otherwise agreed upon between the two Governments, the Agent shall, for a period of five years from the date of entry into force of the Exchange of Notes, make monthly reports for the Committee members concerning the amount required to be deposited and the amount actually deposited in Moldovan currency.

(4) The Recipient shall directly inform the Donor of the situation of the Moldovan currency deposit upon request by the Donor.

(5) The Recipient shall ensure that an external audit will be conducted in order to ensure proper management and use of the Moldovan currency deposit, and shall submit the result of the audit to the Donor upon request by the Donor.

(6) With respect to sub-paragraph (3) of paragraph 6. of the Exchange of Notes, the Recipient shall make "the Utilization Programme" of the deposited fund which shall include the names of specific projects, their details and the amount of money to be allocated. "The Utilization Programme" shall be presented to the Donor for consultation.

Appendix II

Scope of the Agent's Services

1. Provision of information and advice to the Committee meetings.

2. Ensuring that the Recipient and the end-users fully understand the procedures to be employed, including the need for the Moldovan currency deposit, where necessary.

3. (1) Preparation of specifications of products for the Recipient, including, where necessary, detailed discussions with the end-users.

(2) Preparation of bid documents appropriate to the type and value of products to be procured.

(3) Advertisement of bids, where the international competitive bidding is to be held, the wording of which is to be agreed upon between the Recipient and the Donor.

(4) Evaluation of bids, including both technical and financial considerations.

(5) Submission of recommendations to the Recipient for approval to place order with suppliers.

4. Receipt and utilization of the Advances in accordance with the employment contract with the Recipient referred to in sub-paragraph (2) of paragraph 3. of the Agreed Minutes on Procedural Details.

5. Negotiation and conclusion of contracts with suppliers, including satisfactory payment, shipment and inspection arrangements.

6. Checking the progress of supplies to ensure that delivery dates are met.

7. Providing the Recipient and end-users with documents containing detailed information of progress of orders, notification of orders placed, amendments to contracts, delivery information, shipping documents, etc.

8. Payment to suppliers from the Advances.

9. Providing the following documents to the Recipient and the Donor:

(1) Certificate of Eligible Procurement as per Appendix III

(2) Pro forma invoice

10. Preparation of quarterly status reports for the Recipient and the Donor, covering enquiries, orders, order status, values and delivery information.

11. Submission of quarterly statements to the Recipient and the Donor detailing balance against the Grant and its accrued interest and all disbursements for the quarter.

12. Transferring of the balance of the Advances to the Account after the period referred to in sub-paragraph (5) of paragraph 5. of the Agreed Minutes on Procedural Details.

13. Submission to the Committee members of monthly reports concerning the Moldovan currency deposit referred to in sub-paragraph (3) of paragraph 7. of the Agreed Minutes on Procedural Details, detailing the total amount required to be deposited, the amount actually deposited and its ratio.

14. Submission to the Donor of an overall evaluation report including details of all products shipped, source country, delivery date, value of products (including relevant charges) and total amounts disbursed and remaining.

The Government of Japan understands that the Government of the Republic of Moldova will take necessary measures to prevent any offer, gift or payment, consideration or benefit which would be construed as a corrupt practice in the Republic of Moldova from being made as an inducement or reward related to the award of the contracts that the agent referred to in sub-paragraph (2) of paragraph 3. of the Agreed Minutes on Procedural Details of the Exchange of Notes will enter into with a view to purchasing the products and services referred to in paragraph 2. of the Exchange of Notes.

2. The representative of the Moldovan Delegation stated that the Moldovan Delegation has no objection to the statement by the representative of the Japanese Delegation referred to above.
