Republica Moldova şi Republica Slovacă (denumite în continuare Părţi Contractante),
dorind să intensifice cooperarea lor economică în avantajul reciproc al ambelor state,
având drept scop crearea şi menţinerea condiţiilor favorabile pentru efectuarea investiţiilor investitorilor unei Părţi Contractante pe teritoriul celeilalte Părţi Contractante,
recunoscând că promovarea şi protejarea reciprocă a investiţiilor în baza prezentului Acord va stimula iniţiativa de afaceri în acest domeniu,
au convenit asupra celor ce urmează:
Articolul 1
Definiţii
În scopul prezentului Acord:
1. Noţiunea "investiţie" se referă la orice gen de patrimoniu investite de către investitorii unei Părţi Contractante pe teritoriul celeilalte Părţi Contractante, în conformitate cu legislaţia acesteia şi include în particular, dar nu în exclusivitate:
a) proprietatea mobiliară şi imobiliară, precum şi orice alte drepturi de proprietate, aşa ca ipoteci, garanţii, gajuri;
b) cote părţi, acţiuni, obligaţiuni şi alte tipuri de participare într-o companie sau oricare întreprindere de afaceri şi drepturile sau interesele derivate din acestea;
c) creanţe monetare sau orice alte creanţe şi drepturi contractuale cu valoare economică;
d) drepturi de proprietate intelectuală, definite in acordurile multilaterale încheiate în cadrul Organizaţiei Mondiale pentru Proprietatea Intelectuală, în măsura în care ambele Părţi Contractante sunt părţi la aceasta, în special, dar nu în exclusivitate: drepturile de proprietate industrială, drepturile de autor şi drepturile conexe, mărcile comerciale, patentele, proiectele industriale şi procesele tehnice, drepturile în diverse întreprinderi, know-how, secretele comerciale, denumirile comerciale şi goodwill;
e) concesiuni comerciale cu valoare economică conferite prin legea publică sau în virtutea unui contract, precum şi orice licenţe sau autorizaţii potrivit legii, inclusiv concesiuni în vederea explorării, extragerii şi exploatării resurselor naturale.
Orice modificare a formei în care bunurile au fost investite sau reinvestite, nu va afecta caracterul lor de investiţie.
2. Noţiunea "venituri" defineşte câştigurile obţinute din investiţii şi include în particular, dar nu în exclusivitate, profiturile, dobânzile, creşterea de capital, dividendele, royalty şi alte remunerări.
3. Noţiunea "investitor" înseamnă orice persoană fizică sau juridică a unei Părţi Contractante ce investeşte pe teritoriul celeilalte Părţi Contractante:
a) noţiunea “persoană fizică" înseamnă persoana fizică care deţine cetăţenia acelei Părţi Contractante în conformitate cu legislaţia sa; şi
b) noţiunea “persoană juridică" înseamnă orice entitate înregistrată sau constituită în conformitate cu legislaţia uneia din Părţile Contractante şi care are oficiul înregistrat, administraţia centrală sau îşi desfăşoară principala activitate economică pe teritoriul uneia din Părţile Contractante. Deşi, chiar dacă persoana juridică are oficiul înregistrat pe teritoriul uneia din părţi, operaţiunile sale trebuie să posede o legătură reală şi continuă cu economia uneia dintre părţi şi să desfăşoare activităţi economice reale pe teritoriul uneia din părţile Contractante.
4. Noţiunea "teritoriu" înseamnă:
a) cu referinţă la Republica Slovacă suprafaţa geografică alcătuită din sol, subsol, ape şi coloana de aer de deasupra solului şi apelor asupra căreia îşi exercită drepturile suverane şi jurisdicţia sa deplină şi exclusivă, în conformitate cu dreptul internaţional;
b) cu referinţă la Republica Moldova: suprafaţa geografică alcătuită din sol, subsol, ape şi coloana de aer de deasupra solului şi apelor cuprins între frontierele sale, asupra cărora Republica Moldova îşi exercită drepturile suverane şi jurisdicţia sa deplină şi exclusivă, în conformitate cu legislaţia sa şi cu dreptul internaţional.
5. Noţiunea “valută liber convertibilă" înseamnă valuta care este frecvent utilizată la efectuarea plăţilor în tranzacţiile internaţionale şi frecvent utilizate pe principalele pieţe de schimb internaţionale.
6. Noţiunea “scop public” este stabilită în conformitate cu prevederile legislaţiei naţionale a fiecărei din Părţile Contractante.
Articolul 2
Promovarea şi protejarea investiţiilor
1. Fiecare Parte Contractantă va stimula şi va crea condiţii favorabile pe teritoriul său pentru investitorii celeilalte Părţi Contractante pentru a efectua investiţii în teritoriul său şi va admite aceste investiţii în conformitate cu legislaţia sa.
2. Investiţiilor investitorilor fiecărei Părţi Contractante le va fi acordat permanent un tratament just şi echitabil şi vor beneficia de protecţie şi securitate deplină pe teritoriul celeilalte Părţi Contractante. Nici o parte Contractantă nu va prejudicia prin măsuri irezonabile sau discriminatorii operaţiunile, managementul, menţinerea, folosirea sau dispunerea de investiţiile pe teritoriul statului său a investitorilor celeilalte Părţi Contractante.
Articolul 3
Tratamentul naţional şi tratamentul naţiunii celei mai favorizate
1. Fiecare Parte Contractantă va acorda în teritoriul său investiţiilor şi veniturilor investitorilor celeilalte Părţi Contractante un tratament nu mai puţin favorabil decât cel acordat investiţiilor şi veniturilor propriilor săi investitori sau investiţiilor şi veniturilor investitorilor oricărui alt Stat terţ, oricare este mai favorabil pentru investitorii în cauză.
2. Fiecare Parte Contractantă va acorda pe teritoriul său investitorilor celeilalte Părţi Contractante în ceea ce priveşte managementul, menţinerea, posedarea, folosirea sau dispoziţia investiţiilor lor, un tratament nu mai puţin favorabil decât cel acordat investitorilor săi proprii sau investitorilor oricărui Stat terţ, oricare este mai favorabil pentru investitorii în cauză.
3. Prevederile conform alineatelor 1 şi 2 ale prezentului Articol nu vor fi interpretate în sensul de a obliga o Parte Contractantă să acorde investitorilor celeilalte Părţi Contractante avantajul unui tratament, preferinţă sau privilegiu, care pot fi acordate de către prima Parte Contractantă ce rezultă dintr-un un acord sau aranjament internaţional, ce se referă complet sau parţial la impozitare.
4. Tratamentul nediscriminatoriu, tratamentul naţional şi a naţiunii celei mai favorizate prevăzute în prezentul Acord nu se vor răsfrânge asupra avantajelor actuale sau viitoare acordate de către oricare Parte Contractantă, în virtutea calităţii sale de membru, sau asociat la, o uniune vamală, economică sau valutară, piaţă comună sau zonă de comerţ liber, cetăţenilor săi sau companiilor sale, a Statelor Membre a unei asemenea uniuni, pieţe comune sau zone de comerţ liber, sau a oricărui Stat terţ.
Articolul 4
Compensaţia pentru pierderi
1. Dacă investiţiile investitorilor uneia dintre Părţile Contractante suferă pierderi pe teritoriul celeilalte Părţi Contractante, cauzate de război, conflict armat, de o stare de urgenţă naţională, revoltă, tulburări civile, dezordine sau alte evenimente similare, lor li se asigură tratament, privind restituirea, despăgubirea, compensaţia sau altă reglare din partea ultimei Părţi Contractante, nu mai puţin favorabil decât tratamentul pe care ultima Parte Contractantă îl asigură propriilor investitori sau investitorilor unui Stat terţ, în funcţie de cel care este mai favorabil.
2. Indiferent de alineatul 1 al acestui Articol, investitorii unei Părţi Contractante, care au suferit pierderi pe teritoriul celeilalte Părţi Contractante, cauzate de oricare din evenimentele enumerate în alineatul menţionat prin:
- confiscarea proprietăţii lor de către forţele sau autorităţile ultimei Părţi Contractante; sau
- distrugerea proprietăţii lor de către forţele sau autorităţile ultimei Părţi Contractante, nefiind aceasta cauzată de ostilităţi militare sau nefiind necesară în circumstanţele create,
primesc o restituire sau o compensare adecvată nu mai puţin favorabilă decât acele, care ar fi acordate în aceleaşi circumstanţe unui investitor ale celeilalte Părţi Contractante sau unui investitor al oricărui alt Stat.
Articolul 5
Exproprierea
1. Investiţiile investitorilor unei Părţi Contractante nu vor fi naţionalizate, expropriate sau supuse oricăror altor măsuri cu efect echivalent naţionalizării sau exproprierii şi care are drept rezultat un transfer formal de drept sau confiscarea directă (denumită în continuare "expropriere") pe teritoriul celeilalte Părţi Contractante, cu excepţia cazurilor când exproprierea se efectuează în scop public, şi însoţită de o compensare promptă, adecvată şi efectivă. Exproprierea urmează a fi efectuată în bază nondiscriminatorie în conformitate şi în baza unor proceduri legale.
Asemenea compensare va totaliza valoarea de piaţă a investiţiilor expropriate la data imediat anterioară exproprierii sau înainte de momentul, când exproprierea a fost anunţată sau făcută public cunoscută, în dependenţă de ceea ce se va întâmpla mai curând, va include dobânda comercială utilizată din momentul exproprierii până la data plăţii şi va fi realizată efectiv. Compensarea va fi efectuată într-o valută liber convertibilă sau în altă valută, conform înţelegerii dintre investitor şi Partea Contractantă care achită compensarea respectivă.
2. Atât în cazul exproprierii cât şi a compensării, Partea Contractantă va acorda un tratament nu mai puţin favorabil decât cel acordat propriilor investitori, sau investitorilor unui stat terţ.
Articolul 6
Transferurile
1. Fiecare Parte Contractantă va garanta investitorilor celeilalte Părţi Contractante, după îndeplinirea obligaţiunilor lor fiscale, transferul liber al plăţilor, incluzând atât investiţiile cât şi veniturile din acestea. Aceste transferuri vor include în special, dar nu în exclusivitate:
a) profitul net, profit de capital, dividendele, dobânzile, royalties, onorariile şi oricare alt venit curent acumulat în baza investiţiilor;
b) sumele rezultate din lichidarea totală sau parţială sau din înstrăinarea investiţiei;
c) sumele destinate rambursării împrumuturilor referitoare la investiţii;
d) remunerările cetăţenilor sau rezidenţilor celeilalte Părţi Contractante care au autorizaţie de lucru în legătură cu investiţiile pe teritoriul statului său;
e) resursele suplimentare necesare pentru menţinerea şi dezvoltarea investiţiilor existente;
c) compensarea în virtutea Articolelor 4 şi 5 ale prezentului Acord.
2. Toate transferurile prevăzute în prezentul Acord urmează a fi efectuate fără întârzieri nejustificate, în valută liber convertibilă sau în altă valută, conform înţelegerii dintre investitor şi Partea Contractantă care efectuează transferul respectiv. În cazul unor asemenea întârzieri în efectuarea transferurilor necesare, investitorul prejudiciat va avea dreptul să primească dobânzile pentru perioada acestei întârzieri.
3. Indiferent de paragrafele 1 şi 2 ale prezentului Articol, o Parte Contractantă poate, în conformitate cu legislaţia sa, să adopte şi să menţină măsuri în privinţa capitalului internaţional şi a sumelor de transfer şi în particular, dar nu în exclusivitate, în următoarele cazuri:
a) în cazul unei balanţe serioase de achitări şi dificultăţi financiare externe sau în cazul pericolului apariţiei unor asemenea situaţii; sau
b) în cazurile în care, în circumstanţe excepţionale, deplasarea capitalului cauzează sau ameninţă să creeze unele dificultăţi serioase pentru managementul macroeconomic, în particular, politica monetară a ratei de schimb valutar; sau
c) în cazuri excepţionale de sancţiuni economice.
4. Măsurile prevăzute în paragraful 3 al prezentului Articol:
a) nu vor depăşi cadrul de circumstanţe menţionate în paragraful 3 al prezentului Articol;
b) vor fi temporare şi vor fi înlăturate îndată ce condiţiile o vor permite; şi
c) va fi prompt notificată cealaltă Parte Contractantă.
Articolul 7
Subrogarea
1. Dacă o Parte Contractantă sau o instituţie împuternicită a ei, efectuează o plată investitorilor săi în baza unei garanţii sau acordată în legătură cu riscurile investiţiilor pe teritoriul celeilalte Părţi Contractante, cealaltă Parte Contractantă va recunoaşte:
a) transmiterea tuturor drepturilor şi pretenţiilor acestui investitor în baza legii sau a tratativelor juridice asupra primei Părţi Contractante sau a instituţiei împuternicite a ei; şi
b) prima Parte Contractantă sau instituţia împuternicită a ei are dreptul în virtutea subrogării să exercite aceste drepturi şi să aplice aceste revendicări ale acestor investitori.
2. Drepturile sau pretenţiile subrogate nu vor depăşi drepturile iniţiale sau pretenţiile investitorului.
Articolul 8
Reglementarea diferendelor dintre o Parte Contractantă
şi un investitor al celeilalte Părţi Contractante
1. Orice diferend dintre o Parte Contractantă şi un investitor al celelalte Părţi Contractante vor fi reglementate, în măsura posibilităţilor, pe cale amiabilă de către Părţile Participante la diferend.
2. Dacă diferendul nu poate fi soluţionat în timp de şase luni de la data notificării diferendului de către oricare din Părţi, acesta va fi supus pe baza cererii şi alegerii investitorului Părţii Contractante:
a) către Centrul Internaţional pentru Reglementarea Diferendelor legate de Investiţii, instituit prin Convenţia din 18 martie 1965 pentru Reglementarea Diferendelor legate de Investiţii între State şi resortisanţi ai altor state, numai în cazul în care ambele Părţi Contractante sunt semnatare ale acestei Convenţii sau
b) unui tribunal arbitrar ad-hoc în conformitate cu Regulile de Arbitrare ale Comisiei Naţiunilor Unite privind Legislaţia Comercială Internaţională (UNCITRAL).
Fiecare Parte Contractantă îşi acordă consimţământul de a supune jurisdicţiei arbitrajului internaţional menţionat în subparagrafele a) şi b).
Sentinţa va fi definitivă şi obligatorie pentru ambele părţi la diferend. Fiecare Parte Contractantă va asigura recunoaşterea şi executarea sentinţei în conformitate cu legislaţia naţională.
Articolul 9
Reglementarea diferendelor dintre Părţile Contractante
1. Părţile Contractante convin de a se consulta prompt, la solicitarea oricărei Părţi Contractante, spre a soluţiona orice diferend apărui în conexiune cu prezentul Acord, sau în legătură cu interpretarea sau aplicarea prezentului Acord. Părţile Contractante convin de asemenea de a se consulta prompt ori de câte ori o Parte Contractantă consideră necesară introducerea unor modificări pentru a asigura compatibilitatea dintre prezentul Acord şi Tratatele de bază ale Comunităţii Europene.
2. Dacă diferendul nu va fi reglementat timp de şase luni, acesta, la solicitarea uneia dintre Părţile Contractante va fi supus unui tribunal de arbitraj în conformitate cu prevederile acestui Articol.
3. Tribunal de arbitraj va fi constituit de la caz la caz, precum urmează. În decurs de două luni de la data în care o Parte Contractantă a informat cealaltă Parte Contractantă despre intenţia sa de a supune diferendul unui tribunal de arbitraj, fiecare Parte Contractantă va desemna câte un arbitru al tribunalului. Ambii arbitri vor alege un cetăţean al unui Stat terţ, care cu acordul celor două Părţi Contractante, va fi numit în calitate de preşedinte al tribunalului (denumit în continuare "Preşedinte"). Preşedintele va fi numit în decursul a trei luni următoare de la data desemnării celor doi arbitri.
4. În cazul, în care termenele prevăzute în alineatul 3 al acestui Articol nu sunt respectate, fiecare Parte Contractantă poate să se adreseze Preşedintelui Curţii Internaţionale de Justiţie pentru a face numirile necesare. Dacă Preşedintele Curţii Internaţionale de Justiţie este cetăţean al uneia dintre Părţile Contractante, sau din alte motive, este împiedicat să exercite această funcţie, vicepreşedintele va fi invitat să facă numirile necesare. Dacă vicepreşedintele este de asemenea cetăţean al uneia dintre Părţile Contractante sau este împiedicat să exercite această funcţie, membrul Curţii Internaţionale de Justiţie care nu este cetăţean al uneia dintre Părţile Contractante, cu cea mai mare vechime în muncă, va fi invitat să facă numirile necesare.
5. Tribunalul de arbitraj adoptă deciziile prin majoritate de voturi. Aceste decizii sunt obligatorii. Fiecare Parte Contractantă suportă cheltuielile legate de membrul său şi de reprezentarea sa la procedura de arbitraj. Cheltuielile legate de preşedinte, precum şi celelalte cheltuieli, vor fi suportate în măsura egală de către ambele Părţi Contractante.
Articolul 10
Consultaţii şi schimbul de informaţie
1. În baza solicitării oricărei din Părţile Contractante, cealaltă Parte Contractantă va consimţi prompt asupra începerii consultaţiilor asupra interpretării şi aplicării prezentului Acord. În baza solicitării oricăreia din Părţile Contractante va avea loc schimbul de informaţii asupra impactului pe care legislaţia, deciziile administrative, practicile sau procedurile, sau politicile celeilalte Părţi Contractante o pot avea asupra investiţiilor aflate sub incidenţa prezentului Acord.
2. Consultările prevăzute în prezentul Articol vor include consultările privind modificările considerate necesare de către o Parte Contractantă pentru asigurarea compatibilităţii dintre prezentul Acord şi Tratatele de bază ale Comunităţii Europene.
Articolul 11
Aplicarea altor Reguli şi Prevederi Speciale
1. În cazul în care o problemă simultan cade sub incidenţa atât a prevederilor prezentului Acord cât şi a unui alt Acord Internaţional la care ambele Părţi semnatare sunt semnatare, nici o prevedere a prezentului Acord nu va împiedica oricare din Părţile Contractante sau oricare din investitorii săi, care posedă investiţii pe teritoriul celeilalte Părţi Contractante, să beneficieze de acele prevederi, care sunt mai avantajoase în cazul său.
2. Dacă tratamentul pe care o Parte Contractantă urmează să îl acorde investiţiilor sau investitorilor celeilalte Părţi Contractante, în conformitate cu legislaţia sa sau cu celelalte prevederi specifice ale contractului, este mai favorabil decât cel prevăzut de prezentul Acord, atunci va fi acordat tratamentul cel mai favorabil.
3. Toate referirile din prezentul Acord cu privire la măsurile unei Părţi Contractante vor include măsuri aplicabile, în conformitate cu legislaţia Uniunii Europene pe teritoriul acelei Părţi Contractante, în conformitate cu calitatea sa de membru la Uniunea Europeană.
Articolul 12
Aplicarea prezentului Acord
Prezentul Acord va fi aplicat faţă de investiţiile efectuate atât anterior intrării lui în vigoare pentru Părţile Contractante implicate, precum şi faţă de investiţiile efectuate după intrarea lui în vigoare.
Prezentul Acord se va aplica faţă de investiţiile existente la data intrării în vigoare, precum şi faţă de investiţiile efectuate după intrarea sa în vigoare.
Articolul 13
Intrarea în vigoare, durata şi denunţarea
1. Prezentul Acord va intra în vigoare în cea de-a 90-a zi de la data ultimei notificări, prin canale diplomatice, privind îndeplinirea de către Părţile Contractante a procedurilor interne necesare pentru intrarea acestuia în vigoare.
2. Prezentul Acord se încheie pentru o perioadă de zece ani şi va rămâne în vigoare pentru următoarele perioade de zece ani, dacă nici o Parte Contractantă cu cel puţin un an înainte de expirarea perioadei de acţiune a Acordului nu va notifica în scris cealaltă Parte Contractantă despre intenţia sa de a-l denunţa.
3. Cât priveşte investiţiile efectuate anterior denunţării prezentului Acord, prevederile Acordului vor continua să fie efective pentru o perioadă de zece ani din data denunţării prezentului Acord.
Drept pentru care subsemnaţii, pe deplin autorizaţi de către Guvernele lor respective, au semnat prezentul Acord.
Întocmit la Chişinău, la 7 aprilie 2008, în două exemplare originale, fiecare în limbile moldovenească, slovacă şi engleză, toate textele fiind egal autentice. În cazul divergenţei de interpretare, textul în limba engleză va fi de referinţă.
AGREEMENT
between the Republic of Moldova and the Slovak Republic for
the promotion and reciprocal protection of investments
The Republic of Moldova and the Slovak Republic (hereinafter referred to as the Contracting Parties),
desiring to intensify economic cooperation to the mutual benefit of both States,
intending to create and maintain favourable conditions for investments of investors of one Contracting Party in the territory of the other Contracting Party, and
conscious that the promotion and reciprocal protection of investments, according to the present Agreement, stimulates business initiatives in this field,
have agreed as follows:
Article 1
Definitions
For the purposes of this Agreement:
1. "investment" means every kind of asset invested by investors of one Contracting Party in the territory of State of the other Contracting Party in accordance with the laws and regulations of the latter Contracting Party and in particular, thought not exclusively, includes:
a) movable and immovable property, and any other property rights, such as mortgages, liens, leases or pledges;
b) shares in, stocks and debentures of, and any other form of participation in a company or any business enterprise and rights or interest derived there from;
c) monetary claims or any other claims and rights, under contract, having an economic value;
d) intellectual property rights, as defined in the multilateral agreements concluded under the auspices of the World Intellectual Property Organization, in as far as both Contracting Parties are parties to them, including, but not limited to, industrial property rights, copyrights and related rights, trademarks, patents, industrial design and technical processes, rights in plant varieties, geographical indications, know-how, trade secrets, trade names and goodwill,
e) business concession having an economic value conferred by law or under contract, including concessions to search for, cultivate, extract or exploit natural resources.
Any change of the form in which assets or rights are invested or reinvested shall not affect their character as an investment.
2. "returns" means the amount yielded by investments and, in particular, though not exclusively, includes profit, interest, capital gains, dividends, royalties and all kinds of fees.
3. "investor" means any natural or legal person of one Contracting Party who invest in the territory of the other Contracting Party:
a) the term "natural person" means a natural person having the nationality of that Contracting Party in accordance with its laws and regulations; and
b) the term "legal person" means any entity, which is incorporated or constituted in accordance with the laws and regulations of one of the Contracting Party and which has its registered office, central administration or principal place of business in the territory of one of the Contracting parties. However, should such a legal person have only its registered office in the territory of one of the Contracting parties, its operations must possess a real and continuous link with the economy of one of the Contracting parties and have real economic activities in the territory of one of the Contracting parties.
4. "territory" means:
a) As regards the Slovak Republic, the land territory, internal waters and the air space above them, over which it exercise its sovereignty, sovereign rights and jurisdiction in accordance with international law;
b) As regards the Republic of Moldova, geographical area composed by the soil and subsoil, waters and air column over the soil and territorial waters, under which the Republic of Moldova exercises its sovereign rights and jurisdiction, in accordance with its legislation and international law,
5. "Freely convertible currency" means the currency that is widely used to make payments for international transactions and widely exchanged in principal international exchange markets.
6. "Public purpose" means as established under the national legislation of each of the Contracting Parties.
Article 2
Promotion and Protection of Investments
1. Each Contracting Party shall encourage and create favourable conditions in its territory for investors of the other Contracting Party to make investments in the territory of the State and shall admit such investments in accordance with its law and regulations.
2. Investments made by investors of each Contracting Party shall be accorded fair and equitable treatment and shall enjoy full protections and security in the territory of the other Contracting Party. Neither Contracting Party shall in any way impair by unreasonable or discriminatory measures the operation, management, maintenance, use, enjoyment or disposal of investments in its state territory by investors of the other Contracting Party.
Article 3
National and Most-Favoured-Nation Treatment
1. Each Contracting Party shall in its territory accord to investments and returns of investors of the other Contracting Party treatment, which is fair and equitable and not less favourable than that, which it in like circumstance accords to investments and returns of investors of any third State whichever is more favourable.
2. Each Contracting Party shall in its territory accord to investors of the other Contracting Party, as regards management, maintenance, use, enjoyment or disposal of their investment, treatment which is fair and equitable and not less favourable than that, which it in like circumstances accords to its own investors or investors of any third State, whichever is more favourable.
3. The provisions of paragraphs 1 and 2 of this Article shall not be construed so as to oblige one Contracting Party to extend to the investors of the other Contracting Party the benefit of any treatment, preference or privilege, which may be extended by the former Contracting Party by virtue of any international agreement or arrangement relating wholly or mainly to taxation.
4. The non-discrimination, national treatment and most-favoured nation treatment provisions of this Agreement shall not apply to all actual or future advantages accorded by either Contracting party by virtue of a Contracting Party's membership of, or association with, a customs, economic or monetary union, a common market or a free trade area; to nationals or companies of its own, of Member States of such union, common market or free trade area, or of any other third State.
Article 4
Compensation for Losses
1. Investors of one Contracting Party whose investments suffer losses owing to war or other armed conflict, a state of national emergency, revolt, insurrections, not or other similar situations in the territory of the other Contracting Party, shall be accorded by the latter Contracting Party, treatment as regards restitution, indemnification, compensation or other forms of settlement, no less favourable than that which the latter Contracting Party accords to its own investors or to investors of any third State, whichever is more favourable.
2. Without prejudice to paragraph (1) of this Article, investors of one Contracting Party who, in any of the situations referred to in that paragraph, suffer losses in the territory of the other Contracting Party resulting from:
- requisitioning of their property by forces or authorities of the other Contracting Party; or
- destruction of their property by forces or authorities of the other Contracting Party which was not caused in combat action or was not required by the necessity of the situation,
shall be accorded restitution or adequate compensation in no less favourable than that, which would be accorded under the same circumstances to an investor of the other Contracting Party or to an investor of any other State.
Article 5
Expropriation
1. Investments of investors of one Contracting Party shall not be nationalized, expropriated or otherwise subjected to any other measures which have an effect equivalent to nationalization or expropriation and which result to formal transfer of title or outright seizure (hereinafter referred to as "expropriation") in the territory of the other Contracting Party except for public purpose and against prompt, adequate and effective compensation. The expropriation shall be carried out on a non-discriminatory basis in accordance with legal procedures and under due process of law.
Such compensation shall amount to fair market value of the expropriated investments immediately before expropriation was taken or before impending expropriation became public knowledge, whichever is the earlier, shall include interest at the applicable commercial rate from the date of expropriation until the date of payment and shall be effectively realizable. Compensation shall be made in a freely convertible currency, or in other currency, according to the agreement between the investor and the Contracting party which pays off the respective compensation.
2. In both expropriations and compensation, treatment no less favourable than that which the Contracting Party accords to its own investors or to investors of any third State shall be accorded.
Article 6
Transfers
1. Each Contracting Party shall guarantee to investors of the other Contracting Party, after fulfilment of their financial obligations, the free transfer of payments, including principals, and returns related to their investments. Such transfers shall include, in particular, thought not exclusively:
a) net profit, capital gains, dividends, interest, royalties, fees and any other current income accruing from investments;
b) proceeds accruing from the sale or the total or partial liquidation of investments;
c) funds in repayment of loans related to investments;
d) earnings of nationals or residents of the other contracting Party who are allowed to work in connection with investments in its state territory;
e) additional funds necessary for the maintenance or development of the existing investments; and
f) compensation pursuant to Articles 4 and 5;
2. All transfers under this Agreement shall be made without delay in a freely convertible currency or any other currency, according to the agreement between the investor and the Contracting party which is making the transfer. In case of such delay in effecting the required transfers, the investor affected shall be entitled to receive interest for the period of such delay.
3. Notwithstanding paragraphs 1 and 2 above, a Contracting Party may, in accordance with its laws and regulations, adopt or maintain measures relating to cross-border capital and payment transactions and particularly but not limited by the following cases:
a) in the event of serious balance of payments and external financial difficulties or threat thereof; or
b) in case where, in exceptional circumstances, movements of capital cause or threaten to cause serious difficulties for macroeconomic management, in particular, monetary exchange policies; or
c) in exceptional cases of economic sanctions.
4. Measures referred to in paragraph 3 of this Article:
a) shall not exceed those necessary to deal with the circumstances set out in paragraph 3 of this Article;
b) shall be temporary and shall be eliminated as soon as conditions permit; and
c) shall be promptly notified to other Contracting Party.
Article 7
Subrogation
1. If a Contracting Party or its designated agency makes a payment to its own investors under a guarantee or indemnity given in respect of investments in the territory of the other Contracting Party, the latter Contracting Party shall recognize:
a) the assignment, whether under the law or pursuant to a legal transaction in that State, of any right or claims from investors to the former Contracting Party or its designated agency; and
b) that the former Contracting Party or its designated Agency is entitled by virtue of subrogation to exercise the rights of and enforce the claims of those investors.
2. The subrogated rights or claims shall not exceed the original rights or claims of the investor.
Article 8
Settlement of Investment Disputes between a Contracting Party
and an Investor of the other Contracting Party
1. Any dispute between a Contracting Party and an investor of the other Contracting Party shall, as far as possible, be settled by the parties to the dispute in an amicable way.
2. If the dispute cannot be settled within six (6) months from the date on which the dispute has been notified by either party, it shall submitted upon request and choice of the investor of the Contracting Party:
a) to the International Centre for Settlement of Investment Disputes (ICSID) established by the Washington Convention of 18 March 1965 on the Settlement of Investment Disputes between States and Nationals of other States in case both Contracting Parties are parties to this Convention; or
b) to an international ad hoc arbitral tribunal established under the Arbitration Rules of the United Nations Commissions on International Trade Law (UNCITRAL).
Each Contracting Party gives its consent to the submission of disputes to international arbitration set out in paragraph a) and b).
The award shall be final and binding on the parties to the dispute. Each Contracting Party shall ensure the recognition and enforcement of the award in accordance with its relevant laws and regulations.
Article 9
Settlement of Disputes between the Contracting Parties
1. The Contracting Parties agree to consult promptly, on the request of either, to resolve any disputes in connection with this Agreement, or to discuss any matter relating to the interpretation or application of this Agreement. The Contracting Parties also agree to consult promptly whenever a Contracting Party believes that steps are necessary to assure compatibility between this Agreement and the Treaties Establishing the European Communities with a view to assuring compatibility.
2. If the dispute cannot be thus settled within six (6) months, it shall upon the request of either Contracting Party, be submitted to an Arbitral Tribunal in accordance with the provisions of this Article.
3. The Arbitral Tribunal shall be constituted for each individual case in the following way. Within two months of the receipt of the request for arbitration, each Contracting Party shall appoint one member of the Arbitral Tribunal. These two members shall then select a national of a third State who, on approval of the two Contracting Parties, shall be appointed Chairman of the Arbitral Tribunal (hereinafter referred to as the "Chairman"). The Chairman shall be appointed within three months from the date of appointment of the other two members.
4. If within the periods specified in paragraph 3 of this Article the necessary appointments have not been made, a request may be made to the President of the International Court of Justice to make the appointments. If he happens to be a national of either Contracting Party, or if he is otherwise prevented from discharging the said function, the Vice-President shall be invited to make the appointments. If the Vice-President also happens to be a national of either Contracting Party or is prevented from discharging the said function, the member of the International Court of Justice next in seniority who is not a national of either Contracting Party shall be invited to make the appointments.
5. The Arbitral Tribunal shall reach its decision by a majority of votes. Such decision shall be binding. Each Contracting Party shall bear the cost of its own arbitrator and its representation in the arbitral proceedings, the cost of the Chairman and the remaining costs shall be borne in equal parts by both Contracting Parties.
Article 10
Consultation and Exchange of Information
Upon request by either Contracting Party, the other Contracting Party shall agree promptly to consultations on the interpretation or application of this Agreement. Upon request by either Contracting Party, information shall be exchanged on the impact that the laws, regulations, decisions, administrative practices or procedures, or policies of the other Contracting Party may have on investments covered by this Agreement.
2. The consultations provided for by this Article shall include consultations concerning any steps that a Contracting Party may consider are necessary to ensure compatibility between the Agreement and the EC Treaty.
Article 11
Application of Other Rules and Special Commitments
1. Where a matter is governed simultaneously both by this Agreement and by another international agreement to which both Contracting Parties are signatories, nothing in this Agreement shall prevent either Contracting Party or of any investors, who own investments in the territory of the other Contracting Party, from taking advantage of whichever rules are more favorable to his case.
2. If the treatment to be accorded by one Contracting Party to investments and to investors of the other Contracting Party, in accordance with its laws and regulations or other specific provisions of contracts, is more favorable than that accorded this Agreement, the more favorable shall be accorded.
3. All references in this Agreement to measures of a Contracting Party shall include measures applicable in accordance with EU law in the territory of that Contracting Party pursuant to its membership in the EU.
Article 12
Applicability of this Agreement
This Agreement shall apply to investments made prior to its entry into force for the Contracting Parties concerned as well as investments made thereafter. This Agreement shall apply to investments existing at the time of entry into force as well as to those established or acquired thereafter.
Article 13
Entry into Force, Duration and Termination
1. The present-Agreement shall enter into force on the 90th day after the day of the last written notification on which either Contracting Party notifies the other Contracting Party, through diplomatic channels, that its internal legal requirements for its entry into force have been fulfilled.
2. This Agreement shall remain in force for a period of ten years and shall be extended thereafter for following ten years unless, one year before the expiration of the initial or any subsequent period, either Contracting Party notifies the other Contracting Party of its intention to denounce the Agreement.
3. In respect of investments made prior to the date when the notice of denunciation of this Agreement becomes effective, the provisions of this Agreement shall continue to be effective for a period of ten years from the date of denunciation of this Agreement.
In witness whereof, the undersigned duly authorised thereto, have signed this Agreement.
Done at Chişinău on 7th of April 2008 in two originals in the Moldovan, Slovak and English languages, all texts being equally authentic. In the case of divergence of interpretation, the English text shall prevail.
