A C O R D

între Republica Moldova şi Emiratele Arabe Unite privind

promovarea şi protejarea reciprocă a investiţiilor

Guvernul Republicii Moldova şi Guvernul Emiratelor Arabe Unite (denumite în continuare “Părţi Contractante”);

Dorind să promoveze cooperarea economică mai strânsă între ele în ceea ce priveşte investiţiile efectuate de investitorii unei Părţi Contractante pe teritoriul statului celeilalte Părţi Contractante;

Recunoscând că promovarea şi protejarea reciprocă a acestor investiţii va conduce la stimularea iniţiativelor de afaceri şi la creşterea prosperităţii în ambele Părţi Contractante;

Fiind de acord că un cadru stabil pentru investiţii va maximiza utilizarea eficientă a resurselor economice şi îmbunătăţirea standardelor de viaţă în ambele Părţi Contractante;

Recunoscând că aceste obiective pot fi atinse fără a compromite standardele de sănătate şi siguranţă şi măsurile de mediu aplicate;

S-a agreat ca prezentul Acord să nu se aplice înainte de stabilirea investiţiilor.

Au convenit după cum urmează:

ARTICOLUL 1

Definiţii

În sensul prezentului Acord, cu excepţia cazului în care contextul impune altfel, următoarele cuvinte au înţelesul atribuit pentru fiecare:

1. Termenul “investiţie“ înseamnă orice fel de active deţinute şi controlate în mod direct sau indirect, care este în legătură cu activităţile de afaceri, achiziţionate în scopul de a stabili relaţii economice de durată pe teritoriul unei Părţi Contractante în conformitate cu legile şi reglementările sale, şi care are caracteristicile unei investiţii, inclusiv caracteristici, cum ar fi angajamentul de capital sau a altor resurse, speranţa de câştig sau de profit, asumarea riscului, sau o anumită durată, şi va include, în special, dar nu exclusiv:

a. bunurilor mobile şi imobile, precum şi orice alte drepturi, cum ar fi dreptul de ipoteci, gajuri, uzufructe şi drepturi similare;

b. o companie, acţiuni, capital, titluri de creaţă şi alte forme de participare la o companie;

c. titluri de creată, obligaţiuni, împrumuturi şi alte forme de datorii;

d. drepturi de creanţă sau orice alte active sau performanţă ce au o valoare economică;

e. drepturilor de proprietate intelectuală şi industrială, cum ar fi drepturile de autor, mărci comerciale, brevete, procedee tehnice, know-how şi fondul comercial, care sunt legate de investiţii, şi

f. drepturile conferite prin lege sau contract, cum ar fi concesiunile, licenţele, autorizaţii sau permise. Resursele naturale nu sunt reglementate de prezentul Acord, în cazul Emiratelor Arabe Unite.

Revendicările de bani care implică un fel de interes stabilite în punctul (a) până la (f) de mai sus nu includ:

i. contracte comerciale pentru vânzarea de bunuri sau servicii de către un cetăţean sau o companie unei Părţi Contractante unui cetăţean sau companii pe teritoriul celeilalte Părţi Contractante; sau

ii. extinderea creditului în legătură cu tranzacţii comerciale, cum ar fi finanţarea comerţului.

Pentru a se califica drept o investiţie în sensul prezentului Acord, un activ trebuie să aibă caracteristicile unei investiţii, inclusiv caracteristicile, cum ar fi angajamentul de capital sau a altor resurse, aşteptările de câştig sau profit, precum şi asumarea riscului.

Hotărârea arbitrală sau orice ordin sau hotărâre pronunţată în ceea ce priveşte investiţia, nu sunt considerate ca investiţii în sensul prezentului Acord.

2. Termenul “investitor“ al unei Părţi Contractante înseamnă:

a) Orice persoană fizică care este cetăţean al acelei Părţi Contractante, în conformitate cu legislaţia sa;

b) Orice persoană juridică stabilită pe teritoriul Părţii Contractante, în conformitate cu legislaţia sa şi are sediul central pe teritoriul său, dacă proprietatea este privată sau guvernamentală.

3. În sensul prezentului articol, termenul “persoană juridică“ înseamnă: dacă un investitor deţine mai mult de 50% din capitalul său social atunci acesta este persoană juridică.

4. Termenul “controlat“ înseamnă: în cazul în care investitorul are puterea de a numi majoritatea membrilor consiliului director.

5. Termenul “activităţi de investiţii“ înseamnă: operarea, gestionarea, întreţinerea, utilizarea, posedarea, vânzarea sau orice altă cesiune a investiţiilor.

6. Termenul “venit“ înseamnă: toate sumele produse de o investiţie sau reinvestirea ce include, în special, deşi nu în mod exclusiv; profit, dobânzi, dividende, drepturi de autor, câştigurile de capital şi taxe.

7. Termenul “fără întârziere“ înseamnă: perioada necesară pentru a îndeplini formalităţile legale pentru transferul de fonduri.

8. Termenul “teritoriu“ înseamnă:

a. Termenul “Republica Moldova“ înseamnă teritoriul său în interiorul graniţelor sale, alcătuit din sol, subsol, ape şi spaţiu aerian de deasupra solului şi apelor, asupra căruia Republica Moldova îşi exercită suveranitatea absolută şi exclusivă şi competenţă, în conformitate cu legislaţia sa internă şi dreptul internaţional;

b. În ceea ce priveşte Emiratele Arabe Unite: teritoriul Emiratelor Arabe Unite, teritoriul mării, spaţiul aerian şi zonele sale submarine asupra cărora Emiratele Arabe Unite exercită, în conformitate cu dreptul internaţional şi legea drepturilor suverane a Emiratelor Arabe Unite; inclusiv Zona Economică Exclusivă şi partea continentală şi insulele aflate sub jurisdicţia sa, în ceea ce priveşte orice activitate desfăşurată în apele sale, fundul mării şi subsol în legătură cu explorarea sau exploatarea resurselor naturale, în temeiul legii sale şi dreptului internaţional.

9. Termenul “libera utilizare a monedei“ înseamnă moneda utilizabilă în mod liber astfel precum este definit de articolele acordului FMI sau orice monedă internaţională, care este utilizată pe scară largă pentru a face plăţi în tranzacţiile internaţionale.

ARTICOLUL 2

Promovarea investiţiilor

Fiecare Parte Contractantă va stabili, sub rezerva politicii sale generale în domeniul investiţiilor străine, promovarea investiţiilor în teritoriul său de stat de către investitorii celeilalte Părţi Contractante şi va admite astfel de investiţii, în conformitate cu legile şi reglementările sale.

ARTICOLUL 3

Protecţia şi tratamentul investiţiilor

1. Fiecare Parte Contractantă va acorda investiţiilor efectuate de investitorii celeilalte Părţi Contractante pe teritoriul statului un tratament corect şi echitabil şi deplina protecţie şi siguranţă, în conformitate cu dreptul internaţional cutumiar.

2. Pentru o mai mare certitudine, o Parte Contractantă încalcă obligaţia de a furniza un tratament corect şi echitabil prevăzut în paragraful (1) numai în cazul în care aceasta adoptă măsuri sau serii de măsuri care constituie:

- denegare de dreptate, inclusiv o încălcare fundamentală a procesului echitabil, în cadrul unei proceduri penale, civile sau administrative;

- un comportament vădit arbitrar;

- discriminarea bazată pe naţionalitate, sex, rasă sau convingeri religioase.

3. Niciuna dintre Părţile Contractante nu va afecta în nici un fel, prin măsuri nerezonabile sau discriminatorii, conducerea, întreţinerea, folosirea, posedarea sau cesiunea investiţiilor efectuate de investitorii celeilalte Părţi Contractante.

4. Fiecare Parte Contractantă va respecta orice obligaţie pe care a asumat-o în ceea ce priveşte investiţia investitorului al unei Părţi Contractante.

5. În conformitate cu legile şi reglementările sale, fiecare Parte Contractantă, în măsura în care este posibil pune la dispoziţia publicului, legile şi reglementările sale care se referă la investiţii.

6. În caz de lichidare a unei investiţii, veniturilor din lichidare i se vor acorda aceeaşi protecţie şi tratament.

7. O determinare că a existat o încălcare a unei alte prevederi a prezentului Acord sau a unui acord internaţional separat nu stabileşte că a existat o încălcare a acestui Articol.

ARTICOLUL 4

Tratamentul celei mai favorizate naţiuni

1. Fiecare Parte Contractantă va acorda investitorilor celeilalte Părţi contractante şi investiţiile lor şi veniturilor lor un tratament nu mai puţin favorabil decât cel pe care îl acordă, în unele circumstanţe investitorilor oricărui stat terţ şi investiţiilor lui, în ceea ce priveşte gestionarea, conducerea, operarea, cesiunea, posedarea şi utilizarea investiţiilor.

2. Pentru o mai mare certitudine, tratamentul menţionat în paragraful 1 nu cuprinde mecanismele de soluţionare a litigiilor, sau orice probleme de procedură sau judiciare, precum şi orice întreprinderi privind obligaţiile contractuale ale statului gazdă, astfel cum este prevăzut în prezenta sau alte acorduri internaţionale.

3. Prevederile prezentului Acord nu se interpretează astfel încât să oblige o Parte Contractantă să extindă asupra investitorilor celeilalte Părţi Contractante, în beneficiul oricărui tratament, preferinţa sau privilegiu care rezultă din:

a) Statutul de membru al oricărui acord existent sau viitor de integrare economică regională sau organizaţie sau uniune vamală a cărei una dintre Părţile Contractante este sau poate deveni parte; sau

b) Orice acord internaţional sau aranjament care se referă integral sau în principal, la impozitare sau orice legislaţie internă referitoare în întregime sau în principal, la impozitare.

4. Prevederile prezentului articol nu se aplică în cazul contractelor de achiziţii publice, subvenţii şi împrumuturi, garanţii, asigurări acordate companiilor autohtone.

ARTICOLUL 5

Tratamentul Naţional

1. Sub rezerva legilor şi reglementărilor sale, fiecare Parte Contractantă va acorda investitorilor celeilalte Părţi Contractante şi investiţiilor sale şi veniturilor lor un tratament nu mai puţin favorabil decât tratamentul pe îl acordă în împrejurări similare investitorilor proprii şi investiţiilor acestora, numai în ceea ce priveşte gestionarea , dirijarea, operarea şi cesiunea investiţiilor.

2. Prevederile prezentului Articol nu se aplică în cazul contractelor de achiziţii publice.

ARTICOLUL 6

Exproprierea

1. Niciuna dintre Părţile Contractante nu va expropria, naţionaliza sau nu va lua măsuri cu efect echivalent (denumit în continuare “expropriere“) împotriva investiţiilor investitorilor celeilalte Părţi Contractante, cu excepţia cazului în care o astfel de expropriere se efectuează:

a) pentru scopuri publice;

b) în mod nediscriminatoriu;

c) cu achitarea unei compensaţii prompte, adecvate şi eficiente; şi

d) În conformitate cu procedurile juridice.

2. În cazul în care valoarea de piaţă justă nu poate fi stabilită, compensaţia se stabileşte în mod echitabil, ţinând cont de toţi factorii şi circumstanţele relevante, cum ar fi capitalul investit, natura şi durata investiţiei, înlocuirea, valoarea contabilă şi fondul comercial.

3. Paragrafele 1 şi 2 din prezentul Articol nu trebuie, cu toate acestea, să afecteze în nici un fel dreptul unei Părţi Contractante de a pune în aplicare astfel de legi sau de a lua măsuri sau acţiuni de reglementare pe care le consideră necesare pentru protejarea obiectivelor legitime de bunăstare publice, cum ar fi sănătatea publică, siguranţa , precum şi mediul înconjurător, controlul utilizării proprietăţii în conformitate cu interesul general sau pentru a asigura plata impozitelor sau a altor aporturi de penalităţi.

4. Fără a aduce atingere dispoziţiilor prezentului Articol, activele suverane şi fondurile suverane nu sunt supuse naţionalizării, explorării, sechestrării, blocării sau îngheţării de către o Parte Contractantă şi nici nu sunt supuse nici uneia dintre aceste măsuri în mod direct sau indirect printr-o cerere a unei părţi terţe.

ARTICOLUL 7

Despăgubiri pentru pierderi

1. În cazul în care investiţiile investitorilor uneia dintre Părţile Contractante suferă pierderi sau pagube cauzate de război sau de alt conflict armat, stare de urgenţă naţională, revoltă, insurecţie sau răscoale pe teritoriul a celei din urmă Părţi Contractante, lor li se asigură un tratament privind restituirea, despăgubirea, compensarea sau altă soluţie din partea ultimei Părţi Contractante, nu mai puţin favorabile decât tratamentul pe care ultima Parte Contractantă îl asigură propriilor investitori sau investitorilor unui Stat terţ.

2. Fără a aduce atingere alineatului 1 al prezentului Articol, un investitor al unei Părţi Contractante care a suferit pierderi pe teritoriul celeilalte Părţi Contractante, cauzate de unul din evenimentele enumerate în acest alineat, în rezultatul:

a) rechiziţii de investiţii sau unei părţi a acesteia cu forţa sau autoritatea acestuia, sau

b) distrugerea investiţiilor sale sau a unei părţi a acesteia de către forţele sau autorităţile acesteia, care nu a fost impusă de necesitatea situaţiei,

trebuie să fie acordată restituirea promptă, adecvată şi eficientă sau compensarea.

ARTICOLUL 8

Transferuri

1. Fiecare parte contractantă va garanta cu bună credinţă ca toate transferurile legate de o investiţie să fie făcute în mod liber şi fără întârzieri nejustificate pe şi în afara teritoriului său. Astfel de transferuri includ:

a. capitalul iniţial şi sume suplimentare pentru menţinerea sau dezvoltarea unei investiţii;

b. venituri;

c. încasările din vânzarea tuturor sau a oricărei părţi a investiţiei sau din lichidarea parţială sau totală a investiţiei;

d. plăţile efectuate în cadrul unui contract, inclusiv în cadrul unui acord de împrumut;

e. veniturile personalului angajat din străinătate în legătură cu o investiţie pe teritoriul său şi

f. plăţile efectuate în temeiul Articolelor 6 şi 7 din prezentul Acord.

2. Fiecare Parte Contractantă va permite transferuri aferente unei investiţii care urmează să fie făcute într-o monedă liber convertibilă la cursul pieţei de schimb în vigoare la data transferului.

3. Fără a aduce atingere paragrafelor 1 şi 2 din prezentul Articol, o Parte Contractantă poate întârzia şi / sau împiedica un transfer prin măsuri echitabile, nediscriminatorii, şi de bună credinţă referitoare la impozitare, protecţia drepturilor creditorilor, asigurarea respectării hotărârilor sau deciziilor judiciare sau administrative.

ARTICOLUL 9

Refuz de Beneficii

1. O Parte Contractantă poate nega beneficiile acestui Acord unui investitor al celeilalte Părţi Contractante, care este o persoană juridică a unei astfel de Părţi Contractante şi investiţii ale acelui investitor în cazul în care persoanele unei Părţi ne-Contractante deţine sau controlează persoana juridică şi Partea Contractantă negată nu întreţine relaţii diplomatice cu Partea ne-Contractantă.

2. O Parte Contractantă poate nega beneficiile acestui Acord unui investitor care este o persoană juridică a celeilalte Părţi Contractante şi investiţiilor acelui investitor în cazul în care persoana juridică nu desfăşoară activităţi comerciale substanţiale pe teritoriul statului celeilalte Părţi Contractante şi persoanele unei Părţi ne-Contractante sau a unei Părţi Contractante negate, ce deţin sau controlează persoana juridică.

ARTICOLUL 10

Angajarea Personalului de Conducere

Investitorul uneia dintre Părţile Contractante poate angaja personalul de conducere înalt calificat, indiferent de naţionalitatea lor, cu condiţia ca starea acestui personal de conducere ar trebui să aibă relaţii diplomatice cu ţara pe teritoriul căreia se efectuează investiţia.

ARTICOLUL 11

Interzicerea Cerinţelor de Performanţă

1. O Parte Contractantă nu poate impune sau obliga investitorii celeilalte Părţi Contractante orice cerinţă de performanţă în legătură cu gestionarea, desfăşurarea sau exploatarea investiţiilor lor pe teritoriul acelei Părţi Contractante.

2. O Parte nu poate impune sau obliga următoarele cerinţe, sau impune un angajament sau o promisiune, în legătură cu înfiinţarea, achiziţionarea, extinderea, administrarea, desfăşurarea sau exploatarea unei investiţii acoperite sau orice alte investiţii pe teritoriul său:

a) să exporte un anumit nivel sau procent al unui bun sau serviciu;

b) să atingă un anumit nivel sau procent de conţinut intern;

c) să cumpere, utilizeze sau să acorde o preferinţă pentru un bun produs sau serviciu furnizat pe teritoriul său, sau să cumpere un bun sau un serviciu de la o persoană pe teritoriul său;

d) să refere volumul sau valoarea importurilor la volumul sau valoarea exporturilor sau la valoarea intrărilor de valută asociată acelei investiţii;

ARTICOLUL 12

Excepţii Generale

1. Nici o prevedere din prezentul acord nu se interpretează astfel încât să împiedice o Parte Contractantă să adopte, menţină sau impună orice măsuri juridice nediscriminatorii:

(a) concepute şi aplicate pentru protecţia omului, viaţa animalelor sau a plantelor, sau a sănătăţii, sau asupra mediului;

(b) referitoare la conservarea resurselor naturale epuizabile însufleţite sau neînsufleţite.

2.Nici o prevedere din prezentul Acord nu se interpretează astfel încât:

(a) să solicite oricărei Părţi Contractante de a furniza sau de a permite accesul la orice informaţii a căror divulgare determină să fie contrară intereselor sale esenţiale de securitate;

(b) să împiedice orice Parte Contractantă să ia orice acţiuni pe care le consideră necesare pentru protecţia intereselor esenţiale ale siguranţei sale,

(i) referitoare la traficul de arme, muniţii şi ustensile de război şi la un astfel de trafic şi tranzacţii cu bunuri, alte materiale, servicii şi tehnologii întreprinse în mod direct sau indirect, în scopul de a furniza o unitate militară sau de securitate,

(ii) luate în timp de război sau în alte situaţii de urgenţă în relaţiile internaţionale, sau

(iii) cu privire la punerea în aplicare a politicilor naţionale sau a acordurilor internaţionale, respectând neproliferarea armelor nucleare sau a altor dispozitive explozive nucleare; sau

(c) să împiedice orice Parte Contractantă să ia măsuri în îndeplinirea obligaţiilor sale, în conformitate cu Carta Naţiunilor Unite pentru menţinerea păcii internaţionale şi securităţii.

3. Adoptarea, menţinerea sau aplicarea acestor măsuri este supusă cerinţei ca acestea să nu fie aplicate într-un mod arbitrar sau nejustificabil sau nu constituie o restricţie disimulată privind investiţiile investitorilor celeilalte Părţi Contractante.

ARTICOLUL 13

Subrogarea

1. În cazul în care una dintre Părţile Contractante sau agenţie desemnată (în sensul prezentului Articol: “garantul“) efectuează o plată în temeiul unei indemnizaţii date în ceea ce priveşte o investiţie pe teritoriul celeilalte Părţi Contractante, cea din urmă Parte Contractantă va recunoaşte:

a) cesiunea către garant prin lege sau prin tranzacţie legală a tuturor drepturilor şi pretenţiilor părţii asigurate; şi

b) că garantul are dreptul de a exercita aceste drepturi şi de a impune astfel de pretenţii în temeiul subrogării, în aceeaşi măsură ca şi partea asigurată, şi îşi asumă obligaţiile aferente investiţiei.

2. Garantul are dreptul, în toate situaţiile, la:

a) acelaşi tratament în ceea ce priveşte drepturile, obligaţiile şi creanţele dobândite de aceasta, în temeiul cesiunii; şi

b) orice plăţi primite în aplicarea acestor drepturi şi pretenţii ca parte asigurată ce are dreptul să le primească în temeiul prezentului acord, în ceea ce priveşte investiţia veniturile în cauză.

3. Drepturile sau pretenţiile subrogate nu trebuie să depăşească drepturile originale sau pretenţiile investitorului.

4. Prin derogare de la paragraful 1 din prezentul Articol, subrogarea va avea loc în Partea Contractantă numai după aprobarea autorităţii competente a Părţii Contractante.

ARTICOLUL 14

Reglementările Diferendelor relative Investiţiilor

între Investitor şi cealaltă Parte Contractantă

1. Prezentul articol se aplică litigiilor juridice între un investitor şi o Parte Contractantă şi cealaltă Parte Contractantă care rezultă din investiţia investitorului pe teritoriul statului ultimei Părţi Contractante. Un astfel de litigiu se referă la o presupusă încălcare a unei obligaţii a Părţii Contractante în temeiul prezentului Acord, care a cauzat pierderi sau daune investitorului al celeilalte Părţi Contractante.

2. Pentru a începe consultările, investitorul va transmite Părţii Contractante o notificare scrisă. Notificarea precizează detaliile litigiului, cum ar fi:

a. numele şi adresa investitorului contestat;

b. dispoziţiile prezentului Acord, care ar fi fost încălcate; şi

c. temeiul de fapt şi de drept pentru revendicare.

3. În cazul în care litigiul nu poate fi soluţionat pe cale amiabilă în termen de şase luni de la data primirii notificării scrise, litigiul, la cererea investitorului, va fi soluţionat după cum urmează:

a. de către o instanţă de arbitraj competentă a Părţii Contractante pe teritoriul unde este făcută investiţia; sau

b. prin arbitraj de către Centrul Internaţional pentru Reglementarea Disputelor de Investiţii (ICSID), stabilit de Convenţia privind Reglementarea Diferendelor relative Investiţiilor între State si Cetăţenii altor State, deschis spre semnare la Washington la 18 martie 1965 cu condiţia că ambele Părţi Contractante sunt părţi la Convenţia menţionată anterior; sau

c. de Facilitatea Suplimentară a ICSID, în cazul în care numai una dintre Părţile Contractante este semnatar al Convenţiei de la Washington; sau

d. prin arbitraj în faţa tribunalului din trei arbitri, în conformitate cu Regulile de Arbitraj ale Comisiei Naţiunilor Unite pentru Dreptul Comercial Internaţional (UNCITRAL), astfel cum a fost modificat în 2010. În caz de arbitraj, fiecare Parte Contractantă prin prezentul Acord irevocabil consimte în prealabil să supună orice astfel de dispută la tribunalul constituit în conformitate cu normele menţionate anterior.

4. Sentinţa este definitivă şi obligatorie. Fiecare Parte Contractantă asigură recunoaşterea şi executarea hotărârii arbitrale, în conformitate cu legile şi reglementările şi normele şi principiile dreptului internaţional.

5. Litigiile care decurg din orice alt acord încheiat între investitor şi orice entitate desemnată a unei Părţi Contractante sau a guvernului local în ceea ce priveşte investiţia acestor investitori se soluţionează în conformitate cu procedura de soluţionare a litigiilor prevăzută în aceasta.

6. În cazul iniţierii procedurii de reglementare a litigiilor în conformitate cu oricare dintre forurile prevăzute în paragraful 3 din prezentul Articol, forul ales va fi utilizat de către părţile la diferend cu excluderea celorlalte două foruri în ceea ce priveşte litigiile cu aceeaşi materie sau materie identică.

7. Nici un diferend relativ investiţiilor nu poate fi supus soluţionării prin arbitraj în conformitate cu paragraful 3 din prezentul Articol, în cazul în care mai mult de cinci ani au trecut de la data la care investitorul primul a dobândit sau ar fi dobândit cunoştinţe cu privire la presupusa încălcare şi pierderea sau daunele pe care acesta din urmă a pretins că le-a suportat.

ARTICOLUL 15

Soluţionarea Litigiilor dintre Părţile Contractante

1. Orice litigiu între Părţile Contractante cu privire la interpretarea sau aplicarea prezentului Acord, în măsura în care este posibil, va fi soluţionat pe cale amiabilă, prin consultări şi / sau alte canale diplomatice.

2. În cazul în care Părţile Contractante nu pot ajunge la un acord în termen de şase (6) luni de la data la care au fost solicitate consultările şi / sau alte canale diplomatice au fost iniţiate de către oricare dintre Părţile Contractante, diferendul, la cererea Părţii Contractante, va fi depus unui tribunal de arbitraj. În lipsa unui acord de către Părţile Contractante contrare, procedura de arbitraj se desfăşoară în conformitate cu Curtea Permanentă de Reguli Opţionale de Arbitraj Reguli pentru Arbitrarea Disputelor între Două State, cu excepţia celor modificate de către Părţile Contractante sau de prezentul Acord.

3. Cu excepţia cazului în care Părţile convin altfel, litigiul va fi soluţionat de către tribunalul de arbitraj cu trei membri. Fiecare Parte Contractantă va desemna un arbitru în termen de două luni de la data la care oricare dintre Părţi Contractante primeşte de la cealaltă parte contractantă o cerere de arbitraj. Cei doi arbitri selectaţi, într-o perioadă suplimentară de două luni, împreună selectează un al treilea arbitru, care este resortisant al unui Stat terţ. Al treilea arbitru după aprobarea acestuia de către cele două Părţi Contractante acţionează în calitate de preşedintele tribunalului arbitral.

4. În cazul în care orice membru al tribunalului arbitral nu este selectat în termenele definite în paragraful 3 din prezentul Articol, secretarul general al Curţii Permanente de Arbitraj, la cererea uneia dintre Părţile Contractante, va desemna, la discreţia lui sau ei, arbitrul sau arbitrii ce nu au fost încă numiţi.

5. Locul procedurilor de arbitraj este Haga, Ţările de Jos.

6. Tribunalul arbitral va lua deciziile prin votul majoritar. Deciziile sunt definitive şi obligatorii pentru fiecare Parte Contractantă.

7. Cheltuielile suportate de către arbitrii şi alte cheltuieli de judecată sunt suportate în mod egal de către Părţi. Tribunalul arbitral poate decide, cu toate acestea la discreţia sa, ca o proporţie mai mare de costuri să fie plătită de către una dintre cele două Părţi Contractante.

8. Limba care urmează să fie utilizată în cadrul procedurilor de arbitraj este engleză.

ARTICOLUL 16

Aplicarea Acordului

Prezentul Acord se aplică investiţiilor efectuate pe teritoriul statului uneia dintre Părţile Contractante, în conformitate cu legile şi reglementările sale de către investitorii celeilalte Părţi Contractante înainte sau după intrarea în vigoare a Acordului, dar nu se aplică în cazul oricărui diferend care a fost stabilit înainte de intrarea sa în vigoare.

ARTICOLUL 17

Amendamente

După cum s-a convenit între Părţile Contractante, modificările şi completările pot fi făcute la prezentul Acord, care se încheie sub forma unui document separat şi va intra în vigoare în conformitate cu paragraful 1 al Articolului 16 din prezentul Acord. Acest document separat constituie o parte integrantă din prezentul Acord.

ARTICOLUL 18

Aplicarea altor reguli

Fără a aduce atingere Articolului 4, în cazul în care legislaţia uneia dintre Părţile Contractante sau obligaţiile între Părţile Contractante în conformitate cu dreptul internaţional existent în prezent sau stabilit în continuare între Părţile Contractante, adăugat la prezentul Acord, conţine reguli generale sau specifice, investiţiile titulare realizate de investitorii celeilalte Părţi Contractante pentru tratament mai favorabil decât cel prevăzut de prezentul Acord, aceste norme trebuie, în măsura în care acestea sunt mai favorabile investitorului, prevalează asupra prezentului Acord.

ARTICOLUL 19

Consultările

Părţile Contractante, la cerere, vor organiza consultări cu privire la orice problemă legată de punerea în aplicare sau aplicarea prezentului Acord. Aceste consultări vor avea loc la cererea uneia dintre Părţile Contractante la un loc şi un timp care urmează să fie convenite prin canale diplomatice.

ARTICOLUL 20

Intrarea în Vigoare, Durata şi Denunţarea

1. Prezentul Acord intră în vigoare în a treizecia zi de la data primirii ultimei notificări scrise, pe cale diplomatică, cu privire la finalizarea tuturor procedurilor legale interne necesare pentru intrarea în vigoare a prezentului Acord pentru Părţile Contractante.

2. Prezentul Acord va rămâne în vigoare pentru o perioadă de zece (10) ani şi va continua să fie în vigoare, ulterior, cu excepţia cazului în care este denunţat în conformitate cu paragraful 3 din prezentul Articol.

3. Fiecare Parte Contractantă poate denunţa prezentul Acord la sfârşitul perioadei iniţiale de zece ani sau în orice moment ulterior, prin trimiterea celeilalte Părţi Contractante cu un an mai devreme, un preaviz scris prin canale diplomatice.

4. În ceea ce priveşte investiţiile efectuate înainte de data denunţării prezentului Acord, dispoziţiile Articolului 1 până la 14 rămân în vigoare pentru o perioadă suplimentară de zece (10) ani de la data introducerii.

DREPT CARE subsemnaţii, pe deplin autorizaţi în acest scop, au semnat prezentul Acord.

ÎNTOCMIT la Chişinău la 10 iulie 2017, în două exemplare, fiecare în limbile română, arabă şi engleză. Toate textele sunt la fel de autentice. În cazul unor divergenţe în interpretări ale dispoziţiilor prezentului Acord de către Părţile Contractante, textul în limba engleză va prevala.

BETWEEN

THE REPUBLIC OF MOLDOVA

AND

THE UNITED ARAB EMIRATES

FOR

THE RECIPROCAL PROMOTION AND PROTECTION OF INVESTMENTS

The Government of the Republic of Moldova and the Government of the United Arab Emirates (hereinafter referred to as the “Contracting Parties”);

Desiring to promote greater economic co-operation between them with respect to investments made by investors of one Contracting Party in the territory of the state of the other Contracting Party;

Recognizing that the promotion and reciprocal protection of such investments will be conducive to the stimulation of business initiatives and to the increase of prosperity in both Contracting Parties;

Agreeing that a stable framework for investment will maximize effective utilization of economic resources and improving living standards in both Contracting Parties;

Recognizing that these objectives can be achieved without compromising health and safety standards and applied environmental measures;

It is agreed that this Agreement shall not apply to pre-establishment of investments.

Have agreed as follows:

ARTICLE 1

Definitions

For the purposes of this Agreement unless the context otherwise requires the following words shall have the meaning assigned for each:

1. The term “investment” means every kind of asset owned and controlled directly or indirectly which is connected with business activities, acquired for the purpose of establishing lasting economic relations in the territory of a Contracting Party in conformity with its laws and regulations, and that has the characteristics of an investment, including such characteristics as the commitment of capital or other resources, the expectation of gain or profit, the assumption of risk, , or a certain duration, and shall include in particular, but not exclusively:

a. movable and immovable property as well as any other rights, such as mortgages, pledges, usufructs and similar rights;

b. a company, shares ,stocks, debentures and other forms of participation in a company;

c. debentures, bonds, loans and other forms of debt;

d. claims to money or any other assets or performance having an economic value ;

e. intellectual and industrial property rights, such as copyrights, trademarks, patents, technical processes, know-how and goodwill, which are related to the investment, and

f. rights conferred by law or contract such as concessions, licenses, authorization or permits. Natural resources shall not be covered by this Agreement in the case of the United Arab Emirates.

Claims to money involving the kind of interest set out in (a) to (f) above shall not include:

i. commercial contracts for the sale of goods or services by a national or a company of a Contracting Party to a national or a company in the territory of the other Contracting Party; or

ii. the extension of credit in connection with commercial transaction such as trade financing.

In order to qualify as an investment for the purposes of the this Agreement, an asset must have the characteristics of an investment, including such characteristics as the commitment of capital or other resources, the expectations of gain or profit, and the assumption of risk.

The arbitration award or any order or judgment rendered with regard to the investment shall not be considered as investment for the purposes of this Agreement.

2. The term “investor” of a Contracting Party shall mean:

a) Any natural person who is a national of that Contracting party in accordance with its legislation;

b) Any legal person established in the territory of the Contracting Party in accordance with its legislation and has a head office in its territory whether privately or governmentally owned.

3. For the purposes of this Article the term “legal person” shall mean: owned by an investor if more that 50% of the equity interest in it is owned by that legal person.

4. The term “controlled” shall mean: if the investor has the power to name the majority of its board members.

5. The term “investment activities” shall mean: operation, management, maintenance, use, enjoyment, sale or any other disposal of investment.

6. The term “returns” shall mean: all amounts yielded by an investment or reinvestment includes in particular though not exclusively; profits, interest, dividends, royalties , capital gains and fees.

7. The term “without delay” shall mean: the period necessary to complete the legal formalities for transfer of funds.

8. The term “territory” shall mean:

a. The term “Republic of Moldova” means its territory within its borders, consisting of soil, subsoil, waters and aerial space above soil and waters, over which the Republic of Moldova exercises its absolute and exclusive sovereignty and jurisdiction, in accordance with its internal legislation and international law;

b. In respect of the United Arab Emirates: the territory of the United Arab Emirates, its territorial sea, airspace and submarine areas over which the United Arab Emirates exercises in accordance with international law and the law of United Arab Emirates sovereign rights; including the Exclusive Economic Zone and the mainland and islands under its jurisdiction in respect of any activity carried on in its water, seabed and subsoil in connection with the exploration for or the exploitation of the natural resources by virtue of its law and international law.

9. The term “free usable currency” means free usable currency as defined by the IMF articles of agreement or any international currency that is widely used to make payments in international transactions.

ARTICLE 2

Promotion of investments

Each Contracting Party shall, subject to its general policy in the field of foreign investment, promote in its state territory investments by investors of the other Contracting Party and shall admit such investments in accordance with its laws and regulations.

ARTICLE 3

Protection and treatment of investments

1. Each Contracting Party shall accord to the investments made by investors of the other Contracting Party in the territory of the state of the former fair and equitable treatment and full protection and security in accordance with customary international law.

2. For greater certainty a Contracting Party breaches the obligation to provide fair and equitable treatment set out in paragraph (1), only if it adopts measures or series of measures that constitute:

− denial of justice, including a fundamental breach of due process, in criminal, civil or administrative proceedings;

− manifestly arbitrary conduct;

− targeted discrimination on the basis of nationality, gender, race or religious beliefs.

3. Neither Contracting Party shall in any way impair by unreasonable or discriminatory measures the management, maintenance, use, enjoyment or disposal of investments made by investors of the other Contracting Party.

4. Each Contracting party shall observe any obligation which it has assumed with respect to the investment of the investor of a Contracting Party.

5. In accordance with its laws and regulations, each Contracting Party shall as far as possible make publicly available, its laws, regulations that pertain to investments.

6. In case of liquidation of an investment, the proceeds from liquidation shall be accorded the same protection and treatment.

7. A determination that there has been a breach of another provision of this Agreement or of a separate international agreement does not establish that there has been a breach of this Article.

ARTICLE 4

Most Favored Nation Treatment

1. Each Contracting Party shall accord to investors of the other Contracting party and to their investments and returns treatment no less favorable than that it accords, in like circumstances to investors of any third state and their investments, in relation to the management, conduct, operation, disposal, enjoyment and use of investments.

2. For greater certainty, treatment referred to in paragraph 1 shall not encompass the dispute resolution mechanisms, or any procedural or judicial matters, as well as any undertakings concerning the contractual obligations of the host state as provided in this or other international agreements.

3. The provisions of this Agreement shall not be construed so as to oblige one Contracting Party to extend to the investors of the other Contracting party the benefit of any treatment, preference or privilege resulting from:

a) Membership of any existing or future regional economic integration agreement or organization or customs union of which one of the Contracting parties is or may become a Party; or

b) Any international agreement or arrangement relating wholly or mainly to taxation or any domestic legislation relating wholly or mainly to taxation.

4. Provisions of this Article shall not apply to government procurement, subsidies, and loans, guarantees, insurance accorded to domestic companies.

ARTICLE 5

National Treatment

1. Subject to its laws and regulations each Contracting Party shall accord to investors of the other Contracting party and to their investments and returns treatment no less favourable that the treatment it accords in like circumstances to its own investors and their investments, only in relation to the management, conduct, operation and disposal of investments.

2. Provisions of this Article shall not apply to government procurement.

ARTICLE 6

Expropriation

1. Neither Contracting Party shall expropriate, nationalize or take measures having equivalent effect (hereinafter referred to as “expropriation”) against investments of investors of the other Contracting party, except where such expropriation is carried out:

a) for public purposes;

b) on a non-discriminatory basis;

c) with the payment of prompt, adequate and effective compensation; and

d) In accordance with due process of law.

2. Where the fair market value cannot be ascertained, the compensation shall be determined in equitable manner taking into account all relevant factors and circumstances, such as the capital invested, the nature and duration of the investment, replacement, book value and goodwill.

3. The paragraphs 1 and 2 of this Article shall not, however, impair in any way the right of a Contracting Party to enforce such laws or take measures or regulatory actions as it deems necessary to protect legitimate public welfare objectives, such as public health, safety, and the environment, control the use of property in accordance with the general interest or to secure the payment of taxes or other contribution of penalties.

4. Notwithstanding the provisions of this Article, sovereign assets and sovereign wealth funds shall not be subject to nationalization, exploration, sequestration, blocking or freezing by a Contracting Party nor shall be subject to any of these measures directly or indirectly by a request of a third party.

ARTICLE 7

Compensation for losses

1. Investors of either Contracting party who suffers losses of their investments in the territory of the state of the other Contracting Party due to war or other armed conflict, civil disturbances, a state of national emergency, revolt, insurrection or riot shall be accorded with respect to restitution, indemnification, compensation or other settlement, treatment no less favorable than that accorded to its own investors or to investors of any third state, whichever is more favorable.

2. Without prejudice to paragraph 1 of this Article, investors of a Contracting Party who in any of the events referred to in that paragraph suffer a loss in the territory of the state of the other Contracting Party resulting from:

a) requisitioning of its investment or part thereof by the latter′s force′s or authorities, or

b) destruction of its investment or part thereof by the latter′s forces or authorities, which was not required by the necessity of the situation,

shall be accorded prompt, adequate and effective restitution or compensation.

ARTICLE 8

Transfers

1. Each Contracting Party shall guarantee in good faith all transfers related to an investment to be made freely and without undue delay into and out of its territory. Such transfers include:

a. initial capital and additional amounts for the maintenance or increase of an investment;

b. returns;

c. proceeds from the sale of all or any part of the investment or from partial or complete liquidation of the investment;

d. payments made under a contract, including a loan agreement;

e. earnings of personnel engaged from abroad in connection to an investment in its territory; and

f. payments made pursuant to Articles 6 and 7 of this Agreement.

2. Each Contracting Party shall permit transfers relating to an investment to be made in a freely convertible currency at the market rate of exchange prevailing on the date of transfer.

3. Notwithstanding paragraphs 1 and 2 of this Article, a Contracting Party may delay and /or prevent a transfer through the equitable, non-discriminatory, and good faith measures relating to taxation, protection of rights of creditors, ensuring compliance with judicial or administrative judgments or decisions.

ARTICLE 9

Denial of Benefits

1. A Contracting Party may deny the benefits of this Agreement to an investor of the other Contracting Party that is a legal person of such other Contracting Party and to investments of that investor if persons of a non-Contracting Party own or control the legal person and the denying Contracting party does not maintain diplomatic relations with the non-Contracting Party.

2. A Contracting Party may deny the benefits of this Agreement to an investor which is a legal person of the other Contracting Party and to investments of that investor if that legal person has no substantial business activities in the territory of the State of the other Contracting Party and persons of a non-Contracting Party, or of the denying Contracting Party, own or control the legal person.

ARTICLE 10

Employment of managerial staff

The Investor of Either Contracting party may employ high level managerial staff regardless of their nationality provided that the state of such managerial staff should have diplomatic relations with the country on whose territory the investment is made.

ARTICLE 11

Prohibition of Performance Requirements

1. A Contracting Party may not impose or enforce on Investors of the other Contracting Party any performance requirement in connection with the management, conduct or operation of their Investments in the Territory of that Contracting Party.

2. A Party may not impose or enforce the following requirements, or enforce a commitment or undertaking, in connection with the establishment, acquisition, expansion, management, conduct or operation of a covered investment or any other investment in its territory:

a) to export a given level or percentage of a good or service;

b) to achieve a given level or percentage of domestic content;

c) to purchase, use or accord a preference to a good produced or service provided in its territory, or to purchase a good or service from a person in its territory;

d) to relate the volume or value of imports to the volume or value of exports or to the amount of foreign exchange inflows associated with that investment;

ARTICLE 12

General Exceptions

1. Nothing in this Agreement shall be construed to prevent a Contracting Party from adopting, maintaining, or enforcing any non-discriminatory legal measures:

(a) designed and applied for the protection of human, animal or plant life or health, or the environment;

(b) related to the conservation of living or non-living exhaustible natural resources.

2. Nothing in this Agreement shall be construed:

(a) to require any Contracting Party to furnish or allow access to any information the disclosure of which it determines to be contrary to its essential security interests;

(b) to prevent any Contracting Party from taking any actions that it considers necessary for the protection of its essential security interests,

(i) relating to the traffic in arms, ammunition and implements of war and to such traffic and transactions in other goods, materials, services and technology undertaken directly or indirectly for the purpose of supplying a military or other security establishment,

(ii) taken in time of war or other emergency in international relations, or

(iii) relating to the implementation of national policies or international agreements respecting the non-proliferation of nuclear weapons or other nuclear explosive devices; or

(c) to prevent any Contracting Party from taking action in pursuance of its obligations, under the United Nations Charter for the maintenance of international peace and security.

3. The adoption, maintenance or enforcement of such measures is subject to the requirement that they are not applied in an arbitrary or unjustifiable manner or do not constitute a disguised restriction on investments of investors of the other Contracting Party.

ARTICLE 13

Subrogation

1. If one Contracting Party or its designated agency (for the purpose of this Article: the “guarantor”) makes a payment under an indemnity given in respect of an investment in the territory of the other Contracting Party, the latter Contracting Party shall recognize:

a) the assignment to the guarantor by law or by legal transaction of all the rights and claims of the party indemnified; and

b) that the guarantor is entitled to exercise such rights and enforce such claims by virtue of subrogation, to the same extent as the party indemnified, and shall assume the obligations related to the investment.

2. The guarantor shall be entitled in all circumstances to:

a) the same treatment in respect of the rights, claims and obligations acquired by it, by virtue of the assignment; and

b) any payments received in pursuance of those rights and claims as the party indemnified was entitled to receive it by virtue of this Agreement, in respect of the investment concerned and its related returns.

3. The subrogated rights or claims shall not exceed the original rights or claims of the investor.

4. Notwithstanding paragraph 1 of this Article, subrogation shall take place in the Contracting Party only after the approval of the competent authority of that Contracting Party.

ARTICLE 14

Settlements of Investment Disputes between

the investor and the other Contracting Party

1. This Article applies to legal disputes between an investor of one Contracting Party and the other Contracting Party arising out of the investment of the former in the territory of the state of the latter Contracting Party. Such dispute shall concern an alleged breach of an obligation of the Contracting Party under this Agreement which caused loss or damages to the investor of the other Contracting party.

2. To start consultations, the investor shall deliver to the Contracting Party a written notice. The notice shall specify details of the dispute such as:

a. the name and address of the disputing investor;

b. the provisions of this Agreement alleged to have been breached; and

c. the factual and legal basis for the claim.

3. If the dispute cannot be settled amicably within six months from the date of receipt of the written notice, the dispute shall upon the request of the investor be settled as follows:

a. by a competent arbitration court of the Contracting Party in whose territory the investment is made; or

b. by arbitration by the International Centre for Settlement of Investment Disputes (ICSID), established by the Convention on the Settlement of Investment Disputes between States and Nationals of other States, opened for signature at Washington on 18th March 1965 provided both Contracting Parties are party to the said Convention; or

c. by the Additional Facility of ICSID, if only one of the Contracting Parties is a signatory to the Washington Convention; or

d. by arbitration before the tribunal of three arbitrators in accordance with the Arbitration Rules of the United Nations Commission on International Trade Law (UNCITRAL), as amended in 2010. In case of arbitration, each Contracting Party, by this Agreement irrevocably consents in advance to submit any such dispute to the tribunal constituted in accordance with the said rules.

4. The award shall be final and binding. Each Contracting Party shall ensure the recognition and enforcement of the arbitral award in accordance with its laws and regulations and norms and principles of international law.

5. Disputes arising out of any other agreement concluded between the investor and any designated entity of a Contracting Party or its local government concerning the investment of those investors shall be settled according to the dispute settlement procedure stipulated therein.

6. In case of initiation of dispute settlement proceedings under any of the forums provided for in paragraph 3 of this Article, the selected forum shall be used by the parties to the dispute to the exclusion of the other two forums as regards the disputes with the same or identical subject matter.

7. No investment dispute may be submitted for resolution by arbitration under paragraph 3 of this Article if more than five years have elapsed from the date on which the investor first acquired or should have acquired knowledge of the alleged breach and loss or damage that the latter has allegedly incurred.

ARTICLE 15

Settlement of Disputes between the Contracting Parties

1. Any dispute between the Contracting Parties concerning the interpretation or application of this Agreement shall, as far as possible, be settled amicably through consultations and/or other diplomatic channels.

2. If the Contracting Parties cannot reach an agreement within six (6) months following the date on which the consultations were requested and/or other diplomatic channels were initiated by either Contracting Party, the dispute shall, upon the request of the Contracting Party, be submitted to an arbitral tribunal. In the absence of an agreement by the Contracting Parties to the contrary, arbitration proceedings shall be conducted in accordance with the Permanent Court of Arbitration Optional Rules for Arbitrating Disputes between Two States, except as modified by the Contracting Parties or this Agreement.

3. Unless the Parties otherwise agree, the dispute shall be resolved by three member arbitration tribunal. Each Contracting Party shall appoint one arbitrator within two months from the date on which either Contracting Party receives from the other Contracting Party a request for arbitration. The two arbitrators thus selected shall together within a further two months period, select a third arbitrator who is a national of a third State. The third arbitrator once approved by the two Contracting Parties, shall act as Chairman of the arbitral tribunal.

4. If any member of the arbitral tribunal is not selected within the time frames defined in paragraph 3 of this Article, Secretary-General of the Permanent Court of Arbitration, upon the request of either Contracting Party, shall appoint, in his or her discretion, the arbitrator or arbitrators not yet appointed.

5. The place of the arbitration proceedings shall be The Hague, the Netherlands.

6. The arbitral tribunal shall reach its decisions by a majority of votes. The decisions shall be final and binding upon each Contracting Party.

7. Expenses incurred by the arbitrators, and other costs of the proceedings, shall be borne equally by the Parties. The arbitral tribunal may, however, in its discretion, decide that a higher proportion of costs shall be paid by one of the two Contracting Parties.

8. The language to be used in the arbitral proceedings shall be English.

ARTICLE 16

Application of the Agreement

This Agreement shall apply to investments made in the territory of the state of one Contracting Party in accordance with its laws and regulations by investors of the other Contracting Party before or after the entry into force of the Agreement, but shall not apply to any dispute that has been settled before its entry into force.

ARTICLE 17

Amendments

As agreed between the Contracting Parties the amendments and additions may be made to this Agreement, which shall be concluded in the form of a separate document and shall enter into force according to the paragraph 1 of Article 16 of this Agreement. This separate document shall constitute an integral part of this Agreement.

ARTICLE 18

Application of other rules

Without prejudice to Article 4, if the legislation of either Contracting Party or obligations between the Contracting Parties under international law existing at present or established hereafter between the Contracting Parties, in addition to this Agreement, contain rules whether general or specific, entitling investments made by investors of the other Contracting Party to a treatment more favorable than is provided for by this Agreement, such rules shall to the extent that they are more favorable to the investor, prevail over this Agreement.

ARTICLE 19

Consultations

The Contracting Parties shall, on the request of either, hold consultations on any matter relating to the implementation or application of this Agreement. These consultations shall be held upon the request of either Contracting Party at a place and a time to be agreed upon through diplomatic channels.

ARTICLE 20

Entry into Force, Duration and Termination

1. This Agreement shall enter into force on the thirtieth day following the date of receipt of the last written notification, through diplomatic channels, on the completion of all internal legal procedures necessary for the entry into force of this Agreement for the Contracting Parties.

2. This Agreement shall remain in force for a period of ten (10) years and shall continue to be in force thereafter unless terminated in accordance with paragraph 3 of this Article.

3. Either Contracting Party may terminate this Agreement at the end of the initial ten-year period or at any time thereafter by sending to the other Contracting Party 1 year prior written notice through the diplomatic channels.

4. With respect to investments made prior to date of termination of this Agreement, the provisions of Article 1 through 14 shall remain in force for a further period of ten (10) years following such date.

IN WITNESS WHEREOF, the undersigned, duly authorized to that effect, have signed this Agreement.

DONE at Chişinău as of 10 July 2017, in duplicate each in the Romanian, Arabic, and English languages. All texts are equally authentic. In case of divergence in interpretations of provisions of this Agreement by the Contracting Parties, the English text shall prevail.
