Excelenţă,

Am onoarea să mă refer la negocierile recente dintre reprezentanţii Guvernului Japonez si reprezentanţii Guvernului Republicii Moldova, care au avut loc în baza concluziilor, ce au fost convenite în timpul consultărilor între reprezentanţii Guvernului Republicii Moldova şi Guvernele ţarilor creditoare (de aici înainte numite “Ţări Creditoare”), care au avut loc la Paris pe data de 11 şi 12 mai 2006. Prin urmare am onoarea să confirm următoarele înţelegeri convenite în timpul acestor negocieri:

1. Micşorarea poverii datoriei prin reeşalonare va fi efectuată în conformitate cu legile relevante şi cu regulamentele Japoniei stabilite de Banca Japoneză pentru Cooperare Internaţională (de aici înainte numită “Banca”).

2. (1) Datoriile care trebuie reeşalonate (de aici înainte numite “Datorii Reeşalonate”), datorate de către Guvernul Republicii Moldova se compun din:

Datoriile spre plata conform Acordurilor de împrumut încheiate pînă la 31 decembrie 2000, între Guvernul Republicii Moldova şi Banca Japoneză de Export-import (de aici înainte numită “JEMIX”), cu privire la acordarea unui Împrumut Necondiţionat, sunt următoarele:

(a) suma principală şi dobînda contractuală, termenul de achitare a cărora a devenit la sau înainte de 30 aprilie 2006 şi care nu au fost achitate, precum şi dobînda pentru plăţile întîrziate fiind acumulată pînă la 30 aprilie 2006 sau înaintea acestei date şi nefiind achitată; şi

(b) suma principală şi dobînda contractuală termenul de achitare a cărora survine în perioada 1 mai 2006 şi 31 decembrie 2008, inclusiv ambele date, aceste nefiind achitate.

(2) Suma totală a Datoriei Reeşalonate va constitui un miliard opt sute douăzeci milioane doua sute şaizeci de mii şi şapte sute şaptezeci şi unu yene japoneze (¥ 1,820,260,771).

(3) Modificările pot fi efectuate la suma totală menţionată la subparagraful (2) de mai sus, cu acordul din partea autorităţilor respective a Guvernului Japonez şi Guvernului Republicii Moldova, după ce a fost efectuată verificarea finală de către autorităţile respective a Guvernului Republicii Moldova şi Banca.

3. Termenii şi condiţiile reeşalonării vor fi stipulate în acordul de reeşalonare spre convenire dintre Guvernul Republicii Moldova şi Bancă, care va conţine, următoarele prevederi:

(1) (a) o sută de procente (100%) din datoriile, la care s-a făcut referinţă în punctul (b) al subparagrafului (1), al paragrafului 2 şi treizeci întreg şi cinci procente (30,5%) din datorii, la care s-a făcut referinţă în punctul (a) al subparagrafului (1) al paragrafului 2 vor fi plătite în douăzeci (20) de rate semianuale, începînd cu 1 martie 2013, în conformitate cu planul de achitare indicat în ANEXA 1 la acest document; şi

(b) suma rămasă de şaizeci şi nouă întreg şi cinci procente (69,5%) din datorii, referite la punctul (a) al subparagrafului (1) al paragrafului 2 vor fi plătite în (5) rate semianuale, începînd cu 1 noiembrie 2006, în conformitate cu graficul de achitare indicat în ANEXA 2 la acest document;

(2) Rata dobînzii a Datoriilor Reeşalonate va fi zero întreg si cinci procente (0,5%) anual adăugată la rata LIBOR aplicat pentru depozitele de 6 luni în yene japoneze.

4. Dacă reprezentanţii Guvernului Republicii Moldova şi reprezentanţii Guvernelor Ţărilor Creditoare convin la o altă concluzie privind restructurarea datoriilor Republicii Moldova, inclusiv datoriilor incluse în acest document, consultările trebuie să fie întreţinute de către Guvernul Japonez şi Guvernul Republicii Moldova cu scopul de a discuta problema continuării sau modificării a prezentelor prevederi.

Am onoarea să vă propun ca această Notă şi Nota Excelenţei Dumneavoastră ca răspuns, confirmarea din partea Guvernului Republicii Moldova prevederile precedente trebuie sa fie în acordul dintre Guvernele noastre, care trebuie să intre în vigoare în data răspunsului Excelenţei Dumneavoastră.

Folosind acest prilej, rog să acceptaţi, Domnule Ministru, asigurarea înaltei mele considerațiuni.

Am onoarea să vă propun ca această Notă şi Nota Excelenţei Dumneavoastră de răspuns din partea Dumneavoastră care va confirma din partea Guvernului Republicii Moldova înţelegerile anterioare vor constitui un acord între două Guverne, care va intra în vigoare la data Notei Excelenţei Dumneavoastră de răspuns.

Folosind acest prilej, rog să acceptaţi, Domnule Ministru, asigurarea înaltei mele consideraţiuni.

Am onoarea să confirm primirea Notei Excelenţei Dumneavoastră din data de astăzi, care este următoarea:

“Excelenţă,

Am onoarea să confirm din partea Guvernului Republicii Moldova prevederile anterioare şi sa fiu de acord că Nota Excelenţei Dumneavoastră şi Nota de răspuns vor constitui un acord între două Guverne, care va intra în vigoare la data acestei Notei de răspuns.

Folosind acest prilej, rog sa acceptaţi, Domnule Ministru, asigurarea înaltei mele consideraţiuni.

in the form of an exchange of letters, between the Government

of the Republic of Moldova and the Government of Japan

on rescheduling of external debts of the

Republic of Moldova

Excellency,

I have the honour to refer to the recent negotiations between the representatives of the Government of Japan and of the Government of the Republic of Moldova that were held on the basis of the conclusions reached during the consultations between the representatives of the Government of the Republic of Moldova and of the Governments of the creditor countries concerned (hereinafter referred to as “the Creditor Countries”) held in Paris on May 11 and 12, 2006. I have further the honour to confirm the following understanding reached in the course of the said negotiations:

1. A debt relief measure in the form of rescheduling will be taken in accordance with the relevant laws and regulations of Japan by Japan Bank for International Cooperation (hereinafter referred to as “the Bank”).

2. (1) The debts to be rescheduled (hereinafter referred to as “the Rescheduled Debts”) consist of the following debts which the Government of the Republic of Moldova owes to the Bank:

The debts payable under the Loan Agreements concluded before December 31, 2000 between the Government of the Republic of Moldova and the Export-Import Bank of Japan (hereinafter referred to as “JEXIM”) concerning the extension of Untied Loan, which are as follows:

(a) the principal and the contractual interest having fallen due on or before April 30, 2006 and not paid, and the late interest having accrued on or before April 30, 2006 and not paid; and

(b) the principal and the contractual interest having fallen or falling due between May 1, 2006 and December 31, 2008, both dates inclusive, and not paid.

(2) The total amount of the Rescheduled Debts will be one billion eight hundred and twenty million two hundred and sixty thousand seven hundred and seventy-one yen (¥ 1,820,260,771).

(3) Modifications may be made to the total amount referred to in subparagraph (2) above by mutual consent between the authorities concerned of the Government of Japan and of the Government of the Republic of Moldova after the final verification to be made by the authorities concerned of the Government of the Republic of Moldova and the Bank.

3. The terms and conditions of the rescheduling will be stipulated in a rescheduling agreement to be concluded between the Government of the Republic of Moldova and the Bank, which will contain, inter alia, the following principles:

(1) (a) one hundred per cent (100%) of the debts referred to in (b) of sub-paragraph (1) of paragraph 2. and thirty point five per cent (30.5%) of the debts referred to in (a) of sub-paragraph (1) of paragraph 2. will be paid in twenty (20) semi-annual instalments beginning on March 1, 2013, in accordance with the payment schedule shown in the ANNEX 1 attached hereto; and

(b) the remaining sixty-nine point five per cent (69.5%) of the debts referred to in (a) of sub-paragraph (1) of paragraph 2. will be paid in five (5) semi-annual instalments beginning on November 1, 2006, in accordance with the payment schedule shown in the ANNEX 2 attached hereto;

(2) The rate of interest on the Rescheduled Debts will be nought point five per cent (0.5%) per annum above the applicable London inter-bank offered rate on Japanese yen deposits applied for six months lending.

4. If the representatives of the Government of the Republic of Moldova and the representatives of the Governments of the Creditor Countries come to a new conclusion in connection with reorganization of the debts of the Republic of Moldova including ,the debts covered by the present understanding, consultations shall be held between the Government of Japan and the Government of the Republic of Moldova in order to discuss the matter of continuation or modification of the present understanding.

I have further the honour to propose that this Note and Your Excellency's Note in reply confirming on behalf of the Government of the Republic of Moldova the foregoing understanding shall constitute an agreement between the two Governments, which shall enter into force on the date of Your Excellency's Note in reply.

I avail myself of this opportunity to extend to Your Excellency the assurance of my highest consideration.

Excellency,

I have the honour to acknowledge the receipt of Your Excellency's Note of today's date, which reads as follows:

“Excellency,

I have the honour to refer to the recent negotiations between the representatives of the Government of Japan and of the Government of the Republic of Moldova that were held on the basis of the conclusions reached during the consultations between the representatives of the Government of the Republic of Moldova and of the Governments of the creditor countries concerned (hereinafter referred to as “the Creditor Countries”) held in Paris on May 11 and 12, 2006.
