ACORDUL DE FINANŢARE

Acordul din data de 17 decembrie, 2016, este încheiat între Republica Moldova ("Beneficiar") şi Asociaţia Internaţională pentru Dezvoltare ("Asociaţie"), în scopul acordării finanţării în susţinerea Programului (după cum este definit în Apendicele la prezentul Acord). Asociaţia a decis să acorde finanţare în baza, acţiunilor inter alia (a) pe care Beneficiarul deja le-a adoptat în cadrul programului şi care sunt descrise în secţiunea I.A a Tabelului 1 la prezentul Acord; (b) şi pentru menţinerea a unui cadru de politici macroeconomice adecvate din partea Beneficiarului. Beneficiarul şi Asociaţia convin după cum urmează:

ARTICOLUL  I - CONDIŢII GENERALE; DEFINIŢII

1.01. Condiţiile Generale (după cum sunt definite în Apendicele la prezentul Acord) constituie parte integră a prezentului Acord.

1.02. Cu excepţia cazului în care contextul impune altfel, termenii scrişi în acest Acord au semnificaţiile atribuite acestora în Condiţiile Generale sau în Apendicele prezentului Acord.

ARTICOLUL II - FINANŢAREA

2.01. Asociaţia este de acord să extindă Beneficiarului, în termenii şi condiţiile stabilite sau menţionate în prezentul Acord, un credit cu următoarele sume care în total reprezintă echivalentul a treisprezece milioane de Drepturi Speciale de Retragere (DSR 13,000,000) (în diferite modalităţi, "Credit" şi "Finantarea"):

(a) zece milioane de Drepturi Speciale de Retragere (DSR 10,000,000) ("Porţiunea A a Creditului"); şi

(b) trei milioane de Drepturi Speciale de Retragere (DSR 3,000,000) ("Porţiunea B a Creditului").

2.02. Beneficiarul poate retrage fondurile de finanţareîn vederea susţinerii Programului în conformitate cu Secţiunea II a Tabelului 1 inclusă în prezentul Acord.

2.03. Rata maximă a taxei de angajament care se achită de către Beneficiar pentru soldul fondurilor de finanţare neretras va constitui jumătate de procent (1/2 din 1%) anual.

2.04. Taxa de deservire, plătibilă de Beneficiar la soldul mijloacelor retrase din Credit va fi egală cu trei pătrimi dintr-un procent (3/4 din 1%) anual.

2.05. (a) Taxa aferentă dobânzii, plătibilă de Beneficiar la soldul mijloacelor retrase din Credit, din porţiunea A va fi egală cu unu întreg şi o pătrime la sută (1,25%) anual.

(b) Taxa aferentă dobânzii, plătibilă de Beneficiar la soldul mijloacelor retrase din Credit, din porţiunea B a Creditului este egălă cu unu întreg şi treisprezece sutimi de procente (1,13%) anual.

2.06. Datele efectuării plăţilor sunt 15 mai şi 15 noiembrie ale fiecărui an.

2.07. Suma principală a Creditului trebuie să fie plătită în conformitate cu programul de rambursare stabilită în Tabelul 2 al prezentului Acord.

2.08. Moneda de Plată este Dolarul SUA.

2.09. Fără limite cu privire la dispoziţiile din Secţiunea 4.08 a Condiţiilor Generale (renumerotat astfel  în temeiul alin.4 din Secţiunea II a Apendicelui prezentului Acord şi referitor la Cooperare şi Consultare), Beneficiarul furnizează imediat Asociaţia cu informaţii referitor la dispoziţiile prezentului Articol II, deoarece Asociaţia periodic poate, cere, în mod rezonabil, informaţia.

ARTICOLUL III - PROGRAMUL

3.01. Beneficiarul îşi declară angajamentelul faţă de Program şi de implementarea acestuia. În acest scop, şi la secţiunea 4.08 a Condiţiilor Generale:

(a) Beneficiarul şi Asociaţia, la cererea oricăreia dintre părţi, vor face periodic schimb de opinii referitor la cadru de politicii macroeconomice a Beneficiarului şi la progresul realizat în procesul de executare a Programului;

(b) Înainte de fiecare astfel de schimb de opinii, Beneficiarul trebuie să prezinte Asociaţiei spre revizuire şi comentarii un raport detailat privind progresul realizat în procesul de executare a Programului, la un nivel de detaliere solicitat în mod rezonabil de Asociaţie; şi

(c) Fără limite asupra prevederilor alineatelor (a) şi (b) din prezenta Secţiune, Beneficiarul trebuie să informeze în mod prompt Asociaţia cu privire la orice situaţie care ar avea efect semnificativ inversarea obiectivelor Programului sau orice acţiune întreprinsă în cadrul Programului, inclusiv orice acţiune specificată în Secţiunea I a Tabelului 1 la prezentul Acord.

ARTICOLUL IV - REMEDII ALE ASOCIAŢIEI

4.01. Evenimentul Adiţional de Suspendare constă din următoarele, şi anume producerea unei situaţii care face imposibilă realizarea Programul sau o parte semnificativă a acestuia.

ARTICOLUL V – INTRAREA ÎN VIGOARE; REZILIERE

5.01. Condiţii adiţionale de intrare în vigoare constau din următoarele:

(a) Asociaţia este mulţumită de progresul realizat de către Beneficiar în procesul de executare a Programului şi de caracterul adecvat al cadrului de politicii macroeconomice al Beneficiarului; şi

(b) Acordul de Împrumut a fost executat şi livrat, iar toate condiţiile precedente intrării sale în vigoare sau drepturile Beneficiarului de a face retrageri (altele decât intrarea în vigoare a Acordului de Finanţare) au fost îndeplinite.

5.02. Termenul limită pentru intrarea în vigoare este de nouăzeci (90) de zile din data prezentului Acord.

5.03. Pentru atingerea scopurilor specificate Secţiunei 8.05 (b) ale Condiţiilor Generale, data la care obligaţiile Beneficiarului din acest Acord (în afara celor care asigură obligaţiunile de plată) vor fi reziliate după douăzeci de ani de la data prezentului Acord.

TABELUL 1

Acţiunile Programului; Disponibilitatea Fondurilor de Finanţare

Secţiunea I. Acţiunile din cadrul Programului

A. Acţiunile întreprinse în cadrul Programului. Acţiunile întreprinse de către Beneficiar în cadrul programului include următoarele:

Pilonul A: Consolidarea cadrului de reglementare pentru a îmbunătăţi predictibilitatea mediului de afaceri, de facilitare a concurenţei şi reducerea costurilor de conformare reglementară

1. Beneficiarul a promulgat modificările la Legea cu privire la Controlul de Stat a Activităţii de Antreprenoriat (Legea nr.131 din data 8 iunie 2012 şi publicată în Monitorul Oficial Nr. 181-184/595 la 31 august 2012), care are scopul de a reduce costurile de conformare a inspecţiilor de stat, dovedită prin Legea nr.230 privind modificarea şi completarea unor acte legislative, din 23 septembrie 2016, şi publicată în Monitorul Oficial Nr. 369-378 la 28 octombrie 2016.

2. Beneficiarul a emis un decret care instituie un mecanism instituţional pentru colectarea informaţiilor cu privire la toate ajutoarele de stat conform legislaţiei privind ajutorul de stat (Legea nr.139 din data de 15 iunie 2012 si publicată în Monitorul Oficial nr.166-169o/565 la 16 august 2012) şi ajutorul de stat legislaţia secundară, dovedită prin Decizia nr.378 privind aprobarea conceptului de sistem automatizat al informaţiei: registrul ajutoarelor de stat, din 27 mai 2014 şi publicat în Monitorul Oficial Nr. 142-146/427 la 3 iunie 2014.

Pilonul B: consolidarea stabilităţii sectorului financiar, promovarea transparenţei acţionarilor şi facilitarea condiţiilor de acces la finanţare

3. Beneficiarul a promulgat modificările la Legea cu privire la Banca Naţională a Moldovei (Legea nr.548-XIII, din 21 iulie 1995, publicată în Monitorul Oficial nr.56-57/624 la 12 octombrie 1995, şi republicată în Monitorul Oficial Nr. 297-300/544 la 30 octombrie 2015) de consolidare a valorilor mobiliare corporative de înregistrare într-un singur depozitar central de titluri de valoare, dovedită prin adoptarea Legii nr.62 cu modificările şi completările anumitor acte, din data de 8 aprilie 2016 şi publicată în Monitorul Oficial Nr. 123-127/248 la 6 mai 2016.

4. Beneficiarul a promulgat modificările legislative pentru a consolida independenţa pe piaţa financiară supravegheată prin: (i) consolidarea cadrului de contestare a actelor de la Banca Naţională a Moldovei cu privire la regulamentul bancar şi supravegherea; (ii) asigurarea protecţiei juridice a tuturor angajaţilor Băncii Naţionale a Moldovei şi a Comisiei Naţionale a Pieţei Financiare în cazul proceselor pentru acţiunile întreprinse cu bună credinţă şi (iii) anularea împuternicirii Ministerului de Justiţie de a modifica conţinutul regulamentului Băncii Naţionale a Moldovei şi a Comisiei Naţionale a Pieţei Financiare dovedită prin promulgarea:

(a) Legii nr.108 privind aprobarea modificărilor şi încheierea unor acte legislative din iunie 19 2014 şi publicată în Monitorul Oficial Nr. 238-246/539 la 15 august 2014; şi

(b) Legii nr.62 privind de modificare şi completarea anumitor acte, din data de 8 aprilie 2016 şi publicată în Monitorul Oficial Nr. 123-127/248 la 6 mai 2016.

5. Banca Naţională a Moldovei a retras licenţele de la Banca de Economii S.A., Banca Socială, S.A. şi Unibank, S.A. şi a iniţiat lichidarea băncilor - dovedită prin:

(a) Decizia nr.62 a Băncii Naţionale a Moldovei privind aprobarea retragerii licenţei pentru efectuarea activităţilor financiare şi iniţierea procesului de lichidare a Băncii de Economii S.A., din 16 octombrie 2015 şi publicat în Monitorul Oficial Nr. 291-295/2177 la 23 octombrie 2015;

(b) Decizia nr.63 a Băncii Naţionale a Moldovei privind aprobarea retragerii licenţei pentru efectuarea activităţilor financiare şi iniţierea procesului de lichidare a Băncii Sociale S.A., din 16 octombrie 2015 şi publicat în Monitorul Oficial Nr. 291-295/2178 la 23 octombrie, 2015; şi

(c) Decizia nr.64 a Băncii Naţionale a Moldovei privind aprobarea retragerii licenţei pentru efectuarea activităţilor financiare şi iniţierea procesului de lichidare a Unibank S.A., din 16 octombrie 2015 şi publicat în Monitorul Oficial Nr. 291-295/2179 la 23 octombrie 2015.

6. Banca Naţională a Moldovei a emis un ordin prin care a lansat un audit special (studii de diagnosticare) pentru trei cele mai mari bănci din Moldova (Victoriabank S.A., Moldindconbank S.A. şi Moldova Agroindbank S.A.), dovedită prin:

(a) Decizia nr.156 a Băncii Naţionale a Moldovei privind Instituirea supravegherii speciale la Moldindconbank S.A. din 11 iunie 2015;

(b) Decizia nr.157 a Băncii Naţionale a Moldovei Instituirea supravegherii speciale la Victoriabank S.A. din 11 iunie 2015; şi

(c) Decizia nr.158 a Băncii Naţionale a Moldovei Instituirea supravegherii speciale la Moldova Agroindbank S.A. din 11 iunie 2015.

7. Beneficiarul a promulgat modificările la Legea de Gaj (Legea nr.449-XV din data de 30 iulie 2001 publicată în Monitorul Oficial nr.120/863 la 2 octombrie 2001 şi republicată în Monitorul Oficial Nr. 345-351/655 la 21 noiembrie 2014) pentru a facilita utilizarea activelor mobiliare ca garanţii, dovedită prin adoptarea Legii nr.173 privind aprobarea modificărilor şi încheierea unor acte legislative din 25 iulie 2014 şi publicată în Monitorul Oficial Nr. 231-237/531 pe data de 8 august 2014.

8. Beneficiarul a aprobat o politică prin care Trezoreria de Stat din cadrul Ministerului Finanţelor, şi întreprinderile de capital integral sau majoritar de stat, să organizeze licitaţii publice pentru serviciile bancare care includ cel puţin capitalul minim necesar de reglementare adecvat şi indici de lichiditate, dovedită prin:

(a) Decizia Guvernului nr.387 privind aprobarea Regulamentului privind achiziţiile publice de servicii financiare de stat şi întreprinderile municipale şi societăţile comerciale cu capital public integral sau majoritar, datată din 28 mai 2014 şi publicată în Monitorul Oficial Nr. 142-146/431 la 3 iunie 2014; şi

(b) Decizia Guvernului nr.428 privind aprobarea selecţiei de servicii bancare a instituţiilor financiare pentru instituţiile publice, din data de 9 iunie 2014 şi publicată în Monitorul Oficial Nr. 153-159/468 la 13 iunie 2014.

Pilonul C: îmbunătăţirea cadrului de gestionare a investiţiilor publice, subvenţiile pentru investiţii în agricultură mai eficiente şi echitabile şi îmbunătăţirea acoperii programelor de asistenţă socială bine orientate

9. Beneficiarul a consolidat cadrul de reglementare pentru gestionarea investiţiilor publice prin: (i) promulgarea prevederilor Legii finanţelor publice şi responsabilitatea fiscal-bugetară (definite în alin.(a) de mai jos) pe principiile sistemului de management al investiţiilor publice şi finanţarea investiţiilor publice; (ii) modificarea Regulamentului privind investiţiile de capital (Nr. 1029 de aprobare a principiilor de investiţii de capital publice din 19 decembrie 2013 şi publicat în Monitorul Oficial nr.311/1157 pe 27 decembrie 2013) pentru a extinde acoperirea acesteia; (iii) adoptarea liniilor directoare pentru pregătirea ciclului proiectului, dovedită prin:

(a) Legea nr.181 de aprobare a Finanţelor Publice şi responsabilitatea fiscal-bugetară din data de 25 iulie 2014 şi publicată în Monitorul Oficial Nr. 223-230/519 pe data de 8 august 2014;

(b) Hotărîrea Guvernului nr.1181 privind aprobarea modificarilor la anexa nr.3 a Hotărîriii Guvernului nr.1029 din 19 decembrie 2013, adoptată pe 26 octombrie 2016 şi publicată în Monitorul Oficial Nr. 369-378 /1276 pe 28 octombrie, 2016; şi

(c) Ordinul nr.185 al Ministerului Finanţelor privind aprobarea instrucţiunilor de gestionare a proiectelor de investiţii de capital din data de 3 noiembrie 2015 şi publicat în Monitorul Oficial Nr. 361-369/2695 în decembrie 2015.

10. Beneficiarul a adoptat Regulamentul privind fondurile agricole pentru producătorii agricoli pentru 2016, care: (i) restrînge sfera de aplicare a celui mai mare program de subvenţie pentru investiţii; şi (ii) acoperă sau reduce acoperirile, dimensiunii subvenţiei permise pentru fiecare beneficiar, dovedită prin Hotărârea de Guvern nr.910 din data de 25 iulie 2016 si publicat în Monitorul Oficial Nr. 247-255/996 la 5 august 2016.

11. Beneficiarul are ajustat parametrii programului de beneficii Ajutor Social prin creşterea pragului de eligibilitate în lei moldoveneşti 900 Venitul Minim Garantat (VMG) în amendamentele la Legea bugetului 2015 (Legea nr.72 privind bugetul de stat pentru anul 2015 din 12 aprilie 2015 si publicat în Monitorul Oficial Nr. 102-104/172 la 28 aprilie 2015), dovedită prin Legea nr.200 privind amendamentele la bugetul de stat pentru anul 2015 din data de 20 noiembrie 2015 şi publicat în Monitorul Oficial Nr. 330-331/629 pe data de 8 Decembrie 2015.

Secţiunea II. Disponibilitatea fondurilor de finanţare

A. General. Beneficiarul poate retrage Fondurile de Finanţare în conformitate cu prevederile prezentei Secţiuni şi instrucţiunile suplimentare ca Asociaţia le poate specifica prin notificare Beneficiarului.

B. Alocarea de sume de finanţare. Finanţarea este alocată într-o singură tranşă de retragere, din care Beneficiarul poate face retrageri din Finanţare. În tabelul de mai jos este prezentată alocarea sumelor Finanţării în acest scop:

C. Condiţiile de retragere a tranşei

1. Nici o retragere nu se face din unica tranşă deretragere cu excepţia cazului în care Asociaţia este satisfăcută de (a) programul care este realizat de Beneficiar; şi (b) de caracterul adecvat al cadrului de politicii macroeconomice al Beneficiarului.

D. Depozite sumelor de finanţare. Cu excepţia cazurilor în care Asociaţia poate conveni altfel:

1. Toate retragerile din contul de finanţare vor fi depozitate de către Asociaţie în contul indicat de către Beneficiar şi acceptabil de Asociaţie; şi

2. Beneficiarul trebuie să se asigure că la fiecare depozitare a unei sume de finanţare în acest cont, o sumă echivalentă este înregistrată în sistemul de gestionare a bugetului Beneficiarului, într-un mod acceptabil pentru Asociaţie.

E. Cheltuielile Excluse. Beneficiarul se angajează să nu utilizeze fondurile de finanţare pentru cheltuieli excluse. Dacă Asociaţia determină în orice moment că o sumă de finanţare a fost folosită pentru efectuarea unei plăţi pentru o cheltuială exclusă, Beneficiarul, trebuie să restituie în mod prompt o sumă egală cu suma echivalentă plăţii date. notificarea. Sumele rambursate Asociaţiei în cazul unei astfel de solicitări trebuie să fie anulate.

F. Data de încheiere. Data de încheiere este 30 septembrie 2017.

APENDICE

Secţiunea I. Definiţii

1. "Ajutor Social" înseamnă programul de beneficii sociale a beneficiarului care urmăreşte să asigure un venit lunar minim garantat pentru familiile defavorizate prin acordarea de plăţi sociale determinate în conformitate cu venitul mediu lunar de fiecare familie şi necesitatea asistenţei sociale, stabilită prin Legea nr.133 din data de 13 iunie 2008 şi publicată în Monitorul Oficial nr.179/625 la 30 septembrie 2008.

2. cheltuielile excluse - înseamnă orice cheltuieli:

(a) Pentru bunuri sau servicii furnizate de un contract pe care orice instituţie de finanţare naţională sau internaţională sau agenţie sau altele decât Asociaţia sau Banca a finanţat sau a decis să finanţeze sau care Asociaţia sau Banca a finanţat sau au convenit să finanţeze un alt credit, grant sau împrumut;

(b) Pentru mărfurile incluse în următoarele grupuri sau sub-grupe a Standardului Internaţional de Clasificare a Comerţului, Revizuirea 3 (SITC, Rev.3), publicate de Organizaţia Naţiunilor Unite în documentele statistice, Seria M, nr.34/Rev.3 (1986) (SITC), sau orice grupuri sau subgrupuri sub viitoare revizuiri ale SITC, desemnat de către Asociaţia prin notificare Destinatar:

(c) Pentru bunurile destinate unui scop militar sau paramilitar sau pentru consumul de lux;

(d) Pentru mărfurile periculoase pentru mediu, producerea, utilizarea sau importul de care este interzisă conform legilor Beneficiarului sau a acordurilor internaţionale la care Beneficiarul este parte;

(e) în contul oricărei părţi interzise printr-o decizie a Consiliului de Securitate al Organizaţiei Naţiunilor Unite luate în temeiul capitolului VII din Statutul Organizaţiei Natiunilor Unite; şi

(f) cu priuvire la care Asociaţia determină că reprezentanţii Beneficiarului sau alţi beneficiari ai fondurilor de finanţare au fost implicaţi în practici corupte, frauduloase, conspirative şi coercitive, fără ca Beneficiarul (sau alt benificar similar) să întreprindă vreo acţiune adecvată şi în timp util, satisfăcătoare pentru Asociaţie pentru abordarea acestor practici, atunci cînd acestea apar.

3. - Acordul de împrumut" înseamnă acordul între Beneficiar şi Bancă în vederea susţinerii Programului, avînd aceeaşi dată ca acest Acord, din motiv că acest Acord poate fi modificat din cînd în cînd. “Acordul de împrumut” include toate apendicile, tabelele şi acordurile suplimentare la Acordului de împrumut.

4. - Condiţiile Generale" înseamnă " Conditii generale ale Asociaţiei Internaţionale pentru Dezvoltare pentru credite şi granturi, datată din 31 iulie 2010, cu modificările stabilite în Secţiunea II din prezentul apendice.

5. "Program" înseamnă programul de acţiuni, obiective şi politici menite să promoveze dezvoltarea durabilă şi reducerea sărăciei şi stabilite sau la care se face referinţă în scrisoarea din 8 noiembrie 2016 din partea Beneficiarului către Asociaţie, care declară angajamentul Beneficiarului întru executarea programului şi solicitarea de asistenţă de la Asociaţie în sprijinul programului în perioada implementării acestuia, precum şi acţiunile enumerate în secţiunea I.A a Tabelului 1 la prezentului Acord.

6. - Tranşă Unică de Retragere" înseamnă suma de finanţarea alocata categoriei intitulată " Tranşă Unică de Retragere" în tabelul stabilit în Partea B din secţiunea II a Tabelului 1 la prezentul acord.

Secţiunea II. Modificări la condiţiile generale

Condiţiile generale se modifică după cum urmează:

1. Ultima frază de la alin.(a) din secţiunea 2.03 (referitoare la cererile de retragere) se elimină în totalitate.

2. Sectiunile 2.04 (conturile desemnate) şi 2.05 (cheltuielile eligibile) sunt şterse în întregime şi secţiunile ulterioare în art.II se renumerotează de consecinţă.

3. Secţiunea 3.02 este modificată după cum urmează:

"Secţiunea 3.02. Taxa de servicii şi a dobânzii

(a) Taxa de deservire . Beneficiarul va achita o taxă de deservire Asociaţiei pentru soldul retras al creditului la rata specificată în Acordul de finanţare. Taxa de deservire se acumulează de la datele respective la care sumele Creditului sunt retrase şi se plătesc semi-anual în tranşe la fiecare dată de achitare a plăţii. Taxele de deservire se calculeaza pe baza unui an de 360 de zile cu de douăsprezece luni a 30-de zile fiecare.

(b) Dobînda. Beneficiarul va plăti Asociaţiei dobînda pentru soldul retras al creditului la rata specificată în Acordul de Finanţare. Dobînda se acumulează la datele respective în funcţie de sumele de credit retrase şi urmează să fie achitate semi-anual în tranţe la fiecare dată de plată. Dobînda va fi calculată pe baza unui an de 360 de zile format din douăsprezece luni a cîte 30 zile fiecare.

4. Secţiunile 4.01 (executarea generală a proiectului) şi 4.09 (management financiar; Rapoarte financiare; Auditul) se exclud în întregime şi părţile rămase în art.IV se renumerotează corespunzător.

5. Alin. (a) din secţiunea 4.05. (renumerotat ca atare în conformitate cu alin.4 de mai sus şi cu privire la utilizarea bunurilor, lucrărilor şi serviciilor) se exclude în totalitate.

6. Alin. (c) din secţiunea 4.06 (renumerotat ca atare în conformitate cu alin.4 de mai sus) este modificată după cum urmează:

- Secţiunea 4.06. Planuri; documente, înregistrări;

… (c) Beneficiarul îşi păstrează toate înregistrările (contracte, ordinele, facturi, chitanţele şi alte documente) cheltuielile întocmite în cadrul Finanţării până la doi ani de la data de încheiere. Beneficiarul va permite reprezentanţilor Asociaţiei de a examina aceste registre.

7. Alin. (c) din secţiunea 4.07 (renumerotat ca atare în conformitate cu alin.4 de mai sus) este modificat după cum urmează:

"Secţiunea 4,07. Monitorizarea şi evaluarea programului

… (c) Beneficiarul trebuie să pregătească sau să fie pregătit şi să furnizeze Asociaţiei nu mai târziu de şase luni după data de încheiere, un raport şi în detaliu precum Asociaţia cere, privind executarea programului, Performanţa beneficiarului şi a Asociaţiei privind obligaţiunile lor în cadrul acordurilor legale şi îndeplinirea scopurilor de finanţare.

8. Termenii şi definiţiile stabilite în anexă sunt modificate sau şterse după cum urmează şi următoarele condiţii noi şi definiţii sunt adăugate în ordine alfabetică la apendicele după cum urmează, cu termenii fiind renumerotate de consecinţă:

(a) Definirea termenului de "Cheltuielile eligibile" este modificată după cum urmează:

"'cheltuielile eligibile" reprezinta orice folosire a Finanţării în scopul sprijinului programului, altfel decât pentru a finanţa cheltuielile excluse în temeiul acordului de finanţare."

(b) Termenul de "Declaraţii Financiare" şi definirea acesteia ca stabilite în apendicele se exclude în totalitate.

(c) Termenul "finanţare de plată" este modificată prin introducerea cuvintelor "Taxa de deservire între cuvintele "Taxa de deservire" şi cuvintele şi "Taxa Comisioanelor".

(d) Un termen nou numit "Taxa Dobînzii" este adăugat după cum urmează:

""Taxa dobânzii" înseamnă taxa dobânzii specificate în acordul de finanţare pentru secţiunea 3.02(b).

(e) Termenul de "data plata" este modificat prin introducerea de cuvintele "Taxa Dobînzii" între cuvintele "Taxa de deservire şi "taxa comisioane".

(f) Termenul "proiect" este modificat cu "program" şi se defineşte după cum urmează:

""program" înseamnă programul prevăzut în acordul de finanţare în suportul căruia finanţarea este făcută. Toate trimiterile la "Proiect" pe parcursul acestor condiţii generale sunt considerate cu referire la "Program".

(g) Termenul de "taxa de deservire" este modificată prin înlocuirea referinţei la secţiunea 3.02 cu secţiunea 3.02 (a).

Stimaţi Domni şi Doamne:

În legătură cu Acordul de Finanţare (Acordul de Finanţare) din această dată, încheiat între Republica Moldova (Statul Membru) şi Asociaţia pentru Dezvoltare Internaţională (Asociaţia) prin care se oferă finanţare (Finanţare) Proiectului enunţat mai sus, şi în legătură cu Condiţiile Generale (Condiţiile Generale) care se aplică Acordului de Finanţare, scriu din numele Statului Membru pentru a enunţa următoarele:

1. Noi înţelegem şi suntem de acord cu faptul că, în conformitate cu Secţiunea 5.01 a Condiţiilor Generale, Statul Membru are obligaţia în faţa Asociaţiei de a declara “datoria externă pe termen lung” (conform definiţiei din Manualul Băncii Mondiale privind Sistemul de Raportare pentru Debitori, din ianuarie 2000 (MSRD)), în conformitate cu MSRD, şi în particular de a înştiinţa Asociaţia despre noi “angajamente de împrumut” (conform definiţiei MSRD) nu mai târziu de 30 zile după încheierea trimestrului în care survine datoria, şi de a înştiinţa Asociaţia despre “tranzacţiile în cadrul raporturilor de împrumut” (conform definiţiei MSRD) o dată pe an, nu mai târziu de 31 martie din anul următor celui cuprins în raport.

2. Noi confirmăm că nu există valori implicite în ceea ce priveşte orice datorie externă (conform definiţiei MSRD). Noi înţelegem că, în procesul de acordare a finanţării, Asociaţia se poate sprijini pe declaraţiile enunţate sau menţionate în prezenta scrisoare.

3. Vă rugăm să confirmaţi acordul Dvs. cu cele expuse în prezenta prin semnătura unui reprezentant al Asociaţiei, abilitat în acest sens, în spaţiul rezervat mai jos.

ARTICOLUL  I

Prevederile introductive


Secţiunea 1.01. Aplicarea Condiţiilor generale

Aceste Condiţii generale prevăd anumite clauze şi condiţii general aplicabile Acordului de finanţare şi oricărui alt Acord juridic. Ele se aplică în măsura prevăzută de Acordul juridic. Dacă nu există un Acord de proiect între Asociaţie şi Entitatea de implementare a proiectului, referirile la Entitatea de implementare a proiectului şi Acordul de proiect din aceste Condiţii generale nu se iau în considerare.


Secţiunea 1.02. Neconcordanţa cu Acordurile juridice

Dacă oricare din prevederile unui Acord juridic nu este în concordanţă cu o prevedere a acestor Condiţii generale, prevederea din Acordul juridic va avea prioritate.


Secţiunea 1.03. Definiţii

De fiecare dată când sunt utilizaţi în aceste Condiţii generale sau în Acordurile juridice (dacă Acordurile juridice nu conţin prevederi diferite), termenii prevăzuţi în anexă au semnificaţia prescrisă lor în anexă.


Secţiunea 1.04. Referinţe, titluri

Referinţele la articole, secţiuni şi anexă din aceste Condiţii generale se fac la articolele, secţiunile şi anexa acestor Condiţii generale. Titlurile din articole, secţiuni şi anexă, precum şi din cuprins, sunt introduse în aceste Condiţii generale doar pentru referinţă şi nu se vor lua în considerare la interpretarea acestor Condiţii generale.

ARTICOLUL II

Retrageri


Secţiunea 2.01. Contul finanţării, retrageri în general, moneda retragerilor

(a) Asociaţia va credita suma Finanţării în Contul finanţării, în drepturi speciale de tragere.

(b) Beneficiarul poate solicita periodic retrageri de sume din Finanţare din Contul finanţării, în conformitate cu dispoziţiile Acordului de finanţare şi ale acestor Condiţii generale.

(c) Fiecare retragere a unei sume din Finanţare din Contul finanţării se va face în moneda sau monedele pe care Beneficiarul le solicită în mod rezonabil în vederea efectuării plăţilor pentru Cheltuielile eligibile. Suma fiecărei retrageri din Contul finanţării va fi calculată ca echivalentul în drepturi speciale de tragere (stabilit la data retragerii) al monedei sau monedelor solicitate astfel.


Secţiunea 2.02. Angajamentul special al Asociaţiei

La cererea Beneficiarului şi conform termenilor şi condiţiilor care sunt convenite de către Beneficiar şi Asociaţie, Asociaţia poate încheia angajamente speciale în scris privind plata unor sume pentru Cheltuieli eligibile, fără a aduce atingere unei eventuale suspendări sau anulări ulterioare de către Asociaţie sau Beneficiar (”Angajamentul special”).


Secţiunea 2.03. Cererile pentru retragere sau pentru Angajament special

(a) Atunci când Beneficiarul doreşte să solicite o retragere din Contul finanţării sau să solicite Asociaţiei un Angajament special, Beneficiarul va trimite Asociaţiei o cerere în scris, cu forma şi conţinutul solicitate în mod rezonabil de către Asociaţie. Cererile pentru retragere, inclusiv documentaţia necesară conform acestui articol, trebuie să fie puse la dispoziţie cu promptitudine pentru Cheltuielile eligibile.

(b) Beneficiarul va oferi Asociaţiei dovezi satisfăcătoare pentru Asociaţie cu privire la împuternicirea persoanei sau persoanelor abilitate să semneze aceste cereri şi specimenul autentificat al semnăturii persoanei sau persoanelor respective.

(c) Beneficiarul va oferi Asociaţiei documente şi alte dovezi justificative pentru fiecare astfel de cerere, solicitate în mod rezonabil de către Asociaţie, fie înainte, fie după ce Asociaţia a autorizat retragerea solicitată în cerere.

(d) Fiecare astfel de cerere, documentele de însoţire şi alte dovezi trebuie să fie suficiente ca formă şi conţinut, pentru a demonstra Asociaţiei că Beneficiarul are dreptul să retragă suma respectivă din Contul finanţării şi că suma retrasă va fi utilizată exclusiv pentru scopurile specificate în Acordul de finanţare.

(e) Asociaţia va rambursa sumele retrase de către Beneficiar din Contul finanţării numai pentru Beneficiar sau la ordinul Beneficiarului.


Secţiunea 2.04. Conturi desemnate

(a) Beneficiarul poate deschide şi menţine unul sau mai multe conturi desemnate, în care Asociaţia, la cererea Beneficiarului, poate depune sumele retrase din Contul finanţării ca avansuri în scopurile Proiectului. Toate Conturile desemnate trebuie deschise la o instituţie financiară acceptată de către Asociaţie, conform termenilor şi condiţiilor acceptabile pentru Asociaţie.

(b) Depunerile într-un Cont desemnat şi plăţile efectuate din acesta se vor face în conformitate cu Acordul de finanţare, aceste Condiţii generale şi instrucţiunile suplimentare pe care Asociaţia le comunică periodic Beneficiarului. Conform Acordului de finanţare şi acestor instrucţiuni, Asociaţia poate înceta efectuarea depunerilor într-un Cont desemnat, după înştiinţarea Beneficiarului. În acest caz, Asociaţia va anunţa Beneficiarul despre procedurile care se vor utiliza pentru următoarele retrageri din Contul finanţării.


Secţiunea 2.05. Cheltuieli eligibile

Beneficiarul şi Entitatea de implementare a proiectului vor utiliza mijloacele Finanţării exclusiv pentru a finanţa cheltuieli care, dacă Acordul de finanţare nu conţine prevederi diferite, îndeplinesc următoarele cerinţe (”Cheltuieli eligibile”):

(a) plata se face pentru a acoperi costul rezonabil al bunurilor, lucrărilor sau serviciilor necesare pentru Proiect, finanţate din mijloacele Finanţării şi achiziţionate numai în conformitate cu prevederile din Acordurile juridice;

(b) plata nu este interzisă printr-o decizie a Consiliului de Securitate al ONU, adoptată conform Capitolului VII din Carta Naţiunilor Unite; şi

(c) plata se face la data prevăzută în Acordul de finanţare sau după această dată şi, cu excepţia cazului în care Asociaţia convine altfel, are rolul de a acoperi cheltuieli suportate înaintea Datei de încheiere.


Secţiunea 2.06. Taxe de finanţare

Utilizarea oricăror mijloace ale Finanţării pentru a achita taxe percepute de Beneficiar sau pe teritoriul acestuia cu privire la Cheltuieli eligibile, sau cu privire la importul, producerea, achiziţia sau furnizarea acestora, dacă sunt permise prin Acordul de finanţare, va respecta politica Asociaţiei referitoare la economie şi eficienţă în utilizarea sumelor din creditele şi granturile Asociaţiei. În acest scop, dacă Asociaţia stabileşte, în orice moment, că suma unei astfel de taxe este excesivă, sau că acea taxă este discriminatorie sau nerezonabilă în alt mod, Asociaţia, prin înştiinţare trimisă Beneficiarului, poate ajusta procentul Cheltuielilor eligibile care urmează a fi finanţate din mijloacele Finanţării specificate în Acordul de finanţare, în aşa fel încât să asigure respectarea politicii respective a Asociaţiei.


Secţiunea 2.07. Refinanţarea avansului pentru pregătire

Dacă Acordul de finanţare prevede rambursarea din mijloacele Finanţării a unui avans din partea Băncii sau Asociaţiei (”Avansul pentru pregătire”), Asociaţia, în numele Beneficiarului, va retrage din Contul finanţării, la Data intrării în vigoare sau după aceasta, suma necesară pentru a rambursa soldul retras şi rămas din avans la data retragerii respective din Contul finanţării şi pentru a achita toate taxele acumulate şi neplătite, în cazul în care există, cu privire la avans la acea dată. Asociaţia va plăti suma astfel retrasă către sine sau către Bancă, după caz, şi va anula suma rămasă şi neretrasă din avans.


Secţiunea 2.08. Realocarea

Fără a aduce atingere alocării vreunei sume din Finanţare pentru o categorie de cheltuieli în temeiul Acordului de finanţare, dacă Asociaţia stabileşte în mod rezonabil, în orice moment, că acea sumă este insuficientă pentru a finanţa cheltuielile respective, Asociaţia poate, prin înştiinţare trimisă Beneficiarului:

(a) să realoce orice altă sumă din Finanţare, care, în opinia Asociaţiei, nu este necesară în scopul pentru care s-a alocat în temeiul Acordului de finanţare, în măsura necesară pentru a acoperi deficitul estimat; şi

(b) dacă acea realocare nu acoperă complet deficitul estimat, să reducă procentajul cheltuielilor care urmează să fie finanţate din mijloacele Finanţării, pentru ca retragerile ulterioare destinate acelor cheltuieli să continue până când toate acele cheltuieli au fost efectuate.

ARTICOLUL III

Termeni ai finanţării


Secţiunea 3.01. Comisionul de angajament

(a) Beneficiarul va achita Asociaţiei un comision de angajament pentru Suma finanţării neretrase, la rata stabilită de Asociaţie la data de 30 iunie a fiecărui an (”Comisionul de angajament”), care nu va depăşi rata prevăzută în Acordul de finanţare (”Rata maximă a comisioanelor pentru obligaţii”).

(b) Comisionul de angajament va începe de la o dată de şaizeci de zile după data Acordului de finanţare până la datele respective la care sumele sunt retrase de către Beneficiar din Contul finanţării sau sunt anulate. Comisionul de angajament va începe la rata stabilită la data de 30 iunie imediat anterioară datei de calculare şi la o altă rată care poate fi stabilită periodic după aceea, conform acestei secţiuni. Rata stabilită la data de 30 iunie a fiecărui an va fi aplicată de la următoarea Dată de plată din anul respectiv. Comisionul de angajament urmează a fi achitat semestrial la scadenţă la fiecare Dată de plată. Comisionul de angajament se va calcula în baza unui an de 360 de zile de 12 luni cu 30 de zile.

(c) Asociaţia va anunţa Beneficiarul despre Comisionul de angajament aplicabil, imediat după stabilirea acestuia.


Secţiunea 3.02. Comision de deservire

Beneficiarul va achita Asociaţiei un comision de deservire pentru Suma creditului retras la rata specificată în Acordul de finanţare. Comisionul de deservire va începe din datele respective la care sumele Creditului sunt retrase şi va fi plătit semestrial la scadenţă la fiecare Dată de plată. Comisioanele de deservire se vor calcula în baza unui an de 360 de zile de 12 luni de 30 de zile.


Secţiunea 3.03. Rambursarea creditului

(a) Rambursarea în general. Sub rezerva dispoziţiilor din alineatul (b) al acestei secţiuni, Beneficiarul va rambursa Asociaţiei în rate Suma creditului retras, aşa cum prevede Acordul de finanţare.

(b) Rambursarea accelerată.

(i) Asociaţia poate modifica rambursarea ratelor din Suma creditului retras, aşa cum prevede Acordul de finanţare, conform punctului (ii) sau (iii) din acest alineat, atunci când s-au produs toate evenimentele următoare: (A) venitul naţional brut pe cap de locuitor al Beneficiarului, calculat de către Asociaţie, a depăşit timp de trei ani consecutivi nivelul stabilit anual de către Asociaţie în vederea eligibilităţii pentru acces la resursele Asociaţiei; (B) Banca consideră că Beneficiarul este solvabil pentru creditare din partea Băncii; şi (C) acordând o atenţie corespunzătoare dezvoltării economiei Beneficiarului, directorii executivi ai Asociaţiei au examinat şi aprobat o astfel de modificare.

(ii) La producerea evenimentelor menţionate în alineatul (b) (i) din această secţiune, Asociaţia: (A) va cere Beneficiarului să ramburseze dublul sumei fiecărei rate din Suma creditului retras, care nu este încă scadentă, până când Creditul a fost rambursat complet; şi (B) va cere Beneficiarului să înceapă această rambursare la prima Dată semestrială de plată a principalului care survine la şase luni sau mai mult după data la care Asociaţia anunţă Beneficiarul că evenimentele respective s-au produs; cu condiţia, totuşi, să existe o perioadă de graţie de minim cinci ani pentru această rambursare.

(iii) În mod alternativ, la cererea Beneficiarului, Asociaţia poate revizui termenii specificaţi la punctul (ii) din acest alineat pentru a include, în locul unora sau tuturor creşterilor de sume ale ratelor respective, plata dobânzii pentru Suma creditului retras, la o rată anuală convenită cu Asociaţia; cu condiţia că, la aprecierea Asociaţiei, această revizuire nu va modifica elementul de grant prevăzut de aceşti termeni.

(iv) Dacă, în orice moment după ce termenii rambursării au fost modificaţi conform punctului (i) din această secţiune, Asociaţia stabileşte că situaţia economică a Beneficiarului s-a deteriorat semnificativ, Asociaţia, la cererea Beneficiarului, poate revizui în continuare termenii rambursării Sumei creditului retras, pentru a respecta graficul ratelor prevăzut iniţial în Acordul de finanţare, ţinând cont de orice rambursări efectuate deja de către Beneficiar.


Secţiunea 3.04. Rambursarea anticipată

Beneficiarul poate rambursa Asociaţiei înainte de scadenţă, în întregime sau parţial, suma principalului uneia sau mai multor scadenţe ale creditului specificate de Beneficiar.


Secţiunea 3.05. Plata parţială

Dacă, în orice moment, Asociaţia primeşte o Plată a finanţării în sumă mai mică decât suma datorată la acel moment, Asociaţia are dreptul să aloce şi să aplice suma astfel primită în orice mod şi pentru acele scopuri prevăzute în Acordul de finanţare pe care le stabileşte la propria discreţie.


Secţiunea 3.06. Locul plăţii

Toate Plăţile finanţării vor fi achitate în locurile pe care Asociaţia le solicită în mod rezonabil.


Secţiunea 3.07. Moneda de plată

(a) Beneficiarul va achita toate Plăţile finanţării în moneda prevăzută de Acordul de finanţare (”Moneda de plată”).

(b) La cererea Beneficiarului, Asociaţia, acţionând ca agent al Beneficiarului şi în termenii şi condiţiile stabilite de Asociaţie, va cumpăra Moneda de plată în scopul achitării unei Plăţi a finanţării, după plata la timp de către Beneficiar a unor fonduri suficiente în acest scop, în una sau mai multe monede acceptate de către Asociaţie; cu condiţia, totuşi, că Plata finanţării se consideră achitată numai atunci când şi în măsura în care Asociaţia a primit plata respectivă în Moneda de plată.


Secţiunea 3.08. Suma rambursării

Suma rambursabilă a creditului retras este echivalentul (stabilit la data sau datele respective de rambursare) valorii monedei sau monedelor retrase din Contul creditului, exprimat în drepturi speciale de tragere la datele respective de retragere.


Secţiunea 3.09. Evaluarea monedelor

Atunci când, în sensul oricărui Acord juridic, este necesar să se determine valoarea unei monede faţă de alta, această valoare va fi determinată în mod rezonabil de către Asociaţie.


Secţiunea 3.10. Modalitatea de plată

(a) Orice Plată a finanţării care trebuie achitată Asociaţiei în moneda unui stat va fi achitată în modul şi în moneda achiziţionată în modul permis de legislaţia acelui stat, cu scopul de a efectua plata respectivă şi a depune acea monedă în contul Asociaţiei, la un depozitar al Asociaţiei autorizat să accepte depozite în acea monedă.

(b) Toate Plăţile finanţării vor fi achitate fără nici un fel de restricţie impusă de Beneficiar sau pe teritoriul Beneficiarului, fără taxe şi fără vreo deducere pentru taxele percepute de către Beneficiar sau pe teritoriul Beneficiarului.

(c) Acordurile juridice vor fi fără taxe percepute de către Beneficiar sau pe teritoriul Beneficiarului, sau în legătură cu execuţia, transmiterea sau înregistrarea lor.

ARTICOLUL IV

Executarea proiectului


Secţiunea 4.01. Executarea proiectului în general

Beneficiarul şi Entitatea de implementare a proiectului îşi vor realiza părţile din Proiect care le revin:

(a) depunând toate eforturile necesare şi în mod eficace;

(b) în conformitate cu standarde şi practici administrative, tehnice, financiare, economice, de mediu şi sociale adecvate; şi

(c) în conformitate cu prevederile Acordurilor juridice şi ale acestor Condiţii generale.


Secţiunea 4.02. Execuţia conform Acordului de proiect

Beneficiarul: (a) se va asigura că Entitatea de implementare a proiectului îşi îndeplineşte toate obligaţiile prevăzute în Acordul de proiect, în conformitate cu dispoziţiile Acordului de proiect; şi (b) nu va lua şi nu va permite să se ia vreo măsură care ar putea împiedica sau afecta execuţia Proiectului.


Secţiunea 4.03. Asigurarea fondurilor şi altor resurse

Beneficiarul va asigura sau va dispune să se asigure, cât de prompt posibil, fondurile, infrastructurile, serviciile şi alte resurse: (a) necesare pentru Proiect; şi (b) necesare sau corespunzătoare pentru ca Entitatea de implementare a proiectului să-şi poată îndeplini obligaţiile în temeiul Acordului de proiect.


Secţiunea 4.04. Asigurări

Beneficiarul şi Entitatea de implementare a proiectului vor lua deciziile adecvate în vederea asigurării oricăror bunuri necesare pentru părţile din Proiect care le revin şi care vor fi finanţate din mijloacele Finanţării, împotriva pericolelor care pot apărea în timpul achiziţiei, transportării şi livrării bunurilor la locul de utilizare sau de instalare. Orice despăgubire primită din aceste asigurări se va achita într-o monedă liber utilizabilă pentru înlocuirea sau repararea bunurilor respective.


Secţiunea 4.05. Achiziţia terenurilor

Beneficiarul şi Entitatea de implementare a proiectului vor lua (sau se vor asigura că sunt luate) toate măsurile pentru a achiziţiona, în caz de nevoie, orice terenuri şi drepturi de folosinţă a terenurilor care sunt necesare pentru execuţia părţilor din Proiect care le revin şi vor oferi prompt Asociaţiei, la cerere, dovezi satisfăcătoare pentru Asociaţie că acele terenuri şi drepturi de folosinţă a terenurilor sunt disponibile în scopurile Proiectului.


Secţiunea 4.06. Utilizarea bunurilor, lucrărilor şi serviciilor; întreţinerea instalaţiilor

(a) Cu excepţia cazului când Asociaţia convine altfel, Beneficiarul şi Entitatea de implementare a proiectului se vor asigura că toate bunurile, lucrările şi serviciile finanţate din mijloacele Finanţării sunt utilizate exclusiv în scopurile Proiectului.

(b) Beneficiarul şi Entitatea de implementare a proiectului se vor asigura că toate instalaţiile relevante pentru părţile din Proiect care le revin sunt exploatate şi întreţinute corespunzător în orice moment şi că toate reparaţiile şi reînnoirile necesare ale acestor instalaţii se fac cât de prompt posibil.


Secţiunea 4.07. Planuri, documente, evidenţe

(a) Beneficiarul şi Entitatea de implementare a proiectului vor furniza Asociaţiei toate planurile, graficele, specificaţiile, rapoartele şi documentele de contract pentru părţile din Proiect care le revin, precum şi orice modificări semnificative sau completări ale acestor documente, imediat după elaborarea lor şi la un nivel de detaliu solicitat în mod rezonabil de către Asociaţie.

(b) Beneficiarul şi Entitatea de implementare a proiectului vor ţine evidenţe adecvate ale progreselor înregistrate în părţile din Proiect care le revin (inclusiv costul acestora şi beneficiile pe care le vor aduce), pentru a identifica bunurile, lucrările şi serviciile finanţate din mijloacele Finanţării şi pentru a prezenta utilizarea lor în Proiect, oferind Asociaţiei aceste evidenţe, la cerere.

(c) Beneficiarul şi Entitatea de implementare a proiectului vor păstra toate actele (contracte, comenzi, facturi, bonuri, chitanţe şi alte documente) care confirmă cheltuielile efectuate în cadrul părţilor din Proiect care le revin, cel puţin până la data care survine mai târziu dintre: (i) un an după ce Asociaţia a primit rapoartele financiare auditate privind perioada în care s-a efectuat ultima retragere din Contul finanţării; şi (ii) doi ani după Data de încheiere. Beneficiarul şi Entitatea de implementare a proiectului vor permite reprezentanţilor Asociaţiei să examineze aceste evidenţe.


Secţiunea 4.08. Monitorizarea şi evaluarea proiectului

(a) Beneficiarul va menţine sau se va asigura că sunt menţinute politici şi proceduri adecvate care îi permit să monitorizeze şi să evalueze continuu, conform unor indicatori acceptaţi de Asociaţie, progresul Proiectului şi realizarea obiectivelor acestuia.

(b) Beneficiarul va elabora sau se va asigura că sunt elaborate rapoarte periodice (”Raportul proiectului”), într-o formă şi de un conţinut satisfăcător pentru Asociaţie, care conţin rezultatele activităţilor de monitorizare şi evaluare şi prezintă măsurile recomandate pentru a asigura continuarea execuţiei în mod eficient şi eficace a Proiectului, precum şi realizarea obiectivelor acestuia. Beneficiarul va furniza sau va asigura că fiecare Raport al proiectului este furnizat Asociaţiei imediat după elaborarea acestuia, va oferi Asociaţiei o posibilitate rezonabilă de a face schimb de păreri cu Beneficiarul şi cu Entitatea de implementare a proiectului referitor la raportul respectiv, iar apoi va aplica măsurile recomandate, ţinând cont de părerile Asociaţiei privind chestiunea în cauză.

(c) Beneficiarul va elabora, sau se va asigura că este elaborat, şi va furniza Asociaţiei, cel târziu la şase luni de la Data de încheiere, sau la o dată anterioară indicată în acest scop în Acordul de finanţare: (i) un raport, cu sfera de cuprindere şi nivelul de detaliu solicitate în mod rezonabil de către Asociaţie, privind execuţia Proiectului, îndeplinirea de către Beneficiar, Entitatea de implementare a proiectului şi Asociaţie a obligaţiilor care le revin în temeiul Acordurilor juridice şi realizarea scopurilor Finanţării; şi (ii) un plan menit să asigure durabilitatea realizărilor Proiectului.


Secţiunea 4.09. Management financiar, rapoarte financiare, audite

(a) Beneficiarul va menţine sau se va asigura că este menţinut un sistem de management financiar şi va pregăti rapoarte financiare (”Rapoartele financiare”) în conformitate cu standardele de contabilitate aplicate consecvent şi acceptabile pentru Asociaţie, într-un mod adecvat să reflecte operaţiunile, resursele şi cheltuielile legate de Proiect.

(b) Beneficiarul:

(i) va supune periodic Rapoartele financiare auditului de către auditori independenţi acceptabili pentru Asociaţie, în conformitate cu Acordurile juridice şi standardele de audit aplicate consecvent şi acceptabile pentru Asociaţie;

(ii) nu mai târziu de data indicată în Acordurile juridice, va furniza sau se va asigura că sunt furnizate Asociaţiei Rapoartele financiare auditate în acest mod, precum şi alte informaţii privind Rapoartele financiare auditate şi auditorii respectivi, pe care Asociaţia le poate solicita periodic şi în mod rezonabil; şi

(iii) va pune la dispoziţia publicului sau se va asigura că Rapoartele financiare auditate sunt puse la dispoziţia publicului, în timp util şi într-un mod acceptabil pentru Asociaţie.


Secţiunea 4.10. Cooperare şi consultare

Beneficiarul şi Asociaţia vor coopera pe deplin pentru a asigura că scopurile Finanţării şi obiectivele Proiectului vor fi realizate. În acest scop, Beneficiarul şi Asociaţia:

(a) în mod periodic şi la cererea oricăruia dintre ei, vor schimba opinii privind Proiectul, Finanţarea şi îndeplinirea obligaţiilor care le revin în temeiul Acordurilor juridice şi vor oferi celeilalte Părţi toate informaţiile solicitate în mod rezonabil cu privire la acestea; şi

(b) se vor informa reciproc, cu promptitudine, despre orice situaţie care afectează sau ameninţă să afecteze aspectele menţionate.


Secţiunea 4.11. Vizite

(a) Beneficiarul va oferi reprezentanţilor Asociaţiei posibilitatea rezonabilă de a vizita orice parte a teritoriului său, în scopuri care au legătură cu Finanţarea sau cu Proiectul.

(b) Beneficiarul şi Entitatea de implementare a proiectului vor permite reprezentanţilor Asociaţiei: (i) să viziteze orice instalaţii şi şantiere de construcţii incluse în părţile din Proiect care le revin; şi (ii) să examineze bunurile finanţate din mijloacele Finanţării pentru părţile din Proiect care le revin, precum şi orice instalaţii, staţii, şantiere, lucrări, clădiri, proprietăţi, echipamente, evidenţe şi documente relevante pentru îndeplinirea obligaţiilor pe care le au în temeiul Acordurilor juridice.


Secţiunea 4.12.Zona disputată

În cazul în care Proiectul se desfăşoară într-o zonă care este sau devine disputată, nici finanţarea Proiectului de către Asociaţie, nici o denumire a acelei zone sau referire la acea zonă din Acordurile juridice nu are intenţia să fie o opinie din partea Asociaţiei privind statutul juridic sau un alt statut al zonei respective sau să împiedice stabilirea oricăror pretenţii cu privire la zona respectivă.

ARTICOLUL V

Date financiare şi economice


Secţiunea 5.01. Date financiare şi economice

Beneficiarul va furniza Asociaţiei toate informaţiile pe care Asociaţia le solicită în mod rezonabil cu privire la condiţiile financiare şi economice de pe teritoriul său, inclusiv balanţa sa de plăţi şi datoria sa externă, precum şi cele din subdiviziunile sale politice sau administrative şi din oricare entitate deţinută sau controlată de Beneficiar, sau care activează din contul sau în beneficiul Beneficiarului sau al subdiviziunilor sale, şi din oricare instituţie care îndeplineşte funcţiile unei bănci centrale sau unui fond de stabilizare a cursului valutar, sau funcţii similare pentru Beneficiar.

ARTICOLUL VI

Anularea; suspendarea; accelerarea; restituirea grantului


Secţiunea 6.01. Anularea de către Beneficiar

Beneficiarul, prin notificare trimisă Asociaţiei, poate anula orice sumă din Suma finanţării neretrase, cu excepţia că Beneficiarul nu poate anula nici o sumă care face obiectul unui Angajament special.


Secţiunea 6.02. Suspendarea de către Asociaţie

În cazul în care unul din evenimentele specificate în alineatele (a) - (m) din această secţiune s-a produs şi continuă, Asociaţia poate, prin notificarea Beneficiarului, să suspende în întregime sau parţial dreptul Beneficiarului de a face retrageri din Contul finanţării. Suspendarea va continua până când evenimentul (sau evenimentele) respectiv(e) a (au) încetat să existe, cu excepţia cazurilor când Asociaţia a anunţat Beneficiarul că dreptul de a face retrageri a fost restabilit.

(a) Eşecul plăţii. Beneficiarul nu a efectuat plata (sub rezerva faptului că plata respectivă putea fi efectuată de o parte terţă) principalului, dobânzii, taxelor pentru servicii sau oricărei alte sume datorate Asociaţiei sau Băncii: (i) conform Acordului de finanţare; sau (ii) conform unui alt acord între Beneficiar şi Asociaţie; sau (iii) conform unui acord între Beneficiar şi Bancă; sau (iv) ca urmare a unei garanţii extinse sau altei obligaţii financiare de orice fel asumate de către Asociaţie sau de către Bancă faţă de o terţă parte cu acordul Beneficiarului.

(b) Neîndeplinirea obligaţiei.

(i) Beneficiarul nu şi-a îndeplinit o altă obligaţie care îi revine în temeiul Acordului de finanţare.

(ii) Entitatea de implementare a proiectului nu şi-a îndeplinit o obligaţie care îi revine în temeiul Acordului de proiect.

(c) Fraudă şi corupţie Asociaţia stabileşte, în orice moment, că un reprezentant al Beneficiarului sau al Entităţii de implementare a proiectului, sau orice alt destinatar al unor mijloace ale Finanţării, s-a implicat în practici corupte, frauduloase, coercitive sau coluzive în contextul utilizării mijloacelor Finanţării, fără ca Beneficiarul sau Entitatea de implementare a proiectului (sau orice alt destinatar) să fi luat măsuri oportune şi adecvate, satisfăcătoare pentru Asociaţie, pentru a aborda acele practici atunci când au apărut.

(d) Suspendarea încrucişată.

(i) Asociaţia sau Banca a suspendat în întregime sau parţial dreptul Beneficiarului de a face retrageri în temeiul unui acord cu Asociaţia sau cu Banca, din cauza neîndeplinirii de către Beneficiar a obligaţiilor sale în temeiul acordului respectiv.

(ii) Banca a suspendat în întregime sau parţial dreptul unui împrumutat de a face retrageri în temeiul unui acord de împrumut cu Banca, garantat de Beneficiar, din cauza neîndeplinirii de către acel împrumutat a oricăror obligaţii care îi revin în temeiul acordului respectiv.

(e) Situaţie extraordinară. Ca rezultat al evenimentelor care s-au produs după data Acordului de finanţare, a apărut o situaţie extraordinară care face nesigură execuţia Proiectului sau îndeplinirea de către Beneficiar sau de către Entitatea de implementare a proiectului a obligaţiilor ce îi revin în temeiul Acordului juridic la care este parte.

(f) Eveniment anterior intrării în vigoare. Asociaţia a stabilit după Data intrării în vigoare, că anterior acestei date, dar după data Acordului de finanţare, s-a produs un eveniment care ar fi îndreptăţit Asociaţia să suspende dreptul Beneficiarului de a face retrageri din Contul finanţării, dacă Acordul de finanţare ar fi fost în vigoare la data producerii acelui eveniment.

(g) Declaraţie falsă. O declaraţie făcută de Beneficiar în Acordul de finanţare sau ca urmare a acestuia, sau orice declaraţie oferită de către Beneficiar cu intenţia de a fi folosită de către Asociaţie pentru a acorda Finanţarea, care a fost incorectă în orice aspect semnificativ.

(h) Cofinanţare. Se produce oricare din următoarele evenimente în legătură cu o finanţare specificată în Acordul de finanţare, care urmează a fi oferită Proiectului (”Cofinanţare”) de către un finanţator (altul decât Asociaţia sau Banca (”Cofinanţator”).

(i) Dacă Acordul de finanţare prevede o dată până la care acordul cu Cofinanţatorul care oferă Cofinanţarea (”Acordul de cofinanţare”) urmează să intre în vigoare, Acordul de cofinanţare nu a intrat în vigoare până la acea dată, sau o dată ulterioară pe care Asociaţia a anunţat-o Beneficiarului (”Termenul de cofinanţare”); cu condiţia, totuşi, că dispoziţiile din acest punct nu se aplică dacă Beneficiarul stabileşte, spre satisfacţia Asociaţiei, că sunt disponibile fonduri adecvate pentru Proiect din alte surse, în termeni şi condiţii compatibile cu obligaţiile sale în temeiul Acordului de finanţare.

(ii) Sub rezerva punctului (iii) din acest alineat: (A) dreptul de a retrage mijloace ale Cofinanţării a fost suspendat, anulat sau limitat în întregime sau parţial, potrivit termenilor Acordului de cofinanţare; sau (B) Cofinanţarea a devenit scadentă şi plătibilă înainte de scadenţa convenită.

(iii) Punctul (ii) din acest alineat nu se aplică dacă Beneficiarul stabileşte, spre satisfacţia Asociaţiei, că: (A) acea suspendare, anulare, limitare sau accelerare a scadenţei nu are drept cauză neîndeplinirea de către destinatarul Cofinanţării a oricăror obligaţii care îi revin în temeiul Acordului de cofinanţare; şi (B) sunt disponibile fonduri adecvate pentru Proiect, din alte surse, în termeni şi condiţii compatibile cu obligaţiile Beneficiarului în temeiul Acordului de finanţare.

(i) Cesiunea obligaţiilor; dispunerea de bunuri. Beneficiarul sau Entitatea de implementare a proiectului (sau orice altă entitate responsabilă pentru implementarea unei părţi a Proiectului), fără acordul Asociaţiei: (i) a cesionat sau a transferat, în întregime sau parţial, oricare din obligaţiile sale care rezultă sau este angajată potrivit Acordurilor juridice; sau (ii) a vândut, a arendat, a transferat, a cesionat sau a dispus în alt mod de orice bunuri sau active finanţate în întregime sau parţial din mijloacele Finanţării; cu condiţia, totuşi, că dispoziţiile din acest alineat nu se aplică pentru tranzacţiile efectuate pe parcursul desfăşurării normale a activităţii, care, în opinia Asociaţiei: (A) nu afectează semnificativ şi negativ capacitatea Beneficiarului sau a Entităţii de implementare a proiectului (sau a entităţii respective) de a-şi îndeplini oricare din obligaţiile sale care rezultă sau este angajată potrivit Acordurilor juridice sau de a realiza obiectivele Proiectului; şi (B) nu afectează semnificativ şi negativ situaţia financiară sau activitatea Entităţii de implementare a proiectului (sau a entităţii respective).

(j) Calitatea de membru. Beneficiarul: (i) a fost suspendat din Asociaţie sau a încetat să mai fie membru al Asociaţiei; sau (ii) a încetat să mai fie membru al Fondului Monetar Internaţional.

(k) Situaţia Entităţii de implementare a proiectului.

(i) S-a luat o măsură pentru lichidarea, separarea sau suspendarea operaţiunilor Entităţii de implementare a proiectului (sau ale oricărei alte entităţi responsabilă pentru implementarea unei părţi a Proiectului).

(ii) Entitatea de implementare a proiectului (sau orice altă entitate responsabilă pentru implementarea unei părţi a Proiectului) a încetat să mai existe în forma juridică pe care o avea la data Acordului de finanţare.

(iii) În opinia Asociaţiei, caracterul juridic, forma de proprietate sau controlul Entităţii de implementare a proiectului (sau al oricărei alte entităţi responsabilă pentru implementarea unei părţi a Proiectului) nu mai este cea de la data Acordurilor juridice, astfel încât afectează semnificativ şi negativ capacitatea Beneficiarului sau a Entităţii de implementare a proiectului (sau a entităţii respective) de a-şi îndeplini oricare din obligaţiile sale care rezultă sau este angajată potrivit Acordurilor juridice, sau de a realiza obiectivele Proiectului.

(l) Ineligibilitate. Asociaţia sau Banca a declarat Entitatea de implementare a proiectului neeligibilă pentru a primi mijloace dintr-o finanţare oferită de către Asociaţie sau Bancă, sau pentru a participa în alt mod la pregătirea sau implementarea unui proiect finanţat în întregime sau parţial de către Asociaţie sau Bancă, ca rezultat al: (i) stabilirii de către Asociaţie sau Bancă a faptului că Entitatea de implementare a proiectului s-a implicat în practici frauduloase, corupte, coercitive sau coluzive în contextul utilizării mijloacelor dintr-o finanţare acordată de către Asociaţie sau Bancă; şi/sau (ii) unei declaraţii din partea unui alt finanţator privind faptul că Entitatea de implementare a proiectului este neeligibilă pentru a primi mijloace dintr-o finanţare acordată de acest finanţator sau pentru a participa în alt mod la pregătirea sau implementarea unui proiect finanţat în întregime sau parţial de acest finanţator, ca rezultat al stabilirii de către acest finanţator a faptului că Entitatea de implementare a proiectului s-a implicat în practici frauduloase, corupte, coercitive sau coluzive în contextul utilizării mijloacelor dintr-o finanţare acordată de acest finanţator.

(m) Eveniment suplimentar. S-a produs orice alt eveniment specificat în Acordul de finanţare în sensul acestei secţiuni (”Evenimentul adiţional de suspendare”).


Secţiunea 6.03. Anularea de către Asociaţie

În cazul în care unul din evenimentele specificate în alineatele (a) - (e) din această secţiune s-a produs cu privire la o sumă din Suma finanţării neretrase, Asociaţia poate, prin notificarea Beneficiarului, să anuleze dreptul Beneficiarului de a face retrageri cu privire la acea sumă. La transmiterea acestei notificări, suma respectivă din Finanţare va fi anulată.

(a) Suspendarea. Dreptul Beneficiarului de a efectua retrageri din Contul finanţării a fost suspendat pentru orice sumă din Finanţare, pe o perioadă neîntreruptă de treizeci de zile.

(b) Sume care nu sunt necesare. În orice moment, Asociaţia stabileşte, după consultare cu Beneficiarul, că o sumă din Finanţare nu va fi necesară pentru a finanţa Cheltuieli eligibile.

(c) Fraudă şi corupţie Asociaţia stabileşte, în orice moment, cu privire la o sumă din mijloacele Finanţării, că reprezentanţi ai Beneficiarului sau ai Entităţii de implementare a proiectului (sau unui alt destinatar al mijloacelor Finanţării) s-au implicat în practici corupte, frauduloase, coercitive sau coluzive, fără ca Beneficiarul sau Entitatea de implementare a proiectului (sau un alt destinatar al mijloacelor Finanţării) să fi luat măsuri oportune şi adecvate, satisfăcătoare pentru Asociaţie, pentru a aborda acele practici atunci când au apărut.

(d) Achiziţia neconformă. Asociaţia, în orice moment: (i) stabileşte că achiziţia unui contract care va fi finanţat din mijloacele Finanţării nu corespunde cu procedurile prevăzute sau menţionate în Acordurile juridice; şi (ii) stabileşte suma cheltuielilor efectuate în temeiul acelui contract care ar fi fost eligibile în alt mod pentru finanţare din mijloacele Finanţării.

(e) Data de încheiere. După Data de încheiere, rămâne o Sumă a finanţării neretrase.


Secţiunea 6.04. Sumele care fac obiectul unui Angajament special nu sunt afectate de anulare sau suspendare de către Asociaţie

Nici o anulare sau suspendare de către Asociaţie nu se aplică sumelor care fac obiectul unui Angajament special, cu excepţia cazului în care se stipulează expres în Angajamentul special.


Secţiunea 6.05. Aplicarea sumelor anulate la scadenţele creditului

Cu excepţia cazului în care Beneficiarul şi Asociaţia convin altfel, orice sumă anulată din credit se va aplica pro rata la ratele sumei principalului din credit scadente după data unei astfel de anulări.


Secţiunea 6.06. Evenimente de accelerare

Dacă oricare din evenimentele specificate în alineatele (a) - (f) din această secţiune se produce şi continuă pe perioada specificată (în cazul în care există), atunci la orice moment ulterior în timpul continuării evenimentului Asociaţia poate, prin notificarea Beneficiarului, să declare toată Suma creditului retras, sau o parte din aceasta, la data acelei notificări, scadentă şi plătibilă imediat, împreună cu orice alte Plăţi ale finanţării scadente conform Acordului de finanţare sau acestor Condiţii generale. La momentul acestei declaraţii, Suma creditului retras şi Plăţile finanţării devin scadente şi plătibile imediat.

(a) Neîndeplinirea obligaţiilor de plată. Beneficiarul nu şi-a îndeplinit obligaţia de plată a unei sume datorate Asociaţiei sau Băncii: (i) conform Acordului de finanţare; sau (ii) conform unui alt acord între Beneficiar şi Asociaţie; sau (iii) conform unui acord între Beneficiar şi Bancă; sau (iv) ca urmare a unei garanţii extinse sau altei obligaţii financiare de orice fel asumate de către Asociaţie sau de către Bancă faţă de o terţă parte cu acordul Beneficiarului; iar această neîndeplinire a obligaţiei continuă în fiecare caz pe o perioadă de treizeci de zile.

(b) Neîndeplinirea obligaţiilor de executare.

(i) Beneficiarul nu şi-a îndeplinit o altă obligaţie de executare în temeiul Acordului de finanţare, iar această neîndeplinire a obligaţiei continuă pe o perioadă de şaizeci de zile după ce a fost notificată Beneficiarului de către Asociaţie.

(ii) Entitatea de implementare a proiectului nu şi-a îndeplinit o obligaţie de executare în temeiul Acordului de proiect, iar această neîndeplinire a obligaţiei continuă pe o perioadă de şaizeci de zile după ce a fost notificată de către Asociaţie Beneficiarului şi Entităţii de implementare a proiectului.

(c) Cofinanţare. S-a produs evenimentul specificat la punctul (h) (ii) (B) din secţiunea 6.02, sub rezerva prevederilor punctului (h) (iii) din această secţiune.

(d) Cesiunea obligaţiilor; dispunerea de bunuri. S-a produs orice eveniment specificat în alineatul (i) din secţiunea 6.02.

(e) Situaţia Entităţii de implementare a proiectului. S-a produs orice eveniment specificat la punctele (k) (i), (k) (ii), sau (k) (iii) din secţiunea 6.02.

(f) Eveniment suplimentar. Orice alt eveniment specificat în Acordul de finanţare în sensul acestei secţiuni s-a produs şi continuă pe perioada, în cazul în care există, specificată în Acordul de finanţare (”Evenimentul adiţional de accelerare”).


Secţiunea 6.07. Restituirea grantului

(a) Dacă Asociaţia stabileşte că o sumă din Suma grantului retras a fost utilizată într-un mod incompatibil cu dispoziţiile din Acordul de finanţare sau din aceste Condiţii generale, Beneficiarul, după ce a fost anunţat de către Asociaţie, va restitui cu promptitudine Asociaţiei suma respectivă. Această utilizare incompatibilă include, fără limitare:

(i) utilizarea sumei respective pentru a acoperi cheltuieli care nu sunt Cheltuieli eligibile; sau

(ii) (A) implicarea în practici corupte, frauduloase, coercitive sau coluzive, în contextul utilizării sumei respective, sau (B) utilizarea sumei respective pentru a finanţa un contract, în timpul achiziţiei sau execuţiei căruia reprezentanţii Beneficiarului sau ai Entităţii de implementare a proiectului (sau ai altui destinatar al sumei respective din Suma grantului retras) s-au implicat în astfel de practici, în fiecare caz fără ca Beneficiarul sau Entitatea de implementare a proiectului (sau alt destinatar) să fi luat măsuri oportune şi adecvate, satisfăcătoare pentru Asociaţie, pentru a aborda acele practici atunci când au apărut.

(b) Cu excepţia cazurilor în care Asociaţia stabileşte altfel, Asociaţia va anula toate sumele restituite potrivit acestei secţiuni.


Secţiunea 6.08. Eficienţa dispoziţiilor după anulare, suspendare, accelerare sau restituire

Fără a aduce atingere vreunei măsuri de anulare, suspendare, accelerare sau restituire prevăzută de acest articol, toate prevederile din Acordurile juridice îşi vor păstra pe deplin validitatea şi efectul, cu excepţia unor dispoziţii contrare prevăzute în mod specific în aceste Condiţii generale.

ARTICOLUL VII

Caracterul executoriu; arbitrajul


Secţiunea 7.01. Caracterul executoriu

Drepturile şi obligaţiile Beneficiarului şi ale Asociaţiei conform Acordurilor juridice rămân valabile şi executorii în conformitate cu termenii lor, fără a se ţine seama de vreo lege contrară a unui stat sau a unei subdiviziuni politice a acestuia. Nici Beneficiarul, nici Asociaţia nu are dreptul, în orice procedură conform acestui articol, să pretindă că oricare din prevederile acestor Condiţii generale sau ale Acordurilor juridice este nevalabilă sau inaplicabilă din cauza unei prevederi din Statutul Asociaţiei.


Secţiunea 7.02. Incapacitatea de exercitare a drepturilor

Nici o întârziere în exercitarea, şi nici o omisiune privind exercitarea, oricărui drept, putere sau cale de atac la care o parte la Acordurile juridice are dreptul după o neîndeplinire a obligaţiilor nu va aduce atingere respectivului drept, putere sau cale de atac, sau nu va fi interpretată ca o renunţare la respectiva obligaţie sau o consimţire la neîndeplinirea respectivei obligaţii. Nici o acţiune a acelei părţi în legătură cu o neîndeplinire a obligaţiilor sau o consimţire la o neîndeplinire a obligaţiilor nu va afecta sau diminua vreun drept, putere sau cale de atac a acelei părţi în legătură cu o altă neîndeplinire a obligaţiilor.


Secţiunea 7.03. Arbitrajul

(a) Orice controversă între părţile la Acordul de finanţare şi orice pretenţie a uneia din părţi faţă de cealaltă în temeiul Acordului de finanţare, care nu a fost soluţionată prin acordul părţilor, va fi prezentată spre arbitraj unui tribunal de arbitraj (”Tribunalul de Arbitraj”) conform dispoziţiilor următoare.

(b) Părţile la acest arbitraj sunt Beneficiarul şi Asociaţia.

(c) Tribunalul de Arbitraj va fi format din trei arbitri, numiţi astfel: (i) un arbitru numit de către Asociaţie; (ii) un al doilea arbitru numit de către Beneficiar; şi (iii) al treilea arbitru (”Mediatorul”) numit prin acordul părţilor, sau, dacă părţile nu sunt de acord, de către Preşedintele Curţii Internaţionale de Justiţie, sau, în lipsa numirii de către Preşedintele Curţii, numit de către Secretarul General al ONU. Dacă una din părţi nu desemnează un arbitru, acel arbitru este numit de către Mediator. Dacă un arbitru numit în conformitate cu această secţiune demisionează, decedează sau devine incapabil să acţioneze, va fi numit un arbitru succesor, în acelaşi mod prevăzut în această secţiune pentru numirea arbitrului iniţial, iar succesorul va avea toate atribuţiile şi sarcinile arbitrului iniţial.

(d) O procedură de arbitraj se instituie conform acestei secţiuni atunci când partea care iniţiază procedura transmite o înştiinţare celeilalte părţi. Această înştiinţare va conţine o declaraţie prezentând natura controversei sau pretenţiei supuse arbitrajului, natura măsurilor corective şi numele arbitrului numit de partea care iniţiază procedura. În termen de treizeci de zile de la această înştiinţare, cealaltă parte va comunica părţii care iniţiază procedura numele arbitrului numit de către ea.

(e) Dacă, în termen de şaizeci de zile de la înştiinţarea privind iniţierea procedurii de arbitraj, părţile nu au convenit asupra unui Mediator, oricare parte poate cere numirea unui Mediator conform alineatului (c) din această secţiune.

(f) Tribunalul de Arbitraj se convoacă la data şi locul stabilit de către Mediator. Ulterior Tribunalul de Arbitraj va stabili unde şi când se va întruni în şedinţă.

(g) Tribunalul de Arbitraj va decide în toate chestiunile din competenţa sa şi, sub rezerva dispoziţiilor din această secţiune şi cu excepţia cazurilor în care părţile consimt contrariul, va stabili procedura de decizie. Toate deciziile Tribunalului de Arbitraj sunt adoptate cu majoritate de voturi.

(h) Tribunalul de Arbitraj va asigura părţilor o audiere echitabilă, iar decizia sa va fi în scris. Această decizie poate fi emisă în mod implicit. O decizie semnată de majoritatea membrilor Tribunalului de Arbitraj constituie decizia acestui Tribunal. Fiecare parte va primi câte un exemplar semnat al deciziei. Orice astfel de decizie emisă conform dispoziţiilor acestei secţiuni este definitivă şi obligatorie pentru părţile Acordului de finanţare. Fiecare parte va respecta orice decizie a Tribunalului de Arbitraj emisă conform dispoziţiilor acestei secţiuni.

(i) Părţile vor stabili suma remuneraţiei pentru arbitri şi pentru celelalte persoane care sunt necesare desfăşurării procedurilor de arbitraj. Dacă părţile nu convin asupra acestei sume înainte de convocarea Tribunalului de Arbitraj, Tribunalul va stabili suma respectivă, care va fi rezonabilă în circumstanţele date. Fiecare parte îşi va acoperi cheltuielile proprii pentru procedurile de arbitraj. Costurile Tribunalului de Arbitraj vor fi împărţite între părţi şi suportate în mod egal de acestea. Orice problemă legată de împărţirea costurilor Tribunalului de Arbitraj sau de procedura acoperirii acestor costuri va fi soluţionată de către Tribunalul de Arbitraj.

(j) Dispoziţiile cu privire la arbitraj din această secţiune înlocuiesc orice altă procedură de soluţionare a controverselor între părţile Acordului de finanţare sau a oricăror pretenţii ale unei părţi faţă de cealaltă parte în temeiul Acordului de Finanţare.

(k) Dacă, în termen de treizeci de zile de la primirea copiilor deciziei de către părţi, decizia nu a fost respectată, oricare parte poate: (i) să înainteze decizia pronunţată, sau să intenteze un proces de aplicare a deciziei, la orice instanţă a jurisdicţiei competente împotriva celeilalte părţi; (ii) să aplice decizia pronunţată prin executare silită; sau (iii) să solicite orice altă măsură reparatorie corespunzătoare împotriva celeilalte părţi în scopul aplicării deciziei şi dispoziţiilor din Acordul de finanţare. Fără a aduce atingere celor de mai sus, această secţiune nu autorizează nici o înaintare în instanţă sau executare silită a deciziei împotriva Beneficiarului, cu excepţia cazului când procedura respectivă este disponibilă altfel decât ca urmare a dispoziţiilor acestei secţiuni.

(l) Trimiterea înştiinţării sau citaţiei în legătură cu orice procedură în temeiul acestei secţiuni sau în legătură cu o procedură de aplicare a deciziei emise potrivit acestei secţiuni se poate face în modul prevăzut în secţiunea 9.01. Părţile Acordului de finanţare renunţă la orice alte cerinţe privind trimiterea înştiinţării sau citaţiei respective.

ARTICOLUL VIII

Intrarea în vigoare; rezilierea


Secţiunea 8.01. Condiţiile pentru intrarea în vigoare a Acordurilor juridice

Acordurile juridice nu intră în vigoare decât după ce s-au oferit Asociaţiei dovezi satisfăcătoare pentru Asociaţie că au fost îndeplinite condiţiile specificate în alineatele (a) - (c) din această secţiune.

(a) Semnarea şi predarea fiecărui Acord juridic în numele Beneficiarului sau al Entităţii de implementare a proiectului, care este parte la acel Acord juridic, au fost autorizate sau ratificate în mod corespunzător prin toate măsurile guvernamentale şi corporative necesare.

(b) La cererea Asociaţiei, situaţia Entităţii de implementare a proiectului, declarată sau garantată Asociaţiei la data Acordurilor juridice, nu a suferit nici o schimbare negativă semnificativă de la data respectivă.

(c) Orice altă condiţie indicată în Acordul de finanţare drept condiţie a intrării în vigoare a acestuia este respectată (”Condiţie suplimentară pentru intrarea în vigoare”).


Secţiunea 8.02. Avize legale sau certificate

Ca parte a dovezilor care trebuie oferite potrivit secţiunii 8.01, se va oferi Asociaţiei unul sau mai multe avize satisfăcătoare pentru Asociaţie, din partea unor consilieri acceptabili pentru Asociaţie, sau, la cererea Asociaţiei, un certificat satisfăcător pentru Asociaţie, din partea unui oficial competent al Beneficiarului, care să indice următoarele:

(a) în numele Beneficiarului şi al Entităţii de implementare a proiectului, că Acordul juridic la care este parte a fost autorizat sau ratificat în modul cuvenit de către partea respectivă, semnat şi predat în numele părţii respective, şi are forţă juridică asupra părţii respective în conformitate cu termenii săi; şi

(b) orice altă chestiune specificată în Acordul de finanţare, sau solicitată în mod rezonabil de către Asociaţie în legătură cu Acordurile juridice în sensul acestei secţiuni (”Chestiunile juridice adiţionale”).


Secţiunea 8.03. Data intrării în vigoare

(a) Cu excepţia cazului în care Beneficiarul şi Asociaţia convin altfel, Acordurile juridice intră în vigoare la data la care Asociaţia expediază Beneficiarului şi Entităţii de implementare a proiectului înştiinţarea privind acceptarea dovezilor necesare potrivit secţiunii 8.01 (”Data intrării în vigoare”).

(b) Dacă, înainte de Data intrării în vigoare, s-a produs un eveniment care ar fi îndreptăţit Asociaţia să suspende dreptul Beneficiarului de a face retrageri din Contul finanţării, dacă Acordul de finanţare ar fi fost în vigoare, Asociaţia poate amâna expedierea înştiinţării menţionate în alineatul (a) al acestei secţiuni până când evenimentul (sau evenimentele) în cauză a (au) încetat să existe.


Secţiunea 8.04. Rezilierea Acordurilor juridice din cauza neintrării în vigoare

Acordurile juridice şi toate obligaţiile părţilor în temeiul acestora vor înceta dacă Acordurile juridice nu au intrat în vigoare până la data (”Termenul limită pentru intrarea în vigoare”) specificată în Acordul de finanţare în sensul acestei secţiuni, cu excepţia cazurilor când Asociaţia, după examinarea motivelor întârzierii, stabileşte un nou Termen limită pentru intrarea în vigoare în sensul acestei secţiuni. Asociaţia va notifica prompt Beneficiarul şi Entitatea de implementare a proiectului despre noul Termen limită pentru intrarea în vigoare.


Secţiunea 8.05. Rezilierea Acordurilor juridice la îndeplinirea tuturor obligaţiilor

(a) Sub rezerva dispoziţiilor din alineatele (b) şi (c) ale acestei secţiuni, Acordurile juridice şi toate obligaţiile părţilor în temeiul acestora vor înceta de îndată la plata completă a Sumei creditului retras şi a tuturor celorlalte Plăţi ale finanţării datorate.

(b) Dacă Acordul de finanţare prevede o dată până la care anumite dispoziţii ale Acordului de finanţare (altele decât cele referitoare la obligaţiile de plată) încetează, aceste dispoziţii şi toate obligaţiile părţilor în temeiul lor încetează la prima dintre următoarele date: (i) acea dată; şi (ii) data la care Acordul de finanţare încetează în conformitate cu termenii săi.

(c) Dacă Acordul de proiect prevede o dată la care acesta încetează, Acordul de proiect şi toate obligaţiile părţilor în temeiul Acordului de proiect încetează la prima dintre următoarele date: (i) acea dată; şi (ii) data la care Acordul de finanţare încetează în conformitate cu termenii săi. Asociaţia va notifica prompt Entitatea de implementare a proiectului în cazul în care Acordul de finanţare încetează în conformitate cu termenii săi înainte de data prevăzută astfel în Acordul de proiect.

ARTICOLUL IX

Dispoziţii diverse


Secţiunea 9.01. Notificări şi cereri

Orice notificare sau cerere necesară sau acordată în temeiul unui Acord juridic sau unui alt acord între părţile prevăzute în Acordul juridic se va face în scris. Cu excepţia cazului în care se prevede altfel în secţiunea 8.03 (a), o astfel de notificare sau cerere se va considera efectuată atunci când este înmânată sau transmisă prin poştă, telex sau fax (sau, dacă Acordul juridic permite, prin alte mijloace electronice) părţii căreia este necesar sau permis să îi fie livrată sau făcută, la adresa respectivei părţi specificată în Acordul juridic sau la o altă adresă comunicată de către această parte prin notificare către partea care face notificarea sau cererea. Transmiterea făcută prin fax trebuie confirmată şi prin poştă.


Secţiunea 9.02. Acţiuni în numele Beneficiarului şi al Entităţii de implementare a proiectului

(a) Reprezentantul indicat de Beneficiar în Acordul de finanţare (şi reprezentantul indicat de Entitatea de implementare a proiectului în Acordul de proiect) în sensul acestei secţiuni, sau orice persoană autorizată în scris de către acel reprezentant în acest sens, poate lua orice măsură necesară sau care poate fi luată potrivit Acordului juridic respectiv şi poate semna orice documente necesare sau care pot fi semnate potrivit Acordului juridic respectiv în numele Beneficiarului (sau al Entităţii de implementare a proiectului, după caz).

(b) Reprezentantul indicat astfel de către Beneficiar sau persoana autorizată astfel de către acest reprezentant poate conveni asupra oricărei modificări sau amplificări a dispoziţiilor din Acordul de finanţare, în numele Beneficiarului, printr-un instrument scris semnat de acest reprezentant sau persoana autorizată; cu condiţia că, în opinia acestui reprezentant, modificarea sau amplificarea respectivă este rezonabilă în circumstanţele date şi nu va creşte semnificativ obligaţiile Beneficiarului conform Acordului de finanţare. Asociaţia poate accepta semnarea de către acest reprezentant sau altă persoană autorizată a unui astfel de instrument, dacă există probe concludente că acest reprezentant are opinia respectivă.


Secţiunea 9.03. Dovezi ale autorităţii

Beneficiarul şi Entitatea de implementare a proiectului vor furniza Asociaţiei: (a) dovezi suficiente ale autorităţii persoanei sau persoanelor care, în numele părţii respective, vor lua orice măsuri care trebuie sau pot fi luate sau vor semna orice documente care trebuie sau pot fi semnate de către ea/ele conform Acordului juridic la care este parte; şi (b) specimenul autentificat al semnăturii persoanei sau persoanelor respective.


Secţiunea 9.04. Duplicate

Fiecare Acord juridic poate fi întocmit în mai multe exemplare, fiecare din acestea fiind considerat original.


Secţiunea 9.05. Divulgarea

Asociaţia poate publica Acordurile juridice şi orice informaţii referitoare la acestea, în conformitate cu politica sa privind accesul la informaţii, în vigoare la data publicării respective.

ANEXĂ

Definiţii

1. ”Condiţie suplimentară pentru intrarea în vigoare” înseamnă orice condiţie pentru intrarea în vigoare, specificată în Acordul de finanţare în sensul secţiunii 8.01 (c).

2. ”Eveniment adiţional de accelerare” înseamnă orice eveniment de accelerare, specificat în Acordul de finanţare în sensul secţiunii 6.06 (f).

3. ”Eveniment adiţional de suspendare” înseamnă orice eveniment de suspendare, specificat în Acordul de finanţare în sensul secţiunii 6.02 (m).

4. ”Chestiuni juridice adiţionale” înseamnă orice chestiuni specificate în Acordul de finanţare, sau solicitate de către Asociaţie în legătură cu Acordurile juridice în sensul secţiunii 8.02 (b).

5. ”Tribunalul de Arbitraj” înseamnă tribunalul de arbitraj instituit potrivit secţiunii 7.03.

6. ”Asociaţie” înseamnă Asociaţia Internaţională pentru Dezvoltare.

7. ”Adresa Asociaţiei” înseamnă adresa Asociaţiei, specificată în Acordurile juridice în sensul secţiunii 9.01.

8. ”Banca” înseamnă Banca Internaţională pentru Reconstrucţie şi Dezvoltare.

9. ”Data de încheiere” înseamnă data specificată în Acordul de finanţare (sau o dată ulterioară stabilită de către Asociaţie prin notificarea Beneficiarului), după care Asociaţia, prin notificarea Beneficiarului, poate anula dreptul Beneficiarului de a face retrageri din Contul finanţării.

10. ”Cofinanţator” înseamnă finanţatorul (altul decât Asociaţia sau Banca) menţionat în secţiunea 6.02 (h) care oferă Cofinanţarea. Dacă Acordul de finanţare prevede mai mult decât un finanţator, prin ”Cofinanţator” se va înţelege separat fiecare dintre finanţatori.

11. ”Cofinanţare” înseamnă finanţarea menţionată în secţiunea 6.02 (h) şi specificată în Acordul de finanţare, oferită sau care urmează a fi oferită Proiectului de către Cofinanţator. Dacă Acordul de finanţare prevede mai mult decât o finanţare, prin ”Cofinanţare” se va înţelege separat fiecare dintre finanţări.

12. ”Acordul de cofinanţare” înseamnă acordul menţionat în secţiunea 6.02 (h) prin care se oferă Cofinanţarea.

13. ”Termenul de cofinanţare” înseamnă data menţionată în secţiunea 6.02 (h) (i) şi specificată în Acordul de finanţare, până la care Acordul de cofinanţare urmează să intre în vigoare. Dacă Acordul de finanţare prevede mai mult decât o astfel de dată, prin ”Termenul de cofinanţare” se va înţelege separat fiecare dintre aceste date.

14. ”Comisionul de angajament” înseamnă comisionul de angajament datorat de către Beneficiar pentru Suma finanţării neretrase, potrivit secţiunii 3.01.Dacă Finanţarea include un credit şi un grant, ”Comisionul de angajament” se referă separat la comisionul de angajament pentru Suma creditului neretras şi la comisionul de angajament pentru Suma grantului neretras.

15. ”Credit” înseamnă partea din Finanţare specificată în Acordul de finanţare drept credit şi care este rambursabilă potrivit dispoziţiilor din Acordul de finanţare.

16. ”Contul creditului” înseamnă contul deschis de Asociaţie în registrele sale, în numele Beneficiarului, în care este creditată suma creditului.

17. "Moneda" înseamnă moneda unei ţări şi dreptul special de tragere. ”Moneda unei ţări” înseamnă moneda care este mijlocul de plată legal pentru plata datoriilor publice şi private în ţara respectivă.

18. ”Dolar”, ”$” şi "USD" semnifică fiecare moneda legală a Statelor Unite ale Americii.

19. ”Data intrării în vigoare” înseamnă data la care Acordurile juridice intră în vigoare conform secţiunii 8.03 (a).

20. ”Termenul limită pentru intrarea în vigoare” înseamnă data menţionată în secţiunea 8.04, după care Acordurile juridice încetează în cazul în care nu au intrat în vigoare aşa cum prevede secţiunea respectivă.

21. ”Cheltuieli eligibile” înseamnă cheltuieli a căror plată îndeplineşte cerinţele din secţiunea 2.05 şi care, în consecinţă, sunt eligibile pentru finanţare din mijloacele Finanţării.

22. ”Euro”, ”€” şi ”EUR” înseamnă fiecare moneda legală a statelor membre ale Uniunii Europene care au adoptat moneda unică conform Tratatului de instituire a Comunităţii Europene, modificat de Tratatul privind Uniunea Europeană.

23. ”Datoria externă” înseamnă orice datorie care este sau poate deveni plătibilă într-o monedă diferită de moneda ţării Beneficiarului.

24. ”Rapoarte financiare” înseamnă rapoartele financiare care trebuie menţinute pentru Proiect conform secţiunii 4.09.

25. ”Finanţare” înseamnă: (a) creditul, dacă Acordul de finanţare prevede doar un credit; (b) grantul, dacă Acordul de finanţare prevede doar un grant; sau (c) atât creditul, cât şi grantul, dacă Acordul de finanţare prevede atât un credit, cât şi un grant.

26. ”Contul finanţării” înseamnă: (a) Contul creditului, dacă Acordul de finanţare prevede doar un credit; (b) Contul grantului, dacă Acordul de finanţare prevede doar un grant; sau (c) Contul creditului, referitor la credit, şi Contul grantului, referitor la grant, dacă Acordul de finanţare prevede atât un credit, cât şi un grant.

27. “Acord de finanţare” înseamnă acordul de finanţare între Beneficiar şi Asociaţie, care oferă Finanţarea, acest acord putând fi modificat periodic. “Acordul de finanţare” include aceste Condiţii generale aplicate Acordului de finanţare, precum şi toate anexele, graficele şi acordurile care completează Acordul de finanţare.

28. ”Plata finanţării” înseamnă orice sumă datorată Asociaţiei de către Beneficiar potrivit Acordului de finanţare sau acestor Condiţii generale, inclusiv, dar nu numai, orice sumă din Suma creditului retras, Comisionul de deservire, Comisionul de angajament, precum şi orice restituire din Suma grantului retras, datorată de către Beneficiar.

29. ”Cheltuieli externe” înseamnă cheltuieli în moneda unei alte ţări decât ţara Beneficiarului, pentru bunuri, lucrări sau servicii furnizate de pe teritoriul unei alte ţări decât ţara Beneficiarului.

30. ”Grant” înseamnă partea din Finanţare specificată în Acordul de finanţare drept grant.

31. ”Contul grantului” înseamnă contul deschis de Asociaţie în registrele sale, în numele Beneficiarului, în care este creditată suma grantului.

32. ”Acord juridic” înseamnă Acordul de finanţare sau Acordul de proiect. ”Acorduri juridice” înseamnă în mod colectiv toate aceste acorduri.

33. ”Cheltuieli locale” înseamnă cheltuieli: (a) în moneda Beneficiarului; sau (b) pentru bunuri, lucrări sau servicii de pe teritoriul Beneficiarului; cu condiţia, totuşi, că în cazul în care moneda Beneficiarului este şi moneda unei alte ţări de pe teritoriul căreia sunt furnizate bunuri, lucrări sau servicii, cheltuielile în această monedă pentru bunurile, lucrările sau serviciile respective se consideră a fi Cheltuieli locale.

34. ”Rata maximă a comisioanelor pentru obligaţii” înseamnă rata maximă specificată în Acordul de finanţare la care Asociaţia poate stabili Comisionul de angajament potrivit secţiunii 3.01.

35. ”Moneda de plată” înseamnă moneda specificată în Acordul de finanţare, în care se vor efectua Plăţile finanţării potrivit secţiunii 3.07 (a).

36. ”Data plăţii” înseamnă fiecare dată specificată în Acordul de finanţare, care survine la sau după data Acordului de finanţare, la care sunt plătibile Comisioanele de deservire şi Comisioanele de angajament.

37. ”Avans pentru pregătire” înseamnă avansul menţionat în Acordul de finanţare şi rambursabil conform secţiunii 2.07.

38. ”Data de plată a principalului” înseamnă fiecare dată specificată în Acordul de finanţare, la care este plătibilă o rată din suma principalului creditului.

39. ”Proiect” înseamnă proiectul descris în Acordul de finanţare, pentru care se oferă Finanţarea, descrierea proiectului putând fi modificată periodic prin acord între Beneficiar şi Asociaţie.

40. “Acord de proiect” înseamnă acordul între Asociaţie şi Entitatea de implementare a proiectului, cu privire la implementarea întregului Proiect sau a unei părţi din Proiect, acest acord putând fi modificat periodic. “Acordul de proiect” include aceste Condiţii generale aplicate Acordului de proiect, precum şi toate anexele, graficele şi acordurile care completează Acordul de proiect.

41. ”Entitatea de implementare a proiectului” înseamnă o persoană juridică (alta decât Beneficiarul) care este responsabilă pentru implementarea totală sau parţială a Proiectului şi care este parte la Acordul de proiect. Dacă Asociaţia încheie un Acord de proiect cu mai mult decât o entitate, prin ”Entitatea de implementare a proiectului” se va înţelege separat fiecare dintre aceste entităţi.

42. ”Adresa Entităţii de implementare a proiectului” înseamnă adresa Entităţii de implementare a proiectului, specificată în Acordul de proiect în sensul secţiunii 9.01.

43. ”Reprezentantul Entităţii de implementare a proiectului” înseamnă reprezentantul Entităţii de implementare a proiectului, specificat în Acordul de proiect în sensul secţiunii 9.02 (a).

44. ”Raportul proiectului” înseamnă fiecare raport cu privire la Proiect care este elaborat şi prezentat Asociaţiei în sensul secţiunii 4.08 (b).

45. ”Beneficiar” înseamnă membrul Asociaţiei care este parte la Acordul de finanţare şi pentru care este prelungită Finanţarea.

46. ”Adresa Beneficiarului” înseamnă adresa Beneficiarului specificată în Acordul de finanţare în sensul secţiunii 9.01.

47. ”Reprezentantul Beneficiarului” înseamnă reprezentantul Beneficiarului specificat în Acordul de finanţare în sensul secţiunii 9.02.

48. ”Partea din Proiect care îi revine” înseamnă, pentru Beneficiar şi pentru orice Entitate de implementare a proiectului, partea din Proiect specificată în Acordurile juridice care va fi executată de acesta/aceasta.

49. ”Comision de deservire” înseamnă comisionul specificat în Acordul de finanţare în sensul secţiunii 3.02.

FINANCING AGREEMENT

AGREEMENT dated , 2016, entered into between REPUBLIC OF MOLDOVA (“Recipient”) and INTERNATIONAL DEVELOPMENT ASSOCIATION (“Association”) for the purpose of providing financing in support of the Program (as defined in the Appendix to this Agreement). The Association has decided to provide this financing on the basis, inter alia, of (a) the actions which the Recipient has already taken under the Program and which are described in Section I.A of Schedule 1 to this Agreement; and (b) the Recipient′s maintenance of an adequate macroeconomic policy framework. The Recipient and the Association therefore hereby agree as follows:

ARTICLE I – GENERAL CONDITIONS; DEFINITIONS

1.01. The General Conditions (as defined in the Appendix to this Agreement) constitute an integral part of this Agreement.

1.02. Unless the context requires otherwise, the capitalized terms used in this Agreement have the meanings ascribed to them in the General Conditions or in the Appendix to this Agreement.

ARTICLE II – FINANCING

2.01. The Association agrees to extend to the Recipient, on the terms and conditions set forth or referred to in this Agreement, a credit in the following amounts, which in the aggregate equal to an amount equivalent to thirteen million Special Drawing Rights (SDR 13,000,000) (variously, “Credit” and “Financing”):

(a) ten million Special Drawing Rights (SDR 10,000,000) (“Portion A of the Credit”); and

(b) three million Special Drawing Rights (SDR 3,000,000) (“Portion B of the Credit”).

2.02. The Recipient may withdraw the proceeds of the Financing in support of the Program in accordance with Section II of Schedule 1 to this Agreement.

2.03. The Maximum Commitment Charge Rate payable by the Recipient on the Unwithdrawn Financing Balance shall be one-half of one percent (1/2 of 1%) per annum.

2.04. The Service Charge payable by the Recipient on the Withdrawn Credit Balance shall be equal to three-fourths of one percent (3/4 of 1%) per annum.

2.05. (a) The Interest Charge payable by the Recipient on the Withdrawn Credit Balance of Portion A of the Credit shall be equal to one and a quarter percent (1.25%) per annum.

(b) The Interest Charge payable by the Recipient on the Withdrawn Credit Balance of Portion B of the Credit shall be equal to one and thirteen hundredths percent (1.13%) per annum.

2.06. The Payment Dates are May 15 and November 15 in each year.

2.07. The principal amount of the Credit shall be repaid in accordance with the repayment schedule set forth in Schedule 2 to this Agreement.

2.08. The Payment Currency is Dollar.

2.09. Without limitation upon the provisions of Section 4.08 of the General Conditions (renumbered as such pursuant to paragraph 4 of Section II of the Appendix to this Agreement and relating to Cooperation and Consultation), the Recipient shall promptly furnish to the Association such information relating to the provisions of this Article II as the Association may, from time to time, reasonably request.

ARTICLE III – PROGRAM

3.01. The Recipient declares its commitment to the Program and its implementation. To this end, and further to Section 4.08 of the General Conditions:

(a) the Recipient and the Association shall from time to time, at the request of either party, exchange views on the Recipient′s macroeconomic policy framework and the progress achieved in carrying out the Program;

(b) prior to each such exchange of views, the Recipient shall furnish to the Association for its review and comment a report on the progress achieved in carrying out the Program, in such detail as the Association shall reasonably request; and

(c) without limitation upon the provisions of paragraphs (a) and (b) of this Section, the Recipient shall promptly inform the Association of any situation that would have the effect of materially reversing the objectives of the Program or any action taken under the Program including any action specified in Section I of Schedule 1 to this Agreement.

ARTICLE IV – REMEDIES OF THE ASSOCIATION

4.01. The Additional Event of Suspension consists of the following, namely, that a situation has arisen which shall make it improbable that the Program, or a significant part of it, will be carried out.

ARTICLE V – EFFECTIVENESS; TERMINATION

5.01. The Additional Conditions of Effectiveness consist of the following:

(a) The Association is satisfied with the progress achieved by the Recipient in carrying out the Program and with the adequacy of the Recipient′s macroeconomic policy framework; and

(b) The Loan Agreement has been executed and delivered and all conditions precedent to its effectiveness or to the right of the Recipient to make withdrawals under it (other than the effectiveness of the Financing Agreement) have been fulfilled.

5.02. The Effectiveness Deadline is the date ninety (90) days after the date of this Agreement.

5.03. For purposes of Section 8.05 (b) of the General Conditions, the date on which the obligations of the Recipient under this Agreement (other than those providing for payment obligations) shall terminate is twenty (20) years after the date of this Agreement.

Program Actions; Availability of Financing Proceeds

Section I. Actions under the Program

A. Actions Taken Under the Program. The actions taken by the Recipient under the Program include the following:

Pillar A: Strengthen the regulatory framework to improve predictability of the business environment, facilitate competition and reduce regulatory compliance costs

1. The Recipient has enacted amendments to the Law on State Control of Entrepreneurial Activity (Law No. 131 dated June 8, 2012 and published in the Official Gazette No. 181-184/595 on August 31, 2012) which aim to reduce compliance costs of state inspections, as evidenced by Law No. 230 on Amendment and Completion of Some Legislative Acts, dated September 23, 2016, and published in the Official Gazette No. 369-378 on October 28, 2016.

2. The Recipient has issued a decree establishing an institutional mechanism for information collection on all state aid under the Law on State Aid (Law No. 139 dated June 15, 2012 and published in the Official Gazette No. 166-169a/565 on August 16, 2012) and state aid secondary legislation, as evidenced by Decision No. 378 on Approving the Concept of Automated Information System: State Aid Register, dated May 27, 2014 and published in the Official Gazette No. 142-146/427 on June 3, 2014.

Pillar B: Strengthen financial sector stability, promote transparency of shareholding and ease conditions for access to finance

3. The Recipient has enacted amendments to the Law on the National Bank of Moldova (Law No. 548-XIII, dated July 21, 1995, published in the Official Gazette No. 56-57/624 on October 12, 1995, and republished in the Official Gazette No. 297-300/544 on October 30, 2015) to consolidate the corporate securities registration function into a single central securities depository, as evidenced by the enactment of Law No. 62 on Amending and Supplementing Certain Acts, dated April 8, 2016 and published in the Official Gazette No. 123-127/248 on May 6, 2016.

4. The Recipient has enacted legislative amendments to strengthen the independence of financial market supervisors by: (i) strengthening the framework for contesting acts of the National Bank of Moldova related to banking regulation and supervision; (ii) providing legal protection to all employees of the National Bank of Moldova and of the National Commission for Financial Markets in case of lawsuits for actions taken in good faith; and (iii) removing the Ministry of Justice′s power to amend the content of National Bank of Moldova and National Commission for Financial Markets regulations, as evidenced by the enactment of:

(a) Law No. 108 on Approving of Amendments and Completion of Some Legislative Acts dated June 19, 2014 and published in the Official Gazette No. 238-246/539 on August 15, 2014; and

(b) Law No. 62 on Amending and Supplementing Certain Acts, dated April 8, 2016 and published in the Official Gazette No. 123-127/248 on May 6, 2016.

5. The National Bank of Moldova has withdrawn the licenses from Banca de Economii S.A., Banca Sociala, S.A. and Unibank, S.A. and initiated the liquidation of said banks, as evidenced by:

(a) Decision No. 62 of the National Bank of Moldova on Approving of the Withdrawal of the License for Conducting Financial Activities and Initiation of the Liquidation Process of JS BEM, dated October 16, 2015 and published in the Official Gazette No. 291-295/2177 on October 23, 2015;

(b) Decision No. 63 of the National Bank of Moldova on Approving the Withdrawal of the License for Conducting Financial Activities and Initiation of the Liquidation Process of JS Banca Sociala, dated October 16, 2015 and published in the Official Gazette No. 291-295/2178 on October 23, 2015; and

(c) Decision No. 64 of the National Bank of Moldova on Approving the Withdrawal of the License for Conducting Financial Activities and Initiation of the Liquidation Process of JS Unibank, dated October 16, 2015 and published in the Official Gazette No. 291-295/2179 on October 23, 2015.

6. The National Bank of Moldova has issued an order on launching special audits (diagnostic studies) for Moldova′s three largest Banks (Victoriabank S.A., Moldindconbank S.A., and Moldova Agroindbank S.A.), as evidenced by:

(a) Decision No. 156 of the National Bank of Moldova on Establishment of Special Surveillance at Moldindconbank S.A. adopted on June 11, 2015;

(b) Decision No. 157 of the National Bank of Moldova on Establishment of Special Surveillance at Victoriabank S.A. adopted on June 11, 2015; and

(c) Decision No. 158 of the National Bank of Moldova on Establishment of Special Surveillance at Moldova Agroindbank S.A. adopted on June 11, 2015.

7. The Recipient has enacted amendments to the Law on Pledge (Law No. 449-XV dated July 30, 2001 and published in the Official Gazette No. 120/863 on October 2, 2001 and republished in the Official Gazette No. 345-351/655 on November 21, 2014) to facilitate the use of movable assets as collateral, as evidenced by the enactment of Law No. 173 on approving of Amendments and Completion of Some Legislative Acts dated July 25, 2014 and published in the Official Gazette No. 231-237/531 on August 8, 2014.

8. The Recipient has approved a policy requiring the State Treasury within the Ministry of Finance, and fully or majority state-owned companies, to conduct price-based public tenders for banking services which incorporate at least the regulatory minimum required capital adequacy and liquidity ratios, as evidenced by:

(a) Government Decision No. 387 on Approving the Regulation on the Procurement of Financial Services by the State and Municipal Enterprises and Trading Companies with Integral or Majority Public Capital, dated May 28, 2014 and published in the Official Gazette No. 142-146/431 on June 3, 2014; and

(b) Government Decision No. 428 on Approving the Selection of Banking Services of Financial Institutions for Public Institutions and Authorities, dated June 9, 2014 and published in the Official Gazette No. 153-159/468 on June 13, 2014.

Pillar C: Improve the public investment management framework, make investment subsidies in agriculture more efficient and equitable and improve the coverage well-targeted social assistance programs

9. The Recipient has strengthened the regulatory framework for public investment management by: (i) enacting provisions of the Law on Public Finance and Fiscal Budgetary Responsibility (defined in paragraph (a) below) on the principles of the public investment management system and public investment financing; (ii) amending the Regulation on Public Capital Investment (Government Decision No. 1029 on Approving the Principles of Public Capital Investment dated December 19, 2013 and published in the Official Gazette No. 311/1157 on December 27, 2013) to expand its coverage; and (iii) adopting guidelines for the project preparation cycle, as evidenced by:

(a) Law No.181 on Approving of Public Finance and Fiscal Budgetary Responsibility dated July 25, 2014 and published in Official Gazette No. 223-230/519 on August 8, 2014;

(b) Government Decision No.1181 on Approving the Amendments to Appendix 3 to the Government Decision No.1029 dated December 19, 2013, adopted on October 26, 2016 and published in Official Gazette No. 369-378 /1276 on October 28, 2016; and

(c) Order No. 185 from Ministry of Finance on Approving the Instructions on the Management of Capital Investment Projects dated November 3, 2015 and published in Official Gazette No. 361-369/2695 on December 31, 2015.

10. The Recipient has adopted the regulation on the agricultural support fund for agricultural producers for 2016, which: (i) narrows the scope of the largest investment subsidy program; and (ii) caps, or reduces the caps of, subsidy sizes allowed for each beneficiary, as evidenced by Government Decision No. 910 dated July 25, 2016 and published in the Official Gazette No. 247-255/996 on August 5, 2016.

11. The Recipient has adjusted the parameters of the Ajutor Social benefit program by increasing the eligibility threshold to Moldovan Lei 900 Guaranteed Minimum Income (GMI) in the amendments to the 2015 Budget Law (Law No. 72 on State Budget for 2015 dated April 12, 2015 and published in the Official Gazette No. 102-104/172 on April 28, 2015), as evidenced by Law No. 200 on Amendments to the State Budget for 2015 dated November 20, 2015 and published in the Official Gazette No. 330-331/629 on December 8, 2015.

Section II. Availability of Credit Proceeds

A. General.  The Recipient may withdraw the proceeds of the Credit in accordance with the provisions of this Section and such additional instructions as the Association may specify by notice to the Recipient.

B. Allocation of Credit Amounts. The Credit is allocated in a single withdrawal tranche, from which the Recipient may make withdrawals of the Credit. The allocation of the amounts of the Credit to this end is set out in the table below:

C. Withdrawal Tranche Release Conditions

1. No withdrawal shall be made of the Single Withdrawal Tranche unless the Association is satisfied: (a) with the Program being carried out by the Recipient; and (b) with the adequacy of the Recipient′s macroeconomic policy framework.

D. Deposits of Credit Amounts. Except as the Association may otherwise agree:

1. all withdrawals from the Credit Account shall be deposited by the Association into an account designated by the Recipient and acceptable to the Association; and

2. the Recipient shall ensure that upon each deposit of an amount of the Credit into this account, an equivalent amount is accounted for in the Recipient′s budget management system, in a manner acceptable to the Association.

E. Excluded Expenditures. The Recipient undertakes that the proceeds of the Credit shall not be used to finance Excluded Expenditures. If the Association determines at any time that an amount of the Credit was used to make a payment for an Excluded Expenditure, the Recipient shall, promptly upon notice from the Association, refund an amount equal to the amount of such payment to the Association. Amounts refunded to the Association upon such request shall be cancelled.

F. Closing Date. The Closing Date is September 30, 2017.

APPENDIX

Section I. Definitions

1. “Ajutor Social” means the Recipient′s social benefit program which aims to ensure a minimum monthly income guaranteed to disadvantaged families by granting welfare payments determined in accordance with the average monthly income of each family and the need for social assistance, as set forth in Law No. 133 dated June 13, 2008 and published in the Official Gazette No. 179/625 on September 30, 2008.

2. “Excluded Expenditure” means any expenditure:

(a) for goods or services supplied under a contract which any national or international financing institution or agency other than the Association or the Bank has financed or agreed to finance, or which the Association or the Bank has financed or agreed to finance under another credit, grant or loan;

(b) for goods included in the following groups or sub-groups of the Standard International Trade Classification, Revision 3 (SITC, Rev.3), published by the United Nations in Statistical Papers, Series M, No. 34/Rev.3 (1986) (the SITC), or any successor groups or subgroups under future revisions to the SITC, as designated by the Association by notice to the Recipient:

(c) for goods intended for a military or paramilitary purpose or for luxury consumption;

(d) for environmentally hazardous goods, the manufacture, use or import of which is prohibited under the laws of the Recipient or international agreements to which the Recipient is a party;

(e) on account of any payment prohibited by a decision of the United Nations Security Council taken under Chapter VII of the Charter of the United Nations; and

(f) with respect to which the Association determines that corrupt, fraudulent, collusive or coercive practices were engaged in by representatives of the Recipient or other recipient of the Financing proceeds, without the Recipient (or other such recipient) having taken timely and appropriate action satisfactory to the Association to address such practices when they occur.

3. “Loan Agreement” means the agreement between the Recipient and the Bank in support of the Program, of the same date as this Agreement, as such agreement may be amended from time to time. “Loan Agreement” includes all appendices, schedules and agreements supplemental to the Loan Agreement.

4. “General Conditions” means the “International Development Association General Conditions for Credits and Grants”, dated July 31, 2010 with the modifications set forth in Section II of this Appendix.

5. “Program” means the program of actions, objectives and policies designed to promote growth and achieve sustainable reductions in poverty and set forth or referred to in the letter dated November 8, 2016 from the Recipient to the Association declaring the Recipient′s commitment to the execution of the Program, and requesting assistance from the Association in support of the Program during its execution, as well as the actions listed in Section I.A of Schedule 1 of this Agreement.

6. “Single Withdrawal Tranche” means the amount of the Financing allocated to the category entitled “Single Withdrawal Tranche” in the table set forth in Part B of Section II of Schedule 1 to this Agreement.

Section II. Modifications to the General Conditions

The General Conditions are hereby modified as follows:

1. The last sentence of paragraph (a) of Section 2.03 (relating to Applications for Withdrawal) is deleted in its entirety.

2. Sections 2.04 (Designated Accounts) and 2.05 (Eligible Expenditures) are deleted in their entirety, and the subsequent Sections in Article II are renumbered accordingly.

3. Section 3.02 is modified to read as follows:

“Section 3.02. Service Charge and Interest Charge

(a) Service Charge. The Recipient shall pay the Association a service charge on the Withdrawn Credit Balance at the rate specified in the Financing Agreement. The Service Charge shall accrue from the respective dates on which amounts of the Credit are withdrawn and shall be payable semi-annually in arrears on each Payment Date. Service Charges shall be computed on the basis of a 360-day year of twelve 30-day months.

(b) Interest Charge. The Recipient shall pay the Association interest on the Withdrawn Credit Balance at the rate specified in the Financing Agreement. Interest shall accrue from the respective dates on which amounts of the Credit are withdrawn and shall be payable semi-annually in arrears on each Payment Date. Interest shall be computed on the basis of a 360-day year of twelve 30-day months.”

4. Sections 4.01 (Project Execution Generally) and 4.09 (Financial Management; Financial Statements; Audits) are deleted in their entirety, and the remaining Sections in Article IV are renumbered accordingly.

5. Paragraph (a) of Section 4.05 (renumbered as such pursuant to paragraph 4 above and relating to Use of Goods, Works and Services) is deleted in its entirety.

6. Paragraph (c) of Section 4.06 (renumbered as such pursuant to paragraph 4 above) is modified to read as follows:

“Section 4.06. Plans; Documents; Records

… (c) The Recipient shall retain all records (contracts, orders, invoices, bills, receipts and other documents) evidencing expenditures under the Financing until two years after the Closing Date. The Recipient shall enable the Association′s representatives to examine such records.”

7. Paragraph (c) of Section 4.07 (renumbered as such pursuant to paragraph 4 above) is modified to read as follows:

“Section 4.07. Program Monitoring and Evaluation

… (c) The Recipient shall prepare, or cause to be prepared, and furnish to the Association not later than six months after the Closing Date, a report of such scope and in such detail as the Association shall reasonably request, on the execution of the Program, the performance by the Recipient and the Association of their respective obligations under the Legal Agreements and the accomplishment of the purposes of the Financing.”

8. The following terms and definitions set forth in the Appendix are modified or deleted as follows, and the following new terms and definitions are added in alphabetical order to the Appendix as follows, with the terms being renumbered accordingly:

(a) The definition of the term “Eligible Expenditure” is modified to read as follows:

“‘Eligible Expenditure′ means any use to which the Financing is put in support of the Program, other than to finance expenditures excluded pursuant to the Financing Agreement.”

(b) The term “Financial Statements” and its definition as set forth in the Appendix are deleted in their entirety.

(c) The term “Financing Payment” is modified by inserting the words “the Interest Charge” between the words “the Service Charge” and “the Commitment Charge”.

(d) A new term called “Interest Charge” is added to read as follows:

““Interest Charge” means the interest charge specified in the Financing Agreement for the purpose of Section 3.02(b).”

(e) The term “Payment Date” is modified by inserting the words “Interest Charges” between the words “Service Charges” and “Commitment Charges”.

(f) The term “Project” is modified to read “Program” and its definition is modified to read as follows:

““Program” means the program referred to in the Financing Agreement in support of which the Financing is made.” All references to “Project” throughout these General Conditions are deemed to be references to “Program”.

(g) The term “Service Charge” is modified by replacing the reference to Section 3.02 with Section 3.02 (a).

1. We understand and agree that, for purposes of Section 5.01 of the General Conditions, the Member Country is required by the Association to report “long-term external debt” (as defined in the World Bank′s Debtor Reporting System Manual, dated January 2000 (DRSM)), in accordance with the DRSM, and in particular, to notify the Association of new “loan Commitments” (as defined in the DRSM) not later than 30 days after the end of the quarter during which the debt is incurred, and to notify the Association of “transactions under loans” (as defined in the DRSM) once a year, not later than March 31 of the year following the year covered by the report.

2. We represent that no defaults exist in respect of any external debt (as defined in the DRSM). It is our understanding that, in making the Financing, the Association may rely on the representations set forth or referred to in this letter.

General Conditions for Credits and Grants

ARTICLE I

Introductory Provisions

Section 1.01. Application of General Conditions

These General Conditions set forth certain terms and conditions generally applicable to the Financing Agreement and to any other Legal Agreement. They apply to the extent the Legal Agreement so provides. If there is no Project Agreement between the Association and a Project Implementing Entity, references in these General Conditions to the Project Implementing Entity and the Project Agreement shall be disregarded.

Section 1.02. Inconsistency with Legal Agreements

If any provision of any Legal Agreement is inconsistent with a provision of these General Conditions, the provision of the Legal Agreement shall govern.

Section 1.03. Definitions

Whenever used in these General Conditions or in the Legal Agreements (except as otherwise provided in the Legal Agreements), the terms set forth in the Appendix have the meanings ascribed to them in the Appendix.

Section 1.04. References, Headings

References in these General Conditions to Articles, Sections and Appendix are to the Articles and Sections of, and the Appendix to, these General Conditions. The headings of the Articles, Sections and Appendix, and the Table of Contents are inserted in these General Conditions for reference only and shall not be taken into consideration in interpreting these General Conditions.

ARTICLE II

Withdrawals

Section 2.01. Financing Account, Withdrawals Generally, Currency of Withdrawals

(a) The Association shall credit the amount of the Financing to the Financing Account in Special Drawing Rights.

(b) The Recipient may from time to time request withdrawals of amounts of the Financing from the Financing Account in accordance with the provisions of the Financing Agreement and of these General Conditions.

(c) Each withdrawal of an amount of the Financing from the Financing Account shall be made in such Currency or Currencies as the Recipient shall reasonably request to meet payments for Eligible Expenditures. The amount of each withdrawal from the Financing Account shall be calculated as the equivalent in terms of Special Drawing Rights (determined as of the date of withdrawal) of the Currency or Currencies so

requested.

Section 2.02. Special Commitment by the Association

At the Recipient's request and on such terms and conditions as the Recipient and the Association shall agree, the Association may enter into special commitments in writing to pay amounts for Eligible Expenditures notwithstanding any subsequent suspension or cancellation by the Association or the Recipient (“Special Commitment”).

Section 2.03. Applications for Withdrawal or for Special Commitment

(a) When the Recipient wishes to request a withdrawal from the Financing Account or to request the Association to enter into a Special Commitment, the Recipient shall deliver to the Association a written application in such form and substance as the Association shall reasonably request. Applications for withdrawal, including the documentation required pursuant to this Article, shall be made promptly in relation to Eligible Expenditures.

(b) The Recipient shall furnish to the Association evidence satisfactory to the Association of the authority of the person or persons authorized to sign such applications and the authenticated specimen signature of each such person.

(c) The Recipient shall furnish to the Association such documents and other evidence in support of each such application as the Association shall reasonably request, whether before or after the Association has permitted any withdrawal requested in the application.

(d) Each such application and accompanying documents and other evidence must be sufficient in form and substance to satisfy the Association that the Recipient is entitled to withdraw from the Financing Account the amount applied for and that the amount to be withdrawn from the Financing Account will be used only for the purposes specified in the Financing Agreement.

(e) The Association shall pay the amounts withdrawn by the Recipient from the Financing Account only to, or on the order of, the Recipient.

Section 2.04. Designated Accounts

(a) The Recipient may open and maintain one or more designated accounts into which the Association may, at the request of the Recipient, deposit amounts withdrawn from the Financing Account as advances for purposes of the Project. All designated accounts shall be opened in a financial institution acceptable to the Association, and on terms and conditions acceptable to the Association.

(b) Deposits into, and payments out of, any such designated account shall be made in accordance with the Financing Agreement and these General Conditions and such additional instructions as the Association may specify from time to time by notice to the Recipient. The Association may, in accordance with the Financing Agreement and such instructions, cease making deposits into any such account upon notice to the Recipient. In such case, the Association shall notify the Recipient of the procedures to be used for subsequent withdrawals from the Financing Account.

Section 2.05. Eligible Expenditures

The Recipient and the Project Implementing Entity shall use the proceeds of the Financing exclusively to finance expenditures which, except as otherwise provided in the Financing Agreement, satisfy the following requirements (“Eligible Expenditures”):

(a) the payment is for the financing of the reasonable cost of goods, works or services required for the Project, to be financed out of the proceeds of the Financing and procured, all in accordance with the provisions of the Legal Agreements;

(b) the payment is not prohibited by a decision of the United Nations Security Council taken under Chapter VII of the Charter of the United Nations; and

(c) the payment is made on or after the date specified in the Financing Agreement, and except as the Association may otherwise agree, is for expenditures incurred prior to the Closing Date.

Section 2.06. Financing Taxes

The use of any proceeds of the Financing to pay for Taxes levied by, or in the territory of, the Recipient on or in respect of Eligible Expenditures, or on their importation, manufacture, procurement or supply, if permitted by the Financing Agreement, is subject to the Association′s policy of requiring economy and efficiency in the use of the proceeds of its credits and grants. To that end, if the Association at any time determines that the amount of any such Tax is excessive, or that such Tax is discriminatory or otherwise unreasonable, the Association may, by notice to the Recipient, adjust the percentage of such Eligible Expenditures to be financed out of the proceeds of the Financing specified in the Financing Agreement, as required to ensure consistency with such policy of the Association.

Section 2.07. Refinancing Preparation Advance

If the Financing Agreement provides for the repayment out of the proceeds of the Financing of an advance made by the Bank or the Association (“Preparation Advance”), the Association shall, on behalf of the Recipient, withdraw from the Financing Account on or after the Effective Date the amount required to repay the withdrawn and outstanding balance of the advance as at the date of such withdrawal from the Financing Account and to pay all accrued and unpaid charges, if any, on the advance as at such date. The Association shall pay the amount so withdrawn to itself or the Bank, as the case may be, and shall cancel the remaining unwithdrawn amount of the advance.

Section 2.08. Reallocation

Notwithstanding any allocation of an amount of the Financing to a category of expenditures under the Financing Agreement, if the Association reasonably determines at any time that such amount will be insufficient to finance such expenditures, it may, by notice to the Recipient:

(a) reallocate any other amount of the Financing which in the opinion of the Association is not needed for the purpose for which it has been allocated under the Financing Agreement, to the extent required to meet the estimated shortfall; and

(b) if such reallocation will not fully meet the estimated shortfall, reduce the percentage of such expenditures to be financed out of the proceeds of the Financing, in order that further withdrawals for such expenditures may continue until all such expenditures have been made.

ARTICLE III

Financing Terms

Section 3.01. Commitment Charge

(a) The Recipient shall pay the Association a commitment charge on the Unwithdrawn Financing Balance at the rate set by the Association as of June 30 of each year (“Commitment Charge”), which shall not exceed the rate specified in the Financing Agreement (“Maximum Commitment Charge Rate”).

(b) The Commitment Charge shall accrue from a date sixty days after the date of the Financing Agreement to the respective dates on which amounts are withdrawn by the Recipient from the Financing Account or cancelled. The Commitment Charge shall accrue at the rate set as of the June 30 immediately preceding the accrual date and at such other rate as may be set from time to time thereafter pursuant to this Section. The rate set as of June 30 in each year shall be applied from the next Payment Date in that year. The Commitment Charge shall be payable semi-annually in arrears on each Payment Date. The Commitment Charge shall be computed on the basis of a 360-day year of twelve 30- day months.

(c) The Association shall notify the Recipient of the applicable Commitment Charge promptly upon its determination.

Section 3.02. Service Charge

The Recipient shall pay the Association a service charge on the Withdrawn Credit Balance at the rate specified in the Financing Agreement. The service charge shall accrue from the respective dates on which amounts of the Credit are withdrawn and shall be payable semi-annually in arrears on each Payment Date. Service Charges shall be computed on the basis of a 360-day year of twelve 30-day months.

Section 3.03. Repayment of the Credit

(a) Repayment Generally. Subject to the provisions of paragraph (b) of this Section, the Recipient shall repay the Withdrawn Credit Balance to the Association in installments as provided in the Financing Agreement.

(b) Accelerated Repayment.

(i) The Association may modify the repayment of installments of the Withdrawn Credit Balance as provided in the Financing Agreement in accordance with sub-paragraph (ii) or (iii) of this paragraph whenever all of the following events have occurred: (A) the Recipient′s per capita gross national income, as determined by the Association, has exceeded for three consecutive years the level established annually by the Association for determining eligibility to access the Association′s resources; (B) the Bank considers the Recipient creditworthy for Bank lending; and (C) after due consideration of the development of the Recipient′s economy, the Executive Directors of the Association have reviewed and approved such modification.

(ii) The Association shall, upon the occurrence of the events referred to in paragraph (b) (i) of this Section: (A) require the Recipient to repay twice the amount of each installment of the Withdrawn Credit Balance not yet due until the Credit has been fully repaid; and (B) require the Recipient to commence such repayment as of the first semiannual Principal Payment Date falling six months or more after the date on which the Association notifies the Recipient that such events have occurred; provided, however, that there shall be a grace period of a minimum of five years on such repayment.

(iii) Alternatively, if so requested by the Recipient, the Association may revise the terms specified in sub-paragraph (ii) of this paragraph to include, in lieu of some or all of the increase in the amounts of such installments, the payment of interest at an annual rate agreed with the Association on the Withdrawn Credit Balance; provided that, in the judgment of the Association, such revision shall not change the grant element provided under such terms.

(iv) If, at any time after the repayment terms have been modified pursuant to sub-paragraph (i) of this Section, the Association determines that the Recipient′s economic condition has deteriorated significantly, the Association may, if so requested by the Recipient, further revise the terms of repayment of the Withdrawn Credit Balance to conform to the schedule of installments originally provided in the Financing Agreement, taking into account any repayments already made by the Recipient.

Section 3.04. Prepayment

The Recipient may repay the Association in advance of maturity all or any part of the principal amount of one or more maturities of the Credit specified by the Recipient.

Section 3.05. Partial Payment

If the Association at any time receives less than the full amount of any Financing Payment then due, it shall have the right to allocate and apply the amount so received in any manner and for such purposes under the Financing Agreement as it determines in its sole discretion.

Section 3.06. Place of Payment

All Financing Payments shall be paid at such places as the Association shall reasonably request.

Section 3.07. Currency of Payment

(a) The Recipient shall pay all Financing Payments in the Currency specified in the Financing Agreement (“Payment Currency”).

(b) If the Recipient shall so request, the Association shall, acting as agent of the Recipient, and on such terms and conditions as the Association shall determine, purchase the Payment Currency for the purpose of paying a Financing Payment upon timely payment by the Recipient of sufficient funds for that purpose in a Currency or Currencies acceptable to the Association; provided, however, that the Financing Payment shall be deemed to have been paid only when and to the extent that the Association has received such payment in the Payment Currency.

Section 3.08. Amount of Repayment

The Withdrawn Credit Balance repayable shall be the equivalent (determined as of the date, or the respective dates, of repayment) of the value of the Currency or Currencies withdrawn from the Credit Account expressed in terms of Special Drawing Rights as of the respective dates of withdrawal.

Section 3.09. Valuation of Currencies

Whenever it becomes necessary for the purposes of any Legal Agreement, to determine the value of one Currency in terms of another, such value shall be as reasonably determined by the Association.

Section 3.10. Manner of Payment

(a) Any Financing Payment required to be paid to the Association in the Currency of any country shall be paid in such manner, and in Currency acquired in such manner, as shall be permitted under the laws of such country for the purpose of making such payment and effecting the deposit of such Currency to the account of the Association with a depository of the Association authorized to accept deposits in such Currency.

(b) All Financing Payments shall be paid without restrictions of any kind imposed by, or in the territory of, the Recipient, and without deduction for, and free from, any Taxes levied by, or in the territory of, the Recipient.

(c) The Legal Agreements shall be free from any Taxes levied by, or in the territory of the Recipient, or in connection with their execution, delivery or registration.

ARTICLE IV

Project Execution

Section 4.01. Project Execution Generally

The Recipient and the Project Implementing Entity shall carry out their Respective Parts of the Project:

(a) with due diligence and efficiency;

(b) in conformity with appropriate administrative, technical, financial, economic, environmental and social standards and practices; and

(c) in accordance with the provisions of the Legal Agreements and these General Conditions.

Section 4.02. Performance under the Project Agreement

The Recipient shall: (a) cause the Project Implementing Entity to perform all of the obligations of the Project Implementing Entity set forth in the Project Agreement in accordance with the provisions of the Project Agreement; and (b) not take or permit to be taken any action which would prevent or interfere with such performance.

Section 4.03. Provision of Funds and other Resources

The Recipient shall provide or cause to be provided, promptly as needed, the funds, facilities, services and other resources: (a) required for the Project; and (b) necessary or appropriate to enable the Project Implementing Entity to perform its obligations under the Project Agreement.

Section 4.04. Insurance

The Recipient and the Project Implementing Entity shall make adequate provision for the insurance of any goods required for their Respective Parts of the Project and to be financed out of the proceeds of the Financing, against hazards incident to the acquisition, transportation and delivery of the goods to the place of their use or installation. Any indemnity for such insurance shall be payable in a freely usable Currency to replace or repair such goods.

Section 4.05. Land Acquisition

The Recipient and the Project Implementing Entity shall take (or cause to be taken) all action to acquire as and when needed all land and rights in respect of land as shall be required for carrying out their Respective Parts of the Project and shall promptly furnish to the Association, upon its request, evidence satisfactory to the Association that such land and rights in respect of land are available for purposes related to the Project.

Section 4.06. Use of Goods, Works and Services; Maintenance of Facilities

(a) Except as the Association shall otherwise agree, the Recipient and the Project Implementing Entity shall ensure that all goods, works and services financed out of the proceeds of the Financing are used exclusively for the purposes of the Project.

(b) The Recipient and the Project Implementing Entity shall ensure that all facilities relevant to their Respective Parts of the Project shall at all times be properly operated and maintained and that all necessary repairs and renewals of such facilities shall be made promptly as needed.

Section 4.07. Plans; Documents; Records

(a) The Recipient and the Project Implementing Entity shall furnish to the Association all plans, schedules, specifications, reports and contract documents for their Respective Parts of the Project, and any material modifications of or additions to these documents, promptly upon their preparation and in such detail as the Association shall reasonably request.

(b) The Recipient and the Project Implementing Entity shall maintain records adequate to record the progress of their Respective Parts of the Project (including its cost and the benefits to be derived from it), to identify the goods, works and services financed out of the proceeds of the Financing and to disclose their use in the Project, and shall furnish such records to the Association upon its request.

(c) The Recipient and the Project Implementing Entity shall retain all records (contracts, orders, invoices, bills, receipts and other documents) evidencing expenditures under their Respective Parts of the Project until at least the later of: (i) one year after the Association has received the audited Financial Statements covering the period during which the last withdrawal from the Financing Account was made; and (ii) two years after the Closing Date. The Recipient and the Project Implementing Entity shall enable the Association′s representatives to examine such records.

Section 4.08. Project Monitoring and Evaluation

(a) The Recipient shall maintain or cause to be maintained policies and procedures adequate to enable it to monitor and evaluate on an ongoing basis, in accordance with indicators acceptable to the Association, the progress of the Project and the achievement of its objectives.

(b) The Recipient shall prepare or cause to be prepared periodic reports (“Project Report”), in form and substance satisfactory to the Association, integrating the results of such monitoring and evaluation activities and setting out measures recommended to ensure the continued efficient and effective execution of the Project, and to achieve the Project′s objectives. The Recipient shall furnish or cause to be furnished each Project Report to the Association promptly upon its preparation, afford the Association a reasonable opportunity to exchange views with the Recipient and the Project Implementing Entity on such report, and thereafter implement such recommended measures, taking into account the Association′s views on the matter.

(c) The Recipient shall prepare, or cause to be prepared, and furnish to the Association not later than six months after the Closing Date, or such earlier date as may be specified for that purpose in the Financing Agreement: (i) a report, of such scope and in such detail as the Association shall reasonably request, on the execution of the Project, the performance by the Recipient, the Project Implementing Entity and the Association of their respective obligations under the Legal Agreements and the accomplishment of the purposes of the Financing; and (ii) a plan designed to ensure the sustainability of the Project′s achievements.

Section 4.09. Financial Management, Financial Statements, Audits

(a) The Recipient shall maintain or cause to be maintained a financial management system and prepare financial statements (“Financial Statements”) in accordance with consistently applied accounting standards acceptable to the Association, both in a manner adequate to reflect the operations, resources and expenditures related to the Project.

(b) The Recipient shall:

(i) have the Financial Statements periodically audited in accordance with the Legal Agreements by independent auditors acceptable to the Association, in accordance with consistently applied auditing standards acceptable to the Association;

(ii) not later than the date specified in the Legal Agreements, furnish or cause to be furnished to the Association the Financial Statements as so audited, and such other information concerning the audited Financial Statements and such auditors, as the Association may from time to time reasonably request; and

(iii) make the audited Financial Statements, or cause the audited Financial Statements to be made, publicly available in a timely fashion and in a manner acceptable to the Association.

Section 4.10. Cooperation and Consultation

The Recipient and the Association shall cooperate fully to assure that the purposes of the Financing and the objectives of the Project will be accomplished. To that end, the Recipient and the Association shall:

(a) from time to time, at the request of either one of them, exchange views on the Project, the Financing, and the performance of their respective obligations under the Legal Agreements, and furnish to the other party all such information related to such matters as it shall reasonably request; and

(b) promptly inform each other of any condition which interferes with, or threatens to interfere with, such matters.

Section 4.11. Visits

(a) The Recipient shall afford all reasonable opportunity for representatives of the Association to visit any part of its territory for purposes related to the Financing or the Project.

(b) The Recipient and the Project Implementing Entity shall enable the Association′s representatives: (i) to visit any facilities and construction sites included in their Respective Parts of the Project; and (ii) to examine the goods financed out of the proceeds of the Financing for their Respective Parts of the Project, and any plants, installations, sites, works, buildings, property, equipment, records and documents relevant to the performance of their obligations under the Legal Agreements.

Section 4.12.  Disputed Area

In the event that the Project is in an area which is or becomes disputed, neither the Association′s financing of the Project, nor any designation of or reference to such area in

the Legal Agreements, is intended to constitute a judgment on the part of the Association as to the legal or other status of such area or to prejudice the determination of any claims with respect to such area.

ARTICLE V

Financial and Economic Data

Section 5.01. Financial and Economic Data

The Recipient shall furnish to the Association all such information as the Association shall reasonably request with respect to financial and economic conditions in its territory, including its balance of payments and its External Debt as well as that of its political or administrative subdivisions and of any entity owned or controlled by, or operating for the account or benefit of, the Recipient or any such subdivision, and of any institution performing the functions of a central bank or exchange stabilization fund, or similar functions, for the Recipient.

ARTICLE VI

Cancellation; Suspension; Acceleration; Grant Refund

Section 6.01. Cancellation by the Recipient

The Recipient may, by notice to the Association, cancel any amount of the Unwithdrawn Financing Balance, except that the Recipient may not cancel any such amount that is subject to a Special Commitment.

Section 6.02. Suspension by the Association

If any of the events specified in paragraphs (a) through (m) of this Section occurs and is continuing, the Association may, by notice to the Recipient, suspend in whole or in part the right of the Recipient to make withdrawals from the Financing Account. Such suspension shall continue until the event (or events) which gave rise to suspension has (or have) ceased to exist, unless the Association has notified the Recipient that such right to make withdrawals has been restored.

(a) Payment Failure. The Recipient has failed to make payment (notwithstanding the fact that such payment may have been made by a third party) of principal, interest, service charges or any other amount due to the Association or the Bank: (i) under the Financing Agreement; or (ii) under any other agreement between the Recipient and the Association; or (iii) under any agreement between the Recipient and the Bank; or (iv) in consequence of any guarantee extended or other financial obligation of any kind assumed by the Association or the Bank to any third party with the agreement of the Recipient.

(b) Performance Failure.

(i) The Recipient has failed to perform any other obligation under the Financing Agreement.

(ii) The Project Implementing Entity has failed to perform any obligation under the Project Agreement.

(c) Fraud and Corruption. At any time, the Association determines that any representative of the Recipient or the Project Implementing Entity, or any other recipient of any of the proceeds of the Financing has engaged in corrupt, fraudulent, coercive or collusive practices in connection with the use of the proceeds of the Financing, without the Recipient or the Project Implementing Entity (or any other such recipient) having taken timely and appropriate action satisfactory to the Association to address such practices when they occur.

(d) Cross Suspension.

(i) The Association or the Bank has suspended in whole or in part the right of the Recipient to make withdrawals under any agreement with the Association or with the Bank because of a failure by the Recipient to perform any of its obligations under such agreement.

(ii) The Bank has suspended in whole or in part the right of any borrower to make withdrawals under a loan agreement with the Bank guaranteed by the Recipient because of a failure by such borrower to perform any of its obligations under such agreement.

(e) Extraordinary Situation. As a result of events which have occurred after the date of the Financing Agreement, an extraordinary situation has arisen which makes it improbable that the Project can be carried out or that the Recipient or the Project Implementing Entity will be able to perform its obligations under the Legal Agreement to which it is a party.

(f) Event prior to Effectiveness. The Association has determined after the Effective Date that prior to such date but after the date of the Financing Agreement, an event has occurred which would have entitled the Association to suspend the Recipient's right to make withdrawals from the Financing Account if the Financing Agreement had been effective on the date such event occurred.

(g) Misrepresentation. A representation made by the Recipient in or pursuant to the Financing Agreement, or any representation or statement furnished by the Recipient and intended to be relied upon by the Association in making the Financing, was incorrect in any material respect.

(h) Co-financing. Any of the following events occurs with respect to any financing specified in the Financing Agreement to be provided for the Project (“Co-financing”) by a financier (other than the Association or the Bank) (“Co-financier”).

(i) If the Financing Agreement specifies a date by which the agreement with the Co-financier providing for the Co-financing (“Co-financing Agreement”) is to become effective, the Co-financing Agreement has failed to become effective by that date, or such later date as the Association has established by notice to the Recipient (“Co-financing Deadline”); provided, however, that the provisions of this sub-paragraph shall not apply if the Recipient establishes to the satisfaction of the Association that adequate funds for the Project are available from other sources on terms and conditions consistent with its obligations under the Financing Agreement.

(ii) Subject to sub-paragraph (iii) of this paragraph: (A) the right to withdraw the proceeds of the Co-financing has been suspended, canceled or terminated in whole or in part, pursuant to the terms of the Co-financing Agreement; or (B) the Co-financing has become due and payable prior to its agreed maturity.

(iii) Sub-paragraph (ii) of this paragraph shall not apply if the Recipient establishes to the satisfaction of the Association that: (A) such suspension, cancellation, termination or prematuring was not caused by the failure of the recipient of the Co-financing to perform any of its obligations under the Co-financing Agreement; and (B) adequate funds for the Project are available from other sources on terms and conditions consistent with the Recipient′s obligations under the Financing Agreement.

(i) Assignment of Obligations; Disposition of Assets. The Recipient or the Project Implementing Entity (or any other entity responsible for implementing any part of the Project), has, without the consent of the Association: (i) assigned or transferred, in whole or in part, any of its obligations arising under or entered into pursuant to the Legal Agreements; or (ii) sold, leased, transferred, assigned, or otherwise disposed of any property or assets financed wholly or in part out of the proceeds of the Financing; provided, however, that the provisions of this paragraph shall not apply with respect to transactions in the ordinary course of business which, in the opinion of the Association: (A) do not materially and adversely affect the ability of the Recipient or of the Project Implementing Entity (or such other entity) to perform any of its obligations arising under or entered into pursuant to the Legal Agreements or to achieve the objectives of the Project; and (B) do not materially and adversely affect the financial condition or operation of the Project Implementing Entity (or such other entity).

(j) Membership. The Recipient: (i) has been suspended from membership in or ceased to be a member of the Association; or (ii) has ceased to be a member of the International Monetary Fund.

(k) Condition of Project Implementing Entity.

(i) Any action has been taken for the dissolution, disestablishment or suspension of operations of the Project Implementing Entity (or of any other entity responsible for implementing any part of the Project).

(ii) The Project Implementing Entity (or any other entity responsible for implementing any part of the Project) has ceased to exist in the same legal form as that prevailing as of the date of the Financing Agreement.

(iii) In the opinion of the Association, the legal character, ownership or control of the Project Implementing Entity (or of any other entity responsible for implementing any part of the Project) has changed from that prevailing as of the date of the Legal Agreements so as to materially and adversely affect the ability of the Recipient or of the Project Implementing Entity (or such other entity) to perform any of its obligations arising under or entered into pursuant to the Legal Agreements, or to achieve the objectives of the Project.

(l) Ineligibility. The Association or the Bank has declared the Project Implementing Entity ineligible to receive proceeds of any financing made by the Association or the Bank or otherwise to participate in the preparation or implementation of any project financed in whole or in part by the Association or the Bank, as a result of: (i) a determination by the Association or the Bank that the Project Implementing Entity has engaged in fraudulent, corrupt, coercive or collusive practices in connection with the use of the proceeds of any financing made by the Association or the Bank; and/or (ii) a declaration by another financier that the Project Implementing Entity is ineligible to receive proceeds of any financing made by such financier or otherwise to participate in the preparation or implementation of any project financed in whole or in part by such financier as a result of a determination by such financier that the Project Implementing Entity has engaged in fraudulent, corrupt, coercive or collusive practices in connection with the use of the proceeds of any financing made by such financier.

(m) Additional Event. Any other event specified in the Financing Agreement for the purposes of this Section has occurred (“Additional Event of Suspension”).

Section 6.03. Cancellation by the Association

If any of the events specified in paragraphs (a) through (e) of this Section occurs with respect to an amount of the Unwithdrawn Financing Balance, the Association may, by notice to the Recipient, terminate the right of the Recipient to make withdrawals with respect to such amount. Upon the giving of such notice, such amount of the Financing shall be cancelled.

(a) Suspension. The right of the Recipient to make withdrawals from the Financing Account has been suspended with respect to any amount of the Financing for a continuous period of thirty days.

(b) Amounts not Required. At any time, the Association determines, after consultation with the Recipient, that an amount of the Financing will not be required to finance Eligible Expenditures.

(c) Fraud and Corruption. At any time, the Association determines, with respect to any amount of the proceeds of the Financing, that corrupt, fraudulent, collusive or coercive practices were engaged in by representatives of the Recipient or the Project Implementing Entity (or other recipient of the proceeds of the Financing) without the Recipient or the Project Implementing Entity (or other recipient of the proceeds of the Financing) having taken timely and appropriate action satisfactory to the Association to address such practices when they occur.

(d) Misprocurement. At any time, the Association: (i) determines that the procurement of any contract to be financed out of the proceeds of the Financing is inconsistent with the procedures set forth or referred to in the Legal Agreements; and (ii) establishes the amount of expenditures under such contract which would otherwise have been eligible for financing out of the proceeds of the Financing.

(e) Closing Date. After the Closing Date, there remains an Unwithdrawn Financing Balance.

Section 6.04. Amounts Subject to Special Commitment not Affected by Cancellation or Suspension by the Association

No cancellation or suspension by the Association shall apply to amounts subject to any Special Commitment except as expressly provided in the Special Commitment.

Section 6.05. Application of Cancelled Amounts to Maturities of the Credit

Except as the Recipient and the Association shall otherwise agree, any cancelled amount of the Credit shall be applied pro rata to the installments of the principal amount of the Credit falling due after the date of such cancellation.

Section 6.06. Events of Acceleration

If any of the events specified in paragraphs (a) through (f) of this Section occurs and continues for the period specified (if any), then at any subsequent time during the continuance of the event, the Association may, by notice to the Recipient, declare all or part of the Withdrawn Credit Balance as at the date of such notice to be due and payable immediately together with any other Financing Payments due under the Financing Agreement or these General Conditions. Upon any such declaration, such Withdrawn Credit Balance and Financing Payments shall become immediately due and payable.

(a) Payment Default. A default has occurred in the payment by the Recipient of any amount due to the Association or the Bank: (i) under the Financing Agreement; or (ii) under any other agreement between the Recipient and the Association; or (iii) under any agreement between the Recipient and the Bank; or (iv) in consequence of any guarantee extended or other financial obligation of any kind assumed by the Association or the Bank to any third party with the agreement of the Recipient; and such default continues in each case for a period of thirty days.

(b) Performance Default.

(i) A default has occurred in the performance by the Recipient of any other obligation under the Financing Agreement, and such default continues for a period of sixty days after notice of such default has been given by the Association to the Recipient.

(ii) A default has occurred in the performance by the Project Implementing Entity of any obligation under the Project Agreement, and such default continues for a period of sixty days after notice of such default has been given by the Association to the Project Implementing Entity and the Recipient.

(c) Co-financing. The event specified in sub-paragraph (h) (ii) (B) of Section 6.02 has occurred, subject to the proviso of sub-paragraph (h) (iii) of that Section.

(d) Assignment of Obligations; Disposition of Assets. Any event specified in paragraph (i) of Section 6.02 has occurred.

(e) Condition of Project Implementing Entity. Any event specified in sub- paragraph (k) (i), (k) (ii), or (k) (iii) of Section 6.02 has occurred.

(f) Additional Event. Any other event specified in the Financing Agreement for the purposes of this Section has occurred and continues for the period, if any, specified in the Financing Agreement (“Additional Event of Acceleration”).

Section 6.07. Grant Refund

(a) If the Association determines that an amount of the Withdrawn Grant Balance has been used in a manner inconsistent with the provisions of the Financing Agreement or these General Conditions, the Recipient shall, upon notice by the Association to the Recipient, promptly refund such amount to the Association. Such inconsistent use shall include, without limitation:

(i) use of such amount to make a payment for an expenditure that is not an Eligible Expenditure; or

(ii) (A) engaging in corrupt, fraudulent, collusive or coercive practices in connection with the use of such amount, or (B) use of such amount to finance a contract during the procurement or execution of which such practices were engaged in by representatives of the Recipient or the Project Implementing Entity (or other recipient of such amount of the Withdrawn Grant Balance), in either case without the Recipient or the Project Implementing Entity (or other such recipient) having taken timely and appropriate action satisfactory to the Association to address such practices when they occur.

(b) Except as the Association may otherwise determine, the Association shall cancel all amounts refunded pursuant to this Section.

Section 6.08. Effectiveness of Provisions after Cancellation, Suspension, Acceleration or Refund

Notwithstanding any cancellation, suspension, acceleration or refund under this Article, all the provisions of the Legal Agreements shall continue in full force and effect except as specifically provided in these General Conditions.

ARTICLE VII

Enforceability; Arbitration

Section 7.01. Enforceability

The rights and obligations of the Recipient and the Association under the Legal Agreements shall be valid and enforceable in accordance with their terms notwithstanding the law of any state or political subdivision thereof to the contrary. Neither the Recipient nor the Association shall be entitled in any proceeding under this Article to assert any claim that any provision of these General Conditions or of the Legal Agreements is invalid or unenforceable because of any provision of the Articles of Agreement of the Association.

Section 7.02. Failure to Exercise Rights

No delay in exercising, or omission to exercise, any right, power or remedy accruing to any party under any Legal Agreement upon any default shall impair any such right, power or remedy or be construed to be a waiver thereof or an acquiescence in such default. No action of such party in respect of any default, or any acquiescence by it in any default, shall affect or impair any right, power or remedy of such party in respect of any other or subsequent default.

Section 7.03. Arbitration

(a) Any controversy between the parties to the Financing Agreement and any claim by either such party against the other arising under the Financing Agreement which has not been settled by agreement of the parties shall be submitted to arbitration by an arbitral tribunal (“Arbitral Tribunal”) as hereinafter provided.

(b) The parties to such arbitration shall be the Association and the Recipient.

(c) The Arbitral Tribunal shall consist of three arbitrators appointed as follows: (i) one arbitrator shall be appointed by the Association; (ii) a second arbitrator shall be appointed by the Recipient; and (iii) the third arbitrator (“Umpire”) shall be appointed by agreement of the parties or, if they do not agree, by the President of the International Court of Justice or, failing appointment by said President, by the Secretary-General of the United Nations. If either party fails to appoint an arbitrator, such arbitrator shall be appointed by the Umpire. In case any arbitrator appointed in accordance with this Section resigns, dies or becomes unable to act, a successor arbitrator shall be appointed in the same manner as prescribed in this Section for the appointment of the original arbitrator and such successor shall have all the powers and duties of such original arbitrator.

(d) An arbitration proceeding may be instituted under this Section upon notice by the party instituting such proceeding to the other party. Such notice shall contain a statement setting forth the nature of the controversy or claim to be submitted to arbitration, the nature of the relief sought and the name of the arbitrator appointed by the party instituting such proceeding. Within thirty days after such notice, the other party shall notify to the party instituting the proceeding the name of the arbitrator appointed by such other party.

(e) If within sixty days after the notice instituting the arbitration proceeding, the parties have not agreed upon an Umpire, either party may request the appointment of an Umpire as provided in paragraph (c) of this Section.

(f) The Arbitral Tribunal shall convene at such time and place as shall be fixed by the Umpire. Thereafter, the Arbitral Tribunal shall determine where and when it shall sit.

(g) The Arbitral Tribunal shall decide all questions relating to its competence and shall, subject to the provisions of this Section and except as the parties shall otherwise agree, determine its procedure. All decisions of the Arbitral Tribunal shall be by majority vote.

(h) The Arbitral Tribunal shall afford to the parties a fair hearing and shall render its award in writing. Such award may be rendered by default. An award signed by a majority of the Arbitral Tribunal shall constitute the award of the Arbitral Tribunal. A signed counterpart of the award shall be transmitted to each party. Any such award rendered in accordance with the provisions of this Section shall be final and binding upon the parties to the Financing Agreement. Each party shall abide by and comply with any such award rendered by the Arbitral Tribunal in accordance with the provisions of this Section.

(i) The parties shall fix the amount of the remuneration of the arbitrators and such other persons as are required for the conduct of the arbitration proceedings. If the parties do not agree on such amount before the Arbitral Tribunal convenes, the Arbitral Tribunal shall fix such amount as shall be reasonable under the circumstances. Each party shall defray its own expenses in the arbitration proceedings. The costs of the Arbitral Tribunal shall be divided between and borne equally by the parties. Any question concerning the division of the costs of the Arbitral Tribunal or the procedure for payment of such costs shall be determined by the Arbitral Tribunal.

(j) The provisions for arbitration set forth in this Section shall be in lieu of any other procedure for the settlement of controversies between the parties to the Financing Agreement or of any claim by either party against the other party arising under the Financing Agreement.

(k) If, within thirty days after counterparts of the award have been delivered to the parties, the award has not been complied with, either party may: (i) enter judgment upon, or institute a proceeding to enforce, the award in any court of competent jurisdiction against the other party; (ii) enforce such judgment by execution; or (iii) pursue any other appropriate remedy against such other party for the enforcement of the award and the provisions of the Financing Agreement. Notwithstanding the foregoing, this Section shall not authorize any entry of judgment or enforcement of the award against the Recipient except as such procedure may be available otherwise than by reason of the provisions of this Section.

(l) Service of any notice or process in connection with any proceeding under this Section or in connection with any proceeding to enforce any award rendered pursuant to this Section may be made in the manner provided in Section 9.01. The parties to the Financing Agreement waive any and all other requirements for the service of any such notice or process.

ARTICLE VIII

Effectiveness; Termination

Section 8.01. Conditions Precedent to Effectiveness of Legal Agreements

The Legal Agreements shall not become effective until evidence satisfactory to the Association has been furnished to the Association that the conditions specified in paragraphs (a) through (c) of this Section have been satisfied.

(a) The execution and delivery of each Legal Agreement on behalf of the Recipient or the Project Implementing Entity which is a party to such Legal Agreement have been duly authorized or ratified by all necessary governmental and corporate action.

(b) If the Association so requests, the condition of the Project Implementing Entity, as represented or warranted to the Association at the date of the Legal Agreements, has undergone no material adverse change after such date.

(c) Each other condition specified in the Financing Agreement as a condition of its effectiveness has occurred (“Additional Condition of Effectiveness”).

Section 8.02. Legal Opinions or Certificates

As part of the evidence to be furnished pursuant to Section 8.01, there shall be furnished to the Association an opinion or opinions satisfactory to the Association of counsel acceptable to the Association or, if the Association so requests, a certificate satisfactory to the Association of a competent official of the Recipient, showing the following matters:

(a) on behalf of the Recipient and the Project Implementing Entity, that the Legal Agreement to which it is a party has been duly authorized or ratified by, and executed and delivered on behalf of, such party and is legally binding upon such party in accordance with its terms; and

(b) each other matter specified in the Financing Agreement or reasonably requested by the Association in connection the Legal Agreements for the purpose of this Section (“Additional Legal Matter”).

Section 8.03. Effective Date

(a) Except as the Recipient and the Association shall otherwise agree, the Legal Agreements shall enter into effect on the date upon which the Association dispatches to the Recipient and the Project Implementing Entity notice of its acceptance of the evidence required pursuant to Section 8.01 (“Effective Date”).

(b) If, before the Effective Date, any event has occurred which would have entitled the Association to suspend the right of the Recipient to make withdrawals from the Financing Account if the Financing Agreement had been effective, the Association may postpone the dispatch of the notice referred to in paragraph (a) of this Section until such event (or events) has (or have) ceased to exist.

Section 8.04. Termination of Legal Agreements for Failure to Become Effective

The Legal Agreements and all obligations of the parties under the Legal Agreements shall terminate if the Legal Agreements have not entered into effect by the date (“Effectiveness Deadline”) specified in the Financing Agreement for the purpose of this Section, unless the Association, after consideration of the reasons for the delay, establishes a later Effectiveness Deadline for the purpose of this Section. The Association shall  promptly notify the Recipient and the Project Implementing Entity of such later Effectiveness Deadline.

Section 8.05. Termination of Legal Agreements on Performance of all Obligations

(a) Subject to the provisions of paragraphs (b) and (c) of this Section, the Legal Agreements and all obligations of the parties under the Legal Agreements shall forthwith terminate upon full payment of the Withdrawn Credit Balance and all other Financing Payments due.

(b) If the Financing Agreement specifies a date by which certain provisions of the Financing Agreement (other than those providing for payment obligations) shall terminate, such provisions and all obligations of the parties under them shall terminate on the earlier of:

(i) such date; and (ii) the date on which the Financing Agreement terminates in accordance with its terms.

(c) If the Project Agreement specifies a date on which the Project Agreement shall terminate, the Project Agreement and all obligations of the parties under the Project Agreement shall terminate on the earlier of: (i) such date; and (ii) the date on which the Financing Agreement terminates in accordance with its terms. The Association shall promptly notify the Project Implementing Entity if the Financing Agreement terminates in accordance with its terms prior to the date so specified in the Project Agreement.

ARTICLE IX

Miscellaneous Provisions

Section 9.01. Notices and Requests

Any notice or request required or permitted to be given or made under any Legal Agreement or any other agreement between the parties contemplated by the Legal Agreement shall be in writing. Except as otherwise provided in Section 8.03 (a), such notice or request shall be deemed to have been duly given or made when it has been delivered by hand or by mail, telex or facsimile (or, if permitted under the Legal Agreement, by other electronic means) to the party to which it is required or permitted to be given or made at such party's address specified in the Legal Agreement or at such other address as such party shall have designated by notice to the party giving such notice or making such request. Deliveries made by facsimile transmission shall also be confirmed by mail.

Section 9.02. Action on Behalf of the Recipient and the Project Implementing Entity

(a) The representative designated by the Recipient in the Financing Agreement (and the representative designated by the Project Implementing Entity in the

Project Agreement) for the purpose of this Section, or any person authorized in writing by such representative for that purpose, may take any action required or permitted to be taken pursuant to such Legal Agreement, and execute any documents required or permitted to be executed pursuant to such Legal Agreement on behalf of the Recipient (or the Project Implementing Entity, as the case may be).

(b) The representative so designated by the Recipient or person so authorized by such representative may agree to any modification or amplification of the provisions of the Financing Agreement on behalf of the Recipient by written instrument executed by such representative or authorized person; provided that, in the opinion of such representative, the modification or amplification is reasonable in the circumstances and will not substantially increase the obligations of the Recipient under the Financing Agreement. The Association may accept the execution by such representative or other authorized person of any such instrument as conclusive evidence that such representative is of such opinion.

Section 9.03. Evidence of Authority

The Recipient and the Project Implementing Entity shall furnish to the Association: (a) sufficient evidence of the authority of the person or persons who will, on behalf of such party, take any action or execute any documents required or permitted to be taken or executed by it under the Legal Agreement to which it is a party; and (b) the authenticated specimen signature of each such person.

Section 9.04. Execution in Counterparts

Each Legal Agreement may be executed in several counterparts, each of which shall be an original.

Section 9.05. Disclosure

The Association may disclose the Legal Agreements and any information related to the Legal Agreements in accordance with its policy on access to information, in effect at the time of such disclosure.

APPENDIX

Definitions

1. “Additional Condition of Effectiveness” means any condition of effectiveness specified in the Financing Agreement for the purpose of Section 8.01 (c).

2. “Additional Event of Acceleration” means any event of acceleration specified in the Financing Agreement for the purpose of Section 6.06 (f).

3. “Additional Event of Suspension” means any event of suspension specified in the Financing Agreement for the purpose of Section 6.02(m).

4. “Additional Legal Matter” means each matter specified in the Financing Agreement or requested by the Association in connection with the Legal Agreements for the purpose of Section 8.02 (b).

5. “Arbitral Tribunal” means the arbitral tribunal established pursuant to Section 7.03.

6. “Association” means the International Development Association.

7. “Association′s Address” means the Association′s address specified in the Legal Agreements for the purpose of Section 9.01.

8. “Bank” means the International Bank for Reconstruction and Development.

9. “Closing Date" means the date specified in the Financing Agreement (or such later date as the Association shall establish by notice to the Recipient) after which the Association may, by notice to the Recipient, terminate the right of the Recipient to withdraw from the Financing Account.

10. “Co-financier” means the financier (other than the Association or the Bank) referred to in Section 6.02 (h) providing the Co-financing. If the Financing Agreement specifies more than one such financier, “Co-financier” refers separately to each of such financiers.

11. “Co-financing” means the financing referred to in Section 6.02 (h) and specified in the Financing Agreement provided or to be provided for the Project by the Co-financier. If the Financing Agreement specifies more than one such financing, “Co-financing” refers separately to each of such financings.

12. “Co-financing Agreement” means the agreement referred to in Section 6.02 (h) providing for the Co-financing.

13. “Co-financing Deadline” means the date referred to in Section 6.02 (h) (i) and specified in the Financing Agreement by which the Co-financing Agreement is to become effective. If the Financing Agreement specifies more than one such date, “Co-financing Deadline” refers separately to each of such dates.

14. “Commitment Charge” means the commitment charge payable by the Recipient on the Unwithdrawn Financing Balance pursuant to Section 3.01. If the Financing includes a Credit and a Grant, “Commitment Charge” refers separately to the commitment charge on the Unwithdrawn Credit Balance and the commitment charge on the Unwithdrawn Grant Balance.

15. “Credit” means the portion of the Financing specified in the Financing Agreement as a credit, and which is repayable pursuant to the provisions of the Financing Agreement.

16. “Credit Account” means the account opened by the Association in its books in the name of the Recipient to which the amount of the Credit is credited.

17. “Currency” means the currency of a country and the Special Drawing Right. “Currency of a country” means the currency which is legal tender for the payment of public and private debts in that country.

18. “Dollar”, “$” and “USD” each means the lawful currency of the United States of America.

19. “Effective Date” means the date on which the Legal Agreements enter into effect pursuant to Section 8.03 (a).

20. “Effectiveness Deadline” means the date referred to in Section 8.04 after which the Legal Agreements shall terminate if they have not entered into effect as provided in that Section.

21. “Eligible Expenditure” means an expenditure the payment for which meets the requirements of Section 2.05 and which is consequently eligible for financing out of the proceeds of the Financing.

22. “‘Euro′, ‘€′ and ‘EUR′" each means the lawful currency of the member states of the European Union that adopt the single currency in accordance with the Treaty establishing the European Community, as amended by the Treaty on European Union.

23. “External Debt” means any debt which is or may become payable in a Currency other than the Currency of the Recipient.

24. “Financial Statements” means the financial statements to be maintained for the Project as provided in Section 4.09.

25. “Financing” means: (a) the Credit if the Financing Agreement provides for a Credit only; (b) the Grant if the Financing Agreement provides for a Grant only; or

(c) both the Credit and the Grant if the Financing Agreement provides for both a Credit and a Grant.

26. “Financing Account” means: (a) the Credit Account if the Financing Agreement provides for a Credit only; (b) the Grant Account if the Financing Agreement provides for a Grant only; or (c) the Credit Account in respect of the Credit and the Grant Account in respect of the Grant if the Financing Agreement provides for a Credit and a Grant.

27. “Financing Agreement” means the financing agreement between the Recipient and the Association providing for the Financing, as such agreement may be amended from time to time. “Financing Agreement” includes these General Conditions as applied to the Financing Agreement, and all appendices, schedules and agreements supplemental to the Financing Agreement.

28. “Financing Payment” means any amount payable by the Recipient to the Association pursuant to the Financing Agreement or these General Conditions, including (but not limited to) any amount of the Withdrawn Credit Balance, the Service Charge, the Commitment Charge, and any refund of the Withdrawn Grant Amount payable by the Recipient.

29. “Foreign Expenditure” means an expenditure in the Currency of any country other than the Recipient for goods, works or services supplied from the territory of any country other than the Recipient.

30. “Grant” means the portion of the Financing specified in the Financing Agreement as a grant.

31. “Grant Account” means the account opened by the Association in its books in the name of the Recipient to which the amount of the Grant is credited.

32. “Legal Agreement” means the Financing Agreement or the Project Agreement. “Legal Agreements” means collectively, all of such agreements.

33. “Local Expenditure” means an expenditure: (a) in the Currency of the Recipient; or (b) for goods, works or services supplied from the territory of the Recipient; provided, however, that if the Currency of the Recipient is also that of another country from the territory of which goods, works or services are supplied, an expenditure in such Currency for such goods, works or services shall be deemed to be a Foreign Expenditure.

34. “Maximum Commitment Charge Rate” means the maximum rate specified in the Financing Agreement at which the Association may set the Commitment Charge pursuant to Section 3.01.

35. “Payment Currency” means the Currency specified in the Financing Agreement in which Financing Payments are to be paid pursuant to Section 3.07 (a).

36. “Payment Date” means each date specified in the Financing Agreement occurring on or after the date of the Financing Agreement on which Service Charges and Commitment Charges are payable.

37. “Preparation Advance” means the advance referred to in the Financing Agreement and repayable in accordance with Section 2.07.

38. “Principal Payment Date” means each date specified in the Financing Agreement on which an installment of the principal amount of the Credit is payable.

39. “Project” means the project described in the Financing Agreement, for which the Financing is granted, as the description of such project may be amended from time to time by agreement between the Recipient and the Association.

40. “Project Agreement” means the agreement between the Association and the Project Implementation Entity relating to the implementation of all or part of the Project, as such agreement may be amended from time to time. “Project Agreement” includes these General Conditions as applied to the Project Agreement, and all appendices, schedules and agreements supplemental to the Project Agreement.

41. “Project Implementing Entity” means a legal entity (other than the Recipient) which is responsible for implementing all or a part of the Project and which is a party to the Project Agreement. If the Association enters into a Project Agreement with more than one such entity, “Project Implementing Entity” refers separately to each such entity.

42. “Project Implementing Entity′s Address” means the Project Implementing Entity′s address specified in the Project Agreement for the purpose of Section 9.01.

43. “Project Implementing Entity′s Representative” means the Project Implementing Entity′s representative specified in the Project Agreement for the purpose of Section 9.02 (a).

44. “Project Report” means each report on the Project to be prepared and furnished to the Association for the purpose of Section 4.08 (b).

45. “Recipient” means the member of the Association which is a party to the Financing Agreement and to which the Financing is extended.

46. “Recipient′s Address” means the Recipient′s address specified in the Financing Agreement for the purpose of Section 9.01.

47. “Recipient′s Representative” means the representative of the Recipient specified in the Financing Agreement for the purpose of Section 9.02.

48. “Respective Part of the Project” means, for the Recipient and for any Project Implementing Entity, the part of the Project specified in the Legal Agreements to be carried out by it.

49. “Service Charge” means the charge specified in the Financing Agreement for the purpose of Section 3.02.

50. “Special Commitment” means any special commitment entered into or to be entered into by the Association pursuant to Section 2.02.

51. “Special Drawing Right” and “SDR” each means the special drawing right of the International Monetary Fund as valued by it in accordance with its Articles of Agreement.

52. “Sterling”, “₤” and “GBP” each means the lawful currency of the United Kingdom.

53. “Taxes” includes imposts, levies, fees and duties of any nature, whether in effect at the date of the Financing Agreement or imposed after that date.

54. “Umpire” means the third arbitrator appointed pursuant to Section 7.03 (c).

55. “Unwithdrawn Credit Balance” means the amount of the Credit remaining unwithdrawn from the Credit Account from time to time.

56. “Unwithdrawn Financing Balance” means the amount of the Financing remaining unwithdrawn from the Financing Account from time to time.

57. “Unwithdrawn Grant Balance” means the amount of the Grant remaining unwithdrawn from the Grant Account from time to time.

58. “Withdrawn Credit Balance” means the amounts of the Credit withdrawn from the Credit Account and outstanding from time to time.

59. “Withdrawn Grant Balance” means the amounts of the Grant withdrawn from the Grant Account and outstanding from time to time.

60. “Yen”, “¥” and “JPY” each means the lawful currency of Japan.
