(fiecare constituie o “Parte” şi ambele în mod colectiv “Părţi”)

ÎNTRUCÎT

A. Beneficiarul şi Fondul au semnat Acordul de Finanţare datat la 20 februarie 2014 (”Acordul de Finanţare”) pentru un împrumut şi un grant din resursele regulate a Fondului şi pentru un grant GEF de la resursele Fondului Global pentru Mediu (”GEF”) (Împrumutul IFAD nr.20000000418, Grant IFAD nr.2000000443 şi Grant GEF nr.2000000452), pentru ducerea la bun sfârşit a Programului care este descris în Anexa 1 a Acordului de Finanţare;

B. Beneficiarul a solicitat asistenţă financiară adiţională în scopul realizării Programului;

C. Guvernul Regatului Danemarcei (“Donatoru) şi Fondul au semnat un Acord de cofinanţare datat cu 19 decembrie 2013 (“Acord de cofinanţare”) în conformitatea căruia Donatorul trebuie să pună la dispoziţia Fondului o contribuţie cu scopul de a asigura finanţare suplimentară pentru Dezvoltarea Inclusivă Economică pentru Schema Tinerilor Antreprenori al Programului Componenta 2 “Finanţare Inclusivă Rurală şi Dezvoltarea de Capacitate”; şi

D. Fondul a acceptat să pună la dispoziţia Destinatarului asistenţă financiară din contribuţia Donatorului subiect al termenilor şi condiţiilor stabiliţi în Acordul de Finanţare, Acordul de cofinanţare şi acest Acord (“Acordul”) pentru implementarea Programului de către Beneficiar.

DECI, PRIN URMARE, Părţile prin prezentul acceptă următoarele:

Secţiunea A

1. Fără nicio limitare sau restricţie cu privire la obligaţiile sale conform acestui Acord pentru executarea acestui Program, Beneficiarul acceptă mutatis mutandis (să schimbe doar acele lucruri care trebuie schimbate), prevederile Acordului de Finanţare şi Acordului de cofinanţare, care constituie o parte integrantă a acestui Acord şi atât obligaţiile valabile şi obligatorii ale Beneficiarului faţă de Fond.

2. Fără a limita generalitatea alineatului precedent, următoarele acte colective din acest Acord: acest document, Descrierea Programului şi Aranjamentele de Implementare (Suplimentul 1) şi Tabelul Alocaţiilor (Suplimentul 2).

3. Condiţiile Generale ale Fondului pentru Finanţarea Dezvoltării Agriculturii datate la 29 aprilie 2009 precum pot fi modificate din când în când («Condiţiile Generale») sunt anexate la acest Acord şi toate condiţiile acestuia trebuie aplicate acestui Acord. În scopurile acestui Acord, termenii definiţi în Condiţiile Generale trebuie să aibă sensurile stabilite în el.

4. Fondul trebuie să acorde un grant (“Grantul Danez”) Beneficiarului, pe care acesta trebuie să-l folosească pentru Implementarea acestui Program în conformitate cu termenii şi condiţiile acestui Acord.

Secţiunea B

1. Suma Grantului Danez este de douăzeci şi opt milioane cinci sute şaptezeci şi unu mii patru sute Coroane Daneze (DKK 28 571 400). Contribuţia Daneză va fi primită de către IFAD de la Donator în rate.

2. Prima zi a Anului Fiscal aplicabil va fi 1 ianuarie.

3. Contul desemnat.

(a) Trebuie să existe un cont desemnat (“Contul Desemnat Grantului Danez») în scopuri de primire a Grantului Danez şi a finanţării Programului.

(b) Contul Desemnat Grantului Danez trebuie să fie deschis şi subiect operat aceloraşi termeni şi condiţii care sunt aplicabile conturilor Programului precum prevede Acordul de Finanţare.

4. Contul Programului.

(a) Trebuie să existe un cont al Programului (“Contul Programului Grantului Danez”) pentru a primi resursele de pe Contul Desemnat Grantului Danez pentru beneficiul Programului.

(b) Contul Programului Grantului Danez trebuie să fie deschis şi subiect operat aceloraşi termeni şi condiţii ca şi cele aplicabile Conturilor Programului precum prevede Acordul de Finanţare.

5. Beneficiarul trebuie să scutească de taxe toate bunurile, lucrările şi serviciile finanţate cu Grantul Danez. În cazul în care anumite bunuri specifice, lucrări sau servicii finanţate cu Grantul Danez nu sunt scutite de taxe, astfel de taxe trebuie să fie rambursate de către Beneficiar în conformitate cu Planurile şi Bugetele Anuale de Lucru (PLBA) descrise în alineatul 10 al Anexei a Acordului de Finanţare.

6. Grantul Danez trebuie să fie pus la dispoziţia Beneficiarului numai dacă fondurile relevante ale Donatorului au fost primite în întregime de către Fond pentru scopul special de finanţare a Proiectului.

Secţiunea C

1. Agenţia Lider a Programului urmează să fie Ministerul Agriculturii şi Industriei Alimentare («MAIA”).

2. Numai cheltuielile eligibile pentru implementarea Programului suportate în perioada începând cu data intrării în vigoare a acestui Acord pînă la data de 31 decembrie 2017 vor fi finanţate de către Grantul Danez.

Secţiunea D

Grantul Danez va fi administrat şi Programul va fi supravegheat de către Fond.

Secţiunea E

1. Următoarele situaţii sunt desemnate drept temeiuri adiţionale pentru rezilierea acestui Acord: Oricare situaţie prevăzută în Secţiunea E.1 a Acordului de Finanţare.

2. Următoarele situaţii sunt desemnate drept condiţii generale adiţionale pentru anulare:

(a) Condiţiile prevăzute în Secţiunea E.2 şi E.3 a Acordului de Finanţare;

(b) Contul Desemnat Grantului Danez şi Contul Programului Grantului Danez trebuiau deschise în baza termenilor şi condiţiilor în conformitate cu acest Acord.

3. Acest Acord este subiect spre ratificarea de către Beneficiar.

4. Mai jos sunt indicaţi reprezentanţii desemnaţi, precum şi adresele care urmează a fi folosite pentru orice comunicare legată de acest Acord:

Suplimentul 1

Descrierea Programului şi Aranjamente de Implementare

I. Descrierea Programului

1. Acest Program trebuie să aibă aceeaşi natură şi arie de activitate precum este descris în Anexa 1 a Acordului de Finanţare.

2. Productivitatea să fie finanţată din Grantul Danez, ţinta fiind antreprenorii tineri prin următorii paşi: (i) Pre şi Post training de investiţie; (ii) Facilitare Financiară; şi (iii) susţinerea Business-planului (descris în detalii în Suplimentul 1 al Acordului de Cofinanţare).

II. Aranjamente de Implementare

3. Cu excepţia cazurilor prevăzute în acest Acord, aranjamentele de implementare în ceea ce priveşte utilizarea Grantului Danez trebuie să fie la fel ca şi aranjamentele de implementare descrise în Suplimentul 1 al Acordului de Finanţare.

Suplimentul 2

Tabelul Alocaţiilor

Destinaţia Grantului Danez. Tabelul de mai jos stabileşte Categoriile Cheltuielilor Eligibile care vor fi finanţate de Grantul Danez şi alocarea sumelor din Grantul Danez pentru fiecare Categorie şi procentajul cheltuielilor pentru unităţile ce urmează să fie finanţaţi la fiecare Categorie:

(precum a fost modificat în septembrie 2010¹)

1Aceste Condiţii Generale pentru Finanţarea Dezvoltării Agriculturii au fost adoptate de către Comitetul Executiv IFAD la 29 aprilie 2009. Secţiunea 2.01, 4.08(a) şi 5.01 au fost modificate prin Decizia Comitetului Executiv la 17 septembrie 2010. Aceste Condiţii Generale deja modificate se aplică tuturor Acordurilor de Finanţare pentru proiectele şi programele aprobate de Comitetul Executiv în timpul şi ulterior sesiunii nouăzeci şi şapte din septembrie 2009.

ARTICOLUL I – APLICABILITATE

Secţiunea 1.01. Aplicarea Condiţiilor Generale.

(a) Aceste Condiţii Generale se aplică tuturor Acordurilor de Finanţare (precum un astfel de termen este definit în Secţiunea 2.01). Ele se aplică altor acorduri doar dacă un acord prevede aceasta în mod explicit.

(b) Dacă o prevedere anumită a acestor Condiţii Generale nu se aplică unui Acord, Acordul trebuie să prevadă în mod explicit că aceasta nu se aplică.

ARTICOLUL II – DEFINIŢII

Secţiunea 2.01. Definiţii Generale.

Următorii termeni au următoarele sensuri precum folosiţi în aceste Condiţii Generale:

“Acord” înseamnă un Acord de Finanţare sau alt acord subiect pentru aceste Condiţii Generale.

“Plan de Lucru şi Buget Anual” sau PLBA înseamnă planul de lucru şi bugetul anual pentru a realiza un Proiect în cadrul unui Proiect Anual anumit care include Planul de Achiziţii Publice.

“Debitor” înseamnă partea desemnată astfel într-un Acord.

“Practică coercitivă” înseamnă a prejudicia sau a dăuna, sau a ameninţa cu prejudicierea sau dauna, în mod direct sau indirect, orice parte sau proprietate a părţii pentru a influenţa în mod impropriu acţiunile părţii.

“Practică de coluziune” înseamnă un aranjament între două sau mai multe părţi desemnate de a atinge un scop impropriu, incluzând influenţarea improprie a acţiunilor celeilalte părţi.

“Instituţie cooperantă” înseamnă o instituţie desemnată astfel într-un Acord de Finanţare drept responsabilă pentru administrarea Finanţării şi/sau supravegherea implementării Proiectului.

“Acord de Cooperare” înseamnă un Acord sau acorduri între Fond şi Instituţia cooperantă prin care o Instituţie Cooperantă acceptă să acţioneze astfel.

“Practică de Corupţie” însemnă oferirea, acordarea, primirea sau solicitarea, în mod direct sau indirect, a oricărui lucru de valoare pentru a influenţa impropriu acţiunile celeilalte părţi.

“Valuta” unui Stat sau a unui teritoriu înseamnă valuta care este mijloc legal de plată pentru achitarea datoriilor publice sau private în Statul sau teritoriul dat.

“Cheltuieli eligibile” înseamnă cheltuieli care corespund Secţiunii 4.08.

“Euro” sau “EUR” înseamnă valuta Uniunii Monetare Europene.

“Finanţare” înseamnă un Împrumut, un Grant, sau o combinaţie a acestora.

«Acord de Finanţare» înseamnă un Acord de Finanţare a Proiectului sau Acord de Finanţare a Programului, în baza căruia Fondul acceptă să extindă Finanţarea Debitorului/Beneficiarului.

«Data încetării Finanţării” înseamnă data la care dreptul Debitorului/Beneficiarului de a cere retrageri din Contul de Împrumut sau/ori Contul de Grant se încheie, care este şase (6) luni după Data finisării Proiectului sau data târzie pe care Fondul o poate desemna printr-o notificare către Debitor /Beneficiar.

“An Fiscal” înseamnă perioada de douăsprezece luni desemnată astfel într-un Acord.

«Practică Frauduloasă» înseamnă orice acţiune sau omitere, inclusiv o declaraţie falsă care în mod conştient sau nesăbuit induce în eroare sau încearcă să inducă în eroare o parte pentru a obţine un beneficiu financiar sau de alt tip sau pentru a evita o obligaţie.

«Valută uşor convertibilă» înseamnă orice valută desemnată astfel de către Fond în orice moment.

“Fond” înseamnă Fondul Internaţional pentru Dezvoltarea Agriculturii.

«Grant» înseamnă un Grant acordat Beneficiarului în baza unui Acord de Finanţare sau a unui alt Acord.

«Contul Grantului» înseamnă contul în evidenţa contabilă a Fondului deschis pe numele Beneficiarului pe care este creditată suma Grantului.

«Acord de Garanţie» înseamnă un Acord între un Stat Membru şi Fond prin care Statul Membru garantează execuţia unui alt Acord.

“Garant” înseamnă orice Stat Membru desemnat astfel într-un Acord de Garanţie.

«Ghid de Achiziţii Publice IFAD» înseamnă Ghidul de Achiziţii Publice aprobat de către Comitetul Executiv al Fondului în decembrie 2004 (pentru Finanţarea aprobată de către Comitetul Executiv al Fondului înainte de luna septembrie 2010) sau Ghidul de Achiziţii Publice a Proiectului aprobat de către Comitetul Executiv al Fondului în septembrie 2010 (pentru Finanţarea aprobată de către Comitetul Executiv al Fondului după septembrie 2010), căci un astfel de Ghid poate fi modificat de către Fond.2

«Rata Dobânzii de Referinţă IFAD” înseamnă rata determinată periodic de către Fond drept rata sa de referinţă pentru calcularea dobânzii la Împrumuturile sale.

«Agenţia Lider a Programului” înseamnă entitatea desemnată astfel într-un Acord care are în general responsabilitatea pentru executarea Proiectului.

«Împrumut” înseamnă un împrumut oferit de către Fond Debitorului în conformitate cu Acordul de Finanţare.

«Cont pentru Împrumut» înseamnă contul în evidenţa contabilă a Fondului deschis pe numele Debitorului căruia îi este creditată suma unui împrumut.

«Serviciul de achitare a Împrumutului» înseamnă orice achitare cerută sau permisă de a fi făcută Fondului de către Debitor sau Garant conform Acordului de Finanţare, inclusiv (dar fără limitare) orice achitare a capitalului iniţial, sau a dobânzii sau a taxei de servicii pentru orice Împrumut.

“Valuta de achitare a Serviciului de Împrumut” înseamnă valuta uşor convertibilă definită astfel în Acordul de Finanţare.

«Stat Membru» înseamnă orice Stat Membru al Fondului.

«Lira Sterlină” sau “GBP” înseamnă valuta Regatului Unit al Marii Britanii şi Irlandei de Nord.

«Plan de Achiziţii” înseamnă Planul de Achiziţii a Debitorului/Beneficiarului ce durează o perioadă iniţială de optsprezece (18) luni a implementării Proiectului, care urmează să fie înnoit pentru a fi valabil pentru următoarea perioadă de douăsprezece (12) luni.

«Proiect” înseamnă proiectul pentru dezvoltarea agriculturii sau programul descris într-un Acord şi finanţat integral sau parţial de către Finanţator.

«Contul Proiectului» înseamnă un cont pentru operaţiunile Proiectului precum este descris în Secţiunea 7.02 (b).

«Acordul Proiectului” înseamnă orice acord între Fond şi orice Parte a Proiectului în legătură cu implementarea tuturor sau unor părţi a Proiectului.

«Data finisării Proiectului» înseamnă data specificată într-un Acord la care se va încheia implementarea Proiectului sau o dată mai târzie pe care Fondul o poate desemna printr-o notificare făcută Debitorului/ Beneficiarului.

«Perioada de Implementare a Proiectului” înseamnă perioada în care Proiectul este în derulare, începând de la data intrării în vigoare a Acordului şi terminând cu Data finisării Proiectului.

«Stat Membru al Proiectului” înseamnă Statul Membru în care Proiectul se desfăşoară.

«Parte a Proiectului» înseamnă fiecare entitate responsabilă pentru implementarea Proiectului sau orice parte a acestuia. Termenul “Parte a Proiectului” include (dar nu este limitat) la Agenţia Lider a Programului şi orice entitate desemnată drept Parte a Proiectului într-un Acord.

«An de Proiect» înseamnă (i) perioada începând cu data intrării în vigoare a unui Acord şi terminând cu ultima zi a Anului Fiscal curent la momentul dat, şi (ii) fiecare perioadă după aceea, prevăzută, totuşi dacă data intrării în vigoare a Acordului cade după mijlocul Anului Fiscal, Anul de Proiect 1 trebuie să continue pe parcursul următorului An Fiscal.

“Destinatar” înseamnă partea desemnată astfel într-un Acord.

«Echivalentul SDR” înseamnă, cu privire la orice sumă exprimată în orice valută la momentul determinării, echivalentul unei astfel de sume în SDR, precum determinată de către Fond în conformitate cu Articolul 5.2(b) al Acordului de Instituire IFAD.

«Drepturi Speciale de Tragere” sau “DST” înseamnă drepturi speciale de tragere precum evaluate din când în când de către Fondul Monetar Internaţional în conformitate cu Articolele sale din Acord.

«Acord Subsidiar” înseamnă orice Acord sau aranjament prin care (i) venitul întreg sau o parte a veniturilor Finanţatorului sunt disponibile unei Părţi a Proiectului şi/sau (ii) o Parte a Proiectului se angajează să finalizeze Proiectul în întregime sau parţial.

«Populaţie Ţintă” înseamnă grupul de oameni planificaţi să beneficieze din urma Proiectului.

«Impozite” înseamnă toate impozitele, contribuţiile, taxele, tarifele şi datoriile de orice tip impozitate, percepute, colectate, reţinute sau evaluate oricând de către sau pe teritoriul Statului Membru al Proiectului.

«Dolar SUA» sau “USD” înseamnă valuta Statelor Unite ale Americii.

«Data valutei” înseamnă, cu privire la orice retragere din Contul Împrumutului, data la care o astfel de retragere este considerată efectuată în conformitate cu Secţiunea 4.06 şi cu privire la orice Serviciu de Achitare a Împrumutului, data la care Serviciul de Achitare a Împrumutului este considerată efectuată în conformitate cu Secţiunea 5.04.

“Yen” sau “JPY” înseamnă valuta Japoniei.

SECŢIUNEA 2.02 Utilizarea Termenilor.

Precum se folosesc în aceste Condiţii Generale şi orice Acord cu excepţia cazurilor când contextul acestora cere altceva, termenii la singular includ pluralul, termenii la plural includ şi singularul, iar pronumele masculin include femininul.

SECŢIUNEA 2.03 Referinţe şi Rubrici.

Până când nu este indicat altfel, referinţele în aceste Condiţii Generale ale Articolelor sau Secţiunilor se referă la Articole sau Secţiunile acestor Condiţii Generale. Titlurile Articolelor şi Secţiunilor, precum şi a Cuprinsului a acestor Condiţii Generale sunt date doar pentru convenienţa referinţei şi nu formează o parte integrală a acestor Condiţii Generale.

ARTICOLUL III – INSTITUŢIILE COOPERANTE

SECŢIUNEA 3.01 Numirea Instituţiilor Cooperante.

Un Acord de Finanţare poate prevedea ca Instituţia Cooperantă să fie numită pentru a administra Finanţarea şi să supravegheze Proiectul.

SECŢIUNEA 3.02 Responsabilităţile Instituţiei Cooperante.

În caz că a fost împuternicită, Instituţia Cooperantă trebuie să fie responsabilă pentru:

(a) Facilitarea implementării Proiectului prin asistarea Debitorului/Beneficiarului şi Părţilor din cadrul Proiectului în interpretarea şi respectarea Acordului de Finanţare;

(b) Revizuirea cererilor de retragere a Debitorului/ Beneficiarului pentru a determina sumele pe care Debitorul/ Beneficiarul este împuternicit de a le retrage de pe Contul de Împrumut sau cel al Grantului;

(c) Revizuirea şi aprobarea conform unei baze lipsită de obiecţii a achiziţionării bunurilor, lucrărilor civile şi serviciilor pentru Proiectul finanţat de Finanţator.

(d) Monitorizarea conformării Acordului de Finanţare, prezentând orice neconformare substanţială în atenţia Fondului şi recomandând remedii pentru acestea şi;

(e) Executarea altor funcţii pentru administrarea Finanţării şi asistenţa Proiectului precum poate fi stabilit în Acordul de Cooperare.

SECŢIUNEA 3.03 Acord de Cooperare.

În cazul că o Instituţie de Cooperare este numită, Fondul trebuie să semneze un Acord de Cooperare cu Instituţia de Cooperare stabilind Termenii şi Condiţiile numirii sale.

SECŢIUNEA 3.04 Acţiunile Instituţiei de Cooperare.

Orice acţiune întreprinsă de Instituţia de Cooperare în conformitate cu Acordul de Cooperare trebuie să fie privită şi tratată de către Debitor/ Beneficiar, Garantul şi Părţile Proiectului drept o acţiune întreprinsă de către Fond.

SECŢIUNEA 3.05 Cooperarea între Debitor/Beneficiar şi Părţile Proiectului.

Debitorul/Beneficiarul, Garantul şi Părţile Proiectului trebuie să efectueze toţi paşii necesari sau potriviţi pentru a permite Instituţiei de Cooperare sa-şi îndeplinească responsabilităţile cu uşurinţă şi efectiv.

ARTICOLUL IV – CONTUL ÎMPRUMUTULUI ŞI RETRAGERI

SECŢIUNEA 4.01 Conturile de Împrumut şi al Grantului.

În baza intrării în vigoare a unui Acord de Finanţare, Fondul trebuie să deschidă un Cont de Împrumut şi/sau un Cont al Grantului pe numele Debitorului/Beneficiarului şi să crediteze sumele Împrumutului şi, respectiv, cele ale Grantului.

SECŢIUNEA 4.02 Retrageri de pe Conturile de Împrumut şi al Grantului.

(a) În perioada de timp între intrarea în vigoare a Acordului şi data încheierii Finanţării, Debitorul/ Beneficiarul poate cere retrageri de pe Contul de Împrumut şi/sau cel al Grantului pentru sumele achitate sau care urmează a fi achitate pentru Cheltuieli Eligibile. Fondul poate notifica Debitorul/ Beneficiarul despre suma minimă de retragere.

(b) Nu se va face nicio retragere de pe Contul de Împrumut şi/sau cel al Grantului până când primul PLBA nu a fost aprobat de către Fond şi Fondul a determinat că toate celelalte condiţii specificate în Acordul de Finanţare drept condiţii generale adiţionale anterioare retragerii au fost îndeplinite. Acordul de Finanţare de asemenea poate stabili condiţii specifice adiţionale anterior retragerii ce vor fi aplicabile anumitor categorii sau activităţi. Retragerile trebuie să facă faţă costurilor de începere a Proiectului, pot fi făcute de la data intrării în vigoare a Acordului, sub rezerva oricăror limite stabilite în Acordul de Finanţare.

SECŢIUNEA 4.03 Angajamente Speciale.

În baza cererii Debitorului/ Beneficiarului Fondul poate accepta să facă un angajament irevocabil să achite sumele necesare pentru a garanta o Scrisoare de Credit folosită pentru finanţarea Cheltuielilor Eligibile (un “Angajament Special”) la termenii şi condiţiile convenite de Debitor/ Beneficiar şi Fond.

SECŢIUNEA 4.04 Cereri pentru Retrageri sau Angajament Special.

(a) Când Debitorul/ Beneficiarul doreşte să ceară o retragere de pe Conturile de Împrumut şi/sau Grantul sau un Angajament Special, Debitorul/ Beneficiarul trebuie să expedieze Fondului o cerere într-o formă specificată de către Fond, împreună cu astfel de documente şi alte dovezi în susţinerea cererii precum poate solicita Fondul într-un mod rezonabil.

(b) Debitorul/Beneficiarul trebuie să prezinte Fondului dovezi corespunzătoare cu privire la autoritatea persoanei sau persoanelor autorizate să semneze astfel de cereri şi specimenul semnăturii autentificat a fiecărei persoane respective.

(c) O astfel de cerere şi actele ce o însoţesc şi alte dovezi trebuie să fie suficiente să satisfacă Fondul în privinţa că Debitorul/Beneficiarul este în drept să facă o astfel de retragere sau angajament special.

(d) Dacă Debitorul/Beneficiarul solicită o retragere de pe conturile de Împrumut sau cel al Grantului pentru a achita sume pentru Cheltuieli Eligibile, Fondul poate prin urmare să transfere sumele date Debitorului/Beneficiarului cerându-i ca acesta să prezinte dovezi potrivite Fondului, arătându-i că retragerile anterioare au fost cheltuite în mod corespunzător pentru Cheltuieli Eligibile. Fondul poate stabili limite rezonabile pentru suma pe care Debitorul/Beneficiarul o poate retrage în avans sau suma totală pentru astfel de retrageri în avans şi poate solicita ca astfel de sume să fie menţinute într-o valută uşor convertibilă, şi sau să fie menţinute pe un cont desemnat în acest scop la o bancă acceptată de către Fond.

SECŢIUNEA 4.05 Transferul făcut de Fond.

În baza primirii unei cereri autentificate şi satisfăcătoare pentru retragerea banilor din partea Debitorului/Beneficiarului, Fondul trebuie să transfere pe contul specificat de către Debitor/Beneficiar suma indicată de acesta.

SECŢIUNEA 4.06 Datele de valoare a Retragerilor

O retragere trebuie considerată făcută la data la care instituţia financiară relevantă debitează contul Fondului ales în scopurile de a permite astfel de retrageri.

SECŢIUNEA 4.07 Alocări şi Realocări a Veniturilor de Finanţare.

(a) Un Acord de Finanţare poate aloca suma de finanţare pentru categoriile Cheltuielilor Eligibile şi să specifice procentajul a unor astfel de Cheltuieli Eligibile care să fie finanţate de către Finanţare.

(b) Fondul trebuie să monitorizeze folosirea Finanţelor în scopul de a determina când alocarea la o categorie a fost epuizată sau se epuizează.

(c) Dacă Fondul determină că suma Finanţării ce a fost alocată în Acordul de Finanţare la o categorie de Cheltuieli Eligibile este sau va fi suficientă, Fondul poate informa printr-o notificare Debitorul/ Beneficiarul:

(i) Să realoce sumele unei astfel de categorii a Finanţării alocate altei categorii în măsura necesităţii pentru a face faţă deficitului estimat; şi/sau

(ii) Dacă o astfel de realocare nu va face faţă în întregime deficitului estimat, să reducă procentajul unor astfel de Cheltuieli Eligibile care să fie finanţate de către Finanţator.

SECŢIUNEA 4.08 Cheltuieli Eligibile.3

(a) Finanţarea trebuie să fie folosită exclusiv pentru finanţarea cheltuielilor care corespund următoarelor cerinţe de eligibilitate:

(i) Cheltuielile trebuie să corespundă costului rezonabil al bunurilor, lucrărilor şi serviciilor cerute pentru Proiect şi acoperite de PLBA relevant, procurate în conformitate cu Ghidul de Achiziţionare al Fondului.

(ii) Cheltuielile trebuie să fie suportate în Perioada de Implementare a Proiectului, cu excepţia cheltuielilor legate de încheierea Proiectului, care pot fi suportate după data finisării Proiectului şi până la data finisării Finanţării.

(iii) Cheltuielile vor fi suportate de către o Parte din cadrul Proiectului.

(iv) Dacă Acordul alocă suma de Finanţare la categoriile Cheltuielilor Eligibile şi specifică procentajul unor astfel de Cheltuieli Eligibile pentru a fi finanţate de Finanţator, cheltuielile trebuie să se refere la categoria a cărei alocaţii nu a fost epuizată şi trebuie să fie eligibile doar până la procentajul aplicabil unei astfel de categorii.

(v) Cheltuielile în caz contrar trebuie să fie eligibile în conformitate cu termenii Acordului de Finanţare.

(b) Fondul din când în când poate exclude anumite tipuri de cheltuieli de la eligibilitate.

(c) Orice achitare interzisă prin decizia Consiliului de Securitate a Naţiunilor Unite, luată conform Capitolului VII a Cartei Naţiunilor Unite, nu va fi eligibilă pentru finanţare de către Finanţare.

(d) Orice plăţi unei persoane sau entităţi sau pentru oricare bunuri, lucrări sau servicii, dacă efectuarea sau primirea unor astfel de plăţi constituie o practică coercitivă, coluzivă, coruptă sau frauduloasă efectuată de către orice reprezentant al Debitorului/Beneficiarului sau orice Parte din cadrul Proiectului, acestea nu vor fi eligibile pentru finanţare de către Finanţator.

SECŢIUNEA 4.09 Rambursarea retragerilor de bani.

Dacă Fondul determină că o sumă retrasă de pe contul de Împrumut şi/sau al Grantului nu a fost folosită în scopurile indicate sau nu este necesară pentru finanţarea Cheltuielilor Eligibile Debitorul/Beneficiarul trebuie să ramburseze în mod prompt suma dată Fondului în baza instrucţiunii Fondului. Cu excepţia că Fondul va accepta altfel, această rambursare trebuie să fie făcută în valuta folosită de către Fond pentru achitarea acestor retrageri. Fondul va credita Conturile de Împrumut şi/sau al Grantului cu echivalentul SDR a sumei rambursate.

ARTICOLUL V – PLĂŢILE SERVICIULUI DE ÎMPRUMUT

SECŢIUNEA 5.01 Condiţii de Creditare.4

Împrumuturile asigurate de către Fond vor fi acordate în baza unor termeni riguroşi de concesiune, intermediari sau ordinari, precum sunt specificaţi în Acordul de Finanţare:

(a) Termenii de înaltă Concesiune: Împrumuturile acordate în baza termenilor de înaltă concesiune trebuie să fie fără dobândă, dar cu achitarea unei taxe pentru serviciu de trei pătrimi dintr-un procent (0,75%) pe an, plătite semianual în Valuta de Achitare a Serviciului de Împrumut şi trebuie să aibă o perioadă de maturitate de patruzeci (40) ani, inclusiv o perioadă de graţie de zece (10) ani, începând cu data aprobării Împrumutului de către Comitetul Executiv al Fondului.

(b) Termeni Riguroşi: Împrumuturile acordate în baza termenilor riguroşi trebuie să fie fără dobândă, dar cu achitarea unei taxe pentru serviciu de trei pătrimi dintr-un procent (0,75%) per an, plătite semianual în Valuta de Achitare a Serviciului de Împrumut şi trebuie să aibă o perioadă de maturitate de douăzeci (20) ani, inclusiv o perioadă de graţie de zece (10) ani, începând cu data aprobării Împrumutului de către Comitetul Executiv al Fondului.

(c) Termeni Intermediari : Împrumuturile acordate în baza termenilor intermediari vor avea o dobândă aplicată la suma restantă a Împrumutului cu o rata a dobânzii echivalentă cu o jumătate din Rata Dobânzii de Referinţă IFAD achitată semi-anual în Valuta de Achitare a Serviciului de Împrumut şi trebuie să aibă o perioadă de maturitate de douăzeci (20) ani, inclusiv o perioadă de graţie de cinci (5) ani, începând cu data când Fondul a determinat că toate condiţiile precedente retragerii au fost îndeplinite în conformitate cu secţiunea 4.02(b).

(d) Termeni Ordinari: Împrumuturile acordate în baza termenilor Ordinari vor avea o dobândă aplicată la suma restantă a Împrumutului cu o rata a dobânzii echivalentă Ratei Dobânzii de Referinţă IFAD, achitată semianual în Valuta de Achitare a Serviciului de Împrumut şi trebuie să aibă o perioadă de maturitate de la cincisprezece (15) ani până la optsprezece (18) ani, inclusiv o perioadă de graţie de trei (3) ani, începând cu data când Fondul a determinat că toate condiţiile precedente retragerii au fost îndeplinite în conformitate cu secţiunea 4.02(b).

(e) Taxa de Interes şi Serviciu trebuie să se stabilească pentru suma principală Împrumutului restantă şi trebuie să fie calculată în baza anului de 360 zile cu douăsprezece luni de 30 zile. Fondul trebuie să asigure Debitorului o declaraţie de interes şi taxa pentru serviciu cu cel puţin patru (4) săptămâni înainte de data la care trebuie făcută achitarea.

(f) Fondul trebuie să publice Rata dobânzii de Referinţă aplicabilă în fiecare perioadă a dobânzii.

(g) În timpul Perioadei de Graţie, taxa de serviciu şi dobanda trebuie să crească în baza sumei principale restante a Împrumutului şi trebuie să fie achitată semianual, dar nicio achitare a sumei principale nu trebuie efectuată.

SECŢIUNEA 5.02 Rambursările şi Plăţile în avans a sumei principale.

(a) Debitorul trebuie să achite suma totală a Împrumutului retras de pe contul de Împrumut în rate semi-anuale, calculate pentru perioada de maturitate minus perioada de graţie. Fondul trebuie să informeze Debitorul despre datele şi sumele plăţilor pe cât de rapid posibil după începerea perioadei de maturitate a Împrumutului.

(b) Debitorul trebuie să aibă dreptul de a achita în avans toate sau o parte a sumei principale a Împrumutului, cu condiţia că Debitorul achită toate dobânzile şi taxele acumulate neachitate în baza sumei care să fie achitată în avans care sunt datorii până la data plăţii în avans. Toate achitările în avans, în primul rând, vor fi trecute în contul dobânzii neachitate şi taxei de deservire şi mai apoi în contul Ratelor Împrumutului rămase.

(c) Orice anulare parţială a Împrumutului trebuie să fie aplicată proporţional oricărei rate de achitare rămasă a sumei principale a Împrumutului. Fondul trebuie să notifice Debitorul despre o astfel de cerere, specificând datele şi sumele ratelor rămase după asigurarea aplicării acesteia.

SECŢIUNEA 5.03 Modalitatea şi Locul Achitării.

Toate Achitările Serviciilor de Împrumut trebuie să fie achitate pe un astfel de cont sau conturi la o astfel de bancă sau instituţie financiară pe care Fondul poate să le desemneze printr-o notificare către Debitor.

SECŢIUNEA 5.04 Date de valoare a Plăţilor Serviciilor de Împrumut.

Plăţile serviciilor de Împrumut trebuie să fie considerate efectuate la data la care instituţia financiară relevantă creditează contul Fondului desemnat pentru aceasta.

ARTICOLUL VI – PREVEDERILE VALUTEI

SECŢIUNEA 6.01 Valute pentru retrageri.

(a) Retragerile de pe contul de Împrumut şi/sau cel al Grantului trebuie făcute în valutele respective în care cheltuielile vor fi finanţate din veniturile Finanţării care au fost achitate sau sunt achitabile, sau în o astfel de valută sau valute precum poate stabili Fondul.

(b) Contul de Împrumut şi/sau cel al Grantului trebuie să fie debitate în echivalentul SDR a sumei retrase, determinată la data de valoare a retragerii. Dacă valuta retragerii a fost înlocuită de către Fond cu altă valută, Contul de Împrumut sau cel al Grantului trebuie să fie debitate în echivalentul SDR al sumei în cealaltă valută.

SECŢIUNEA 6.02 Valuta plăţii serviciului de Împrumut.

Toate Plăţile serviciilor de Împrumut trebuie făcute în valuta Plăţii serviciilor de Împrumut care este specificat în Acordul de Finanţare. Suma oricărei plăţi a Serviciilor de Împrumut trebuie să fie echivalentul valutei Plăţii serviciilor de Împrumut la data scadenţei sumei SDR a unei astfel de plăţi a serviciilor de Împrumut precum determinată de către Fond în conformitate cu Articolul 5, Secţiunea 2(b) a Acordului de Instituire a IFAD.

SECŢIUNEA 6.03 Evaluări ale valutei.

Ori de câte ori este necesar de a determina valoarea unei valute în termenii alteia, Fondul va determina astfel de valoare în conformitate cu Articolul 5, Secţiunea 2(b) a Acordului de Instituire a IFAD.

ARTICOLUL VII – IMPLEMENTAREA PROIECTULUI

SECŢIUNEA 7.01 Implementarea Proiectului.

(a) Debitorul şi fiecare Parte din cadrul Proiectului vor executa Proiectul:

(i ) cu diligenţă şi eficienţă cuvenită;

(ii) în conformitate cu practicile administrative potrivite, de inginerie, financiare, economice, operaţionale, de mediu şi de dezvoltare a agriculturii (inclusiv practicile rurale de dezvoltare) şi buna administrare;

(iii) în conformitate cu planurile, standarde de design, specificaţii, programul de achiziţii şi acţiuni şi metode de construcţie acceptate de Debitor/Beneficiar şi Fond;

(iv) în conformitate cu prevederile Acordului relevant, PLBA-urile şi Planul de Achiziţii;

(v) în conformitate cu politicile, criteriile şi reglementările legate de finanţarea devotării agriculturii, stabilite din când în când de Consiliul de Administrare şi Comitetul Executiv al Fondului; şi

(vi) aşa încât să asigure durabilitatea realizărilor sale pe parcursul timpului.

(b) (i) Proiectele trebuie implementate în baza Planului de Lucru şi Bugetului Anual (PLBA), Agenţia Lider a Programului trebuie să pregătească un proiect schiţă PLBA pentru fiecare Proiect bazat pe cât de corespunzător, pe schiţa PLBA-urilor pregătită de diferite părţi din cadrul Proiectului. Fiecare schiţă a Proiectului PLBA trebuie să includă printre celelalte lucruri o descriere detailată a activităţilor planificate ale Proiectului pe parcursul anului ce vine din cadrul Proiectului, un Plan de Achiziţii şi sursele şi utilizările fondurilor.

(ii) Înaintea fiecărui An al Proiectului Agenţia Lider a Programului trebuie în caz de necesitate să înainteze Proiectul schiţă PLBA organului de supraveghere desemnat de către Debitor/Beneficiar pentru al revizui. Când va fi revizuit, Agenţia trebuie să înainteze Proiectul schiţă PLBA Fondului pentru comentarii nu mai târziu de şaizeci (60) zile până la începutul Anului relevant al Proiectului. Dacă Fondul nu va comenta asupra schiţei Planului PLBA pe parcursul a treizeci (30) zile de la primirea acestuia, PLBA trebuie considerat acceptabil pentru către Fond.

(iii) Agenţia Lider a Programului trebuie să adopte Proiectul PLBA într-o formă acceptată de către Fond.

(iv) Agenţia Lider a Programului poate propune ajustări ale Proiectului PLBA pe parcursul anului relevant al Proiectului, care trebuie să devină efective după acceptarea de către Fond.

SECŢIUNEA 7.02 Disponibilitatea Veniturilor de Finanţare.

(a) Debitorul/Beneficiarul va asigura că veniturile de finanţare sunt disponibile Părţilor din cadrul Proiectului în baza termenilor şi condiţiilor specificate în Acordul de Finanţare sau în caz contrar aprobat de către Fond în scopul realizării Proiectului.

(b) Acordul de Finanţare poate prevedea că Debitorul/Beneficiarul să deschidă şi să menţină unul sau mai multe Conturi ale Proiectului pentru operaţiunile Proiectului într-o bancă acceptată de către Fond şi trebuie să identifice Partea din cadrul Proiectului care este responsabilă pentru operarea unui astfel de cont sau conturi. Operarea unor astfel de conturi, numai doar dacă nu este specificat altfel în Acordul de Finanţare, trebuie să fie realizată în conformitate cu regulile aplicabile şi reglementările Părţii din cadrul Proiectului care este responsabilă pentru aceasta.

SECŢIUNEA 7.03 Disponibilitatea Resurselor Adiţionale.

(a) Adiţional la veniturile de Finanţare, Debitorul/Beneficiarul va face disponibil Părţilor Proiectului astfel de fonduri, echipament, servicii şi alte resurse care pot fi necesare pentru executarea Proiectului în conformitate cu Secţiuunea 7.01.

(b) Adiţional la veniturile de Finanţare, Acordul de Finanţare poate prevedea că Debitorul/Beneficiarul va face disponibil Părţilor Proiectului pe parcursul perioadei de implementare a Proiectului, fondurile omoloage din resursele sale proprii în conformitate cu procedurile sale naţionale obişnuite pentru asistenţă în dezvoltare.

SECŢIUNEA 7.04 Coordonarea Activităţilor.

Cu scopul de a se asigura că Proiectul este realizat în conformitate cu Secţiunea 7.01, Debitorul/Beneficiarul trebuie să se asigure ca activităţile relevante ale ministerelor sale, departamentelor şi agenţiilor şi ale fiecărei Părţi din cadrul Proiectului sunt dezvoltate şi coordonate cu politicile şi procedurile administrative solide.

SECŢIUNEA 7.05 Achiziţii.

(a) Achiziţionarea bunurilor, lucrărilor şi serviciilor, finanţată de Finanţator trebuie să fie făcută în conformitate cu prevederile reglementărilor de achiziţie a Debitorului/Beneficiarului în măsura în care sunt consistente cu Ghidul de Achiziţii IFAD. Fiecare Plan de Achiziţii trebuie să identifice procedurile care trebuie implementate de către Debitor/Beneficiar în scopul de a asigura consistenţa cu Ghidul de Achiziţii IFAD.

(b) Printr-o notificare către Debitor/Beneficiar, Fondul poate solicita ca toate actele obligatorii şi contractele pentru achiziţionarea bunurilor, lucrurilor şi serviciilor finanţate de către Finanţator să includă prevederi ce solicită ca ofertanţii, furnizorii, contractanţii, subcontractanţii şi consultanţii să:

(i) permită inspecţia deplină efectuată de către Fond a tuturor documentelor de ofertă şi a înregistrărilor legate de acestea;

(ii) menţină toate documentele şi înregistrările legate de ofertă sau contract pe termen de trei ani după finisarea ofertei sau contractului; şi

(iii) coopereze cu agenţii sau reprezentanţii Fondului în timpul efectuării unui audit sau a unei investigaţii.

SECŢIUNEA 7.06 Folosirea Bunurilor şi Serviciilor.

Toate bunurile, serviciile şi clădirile finanţate de Finanţator trebuie să fie folosite exclusiv în scopurile Proiectului.

SECŢIUNEA 7.07 Menţinerea.

Debitorul/Beneficiarul trebuie să asigure că toate încăperile şi lucrările civile folosite în legătură cu Proiectul trebuie mereu să fie operate şi menţinute corespunzător şi toate reparaţiile necesare pentru astfel de încăperi trebuie făcute prompt la necesitate.

SECŢIUNEA 7.08 Asigurare.

(a) Debitorul/Beneficiarul sau Agenţia Lider a Programului trebuie să asigure toate bunurile şi clădirile folosite în cadrul Proiectului împotriva unor anumite riscuri şi cu astfel de sume, pentru a fi în concordanţă cu practicile comerciale rezonabile;

(b) Debitorul/Beneficiarul sau Agenţia Lider a Programului trebuie să asigure toate bunurile importate pentru Proiect, care sunt finanţate de către Finanţare, împotriva incidentelor de pericol în timpul achiziţionării, transportării şi livrării acestora la locul de folosire sau instalare în concordanţă cu practicile comerciale rezonabile.

SECŢIUNEA 7.09 Acorduri subsidiare.

(a) Debitorul/Beneficiarul va asigura că nicio Parte a Proiectului nu va semna un Acord Subsidiar sau va consimţi orice modificare a acestuia, inconsistent cu Acordul de Finanţare sau cu Acordul Proiectului.

(b) Debitorul/Beneficiarul şi fiecare Parte a Proiectului trebuie să-şi exercite drepturile sale în orice Acord Subsidiar din care face Parte, pentru a asigura că interesele Debitorului/Beneficiarului şi ale Fondului sunt pe deplin protejate şi că Proiectul este realizat în conformitate cu Secţiunea 7.01.

(c) Nicio prevedere a unui Acord Subsidiar din care Debitorul/Beneficiarul face Parte nu trebuie să fie atribuită, renunţată, suspendată, abrogată, modificată fără consimţământul în prealabil al Fondului.

(d) Debitorul/Beneficiarul trebuie să suporte orice risc valutar conform Acordului Subsidiar din care face Parte, până când Fondul nu decide altfel.

SECŢIUNEA 7.10 Executarea Acordurilor.

(a) Debitorul/Beneficiarul va fi pe deplin responsabil faţă de Fond pentru performanţa potrivită şi la timp a tuturor obligaţiilor atribuite acestora, Agenţiei Lider a Programului şi tuturor celorlalte Părţi ale Proiectului din orice Acord. În măsura în care orice Parte a Proiectului are personalitate legală separată de Debitor/Beneficiar, orice referinţă la o obligaţie a unei astfel de Părţi a Proiectului din un Acord trebuie să fie considerată o obligaţie a Debitorului/Beneficiarului pentru a asigura că o astfel de Parte îndeplineşte o astfel de obligaţie. Acceptarea de către orice Parte a Proiectului a oricărei obligaţii atribuită acesteia într-un Acord nu trebuie să afecteze responsabilităţile şi obligaţiile Debitorului/Beneficiarului.

(b) Debitorul/Beneficiarul trebuie să întreprindă toate acţiunile necesare sau corespunzătoare care sunt în puterile sale pentru a permite şi a asista Agenţia Lider a Programului şi orice altă Parte a Proiectului sa-şi realizeze obligaţiile sale conform Acordului. Debitorul/Beneficiarul nu trebuie să întreprindă sau nu trebuie să permită nici unei Părţi terţe să întreprindă orice acţiune care ar împiedica o astfel de performanţă.

SECŢIUNEA 7.11 Personalul de Bază al Proiectului.

Debitorul/Beneficiarul sau Agenţia Lider a Programului trebuie să numească Directorul Proiectului şi tot personalul de bază din cadrul Proiectului în modul specificat în Acord sau în alt mod aprobat de către Fond. Tot personalul de bază din cadrul Proiectului trebuie să deţină calificări şi experienţa specificată în Acord sau altfel doar prin acordul Fondului. Debitorul/Beneficiarul trebuie să depună efort pentru a asigura continuitatea personalului de bază din cadrul Proiectului în timpul Perioadei de implementare a Proiectului. Debitorul/Beneficiarul sau Agenţia Lider a Programului trebuie să asigure personalul de bază împotriva riscurilor legate de sănătate şi accidente în măsura consistentă cu practica comercială rezonabilă sau practica sa obişnuită în conformitate cu administraţia naţională civilă, în dependenţă ce este potrivit.

SECŢIUNEA 7.12 Părţile Proiectului.

Fiecare Parte a Proiectului trebuie precum se cere să realizeze Proiectul în conformitate cu Secţiunea 7.01:

(a) prin întreprinderea fără întârziere a tuturor acţiunilor necesare sau potrivite pentru a menţine existenţa sa corporativă şi a obţine, menţine şi renova drepturile, proprietăţile, puterile, privilegiile şi francizele sale;

(b) prin angajarea unui management şi a unui personal competent şi cu experienţă;

(c) prin operarea, menţinerea şi înlocuirea fabricii sale, a echipamentului sau a altor proprietăţi; şi

(d) prin a nu vinde, gaja sau a folosi oricare active ale Proiectului, cu excepţia cursului normal a afacerii precum se acceptă de Fond.

SECŢIUNEA 7.13 Alocarea resurselor Proiectului.

Debitorul/Beneficiarul şi Părţile Proiectului trebuie să se asigure că resursele şi beneficiile Proiectului practicabile la cel mai înalt nivel sunt alocate Populaţiei Ţintă folosind metodele genului dezagregat.

SECŢIUNEA 7.14 Factorii Mediului.

Debitorul/Beneficiarul şi Părţile Proiectului trebuie să întreprindă toate măsurile rezonabile pentru a se asigura că Proiectul este realizat cu diligenţa necesară în ceea ce priveşte factorii mediului şi în conformitate cu legislaţia naţională a mediului şi orice tratate internaţionale la care Statul Membru al Proiectului poate face parte. În special, Părţile Proiectului trebuie să menţină practicile potrivite de gestionare a pericolelor pentru Proiect şi în acest scop trebuie să se conformeze principiilor Codului Internaţional de Conduită în Distribuirea şi Folosirea Pesticidelor a Organizaţiei pentru Alimentaţie şi Agricultură a Naţiunilor Unite (FAO), precum modificat, şi să se asigure că pesticidele achiziţionate conform Proiectului nu includ orice tipuri de pesticide care ar fi clasificate drept Extrem de periculoase (Clasa Ia) sau Înalt periculoase (Clasa Ib) conform Clasificării Recomandate WHO a Pesticidelor conform Pericolului, precum a fost modificat.

SECŢIUNEA 7.15 Ratele de recreditare.

În perioada implementării Proiectului Debitorul/Beneficiarul şi Fondul trebuie periodic să revadă ratele dobânzii aplicabile oricărui credit extins membrilor Populaţiei Ţintă care sunt finanţaţi (direct sau indirect) de către Finanţator. Aceste revizuiri trebuie să se desfăşoare în comun cu obiectivul atingerii şi menţinerii ratelor dobânzii pozitive de-a lungul timpului. Debitorul/Beneficiarul trebuie să ia orice măsuri corespunzătoare consistente cu strategiile sale şi strategiile Fondului pentru a atinge acel obiectiv. Printre aceste măsuri, Debitorul/Beneficiarul şi fiecare Parte a Proiectului extinzând astfel de credite trebuie să se străduie să minimizeze costurile sale. În scopurile acestei Secţiuni termenul «rata pozitivă a dobânzii” se referă la orice credit oferit de către orice Parte a Proiectului, o rată a dobânzii care după punerea în aplicare a efectului inflaţiei permite unei astfel de Părţi a Proiectului să recupereze costurile sale şi să atingă durabilitate.

SECŢIUNEA 7.16 Finalizarea Proiectului.

Debitorul/Beneficiarul trebuie să se asigure că Părţile Proiectului finisează implementarea Proiectului la Data Finisării Proiectului. Fondul şi Debitorul/Beneficiarul trebuie să accepte că va elibera activele Proiectului până la finisarea sa.

ARTICOLUL VIII – IMPLEMENTAREA RAPORTĂRII ŞI INFORMAŢIEI

SECŢIUNEA 8.01 Implementarea Înregistrărilor.

Debitorul/Beneficiarul trebuie să se asigure că Părţile Proiectului păstrează înregistrările şi documentele adecvate pentru a reflecta operaţiunile lor în implementarea Proiectului (inclusiv, dar fără limitare la copiile sau originalele întregii corespondenţe, procese-verbale ale întrunirilor şi toate documentele legate de achiziţii) până la Data finisării Proiectului şi trebuie să păstreze astfel de documente şi înregistrări pentru cel puţin zece (10) ani.

SECŢIUNEA 8.02 Monitorizarea Implementării Proiectului.

Agenţia Lider a Programului trebuie să:

(a) Stabilească şi după aceea să menţină un sistem de gestionare a informaţiei corespunzător în conformitate cu Ghidul de Monitorizare şi Evaluare a Proiectului al Fondului cu care aceasta trebuie în continuu să monitorizeze Proiectul.

(b) În timpul Perioadei de implementare a Proiectului să colecteze toate datele şi alte informaţii relevante (inclusiv orice şi toată informaţia solicitată de Fond) necesară pentru a monitoriza progresul Implementării Proiectului şi realizarea obiectivelor sale; şi

(c) În timpul Perioadei de implementare a Proiectului şi pentru cel puţin zece (10) ani după aceea, să stocheze adecvat informaţia dată şi în mod prompt la cerere să facă disponibilă informaţia dată Fondului şi reprezentanţilor şi agenţilor acestuia.

SECŢIUNEA 8.03 Raport de activitate şi Revizuiri pe termen mediu.

(a) Agenţia Lider a Programului sau altă parte desemnată astfel într-un Acord relevant, trebuie să furnizeze Fondului rapoarte periodice cu privire la progresul Proiectului într-o astfel de formă şi conţinut precum poate solicita Fondul în mod rezonabil. Minimum astfel de rapoarte trebuie să fie la adresa (i) progresului calitativ şi cantitativ atins în timpul implementării Proiectului şi realizarea obiectivelor sale, (ii) problemelor întâlnite în perioada raportării, (iii) acţiunilor luate sau propuse a fi luate pentru a remedia aceste probleme şi (iv) programul de activităţi propus şi progresul care se aşteaptă pentru perioada următoare raportării.

(b) Dacă este specificat într-un Acord, Agenţia Lider a Programului şi Fondul pot în comun să execute o revizuire a implementării Proiectului nu mai târziu decât la mijlocul perioadei de implementare a Proiectului (“Revizuire pe termen mediu”), bazată pe termenii de referinţă stabiliţi de către Agenţia Lider a Programului şi aprobaţi de către Fond. Printre alte lucruri, Revizuirea pe termen mediu trebuie să considere atingerea obiectivelor Proiectului şi constrângerile cu privire la acesta şi să recomande o astfel de reorientare care ar putea fi necesară pentru atingerea acestor obiective şi înlăturarea constrângerilor.

(c) Debitorul/Beneficiarul trebuie să se asigure că recomandările care rezultă din Revizuirea pe termen mediu sunt implementate în perioada specificată acestora şi spre satisfacţia Fondului. Astfel de recomandaţii pot rezulta în modificări ale Acordului sau Anularea Finanţării.

SECŢIUNEA 8.04 Raportul de finalizare.

Pe cât de prompt posibil după Data de finisare a Proiectului, dar nu mai târziu de data Data încetării Finanţării, Debitorul/Beneficiarul trebuie să furnizeze Fondului un raport cu privire la implementarea generală a Proiectului într-o astfel de formă şi conţinut, precum poate fi specificat în Acordul de Finanţare sau precum poate solicita Fondul într-o manieră rezonabilă. Minimum acest raport trebuie să fie la adresa (i) costurilor şi beneficiilor Proiectului, (ii) atingerii obiectivelor sale, (iii) performanţei Debitorului/Beneficiarului, Părţilor Proiectului, Fondului ce ţine de obligaţiile lor conform Acordului şi (iv) lecţiilor învăţate anterior.

SECŢIUNEA 8.05 Planuri şi Programe.

Părţile Proiectului trebuie să furnizeze Fondului în mod prompt în baza pregătirii lor astfel de planuri, schiţe, standarde, rapoarte, contracte, specificări şi proiecte legate de Proiect şi orice modificare materială făcută ulterior în această privinţă.

SECŢIUNEA 8.06 Alte rapoarte de implementare şi informaţii.

Adiţional la rapoartele şi informaţia solicitată de către prevederile de mai sus a Articolului:

(a) Debitorul/Beneficiarul şi Părţile Proiectului trebuie în mod prompt să furnizeze Fondului alte rapoarte şi informaţii precum poate solicita Fondul într-un mod rezonabil cu privire la orice aspect legat de Proiect sau orice Parte a Proiectului.

(b) Debitorul/Beneficiarul şi Părţile Proiectului trebuie să informeze Fondul în mod prompt despre orice condiţie ce interferează cu implementarea Proiectului sau atingerea obiectivelor sale. În special, Debitorul/Beneficiarul şi Părţile Proiectului trebuie să notifice Fondul în mod prompt despre orice alegaţii de fraudă şi/sau corupţie care sunt primite în relaţie cu orice activităţi ale Proiectului.

ARTICOLUL IX – RAPORTAREA FINANCIARĂ ŞI INFORMAŢII

SECŢIUNEA 9.01 Raporturi Financiare.

Părţile Proiectului trebuie să menţină conturi şi înregistrări separate în conformitate cu practicile corespunzătoare menţinute în mod constant care sunt adecvate să reflecte operaţiunile, resursele şi cheltuielile legate de Proiect până la Data Încetării Finanţării Proiectului şi trebuie să păstreze astfel de conturi şi înregistrări pentru cel puţin zece (10) ani după aceea.

SECŢIUNEA 9.02 Declaraţii Financiare.

Debitorul/Beneficiarul trebuie să expedieze Fondului dări de seamă Financiare detailate cu privire la operaţiunile, resursele şi cheltuielile legate de Proiect pentru fiecare An Fiscal ce vor fi pregătite în conformitate cu standardele şi procedurile acceptate de Fond şi trebuie să expedieze astfel de dări de seamă Financiare Fondului cu patru (4) luni înainte de finisarea fiecărui An Fiscal.

SECŢIUNEA 9.03 Revizia Conturilor.

Debitorul/Beneficiarul trebuie:

(a) Să aibă conturile legate de Proiect revizuite în fiecare An Fiscal în conformitate cu standardele de Audit acceptate de către Fond şi Ghidul Fondului cu privire la Auditul Proiectului (pentru utilizarea de către Debitor) de către auditori independenţi acceptaţi de către Fond.

(b) Timp de şase (6) luni de la sfârşitului fiecărui An Fiscal, să furnizeze Fondului o copie autentificată a raportului de Audit. Debitorul/Beneficiarul trebuie să prezinte Fondului răspuns scrisorii de management a auditorilor timp de o lună de la primirea acesteia.

(c) Dacă Debitorul/Beneficiarul nu furnizează la timp orice raport de audit într-o formă satisfăcătoare ce a fost solicitată, Fondul determină dacă Debitorul/Beneficiarul este în drept s-o facă într-o perioadă rezonabilă, Fondul poate angaja Auditori independenţi la alegerea sa ca să auditeze conturile legate de Proiect. Fondul poate finanţa costul acestui serviciu de audit prin retragerea de pe conturile de Împrumut sau cel al Grantului.

SECŢIUNEA 9.04 Alte raporturi Financiare şi Informaţii.

Adiţional raporturilor şi informaţiilor solicitate de prevederile de mai sus a Articolului:

(a) Debitorul/Beneficiarul şi Părţile Proiectului trebuie să furnizeze Fondului în mod prompt alte rapoarte şi informaţii pe care le poate solicita acesta, cu privire la orice aspect financiar legat de Finanţare sau de Proiect sau orice Parte a Proiectului.

(b) Debitorul/Beneficiarul şi Garantul trebuie să informeze Fondul în mod prompt despre orice condiţie ce interferează cu sau ameninţă să interfereze cu menţinerea Serviciilor de Plăţi a Împrumutului.

(c) Statul Membru al Proiectului trebuie să furnizeze Fondului prompt toată informaţia pe care Fondul o poate solicita cu privire la condiţiile financiare şi economice în teritoriul său, inclusiv balanţa sa de plăţi şi datoriile sale externe.

ARTICOLUL X – COOPERAREA

SECŢIUNEA 10.01 Cooperarea, În general.

Fondul, Instituţia de Cooperare şi fiecare Parte a Proiectului trebuie să coopereze pe deplin pentru a asigura că obiectivele Proiectului sunt atinse.

SECŢIUNEA 10.02 Schimb de Opinii.

Fondul, Debitorul/Beneficiarul şi Agenţia Lider a Programului trebuie din când în când la solicitarea oricăruia din ei să facă schimb de opinii asupra Proiectului, Finanţării sau orice Parte a Proiectului.

SECŢIUNEA 10.03 Vizite, Inspectări şi Anchete.

Debitorul/Beneficiarul şi Părţile Proiectului trebuie să permită agenţilor şi reprezentanţilor Fondului din când în când:

(a) să viziteze şi să inspecteze Proiectul, inclusiv orice sau toate locurile, lucrările, echipamentul şi alte bunuri folosite în scopurile Proiectului;

(b) să examineze originalele şi să facă copiile oricăror date, conturi, înregistrări şi documente relevante Finanţării, Proiectul sau orice Parte a Proiectului; şi

(c) să viziteze, comunice şi să facă anchetări a întregului personal al Proiectului şi orice membru al personalului a oricărei Părţi a Proiectului.

SECŢIUNEA 10.04 Controale audit iniţiate de Fond.

Debitorul/Beneficiarul şi Părţile Proiectului trebuie să permită auditorilor desemnaţi de Fond să facă controale de audit a înregistrărilor şi conturilor legate de Proiect. Debitorul/Beneficiarul şi Părţile Proiectului trebuie să coopereze în întregime cu aceşti auditori şi să le acorde drepturi depline şi privilegii de agenţi sau reprezentanţi ai Fondului conform Secţiunii 10.03. cu excepţia controalelor de audit realizate în conformitate cu Secţiunea 9.03(c), Fondul trebuie să suporte costurile a astfel de controale audit.

SECŢIUNEA 10.05 Evaluări ale Proiectului.

(a) Debitorul/Beneficiarul şi fiecare Parte a Proiectului trebuie să faciliteze toate evaluările şi revizuirile Proiectului pe care Fondul le poate realiza în cadrul Perioadei de implementare a Proiectului şi timp de zece (10) ani după.

(b) Precum folosit în această Secţiune, termenul “a facilita”, adiţional corespunderii depline cu Articolele VIII, IX şi acest Articol X în legătură cu astfel de evaluări şi revizuiri include asigurarea la timp cu suport logistic prin facerea disponibilă a personalului Proiectului şi echipamentului şi în mod prompt întreprinderea altei acţiuni precum poate cere Fondul în legătură cu astfel de evaluări şi revizuiri, dar nu include suportarea cheltuielilor mărunte în numerar.

SECŢIUNEA 10.06 Revizuirea Portofoliului Ţării.

Statul Membru al Proiectului trebuie să permită agenţilor şi reprezentanţilor Fondului prin Consultanţa cu Statul Membru al Proiectului de a intra pe teritoriul său din când în când pentru a face schimburi de opinie cu aceste persoane, să viziteze astfel de locuri şi să examineze astfel de date, înregistrări şi documente precum poate solicita Fondul cu scopul de a realiza o revizuire generală a tuturor proiectelor şi programelor finanţate deplin sau parţial de către Fond în teritoriul său şi toate finanţările extinse de către Fond către Statul Membru al Proiectului. Statul Membru al Proiectului trebuie să asigure că toate Părţile interesate cooperează pe deplin într-o astfel de revizuire.

ARTICOLUL XI – IMPOZITAREA

SECŢIUNEA 11.01 Impozitarea.

(a) Finanţarea şi Serviciile de Plată a Împrumutului trebuie să fie scutite de toate Impozitele, şi toate Serviciile de Plată a Împrumutului trebuie să fie libere şi scutite de Impozite.

(b) Acordul trebuie să fie scutit de orice Impozite prin semnătură, livrare sau înregistrare.

(c) Utilizarea oricăror venituri din Finanţare pentru a achita Impozite reprezintă subiect pentru politica Fondului de solicitare a economiei şi eficienţei în folosirea Finanţării sale. Prin urmare, dacă Fondul la orice moment decide că suma oricărui astfel de Impozit este excesivă, discriminatorie sau altfel spus nerezonabilă, Fondul poate printr-o notificare către Debitor/Beneficiar reduce procentajul Cheltuielilor Eligibile care vor fi finanţate de Finanţator şi care sunt specificate în Acordul de Finanţare.

SECŢIUNEA 11.02 Rambursarea Impozitelor.

Dacă Fondul determină la orice moment că orice sumă a veniturilor din Finanţare a fost folosită pentru achitarea Impozitelor, care sunt socotite de către acesta drept excesive, discriminatorii sau altfel spus nerezonabile, acesta poate solicita Debitorului/Beneficiarului printr-o notificare în formă scrisă să ramburseze o astfel de sumă Fondului în mod prompt. În baza recepţionării acesteia, Fondul trebuie să crediteze Contul Împrumutului sau Grantului cu suma unei astfel de rambursări.

ARTICOLUL XII – REMEDII ALE FONDULUI

SECŢIUNEA 12.01 Suspendarea Fondului.

(a) Ori de câte ori oricare din următoarele evenimente a avut loc şi continuă, Fondul poate suspenda în întregime sau parţial dreptul Debitorului/Beneficiarului de a solicita retrageri de pe Conturile de Împrumut sau cel al Grantului:

(i) Debitorul a eşuat de a face orice Serviciu de Achitare a Împrumutului atunci când din cauza, fie da ori nu Garantul sau orice altă Parte Terţă a făcut un astfel de Serviciu de Achitare a Împrumutului.

(ii) Debitorul/Beneficiarul a eşuat să facă orice plată datorată în baza oricărui altui Acord de Finanţare, Acord de Garanţie sau altă obligaţie financiară de orice tip a Debitorului/Beneficiarului către Fond, aşa sau nu, orice Parte Terţă a făcut o astfel de achitare.

(iii) Garantul a eşuat să facă orice Serviciu de Achitare a Împrumutului când este datorat.

(iv) Garantul a eşuat să facă orice plată datorată conform oricărui alt Acord de Garanţie sau Financiar încheiat între Garantor şi Fond, sau altă obligaţie financiară de orice tip a Garantului faţă de Fond.

(v) Fondul a determinat că Proiectul a eşuat să realizeze sau este improbabil de a realiza la timp scopurile sale precum stabilite în Acord.

(vi) Fondul a determinat că situaţia care a apărut poate face improbabil ca Proiectul să fie realizat cu succes sau orice Parte a Proiectului va fi în stare să realizeze oricare din obligaţiile sale conform Acordului.

(vii) Statul Membru al Proiectului a fost suspendat din poziţia de membru al Fondului sau a încetat să fie un Stat Membru; sau Statul Membru al Proiectului a expediat o notificare cu intenţia sa de a se retrage din cadrul Fondului.

(viii) Orice reprezentare efectuată de către Debitor/Beneficiar, Garant sau orice Parte a Proiectului în orice Acord sau orice declaraţie furnizată în legătură cu aceasta şi s-a bazat pe Fond în executarea Finanţării, este incorectă sau derutantă sub orice aspect material.

(ix) Dacă Debitorul/Beneficiarul nu este un Stat Membru, Fondul a determinat că orice deteriorare semnificativă în starea Debitorului/Beneficiarului a avut loc.

(x) Fie Debitorul/Beneficiarul sau Garantul nu au fost în stare să achite datoriile sale în general precum acestea au apărut drept datorii.

(xi) Orice autoritate competentă a întreprins acţiuni pentru dizolvarea Agenţiei Lider a Programului sau suspendare a operaţiunilor sale.

(xii) Orice autoritate competentă a întreprins acţiuni pentru dizolvarea oricărei Părţi a Proiectului (alta decât Agenţia Lider a Programului) sau suspendare a operaţiunilor sale şi Fondul a determinat că o astfel de dizolvare sau suspendare este posibil să aibă efect negativ semnificativ asupra Proiectului.

(xiii) Debitorul/Beneficiarul a eşuat să facă fonduri, facilităţi, servicii şi alte resurse disponibile Proiectului în conformitate cu Secţiunile 7.02 sau 7.03.

(xiv) Fondul nu a primit niciun raport de audit sau alt document indicat în Articolul VIII (Implimentarea Raportării şi Informaţiei) sau în Articolul IX (Raportarea Financiară şi Informaţii) în perioada indicată pentru aceasta în Acorduri, sau raportul de audit nu satisface Fondul pe deplin, sau Debitorul/Beneficiarul sau orice Parte a Proiectului a eşuat să-şi îndeplinească obligaţiile sale conform Articolului VIII sau IX.

(xv) Agenţia Lider a Programului sau orice Parte a Proiectului au eşuat să-şi îndeplinească obligaţiile sale conform Acordului Proiectului.

(xvi) Debitorul/Beneficiarul sau Agenţia Lider a Programului au eşuat să-şi îndeplinească obligaţiile sale conform oricărui Acord Subsidiar.

(xvii) Oricare Parte a Proiectului (alta decât Agenţia Lider a Programului) a eşuat să-şi îndeplinească obligaţiile sale conform oricărui Acord Subsidiar şi Fondul a determinat că această eşuare a avut sau este probabil să aibă un efect advers semnificativ asupra Proiectului.

(xviii) Orice Acord Subsidiar sau orice prevedere a acestuia a fost atribuit, evitat, suspendat, anulat, amendat, modificat fără un consimţământ din partea Fondului şi Fondul a decis că o astfel de cesiune, evitare, suspendare, anulare, amendament sau modificare a avut sau este probabil să aibă un efect advers semnificativ asupra Proiectului.

(xix) Fondul a suspendat în întregime sau parţial dreptul Debitorului/Beneficiarului sau a Garantului să ceară sau să facă retrageri conform oricărui alt Acord încheiat cu Fondul.

(xx) ) Debitorul/Beneficiarul sau orice Parte a Proiectului au eşuat să respecte oricare altă obligaţie conform Acordului de Finanţare sau orice alt Acord.

(xxi) Fondul decide că orice sumă a Finanţării a fost folosită pentru a finanţa o cheltuială alta decât o Cheltuială Eligibilă.

(xxii) Fondul după consultarea cu Debitorul/Beneficiarul a decis că beneficiile materiale ale Proiectului nu ajung în mod adecvat la Populaţia Ţintă, sau beneficiază de acestea alte persoane decât Populaţia Ţintă în detrimentul acesteia.

(xxiii) Debitorul/Beneficiarul nu şi-a îndeplinit obligaţiile pentru performanţa oricărei Înţelegeri Speciale stabilită în Acordul relevant şi această neîndeplinire a obligaţiilor a continuat neremediat pentru o perioadă de treizeci (30) zile şi Fondul a decis că această neîndeplinire a obligaţiilor a avut sau posibil să aibă un efect advers semnificativ asupra Proiectului.

(xxiv) Fondul a transmis notificare Debitorului/Beneficiarului că alegaţiile credibile a practicilor coercitive, coluzive, corupte sau frauduloase în legătură cu Proiectul au ajuns în atenţia Fondului şi Debitorul/Beneficiarul a eşuat să întreprindă acţiuni corespunzătoare la timp pentru abordarea problemelor spre satisfacţia Fondului.

(xxv) Achiziţia nu a fost sau nu este realizată în conformitate cu Ghidul de Achiziţii IFAD.

(xxvi) În baza apariţiei sau neapariţiei, precum poate fi situaţia, a unui eveniment specificat în Acordul relevant drept un temei adiţional pentru suspendare.

O astfel de suspendare trebuie să devină efectivă în baza expedierii unei notificări de către Fond către Debitor/Beneficiar şi Garant. O astfel de suspendare trebuie să continue până Fondul notifică Debitorul/Beneficiarul că dreptul acestuia de a cere retrageri a fost restaurat în întregime sau parţial.

(b) Dacă raportul de audit conform Secţiunii 9.03 nu a fost prezentat Fondului timp de şase (6) luni de la data la care a fost solicitat, dreptul Debitorului/Beneficiarului de a cere retrageri de pe conturile de Împrumut sau cel al Grantului vor fi suspendate.

SECŢIUNEA 12.02 Anularea de către Fond.

(a) Dacă au avut loc oricare din următoarele evenimente, Fondul poate anula în întregime sau parţial sumele rămase pe Contul de Împrumut sau cel al Grantului:

(i) Dreptul Debitorului/Beneficiarului de a cere retrageri de pe conturile de Împrumut sau cel al Grantului a fost suspendat conform Secţiunii 12.01 în ceea ce priveşte orice sumă a Finanţării pentru o perioadă continuă de cel puţin treizeci (30) zile.

(ii) Fondul decide după consultarea cu Debitorul/Beneficiarul că orice sumă a Finanţării nu va fi cerută pentru finanţarea Proiectului.

(iii) După consultarea cu Debitorul/Beneficiarul Fondul decide că practicile coercitive, coluzive, corupte sau frauduloase au fost comise de reprezentanţii Debitorului/Beneficiarului sau orice Parte a Proiectului în privinţa oricărei cheltuieli suportate în timpul achiziţiei sau realizării oricărui contract finanţat de către Finanţator şi că Debitorul/Beneficiarul a eşuat să întreprindă acţiuni corespunzătoare la timp pentru a remedia situaţia.

(iv) Fondul a decis că orice sumă a Finanţării a fost folosită pentru finanţarea unei cheltuieli alta decât una Eligibilă şi Debitorul/Beneficiarul a eşuat să ramburseze prompt suma dată Fondului în baza instrucţiunii Fondului.

(v) Fondul a primit o notificare de la Garant ce îşi reziliază obligaţiile sale conform Acordului de Garanţie.

(vi) Revizuirea pe termen mediu a recomandat ca Proiectul să fie reziliat.

(vii) În baza apariţiei sau neapariţiei, precum poate fi situaţia, a unui eveniment specificat în Acordul de Finanţare relevant drept un temei adiţional pentru anulare.

O astfel de anulare trebuie să fie efectivă în baza expedierii unei notificări către Debitor/Beneficiar.

(b) Orice sumă ce rămâne pe Conturile de Împrumut sau cel al Grantului trebuie să fie anulată la Data finisării Finanţării, cu excepţia oricărui balanţe neretrase a cererilor de retragere primită la Data finisării Finanţării şi orice sume subiect pentru Angajamente Speciale nerealizat care trebuie să fie anulat în baza realizării depline a unor astfel de Angajamente Speciale.

SECŢIUNEA 12.03 Anularea de către Debitor/Beneficiar.

După consultarea cu Fondul cu colaborarea Garantului, Debitorul/Beneficiarul poate anula prin o notificare către Fond orice sumă a Finanţării neretrasă cu excepţia sumelor ce sunt subiect pentru Angajamentele Speciale. O astfel de anulare trebuie să devină efectivă în baza înştiinţării acesteia de către Fond.

SECŢIUNEA 12.04 Aplicabilitatea Anulării sau Suspendării.

(a) Nicio anulare sau suspendare nu trebuie aplicată sumelor ce reprezintă subiect a oricărui Angajament Special făcut de către Fond până ce un astfel de Angajament Special prevede în mod clar altceva.

(b) Cu excepţia precum este prevăzut în mod clar în acest Articol toate prevederile Acordului de Finanţare trebuie să continue în forţă şi efect depline fără a ţine cont de orice anulare sau suspendare.

SECŢIUNEA 12.05 Micşorarea Maturităţii.

Dacă în orice moment au avut loc următoarele situaţii ulterior continuării acestora, Fondul poate atunci declara suma principală a Împrumutului rămasă împreună cu toate dobânzile acumulate şi alte taxe ce ţin de acestea, să fie imediat datorate şi achitabile:

(a) Orice eveniment specificat în paragraful (v) până la (xii) inclusiv, a Secţiunii 12.01 care a avut loc;

(b) Fondul a declarat suma principală a oricărui împrumut faţă de Debitor/Beneficiar sau Garant atunci datorate şi să devină imediat datorii şi să fie achitate;

(c) Orice eveniment specificat în paragrafele (i ) până la (iv) inclusiv, a Secţiunii 12.01 care a avut loc şi continuă pentru o perioadă de treizeci (30) zile;

(d) Orice eveniment specificat în paragrafele (xiii) până la (xxiv) inclusiv, a Secţiunii 12.01 care a avut loc şi continuă pentru o perioadă de şaizeci (60) zile după notificarea trimisă de către Fond Debitorului/Beneficiarului şi Garantului; sau

(e) Orice alt eveniment specificat în Acordul de Finanţare în scopurile acestei Secţiuni ce a avut loc şi a continuat pentru o perioadă, dacă oricare, specificată în Acordul de Finanţare.

O astfel de declaraţie trebuie să fie efectivă în baza expedierii unei notificări către Debitorul/Beneficiarul şi Garantul, după care astfel de sumă principală, interese şi alte taxe trebuie să devină datorate şi achitabile imediat.

SECŢIUNEA 12.06 Alte Remedii.

Remediile Fondului stabilite în acest Articol nu trebuie să limiteze altfel spus, sa aducă prejudicii oricăror drepturi sau remedii disponibile Fondului altfel.

ARTICOLUL XIII – INTRAREA ÎN VIGOARE ŞI REZILIEREA

SECŢIUNEA 13.01 Intrarea în vigoare.

Un Acord sau amendamentul acestuia trebuie să intre în vigoare la data când ambii, Fondul şi Debitorul/Beneficiarul l-au semnat, până când Acordul indică că acesta este subiect pentru ratificare, în acest caz Acordul trebuie să intre în vigoare la data la care Fondul primeşte un instrument de ratificare.

SECŢIUNEA 13.02 Rezilierea înainte de retragere.

Fondul poate rezilia Acordul şi toate drepturile şi obligaţiile Părţilor care sunt legate de el dacă:

(a) Până la data primei retrageri de pe Conturile Împrumutului sau cel al Grantului a avut loc orice situaţie de suspendare specificată în Secţiunea 12.01; sau

(b) Până la data primei retrageri de pe Conturile Împrumutului sau cel al Grantului Debitorul/Beneficiarul, Garantul sau orice Parte a Proiectului a întreprins orice acţiune în mod inconştient cu obiectivul şi scopul oricărui Acord.

SECŢIUNEA 13.03 Rezilierea după realizarea Deplină.

Un Acord şi drepturile şi obligaţiile legate de acesta trebuie să înceteze când întreaga sumă principală a Împrumutului retrasă de pe Contul Împrumutului şi toate dobânzile şi alte taxe care s-au acumulat pe baza Împrumutului au fost achitate şi când toate celelalte obligaţii ale Părţilor au fost realizate pe deplin, sau când Părţile acceptă.

ARTICOLUL XIV – FORŢA EXECUTORIE ŞI ACŢIUNILE LEGATE DE ACEASTA.

SECŢIUNEA 14.01 Forţa Executorie.

Acordul şi drepturile şi obligaţiile părţilor legate de acesta trebuie să fie valide şi executorii în conformitate cu termenii acestora, indiferent de orice lege contrară în teritoriul Statului Membru al Proiectului.

SECŢIUNEA 14.02 Eşuarea de a-şi exercita drepturile.

Nicio întârziere sau eşuare în exercitarea oricărui drept, putere sau remediu a oricărei părţi dintr-un Acord nu trebuie să afecteze un astfel de drept, putere sau remediu sau să fie interpretat drept o renunţare la acesta. Nici o acţiune sau omitere a oricărei Părţi în privinţa oricărei eşuări conform Acordului nu trebuie să influenţeze orice drept, putere sau remediu a unei astfel de părţi în privinţa oricărei eşuări ulterioare.

SECŢIUNEA 14.03 Drepturi şi Remedii Cumulative.

Drepturile şi remediile oricărei Părţi conform unui Acord sunt cumulative şi (excepţie este doar dacă este prevăzut altfel în mod clar) nu exclusiv de orice drept sau remedii pe care în caz contrar o astfel de Parte le-ar avea.

SECŢIUNEA 14.04 Arbitrajul.

(a) Părţile unui Acord trebuie să se străduiască să rezolve prin căi amiabile orice controverse apărute între ei cu privire la un astfel de Acord.

(b) Nerezolvarea controverselor pe căi amiabile înseamnă că controversele trebuie înaintate spre arbitraj pentru a fi rezolvată. Părţile arbitrajului trebuie să fie Părţi ale Acordului în controversă, cu excepţia că poate interveni Garantul sau să fie interpelat în orice controversă care poate afecta drepturile sale sau obligaţiile conform Acordului de Garanţie.

(c) Tribunalul Arbitral trebuie să fi constituit dintr-un singur arbitru numit prin acordul Părţilor sau în cazul că aceste nu acceptă timp de trei (3) luni după ce procedurile sunt instituite conform paragrafului (d) de mai jos de către Preşedintele Curţii Internaţionale de Justiţie sau în cazul eşuării numirii de către acesta, de către Secretarul General al Naţiunilor Unite. Dacă arbitrul trebuie să demisioneze, moare sau devine necapabil să acţioneze, un succesor arbitru trebuie să aibă toate puterile şi responsabilităţile unui astfel de arbitru iniţial.

(d) Procedurile unui arbitraj pot fi instituite conform acestei Secţiuni în baza notificării din partea Părţii ce instituie astfel de proceduri celeilalte Părţi sau Părţilor. O astfel de notificare trebuie să conţină o declaraţie ce stabileşte natura controversei sau plângerea ce urmează să fie înaintată arbitrajului.

(e) Procedurile arbitrajului trebuie să aibă loc într-un astfel de loc şi timp precum le va stabili arbitrul.

(f) Subiect pentru prevederile acestei Secţiuni şi cu excepţia dacă Părţile vor accepta altfel, arbitrul trebuie să decidă toate întrebările legate de competenţa sa şi trebuie să determine procedura pentru arbitraj.

(g) Arbitrul trebuie să permită tuturor Părţilor un proces echitabil şi trebuie să pronunţe sentinţa sa în formă scrisă. O astfel de sentinţă poate fi pronunţată în mod implicit. O copie semnată trebuie acordată fiecărei Părţi. Orice astfel de sentinţă pronunţată în conformitate cu prevederile acestei Secţiuni trebuie să fie definitivă şi obligatorie pentru Părţi. Fiecare Parte trebuie să respecte şi să se conformeze unei astfel de sentinţe pronunţate de către arbitru în conformitate cu prevederile acestei Secţiuni.

(h) Părţile trebuie să fixeze suma de remunerare a arbitrului şi alte persoane care vor fi necesare pentru desfăşurarea procedurilor de arbitraj. Dacă Părţile nu vor conveni asupra sumei date înainte de începerea procedurilor de arbitraj, arbitrul va fixa suma care trebuie să fie rezonabilă circumstanţelor. Fiecare Parte trebuie să acopere cheltuielile sale din cadrul arbitrajului. Costurile arbitrului trebuie să fie împărţite între şi suportate în mod egal de către Fond pe de o parte şi de Părţi pe de altă parte. Orice întrebare legată de împărţirea costurilor arbitrului între Părţi sau procedura de achitare a astfel de costuri trebuie să fie determinată de către arbitru.

(i) Prevederile arbitrajului stabilite în aceasta Secţiune sunt în schimbul oricărei proceduri pentru rezolvarea controversei dintre Părţi şi orice plângere din partea unei Părţi împotriva celeilalte.

(j) Dacă sentinţa nu a fost conformată timp de treizeci (30) zile după ce copiile sentinţei au fost transmise părţilor orice Parte poate acţiona în judecată sau să instituie o procedură pentru a acţiona sentinţa în orice judecată de jurisdicţie competentă împotriva celeilalte Părţi. O astfel de Parte poate pune în aplicare o astfel de hotărâre prin execuţie sau poate continua orice alt remediu potrivit împotriva celeilalte Părţi pentru punerea în aplicare a hotărârii.

(k) Serviciul oricărei notificări sau proces în legătură cu orice procedură conform acestei Secţiuni sau (în măsura în care un astfel de remediu poate fi disponibil) în legătură cu orice procedură de executarea oricărei sentinţe pronunţate în baza acestei Secţiuni poate fi făcut în modul prevăzut în Secţiunea 15.01. Părţile pot renunţa la oricare sau toate cerinţele serviciului unei astfel de notificări sau proces.

ARTICOLUL XV – PREVEDERI DIVERSE

SECŢIUNEA 15.01 Comunicaţii.

Toate notificările, cererile şi alte comunicaţii acordate sau făcute în baza unui Acord trebuie să fie în formă scrisă. Cu excepţia dacă este prevăzut altfel în mod clar în Acord, orice astfel de notificare cerere sau alte comunicaţii trebuie să fie considerate pe deplin expediate sau făcute în cazul că sunt livrate manual, prin poştă, telegramă, cablu, fax sau e-mail Părţii căreia îi este livrată sau efectuată la adresa Părţii specificată într-un Acord special sau la o altă adresă pe care o poate indica Partea printr-o notificare celeilalte Părţi.

SECŢIUNEA 15.02 Limba de raportare.

Debitorul/Beneficiarul şi Părţile Proiectului trebuie să expedieze toate rapoartele şi informaţiile către Fond în limba în care este Acordul, sau în orice altă limbă acceptată de către Părţi.

SECŢIUNEA 15.03 Autoritatea ce întreprinde acţiuni.

Reprezentantul sau agentul desemnat astfel în Acord sau altă persoană autorizată pe deplin în formă scrisă de către un astfel de reprezentant sau agent poate întreprinde orice acţiune şi să semneze orice document ce ţine de un astfel de Acord din numele unei astfel de Părţi.

SECŢIUNEA 15.04 Dovezi de autoritate.

În baza cererii din partea Fondului, Debitorul/Beneficiarul, Garantul şi orice Parte a Proiectului trebuie să expedieze Fondului dovezi suficiente de autoritate a persoanei la care se face referinţă în Secţiunea 15.03, şi specimenul autentificat al semnăturii a fiecărei persoane respective.

SECŢIUNEA 15.05 Modificări ale Acordului.

Părţile pot accepta din când în când să modifice termenii şi condiţiile unui Acord (inclusiv, dar nelimitându-se la termenii şi condiţiile acestor Condiţii Generale precum aplicate în acesta) sau aplicării Acordului. Orice modificare a Acordului trebuie să intre în vigoare conform prevederilor Secţiunii 13.01 a acestuia, până când Părţile decid altfel.

SECŢIUNEA 15.06 Schimbarea Entităţii sau Reprezentantului.

Dacă o Parte doreşte să numească orice succesor, a realoca responsabilităţile sau să schimbe denumirea sau adresa oricărei din entităţi specificate într-un Acord, Partea dată trebuie să trimită notificare celeilalte Părţi. În baza acceptării din partea celeilalte Părţi o astfel de entitate nouă trebuie să constituie entitatea responsabilă pe deplin de realizarea funcţiilor atribuite predecesorului său conform Acordului.

SECŢIUNEA 15.07 Semnarea Acordului.

Semnarea unui Acord de către o Parte trebuie să constituie exprimarea consimţământului acestei Părţi de a-l respecta, este subiect numai oricărei ratificări sau autorizaţii cerute de o normă de drept intern de importanţă fundamentală şi împărtăşit celeilalte Părţi în formă scrisă înainte de semnare.

Programme Title: Inclusive Rural Economic and Climate Resilience Programme (the “Programme”)

The Republic of Moldova (the “Recipient”)

and

The International Fund for Agricultural Development (the “Fund” or “IFAD”)

(each a “Party” and both of them collectively the “Parties”)

WHEREAS

A. the Recipient and the Fund have entered into a Financing Agreement dated 20 February 2014 (the “Financing Agreement”), for a loan and a grant from the Fund′s regular resources, and for a GEF grant from the Global Environment Facility (the “GEF”) resources (Loan no. 2000000418, Grant no. 2000000443 and GEF Grant no. 2000000452), for the carrying out of the Programme, which is described in Schedule 1 to the Financing Agreement;

B. the Recipient has requested additional financial assistance for carrying out the Programme;

C. the Government of the Kingdom of Denmark (the “Donor”) and the Fund have entered into a CoFinancing Agreement dated 19 December 2013 (the “CoFinancing Agreement”), pursuant to which the Donor shall make available to the Fund a contribution in order to provide supplementary financing to the Inclusive Economic Development for Young Entrepreneurs scheme of Programme Component 2, Inclusive Rural Finance and Capacity Development; and

D. the Fund has agreed to make available to the Recipient financial assistance from the Donor′s contribution subject to the terms and conditions provided in the Financing Agreement, the CoFinancing Agreement and this agreement (the “Agreement”) for the implementation of the Programme by the Recipient.

NOW THEREFORE, the Parties hereby agree as follows:

Section A

1. Without any limitation or restriction upon any of its obligations under this Agreement for the execution of the Programme, the Recipient accepts, mutatis mutandis, the provisions of the Financing Agreement and the CoFinancing Agreement, as constituting an integral part of this Agreement and as valid and binding obligations of the Recipient to the Fund.

2. Without limiting the generality of the preceding paragraph, the following documents collectively form this Agreement: this document, the Programme Description and Implementation Arrangements (Schedule 1) and the Allocation Table (Schedule 2).

3. The Fund′s General Conditions for Agricultural Development Financing dated 29 April 2009 as may be amended from time to time (the “General Conditions”), are annexed to this Agreement, and all provisions thereof shall apply to this Agreement. For the purposes of this Agreement, the terms defined in the General Conditions shall have the meanings set forth therein.

4. The Fund shall provide a grant (the “Danish Grant”) to the Recipient, which the Recipient shall use for the implementation of the Programme in accordance with the terms and conditions of this Agreement.

Section B

1. The amount of the Danish Grant is the USD equivalent of thirty million three hundred fifty thousand Danish Kroner (DKK 28 571 400).

2. The first day of the applicable Fiscal Year shall be 1 January.

3. Designated account.

(a) There shall be a designated account (the “Designated Danish Grant Account”) for the purposes of receiving the Danish Grant and financing the Programme.

(b) The Designated Danish Grant Account shall be opened and operated subject to the same terms and conditions as those applicable to the Designated Accounts as provided in the Financing Agreement.

4. Programme account.

(a) There shall be a Programme account (the “Programme Danish Grant Account”) to receive resources from the Designated Danish Grant Account for the benefit of the Programme.

(b) The Programme Danish Grant Account shall be opened and operated subject to the same terms and conditions as those applicable to the Programme Accounts as provided in the Financing Agreement.

5. The Recipient shall exempt all goods, works and services financed with the Danish Grant from taxes. In the case that any specific goods, works or services financed with the Danish Grant are not exempt from taxes, such taxes shall be reimbursed by the Recipient in accordance with Annual Work Plans and Budgets (AWPBs) referred to in paragraph 10 of Schedule 1 to the Financing Agreement.

6. The Disbursement of the Danish Grant shall be made available to the Recipient only if and to the extent that the relevant funds of the Donor have been duly received by the Fund for the specific purpose of funding the Project.

Section C

1. The Lead Programme Agency shall be the Ministry of Agriculture and Food Industry (the “MAFI”).

2. Only eligible expenditures for Programme implementation incurred during the period from the date of entry into force of the Agreement to 31 December 2017 shall be financed by the Danish Grant.

Section D

The Danish Grant will be administered and the Programme supervised by the Fund.

Section E

1. The following are designated as additional grounds for suspension of this Agreement: Any of the events provided in Section E.1 of the Financing Agreement.

2. The following are designated as additional general conditions precedent to withdrawal:

(a) The conditions provided in Sections E.2 and E.3 of the Financing Agreement.

(b) The Designated Danish Grant Account and Programme Danish Grant Account shall have been opened on terms and conditions in accordance with this Agreement.

3. This Agreement is subject to ratification by the Recipient.

4. The following are the designated representatives and addresses to be used for any communication related to this Agreement:

Schedule 1

Programme Description and Implementation Arrangements

I. Programme Description

1. The Programme shall have the same nature and scope as described in Schedule 1 to the Financing Agreement.

2. The outputs to be financed by the Danish Grant target rural young entrepreneurs and are following: (i) Pre- and Post-investment training; (ii) Financing facilitation; and (iii) Business plan support (described in detail in Schedule 1 of the Co-Financing Agreement).

II. Implementation Arrangements

3. Except as otherwise provided in this Agreement, the implementation arrangements as to the utilisation of the Danish Grant shall be the same as the implementation arrangements described in Schedule 1 to the Financing Agreement.

Schedule 2

Allocation Table

Allocation of the Danish Grant. The Table below sets forth the Categories of Eligible Expenditures to be financed by the Danish Grant and the allocation of the amounts of the Danish Grant to each Category and the percentages of expenditures for items to be financed in each Category:

ARTICLE I - APPLICATION

Section 1.01. Application of General Conditions.

(a) These General Conditions apply to all Financing Agreements (as such term is defined in Section 2.01). They apply to other agreements only if an agreement expressly so provides.

(b) If a particular provision of these General Conditions does not apply to an Agreement, the Agreement must provide explicitly that it does not apply.

ARTICLE II-DEFINITIONS

Section 2.01. General Definitions.

The following terms have the following meanings wherever used in these General Conditions:

“Agreement” means a Financing Agreement or other agreement subject to these General Conditions.

“Annual Workplan and Budget” or “AWPB” means the annual workplan and budget for carrying out a Project during a particular Project Year, which includes the Procurement Plan.

“Borrower” means the party designated as such in an Agreement.

“Coercive practice” means impairing or harming, or threatening to impair or harm, directly or indirectly, any party or the property of the party to influence improperly the actions of a party.

“Collusive practice” means an arrangement between two or more parties designed to achieve an improper purpose, including influencing improperly the actions of another party.

“Cooperating Institution” means an institution designated as such in a Financing Agreement as responsible for the administration of the Financing and/or the supervision of the implementation of the Project.

“Cooperation Agreement” means an agreement or agreements between the Fund and a Cooperating Institution by which a Cooperating Institution agrees to act as such.

“Corrupt practice” means offering, giving, receiving or soliciting, directly or indirectly, anything of value to improperly influence the actions of another party.

“Currency” of a State or a territory means the currency that is legal tender for the payment of public and private debts in such State or territory.

“Eligible Expenditure” means an expenditure that complies with Section 4.08.

“Euro” or “EUR” mean the currency of the European Monetary Union.

“Financing” means a Loan, a Grant, or a combination thereof.

“Financing Agreement” means a Project Financing Agreement or Programme Financing Agreement, pursuant to which the Fund agrees to extend Financing to the Borrower/Recipient.

“Financing Closing Date” means the date on which the right of the Borrower/Recipient to request withdrawals from the Loan Account and/or Grant Account ends, which is six (6) months after the Project Completion Date or such later date as the Fund may designate by notice to the Borrower/Recipient.

“Fiscal Year” means the twelve-month period designated as such in an Agreement.

“Fraudulent practice” means any action or omission, including a misrepresentation, that knowingly or recklessly misleads, or attempts to mislead, a party to obtain a financial or other benefit or to avoid an obligation.

“Freely convertible currency” means any currency so designated by the Fund at any time.

“Fund” means the International Fund for Agricultural Development.

“Grant” means a grant extended to a Recipient pursuant to a Financing Agreement or other Agreement.

“Grant Account” means the account in the books of the Fund opened in the name of the Recipient to which the amount of the Grant is credited.

“Guarantee Agreement” means an agreement between a Member State and the Fund by which such Member State guarantees the performance of another Agreement.

“Guarantor” means any Member State designated as such in a Guarantee Agreement.

“IFAD Procurement Guidelines” means the Procurement Guidelines approved by the Fund′s Executive Board in December 2004 (for Financing approved by the Fund′s Executive Board prior to September 2010) or the Project Procurement Guidelines approved by the Fund′s Executive Board in September 2010 (for Financing approved by the Fund′s Executive Board after September 2010) as such guidelines may be amended by the Fund.2

“IFAD Reference Interest Rate” means the rate determined periodically by the Fund as its reference rate for the computation of interest on its Loans.

“Lead Project Agency” means the entity designated as such in an Agreement, which has overall responsibility for the execution of a Project.

“Loan” means a loan extended by the Fund to the Borrower pursuant to a Financing Agreement.

“Loan Account” means the account in the books of the Fund opened in the name of the Borrower to which the amount of a Loan is credited.

“Loan Service Payment” means any payment required or permitted to be made by the Borrower or the Guarantor to the Fund under a Financing Agreement, including (but not limited to) any payment of the principal of, or interest or service charge on any Loan.

“Loan Service Payment Currency” means the freely convertible currency defined as such in a Financing Agreement.

“Member State” means any Member State of the Fund.

“Pound sterling” or “GBP” means the currency of the United Kingdom of Great Britain and Northern Ireland.

“Procurement Plan” means the Borrower/Recipient′s Procurement Plan covering the initial eighteen (18) month period of Project implementation, as the same shall be updated to cover succeeding twelve (12) month periods.

“Project” means the agricultural development project or programme described in an Agreement and financed, in whole or in part, by the Financing.

“Project Account” means an account for Project operations as described in Section 7.02(b).

“Project Agreement” means any agreement between the Fund and any Project Party relating to the implementation of all or any part of a Project.

“Project Completion Date” means the date specified in an Agreement on which the implementation of the Project is to be completed, or such later date as the Fund may designate by notice to the Borrower/Recipient.

“Project Implementation Period” means the period during which the Project is to be carried out, beginning on the date of entry into force of the Agreement and ending on the Project Completion Date.

“Project Member State” means the Member State in which the Project is carried out.

“Project Party” means each entity responsible for the implementation of the Project or any part thereof. The term “Project Party” includes (but is not limited to) the Lead Project Agency and any entity designated as a Project Party in an Agreement.

“Project Year” means (i) the period beginning on the date of entry into force of an Agreement and ending on the last day of the then-current Fiscal Year, and (ii) each period thereafter beginning on the first day of the Fiscal Year and ending on the last day thereof, provided, however, that if the date of entry into force of the Agreement falls after the midpoint of the Fiscal Year, Project Year 1 shall continue through the following Fiscal Year.

“Recipient” means the party designated as such in an Agreement.

“SDR Equivalent” means, with respect to any amount expressed in any currency at the time of determination, the equivalent of such amount in SDR, as determined by the Fund in accordance with Article 5.2(b) of the Agreement Establishing IFAD.

“Special Drawing Rights” or “SDR” mean special drawing rights as valued from time to time by the International Monetary Fund in accordance with its Articles of Agreement.

“Subsidiary Agreement” means any agreement or arrangement by which (i) the whole or part of the proceeds of the Financing are made available to a Project Party and/or (ii) a Project Party undertakes to carry out the Project, in whole or in part.

“Target Population” means the group of people intended to benefit from a Project.

“Taxes” means all imposts, levies, fees, tariffs and duties of any kind imposed, levied, collected, withheld or assessed by or in the territory of the Project Member State at any time.

“US dollar” or “USD” means the currency of the United States of America.

“Value Date” means, in respect of any withdrawal from the Loan Account, the date on which such withdrawal is deemed made in accordance with Section 4.06 and, in respect of any Loan Service Payment, the date on which such Loan Service Payment is deemed made in accordance with Section 5.04.

“Yen” or “JPY” means the currency of Japan.

Section 2.02 Use of Terms.

As used in these General Conditions and any Agreement, except as the context otherwise requires, terms in the singular include the plural, terms in the plural include the singular, and masculine pronouns include the feminine.

Section 2.03. References and Headings.

Unless otherwise indicated, references in these General Conditions to Articles or Sections refer to Articles or Sections of these General Conditions. The headings of the Articles and Sections and in the Table of Contents of these General Conditions are given for convenience of reference only and do not form an integral part of these General Conditions.

ARTICLE III - THE COOPERATING INSTITUTION

Section 3.01. Appointment of the Cooperating Institution.

A Financing Agreement may provide that a Cooperating Institution will be appointed to administer the Financing and supervise the Project.

Section 3.02. Responsibilities of the Cooperating Institution.

If appointed, the Cooperating Institution shall be responsible for:

(a) facilitating Project implementation by assisting the Borrower/Recipient and the Project Parties in interpreting and complying with the Financing Agreement;

(b) reviewing the Borrower/Recipient′s withdrawal applications to determine the amounts which the Borrower/Recipient is entitled to withdraw from the Loan and/or Grant Account;

(c) reviewing and approving on a no-objection basis the procurement of goods, civil works and services for the Project financed by the Financing;

(d) monitoring compliance with the Financing Agreement, bringing any substantial non­compliance to the attention of the Fund and recommending remedies therefor; and

(e) carrying out such other functions to administer the Financing and supervise the Project as may be set forth in the Cooperation Agreement.

Section 3.03. Cooperation Agreement.

If a Cooperating Institution is appointed, the Fund shall enter into a Cooperation Agreement with the Cooperating Institution setting forth the terms and conditions of its appointment.

Section 3.04. Actions by the Cooperating Institution.

Any action by the Cooperating Institution in accordance with a Cooperation Agreement shall be regarded and treated by the Borrower/Recipient, the Guarantor and the Project Parties as an action taken by the Fund.

Section 3.05. Cooperation by the Borrower/Recipient and the Project Parties.

The Borrower/Recipient, the Guarantor and the Project Parties shall take all necessary or appropriate steps to enable the Cooperating Institution to carry out its responsibilities smoothly and effectively.

ARTICLE IV - LOAN ACCOUNT AND WITHDRAWALS

Section 4.01. Loan and Grant Accounts.

Upon the entry into force of a Financing Agreement, the Fund shall open a Loan Account and/or a Grant Account in the name of the Borrower/Recipient and credit the principal amounts of the Loan and the Grant respectively thereto.

Section 4.02. Withdrawals from the Loan and Grant Accounts.

(a) Between the date of entry into force of the Agreement and the Financing Closing Date, the Borrower/Recipient may request withdrawals from the Loan Account and/or Grant Account of amounts paid or to be paid for Eligible Expenditures. The Fund shall notify the Borrower/Recipient of the minimum amount for withdrawals.

(b) No withdrawal shall be made from the Loan and/or Grant Accounts until the first AWPB has been approved by the Fund and the Fund has determined that all other conditions specified in the Financing Agreement as additional general conditions precedent to withdrawal have been fulfilled. The Financing Agreement may also establish additional specific conditions precedent to withdrawal applicable to particular categories or activities. Withdrawals to meet the costs of starting up the Project may be made from the date of entry into force of the Agreement, subject to any limits established in the Financing Agreement.

Section 4.03. Special Commitments.

Upon the Borrower/Recipient′s request, the Fund may agree to make an irrevocable commitment to pay amounts necessary to guarantee a Letter of Credit used to finance Eligible Expenditures (a “Special Commitment”) on such terms and conditions as the Borrower/Recipient and the Fund may agree.

Section 4.04. Applications for Withdrawal, or Special Commitment.

(a) When the Borrower/Recipient wishes to request a withdrawal from the Loan and/or Grant Accounts or a Special Commitment, the Borrower/Recipient shall deliver to the Fund an application in the form specified therefor by the Fund, together with such documents and other evidence in support of such application as the Fund shall reasonably request.

(b) The Borrower/Recipient shall furnish to the Fund satisfactory evidence of the authority of the person or persons authorised to sign such applications and the authenticated specimen signature of each such person.

(c) Each such application, and the accompanying documents and other evidence, must be sufficient to satisfy the Fund that the Borrower/Recipient is entitled to such withdrawal or Special Commitment.

(d) If the Borrower/Recipient requests a withdrawal from the Loan and/or Grant Accounts for amounts to be paid thereafter for Eligible Expenditures, the Fund may, before transferring such amount to the Borrower/Recipient, require that the Borrower/Recipient provide evidence satisfactory to the Fund showing that previous withdrawals have been properly spent for Eligible Expenditures. The Fund may place reasonable limits on the amount that the Borrower/Recipient may withdraw in advance or the overall balance of such advance withdrawals, and may require that such amounts be held in a freely convertible currency and/or be held in an account designated for that purpose in a bank acceptable to the Fund.

Section 4.05. Transfer by the Fund.

Upon receipt of an authenticated and satisfactory application for withdrawal from the Borrower/Recipient, the Fund shall transfer to the account specified by the Borrower/Recipient the amount specified therein.

Section 4.06. Value Dates of Withdrawals.

A withdrawal shall be deemed made as of the day on which the relevant financial institution debits the account of the Fund chosen for the purpose of disbursing such withdrawal.

Section 4.07. Allocations and Reallocations of Financing Proceeds.

(a) A Financing Agreement may allocate the amount of the Financing to categories of Eligible Expenditures and specify the percentages of such Eligible Expenditures to be financed by the Financing.

(b) The Fund shall monitor the uses of the Financing in order to determine when the allocation to a category has been depleted or is about to be depleted.

(c) If the Fund determines that the amount of the Financing allocated in the Financing Agreement to a category of Eligible Expenditures is or will be insufficient, the Fund may, by notice to the Borrower/Recipient:

(i) reallocate to such category amounts of the Financing allocated to another category to the extent required to meet the estimated shortfall; and/or

(ii) if such reallocation will not fully meet the estimated shortfall, reduce the percentage of such Eligible Expenditures to be financed by the Financing.

Section 4.08. Eligible Expenditures.3

(a) The Financing shall be used exclusively to finance expenditures meeting each of the following eligibility requirements:

(i) The expenditure shall meet the reasonable cost of goods, works and services required for the Project and covered by the relevant AWPB and procured in conformity with the Fund′s Procurement Guidelines.

(ii) The expenditure shall be incurred during the Project Implementation Period, except that expenditures to meet the costs of winding up the Project may be incurred after the Project Completion Date and before the Financing Closing Date.

(iii) The expenditure shall be incurred by a Project Party.

(iv) If the Agreement allocates the amount of the Financing to categories of Eligible Expenditures and specifies the percentages of such Eligible Expenditures to be financed by the Financing, the expenditure must relate to a category whose allocation has not been depleted, and shall be eligible only up to the percentage applicable to such category.

(v) The expenditure shall be otherwise eligible in accordance with the terms of the Financing Agreement.

(b) The Fund may from time to time exclude certain types of expenditure from eligibility.

(c) Any payment prohibited by a decision of the United Nations Security Council taken under Chapter VII of the Charter of the United Nations, shall not be eligible for financing by the Financing.

(d) Any payments to a person or an entity, or for any goods, works or services, if making or receiving such payment constitutes a coercive, collusive, corrupt or fraudulent practice by any representative of the Borrower/Recipient or any Project Party, shall not be eligible for financing by the Financing.

Section 4.09. Refund of Withdrawals.

If the Fund determines that any amount withdrawn from the Loan and/or Grant Accounts was not used for the purposes indicated or will not be needed thereafter to finance Eligible Expenditures, the Borrower/Recipient shall promptly refund such amount to the Fund upon instruction by the Fund. Except as the Fund shall otherwise agree, such refund shall be made in the currency used by the Fund to disburse such withdrawal. The Fund shall credit the Loan and/or Grant Accounts by the SDR Equivalent of the amount so refunded.

ARTICLE V - LOAN SERVICE PAYMENTS

Section 5.01. Lending Terms.4

Loans provided by the Fund shall be given on highly concessional, intermediate or ordinary terms, as specified in the Financing Agreement:

(a) Highly Concessional Terms: Loans granted on highly concessional terms shall be free of interest but bear a service charge of three fourths of one per cent (0.75%) per annum payable semi annually in the Loan Service Payment Currency, and shall have a maturity period of forty (40) years, including a grace period of ten (10) years starting from the date of approval of the Loan by the Fund′s Executive Board.

(b) Hardened Terms: Loans granted on hardened terms shall be free of interest but bear a service charge of three fourths of one per cent (0.75%) per annum payable semi-annually in the Loan Service Payment Currency, and shall have a maturity period of twenty (20) years, including a grace period of ten (10) years starting from the date of approval of the Loan by the Fund′s Executive Board.

(c) Intermediate Terms: Loans granted on intermediate terms shall be subject to interest on the principal amount of the Loan outstanding at a rate of one half of the IFAD Reference Interest Rate payable semi-annually in the Loan Service Payment Currency, and shall have a maturity period of twenty (20) years, including a grace period of five (5) years starting from the date that the Fund has determined that all general conditions precedent to withdrawal have been fulfilled in accordance with section 4.02(b).

(d) Ordinary Terms: Loans granted on ordinary terms shall be subject to interest on the principal amount of the Loan outstanding at a rate equal to the IFAD Reference Interest Rate, payable semi­annually in the Loan Service Payment Currency, and shall have a maturity period of fifteen (15) to eighteen (18) years, including a grace period of three (3) years starting from the date that the Fund has determined that all general conditions precedent to withdrawal have been fulfilled in accordance with section 4.02(b).

(e) Interest and service charge shall accrue on the outstanding principal amount of the Loan and shall be computed on the basis of a 360-day year of twelve 30-day months. The Fund shall provide the Borrower with a statement of interest and service charge due at least four (4) weeks prior to the date upon which payment is to be made.

(f) The Fund shall publish the IFAD Reference Interest Rate applicable in each interest period.

(g) During the grace period, interest and service charge shall accrue on the outstanding principal amount of the Loan and shall be payable semi-annually, but no payments of principal shall be due.

Section 5.02. Repayments and Prepayments of Principal.

(a) The Borrower shall repay the aggregate principal amount of the Loan withdrawn from the Loan Account in semi-annual instalments, calculated over the maturity period minus the grace period. The Fund shall inform the Borrower of the dates and amounts of the payments as soon as possible after the start of the period of maturity of the Loan.

(b) The Borrower shall have the right to prepay all or any part of the principal amount of the Loan, provided that the Borrower pays all accrued and unpaid interest and service charges on the amount to be prepaid which are due as of the prepayment date. All prepayments shall be credited first against any outstanding interest and service charge and then against the remaining Loan instalments.

(c) Any partial cancellation of the Loan shall be applied pro rata to any remaining payment instalments of the principal amount of the Loan. The Fund shall notify the Borrower of such application, specifying the dates and amounts of the remaining instalments after giving effect thereto.

Section 5.03. Manner and Place of Payment.

All Loan Service Payments shall be paid to such account or accounts in such bank or other financial institution as the Fund may designate by notice to the Borrower.

Section 5.04. Value Dates of Loan Service Payments.

Loan Service Payments shall be deemed made as of the day on which the relevant financial institution credits the account of the Fund designated therefor.

ARTICLE VI - CURRENCY PROVISIONS

Section 6.01. Currencies for Withdrawals.

(a) Withdrawals from the Loan and/or Grant Accounts shall be made in the respective currencies in which expenditures to be financed out of the proceeds of the Financing have been paid or are payable, or in such currency or currencies as the Fund may select.

(b) The Loan and/or Grant Accounts shall be debited by the SDR Equivalent of the amount withdrawn determined as of the value date of withdrawal. If the currency of withdrawal has been purchased by the Fund with another currency, the Loan and/or Grant Accounts shall be debited by the SDR Equivalent of the amount of such other currency.

Section 6.02. Loan Service Payment Currency.

All Loan Service Payments shall be made in the Loan Service Payment Currency specified in the Financing Agreement. The amount of any Loan Service Payment shall be the equivalent in Loan Service Payment Currency, as of the due date, of the SDR amount of such Loan Service Payment, as determined by the Fund in accordance with Article 5, Section 2(b) of the Agreement Establishing IFAD.

Section 6.03. Valuation of Currencies.

Whenever it is necessary to determine the value of one currency in terms of another, the Fund shall determine such value in accordance with Article 5, Section 2(b) of the Agreement Establishing IFAD.

ARTICLE VII - IMPLEMENTATION OF THE PROJECT

Section 7.01. Project Implementation.

(a) The Borrower and each of the Project Parties shall carry out the Project:

(i) with due diligence and efficiency;

(ii) in conformity with appropriate administrative, engineering, financial, economic, operational, environmental and agricultural development practices (including rural development practices) and good governance;

(iii) in accordance with plans, design standards, specifications, procurement and work schedules and construction methods agreed by the Borrower/Recipient and the Fund;

(IV) in accordance with the provisions of the relevant Agreement, the AWPBs, and the Procurement Plan;

(v) in accordance with the policies, criteria and regulations relating to agricultural development financing laid down from time to time by the Governing Council and Executive Board of the Fund; and

(VI) so as to ensure the sustainability of its achievements over time.

(b) (i) Projects shall be implemented on the basis of an Annual Workplan and Budget (AWPB).

The Lead Project Agency shall prepare a draft Project AWPB for each Project based, to the extent appropriate, on the draft AWPBs prepared by the various Project Parties. Each draft Project AWPB shall include, among other things, a detailed description of planned Project activities during the coming Project Year, a Procurement Plan, and the sources and uses of funds.

(II) Before each Project Year, the Lead Project Agency shall, if required, submit the draft Project AWPB to the oversight body designated by the Borrower/Recipient for its review. When so reviewed, the Lead Project Agency shall submit the draft Project AWPB to the Fund for comments no later than sixty (60) days before the beginning of the relevant Project Year. If the Fund does not comment on the draft Project AWPB within thirty (30) days of receipt, the AWPB shall be deemed acceptable to the Fund.

(III) The Lead Project Agency shall adopt the Project AWPB in the form accepted by the Fund.

(IV) The Lead Project Agency may propose adjustments in the Project AWPB during the relevant Project Year, which shall become effective after acceptance by the Fund.

Section 7.02. Availability of Financing Proceeds.

(a) The Borrower/Recipient shall make the proceeds of the Financing available to the Project Parties upon terms and conditions specified in the Financing Agreement or otherwise approved by the Fund for the purpose of carrying out the Project.

(b) The Financing Agreement may provide that the Borrower/Recipient open and maintain one or more Project Accounts for Project operations in a bank acceptable to the Fund, and shall identify the Project Party responsible for operating such account or accounts. The operation of such accounts, unless otherwise specified in the Financing Agreement, shall be performed in accordance with the applicable rules and regulations of the Project Party responsible therefor.

Section 7.03. Availability of Additional Resources.

(a) In addition to the proceeds of the Financing, the Borrower/Recipient shall make available to the Project Parties such funds, facilities, services and other resources as may be required to carry out the Project in accordance with Section 7.01.

(b) In addition to the proceeds of the Financing, the Financing Agreement may provide that the Borrower/Recipient shall make available to the Project Parties during the Project Implementation Period counterpart funds from its own resources in accordance with its customary national procedures for development assistance.

Section 7.04. Coordination of Activities.

In order to ensure that the Project is carried out in accordance with Section 7.01, the Borrower/ Recipient shall ensure that the relevant activities of its ministries, departments and agencies, and those of each Project Party, are conducted and coordinated in accordance with sound administrative policies and procedures.

Section 7.05. Procurement.

(a) Procurement of goods, works and services financed by the Financing shall be carried out in accordance with the provisions of the Borrower/Recipient′s procurement regulations, to the extent such are consistent with the IFAD Procurement Guidelines. Each Procurement Plan shall identify procedures which must be implemented by the Borrower/Recipient in order to ensure consistency with the IFAD Procurement Guidelines.

(b) By notice to the Borrower/ Recipient, the Fund may require that all bidding documents and contracts for procurement of goods, works and services financed by the Financing include provisions requiring bidders, suppliers, contractors, sub-contractors and consultants to:

(I) allow full inspection by the Fund of all bid documentation and related records;

(II) maintain all documents and records related to the bid or contract for three years after completion of the bid or contract;

(III) and cooperate with agents or representatives of the Fund carrying out an audit or investigation.

Section 7.06. Use of Goods and Services.

All goods, services and buildings financed by the Financing shall be used exclusively for the purposes of the Project.

Section 7.07. Maintenance.

The Borrower/Recipient shall ensure that all facilities and civil works used in connection with the Project shall at all times be properly operated and maintained and that all necessary repairs of such facilities shall be made promptly as needed.

Section 7.08. Insurance.

(a) The Borrower/Recipient or the Lead Project Agency shall insure all goods and buildings used in the Project against such risks and in such amounts as shall be consistent with sound commercial practice.

(b) The Borrower/Recipient or the Lead Project Agency shall insure the goods imported for the Project which are financed by the Financing against hazards incident to the acquisition, transportation and delivery thereof to the place of use or installation in accordance with sound commercial practice.

Section 7.09. Subsidiary Agreements.

(a) The Borrower/Recipient shall ensure that no Project Party shall enter into any Subsidiary Agreement, or consent to any modification thereof, inconsistent with the Financing Agreement or the Project Agreement.

(b) The Borrower/Recipient and each Project Party shall exercise its rights under any Subsidiary Agreement to which it is party to ensure that the interests of the Borrower/Recipient and the Fund are fully protected and the Project is carried out in accordance with Section 7.01.

(c) No provision of any Subsidiary Agreement to which the Borrower/Recipient is a party shall be assigned, waived, suspended, abrogated, amended or otherwise modified without the prior consent of the Fund.

(d) The Borrower/Recipient shall bear any foreign exchange risk under any Subsidiary Agreement to which it is party, unless otherwise agreed by the Fund.

Section 7.10. Performance of the Agreements.

(a) The Borrower/Recipient shall be fully responsible to the Fund for the due and timely performance of all obligations ascribed to it, the Lead Project Agency and all other Project Parties under any Agreement. To the extent any Project Party enjoys legal personality separate from the Borrower/Recipient, any reference to an obligation of such Project Party in an Agreement shall be deemed an obligation of the Borrower/Recipient to ensure that such Project Party performs such obligation. The acceptance by any Project Party of any obligation ascribed to it in an Agreement shall not affect the responsibilities and obligations of the Borrower/Recipient.

(b) The Borrower/Recipient shall take all necessary or appropriate action within its powers to enable and assist the Lead Project Agency and any other Project Party to perform its obligations under an Agreement. The Borrower/Recipient shall not take, and shall not permit any third party to take, any action that would interfere with such performance.

Section 7.11. Key Project Personnel.

The Borrower/Recipient or the Lead Project Agency shall appoint the Project Director and all other key Project personnel in the manner specified in the Agreement or otherwise approved by the Fund. All key Project personnel shall have qualifications and experience specified in the Agreement or otherwise approved by the Fund. The Borrower/Recipient shall exercise best efforts to ensure continuity in key Project personnel throughout the Project Implementation Period. The Borrower/ Recipient or the Lead Project Agency shall insure key Project personnel against health and accident risks to the extent consistent with sound commercial practice or its customary practice in respect of its national civil service, whichever is appropriate.

Section 7.12. Project Parties.

Each Project Party shall, as required to carry out the Project in accordance with Section 7.01:

(a) promptly take all necessary or appropriate action to maintain its corporate existence and to acquire, maintain and renew its rights, properties, powers, privileges and franchises;

(b) employ competent and experienced management and personnel;

(c) operate, maintain and replace its plant, equipment and other properties; and

(d) not sell, lease or otherwise dispose of any of the Project′s assets, except in the normal course of business or as agreed by the Fund.

Section 7.13. Allocation of Project Resources.

The Borrower/Recipient and the Project Parties shall ensure that the resources and benefits of the Project, to the fullest extent practicable, are allocated among the Target Population using gender disaggregated methods.

Section 7.14. Environmental Factors.

The Borrower/Recipient and the Project Parties shall take all reasonable measures to ensure that the Project is carried out with due diligence in regard to environmental factors and in conformity with national environmental laws and any international treaties to which the Project Member State may be party. In particular, the Project Parties shall maintain appropriate pest management practices under the Project and, to that end, shall comply with the principles of the International Code of Conduct on the Distribution and Use of Pesticides of the Food and Agriculture Organisation of the United Nations (FAO), as amended, and ensure that pesticides procured under the Project do not include any pesticide formulation which would be classified as Extremely Hazardous (Class la) or Highly Hazardous (Class lb) according to The WHO Recommended Classification of Pesticides by Hazard, as amended.

Section 7.15. Relending Rates

During the Project Implementation Period, the Borrower/Recipient and the Fund shall periodically review the interest rates applicable to any credits extended to members of the Target Population which are financed (directly or indirectly) by the Financing. These reviews shall be conducted jointly with the objective of reaching or maintaining positive interest rates over time. The Borrower/Recipient shall take any appropriate measures, consistent with its policies and the Fund′s policies, to achieve that objective. Among such measures, the Borrower/Recipient and each Project Party extending such credits shall endeavour to minimise its costs. For purposes of this Section, the term “positive interest rate” means, in respect of any credit extended by any Project Party, an interest rate which, after giving effect to inflation, permits such Project Party to recover its costs and achieve sustainability.

Section 7.16. Project Completion.

The Borrower/Recipient shall ensure that the Project Parties complete the implementation of the Project by the Project Completion Date. The Fund and the Borrower/Recipient shall agree on the disposition of the assets of the Project upon its completion.

ARTICLE VIII - IMPLEMENTATION REPORTING AND INFORMATION

Section 8.01. Implementation Records.

The Borrower/Recipient shall ensure that the Project Parties maintain records and documents adequate to reflect their operations in implementing the Project (including, but not limited to, copies or originals of all correspondence, minutes of meetings and all documents relating to procurement) until the Project Completion Date, and shall retain such records and documents for at least ten (10) years thereafter.

Section 8.02. Monitoring of Project Implementation.

The Lead Project Agency shall:

(a) establish and thereafter maintain an appropriate information management system in accordance with the Fund′s Guide for Project Monitoring and Evaluation with which it shall continuously monitor the Project;

(b) during the Project Implementation Period, gather all data and other relevant information (including any and all information requested by the Fund) necessary to monitor the progress of the implementation of the Project and the achievement of its objectives; and

(c) during the Project Implementation Period and for at least ten (10) years thereafter, adequately store such information, and, promptly upon request, make such information available to the Fund and its representatives and agents.

Section 8.03. Progress Report and Mid-Term Reviews.

(a) The Lead Project Agency, or other party so designated in the relevant Agreement, shall furnish to the Fund periodic progress reports on the Project, in such form and substance as the Fund shall reasonably request. At a minimum, such reports shall address (i) quantitative and qualitative progress made in implementing the Project and achieving its objectives, (ii) problems encountered during the reporting period, (iii) steps taken or proposed to be taken to remedy these problems, and (iv) the proposed programme of activities and the progress expected during the following reporting period.

(b) If specified in an Agreement, the Lead Project Agency and the Fund shall jointly carry out a review of Project implementation no later than the midpoint of the Project Implementation Period (the “Mid-Term Review”) based on terms of reference prepared by the Lead Project Agency and approved by the Fund. Among other things, the Mid-Term Review shall consider the achievement of Project objectives and the constraints thereon, and recommend such reorientation as may be required to achieve such objectives and remove such constraints.

(c) The Borrower/Recipient shall ensure that the recommendations resulting from the Mid-Term Review are implemented within the specified time therefor and to the satisfaction of the Fund. Such recommendations may result in modifications to the Agreement or cancellation of the Financing.

Section 8.04. Completion Report.

As promptly as possible after the Project Completion Date but in any event no later than the Financing Closing Date, the Borrower/Recipient shall furnish to the Fund a report on the overall implementation of the Project, in such form and substance as may be specified in the Financing Agreement or as the Fund shall reasonably request. At a minimum, such report shall address (i) the costs and benefits of the Project, (ii) the achievement of its objectives, (iii) the performance by the Borrower/Recipient, the Project Parties, the Fund of their respective obligations under the Agreement and (iv) lessons learned from the foregoing.

Section 8.05. Plans and Schedules.

The Project Parties shall furnish to the Fund promptly upon their preparation, such plans, design standards, reports, contract documents, specifications and schedules relating to the Project, and any material modifications subsequently made therein.

Section 8.06. Other Implementation Reports and Information.

In addition to the reports and information required by the foregoing provisions of this Article:

(a) The Borrower/Recipient and the Project Parties shall promptly furnish to the Fund such other reports and information as the Fund shall reasonably request on any matter relating to the Project or any Project Party.

(b) The Borrower/Recipient and the Project Parties shall promptly inform the Fund of any condition that interferes with, or threatens to interfere with, the implementation of the Project or the achievement of its objectives. In particular, the Borrower/Recipient and the Project Parties shall promptly notify the Fund of any allegations of fraud and/or corruption that are received in relation to any of the Project activities.

ARTICLE IX - FINANCIAL REPORTING AND INFORMATION

Section 9.01. Financial Records.

The Project Parties shall maintain separate accounts and records in accordance with consistently maintained appropriate accounting practices adequate to reflect the operations, resources and expenditures related to the Project until the Financing Closing Date, and shall retain such accounts and records for at least ten (10) years thereafter.

Section 9.02. Financial Statements.

The Borrower/Recipient shall deliver to the Fund detailed financial statements of the operations, resources and expenditures related to the Project for each Fiscal Year prepared in accordance with standards and procedures acceptable to the Fund and deliver such financial statements to the Fund within four (4) months of the end of each Fiscal Year.

Section 9.03. Audit of Accounts.

The Borrower/Recipient shall:

(a) each Fiscal Year, have the accounts relating to the Project audited in accordance with auditing standards acceptable to the Fund and the Fund′s Guidelines on Project Audits (for Borrowers′ Use) by independent auditors acceptable to the Fund;

(b) within six (6) months of the end of each Fiscal Year, furnish to the Fund a certified copy of the audit report. The Borrower/Recipient shall submit to the Fund the reply to the management letter of the auditors within one month of receipt thereof;

(c) if the Borrower/Recipient does not timely furnish any required audit report in satisfactory form and the Fund determines that the Borrower/Recipient is unlikely to do so within a reasonable period, the Fund may engage independent auditors of its choice to audit the accounts relating to the Project. The Fund may finance the cost of such audit by withdrawal from the Loan and/or Grant Accounts.

Section 9.04. Other Financial Reports and Information.

In addition to the reports and information required by the foregoing provisions of this Article:

(a) The Borrower/Recipient and the Project Parties shall promptly furnish to the Fund such other reports and information as the Fund shall reasonably request on any financial matter relating to the Financing or the Project or any Project Party.

(b) The Borrower/Recipient and the Guarantor shall promptly inform the Fund of any condition that interferes with, or threatens to interfere with, the maintenance of Loan Service Payments.

(c) The Project Member State shall promptly furnish to the Fund all information that the Fund may reasonably request with respect to financial and economic conditions in its territory, including its balance of payments and its external debt.

ARTICLE X - COOPERATION

Section 10.01. Cooperation, Generally.

The Fund, the Cooperating Institution and each Project Party shall cooperate fully to ensure that the objectives of the Project are achieved.

Section 10.02. Exchange of Views.

The Fund, the Borrower/Recipient and the Lead Project Agency shall, from time to time at the request of any one of them, exchange views on the Project, the Financing, or any Project Party.

Section 10.03. Visits, Inspections and Enquiries.

The Borrower/Recipient and the Project Parties shall enable agents and representatives of the Fund from time to time to:

(a) visit and inspect the Project, including any and all sites, works, equipment and other goods used for Project-related purposes;

(b) examine the originals and take copies of any data, accounts, records and documents relevant to the Financing, the Project, or any Project Party; and

(c) visit, communicate with and make enquiries of all Project personnel and any staff member of any Project Party.

Section 10.04. Audits Initiated by the Fund.

The Borrower/Recipient and the Project Parties shall permit auditors designated by the Fund to audit the records and accounts relating to the Project. The Borrower/Recipient and the Project Parties shall cooperate fully with any such audit and accord the auditors the full rights and privileges of agents or representatives of the Fund under Section 10.03. With the exception of audits carried out in accordance with Section 9.03(c), the Fund shall bear the cost of such audits.

Section 10.05. Evaluations of the Project.

(a) The Borrower/Recipient and each Project Party shall facilitate all evaluations and reviews of the Project that the Fund may carry out during the Project Implementation Period and for ten (10) years thereafter.

(b) As used in this Section, the term “facilitate”, in addition to full compliance with Articles VIII, IX and this Article X in respect of such evaluations and reviews, includes providing timely logistical support by making available Project personnel and equipment and promptly taking such other action as the Fund may request in connection with such evaluations and reviews, but does not include incurring out-of-pocket expenses.

Section 10.06. Country Portfolio Reviews.

The Project Member State shall permit the agents and representatives of the Fund, in consultation with the Project Member State, to enter its territory from time to time to exchange views with such persons, visit such sites, and examine such data, records and documents as the Fund may reasonably request in order to carry out a general review of all projects and programmes financed, in whole or in part, by the Fund in its territory and all financing extended by the Fund to the Project Member State. The Project Member State shall ensure that all concerned parties cooperate fully in such review.

ARTICLE XI - TAXATION

Section 11.01. Taxation.

(a) The Financing and all Loan Service Payments shall be exempt from all Taxes, and all Loan Service Payments shall be made free and clear of Taxes.

(b) The Agreement shall be exempt from any Taxes on signature, delivery or registration.

(c) The use of any proceeds of the Financing to pay for Taxes is subject to the Fund′s policy of requiring economy and efficiency in the use of its Financing. Therefore, if the Fund at any time determines that the amount of any such Tax is excessive, discriminatory or otherwise unreasonable, the Fund may, by notice to the Borrower/Recipient, reduce the percentages of Eligible Expenditures to be financed by the Financing which are specified in the Financing Agreement.

Section 11.02. Tax Refunds.

If the Fund determines at any time that any amount of Financing proceeds have been used to pay Taxes that it has determined to be excessive, discriminatory or otherwise unreasonable, it may require the Borrower/Recipient, by written notice, to refund such amount promptly to the Fund. Upon receipt thereof, the Fund shall credit the Loan and/or Grant Accounts in the amount of such refund.

ARTICLE XII - REMEDIES OF THE FUND

Section 12.01. Suspension by the Fund.

(a) Whenever any of the following events has occurred and is continuing, the Fund may suspend, in whole or in part, the right of the Borrower/Recipient to request withdrawals from the Loan and/or Grant Accounts:

(i) The Borrower has failed to make any Loan Service Payment when due, whether or not the Guarantor or any other third party has made such Loan Service Payment.

(ii) The Borrower/Recipient has failed to make any payment due under any other Financing Agreement, Guarantee Agreement, or other financial obligation of any kind of the Borrower/Recipient to the Fund, whether or not any third party has made such payment.

(iii) The Guarantor has failed to make any Loan Service Payment when due.

(iv) The Guarantor has failed to make any payment due under any other Financing or Guarantee Agreement between the Guarantor and the Fund, or other financial obligation of any kind of the Guarantor to the Fund.

(v) The Fund has determined that the Project has failed to fulfil, or is unlikely to fulfil in a timely manner, its purposes as stated in the Agreement.

(vi) The Fund has determined that a situation has arisen which may make it improbable that the Project can be successfully carried out or that any Project Party will be able to perform any of its obligations under any Agreement.

(vii) The Project Member State has been suspended from membership in the Fund or ceased to be a Member State; or the Project Member State has delivered a notice of its intention to withdraw from the Fund.

(viii) Any representation made by the Borrower/Recipient, the Guarantor, or any Project Party in any Agreement, or any statement furnished in connection therewith and relied upon by the Fund in making the Financing, is incorrect or misleading in any material respect.

(ix) If the Borrower/Recipient is not a Member State, the Fund has determined that any material adverse change in the condition of the Borrower/Recipient has occurred.

(x) Either the Borrower/Recipient or the Guarantor has been unable to pay its debts generally as they come due.

(xi) Any competent authority has taken action for the dissolution of the Lead Project Agency or suspension of its operations.

(xii) Any competent authority has taken action for the dissolution of any Project Party (other than the Lead Project Agency) or suspension of its operations, and the Fund has determined that such dissolution or suspension is likely to have a material adverse effect on the Project.

(xiii) The Borrower/Recipient has failed to make any funds, facilities, services and other resources available to the Project Parties in accordance with Sections 7.02 or 7.03.

(xiv) The Fund has not received any audit report or other document referred to in Article VIII (Implementation Reporting and Information) or Article IX (Financial Reporting and Information) within the time prescribed therefor in the Agreements, or the audit report is not fully satisfactory to the Fund, or the Borrower/Recipient or any other Project Party has otherwise failed to perform its obligations under Article VIII or IX.

(xv) The Lead Project Agency or any other Project Party has failed to perform any of its obligations under a Project Agreement.

(xvi) The Borrower/Recipient or the Lead Project Agency has failed to perform any of its obligations under any Subsidiary Agreement.

(xvii) Any Project Party (other than the Lead Project Agency) has failed to perform any of its obligations under any Subsidiary Agreement, and the Fund has determined that such failure has had, or is likely to have, a material adverse effect on the Project.

(xviii) Any Subsidiary Agreement or any provision thereof has been assigned, waived, suspended, terminated, amended or otherwise modified without the prior consent of the Fund, and the Fund has determined that such assignment, waiver, suspension, termination, amendment or modification has had, or is likely to have, a material adverse effect on the Project.

(xix) The Fund has suspended, in whole or in part, the right of the Borrower/Recipient or the Guarantor to request or make withdrawals under any other Agreement with the Fund.

(xx) The Borrower/Recipient or any Project Party has failed to perform any other obligation under the Financing Agreement or any other Agreement.

(xxi) The Fund determines that any amount of the Financing has been used to finance an expenditure other than an Eligible Expenditure.

(xxii) The Fund, after consultation with the Borrower/Recipient, has determined that the material benefits of the Project are not adequately reaching the Target Population, or are benefiting persons other than the Target Population to the detriment of the Target Population.

(xxiii) The Borrower/Recipient has defaulted in the performance of any Special Covenant set forth in the relevant Agreement, and such default has continued unremedied for a period of thirty (30) days, and the Fund has determined that such default has had, or is likely to have, a material adverse effect on the Project.

(xxiv) The Fund has given notice to the Borrower/Recipient that credible allegations of coercive, collusive, corrupt or fraudulent practices in connection with the Project have come to the attention of the Fund, and the Borrower/Recipient has failed to take timely and appropriate action to address the matters to the satisfaction of the Fund.

(xxv) Procurement has not been or is not being carried out in accordance with the IFAD Procurement Guidelines.

(xxvi) Upon the occurrence or non-occurrence, as the case may be, of any event specified in the relevant Agreement as an additional ground for suspension.

Such suspension shall become effective upon dispatch of notice by the Fund to the Borrower/Recipient and the Guarantor. Such suspension shall continue until the Fund has notified the Borrower/Recipient that the Borrower/Recipient′s right to request withdrawals has been restored in whole or in part.

(b) If the audit report required by Section 9.03 has not been submitted to the Fund within six (6) months of the date on which it is due, the right of the Borrower/Recipient to request withdrawals from the Loan and/or Grant Accounts shall be suspended.

Section 12.02. Cancellation by the Fund.

(a) If any of the following events has occurred, the Fund may cancel in whole or in part the remaining amounts in the Loan and/or Grant Accounts:

(i) The right of the Borrower/Recipient to request withdrawals from the Loan and/or Grant Accounts has been suspended under Section 12.01 with respect to any amount of the Financing for a continuous period of at least thirty (30) days.

(ii) The Fund determines after consultation with the Borrower/Recipient that any amount of the Financing will not be required to finance the Project.

(iii) After consultation with the Borrower/Recipient, the Fund determines that coercive, collusive, corrupt or fraudulent practices were engaged in by representatives of the Borrower/Recipient or any Project Party in respect of any expenditures incurred during the procurement or the carrying out of any contract financed by the Financing, and that the Borrower/Recipient has failed to take timely and appropriate action to remedy the situation.

(iv) The Fund has determined that any amount of the Financing has been used to finance an expenditure other than an Eligible Expenditure and the Borrower/Recipient has failed to promptly refund such amount to the Fund upon the Fund′s instructions.

(v) The Fund has received any notice from the Guarantor terminating its obligations under the Guarantee Agreement.

(vi) The Mid-Term Review has recommended that the Project be terminated.

(vii) Upon the occurrence or non-occurrence, as the case may be, of any event specified in the relevant Financing Agreement as an additional ground for cancellation.

Such cancellation shall be effective upon dispatch of notice to the Borrower/Recipient.

(b) Any amounts remaining in the Loan and/or Grant Accounts shall be cancelled on the Financing Closing Date, except for any unwithdrawn balances of applications for withdrawal received by the Financing Closing Date and any amounts subject to undischarged Special Commitments, which shall be cancelled upon the full discharge of such Special Commitments.

Section 12.03. Cancellation by the Borrower/Recipient.

After consultation with the Fund and with the concurrence of the Guarantor, the Borrower/Recipient may by notice to the Fund cancel any unwithdrawn amount of the Financing, except for amounts subject to Special Commitment. Such cancellation shall become effective upon acknowledgement thereof by the Fund.

Section 12.04. Applicability of Cancellation or Suspension.

(a) No cancellation or suspension shall apply to amounts subject to any Special Commitment made by the Fund, unless such Special Commitment expressly provides otherwise.

(b) Except as expressly provided in this Article, all provisions of the Financing Agreement shall continue in full force and effect notwithstanding any cancellation or suspension.

Section 12.05. Acceleration of Maturity.

If at any time any of the following events has occurred, at any subsequent time during the continuance thereof, the Fund may declare the principal amount of the Loan then outstanding, together with all accrued interest and other charges thereon, to be immediately due and payable:

(a) any event specified in paragraphs (v) through (xii), inclusive, of Section 12.01 has occurred;

(b) the Fund has declared the principal of any other loan to the Borrower/Recipient or the Guarantor then outstanding to be immediately due and payable;

(c) any event specified in paragraphs (i) through (iv), inclusive, of Section 12.01 has occurred and continues for a period of thirty (30) days;

(d) any event specified in paragraphs (xiii) though (xxvi), inclusive, of Section 12.01 has occurred and continues for a period of sixty (60) days after notice thereof has been given by the Fund to the Borrower/Recipient and the Guarantor; or

(e) any other event specified in the Financing Agreement for the purposes of this Section has occurred and has continued for the period, if any, specified in the Financing Agreement.

Such declaration shall be effective upon dispatch of notice to the Borrower/Recipient and the Guarantor, whereupon such principal, interest and other charges shall become due and payable immediately.

Section 12.06. Other Remedies.

The remedies of the Fund set forth in this Article shall not limit or otherwise prejudice any rights or remedies available to the Fund otherwise.

ARTICLE XIII - ENTRY INTO FORCE AND TERMINATION

Section 13.01. Entry into Force.

An Agreement or amendment thereto shall enter into force on the date when both the Fund and the Borrower/Recipient have signed it, unless the Agreement states that it is subject to ratification, in which case the Agreement shall enter into force on the date the Fund receives an instrument of ratification.

Section 13.02. Termination before Withdrawal.

The Fund may terminate the Agreement and all rights and obligations of the parties thereunder if:

(a) before the date of first withdrawal from the Loan and/or Grant Accounts, any event of suspension specified in Section 12.01 has occurred; or

(b) before the date of first withdrawal from the Loan and/or Grant Accounts, the Borrower/Recipient, the Guarantor or any other Project Party has taken any action inconsistent with the object and purpose of any Agreement.

Section 13.03. Termination upon Full Performance.

An Agreement and all obligations of the parties thereunder shall terminate when the entire principal amount of the Loan withdrawn from the Loan Account and all interest and other charges which shall have accrued on the Loan have been paid and when all other obligations of the Parties have been fully performed, or when agreed by the Parties.

ARTICLE XIV - ENFORCEABILITY AND RELATED MATTERS Section 14.01. Enforceability.

The Agreement and the rights and obligations of the parties thereunder shall be valid and enforceable in accordance with their terms, regardless of any law to the contrary in the territory of the Project Member State.

Section 14.02. Failure to Exercise Rights.

No delay in exercising, or failure to exercise, any right, power or remedy of any party under an Agreement shall impair any such right, power or remedy, or be construed as a waiver thereof. No action or omission of any party in respect of any default under an Agreement shall impair any right, power or remedy of such party in respect of any subsequent default.

Section 14.03. Rights and Remedies Cumulative.

The rights and remedies of any party under an Agreement are cumulative and (except as otherwise expressly provided) not exclusive of any right or remedies that such party would otherwise have.

Section 14.04. Arbitration.

(a) The parties to an Agreement shall endeavour to settle through amicable means any controversy between them in respect of such Agreement.

(b) Failing the settlement of a controversy through amicable means, the controversy shall be submitted to arbitration for settlement. The parties to the arbitration shall be the parties to the Agreement in controversy, except that the Guarantor may intervene or be interpleaded in any controversy that may affect its rights or obligations under the Guarantee Agreement.

(c) The Arbitral Tribunal shall consist of a single arbitrator appointed by agreement of the parties or, if they do not agree within three (3) months after proceedings are instituted under paragraph (d) below, by the President of the International Court of Justice or, failing appointment by him, by the Secretary-General of the United Nations. If the arbitrator shall resign, die or become unable to act, a successor arbitrator shall have all the powers and duties of such original arbitrator.

(d) An arbitration proceedings may be instituted under this Section upon notice by the party instituting such proceedings to the other party or parties. Such notice shall contain a statement setting forth the nature of the controversy or claim to be submitted to arbitration.

(e) The arbitration proceedings shall take place at such time and place as shall be fixed by the arbitrator.

(f) Subject to the provisions of this Section and except if the parties shall otherwise agree, the arbitrator shall decide all questions relating to his competence and shall determine the procedure for the arbitration proceedings.

(g) The arbitrator shall afford to all a fair hearing and shall render his award in writing. Such award may be rendered by default. A signed counterpart of the award shall be transmitted to each party. Any such award rendered in accordance with the provisions of this section shall be final and binding upon the parties. Each party shall abide by and comply with any such award rendered by the arbitrator in acordance with the provisions of this Section.

(h) The parties shall fix the amount of the remuneration of the arbitrator and such other persons as shall be required for the conduct of the arbitration proceedings. If the parties shall not agree on such amount before the arbitration proceedings begin, the arbitrator shall fix such amount as shall be reasonable under the circumstances. Each party shall defray its own expenses in the arbitration proceedings. The costs of the arbitrator shall be divided between and borne equally by the Fund on the one side and the other parties on the other side. Any question concerning the division of the arbitrator′s costs among the parties or the procedure for payment of such costs shall be determined by the arbitrator.

(i) The provisions for arbitration set forth in this Section shall be instead of any other procedure forthe settlement of controversies between the parties, and any claim by either party against the other party arising thereunder.

(j) If the award has not been complied with within thirty (30) days after the counterparts of the award have been delivered to the parties, any party may enter judgement upon, or institute a proceeding to enforce, the award in any court of competent jurisdiction against any other party. Such party may enforce such judgement by execution or may pursue any other appropriate remedy against such other party for the enforcement of the award.

(k) Service of any notice or process in connection with any proceeding under this Section or (to the extent that such remedy shall be available) in connection with any proceeding to enforce any award rendered pursuant to this Section may be made in the manner provided in Section 15.01. The parties may waive any and all other requirements for the service of any such notice or process.

ARTICLE XV - MISCELLANEOUS PROVISIONS

Section 15.01. Communications.

All notices, requests and other communications given or made under an Agreement shall be in writing. Except as otherwise expressly provided in the Agreement, any such notice, request or other communication shall be deemed duly given or made when delivered by hand, mail, telegram, cable, facsimile or email to the party to which it is given or made at such party′s address specified in the particular Agreement, or at such other address as such party may designate by notice to the other parties thereto.

Section 15.02. Language of Reporting.

The Borrower/Recipient and the Project Parties shall deliver all reports and information to the Fund in the language of the Agreement, or in any other language agreed by the Parties.

Section 15.03. Authority to Take Action.

The representative or agent so designated in any Agreement, or another person duly authorized in writing by such representative or agent, may take any action and sign any document in connection with such Agreement on behalf of such party.

Section 15.04. Evidence of Authority.

Upon request by the Fund, the Borrower/Recipient, the Guarantor and any Project Party shall furnish to the Fund sufficient evidence of the authority of the person or persons referred to in Section 15.03, and the authenticated specimen signature of each such person.

Section 15.05. Modifications of the Agreement.

The parties may agree from time to time to modify the terms and conditions of an Agreement (including, but not limited to, the terms and conditions of these General Conditions as applied thereto) or the application of the Agreement. Any amendment to an Agreement shall enter into force in accordance with the provisions of Section 13.01 hereof, unless the parties agree otherwise.

Section 15.06. Change of Entity or Representative.

If a party wishes to appoint any successor to, reassigns the responsibilities of, or changes the designation or address of any of the entities specified in an Agreement, such party shall give notice thereof to the other parties. Upon acceptance by the other parties, such new entity shall constitute the entity fully responsible for carrying out the functions assigned to its predecessor under the Agreement.

Section 15.07. Signature of the Agreement.

The signature of an Agreement by a party shall constitute the expression of such party′s consent to be bound thereby, subject only to any ratification or authorisation required by a rule of internal law of fundamental importance and disclosed to the other party in writing before such signature.
