Guvernul Republicii Moldova şi Banca Europeană de Investiţii, o organizaţie internaţională cu personalitate juridică, constituită prin Tratatul de instituire a Comunităţii Economice Europene (Tratatul de la Roma din 25 martie 1957), cunoscut în prezent ca Tratatul privind funcţionarea Europene Uniunii, statele membre semnatare fiind aceleaşi ca şi Statele Membre ale Uniunii Europene (denumită în continuare “BEI”) (denumite colectiv în continuare “Părţi”, fiecare dintre ele “Parte”).
AVÎND ÎN VEDERE Acordul de Asociere dintre Uniunea Europeană şi Comunitatea Europeană a Energiei Atomice şi statele membre ale acesteia, pe de o parte şi Republica Moldova, pe de altă parte, din 27 iunie 2014;
DORIND să consolideze relaţiile între Părţi şi să faciliteze realizarea obiectivelor Parteneriatului Estic, ca o dimensiune specifică a Politicii Europene de Vecinătate;
DORIND să ajungă la un acord asupra termenilor privind înfiinţarea, pe teritoriul Republicii Moldova (denumită în continuare Moldova), a unei reprezentanţe a Băncii Europene de Investiţii (denumită în continuare “Reprezentanţa BEI”) inclusiv privilegiile şi imunităţile acesteia;
ÎNTRUCÎT Acordul-cadru din 1 noiembrie 2006, între Moldova şi BEI care reglementează activităţile băncii în Moldova (denumit în continuare “Acordul-cadru”), prevede deja dispoziţii pentru asigurarea anumitor drepturi şi privilegii pentru BEI şi personalul acesteia;
AVÎND ÎN VEDERE că Guvernul Moldovei recunoaşte importanţa înfiinţării unei Reprezentanţe a BEI pe teritoriul său;
AVÎND ÎN VEDERE că Reprezentanţa BEI şi Delegaţia Uniunii Europene, cea din urmă fiind înfiinţată anterior în Moldova, cad sub incidenţa aceluiaşi cadru legal, fiind reglementate de normele internaţionale care reglementează relaţiile diplomatice şi în particular de dispoziţiile legale ale Convenţiei de la Viena cu privire la Relaţiile Diplomatice din 18 aprilie 1961 (denumită în continuare “Convenţia de la Viena”);
CONFIRMÎND că Guvernul Moldovei consideră ca Reprezentanţa BEI, agenţii, angajaţii şi membrii corpului de guvernare ale BEI vor beneficia, în virtutea prezentului Acord (denumit în continuare “Acord de reprezentare”) de un regim, care este cel puţin comparabil cu cel acordat Delegaţiei Uniunii Europene şi funcţionarilor, agenţilor şi membrilor acesteia;
AU CONVENIT DUPĂ CUM URMEAZĂ:
Articolul 1
1. Guvernul Moldovei este de acord cu înfiinţarea pe teritoriul Moldovei a unei Reprezentanţe BEI.
2. Reprezentanţa BEI urmează să asigure activităţile instituţionale, de reprezentare şi operaţionale ale BEI în Moldova, inclusiv activităţile, care decurg din obiectivele Parteneriatului Estic (sau orice iniţiativă care îl va substitui).
Articolul 2
1. Pe teritoriul Moldovei, BEI are personalitate juridică.
2. BEI are capacitate juridică deplină şi în special, capacitatea de a încheia contracte, de a achiziţiona şi lichida proprietatea mobiliară şi imobiliară, de a fi parte a unor acţiuni juridice sau administrative, să desfăşoare orice altă activitate prevăzută în statutul său, care în mod direct urmăreşte obiectivele prevăzute în statutul său.
3. Proprietatea BEI şi a Reprezentanţei BEI, de orice tip, indiferent de locul în care este amplasat şi în a cărui posesie se află, inclusiv arhivele şi corespondenţa BEI, sunt scutite de orice fel de intruziune, înregistrare, confiscare, rechiziţie, expropriere sau orice formă de control sau arest prin orice act administrativ, legislativ sau judiciar.
Articolul 3
1. Pe teritoriul Moldovei, Reprezentanţa BEI, Şeful acesteia, membrii corpului de guvernare, agenţii şi angajaţii BEI (denumiţi în continuare “personalul BEI”) şi membrii de familie ai acestora, vor beneficia, în conformitate cu prevederile Convenţiei de la Viena, de aceleaşi privilegii şi imunităţi ca şi cele acordate misiunilor diplomatice acreditate în Republica Moldova, şefilor, personalului şi membrilor de familie ai acestora.
2. Privilegiile şi imunităţile acordate Şefului Reprezentanţei BEI membrilor corpului de guvernare, personalului BEI şi membrilor familiilor acestora, în conformitate cu paragraful precedent, nu vor fi acordate persoanelor care sunt cetăţeni sau rezidenţi permanenţi ai Moldovei.
3. Guvernul Moldovei recunoaşte documentul laissez passer eliberat de către Preşedintele BEI agenţilor săi, în conformitate cu articolul 6 al Protocolului privind Privilegiile şi Imunităţile Uniunii Europene, ca pe un document de călătorie valabil.
Articolul 4
1. Guvernul Moldovei va adopta toate măsurile necesare pentru a proteja sediul Reprezentanţei BEI împotriva oricărei intruziuni sau pagube şi oricărui act destinat să perturbeze ordinea publică în incinta BEI, în aceleaşi condiţii ca şi cele acordate misiunilor diplomatice acreditate în Republica Moldova. BEI prezintă în timp util Guvernului Moldovei informaţiile necesare privind amplasarea şi caracteristicile sediului Reprezentanţei BEI şi reşedinţa Şefului Reprezentanţei BEI.
2. Guvernul Moldovei facilitează intrarea şi ieşirea de pe teritoriul ţării a tuturor persoanelor care sunt invitate la reuniuni, activităţi sau acţiuni, organizate de către Reprezentanţa BEI.
Articolul 5
1. BEI şi Reprezentanţa BEI pot avea la dispoziţie pe teritoriul Moldovei orice tip de fonduri şi valută de orice fel şi poate să efectueze orice tranzacţie financiară, inclusiv prin operarea conturilor bancare în orice valută, destinate pentru realizarea obiectivelor sale, în conformitate cu prevederile prezentului Acord.
2. BEI beneficiază de libertatea de a efectua transferuri monetare şi de fonduri, atît în interiorul Moldovei, cît şi dintr-o ţară în alta, precum şi de a converti orice monedă ce se afla în posesia sa. Reprezentanţa este, de asemenea, scutită de taxe vamale, interdicţii şi restricţii la importul şi exportul activelor şi obiectelor, inclusiv a autovehiculelor necesare pentru desfăşurarea activităţilor sale în Moldova.
3. BEI este scutită cu privire la activele sale, veniturile, activităţile, operaţiunile şi tranzacţiile în Moldova, efectuate de aceasta în conformitate cu statutul său, inclusiv furnizarea de asistenţă tehnică, indiferent dacă este furnizată direct de către BEI, sau de o parte terţă în baza unui acord cu BEI finanţată din fonduri bugetare UE şi/sau din fondurile donatorilor, de la oricare şi toate taxele şi impozitele existente sau viitoare, directe sau indirecte (inclusiv, dar fără a se limita la, taxa pe valoarea adăugată, accize, impozit pe proprietate, impozit pe transfer de proprietate, taxe vamale, taxe de import, taxe de export, precum şi impozite pe venit, profit şi încasări brute), precum şi din orice contribuţii, reţineri sau cheltuieli de orice natură, fie pe plan naţional, local, regional sau internaţional.
În cazul în care Banca achiziţionează bunuri, servicii sau lucrări, inclusiv servicii de asistenţă tehnică, pentru care taxele şi impozitele indirecte au fost percepute sau sunt exigibile, Guvernul Moldovei va face aranjamentele administrative corespunzătoare pentru scutirea, sau restituirea promptă sau returnarea BEI a valorii unei astfel de taxe sau impozit.
Articolul 6
1. Salariul şi alte tipuri de remunerare a personalului BEI al Reprezentanţei BEI sunt scutite de taxe, impozite şi contribuţii speciale, inclusiv de plăţi către autorităţile din domeniul asigurărilor sociale. Această scutire nu se aplică cetăţenilor Moldovei, consultanţilor sau altor persoane care prestează servicii pentru Reprezentanţa BEI, care sunt rezidenţi ai Moldovei în scopuri fiscale.
2. Personalul BEI al Reprezentanţei BEI care nu sunt reprezentanţi naţionali ai Moldovei sunt scutiţi de taxe vamale pentru toate obiectele de uz personal, cum ar fi autovehiculele, echipamentele de uz casnic şi obiectele personale în aceleaşi condiţii ca şi personalul diplomatic recunoscut în Moldova.
3. Personalul BEI al Reprezentanţei BEI care nu sunt cetăţeni ai Moldovei au dreptul, pe durata exercitării funcţiilor lor şi imediat după încetarea acestora, să transfere fonduri în orice monedă în afara teritoriului Moldovei, fără restricţii sau limitări, cu condiţia că aceştia pot demonstra posesia legală a acestor fonduri.
4. Reşedinţa Şefului Reprezentanţei BEI va beneficia de aceeaşi inviolabilitate şi protecţie ca şi sediul Reprezentanţei BEI.
5. BEI trebuie să informeze Guvernul Moldovei cu privire la numele personalului BEI angajat în cadrul Reprezentanţei BEI, numele soţilor/soţiilor acestora şi ale membrilor familiilor acestora, cărora li se aplică dispoziţiile prezentului Acord de Reprezentanţă.
Articolul 7
1. Pentru toate aspectele care nu sunt prevăzute în mod expres în prezentul Acord de Reprezentanţă şi pentru interpretarea acestuia, Părţile convin să aplice Convenţia de la Viena şi dispoziţiile dreptului internaţional.
2. Orice diferenţă care ar putea apărea cu privire la interpretarea şi aplicarea dispoziţiilor prezentului Acord de Reprezentanţă va constitui subiectul unei consultări între Părţi în vederea ajungerii la un acord. În situaţia excepţională, în care acordul nu este posibil într-un termen rezonabil, chestiunea este înaintată unui arbitru independent, desemnat de comun acord între Părţi, iar în lipsa unui acord în privinţa numelui arbitrului, într-un termen de o lună, acesta va fi numit de către Secretarul General al Curţii Permanente de Arbitraj de la Haga. Un astfel de arbitraj, decizia căruia este obligatorie, se va desfăşoara în conformitate cu prevederile legale aplicabile Curţii Permanente de Arbitraj de la Haga.
Articolul 8
Prezentul Acord de Reprezentanţă intră în vigoare din ziua următoare recepţionării de către BEI, prin intermediul canalelor diplomatice, a notificării scrise din partea Guvernului Moldovei, care confirmă că procedurile interne necesare pentru intrarea în vigoare a prezentului Acord au fost îndeplinite.
Prezentul Acord se încheie pentru o perioadă nelimitată de timp, cu excepţia cazului în care oricare dintre Părţi, prin notificare scrisă, decide să denunţe prezentul acord. Într-un astfel de caz, Acordul continuă să rămînă în vigoare timp de şase luni de la data recepţionării notificării de denunţare.
Modificările şi completările pot fi introduse în Acord prin consimţămîntul mutual al Părţilor, care vor fi formulate ca un document separat şi va intra în vigoare în conformitate cu primul paragraf al prezentului Articol. Documentul formulat astfel constituie o parte integrantă a prezentului Acord.
Dispoziţiile Acordului-cadru şi ale prezentului Acord de Reprezentanţă, în cazul în care se referă la acelaşi subiect, vor fi tratate, ori de cîte ori este posibil, ca fiind complementare, astfel încît să fie aplicate dispoziţiile ambelor Acorduri, nici unul nu va reduce efectul celuilalt; însă, în caz de conflict absolut sau divergenţă între prevederile celor două Acorduri, se vor aplica dispoziţiile care sunt cele mai favorabile pentru BEI.
DREPT CARE, subsemnaţii, pe deplin autorizaţi în acest scop, semnează prezentul Acord, în limba engleză, în 2 (două) exemplare originale.

AGREEMENT BETWEEN
THE GOVERNMENT OF THE REPUBLIC OF MOLDOVA
AND THE EUROPEAN INVESTMENT BANK
ON THE ESTABLISHMENT AND THE PRIVILEGES AND IMMUNITIES
OF THE REPRESENTATION OF THE EUROPEAN INVESTMENT BANK
IN THE REPUBLIC OF MOLDOVA
The Government of the Republic of Moldova and the European Investment Bank, an international organisation with legal personality, constituted by the Treaty establishing the European Community (Treaty of Rome of 25 March 1957), known at present by the Treaty on the Functioning of the European Union, the Member States of which are the same as the Member States of the European Union (hereinafter the EIB′) (collectively hereinafter referred to as the Parties′, each of them a Party′);
HAVING REGARD to the Association Agreement between the European Union and the European Atomic Energy Community and their Member States, of the one part, and the Republic of Moldova, of the other part, dated 27 June 2014;
WISHING to strengthen the relations between the Parties and to facilitate the attainment of the objectives of the Eastern Partnership as a specific dimension of the European Neighbourhood Policy;
WISHING to agree on terms concerning the establishment, within the territory of the Republic of Moldova (hereinafter Moldova), of a Representation of the European Investment Bank (hereinafter the EIB Representation′) and the privileges and immunities thereof;
WHEREAS the Framework Agreement dated 1 November 2006 between Moldova and the EIB governing the Bank′s activities in Moldova (hereinafter the Framework Agreement′) already lays down provisions to ensure certain rights and privileges for the EIB and its staff;
CONSIDERING that the Government of Moldova recognises the importance of establishing an EIB Representation within its territory;
CONSIDERING that the EIB Representation and the Delegation of the European Union, the latter having been previously established in Moldova, fall within the same legal framework, being governed by the international rules regulating diplomatic relations and more particularly by the legal provisions of the Vienna Convention on Diplomatic Relations of 18 April 1961 (hereinafter the Vienna Convention′);
CONFIRMING that the Government of Moldova considers that the EIB Representation, the EIB agents, employees and the members of its governing bodies shall benefit, by virtue of the present Agreement (hereinafter referred to as the Representation Agreement′), from a regime that is at least comparable to that granted to the Delegation of the European Union and to its officials, agents and members;
HAVE AGREED AS FOLLOWS:
Article 1
1. The Government of Moldova agrees to the establishment, within the territory of Moldova, of an EIB Representation.
2. The EIB Representation is intended to cover the EIB′s institutional, representational and operational activities in Moldova, including the activities deriving from the objectives of the Eastern Partnership (or any initiative replacing it).
Article 2
1. In the territory of Moldova, the EIB has legal personality.
2. The EIB has full legal capacity and in particular capacity to conclude contracts, acquire and dispose of immovable and movable property, be a party to any judicial or administrative proceedings and, to carry on any other activity provided for in its Statute or directly pursuing the objectives laid down in its Statute.
3. The property of the EIB and of the EIB Representation, of any kind whatsoever, regardless of where it is located and in whose possession it is, including the archives and correspondence of the EIB, shall be exempt from any kind of intrusion, registration, confiscation, requisition, expropriation or any form of control or attachment by any administrative, legislative or judicial act.
Article 3
1. In the territory of Moldova, the EIB Representation, its Head, the members of its governing bodies, the EIB agents and employees (hereinafter “the EIB staff”) and their family members, shall, in accordance with the provisions of the Vienna Convention, enjoy the same privileges and immunities as those granted to diplomatic missions accredited to Moldova, the heads thereof and the members of their staff and to their family members.
2. The privileges and immunities granted to the Head of the EIB Representation, the members of its governing bodies, the EIB staff and their family members, in accordance with the foregoing paragraph, shall not be granted to persons who are nationals or permanent residents of Moldova.
3. The Government of Moldova shall recognise the laissez passer issued by the President of the EIB to its agents in accordance with Article 6 of the Protocol on the Privileges and Immunities of the European Union as a valid travel document.
Article 4
1. The Government of Moldova shall adopt all necessary measures to protect the premises of the EIB Representation against any intrusion or damage and any act intended to upset public order within the premises of the EIB on the same terms as those afforded to diplomatic missions accredited to Moldova. The EIB shall in due time pass to the Government of Moldova the requisite information concerning the location and characteristics of the premises of the EIB Representation and the residence of the Head of the EIB Representation.
2. The Government of Moldova shall facilitate entry to and departure from its national territory for all persons who are invited to meetings, activities or work organised by the EIB Representation
Article 5
1. The EIB and the EIB Representation may keep at their disposal in the territory of Moldova all manner of funds and currencies of any kind and undertake any financial transaction, including the operation of bank accounts in any currency, intended for the attainment of its objectives in accordance with the provisions of the present Agreement.
2. The EIB shall enjoy freedom to transfer its funds and currencies, both within Moldova and from one country to another, and to convert any currency in its possession. It shall likewise be exempt from customs duties, prohibitions and restrictions on the import and export of the assets and objects, including motor vehicles, required for the pursuit of its activities in Moldova.
3. The EIB is exempted with respect to its assets, revenues, activities, operations and transactions in Moldova, carried out by it in accordance with its Statute, including the provision of technical assistance, whether provided directly by the EIB, or by a third party on the basis of an agreement with the EIB funded from the EU budgetary funds and/or donor′s funds, from any and all existing or future duties and taxes, direct or indirect (including, but not limited to, value added tax, excise tax, property tax, property transfer tax, customs duties, import taxes, export taxes, and taxes on income, profits and gross receipts) and from any contribution, withholdings or charges of any nature, whether national, local, regional or international.
When the Bank purchases goods, services or works, including technical assistance services, on which indirect duties and taxes have been charged or are chargeable, the Government of Moldova shall make appropriate administrative arrangements for the exemption, or the prompt refund or return to the EIB of the amount of any such duty or tax.
Article 6
1. The salary and other remuneration of the EIB staff of the EIB Representation shall be exempt from levies, taxes, charges and other mandatory payments, including social contributions. This exemption shall not apply to nationals of Moldova, consultants or other persons providing services to the EIB Representation who are residents for tax purposes in Moldova.
2. The EIB staff of the EIB Representation who are not nationals of Moldova shall be exempt from customs duties on all objects of personal use such as motor vehicles, household equipment and personal objects on the same terms as diplomatic staff recognised in Moldova.
3. The EIB staff of the EIB Representation who are not nationals of Moldova shall be entitled, during the exercise of their functions and immediately after ceasing to perform them, to transfer funds in any currency outside Moldova, without restriction or limitation, provided that they can prove legal possession of such funds.
4. The residence of the Head of the EIB Representation shall enjoy the same inviolability and protection as the premises of the EIB Representation.
5. The EIB shall inform the Government of Moldova of the names of the EIB staff employed in the EIB Representation, their spouses and their family members to whom the provisions of the present Representation Agreement apply.
Article 7
1. For all matters not expressly provided for in the present Representation Agreement and for the interpretation thereof, the Parties agree to apply the Vienna Convention and the provisions of international law.
2. Any difference which may arise regarding the interpretation and application of the provisions of this Representation Agreement shall be the subject of consultation between the Parties with a view to reaching an agreement. In the extraordinary event that an agreement is not possible within a reasonable period, the matter shall be referred to an independent arbitrator designated by agreement between the Parties and, failing such agreement as to the name of the arbitrator within a period of one month, the latter shall be appointed by the Secretary General of the Permanent Court of Arbitration in the Hague. Such arbitration, the award resulting from which shall be binding, shall be conducted in accordance with the legal provisions applicable to the Permanent Court of Arbitration of The Hague.
Article 8
The present Representation Agreement shall enter into force on the day following receipt by the EIB through diplomatic channels of the written notice from the Government of the Republic of Moldova that the internal procedures necessary for the entry into force of this Agreement have been fulfilled.
This Agreement is concluded for an unlimited period of time, unless either of the Parties, by giving written notice, decides to terminate this Agreement. In any such case, the Agreement shall remain in force for six months following the date of receipt of the notice of termination.
Amendments and additions may be introduced to the Agreement upon mutual consent of the Parties, which shall be formed as a separate document and enter into force in accordance with the first paragraph of this Article. The document formed thereby, shall constitute an integral part of this Agreement.
The provisions of the Framework Agreement and of this Representation Agreement shall, where they relate to the same subject-matter, be treated, wherever possible, as complementary so that the provisions of both shall apply, neither shall narrow the effect of the other; but in any case of absolute conflict or divergence between the provisions of the two Agreements, the provisions which are most favourable to the EIB shall apply.
IN WITNESS WHEREOF, the undersigned, duly authorised for that purpose, have signed the present Agreement, in the English language, in 2 (two) originals.
