Excelenţă,
Am onoarea să confirm următoarea înţelegere, la care au ajuns reprezentanţii Guvernului Japoniei şi ai Guvernului Republicii Moldova în ceea ce priveşte împrumutul japonez, care urmează a fi acordat în scopul promovării stabilităţii economice şi eforturilor de dezvoltare ale Republicii Moldova:
1. Împrumutul în yeni japonezi în sumă de cinci miliarde nouă sute douăzeci şi şase milioane yeni (¥5,926,000,000)(numit în continuare “Împrumut”) va fi acordat Republicii Moldova de către Agenţia Japoneză pentru Cooperare Internaţională (numită în continuare “JICA”) în conformitate cu legile şi regulamentele relevante ale Japoniei în vederea implementării Proiectului de îmbunătăţire a serviciilor medicale (numit în continuare “Proiect”).
2. (1) Împrumutul va fi pus la dispoziţie prin intermediul unui Acord de împrumut, care urmează a fi încheiat între Guvernul Republicii Moldova şi JICA. Termenele şi condiţiile împrumutului, precum şi toate procedurile pentru utilizarea acestuia, vor fi reglementate de Acordul de împrumut menţionat, în conformitate cu domeniul de aplicare a prezentei înţelegeri, care va conţine, printre altele, următoarele principii:
(a) Perioada de rambursare va fi de douăzeci (20) de ani după o perioadă de graţie de zece (10) ani;
(b) Rata dobînzii va fi de zero virgulă unu la sută (0,1%) anual;
(c) Prin derogare de la prevederile subparagrafului (b) de mai sus, în cazul în care o parte a împrumutului este pusă la dispoziţie pentru suportarea plăţilor pentru consultanţii Proiectului, atunci rata dobânzii pentru acea parte va fi zero virgulă zero unu la sută (0,01%) anual; şi
(d) Perioada de debursare va fi zece (10) ani după data intrării în vigoare a Acordului de împrumut menţionat;
(e) O taxă va fi aplicată la soldul împrumutului neretras în valoare de zero virgulă unu la sută (0,1%) anual.
(2) Acordul de împrumut menţionat în subparagraful (1) va fi încheiat după ce JICA va fi mulţumită de fezabilitatea Proiectului, inclusiv de aspectele ce ţin de mediu.
(3) Perioada de debursare menţionată în subparagraful (1) (d) poate fi prelungită cu acordul autorităţilor relevante al ambelor Guverne.
3. (1) Împrumutul va fi pus la dispoziţie pentru a suporta plăţile care urmează să fie efectuate de către unitatea de implementare din Moldova către furnizori, contractori şi/sau consultanţi din ţări eligibile în baza unor astfel de contracte care ar putea fi încheiate între ei pentru achiziţionarea produselor şi/sau serviciilor necesare pentru implementarea Proiectului, cu condiţia ca aceste achiziţii să fie efectuate în astfel de ţări eligibile pentru produsele fabricate şi/sau serviciile prestate din acele ţări.
(2) Domeniul de aplicare al ţărilor eligibile menţionate în subparagraful (1) de mai sus va fi convenit între autorităţile relevante ale celor două Guverne.
(3) O parte din împrumut ar putea fi utilizată pentru acoperirea cerinţelor valutare locale eligibile în vederea implementării Proiectului.
4. Guvernul Republicii Moldova va asigura că produsele şi/sau serviciile menţionate în subparagraful 3.(1) sunt achiziţionate în conformitate cu ghidurile pentru procurări JICA, care stabilesc, printre altele, procedurile de licitaţie internaţională competitivă, care urmează să fie respectate, cu excepţia cazului în care astfel de proceduri sunt inaplicabile sau nepotrivite.
5. În ceea ce priveşte transportarea şi asigurarea maritimă a produselor procurate în cadrul împrumutului, Guvernul Republicii Moldova se va abţine de la impunerea oricăror restricţii care ar putea împiedica concurenţa echitabilă şi liberă printre companiile de transport şi de asigurare maritimă.
6. Naţionalilor japonezi, serviciile cărora ar putea fi solicitate în Republica Moldova cu referinţă la furnizarea produselor şi/sau serviciilor menţionate în subparagraful 3.(1), li se vor acorda facilităţile necesare pentru a intra şi rămâne pe teritoriul Republicii Moldova în vederea executării activităţii lor.
7. Guvernul Republicii Moldova va scuti:
(a) JICA de toate taxele şi impozitele fiscale impuse în Republica Moldova privind şi/sau cu referinţă la împrumut, precum şi dobânda obţinută din acesta;
(b) Companiile japoneze care funcţionează în calitate de furnizori, contractori şi/sau consultanţi de toate taxele şi impozitele fiscale impuse în Republica Moldova privind veniturile provenite din furnizarea produselor şi/sau serviciilor, care urmează să fie prestate în cadrul Împrumutului;
(c) Companiile japoneze care funcţionează în calitate de furnizori, contractori şi/sau consultanţi de toate impozitele şi taxele fiscale aferente impuse în Republica Moldova cu privire la importul şi reexportul materialelor proprii şi echipamentului necesar pentru implementarea Proiectului; şi
(d) Angajaţii japonezi implicaţi în implementarea Proiectului de toate taxele şi impozitele fiscale impuse în Republica Moldova privind veniturile proprii primite de la companiile japoneze, care funcţionează în calitate de furnizori, contractori şi/sau consultanţi pentru implementarea Proiectului.
8. Guvernul Republicii Moldova va întreprinde toate măsurile necesare pentru a:
(a) asigura că Împrumutul este utilizat în modul corespunzător şi în exclusivitate pentru Proiect;
(b) asigura şi menţine siguranţa persoanelor implicate în implementarea Proiectului şi a populaţiei Republicii Moldova în procesul de construcţie a facilităţilor în cadrul Împrumutului şi în utilizarea acestor facilităţi;
(c) asigura că facilităţile construite în baza Împrumutului vor fi menţinute şi utilizate în modul corespunzător şi eficient pentru scopul prevăzut de prezenta înţelegere.
9. La solicitare, Guvernul Republicii Moldova va prezenta Guvernului Japoniei şi JICA:
(a) informaţii şi date cu privire la progresul implementării Proiectului; şi
(b) orice altă informaţie aferentă Proiectului.
10. Cele două Guverne se vor consulta între ele cu privire la orice aspect care ar putea apărea din sau în legătură cu prezenta înţelegere.
Am onoarea de a propune în continuare ca această Notă şi Nota de răspuns a Excelenţei Voastre, care va confirma în numele Guvernului Republicii Moldova că înţelegerea precedentă va constitui un acord dintre cele două Guverne, care va intra în vigoare la data primirii de către Guvernul Japoniei a înştiinţării în scris din partea Guvernului Republicii Moldova cu privire la finisarea procedurilor interne necesare pentru intrarea în vigoare a unui astfel de acord.
Folosesc acest prilej pentru a vă prezenta, Excelenţă, expresia înaltei mele consideraţiuni.

Sunt onorat să confirm primirea Notei Excelenţei Voastre din data de astăzi, care se descifrează astfel:

3. Raportul discuţiilor
În ceea ce priveşte Schimbul de Note din data de 27 iunie 2013 cu referinţă la împrumutul japonez, care urmează a fi acordat în vederea promovării stabilizării economice şi eforturilor de dezvoltare a Republicii Moldova (numit în continuare “Schimb de Note”), reprezentanţii Delegaţiei Japoniei şi a Delegaţiei Moldovei doresc să raporteze următoarele:
1. În ceea ce priveşte paragraful 3.(1) din Schimbul de Note, paragraful 1. din Nota Verbală a Japoniei nr.[ ] din data de 2013, şi Nota Verbală a Moldovei nr.[ ] din data de 2013, viziunea comună a celor două Delegaţii este:
(a) Furnizori şi contractori japonezi înseamnă naţionali japonezi sau persoane juridice din Japonia, care au o afacere şi sunt înregistraţi în Japonia, şi care dispun de facilităţi corespunzătoare pentru producerea sau livrarea bunurilor şi serviciilor în Japonia şi care în realitate îşi desfăşoară acolo activitatea;
(b) Consultanţi japonezi înseamnă naţionali japonezi sau persoane juridice administrate de naţionalii japonezi; şi
(c) Prin derogare de la subparagrafele (a) şi (b) de mai sus, în cazurile în care unul sau mai mulţi furnizori, contractori sau consultanţi din Republica Moldova creează un consorţiu cu cei din Japonia, un astfel de consorţiu va fi considerat drept furnizor, contractor sau consultant japonez, cu condiţia ca partenerul principal al consorţiului menţionat să fie un furnizor, contractor sau consultant japonez şi cota de participare a părţii japoneze în consorţiul menţionat să fie mai mare de cincizeci procente (50%).
2. Reprezentantul Delegaţiei japoneze a declarat că produsele achiziţionate de la o companie de producere din Moldova, în care a investit una sau mai multe companii din Japonia, vor fi considerate ca fiind produse achiziţionate din Japonia, cu condiţia ca acestea să întrunească următoarele clauze:
(a) nu mai puţin de zece procente (10%) din cota- parte a companiei de producere din Moldova aparţin unei companii din Japonia; şi
(b) proporţia cotei deţinute de compania din Japonia menţionată la punctul (a) de mai sus este aceeaşi mai sau mare decît cea a cotelor deţinute de orice companie a unei ţări sau regiuni terţe.
3. Suplimentar la paragraful 4. de mai sus, reprezentantul Delegaţiei din Japonia a declarat că produsele achiziţionate de la o companie de producere, în care a investit una sau mai multe companii din Japonia şi care se află în una din ţările sau teritoriile în curs de dezvoltare enumerate în Lista Beneficiarilor de Asistenţă de Dezvoltare Oficială aprobată de Comitetul de Asistenţă de Dezvoltare al Organizaţiei pentru Cooperare şi Dezvoltare Economică, alta decît Republica Moldova, vor fi considerate ca fiind produse achiziţionate din Japonia, cu condiţia ca acestea să întrunească următoarele clauze:
(a) nu mai puţin de o treime (1/3) din cota de participare a companiei de producere este deţinută de o companie din Japonia; şi
(b) proporţia cotei deţinute de compania din Japonia menţionată la punctul (a) de mai sus este aceeaşi sau mai mare decît cea a cotelor deţinute de orice companie a unei ţări sau regiuni, alta decît Japonia şi ţara sau teritoriul unde se află compania de producere.
4. În ceea ce priveşte paragraful 3.(3) din Schimbul de Note cu referinţă la finanţarea cerinţelor valutare locale eligibile pentru implementarea proiectului menţionat în paragraful 1. din Schimbul de Note (numit în continuare “Proiect”), reprezentantul Delegaţiei japoneze a declarat:
(a) astfel de cerinţe valutare locale, cum ar fi cheltuieli administrative generale, dobînda în timpul construcţiei, impozite şi taxe, cheltuieli aferente oficiilor, remunerarea angajaţilor unităţii de implementare şi cazarea, legate indirect cu implementarea Proiectului, precum şi procurarea terenurilor, compensarea etc., nu vor fi considerate ca fiind eligibile pentru finanţare în cadrul împrumutului menţionat în paragraful 1. din Schimbul de Note (numit în continuare “împrumut”); şi
(b) achiziţionarea produselor şi/sau serviciilor va fi efectuată în conformitate cu procedurile licitaţiei competitive, cu excepţia cazului în care astfel de proceduri sunt inaplicabile sau nepotrivite.
5. În ceea ce priveşte împrumutul, reprezentantul Delegaţiei japoneze a declarat că orice cerinţe financiare ale Proiectului care depăşesc suma împrumutului în baza acordului de împrumut menţionat în subparagraful 2.(1) din Schimbul de Note vor fi acoperite de către Guvernul Republicii Moldova, în vederea asigurării implementării fără obstacole a Proiectului.
6. În ceea ce priveşte paragraful 8. din Schimbul de Note, reprezentantul Delegaţiei japoneze a declarat:
(a) măsurile necesare prevăzute de paragraful menţionat includ măsuri de prevenire împotriva efectuării oricărei oferte, cadou sau plăţi, remunerare sau beneficiu, care ar putea fi interpretate ca o practică coruptă în Republica Moldova, care pot fi făcute ca un îndemn sau o remunerare pentru atribuirea contractelor menţionate în subparagraful 3. (1) din Schimbul de Note; şi
(b) Guvernul Republicii Moldova va întreprinde toate măsurile necesare pentru a permite şi facilita auditul ex-post al achiziţiei, care urmează să fie efectuat de către auditori independenţi, desemnaţi şi remuneraţi de către Agenţia Japoneză pentru Cooperare Internaţională (numită în continuare “JICA”), în vederea asigurării corectitudinii şi competitivităţii procesului de achiziţii.
7. În ceea ce priveşte paragraful 9. din Schimbul de Note, reprezentantul Delegaţiei japoneze a declarat că Guvernul Japoniei înţelege următoarele:
(a) alte informaţii menţionate în subparagraful (b) al paragrafului menţionat conţin informaţii cu privire la practicile corupte aferente Proiectului; şi
(b) Guvernul Republicii Moldova va asigura un tratament echitabil al surselor de asemenea informaţii şi date.
8. Reprezentantul Delegaţiei Moldovei a declarat că Delegaţia Moldovei nu a avut obiecţii la declaraţiile Delegaţiei Japoniei menţionate în paragrafele 2., 3., 4., 5., 6. şi 7. de mai sus.

Excellency,
I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of the Republic of Moldova concerning a Japanese loan to be extended with a view to promoting the economic stabilization and development efforts of the Republic of Moldova:
1. A loan in Japanese yen up to the amount of five billion nine hundred and twenty-six million yen (¥5,926,000,000) (hereinafter referred to as “the Loan”) will be extended, in accordance with the relevant laws and regulations of Japan, to the Government of the Republic of Moldova by the Japan International Cooperation Agency (hereinafter referred to as “JICA”) for the purpose of implementing the Project for Improvement of Medical Care Service (hereinafter referred to as “the Project”).
2. (1) The Loan will be made available by a loan agreement to be concluded between the Government of the Republic of Moldova and JICA. The terms and conditions of the Loan as well as the procedures for its utilization will be governed by the said loan agreement, within the scope of the present understanding, which will contain, inter alia, the following principles:
(a) The repayment period will be twenty (20) years after the grace period of ten (10) years;
(b) The rate of interest will be nought point one per cent (0.1%) per annum;
(c) Notwithstanding sub-paragraph (b) above, where a part of the Loan is made available to cover payments to consultants of the Project, then the rate of interest of the said part will be nought point nought one per cent (0.01%) per annum;
(d) The disbursement period will be ten (10) years after the date of coming into force of the said loan agreement; and
(e) A charge will be imposed on the undisbursed balance of the Loan at the rate of nought point one per cent (0.1%) per annum.
(2) The loan agreement mentioned in sub-paragraph (1) above will be concluded after JICA is satisfied of the feasibility of the Project, including environmental consideration.
(3) The disbursement period mentioned in subparagraph (1)(d) above may be extended with the consent of the authorities concerned of the two Governments.
3. (1) The Loan will be made available to cover payments to be made by the Moldovan executing agency to suppliers, contractors and/or consultants of eligible source countries under such contracts as may be entered into between them for purchases of products and/or services required for the implementation of the Project, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.
(2) The scope of eligible source countries mentioned in sub-paragraph (1) above shall be agreed upon between the authorities concerned of the two Governments.
(3) A part of the Loan may be used to cover eligible local currency requirements for the implementation of the Project.
4. The Government of the Republic of Moldova shall ensure that the products and/or services mentioned in subparagraph (1) of paragraph 3. are procured in accordance with the guidelines for procurement of JICA, which set forth, inter alia, the procedures of international competitive bidding to be followed except where such procedures are inapplicable or inappropriate.
5. With regard to the shipping and marine insurance of the products purchased under the Loan, the Government of the Republic of Moldova shall refrain from imposing any restrictions that may hinder fair and free competition among the shipping and marine insurance companies.
6. Japanese nationals whose services may be required in the Republic of Moldova in connection with the supply of the products and/or services mentioned in sub-paragraph (1) of paragraph 3. shall be accorded such facilities as may be necessary for their entry into the Republic of Moldova and stay therein for the performance of their work.
7. The Government of the Republic of Moldova shall exempt:
(a) JICA from all fiscal levies and taxes imposed in the Republic of Moldova on and/or in connection with the Loan as well as interest accruing therefrom;
(b) Japanese companies operating as suppliers, contractors and/or consultants from all fiscal levies and taxes imposed in the Republic of Moldova with respect to the income accruing from the supply of products and/or services to be provided under the Loan;
(c) Japanese companies operating as suppliers, contractors and/or consultants from all duties and related fiscal charges imposed in the Republic of Moldova with respect to the import and re-export of their own materials and equipment needed for the implementation of the Project; and
(d) Japanese employees engaged in the implementation of the Project from all fiscal levies and taxes imposed in the Republic of Moldova on their personal income derived from Japanese companies operating as suppliers, contractors and/or consultants for the implementation of the Project.
8. The Government of the Republic of Moldova shall take necessary measures to:
(a) ensure that the Loan be used properly and exclusively for the Project;
(b) ensure and maintain the safety of persons engaged in the implementation of the Project and of the general public of the Republic of Moldova in constructing the facilities under the Loan and in using such facilities; and
(c) ensure that the facilities constructed under the Loan be maintained and used properly and effectively for the purpose prescribed in the present understanding.
9. The Government of the Republic of Moldova shall, upon request, furnish the Government of Japan and JICA with:
(a) information and data concerning the progress of the implementation of the Project; and
(b) any other information related to the Project.
10. The two Governments shall consult with each other with respect to any matter that may arise from or in connection with the present understanding.
I have further the honour to propose that this Note and Your Excellency′s Note in reply confirming on behalf of the Government of the Republic of Moldova the foregoing understanding shall constitute an agreement between the two Governments, which shall become effective on the date of receipt by the Government of Japan of the written notification from the Government of the Republic of Moldova of the completion of necessary domestic procedures for the entry into force of such agreement.

Excellency,
I have the honour to acknowledge the receipt of Your Excellency′s Note of today′s date, which reads as follows:
“I have the honour to confirm the following understanding recently reached between the representatives of the Government of Japan and of the Government of the Republic of Moldova concerning a Japanese loan to be extended with a view to promoting the economic stabilization and development efforts of the Republic of Moldova:
1. A loan in Japanese yen up to the amount of five billion nine hundred and twenty-six million yen (¥5,926,000,000) (hereinafter referred to as “the Loan”) will be extended, in accordance with the relevant laws and regulations of Japan, to the Government of the Republic of Moldova by the Japan International Cooperation Agency (hereinafter referred to as “JICA”) for the purpose of implementing the Project for Improvement of Medical Care Service (hereinafter referred to as “the Project”).
2. (1) The Loan will be made available by a loan agreement to be concluded between the Government of the Republic of Moldova and JICA. The terms and conditions of the Loan as well as the procedures for its utilization will be governed by the said loan agreement, within the scope of the present understanding, which will contain, inter alia, the following principles:
(a) The repayment period will be twenty (20) years after the grace period of ten (10) years;
(b) The rate of interest will be nought point one per cent (0.1%) per annum;
(c) Notwithstanding sub-paragraph (b) above, where a part of the Loan is made available to cover payments to consultants of the Project, then the rate of interest of the said part will be nought point nought one per cent (0.01%) per annum;
(d) The disbursement period will be ten (10) years after the date of coming into force of the said loan agreement; and
(e) A charge will be imposed on the undisbursed balance of the Loan at the rate of nought point one per cent (0.1%) per annum.
(2) The loan agreement mentioned in sub-paragraph (1) above will be concluded after JICA is satisfied of the feasibility of the Project, including environmental consideration.
(3) The disbursement period mentioned in subparagraph (1) (d) above may be extended with the consent of the authorities concerned of the two Governments.
3. (1) The Loan will be made available to cover payments to be made by the Moldovan executing agency to suppliers, contractors and/or consultants of eligible source countries under such contracts as may be entered into between them for purchases of products and/or services required for the implementation of the Project, provided that such purchases are made in such eligible source countries for products produced in and/or services supplied from those countries.
(2) The scope of eligible source countries mentioned in sub-paragraph (1) above shall be agreed upon between the authorities concerned of the two Governments.
(3) A part of the Loan may be used to cover eligible local currency requirements for the implementation of the Project.
4. The Government of the Republic of Moldova shall ensure that the products and/or services mentioned in subparagraph (1) of paragraph 3. are procured in accordance with the guidelines for procurement of JICA, which set forth, inter alia, the procedures of international competitive bidding to be followed except where such procedures are inapplicable or inappropriate.
5. With regard to the shipping and marine insurance of the products purchased under the Loan, the Government of the Republic of Moldova shall refrain from imposing any restrictions that may hinder fair and free competition among the shipping and marine insurance companies.
6. Japanese nationals whose services may be required in the Republic of Moldova in connection with the supply of the products and/or services mentioned in sub-paragraph (1) of paragraph 3. shall be accorded such facilities as may be necessary for their entry into the Republic of Moldova and stay therein for the performance of their work.
7. The Government of the Republic of Moldova shall exempt:
(a) JICA from all fiscal levies and taxes imposed in the Republic of Moldova on and/or in connection with the Loan as well as interest accruing therefrom;
(b) Japanese companies operating as suppliers, contractors and/or consultants from all fiscal levies and taxes imposed in the Republic of Moldova with respect to the income accruing from the supply of products and/or services to be provided under the Loan;
(c) Japanese companies operating as suppliers, contractors and/or consultants from all duties and related fiscal charges imposed in the Republic of Moldova with respect to the import and re-export of their own materials and equipment needed for the implementation of the Project; and

Record of Discussions
In connection with the Exchange of Notes dated June 27, 2013, concerning a Japanese loan to be extended with a view to promoting the economic stabilization and development efforts of the Republic of Moldova (hereinafter referred to as “the Exchange of Notes”), the representatives of the Moldovan Delegation and of the Japanese Delegation wish to record the following:
1. With regard to sub-paragraph (1) of paragraph 3. of the Exchange of Notes, paragraph 1. of the Japanese Note Verbale No. M47-13 dated June 27, 2013, and the Moldovan Note Verbale No. DI-04/2-7874 dated June 27, 2013, it was a shared view of the two Delegations that:
(a) Japanese suppliers and contractors mean Japanese nationals or juridical persons incorporated and registered in Japan, and which have their appropriate facilities for producing or providing goods and services in Japan and actually conduct their business there;
(b) Japanese consultants mean Japanese nationals or juridical persons controlled by Japanese nationals; and
(c) notwithstanding sub-paragraphs (a) and (b) above, in cases where one or more suppliers, contractors or consultants of the Republic of Moldova form a joint venture with Japanese ones, such a joint venture will be regarded as a Japanese supplier, contractor or consultant, provided that the lead partner of the said joint venture is a Japanese supplier, contractor or consultant and that the total share of work of Japanese ones in the said joint venture is more than fifty per cent (50%) .
2. The representative of the Japanese Delegation stated that products procured from a Moldovan manufacturing company invested in by one or more Japanese companies will be regarded as products procured from Japan, if they meet the following:
(a) not less than ten per cent (10%) of the shares of the Moldovan manufacturing company are held by a Japanese company; and
(b) the proportion of the shares held by the Japanese company mentioned in (a) above (or the company having the largest share among Japanese companies if more than one Japanese company meet the condition stated in (a) above) is the same as or greater than that of the shares held by any company of a third country or region.
3. In addition to paragraph 2. above, the representative of the Japanese Delegation stated that products procured from a manufacturing company invested in by one or more Japanese companies and located in one of the developing countries and territories listed in the List of Recipients of Official Development Assistance approved by the Development Assistance Committee of the Organization for Economic Co-operation and Development other than the Republic of Moldova, will be regarded as products procured from Japan, if they meet the following:
(a) not less than one third (1/3) of the shares of the manufacturing company are held by a Japanese company; and
(b) the proportion of the shares held by the Japanese company mentioned in (a) above is the same as or greater than that of the shares held by any company of a country or region other than Japan and the country or the territory where the manufacturing company is located.
4. With regard to sub-paragraph (3) of paragraph 3. of the Exchange of Notes concerning the financing of eligible local currency requirements for the implementation of the project mentioned in paragraph 1. of the Exchange of Notes (hereinafter referred to as “the Project”), the representative of the Japanese Delegation stated that:
(a) such local currency requirements as general administrative expenses, interest during construction, taxes and duties, expenses connected to offices, remuneration to employees of the executing agency and housing, not directly related to the implementation of the Project, as well as purchase of land properties, compensation and the like, however, will not be considered as eligible for financing under the loan mentioned in paragraph 1. of the Exchange of Notes (hereinafter referred to as “the Loan”); and
(b) the procurement of products and/or services will be made in accordance with the procedures of competitive bidding except where such procedures are inapplicable or inappropriate.
5. With regard to the Loan, the representative of the Japanese Delegation stated that any financial requirements of the Project exceeding the amount of the Loan under the loan agreement mentioned in sub-paragraph (1) of paragraph 2. of the Exchange of Notes will be duly met by the Government of the Republic of Moldova to assure the smooth implementation of the Project.
6. With regard to paragraph 8. of the Exchange of Notes, the representative of the Japanese Delegation stated that:
(a) the necessary measures referred to in the said paragraph include measures preventing any offer, gift or payment, consideration or benefit which would be construed as a corrupt practice in the Republic of Moldova from being made as an inducement to or reward for the award of the contracts referred to in subparagraph (1) of paragraph 3. of the Exchange of Notes; and
(b) the Government of the Republic of Moldova will take all necessary measures to enable and facilitate ex-post procurement audit to be carried out by independent auditors which the Japan International Cooperation Agency (hereinafter referred to as “JICA”) will designate and to be paid at JICA′s expense, in order to ensure the fairness and competitiveness of the procurement process.
7. With regard to paragraph 9. of the Exchange of Notes, the representative of the Japanese Delegation stated that the Government of Japan understands that:
(a) other information mentioned in sub-paragraph (b) of the said paragraph includes information on corrupt practice related to the Project; and
(b) the Government of the Republic of Moldova will ensure fair treatment of sources of such information and data.
8. The representative of the Moldovan Delegation stated that the Moldovan Delegation had no objection to the statements by the Japanese Delegation mentioned in paragraphs 2., 3., 4., 5., 6. and 7. above.
