Guvernul Republicii Moldova şi Guvernul Republicii Turcia, denumite în continuare “Părţi Contractante”,
Dorind să intensifice colaborarea economică reciprocă, în special cu privire la investiţiile efectuate de către investitorii unei Părţi Contractante pe teritoriul celeilalte Părţi Contractante;
Recunoscând că semnarea unui acord va stimula fluxul de capital şi de tehnologie şi dezvoltarea economică a Părţilor Contractante;
Fiind de acord că un tratament corect şi echitabil al investiţiilor este oportun în vederea menţinerii unui cadru stabil pentru investiţii şi va contribui la maximizarea utilizării eficiente a resurselor economice şi îmbunătăţirea standardelor de viaţă; şi
Convinşi că aceste obiective pot fi atinse fără a afecta domeniile sănătăţii, siguranţei şi măsurilor de mediu de aplicare generală, precum şi drepturile de muncă recunoscute internaţional;
Hotărând să încheie un acord privind promovarea şi protejarea reciprocă a investiţiilor;
Au convenit asupra celor ce urmează:
Articolul 1
DEFINIŢII
În scopul prezentului Acord:
1. Termenul “investiţie” înseamnă orice fel de active, legate de activităţile de afaceri, dobândite în scopul de a stabili relaţii economice de durată pe teritoriul unei Părţi Contractante în conformitate cu legile şi reglementările naţionale ale acesteia, şi care are caracteristicile unei investiţii1, inclusiv caracteristici precum angajamentul de capital sau alte resurse, aşteptări de câştig sau profit periodic, asumări de risc, contribuţie la dezvoltarea economică, sau o anumită durată, şi va include, în special, dar nu exclusiv:
a) bunurile mobile şi imobile, precum şi orice alte drepturi ca ipoteci, drepturi de retenţie, gajuri sau orice alte drepturi similare, definite în conformitate cu legile şi reglementările naţionale ale Părţii Contractante pe al cărei teritoriu este situat bunul;
b) venitul reinvestit, creanţele pecuniare sau orice alte drepturi cu valoare financiară asociată cu o investiţie;
c) acţiuni, obligaţiuni, sau orice alte forme de participare într-o companie;
d) drepturile de proprietate industrială şi intelectuală, în special brevetele, desene şi modele industriale, procedee tehnice, mărci, goodwill şi know-how;
e) concesiuni de afaceri acordate prin lege sau prin contract, inclusiv concesiuni legate de resursele naturale;

2. Noţiunea “investitor” înseamnă:
a) persoanele fizice care deţin cetăţenia unei Părţi Contractante în conformitate cu legislaţia acesteia;
b) companii, corporaţii, firme, parteneriate de afaceri înregistrate sau constituite în conformitate cu legislaţia în vigoare a unei Părţi Contractante .şi care au sediul social, împreună cu activităţi de afaceri substanţiale pe teritoriul acelei Părţi Contractante;
care au făcut o investiţie pe teritoriul celeilalte Părţi Contractante.
3. Noţiunea “venituri” înseamnă sumele obţinute dintr-o investiţie şi include, în particular, dar nu exclusiv, profitul, dobânzile, sporurile de capital, redevenţele, onorariile şi dividendele.
4. Noţiunea “teritoriu” înseamnă:
a) cu privire la Republica Moldova: spaţiul geografic alcătuit din sol, subsol, ape şi coloana de aer de deasupra solului şi apelor cuprins între frontierele sale, asupra cărora Republica Moldova îşi exercită drepturile suverane şi jurisdicţia, în conformitate cu propria legislaţie şi dreptul internaţional;
b) cu privire la Republica Turcia: teritoriul terestru, apele interioare, marea teritorială şi spaţiul aerian de deasupra lor, precum şi zonele maritime în care Turcia are drepturi suverane sau jurisdicţie în scop de explorare, exploatare şi conservare a resurselor naturale organice sau neorganice, în conformitate cu dreptul internaţional.
Articolul 2
DOMENIUL APLICĂRII
Prezentul Acord se va aplica investiţiilor de pe teritoriul unei Părţi Contractante, efectuate în conformitate cu legile şi reglementările sale naţionale, de către investitorii celeilalte Părţi Contractante, fie înainte sau după intrarea în vigoare a prezentului acord, Totuşi, acest Acord nu va fi aplicat litigiilor care au apărut înainte de intrarea sa în vigoare.
Articolul 3
PROMOVAREA ŞI PROTEJAREA INVESTIŢIILOR
1. În conformitate cu legile şi reglementările sale, fiecare Parte Contractantă va promova pe teritoriul său, în măsura în care este posibil, investiţiile efectuate de către investitorii celeilalte Părţi Contractante;
2. Investiţiile efectuate de către investitorii fiecărei Părţi Contractante vor fi tratate în orice moment, în conformitate cu dreptul internaţional privind standardul minim de tratament, inclusiv tratament corect şi echitabil şi protecţie deplină şi securitate pe teritoriul celeilalte Părţi Contractante. Nici o Parte Contractantă nu va afecta în nici un fel administrarea, întreţinerea, utilizarea, exploatarea, posesia, extinderea, vânzarea, lichidarea sau eliminarea unor astfel de investiţii prin măsuri nerezonabile sau discriminatorii.
Articolul 4
TRATAMENTUL INVESTIŢIILOR
1. Fiecare Parte Contractantă va permite investiţii pe teritoriul său, în condiţii nu mai puţin favorabil decât cel acordat investiţiilor investitorilor oricărui Stat terţ, în limita cadrului legal şi a reglementărilor naţionale.
2. Fiecare Parte Contractantă va acorda acestor investiţii un tratament nu mai puţin favorabil decât cel acordat investiţiilor efectuate de către proprii săi investitori sau investiţiilor investitorilor oricărui Stat terţ, în funcţie de cel care este mai favorabil pentru investitorul în cauză, din punct de vedere al administrării, întreţinerii, utilizării, exploatării, posesiei, extinderii, vânzării, lichidării sau eliminării unor astfel de investiţii
3. Părţile Contractante, în limita cadrului legal al legislaţiilor naţionale, vor lua în considerare cererile de intrare şi şedere ai cetăţenilor oricărei Părţi Contractante, care doresc să intre pe teritoriul celeilalte Părţi Contractante în legătură cu efectuarea sau înfăptuirea unei investiţii.
4. (a) Prevederile prezentului articol nu se interpretează astfel încât să oblige o Parte Contractantă să extindă asupra investitorilor celeilalte Părţi Contractante beneficiul oricărui tratament, preferinţă sau privilegiu care poate fi prelungit de către prima Parte Contractantă în virtutea unui acord internaţional sau aranjament referitor in totalitate, sau in principal la impozitare.
(b) Principiile nondiscriminării, tratamentului naţional şi tratamentul naţiunii celei mai favorizate ale prezentului Acord, nu se vor aplica asupra avantajelor actuale sau viitoare acordate de către oricare dintre Părţi, în calitate de membru, sau asociat la o uniune vamală, economică sau monetară, piaţă comună sau zonă de liber schimb, cetăţenilor sau companiilor proprii, Statelor Membre a astfel de uniuni, piaţă comună sau zonă de liber schimb, sau oricărui alt Stat terţ.
(c) Alineatele (1) şi (2) din prezentul articol, nu se vor aplica în vederea soluţionării litigiilor între un investitor şi Partea Contractantă gazdă, care sunt menţionate concomitent, în prezentul Acord şi într-un alt acord internaţional similar, la care una din Părţile Contractante este semnatară.
(d) Prevederile Articolelor 3 şi 4 din prezentul acord nu obligă o Parte Contractantă să acorde investiţiilor investitorilor celeilalte Părţi Contractante acelaşi tratament pe care îl acordă investiţiilor propriilor investitori cu privire la achiziţionarea de terenuri, imobile, şi drepturile reale aferente acestora.
Articolul 5
EXCEPŢII GENERALE
1. Nici o prevedere a prezentului acord nu se interpretează ca împiedicând o Parte Contractantă de la adoptarea, menţinerea, sau aplicarea oricăror măsuri juridice nediscriminatorii:
(a) concepute şi aplicate pentru protecţia oamenilor, viaţa animalelor sau a plantelor, a sănătăţii, sau a mediului;
(b) referitoare la conservarea resurselor naturale epuizabile, organice sau neorganice.
2. Nici o dispoziţie a prezentului Acord nu se va interpreta ca:
(a) să solicite oricărei Părţi Contractante să furnizeze sau de să permită accesul la orice informaţii, divulgarea cărora contravine intereselor sale esenţiale de securitate;
(b) să prevină oricare Parte Contractantă să ia orice măsuri pe care le consideră necesare pentru protecţia intereselor sale esenţiale de securitate,
(i) privind traficul de arme, muniţii şi material de război, şi la astfel de trafic şi tranzacţii cu alte bunuri, materiale, servicii şi tehnologii efectuate direct sau indirect în scopul de a aproviziona o unitate militară sau alte unităţi de securitate.
(ii) luate în timp de război sau în alte situaţii de urgenţă în relaţiile internaţionale,
sau
(iii) privind punerea în aplicare a politicilor naţionale sau acordurilor internaţionale, respectând non-proliferarea armelor nucleare sau a altor dispozitive nucleare explozive;
sau
(c) pentru a preveni orice Parte Contractantă să ia măsuri în conformitate cu obligaţiile sale, în temeiul Cartei Naţiunilor Unite pentru menţinerea păcii şi securităţii internaţionale.
3. Adoptarea, menţinerea sau aplicarea acestor măsuri, va fi condiţionată de cerinţa ca acestea să nu fie impuse într-o manieră arbitrară sau nejustificată, sau să conţină o restricţie disimulată privind investiţiile investitorilor celeilalte Părţi Contractante.
Articolul 6
EXPROPRIEREA ŞI COMPENSAREA
1. Investiţiile nu vor fi expropriate, naţionalizate sau supuse direct sau indirect, unor măsuri cu efecte similare (denumite în continuare: “exproprieri”), cu excepţia cazului în care aceste măsuri sunt luate în interes public, pe o bază nediscriminatorie şi însoţite de plata unei compensări prompte, adecvate şi efective în conformitate cu procedura legală şi principiile generale de tratament prevăzute la Articolul 3 din prezentul acord.
2. Măsurile legale nediscriminatorii concepute şi aplicate pentru protejarea obiectivelor legitime de bunăstare publică, cum ar fi sănătatea, siguranţa şi mediul înconjurător, nu constituie expropriere indirectă.
3. Compensarea va corespunde valorii de piaţă a investiţiilor expropriate nemijlocit înaintea exproprierii sau notificării ei publice. Compensarea va fi plătită fără întârziere şi va fi liber transferabilă, precum este descris în pct.2, art.8.
4. Compensarea va fi plătită într-o monedă liber convertibilă, iar în cazul întârzierii plăţii, compensarea va include o rată a dobânzii echivalentă cu cea mai mare dobânda plătită pe piaţa Părţii Contractante pe al cărei teritoriu investiţia a fost expropriată.
Articolul 7
COMPENSAREA PENTRU PIERDERI
1. Investitorilor unei Părţi Contractante, ale căror investiţii pe teritoriul celeilalte Părţi Contractante suferă pierderi cauzate de război, insurecţie, tulburare civilă sau alt eveniment similar, le va fi acordat de către ultima Parte Contractantă, un tratament nu mai puţin favorabil decât cel acordat propriilor investitori sau investitorilor unui Stat terţ, în funcţie de cel care este mai favorabil pentru investitorii în cauză.
2. Fără a aduce atingere la punctul (1) al prezentului articol, investitorilor unei Părţi Contractante care, în una dintre situaţiile prevăzute la alineatul menţionat suferă pierderi pe teritoriul celeilalte Părţi Contractante care rezultă din:
(a) rechiziţionarea bunurilor acestora de către forţele sau autorităţile proprii; sau
(b) distrugerea bunurilor acestora de către forţele sau autorităţile proprii, care nu a fost cauzată de acţiuni de luptă, sau nu a fost impusă de necesitatea situaţiei;
li se va acorda restituire sau de despăgubire, care, în orice caz, trebuie să fie promptă, adecvată şi efectivă. Plăţile rezultate vor fi liber convertibile.
Articolul 8
REPATRIEREA ŞI TRANSFERURILE
1. Fiecare Parte Contractantă va garanta cu bună credinţă ca toate transferurile legate de o investiţie să se facă în mod liber şi fără întârziere atât pe, cât şi în afara teritoriului său. Astfel de transferuri sunt:
a) capitalul iniţial şi suma adiţională cu scopul de a menţine sau de a creşte o investiţie;
b) veniturile;
c) încasările din vânzarea totală sau parţială sau lichidarea unei investiţii;
d) compensări în conformitate cu Articolele 6 şi 7 din prezentul Acord;
e) rambursări şi plăţi de dividende rezultate din împrumuturile privind investiţiile;
f) salarii şi alte remunerări obţinute de cetăţenii unei Părţi Contractante care au fost angajaţi să activeze pe teritoriul celeilalte Părţi Contractante cu privire la o investiţie;
g) plăţile care decurg din soluţionarea unui diferend.
2. Transferurile vor fi efectuate în valuta liber convertibilă în care a fost făcută investiţia sau în orice valută liber convertibilă, la cursul oficial de schimb aplicabil pentru această valută la data transferului, cu excepţia cazului în care investitorul şi Partea Contractantă gazdă convin altfel.
3. În cazul în care, în circumstanţe excepţionale, plăţile şi circulaţia capitalurilor provoacă sau ameninţă să provoace dificultăţi serioase ale balanţei de plăţi, fiecare Parte Contractantă poate restricţiona temporar transferurile, cu condiţia ca aceste restricţii sunt impuse pe principii nediscriminatorii şi cu bună-credinţă.
Articolul 9
SUBROGAREA
1. În cazul în care o Parte Contractantă are un sistem de asigurări sau garanţii publice pentru a proteja investiţiile propriilor investitori împotriva riscurilor necomerciale, iar investitorul acestei Părţi Contractante este înregistrat în acest sistem, orice subrogare a asiguratorului în baza contractului de asigurare dintre acest investitor şi asigurator, va fi recunoscută de cealaltă Parte Contractantă.
2. Asigurătorul are dreptul, în virtutea subrogării, să exercite drepturile şi să aplice pretenţiile investitorului şi îşi asumă obligaţiile aferente investiţiei. Drepturile sau pretenţiile subrogate nu trebuie să depăşească drepturile originale ale creanţelor investitorului.
3. Orice diferend între o Parte Contractantă şi agentul de asigurare se va soluţiona în conformitate cu prevederile Articolului 10 din prezentul Acord.
Articolul 10
REGLEMENTAREA DIFERENDELOR DINTRE O PARTE CONTRACTANTĂ
ŞI UN INVESTITOR AL CELEILALTE PĂRŢI CONTRACTANTE
1. Prezentul articol se aplică litigiilor apărute între o Parte Contractantă si un investitor al celeilalte Părţi Contractante cu privire la o presupusă încălcare a unei obligaţii a primei în temeiul prezentului acord, care cauzează investitorului pierderea sau deteriorarea investiţiilor sale.
2. Diferendele care ar putea apărea între un investitor al unei Părţi Contractante şi cealaltă Parte Contractantă cu privire la o investiţie, vor fi notificate în scris, incluzând informaţii detaliate, de către investitor către Partea Contractantă pe teritoriul căreia se efectuează investiţia. În măsura în care este posibil, părţile implicate în diferend se vor strădui să soluţioneze diferendul prin consultări şi negocieri de bună credinţă.
3. Dacă diferendele nu pot fi soluţionate în termen de 6 luni de la data notificării în scris, menţionată la punctul 2 al prezentului articol, diferendele poate fi înaintate, la discreţia investitorului către:
a) instanţa competentă a Părţii Contractante pe teritoriul căreia s-a efectuat investiţia;
sau
b) Centrul Internaţional pentru Reglementarea Diferendelor de Investiţii (ICSID), instituit prin “Convenţia pentru Reglementarea Diferendelor de Investiţii între State şi Cetăţenii altor State”, semnată la Washington, în data de 18 martie 1965;
c) un tribunal arbitral ad-hoc constituit în baza regulilor de arbitraj al Comisiei Naţiunilor Unite pentru Drept Comercial Internaţional (UNCITRAL), sau
d) Consiliul Institutului de Arbitraj al Camerei de Comerţ din Stockholm;
e) orice altă instituţie de arbitraj sau orice alte reguli de arbitraj, acceptate de către părţile aflate în litigiu.
4. Odată ce investitorul alege să înainteze diferendul către una din instanţele menţionate la punctul 3 al prezentului articol, alegerea respectivă va fi irevocabilă pentru investitor.
5. Derogând de la prevederile alin.3 al acestui articol;
doar diferendele apărute nemijlocit din activităţi investiţionale în derulare, care au obţinut permisiunea necesară în cazul în care aceasta este obligatorie, în conformitate cu legislaţia relevantă a Părţii Contractante gazdă cu privire la capitalul străin, vor fi considerate subiecte ale Centrului Internaţional pentru Reglementarea Diferendelor de Investiţii (ICSID).
6. Tribunalul arbitral îşi va pronunţa deciziile în conformitate cu prevederile prezentului Acord, cu legile şi reglementările naţionale a Părţii Contractante implicate în diferend, pe teritoriul căreia este situată investiţia, incluzând normele privind conflictele de drept, precum şi principiile relevante ale dreptului internaţional, acceptate de către ambele Părţi.
7. Deciziile arbitrale vor fi definitive şi obligatorii pentru oricare dintre Părţi în diferend. Fiecare Parte Contractantă se angajează să execute decizia în conformitate cu legile şi reglementările naţionale.
Articolul 11
REFUZUL ACORDĂRII BENEFICIILOR
1. O Parte Contractantă poate refuza acordarea beneficiilor în conformitate cu prezentul Acord, către un investitor al unei alte Părţi Contractante, care este o companie a acestei alte Părţi Contractante şi către investiţiile ale acestui investitor, în cazul în care compania nu deţine activităţi de afaceri substanţiale pe teritoriul Părţii Contractante, în al cărui cadru legal această companie a fost fondată şi organizată, iar investitorii unei părţi ne-contractante sau ai Părţii Contractante care refuză acordarea beneficiilor, deţin sau controlează compania.
2. Partea Contractantă care refuză acordarea beneficiilor, în termeni rezonabili, va notifica cealaltă Parte Contractantă înaintea refuzului de acordare a beneficiilor.
Articolul 12
REGLEMENTAREA DIFERENDELOR ÎNTRE PĂRŢILE CONTRACTANTE
1. Părţile Contractante vor căuta cu bună credinţă şi în spirit de cooperare, o soluţie rapidă şi echitabilă la orice diferend apărut între acestea cu privire la interpretarea sau aplicarea prezentului Acord. În acest sens, Părţile Contractante sunt de acord să se implice, prin canale diplomatice, în negocieri directe şi semnificative pentru a ajunge la astfel de soluţii. Dacă Părţile Contractante nu pot ajunge la un acord în termen de şase (6) luni de la apariţia diferendului între acestea prin procedura menţionată mai sus, diferendele pot fi înaintate, la solicitarea oricărei Părţi Contractante, unui tribunal arbitral din 3 membri.
2. În termen de două (2) luni de la primirea unei cererii, fiecare Parte Contractantă va desemna un arbitru. Cei doi arbitri vor alege un al treilea arbitru ca Preşedinte, care este un cetăţean al unui Stat terţ. În cazul în care în perioada specificată, una din Părţile Contractante nu efectuează desemnările necesare, cealaltă Parte Contractantă poate invita Preşedintele Curţii Internaţionale de Justiţie să efectueze numirile necesare.
3. În cazul în care ambii arbitri nu pot ajunge la un acord cu privire la alegerea Preşedintelui în termen de două (2) luni de la numirea lor, Preşedintele va fi numit, la cererea oricărei Părţi Contractante de către Preşedintele Curţii Internaţionale de Justiţie.
4. Dacă, în cazurile specificate la punctele (2) şi (3) al prezentului Articol, Preşedintele Curţii Internaţionale de Justiţie este împiedicat să exercite această funcţie ori dacă este un cetăţean al uneia dintre Părţile Contractante, numirile necesare vor fi efectuate de către Vicepreşedinte, iar dacă Vicepreşedintele este împiedicat să exercite această funcţie ori dacă este un cetăţean al uneia dintre Părţile Contractante, numirea va fi efectuată de către cel mai în vârstă membru al Curţii, care nu este cetăţean al uneia din Părţile Contractante.
5. Tribunalul va avea la dispoziţie trei (3) luni de la data alegerii Preşedintelui, să convină asupra regulilor de procedură în conformitate cu celelalte prevederi ale prezentului Acord. În lipsa unui consens, tribunalul va cere Preşedintelui Curţii Internaţionale de Justiţie să desemneze regulile de procedură, ţinând cont de normele general recunoscute de procedură arbitrală internaţională.
6. Dacă Părţile Contractante nu decid altfel, toate declaraţiile se vor face, şi toate audierile se vor completa în termen de opt (8) luni de la data alegerii Preşedintelui, iar tribunalul va lua decizia în termen de două (2) luni de la data depunerii ultimei declaraţii, sau de la data încheierii audierilor, oricare din acestea este mai târzie. Tribunalul arbitral va lua deciziile, care vor fi definitive şi obligatorii, cu o majoritate de voturi. Tribunalul arbitral va lua deciziile în baza prezentului Acord şi în conformitate cu dreptul internaţional aplicabil între Părţile Contractante.
7. Fiecare Parte Contractantă va suporta cheltuielile legate de arbitrul său şi de reprezentarea sa la procedura de arbitraj. Alte cheltuieli, inclusiv cele legate de Preşedinte, vor fi suportate în măsură egală de către ambele Părţi Contractante.
8. Un diferend nu se prezintă la un tribunal arbitral internaţional în conformitate cu dispoziţiile prezentului articol, în cazul în care un litigiu cu privire la aceeaşi problemă a fost adus în faţa unui alt tribunal arbitral internaţional în conformitate cu dispoziţiile articolului 10 şi este încă sub examinare. Acest lucru nu va afecta angajamentul asumat în negocieri directe şi semnificative între cele două Părţi Contractante.
Articolul 13
NOTIFICAREA ŞI PROCESAREA DOCUMENTELOR
Notificările şi alte documente aferente disputelor prevăzute la articolele 10 şi 12 vor fi prezentate în Republica Moldova către:

Articolul 14
INTRAREA ÎN VIGOARE
1. Prezentul Acord va intra în vigoare la data primirii ultimei notificări de către Părţile Contractante, în scris şi prin canale diplomatice, cu privire la îndeplinirea procedurilor interne necesare pentru intrarea acestuia în vigoare.
2. Prezentul Acord va rămâne în vigoare pentru o perioadă de zece (10) ani şi va continua să fie în vigoare, în cazul în care acesta nu va fi denunţat în conformitate cu paragraful 5 al acestui articol.
3. La data intrării în vigoare a prezentului Acord, acesta va substitui şi înlocui Acordul între Republica Moldova şi Republica Turcia privind promovarea şi protejarea reciprocă a investiţiilor, semnat la Ankara la 14 februarie 1994.
Litigiile înaintate spre arbitrare până la data intrării în vigoare a prezentului Acord, vor fi soluţionate în conformitate cu prevederile Acordului precedent. Litigiile înaintate spre arbitrare după data intrării în vigoare a prezentului Acord, vor fi soluţionate în conformitate cu prevederile prezentului Acord.
4. Prezentul Acord poate fi modificat în orice moment, prin acordul scris al Părţilor Contractante. Modificările vor intra în vigoare în conformitate cu aceeaşi procedură juridică prevăzută în primul paragraf al prezentului articol.
5. Fiecare Parte Contractantă poate denunţa prezentul Acord la sfârşitul perioadei de zece (10) ani, sau în orice alt moment după aceasta, notificând în scris, cu un (1) an înainte, cealaltă Parte Contractantă.
6. În ceea ce priveşte investiţiile efectuate sau dobândite înainte de data încetării prezentului Acord, şi pentru care acest Acord se aplică, prevederile tuturor articolelor ale prezentului Acord vor rămâne în vigoare pentru o perioadă suplimentară de zece (10) ani de la data încetării prezentului Acord.
DREPT PENTRU CARE, subsemnaţii, pe deplin autorizaţi de către Guvernele acestora, au semnat prezentul Acord.
ÎNTOCMIT în două exemplare la Istanbul la 16 decembrie 2016, în limbile română, turcă şi engleză, toate textele fiind egal autentice.
În cazul apariţiei divergenţelor la interpretare, textul în limba engleză va fi de referinţă.

AGREEMENT
BETWEEN
THE GOVERNMENT OF THE REPUBLIC OF MOLDOVA
AND
THE GOVERNMENT OF THE REPUBLIC OF TURKEY
CONCERNING THE RECIPROCAL PROMOTION AND
PROTECTION OF INVESTMENTS
The Government of the Republic of Moldova and the Government of the Republic of Turkey, hereinafter referred to as “the Contracting Parties”;
Desiring to promote greater economic cooperation between them, particularly with respect to investment by investors of one Contracting Party in the territory of the other Contracting Party;
Recognizing that agreement upon the treatment to be accorded such investment will stimulate the flow of capital and technology and the economic development of the Contracting Parties;
Agreeing that fair and equitable treatment of investments is desirable in order to maintain a stable framework for investment and will contribute to maximizing effective utilization of economic resources and improve living standards; and
Convinced that these objectives can be achieved without relaxing health, safety and environmental measures of general application as well as internationally recognized labor rights;
Having resolved to conclude an agreement concerning the reciprocal promotion and protection of investments;
Have agreed as follows:
ARTICLE 1
Definitions
For the purposes of this Agreement;
1. The term “investment” means every kind of asset, connected with business activities, acquired for the purpose of establishing lasting economic relations in the territory of a Contracting Party in conformity with its laws and regulations, and that has the characteristics of an investment1, including such characteristics as the commitment of capital or other resources, the expectation of regular gain or profit, the assumption of risk, contribution to economic development, or a certain duration, and shall include in particular, but not exclusively:
(a) movable and immovable property, as well as any other rights as mortgages, liens, pledges, and any other similar rights as defined in conformity with the laws and regulations of the Contracting Party in whose territory the property is situated;
(b) reinvested returns, claims to money or any other rights having financial value related to an investment;
(c) shares, stocks, or any other form of participation in companies;
(d) industrial and intellectual property rights, in particular patents, industrial designs, technical processes, as well as trademarks, goodwill, and know-how;
(e) business concessions conferred by law of by contract, including concessions related to natural resources.

1 Where an asset lacks the characteristics of an investment, that asset is not an investment regardless of the form it may take.
2. The term “investor” means:
(a) natural persons having the nationality of a Contracting Party according to its laws;
(b) companies, corporations, firms, business partnerships incorporated or constituted under the law in force of a Contracting Party and having their registered offices together with substantial business activities in the territory of that Contracting Party;
who have made an investment in the territory of the other Contracting Party.
3. The term “returns” means the amounts yielded by an investment and includes in particular, though not, exclusively, profit, interest, capital gains, royalties, fees and dividends.
4. The “territory” means:
(a) in respect of the Republic of Moldova; geographical area composed by the soil and subsoil, waters and air column over the soil and territorial waters, under which the Republic of Moldova exercises its sovereign rights and jurisdiction, in accordance with its legislation and international law;
(b) in respect of the Republic of Turkey; the land territory, internal waters, the territorial sea and the airspace above them, as well as the maritime areas over which Turkey has sovereign rights or jurisdiction for the purpose of exploration, exploitation and preservation of natural resources whether living or non-living, pursuant to international law.
ARTICLE 2
Scope of Application
This Agreement shall apply to investments in the territory of one Contracting Party, made in accordance with its national laws and regulations, by investors of the other Contracting Party, whether prior to, or after the entry into force of the present Agreement, However, this Agreement shall not apply to any disputes that have arisen before its entry into force.
ARTICLE 3
Promotion and Protection of Investments
1. Subject to its laws and regulations, each Contracting Party shall in its territory promote as far as possible investments by investors of the other Contracting Party.
2. Investments of investors of each Contracting Party shall at all times be accorded treatment in accordance with international law minimum standard of treatment, including fair and equitable treatment and full protection and security in the territory of the other Contracting Party. Neither Contracting Party shall in any way impair the management, maintenance, use, operation, enjoyment, extension, sale, liquidation or disposal of such investments by unreasonable or discriminatory measures.
ARTICLE 4
Treatment of Investments
1. Each Contracting Party shall admit in its territory investments on a basis no less favorable than that accorded in like circumstances to investments of investors of any third State, within the framework of its laws and regulations.
2. Each Contracting Party shall accord to these investments, once established, treatment no less favorable than that accorded in like circumstances to investments of its investors or to investments of investors of any third State, whichever is the most favorable, as regards the management, maintenance, use, operation, enjoyment, extension, sale, liquidation or disposal of the investment.
3. The Contracting Parties shall within the framework of their national legislation give favorable consideration to applications for the entry and sojourn of nationals of either Contracting Party who wish to enter the territory of the other Contracting Party in connection with the making and carrying through of an investment.
4. (a) The provisions of this Article shall not be construed so as to oblige one Contracting Party to extend to the investors of the other Contracting Party the benefit of any treatment, preference or privilege which may be extended by the former Contracting Party by virtue of any international agreement or arrangement relating wholly or mainly to taxation.
(b) The non-discrimination, national treatment and most-favored nation treatment provisions of this Agreement shall not apply to all actual or future advantages accorded by either Contracting Party by virtue of its membership of, or association with a customs, economic or monetary union, a common market or a free trade area; to nationals or companies of its own, of Member States of such union, common market or free trade area, or of any other third State.
(c) Paragraphs (1) and (2) of this Article shall not apply in respect of dispute settlement, provisions between an investor and the hosting Contracting Party laid down simultaneously by this Agreement and by another similar international agreement to which one of the Contracting Parties is signatory.
(d) The provisions of Article 3 and 4 of this Agreement shall not oblige a Contracting Party to accord investments of investors of the other Contracting Party the same treatment that it accords to investments of its own investors with regard to acquisition of land, real estates, and real rights thereof.
ARTICLE 5
General Exceptions
1. Nothing in this Agreement shall be construed to prevent a Contracting Party from adopting, maintaining, or enforcing any non-discriminatory legal measures:
(a) designed and applied for the protection of human, animal or plant life or health, or the environment;
(b) related to the conservation of living or non-living exhaustible natural resources.
2. Nothing in this Agreement shall be construed:
(a) to require any Contracting Party to furnish or allow access to any information the disclosure of which it determines to be contrary to its essential security interests;
(b) to prevent any Contracting Party from taking any actions that it considers necessary for the protection of its essential security interests,
(i) relating to the traffic in arms, ammunition and implements of war and to such traffic and transactions in other goods, materials, services and technology undertaken directly or indirectly for the purpose of supplying a military or other security establishment,
(ii) taken in time of war or other emergency in international relations, or
(iii) relating to the implementation of national policies or international agreements respecting the non-proliferation of nuclear weapons or other nuclear explosive devices; or
(c) to prevent any Contracting Party from taking action in pursuance of its obligations, under the United Nations Charter for the maintenance of international peace and security.
3. The adoption, maintenance or enforcement of such measures is subject to the requirement that they are not applied in an arbitrary or unjustifiable manner or do not constitute a disguised restriction on investments of investors of the other Contracting Party.
ARTICLE 6
Expropriation and Compensation
1. Investments shall not be expropriated, nationalized or subject, directly or indirectly, to measures of similar effects (hereinafter referred as expropriation) except for a public purpose, in a non-discriminatory manner, upon payment of prompt, adequate and effective compensation, and in accordance with due process of law and the general principles of treatment provided for in Article 3 of this Agreement.
2. Non-discriminatory legal measures designed and applied to protect legitimate public welfare objectives, such as health, safety and environment, do not constitute indirect expropriation.
3. Compensation shall be equivalent to the market value of the expropriated investment before the expropriation was taken or became public knowledge. Compensation shall be paid without delay and be freely transferable as described in paragraph 2 Article 8.
4. Compensation shall be payable in a freely convertible currency and in the event that payment of compensation is delayed, it shall include an interest rate equivalent to the highest interest paid on public claims in the hosting Contracting Party.
ARTICLE 7
Compensation for Losses
1. Investors of either Contracting Party whose investments suffer losses in the territory of the other Contracting Party owing to war, insurrection, civil disturbance or other similar events shall be accorded by such other Contracting Party treatment no less favorable than that accorded to its own investors or to investors of any third State, whichever is the most favourable treatment, as regards any measures it adopts in relation to such losses.
2. Without prejudice to paragraph (1) of this Article, investors of one Contracting Party who in any of the situations referred to in that paragraph suffer losses in the territory of the other Contracting Party resulting from:
(a) requisitioning of their property by its forces or authorities; or
(b) destruction of their property by its forces or authorities, which was not caused in combat action or was not required by the necessity of the situation;
shall be accorded restitution or compensation which in either case shall be prompt, adequate and effective. Resulting payments shall be freely convertible.
ARTICLE 8
Repatriation and Transfer
1. Each Contracting Party shall guarantee in good faith all transfers related to an investment to be made freely and without delay into and out of its territory. Such transfers include:
(a) the initial capital and additional amounts to maintain or increase investment;
(b) returns;
(c) proceeds from the sale or liquidation of all or any part of an investment;
(d) compensation pursuant to Article 6 and 7;
(e) reimbursements and interest payments deriving from loans in connection with
investments;
(f) salaries, wages and other remunerations received by the nationals of one Contracting Party who have obtained hi the territory of the other Contracting Party the corresponding work permits related to an investment;
(g) payments arising from an investment dispute.
2. Transfers shall be made in the convertible currency in which the investment has been made or in any convertible currency at the rate of exchange in force at the date of transfer, unless otherwise agreed by the investor and the hosting Contracting Party.
3. Where, in exceptional circumstances, payments and capital movements cause or threaten to cause serious balance of payments difficulties, each Contracting Party may temporarily restrict transfers, provided that such restrictions are imposed on a non-discriminatory and in good faith basis.
ARTICLE 9
Subrogation
1. If one of the Contracting Parties has a public insurance or guarantee scheme to protect investments of its own investors against non-commercial risks, and if an investor of this Contracting Party has subscribed to it, any subrogation of the insurer under the insurance contract between this investor and the insurer, shall be recognized by the other Contracting Party.
2. The insurer is entitled by virtue of subrogation to exercise the rights and enforce the claims of that investor and shall assume the obligations related to the investment. The subrogated rights or claims shall not exceed the original rights of claims of the investor,
3. Disputes between a Contracting Party and an insurer shall be settled in accordance with the provisions of Article 10 of this Agreement.
ARTICLE 10
Settlement of Disputes Between One Contracting
Parry and Investors of the Other Contracting Party
1. This Article shall apply to disputes between one Contracting Party and an investor of the other Contracting Party concerning an alleged breach of an obligation of the former under this Agreement, which causes loss or damage to the investor or its investments.
2. Disputes between one of the Contracting Parties and an investor of the other Contracting Party, in connection with its investment, shall be notified in writing, including detailed information, by the investor to the recipient Contracting Party of the investment. As far as possible, the investor and the concerned Contracting Party shall endeavor to settle these disputes by consultations and negotiations in good faith.
3. If these disputes, cannot be settled in this way within six (6) months following the date of the written notification mentioned in paragraph 2, the disputes can be submitted, as the investor may choose, to:
a) the competent court of the Contracting Party in whose territory the investment has been made, or
b) the International Center for Settlement of Investment Disputes (ICSID) set up by the “Convention on Settlement of Investment Disputes Between States and Nationals of other States”, signed on March 18th, 1965 in Washington,
c) an ad hoc arbitral tribunal established under the Arbitration Rules of Procedure of the United Nations Commission for International Trade Law (UNCITRAL), or
d) the Board of the Arbitration Institute of the Stockholm Chamber of Commerce (SCC),
e) any other arbitration institution or any other arbitration rules, if the disputing parties so agree.
4. Once the investor has submitted the dispute to one or the other of the dispute settlement forums mentioned in paragraph 3 of this Article, the choice of one of these forums shall be final.
5. Notwithstanding the provisions of paragraph 3 of this Article;
only the disputes arising directly out of investment activities which have obtained necessary permission, if there is any permission required, in conformity with the relevant legislation of host Contracting Party on foreign capital, and that effectively started shall be subject to the jurisdiction of the International Center for Settlement of Investment Disputes (ICSID).
6. The arbitral tribunal shall take its decisions in accordance with the provisions of this Agreement, the laws and regulations of the Contracting Party involved in the dispute on which territory the investment is made (including its rules on the conflict of laws) and the relevant principles of international law as accepted by both Contracting Parties.
7. The arbitration awards shall be final and binding for all parties in dispute. Each Contracting Party shall execute the award according to its national law.
ARTICLE 11
Denial of Benefits
1. A Contracting Party may deny the benefits of this Agreement to an investor of the other Contracting Party that is a company of such other Contracting Party and to investments of such investor if the company has no substantial business activities in the territory of the Contracting Party under whose law it is constituted or organized, and investors of a non- Contracting Party or investors of the denying Contracting Party, own or control the company.
2. The denying Contracting Party shall, to the extent practicable, notify the other Contracting Party before denying the benefits.
ARTICLE 12
Settlement of Disputes Between The Contracting Parties
1. The Contracting Parties shall seek in good faith and a spirit of cooperation, a rapid and equitable solution to any dispute between them concerning the interpretation of application of this Agreement. In this regard, the Contracting Parties agree to engage in direct and meaningful negotiations to arrive at such solutions. If the Contracting Parties cannot reach an agreement within six (6) months after the beginning of disputes between themselves through the foregoing procedure, the disputes may be submitted, upon the request of either Contracting Party, to an arbitral tribunal of three members.
2. Within two (2) months of receipt of a request; each Contracting Party shall appoint an arbitrator. The two arbitrators shall select a third arbitrator as Chairman, who is a national of a third State. In the event either Contracting Party fails to appoint an arbitrator within the specified time, the other Contracting Party may request the President of the International Court of Justice to make the appointment.
3. If both arbitrators cannot reach an agreement about the choice of the Chairman within two (2) months after their appointment, the Chairman shall be appointed upon the request of either Contracting Party by the President of the International Court of Justice.
4. If, in the cases specified under paragraphs (2) and (3) of this Article, the President of the International Court of Justice is prevented from carrying out the said function or if he is a national of either Contracting Party, the appointment shall be made by the Vice-President, and if the Vice-President is prevented from carrying out the said function or if he is a national of either Contracting Party, the appointment shall be made by the most senior member of the Court who is not a national of either Contracting Party.
5. The tribunal shall have three (3) months from the date of the selection of the Chairman to agree upon rules of procedure consistent with the other provisions of this Agreement. In the absence of such agreement, the tribunal shall request the President of the International Court of Justice to designate rules of procedure, taking into account generally recognized rules of international arbitral procedure.
6. Unless otherwise agreed, all submissions shall be made and all hearings shall be completed within eight (8) months of the date of selection of the Chairman, and the tribunal shall render its decision within two (2) months after the date of the final submissions of the date of the closing of the hearings, whichever is later. The arbitral tribunal shall reach its decisions, which shall be final and binding, by a majority of votes. Arbitral Tribunal shall reach its decision on the basis of this Agreement and in accordance with international law applicable between the Contracting Parties.
7. Each Contracting Party shall bear the cost of its arbitrator and its representation at the proceedings. Other costs, including those incurred by the Chairman, shall be paid for equally by the Contracting Parties.
8. A dispute shall not be submitted to an international arbitral tribunal under the provisions of this Article, if a dispute on the same matter has been brought before another international arbitral tribunal under the provisions of Article 10 and is still before the tribunal. This will not impair the engagement, in direct and meaningful negotiations between both Contracting Parties.
ARTICLE 13
Service of Documents
Notices and other documents in disputes under Article 10 and 12 shall be served on the Republic of Moldova by delivery to

ARTICLE 14
Entry into Force
1. This Agreement shall enter into force on the date of the receipt of the last notification by the Contracting Parties, in writing and through diplomatic channels, of the completion of the respective internal legal procedures necessary to that effect;
2. This Agreement shall remain in force for a period of ten (10) years and shall continue in force unless terminated in accordance with paragraph 5 of this Article.
3. Upon entry into force of this Agreement, it shall substitute and replace the Agreement Between the Republic of Moldova and the Republic of Turkey on the Promotion and Reciprocal Protection of Investments, signed on February 14, 1994, in Ankara.
The disputes submitted to arbitration before the date of entry into force of this Agreement shall be settled in accordance with the provision of the previous Agreement. The disputes submitted to arbitration after the date of the entry into force of this Agreement, shall be settled in accordance with the provisions of this Agreement.
4. This Agreement may be amended by mutual written consent of the Contracting Parties at any time. The amendments shall enter into force in accordance with the same legal procedure prescribed under the first paragraph of the present Article.
5. Either Contracting Party may, by giving one year′s prior written notice to the other Contracting Party, terminate this Agreement at the end of the initial ten-year period or at any time thereafter.
6. With respect to investments made or acquired prior to the date of termination of this. Agreement and to which this Agreement otherwise applies, the provisions of all of the other Articles of this Agreement shall, thereafter continue to be effective, for a further period of ten (10) years from such date of termination.
IN WITNESS WHEREOF the undersigned representatives, duly authorized .thereto by their respective Governments, have signed this Agreement.
DONE in duplicate at Istanbul on December 16, 2016 in the Romanian, Turkish and English languages, all texts being equally authentic.
In case of any divergence of interpretation, the English text shall prevail.
