Îndrumările Băncii Mondiale

privind debursările pentru proiecte

1. Scop

1.1 Scopul acestor Îndrumări este de a prezenta procedurile Băncii privind debursarea sumelor din împrumut pentru proiecte.1 În mod concret, Îndrumările explică (a) diversele metode utilizate de Bancă pentru debursarea sumelor din împrumut, (b) cerinţele de retragere din Contul de împrumut, (c) tipurile documentelor justificative pe care debitorul trebuie să le prezinte pentru a demonstra utilizarea sumelor din împrumut pentru cheltuieli eligibile, (d) criteriile de stabilire a conturilor desemnate, (e) termenii şi condiţiile aplicabile avansurilor, (f) tipurile de măsuri pe care Banca le poate lua dacă stabileşte că sumele din împrumut nu sunt necesare sau au fost utilizate în scopuri neeligibile şi (g) consecinţa rambursărilor.

Prezentele Îndrumări privind debursările se aplică tuturor împrumuturilor, creditelor şi avansurilor acordate prin intermediul Facilităţii de Pregătire a Proiectului, precum şi granturilor finanţate prin intermediul Fondului de Dezvoltare Instituţională şi Fondului Global de Mediu, cu excepţia cazului în care se prevede altfel în Politica operaţională 10.20, Operaţiuni ale Fondului Global de Mediu (va apărea în curând). Prezentele Îndrumări se aplică şi altor granturi executate de beneficiari, finanţate din fonduri fiduciare, cu excepţia cazului în care, în mod excepţional, termenii acordului cu donatorul prevăd cerinţe diferite. Prezentele Îndrumări nu se aplică împrumuturilor oferite din cadrul Politicii de dezvoltare.

2. Metodele de efectuare a debursărilor

2.1 Banca stabileşte aranjamentele de efectuare a debursărilor pentru o operaţiune, în consultare cu debitorul şi luând în considerare, printre altele, evaluarea metodelor de management financiar şi achiziţii ale debitorului, planul de achiziţii şi fluxurile de numerar previzionate ale operaţiunii, precum şi experienţa Băncii de efectuare a debursărilor către debitor.

2.2 Din Contul de împrumut creat pentru fiecare împrumut, Banca debursează sumele către debitor sau la ordinul acestuia, utilizând una sau mai multe metode de debursare indicate mai jos, stabilite de Bancă.

(a) Rambursarea: Banca poate rambursa debitorului cheltuielile eligibile de finanţare potrivit Acordului de împrumut (”cheltuieli eligibile”) pe care debitorul le-a finanţat anterior din resurse proprii.

(b) Avansul: Banca transferă avansul din împrumut pe un cont special al debitorului pentru finanţarea cheltuielilor eligibile pe măsura apariţiei acestora şi pentru care vor fi furnizate documente justificative la o dată ulterioară (a se vedea secţiunea 5. ”Conturi desemnate”).

(c) Plăţi directe: La cererea debitorului, Banca poate efectua plăţi direct către o parte terţă (de ex. un furnizor, antreprenor, consultant) pentru cheltuieli eligibile.

(d) Angajamentul special: Banca poate plăti unei terţe părţi sume pentru cheltuieli eligibile, în baza unor angajamente speciale încheiate în scris, la cererea debitorului şi în termenii şi condiţiile convenite între Bancă şi debitor.

3. Tragerea sumelor din împrumut

3.1 Semnături autorizate. Înainte ca sumele din împrumut să fie trase sau angajate din Contul de împrumut, reprezentantul autorizat al debitorului (desemnat în Acordul de împrumut) trebuie să furnizeze Băncii (a) numele persoanelor autorizate să semneze cererile de retragere şi cererile pentru angajamente speciale (denumite colectiv ”Cereri”) şi (b) specimenul autentificat al semnăturilor acestor persoane. Debitorul trebuie să indice clar dacă Cererile necesită mai mult de o semnătură şi să informeze imediat Banca cu privire la orice modificări apărute în legătură cu dreptul de semnătură.

3.2 Cererile. Cererile trebuie transmise Băncii având forma şi conţinutul pe care Banca le poate solicita în mod rezonabil. Formularele de cerere sunt disponibile online pe pagina web de contact cu clienţii http://clientconnection.worldbank.org sau pot fi furnizate de către Bancă la cerere.

3.3 Pentru a trage avansuri din Contul de împrumut, debitorul trebuie să prezinte o cerere de tragere semnată în original. Pentru a trage din Contul de împrumut sume în vederea rambursărilor şi plăţilor directe, precum şi pentru a raporta utilizarea avansurilor, debitorul trebuie să prezinte o cerere de tragere semnată în original, împreună cu o copie a documentelor justificative (a se vedea secţiunea 4. ”Cerinţe privind documentele justificative”). Pentru un angajament special din Contul de împrumut, debitorul trebuie să prezinte o cerere de angajament special semnată în original, împreună cu o copie a acreditivului documentar. Banca îşi rezervă dreptul de a refuza sau de a examina copiile Cererilor şi documentelor justificative şi, la discreţia sa, poate restitui sau distruge copiile.

3.4 Furnizarea pe cale electronică. Banca poate autoriza debitorul să utilizeze mijloace electronice, în modul şi în termenii şi condiţiile prevăzute de Bancă, pentru a furniza Băncii cererile şi documentele justificative. Cererile şi documentele justificative furnizate în conformitate cu acest subpunct se consideră că au fost trimise Băncii pentru a îndeplini cerinţele prevăzute la subpunctele 3.2 şi 3.3 din prezentele Îndrumări.

3.5 Suma minimă a Cererilor. Banca stabileşte o sumă minimă pentru Cererile de rambursare, plată directă şi angajament special. Banca îşi rezervă dreptul de a refuza Cererile care sunt sub această sumă minimă.

3.6 Perioada de debursare a împrumutului. Banca procesează Cererile doar după ce Acordul de împrumut a fost declarat în vigoare, în conformitate cu termenii din Acordul de împrumut. Cheltuielile pentru care se depun Cererile trebuie să fie:

(a) plătite (i) la sau după data Acordului de împrumut sau (ii) în cazul operaţiunilor care permit finanţare retroactivă, la sau după data anterioară indicată în acel scop în Acordul de împrumut; şi

(b) suportate la sau înainte de data de încheiere indicată sau menţionată în Acordul de împrumut (”Data de închidere”), cu excepţia cazului în care se convine altfel în mod specific cu Banca.

3.7 Perioada de debursare a împrumutului se încheie la termenul-limită stabilit de Bancă pentru primirea cererilor de tragere şi a documentelor justificative (”Termenul-limită de efectuare a debursărilor”). Termenul-limită de efectuare a debursărilor poate să coincidă cu Data de închidere sau poate fi la cel mult patru luni după Data de închidere. De obicei, pentru a susţine finalizarea normală a proiectului şi închiderea Contului de împrumut, Banca nu acceptă cererile de tragere sau documentele justificative primite după Termenul-limită de efectuare a debursărilor. Debitorul va informa cu promptitudine Banca, înainte de aceste date, despre orice întârzieri de implementare preconizate sau probleme administrative excepţionale. Banca va informa debitorul despre orice excepţie pe care Banca o poate face în legătură cu Termenul-limită de efectuare a debursărilor.

3.8 Condiţiile de efectuare a debursărilor. Dacă Acordul de împrumut conţine o condiţie de debursare pentru o anumită categorie de cheltuieli, Banca va debursa sumele din împrumut pentru acea categorie doar după ce condiţia respectivă a fost îndeplinită şi Banca a informat debitorul în acest sens.

4. Cerinţe privind documentele justificative

4.1 Debitorul prezintă Băncii documente justificative care demonstrează că sumele din împrumut au fost sau sunt utilizate pentru a finanţa cheltuieli eligibile.

4.2 Pentru angajamente speciale, banca comercială transmite direct Băncii confirmarea sa că au fost îndeplinite condiţiile de deblocare a plăţilor angajate în vederea tragerii.

4.3 Tipurile documentelor justificative. Banca solicită copii ale documentelor originale care confirmă cheltuielile eligibile (”Evidenţe”) sau rapoarte de sinteză privind cheltuielile (”Sinteze”), cu forma şi conţinutul aprobate de Bancă. Evidenţele includ documente precum facturi şi chitanţe. O Sinteză poate fi (a) raportul financiar intermediar neauditat, solicitat în temeiul Acordului de împrumut (“Raportul financiar intermediar”) sau (b) o declaraţie privind cheltuielile, care rezumă cheltuielile eligibile suportate într-o perioadă anume (”Declaraţia cheltuielilor”). În toate cazurile, debitorul trebuie să păstreze originalele documentelor ce confirmă cheltuielile eligibile şi să le pună la dispoziţie pentru audit sau control.

4.4 Banca stabileşte tipurile documentelor justificative pe care debitorul trebuie să le prezinte, ţinând cont de metoda de debursare utilizată. Documentele justificative pot fi:

(a) Pentru cereri de rambursare: (i) Rapoartele financiare intermediare, (ii) Declaraţiile de cheltuieli, (iii) Evidenţele, sau (iv) Evidenţele solicitate de Bancă pentru cheltuieli specifice şi Declaraţiile cheltuielilor pentru toate celelalte cheltuieli;

(b) Pentru raportări cu privire la utilizarea avansurilor: (i) Rapoartele financiare intermediare, (ii) Declaraţiile de cheltuieli, (iii) Evidenţele sau (iv) Evidenţele solicitate de Bancă pentru cheltuieli specifice şi Declaraţiile cheltuielilor pentru toate celelalte cheltuieli;

(c) Pentru cereri de plăţi directe: Evidenţele; şi

(d) Orice alte documente justificative pe care Banca le poate solicita anunţând debitorul.

4.5 Nerespectarea obligaţiei de a prezenta rapoarte financiare auditate. Dacă debitorul nu prezintă oricare din rapoartele financiare auditate, solicitate în conformitate cu şi în termenul prevăzut de Acordul de împrumut, Banca poate, la discreţia sa, să decidă respingerea cererilor de retragere justificate prin Sinteze, chiar dacă acele rapoarte sunt însoţite de Evidenţe.

5. Conturi desemnate

5.1 Debitorul poate deschide unul sau mai multe conturi desemnate, în care Banca, la cererea debitorului, poate depune sumele trase din Contul de împrumut cu scopul de a achita cheltuielile eligibile pe măsura apariţiei acestora (”Contul desemnat”). Înainte ca Banca să autorizeze deschiderea unui Cont desemnat, debitorul trebuie să aibă capacitate administrativă adecvată, controale interne, proceduri de contabilitate şi audit pentru a asigura utilizarea eficientă a Contului desemnat.

5.2 Banca poate decide să nu permită utilizarea Conturilor desemnate pentru proiecte noi, dacă debitorul nu a rambursat avansuri nedocumentate în Contul desemnat al unui alt împrumut acordat debitorului sau garantat de debitor, în termen de două luni de la Termenul-limită de efectuare a debursărilor pentru acel împrumut.

5.3 Tipul Contului desemnat. Un Cont desemnat poate fi deschis în oricare din cele două moduri prezentate mai jos, după caz, pentru operaţiunea în cauză, în modul stabilit şi anunţat de către Bancă.

(a) Cont segregat: este un cont al debitorului în care pot fi depuse doar sumele din împrumutul din partea Băncii; sau

(b) Cont comun: este un cont al debitorului în care pot fi depuse sumele din împrumutul din partea Băncii şi sumele din alte surse de finanţare a operaţiunilor (de ex., resursele debitorului şi/sau fondurile altor parteneri de dezvoltare).

5.4 Valuta Contului desemnat. Conturile desemnate trebuie să fie deschise într-o valută acceptabilă pentru Bancă. În ţările care au o valută liber convertibilă, Conturile desemnate pot fi deschise în valuta debitorului sau într-o altă valută liber convertibilă. De asemenea, Banca poate accepta Conturi desemnate în monedă locală, atunci când, printre altele, moneda naţională (chiar dacă nu este liber convertibilă) este stabilă şi cheltuielile care vor fi finanţate sunt în principal în această monedă. Debitorul suportă toate riscurile legate de fluctuaţiile cursului de schimb între (a) valuta împrumutului şi valuta Contului desemnat al debitorului şi (b) valuta Contului desemnat al debitorului şi valuta sau valutele cheltuielilor proiectului.

5.5 Instituţii financiare. Contul desemnat trebuie deschis şi menţinut la o instituţie financiară acceptată de către Bancă, conform termenilor şi condiţiilor acceptabile pentru Bancă. Pentru a fi acceptată de către Bancă, instituţia financiară propusă de debitor trebuie în general să îndeplinească toate cerinţele următoare:

(a) să fie solidă financiar;

(b) să fie autorizată să menţină Contul desemnat în valuta convenită între Bancă şi debitor;

(c) să fie auditată cu regularitate şi să aibă rapoartele de audit satisfăcătoare;

(d) să fie capabilă să efectueze prompt un număr mare de tranzacţii;

(e) să fie capabilă să efectueze o gamă largă de servicii bancare la un nivel satisfăcător;

(f) să fie capabilă să prezinte un extras detaliat din Contul desemnat;

(g) să facă parte dintr-o reţea satisfăcătoare de bănci corespondente; şi

(h) să perceapă comisioane rezonabile pentru serviciile prestate.

5.6 Banca îşi rezervă dreptul să refuze deschiderea şi/sau menţinerea Contului desemnat la o instituţie financiară, dacă acea instituţie a emis sau emite pretenţia de a separa, a bloca sau a opri sumele unui împrumut al Băncii depozitate într-un Cont desemnat menţinut de acea instituţie.

6. Termeni şi condiţii aplicabile avansurilor

6.1 Plafonul. Banca informează debitorul despre suma maximă din împrumut care poate fi depusă în Contul desemnat (”Plafonul”). Banca, la discreţia sa, poate stabili Plafonul ca (a) o sumă fixă sau (b) o sumă care este ajustată periodic pe parcursul implementării proiectului în baza prognozelor periodice privind necesităţile de numerar ale proiectului.

6.2 Solicitarea avansului. Debitorul poate solicita un avans, care nu depăşeşte Plafonul minus suma cumulată a avansurilor primite anterior de către debitor, pentru care debitorul nu a prezentat încă documente justificative. De obicei, pentru a susţine închiderea normală a Contului de împrumut, Banca nu transferă avansul din împrumut în Contul desemnat după Data de închidere.

6.3 Frecvenţa de raportare a cheltuielilor eligibile achitate din Contul desemnat. Debitorul prezintă rapoarte privind utilizarea avansului din împrumut transferat în Contul desemnat, la intervale notificate debitorului de către Bancă (”Perioada de raportare”). Debitorul trebuie să asigure că toate sumele depuse în Contul desemnat sunt trecute în cont şi utilizarea lor este raportată anterior Termenului-limită de efectuare a debursărilor. După acest termen, debitorul trebuie să restituie Băncii orice avansuri care nu sunt contabilizate încă sau sunt rămase în Contul desemnat.

6.4 Retragerea avansurilor. Banca nu este obligată să facă depuneri în Contul desemnat dacă:

(a) Banca stabileşte că depunerea respectivă ar duce la depăşirea Plafonului (a se vedea subpunctul 6.2 ”Solicitarea avansului”);

(b) Banca nu este convinsă că cheltuielile proiectului, planificate de către debitor, justifică depunerea. Banca poate, anunţând debitorul, să ajusteze suma pe care o depune sau să tragă alte depuneri în Contul desemnat, până când este convinsă că necesităţile financiare ale proiectului justifică alte depuneri;

(c) Debitorul nu ia măsurile necesare ca urmare a deciziilor luate de Bancă în temeiul subpunctelor 7.1 şi 7.2 din prezentele Îndrumări;

(d) Debitorul nu prezintă oricare din rapoartele financiare auditate, solicitate în conformitate cu şi în termenul prevăzut de Acordul de împrumut;

(e) Banca stabileşte că toate tragerile ulterioare ale sumelor din împrumut trebuie efectuate de către debitor direct din Contul de împrumut; sau

(f) Banca a anunţat debitorul despre intenţia sa de a suspenda în întregime sau parţial dreptul debitorului de a efectua trageri din Contul de împrumut.

6.5 Avansuri în exces. Dacă, în orice moment, Banca stabileşte că o sumă depusă în Contul desemnat nu va fi necesară pentru a acoperi alte plăţi legate de cheltuieli eligibile (”Suma excedentară”), Banca poate, la discreţia sa, să ceară debitorului să ia una din cele două măsuri de mai jos. La notificarea de către Bancă, debitorul trebuie să ia imediat măsura necesară:

(a) Să ofere dovezi satisfăcătoare pentru Bancă, într-un termen indicat de către Bancă, despre faptul că Suma excedentară va fi utilizată pentru cheltuieli eligibile. Dacă dovezile nu sunt oferite în termenul indicat, debitorul trebuie să restituie Băncii cu promptitudine Suma excedentară; sau

(b) Să restituie cu promptitudine Suma excedentară.

7. Cheltuieli neeligibile

7.1 Cheltuieli neeligibile în general. Dacă Banca stabileşte că o sumă din împrumut a fost utilizată pentru a achita cheltuieli care nu sunt eligibile conform Acordului de împrumut (”cheltuieli neeligibile”), Banca poate, la discreţia sa, să ceară debitorului să ia una din cele două măsuri de mai jos. La notificarea de către Bancă, debitorul trebuie să ia imediat măsura necesară:

(a) Să restituie Băncii suma echivalentă; sau

(b) În mod excepţional, să prezinte documente înlocuitoare care confirmă alte cheltuieli eligibile.

7.2 Cheltuieli neeligibile achitate din Contul desemnat. Dacă Banca stabileşte că o plată efectuată din Contul desemnat nu a fost justificată prin dovezi furnizate Băncii sau a fost utilizată pentru cheltuieli neeligibile, Banca poate, la discreţia sa, să ceară debitorului să ia una din cele două măsuri de mai jos. La notificarea de către Bancă, debitorul trebuie să ia imediat măsura necesară:

(a) Să prezinte dovezile suplimentare solicitate de Bancă;

(b) Să depună suma echivalentă în Contul desemnat;

(c) Să restituie Băncii suma echivalentă; sau

(d) În mod excepţional, să prezinte documente înlocuitoare care confirmă alte cheltuieli eligibile.

8. Rambursări

8.1 Decizia debitorului de a rambursa. Debitorul poate, după ce a anunţat Banca, să ramburseze tot împrumutul sau orice parte din acesta, prin depunere către Bancă în Contul desemnat, pentru a credita Contul de împrumut.

8.2 Consecinţa rambursărilor. Banca va stabili dacă rambursările efectuate către Bancă în conformitate cu secţiunile 6 şi 7 şi subpunctul 8.1 din prezentele Îndrumări vizând debursările vor credita Contul de împrumut pentru o tragere ulterioară sau pentru anulare. Debitorii trebuie să ştie că rambursările sumelor din împrumut pot avea ca rezultat schimbarea taxelor de reziliere şi/sau costurilor generate de modificarea condiţiilor contractuale pe sume pentru care baza ratei dobânzii sau valuta a fost convertită sau acoperită împotriva riscurilor.

8.3 Alte obligaţii neafectate de rambursări. Rambursările sumelor din împrumut nu afectează mijloacele de apărare juridică ale Băncii în temeiul Acordului de împrumut.

Disbursement Guidelines for Projects

1. Purpose

1.1 The purpose of these Guidelines is to set out the Bank′s procedures for disbursement of loan proceeds for projects.1 Specifically, the Guidelines explain (a) the different methods used by the Bank to disburse loan proceeds, (b) the requirements for withdrawal from the Loan Account, (c) the types of supporting documentation that the borrower may be required to provide to demonstrate the use of loan proceeds for eligible expenditures, (d) the criteria for establishing designated accounts, (e) the terms and conditions applicable to advances, (f ) the types of actions that the Bank may take if it determines that loan proceeds are not needed or have been used for ineligible purposes, and (g) the consequence of refunds.

2. Disbursement Methods

2.1 The Bank establishes disbursement arrangements for an operation in consultation with the borrower and taking into consideration, inter alia, an assessment of the borrower′s financial management and procurement arrangements, the procurement plan and cash flow needs of the operation, and its disbursement experience with the borrower.

2.2 The Bank disburses proceeds from the Loan Account established for each loan, to or on the order of the borrower, using one or more of the disbursement methods set forth below, as determined by the Bank.

(a) Reimbursement: The Bank may reimburse the borrower for expenditures eligible for financing pursuant to the Loan Agreement (“eligible expenditures”) that the borrower has prefinanced from its own resources.

(b) Advance: The Bank may advance loan proceeds into a designated account of the borrower to finance eligible expenditures as they are incurred and for which supporting documents will be provided at a later date (see section 5, “Designated Accounts”).

(c) Direct Payment: The Bank may make payments, at the borrower′s request, directly to a third party (e.g., supplier, contractor, consultant) for eligible expenditures.

(d) Special Commitment: The Bank may pay amounts to a third party for eligible expenditures under special commitments entered into, in writing, at the borrower′s request and on terms and conditions agreed between the Bank and the borrower.

3. Withdrawal of Loan Proceeds

3.1 Authorized Signatures. Before loan proceeds may be withdrawn or committed from the Loan Account, the authorized representative of the borrower (as designated in the Loan Agreement) must furnish to the Bank (a) the name(s) of the official(s) authorized to sign applications for withdrawal and applications for a special commitment (collectively, “Applications”), and (b) the authenticated specimen signature(s) of the official(s). The borrower must indicate clearly if more than one signature is required on Applications and must notify the Bank promptly of any changes in signature authority.

3.2 Applications. Applications must be provided to the Bank in such form and include such information as the Bank may reasonably request. Application forms are available online from the Client Connection Web site at http://clientconnection.worldbank.org or from the Bank upon request.

3.3 For withdrawal from the Loan Account for advances, the borrower should provide an original signed application for withdrawal. For withdrawal from the Loan Account for reimbursements and direct payments and for reporting on the use of advances, the borrower should provide an original signed application for withdrawal together with one copy of supporting documents (see section 4, “Supporting Documentation Requirements”). For a special commitment from the Loan Account, the borrower should provide an original signed application for a special commitment together with one copy of the letter of credit. The Bank reserves the right not to accept or review duplicate copies of Applications and supporting documents and may at its discretion return or destroy the duplicates.

3.4 Electronic Delivery. The Bank may authorize the borrower to use electronic means, in a manner and on terms and conditions specified by the Bank, to deliver Applications and supporting documentation to the Bank. Applications and supporting documentation delivered in accordance with this subsection will be deemed to have been provided to the Bank for the purposes of satisfying the requirements of subsections 3.2 and 3.3 of these Guidelines.

3.5 Minimum Value of Applications. The Bank establishes a minimum value for Applications for reimbursement, direct payment, and special commitment. The Bank reserves the right not to accept Applications that are below such minimum value.

3.6 Loan Disbursing Period. The Bank processes Applications only after the Loan Agreement has been declared effective in accordance with the terms of the Loan Agreement. The expenditures for which the Applications are made must be:

(a) paid for (i) on or after the date of the Loan Agreement, or (ii) in the case of operations that permit retroactive financing, on or after the earlier date specified in the Loan Agreement for that purpose; and

(b) incurred on or before the closing date specified or referred to in the Loan Agreement (“Closing Date”), except as otherwise specifically agreed with the Bank.

3.7 The loan disbursing period ends on the final date established by the Bank for receipt by the Bank of applications for withdrawal and supporting documentation (the “Disbursement Deadline Date”). The Disbursement Deadline Date may be the same as the Closing Date, or up to four months after the Closing Date. Normally, to support orderly project completion and closure of the Loan Account, the Bank does not accept applications for withdrawal or supporting documentation received after the Disbursement Deadline Date. The borrower should promptly inform the Bank of any expected implementation delays or exceptional administrative issues before these dates. The Bank notifies the borrower of any exception that the Bank may make to the Disbursement Deadline Date.

3.8 Disbursement Conditions. If the Loan Agreement contains a disbursement condition for a specific expenditure category, the Bank will disburse loan proceeds for that category only after the disbursement condition has been fulfilled and the Bank has notified the borrower to this effect.

4. Supporting Documentation Requirements

4.1 The borrower provides supporting documentation to the Bank to show that loan proceeds have been or are being used to finance eligible expenditures.

4.2 For special commitments, the commercial bank provides its confirmation directly to the Bank that conditions for release of payments committed for withdrawal have been met.

4.3 Types of Supporting Documentation. The Bank requires either copies of the original documents evidencing eligible expenditures (“Records”) or summary reports of expenditure (“Summary Reports”) in such form and substance as the Bank may specify. Records include such documents as invoices and receipts. A Summary Report may be either (a) the interim un-audited financial report required under the Loan Agreement (“Interim Financial Report”) or (b) a statement of expenditure summarizing eligible expenditures paid during a stated period (“Statement of Expenditure”). In all cases, the borrower is responsible for retaining the original documents evidencing eligible expenditures and making them available for audit or inspection.

4.4 The Bank determines the types of supporting documentation that the borrower should provide, taking into consideration the disbursement method used. The supporting documentation may be the following:

(a) For applications for reimbursement: (i) Interim Financial Reports, (ii) Statements of Expenditure, (iii) Records, or (iv) Records required by the Bank for specific expenditures and Statements of Expenditure for all other expenditures;

(b) For reporting on the use of advances: (i) Interim Financial Reports, (ii) Statements of Expenditure, (iii) Records, or (iv) Records required by the Bank for specific expenditures and Statements of Expenditure for all other expenditures;

(c) For applications for direct payments: Records;

and

(d) Any other supporting documentation that the Bank may request by notice to the borrower.

4.5 Failure to Provide Audited Financial Statements. If the borrower fails to provide any of the audited Financial Statements required in accordance with, and within the period of time specified in, the Loan Agreement, the Bank may at its discretion decide not to accept applications for withdrawal supported by Summary Reports, even if such reports are accompanied by Records.

5. Designated Accounts

5.1 The borrower may open one or more designated accounts into which the Bank may, at the borrower′s request, deposit amounts withdrawn from the Loan Account for the purpose of paying for eligible expenditures as they are incurred (“Designated Account”). Before the Bank authorizes establishment of a Designated Account, the borrower must have adequate administrative capability, internal controls, and accounting and auditing procedures to ensure effective use of the Designated Account.

5.2 The Bank may decide not to permit the use of Designated Accounts in new projects if the borrower has failed to refund undocumented advances in the Designated Account of any other loan to, or guaranteed by, the borrower within two months after the Disbursement Deadline Date for such loan.

5.3 Type of Designated Account. A Designated Account may be established in one of the two ways set out below, as appropriate for the operation concerned, as determined and notified by the Bank.

(a) Segregated Account: this is an account of the borrower into which only proceeds of the loan may be deposited; or

(b) Pooled Account: this is an account of the borrower into which the loan proceeds and proceeds of other financing for the operation (e.g., borrower resources and/ or financing by other development partners) may be deposited.

5.4 Currency of the Designated Account. Designated Accounts must be in a currency acceptable to the Bank. In countries that have a freely convertible currency, Designated Accounts may be held in the currency of the borrower or any freely convertible currency. The Bank may also agree to local currency Designated Accounts when, inter alia, the country′s currency (even if not freely convertible) is stable and the expenditures to be financed are primarily in local currency. The borrower bears all risks associated with foreign exchange fluctuations between (a) the currency of denomination of the loan and that of the borrower′s Designated Account, and (b) the currency of denomination of the borrower′s Designated Account and the currency or currencies of project expenditures.

5.5 Financial Institution. Designated Accounts must be opened and maintained in a financial institution acceptable to the Bank on terms and conditions acceptable to the Bank. To be acceptable to the Bank, the financial institution proposed by the borrower should generally meet all the following requirements:

(a) be financially sound;

(b) be authorized to maintain the Designated Account in the currency agreed between the Bank and the borrower;

(c) be audited regularly, and receive satisfactory audit reports;

(d) be able to execute a large number of transactions promptly;

(e) be able to perform a wide range of banking services satisfactorily;

(f) be able to provide a detailed statement of the Designated Account;

(g) be part of a satisfactory correspondent banking network;

and

(h) charge reasonable fees for its services.

5.6 The Bank reserves the right not to accept a financial institution for the opening and/or maintenance of a Designated Account if such institution has asserted or asserts a claim to set off, seize, or attach the proceeds of any Bank loan on deposit in a Designated Account maintained by it.

6. Terms and Conditions Applicable to Advances

6.1 Ceiling. The Bank notifies the borrower of the maximum amount of loan proceeds that may be on deposit in a Designated Account (the “Ceiling”). The Bank, at its discretion, may establish the Ceiling as either (a) a fixed amount, or (b) an amount that is adjusted from time to time during project implementation based on periodic forecasts of project cash flow needs.

6.2 Applications for Advances. The borrower may apply for an advance in an amount up to the Ceiling less the aggregate amount of those advances previously received by the borrower for which the borrower has not yet provided supporting documentation. Normally, to support orderly closure of the Loan Account, the Bank does not advance loan proceeds into the Designated Account after the Closing Date.

6.3 Frequency of Reporting Eligible Expenditures Paid from the Designated Account. The borrower reports on the use of loan proceeds advanced to the Designated Account at intervals specified by the Bank by notice to the borrower (“Reporting Period”). The borrower should ensure that all amounts deposited in the Designated Account are accounted for and their use reported prior to the Disbursement Deadline Date. After this date, the borrower must refund to the Bank any advances still unaccounted for or remaining in the Designated Account.

6.4 Withholding Advances. The Bank is not required to make any deposit into the Designated Account if:

(a) The Bank determines that payment of the deposit would result in exceeding the Ceiling (see subsection 6.2, “Applications for Advances”);

(b) The Bank is not satisfied that the borrower′s planned project expenditures justify the deposit. The Bank may, by notice to the borrower, adjust the amount it deposits or withhold further deposits into the Designated Account until it is satisfied that the financial needs of the project warrant further deposits;

(c) The borrower fails to take the action required pursuant to the determinations made by the Bank under subsections 7.1 and 7.2 of these Guidelines;

(d) The borrower fails to provide any of the audited Financial Statements required in accordance with, and within the period of time specified in, the Loan Agreement;

(e) The Bank determines that all further withdrawals of loan proceeds should be made by the borrower directly from the Loan Account; or

(f) The Bank has notified the borrower of its intention to suspend in whole or in part the borrower′s right to make withdrawals from the Loan Account.

6.5 Excess Advances. If at any time the Bank determines that any amount deposited in the Designated Account will not be required to cover further payments for eligible expenditures (“Excess Amount”), it may, at its discretion, require the borrower to take one of the two actions listed below. Upon notification by the Bank, the borrower must promptly take the action requested:

(a) Provide evidence satisfactory to the Bank within a period specified by the Bank that the Excess Amount will be used to pay for eligible expenditures. If the evidence is not furnished within the time period specified, the borrower must promptly refund the Excess Amount to the Bank; or

(b) Refund the Excess Amount promptly.

7. Ineligible Expenditures

7.1 Ineligible Expenditures Generally. If the Bank determines that any amount of the loan was used to pay for an expenditure that is not eligible pursuant to the Loan Agreement (“ineligible expenditure”), the Bank may, at its discretion, require the borrower to take one of the two actions listed below. Upon notification by the Bank, the borrower must promptly take the action requested:

(a) Refund an equivalent amount to the Bank; or

(b) Exceptionally, provide substitute documentation evidencing other eligible expenditures.

7.2 Ineligible Expenditures Paid from the Designated Account. If the Bank determines that any payment out of the Designated Account was not justified by the evidence furnished to the Bank or was made for an ineligible expenditure, the Bank may, at its discretion, require the borrower to take one of the actions listed below. Upon notification by the Bank, the borrower must promptly take the action requested:

(a) Provide the additional evidence requested by the Bank;

(b) Deposit an equivalent amount into the Designated Account;

(c) Refund an equivalent amount to the Bank; or

(d) Exceptionally, provide substitute documentation evidencing other eligible expenditures.

8. Refunds

8.1 Borrower Decision to Refund. The borrower may, upon notice to the Bank, refund all or any amount of the loan on deposit in the Designated Account to the Bank for credit to the Loan Account.

8.2 Consequence of Refunds. The Bank shall determine whether refunds made to the Bank in accordance with sections 6 and 7 and subsection 8.1 of these Disbursement Guidelines will be credited to the Loan Account for subsequent withdrawal or for cancellation. Borrowers should be aware that refunds of loan proceeds may result in swap termination fees and/or unwinding costs for amounts for which the interest rate basis or currency has been converted or hedged.

8.3 Other Obligations Unaffected by Refunds. Refunds of amounts of the loan do not affect any remedies of the Bank under the Loan Agreement.
