Excelenţă,

Referitor la Schimbul de note dintre Guvernul Japoniei şi Guvernul Republicii Moldova, semnat la 7 martie 2017 privind cooperarea economică japoneză, care urmează să fie extinsă în vederea promovării dezvoltării economice şi sociale a Republicii Moldova (denumit în continuare "schimbul de note") şi Procesul-verbal convenit între reprezentanţii Guvernului Japoniei şi ai Guvernului Republicii Moldova, semnat la 7 martie 2017 (denumit în continuare "procesul-verbal agreat"), am onoarea de a confirma, în numele Guvernului Republicii Moldova, următoarea înţelegere convenită recent între reprezentanţii Guvernului Republicii Moldova şi ai Guvernului Japoniei:

1. După paragraful 5 al schimbului de note, se vor adăuga următoarele:

“5bis. (1) Beneficiarul sau autoritatea desemnată de acesta depune în valuta moldovenească toate veniturile din vânzarea produselor într-un cont care urmează să fie deschis pe numele său în Moldova Agroindbank sau o bancă care va fi convenită între autorităţile relevante ale celor două guverne. Suma veniturilor care urmează a fi depusă nu poate fi mai mică decât jumătate din totalul plăţilor efectuate în yeni cu privire la achiziţionarea produselor, în cazul în care nu se convine altfel între autorităţile relevante ale celor două guverne. Depunerea valutei se va efectua într-o perioadă de trei ani de la data intrării în vigoare a prezentului acord, dacă nu se va conveni altfel între autorităţile relevante a celor două guverne.

(2) Fondurile depozitate se vor utiliza în vederea promovării dezvoltării economice şi sociale în ţara Beneficiarului.

(3) Autorităţile relevante a celor două guverne se vor consulta reciproc cu privire la detaliile utilizării fondurilor depozitate, înainte de utilizarea acestora.

(4) Beneficiarul va prezenta Guvernului Japoniei un raport întocmit într-o formă scrisă acceptabilă pentru Guvernul Japoniei, cu privire la utilizarea fondurilor depozitate fără întârzieri, atunci când fondurile depozitate sunt utilizate în totalitate, conform prevederilor specificate în paragrafele (2) şi (3) de mai sus.”

2. După paragraful 5 din procesul-verbal agreat, se vor adăuga următoarele:

“6. Depozitul de valută moldovenească

(1) Întru respectarea sub-paragrafului (1) din paragrafului 6 al schimbului de note, Agentul va calcula suma solicitată de către Beneficiar pentru depunerea în moneda moldovenească. Dacă nu se va conveni altfel între autorităţile relevante a celor două guverne, suma se va calcula pe baza preţului F.O.B. (franco la bord) şi ratei medii a cursului valutar la data de 7 martie 2017, despre care Fondul Monetar Internaţional (FMI) a fost notificat.

(2) Beneficiarul se va asigura că Agentul va primi lunar rapoarte despre starea contului menţionat în sub-paragraful (1) din paragraful 6 al prezentului schimb de note.

(3) Dacă nu s-a convenit altfel între cele două guverne, Agentul, pentru o perioadă de cinci ani de la data intrării în vigoare a prezentului schimb de note, va realiza rapoarte lunare pentru membrii Comitetului, cu privire la suma care urmează a fi depozitată şi suma care a fost, de fapt, depozitată în valută moldovenească.

(4) Beneficiarul va informa direct Guvernul Japoniei despre situaţia privind depozitul în valută moldovenească, la solicitarea Guvernului Japoniei.

(5) Beneficiarul se va asigura că va fi efectuat un audit extern pentru a asigura gestionarea şi utilizarea adecvată a depozitului în valuta moldovenească şi va prezenta rezultatele auditului, la solicitarea Guvernului Japoniei.

(6) Întru respectarea sub-paragrafului (3) din paragraful 6 al schimbului de note, Beneficiarul va elabora "programul de utilizare" al fondurilor depozitate, care va include denumirea proiectelor specifice, detaliile acestora şi suma care urmează a fi alocată. "Programul de utilizare" va fi prezentat Guvernului Japoniei pentru consultare."

3. Paragraful (2) al anexei II din procesul-verbal agreat, va fi înlocuit cu următoarele:

“2. Se va asigura că Beneficiarul şi utilizatorii finali înţeleg pe deplin procedurile care urmează a fi realizate, inclusiv necesitatea depozitului în valută moldovenească, acolo unde este necesar.”

4. După paragraful 12 din anexa II al procesului-verbal agreat, se vor adăuga următoarele:

“13. Prezentarea către membrii Comitetului a rapoartelor lunare privind depozitul în valută moldovenească, menţionat în sub-paragraful(3) din paragraful 6 din procesul-verbal, detaliind suma totală necesară a fi depusă, suma efectiv depusă şi raportul dintre ele ".

5. Paragraful (4), anexa V din procesul-verbal agreat, va fi înlocuit cu următoarele:

“4. Să facă schimb de opinii privind publicitatea referitoare la utilizarea Grantului şi a dobânzii acumulate, precum şi a fondului depus în valută moldovenească ".

6. După paragraful 3 din anexa V al procesului-verbal agreat, se vor adăuga următoarele:

“3bis. Să contribuie la formularea unui plan privind depozitul în valută moldovenească.

3ter. Să efectueze schimb de opinii cu privire la utilizarea eficientă a fondurilor depozitate în valută moldovenească"

Am onoarea de a vă propune ca această Notă şi Nota Dvs de răspuns, în numele Guvernului Japoniei, vor constitui un acord între cele două guverne, care va intra în vigoare la data primirii de către Guvernul Japoniei a notificării scrise din partea Guvernului Republicii Moldova despre finalizarea procedurilor interne necesare pentru intrarea în vigoare a acestui acord.

Folosind această ocazie, Excelenţă, Vă rog să primiţi asigurarea înaltei mele consideraţii.

Am onoarea de a confirma recepţionarea Notei Excelenţei Dvs. la data de astăzi, care are următorul conţinut:

“Referitor la Schimbul de note dintre Guvernul Japoniei şi Guvernul Republicii Moldova, semnat la 7 martie 2017 privind cooperarea economică japoneză, care urmează să fie extinsă în vederea promovării dezvoltării economice şi sociale a Republicii Moldova (denumit în continuare "schimbul de note") şi Procesul-verbal convenit între reprezentanţii Guvernului Japoniei şi ai Guvernului Republicii Moldova, semnat la 7 martie 2017 (denumit în continuare "procesul-verbal agreat"), am onoarea de a confirma, în numele Guvernului Republicii Moldova, următoarea înţelegere convenită recent între reprezentanţii Guvernului Republicii Moldova şi ai Guvernului Japoniei:

Am onoarea de a confirma în numele Guvernului Japoniei înţelegerea de mai sus şi de a accepta că nota Excelenţei Dvs şi această notă de răspuns vor constitui un acord între cele două guverne, care va intra în vigoare la data primirii de către Guvernul Japoniei a notificării scrise din partea Guvernului Republicii Moldova despre finalizarea procedurilor interne necesare pentru intrarea în vigoare a acestui acord.

Folosind această ocazie, Excelenţă, Vă rog să primiţi asigurarea înaltei mele consideraţii.

Excellency,

With reference to the Exchange of Notes between the Government of Japan and the Government of the Republic of Moldova, signed on March 7, 2017 concerning Japanese economic cooperation to be extended with a view to promoting the economic and social development of the Republic of Moldova (hereinafter referred to as “the Exchange of Notes”) and the Agreed Minutes on Procedural Details between the representatives of the Government of Japan and the Government of the Republic of Moldova, signed on March 7, 2017 (hereinafter referred to as “the Agreed Minutes”), I have the honour to confirm, on behalf of the Government of the Republic of Moldova, the following understanding recently reached between the representatives of the Government of the Republic of Moldova and of the Government of Japan:

1. The following shall be added immediately after paragraph 5 of the Exchange of Notes:

“5bis. (1) The Recipient or its designated authority shall deposit in Moldovan currency all the proceeds from sales of the Products in an account to be opened in its name in Moldova Agroindbank or a bank to be agreed upon between the authorities concerned of the two Governments. The amount of the proceeds to be deposited shall not be less than a half of the total Yen disbursement paid with respect to the purchase of the Products, unless otherwise agreed between the authorities concerned of the two Governments. The deposit shall be made within the period of three years from the date of entry into force of the present understanding, unless otherwise agreed between the authorities concerned of the two Governments.

(2) The fund thus deposited shall be utilized with a view to promoting economic and social development in the country of the Recipient.

(3) The authorities concerned of the two Governments shall consult with each other about the detail of the utilization of the fund deposited prior to the utilization.

(4) The Recipient shall present to the Government of Japan a report prepared in a written form acceptable to the Government of Japan on the utilization of the fund deposited without delay when the fund deposited is completely used in accordance with the provisions of sub-paragraphs (2) and (3) above.”

2. The following shall be added immediately after paragraph 5 of the Agreed Minutes:

“6. Moldovan Currency Deposit

(1) With respect to sub-paragraph (1) of paragraph 6 of the Exchange of Notes, the Agent shall compute the amount required to be deposited in Moldovan currency by the Recipient. Unless otherwise agreed between the authorities concerned of the two Governments, it shall be calculated based on the F.O.B. price and the average exchange rate of March 7, 2017 which the International Monetary Fund (IMF) is notified of.

(2) The Recipient shall ensure that the Agent will receive monthly statements of the account referred to in sub-paragraph (1) of paragraph 6 of the Exchange of Notes.

(3) Unless otherwise agreed upon between the two Governments, the Agent shall, for a period of five years from the date of entry into force of the Exchange of Notes, make monthly reports for the Committee members concerning the amount required to be deposited and the amount actually deposited in Moldovan currency.

(4) The Recipient shall directly inform the Government of Japan of the situation of the Moldovan currency deposit upon request by the Government of Japan.

(5) The Recipient shall ensure that an external audit will be conducted in order to ensure proper management and use of the Moldovan currency deposit, and shall submit the result of the audit to the Government of Japan upon request by the Government of Japan.

(6) With respect to sub-paragraph (3) of paragraph 6 of the Exchange of Notes, the Recipient shall make “the Utilization Programme” of the deposited fund which shall include the names of specific projects, their details and the amount of money to be allocated. “The Utilization Programme” shall be presented to the Government of Japan for consultation.”

3. Paragraph 2 of Appendix II of the Agreed Minutes shall be replaced by following:

“2. Ensuring that the Recipient and the end-users fully understand the procedures to be employed, including the need for the Moldovan currency deposit, where necessary”.

4. The following shall be added immediately after paragraph 12 of Appendix II of the Agreed Minutes:

“13. Submission to the Committee members of monthly reports concerning the Moldovan currency deposit referred to in sub-paragraph (3) of paragraph 6 of the Agreed Minutes on Procedural Details, detailing the total amount required to be deposited, the amount actually deposited and its ratio”.

5. Paragraph 4 of Appendix V of the Agreed Minutes shall be replaced by the following:

“4. To exchange views on publicity related to the utilization of the grant and its accrued interest and of the fund deposited in Moldovan currency”.

6. The following shall be added immediately after paragraph 3 of Appendix V of the Agreed Minutes:

“3bis. To assist in formulating a plan on the deposit in Moldovan currency.

3ter. To exchange views on the effective use of the fund deposited in Moldovan currency”.

I have further the honour to propose that this Note and Your Excellency′s Note in reply confirming on behalf of the Government of Japan the foregoing understanding shall constitute an agreement between the two Governments, which shall become effective on the date of receipt by the Government of Japan of the written notification from the Government of the Republic of Moldova of the completion of necessary domestic procedures for the entry into force of such agreement.

I avail myself of this opportunity to extend to Your Excellency the assurance of my highest consideration.

I have the honour to acknowledge the receipt of Your Excellency′s Note of today′s date, which reads as follows:

“Excellency,

With reference to the Exchange of Notes between the Government of Japan and the Government of the Republic of Moldova, signed on March 7, 2017 concerning Japanese economic cooperation to be extended with a view to promoting the economic and social development of the Republic of Moldova (hereinafter referred to as “the Exchange of Notes”) and the Agreed Minutes on Procedural Details between the representatives of the Government of Japan and the Government of the Republic of Moldova, signed on March 7, 2017 (hereinafter referred to as “the Agreed Minutes”), I have the honour to confirm, on behalf of the Government of the Republic of Moldova, the following understanding recently reached between the representatives of the Government of the Republic of Moldova and of the Government of Japan:
