The Customs Service under the Ministry of Finance of the Republic of Moldova (Customs Service) and the United Nations Conference on Trade and Development (UNCTAD), hereinafter referred to as the Parties;

Serviciul Vamal de pe lîngă Ministerul Finanţelor al Republicii Moldova (Serviciul Vamal) şi Conferinţa Naţiunilor Unite pentru Comerţ şi Dezvoltare (UNCTAD), denumite în continuare Părţi;

Recognizing the UNCTAD role in the promotion of trade facilitation and the modernisation of Customs Administrations/ Services;

Recunoscând rolul UNCTAD în promovarea facilitării comerţului şi modernizării Administraţiilor/Serviciilor Vamale;

Having agreed that the strategic aims and objectives of the Customs Service are being achieved more efficiently by using modern technologies and applying integrated information systems, thereby facilitating Customs and Trade Community alike;

Convenind că scopurile şi obiectivele strategice ale Serviciului Vamal sunt atinse mult mai eficient prin utilizarea tehnologiilor moderne şi aplicarea sistemelor informaţionale integrate, facilitând astfel atât Vama cât şi Comunitatea de Afaceri;

Recognizing the extensive experience of the UNCTAD/ASYCUDA Programme in the analysis and modernisation of national customs legislation, procedures and systems in line with the international standards and best practice, and in the design, development and implementation of customs automated systems worldwide;

Recunoscând experienţa vastă a Programului UNCTAD/ASYCUDA în analiza şi modernizarea legislaţiei, procedurilor şi sistemelor vamale naţionale în conformitate cu standardele şi cele mai bune practici internaţionale, precum şi în elaborarea, dezvoltarea şi implementarea de sisteme informatice vamale în întreaga lume;

Recognizing the UNCTAD intellectual property of the ASYCUDA software, including ASYCUDA World, and the associated technical and functional documentation;

Recunoscând proprietatea intelectuală a UNCTAD asupra softului ASYCUDA, inclusiv ASYCUDA World, asupra documentaţiei funcţionale şi tehnice însoţitoare;

Having agreed upon the strategic decision of the Customs Service to further develop its Integrated Customs Information System (ICIS) based on the ASYCUDA World system (Automated System for Customs Data), developed by UNCTAD;

Convenind asupra deciziei strategice a Serviciului Vamal de a continua să dezvolte Sistemul Informaţional Integrat Vamal (ICIS) bazat pe sistemul ASYCUDA World (Automated System for Customs Data), dezvoltat de către UNCTAD;

Taking into account the strategic objective of the Customs Service to gain the compatibility with the European legislation, standards and best practice in the Customs field, and future inter-operability between ICIS and the European Commission systems;

Luând în considerare obiectivul strategic al Serviciului Vamal de a obţine compatibilitatea cu legislaţia, standardele şi cele mai bune practici europene în domeniul vamal, precum şi viitoarea interoperabilitate între ICIS şi sistemele Comisiei Europene;

Have agreed as follows:

Au convenit următoarele:

Article 1

The Parties will continue to cooperate in the modernisation of the Customs Service and, in particular, in the development of ICIS, in order to be in line with European and international standards and best practice in the areas of customs and trade facilitation.

Articolul 1

Părţile vor continua sa coopereze în domeniul modernizării Serviciului Vamal, în special în dezvoltarea ICIS, pentru a fi în conformitate cu standardele şi cele mai bune practici internaţionale şi europene în domeniul vamal şi facilitării comerţului.

Article 2

UNCTAD will provide to the Customs Service, through the Community Domain of the ASYCUDA website, on request and at no cost:

UNCTAD va oferi Serviciului Vamal, prin intermediul domainului comunitar al paginii web ASYCUDA, la solicitare şi gratis:

• the latest version of the modules and ASYCUDA World application software for multiple license use within the legal national boundaries of the Customs Service;

• cea mai recenta versiune a modulelor şi softului aplicativ ASYCUDA World cu permisiunea de utilizare multiplă în cadrul Serviciului Vamal;

• the functional and technical documentation of the latest version of the ASYCUDA World application software;

• documentaţia funcţională şi tehnică a celei mai recente versiuni a softului aplicativ ASYCUDA World;

• remote “ad-hoc” functional and technical support for the ASYCUDA World application software.

• suportul funcţional şi tehnic “ad-hoc” de la distanţă pentru softul aplicativ ASYCUDA World.

UNCTAD shall not be responsible for any malfunctioning of the system due to an incorrect functional and/or technical installation and/or operation performed without prior adequate UNCTAD technical expertise or training.

UNCTAD nu va fi responsabil pentru nici o disfuncţionalitate a sistemului, ca urmare a instalării şi/sau operării funcţionale şi/sau tehnice incorecte efectuate fără expertiza tehnică sau instruirea prealabilă adecvată a UNCTAD.

Article 3

The Customs Service will use the ASYCUDA World application software within Customs, and will not provide any copy of the software (source code) to a third party without UNCTAD prior and explicit written approval.

Articolul 3

Serviciul Vamal va utiliza softul aplicativ ASYCUDA World în cadrul vămii şi nu va transmite nici o copie a softului (codului sursă), fără aprobarea prealabilă şi explicită în scris a UNCTAD.

Article 4

UNCTAD will provide the Customs Service with strategic and technical assistance, support and training, through technical assistance projects, on standard UNCTAD conditions, in the areas of customs procedures processing, trade facilitation, development and implementation of ICIS, in compliance with the international and European standards and requirements.

Articolul 4

UNCTAD va acorda Serviciului Vamal asistenţă strategică şi tehnică, suport şi instruire, prin intermediul proiectelor de asistenţă tehnică, conform condiţiilor standard ale UNCTAD, în domeniul dezvoltării procedurilor vamale, facilitării comerţului, dezvoltării şi implementării ICIS, în conformitate cu standardele şi cerinţele internaţionale şi europene.

Article 5

The Parties agree to

Părţile au convenit de a

• exchange information on regular basis, related to the ASYCUDA World evolution and ICIS consolidation and development;

• efectua schimb regulat de informaţii referitor la evoluţia ASYCUDA World, consolidarea şi dezvoltarea ICIS;

• review periodically strategic issues pertaining to the integration and implementation of Internet based customs systems, at national, regional and international level.

• revizui periodic problemele strategice ce ţin de integrarea şi implementarea sistemelor vamale bazate pe Internet la nivel naţional, regional şi internaţional.

Article 6

The Parties shall use their best efforts to settle amicably any dispute, controversy or claim arising out of this Memorandum of Understanding or the breach, termination or invalidity thereof.

Articolul 6

Părţile vor depune toate eforturile pentru a soluţiona pe cale amiabilă orice dispută, divergenţă sau pretenţie ce reiese din prezentul Memorandum de Înţelegere sau din încălcarea, încetarea acţiunii sau invaliditatea acestuia.

Article 7

Nothing in or relating to this Memorandum of Understanding shall be deemed a waiver, express or implied, of any of the privileges and immunities of the United Nations, including its subsidiary organs.

Articolul 7

Nimic din, sau legat de prezentul Memorandum de Înţelegere nu va presupune renunţarea, expresă sau implicita, la privilegiile şi imunităţile Organizaţiei Naţiunilor Unite, inclusiv ale organelor ei auxiliare.

Article 8

This Memorandum of Understanding may be amended by mutual written agreement of the Parties.

Articolul 8

Prezentul Memorandum de Înţelegere poate fi amendat cu consimţământul reciproc în scris al Părţilor.

Article 9

This Memorandum of Understanding is concluded for a 5 (five) years period and will enter into force on the date of receipt by UNCTAD of the notification of the Moldovan party that the internal procedures necessary for its entry into force have been met.

Articolul 9

Prezentul Memorandum de Înţelegere se încheie pentru o perioadă de 5 (cinci) ani şi va intra în vigoare la data primirii de către UNCTAD a notificării părţii moldoveneşti privind îndeplinirea procedurilor interne necesare pentru intrarea lui în vigoare.

In witness whereof the undersigned, duly authorised thereto, have signed this Memorandum of Understanding.

Drept dovadă subsemnaţii, fiind împuterniciţi în modul cuvenit pentru acest scop, au semnat prezentul Memorandum de Înţelegere.

Done at Geneva, on ________________ 2016, in 2 (two) original copies in English and Romanian languages, both texts being equally authentic. In case of any divergence of interpretation the English text shall prevail.

Întocmit la Geneva, la _____________ 2016, în 2 (două) exemplare originale în limba engleză şi română, ambele texte fiind egal autentice. În cazul oricărei divergenţe la interpretare, textul în limba engleză va fi de referinţă.
