MEMORANDUM DE ÎNŢELEGERE

între CANCELARIA DE STAT A REPUBLICII MOLDOVA și

AGENŢIA ELVEŢIANĂ PENTRU DEZVOLTARE ŞI COOPERARE

privind prima faza a Proiectului

“Mă Implic - Proiect de implicare civică în guvernarea locală”

Cancelaria de Stat a Republicii Moldova, reprezentând Guvernul Republicii Moldova, şi Agenţia Elveţiană pentru Dezvoltare şi Cooperare, reprezentând Consiliul Federal al Confederaţiei Elveţiene, acţionând prin intermediul Oficiului Elveţian de Cooperare/Reprezentanţa Ambasadei Confederaţiei Elveţiene în Republica Moldova (denumite în continuare Părţi), dispuse să coopereze în domeniul guvernării locale în Republica Moldova, au convenit asupra următoarelor:

Preambul

În efortul de a consolida relaţiile de prietenie existente între cele două Ţări,

Înţelegând faptul că respectarea principiilor democratice şi a drepturilor fundamentale ale omului - după cum sunt stabilite în special în Declaraţia Universală a Drepturilor Omului - inspiră politicile interne şi externe ale celor două Părţi şi constituie un element esenţial bazat pe principiul egalităţii cu obiectivele prezentului Memorandum de înţelegere (Memorandum),

În conformitate cu şi în vederea aplicării Acordului dintre Guvernul Republicii Moldova şi Guvernul Confederaţiei Elveţiene privind Asistenţa Umanitară şi Cooperarea Tehnică din data de 20 septembrie 2001,

Cancelaria de Stat a Republicii Moldova şi Agenţia Elveţiană pentru Dezvoltare şi Cooperare (SDC) sunt abilitate să reprezinte Guvernele lor în chestiunile referitoare la punerea în aplicare a prezentului Memorandum.

Articolul 1

Obiective

(1) Scopul principal al prezentului Memorandum este de a asigura condiţiile adecvate pentru implementarea cu succes a primei faze a Proiectului “Mă Implic - Proiect de implicare civică în guvernarea locală”, în perioada 01.11.2019 - 31.10.2023.

(2) Obiectivul general al Proiectului: Populaţia rurală din Moldova dispune de acces echitabil la prestarea serviciilor publice de calitate.

(3) Proiectul îşi propune să obţină următoarele rezultate:

a) Autorităţile publice locale (APL) din localităţile partenere selectate gestionează prestarea serviciilor în mod participativ, eficient, inclusiv şi durabil.

b) Oamenii sunt implicaţi în procesul decizional la nivel local şi în monitorizarea prestării serviciilor în localităţile selectate.

c) Politicile publice, precum şi mediul juridic şi financiar, sunt favorabile pentru prestarea serviciilor de calitate şi reforma decentralizării.

(4) Agenţia de Implementare a Proiectului este Skat Consulting Ltd (Skat) din Elveţia, cu suportul subcontractat al ONG-ului DESPRO din Ucraina, Ximpulse GmbH din Elveţia şi DPI Development Partnership International GmbH din Elveţia. Skat a fost mandatat de SDC să implementeze prima fază a Proiectului în urma unui proces deschis de selectare a ofertelor. în scopul implementării proiectului, Skat a înfiinţat o Unitate de Facilitare a Proiectului (PFU) cu statut juridic al unei organizaţii non-comerciale cu sediul în Moldova (Fundaţia Centrul Moldo-Ehetianpentru Cooperare SKAT). Proiectul va mobiliza la nivel maxim posibil expertiza locală, dar şi cea elveţiană şi internaţională acolo unde va fi necesar.

(5) Proiectul este unul de referinţă în cadrul portofoliului de guvernare locală din Strategia de Cooperare a Elveţiei pentru Republica Moldova 2018-21. Acesta va acorda o atenţie sporită susţinerii APL-urilor în prestarea serviciilor publice de bună calitate şi la preţuri accesibile, precum şi susţinerii populaţiei locale (în special din zonele rurale) şi a societăţii civile pentru a responsabiliza autorităţile.

Concluziile etapei pregătitoare şi analiza experienţei regionale ale SDC1 arată că o atenţie sporită acordată serviciilor municipale reprezintă un vector puternic pentru obţinerea unor realizări durabile în guvernarea locală eficientă şi responsabilă, şi în managementul public. Utilizarea îmbunătăţirii unor servicii comunale concrete în calitate de punct de pornire va consolida capacităţile APL-urilor, dovedind că acestea sunt capabile să producă progrese vizibile în prestarea serviciilor şi în investiţii.

(6) Coordonarea generală a Proiectului la nivel naţional revine Cancelariei de Stat, în timp ce Ministerul Agriculturii, Dezvoltării Regionale şi Mediului, şi Ministerul Finanţelor vor juca un rol esenţial m ghidarea proceselor legate de prestarea serviciilor publice la nivel regional şi local şi descentralizarea fiscală. Autorităţile locale vor ajusta Proiectul în comunităţile respective şi vor implica membrii comunităţii, partenerii din sectorul privat, reprezentanţii diasporei şi ONG-urile relevante în implementarea şi cofinanţarea activităţilor concrete. Beneficiarii finali ai Proiectului vor fi oamenii care locuiesc în mediul rural şi membrii familiilor acestora.

Articolul 2

Contribuţia din partea Elveţiei

(1) SDC va contribui cu un maxim total de 5'946'608 franci elveţieni (CHF) pentru implementarea Proiectului, conform Documentului de Proiect (Anexa A), şi în acest sens a încheiat un acord cu Skat Consulting Ltd în calitate de partener de implementare în conformitate cu reglementările SDC. Eliberarea fondurilor elveţiene către Skat se va face în baza progreselor înregistrate de Proiect, a cheltuielilor efectuate şi a necesităţilor reale.

(2) Pentru implementarea Proiectului, Confederaţia Elveţiană, prin intermediul SDC, va oferi:

a) Facilitare a dialogului şi a cooperării dintre Proiect implementator şi Cancelaria de Stat;

b) Facilitarea schimbului între Proiect implementator, alte proiecte relevante finanţate de SDC şi proiecte finanţate de alţi donatori - în vederea identificării unor sinergii şi a domenii de cooperare, evitând suprapunerile, sporind eficienţa cooperării pentru dezvoltare şi impactul;

c) Facilitarea politicilor care influenţează domeniile relevante pentru Proiect.

Articolul 3

Contribuţia din partea Moldovei

Guvernul Republicii Moldova, prin intermediul Cancelariei de Stat, va întreprinde următoarele acţiuni:

a) Va conduce procesul de reformare şi coordonare în domeniul guvernării locale şi descentralizării, conform Programului de Activitate al Guvernului;

b) Va ghida elaborarea cadrului legal/de reglementare care contribuie la schimbări durabile în domeniile guvernării locale şi a dezvoltării economice şi sociale locale;

c) Va promova rămânerea în vigoare şi/sau îmbunătăţirea cadrului instituţional relevant, precum şi dezvoltarea şi menţinerea de către autorităţile publice centrale a unei cooperări constructive şi transparente cu APL la nivel raional şi municipal;

d) Va facilita colaborarea cu autorităţile relevante la nivel naţional şi local;

e) Va contribui la distribuirea pe larg a produselor privind diverse soluţii inovatoare elaborate în cadrul Proiectului;

f) Va convoca şi coordona şedinţele Consiliului Coordonator (CC) în scopul realizării unui management al Proiectului la cel mai înalt nivel şi pentru supravegherea desfăşurării corespunzătoare a mersului acestuia, conform Termenilor de Referinţă pentru CC, care sunt parte integrantă a prezentului Memorandum (Anexa B);

g) Va oferi suport pentru a facilita obţinerea vizelor şi permisiunilor necesare experţilor care lucrează în cadrul Proiectului;

h) Va asigura scutirea de la plata impozitelor, taxelor vamale, altor plăţi obligatorii pentru toate echipamentele, serviciile, vehiculele şi materialele finanţate pe baza de grant şi alte facilităţi, după cum este prevăzut în Acordul dintre Guvernul Republicii Moldova şi Guvernul Confederaţiei Elveţiene privind Asistenţa Umanitară şi Cooperarea Tehnică, la care se face referinţă în Preambulul prezentului Memorandum. Scutirea se aplică inclusiv pentru administraţiile locale (nivelurile II şi I), alte instituţii subcontractate în cadrul Proiectului şi/sau alte contribuţii terţe la activităţile Proiectului.

Articolul 4

Condiţii pentru suspendare

(1) Condiţii pentru suspendarea contribuţiei Elveţiene

În cazul în care angajamentele asumate de către Cancelaria de Stat, care reprezintă Guvernul Republicii Moldova în conformitate cu Articolul 3 nu sunt îndeplinite în termenul stabilit pentru finalizarea sarcinilor, SDC poate suspenda Proiectul cu efect imediat Intr-un astfel de caz, SDC poate denunţa prezentul Memorandum prin prezentarea unui preaviz de o lună sau cu un alt termen considerat de către SDC mai potrivit (această perioadă nu va fi mai mică decât termenul stabilit la Articolul 10).

(2) Condiţii pentru suspendarea contribuţiei Moldoveneşti

În cazul în care angajamentele asumate de către SDC, conform Articolului 2, nu sunt îndeplinite în termenul stabilit pentru finalizarea sarcinilor, Cancelaria de Stat poate suspenda Proiectul. În acest caz, Cancelaria de Stat poate denunţa prezentul Memorandum prin prezentarea unui preaviz de o lună sau cu un alt termen considerat de către Cancelaria de Stat mai potrivit (această perioadă nu va fi mai mică decât termenul stabilit la Articolul 10).

Articolul 5

Clauza anticorupţie

În cadrul prezentului Memorandum, Părţile nu vor propune în mod direct, sau indirect, beneficii de orice natură. Acestea nu vor accepta nici o propunere de acest gen. Orice comportament corupt sau ilegal semnifică o încălcare substanţială a prezentului acord şi justifică denunţarea acestuia, precum şi/sau recurgerea la măsuri corective în conformitate cu legislaţia aplicabilă.

Articolul 6

Achiziţiile bunurilor şi serviciilor

(1) Achiziţiile bunurilor şi serviciilor care vor fi finanţate din veniturile fondurilor elveţiene se vor efectua în conformitate cu procedurile şi regulile elveţiene de achiziţii. Bunurile achiziţionate vor fi livrate direct instituţiilor beneficiare, în conformitate cu contractele semnate şi normele de achiziţii corespunzătoare.

(2) Pe durata Proiectului, mărfurile achiziţionate din fonduri SDC care vor fi utilizate în Proiect vor rămâne la dispoziţia nerestricţionată a Proiectului şi nu vor fi preluate de la instituţiile beneficiare fără aprobarea scrisă prealabilă a SDC şi a partenerilor de implementare

(3) Instituţiile beneficiare vor păstra un inventar adecvat al bunurilor respective. Inventarul va fi actualizat trimestrial, cu indicarea stării, a persoanei responsabile şi a locaţiei fiecărui obiect separat.

(4) În cazul când, din orice motiv, Proiectul necesită a fi sistat, Părţile vor decide în scris cu privire la utilizarea bunurilor achiziţionate cu contribuţia elveţiană.

(5) La sfârşitul Proiectului, ambele Părţi vor conveni în formă scrisă asupra dreptului de proprietate şi utilizare a bunurilor achiziţionate, precum şi asupra celor care încă nu au fost predate în perioada implementării proiectului privind proprietatea şi utilizarea bunurilor achiziţionate şi care nu au fost încă predate în timpul Proiectului.

Articolul 7

Raportare şi alte proceduri de implementare

(1) Părţile vor organiza reuniuni periodice ale CC (cel puţin de două ori pe an) pentru a monitoriza şi evalua implementarea Proiectului, precum şi eficienţa, eficacitatea şi impactul asistenţei livrate. La sfârşitul etapei de Proiect, în cadrul Reuniunii finale de revizuire se vor examina rezultatele obţinute de Proiect.

(2) Cancelaria de Stat va coopera şi acorda asistenţă SDC la pregătirea auditorilor, monitorizări şi evaluări ale impactului Proiectului. Costurile acestor activităţi vor fi finanţate din fondurile elveţiene.

(3) Cancelaria de stat va furniza către SDC toate informaţiile cu privire la Proiect pe care SDC le poate solicita în mod rezonabil şi va permite reprezentanţilor elveţieni să viziteze Proiectul şi să inspecteze proprietăţile, bunurile, înregistrările şi documentele.

(4) Indiferent de termenii de raportare stabiliţi de comun acord, Părţile se vor informa reciproc imediat, în cazul dacă intervine o situaţie care rezultă în imposibilitatea de realizare a Proiectului în modul stabilit.

Articolul 8

Distribuirea acestui Memorandum de înţelegere

Părţile se angajează să distribuie copii ale prezentului Memorandum tuturor autorităţilor şi altor instituţii implicate în Proiectul de cooperare sau care necesită a fi informaţi cu privire la conţinutul acestuia.

Articolul 9

Anexe

Documentul de Proiect (anexa A) şi Termenii de Referinţă ale Comitetului de Conducere pentru Proiectul “Mă Implic - Proiect de implicare civică în guvernarea locală” (Anexa B) fac parte integrantă a prezentului Memorandum.

Articolul 10

Dispoziţii finale

(1) Prezentul Memorandum va intra în vigoare la 04.03.2020, va include retroactiv perioada de la 01.11.2019 până la 31.10.2023 şi va rămâne valabil până când ambele Părţi îşi vor îndeplini toate obligaţiunile în conformitate cu dispoziţiile acestuia.

(2) Oricare dintre Părţi are dreptul să denunţe prezentul Memorandum printr-un preaviz în scris de o luna.

(3) În cazul în care vor surveni evenimente rezultate din forţa majoră (calamitate naturala etc.), care împiedică executarea Memorandumului, oricare dintre Părţi îl va putea denunţa, cu efect din momentul în care acesta devine imposibil de realizat.

(4) Prezentul Memorandum poate fi modificat prin schimb de note la cererea oricăreia dintre Părţi. Modificările vor intra în vigoare în conformitate cu prevederile prezentului articol.

(5) Diferendele privind interpretarea sau aplicarea dispoziţiilor prezentului Memorandum se vor soluţiona prin negocieri diplomatice între Părţi.

Prezentul Memorandum este formulat în două exemplare originale, în română şi engleză, ambele texte fiind în mod egal autentice. în cazul diferenţelor de interpretare, drept referinţă va servi versiunea în limba engleză a prezentului Memorandum.

MEMORANDUM OF UNDERSTANDING

between

THE STATE CHANCELLERY OF THE REPUBLIC OF MOLDOVA

and

THE SWISS AGENCY FOR DEVELOPMENT AND COOPERATION

concerning the first phase of the Project

“Ma Implic - Project on civic engagement in local governance”

The State Chancellery of the Republic of Moldova, representing the Government of the Republic of Moldova, and the Swiss Agency for Development and Cooperation, representing the Federal Council of the Swiss Confederation, acting through the Swiss Cooperation Office/ Representation of the Embassy of Swiss Confederation to the Republic of Moldova (hereinafter the Parties), eager to cooperate in the field of local governance in the Republic of Moldova have agreed on the following:

Preamble

In an endeavour to strengthen the friendly relations existing between the two Countries,

Understanding that the respect for democratic principles and fundamental human rights - as set out in particular in the Universal Declaration of Human Rights - inspires the internal and external policies of the two Parties and constitutes an essential element on an equal footing with the objectives of the present Memorandum of Understanding (Memorandum),

In pursuance and in application of the Agreement between the Government of the Republic of Moldova and the Government of the Swiss Confederation concerning Humanitarian Assistance and Technical Cooperation dated 20 September 2001,

The State Chancellery of the Republic of Moldova and the Swiss Agency for Development and Cooperation (SDC) shall be empowered to represent their respective Governments in matters concerning the implementation of the present Memorandum.

Article 1

Objective

(1) The main purpose of the present Memorandum is to ensure the adequate conditions for successful implementation of the first phase of the Project "Ma Implic - Project on civic engagement in local governance”, in the period from 01.11.2019 to 31.10.2023.

(2) Die overall goal of the project: The rural population of Moldova has equitable access to quality public service provision.

(3) The project aims at achieving the following outcomes:

a) Local public authorities (LPAs) in targeted partner-municipalities manage service provision in a participatory, effective, inclusive and sustainable way.

b) People are engaged in local decision making and monitoring of service provision in targeted municipalities.

c) Policy, legal and financial environment is favourable for quality service provision and decentralization reform.

(4) The Project Implementing Agency is Skat Consulting Ltd (Skat) from Switzerland, with the subcontracted backstopping support of DESPRO NGO from Ukraine, Ximpulse GmbH from Switzerland, and DPI Development Partnership International GmbH from Switzerland. Skat was mandated by SOC following an open tender selection process to implement the first phase of the Project. To do this, Skat has set up a Project Facilitation Unit (PFU) with the Legal Status of a non-commercial organization based in Moldova (Fundatia Centrul Moldo-Elvetian pentru Cooperare SKAT). The project will mobilise as much as possible local expertise, but also Swiss and international expertise where needed.

(5) The Project is the flagship project of the local governance (LG) domain under the Swiss Cooperation Strategy for Moldova 2018-21. It will put increased emphasis on supporting LPAs to provide good quality and affordable public services and on supporting local (especially rural) population and civil society to hold the authorities accountable.

The findings of the preparatory phase and the analysis of SDC′s regional experience1 show that a strong focus on municipal services is a powerful vector for achieving sustainable gains in effective and accountable LG, and public management. Using improvements of concrete communal services as an entry point will build capacities of LPAs, proving that LPAs are capable to produce visible improvements in service delivery and investments.

(6) The overall lead of the Project at national level is with the State Chancellery, while the Ministry of Agriculture, Regional Development and Environment, and the Ministry of Finance will play a key role in steering aspects pertaining to public service delivery at the regional and local level, and fiscal decentralization. Local authorities will shape the Project in their respective communities and will involve community members, private-sector partners, diaspora representatives, and relevant NGOs in the implementation and co-financing of concrete activities. The Project's final beneficiaries are people living in rural areas and members of their families.

Article 2

Swiss Contribution

(1) SDC shall contribute with a total maximum of 5′946′608 Swiss Francs (CHF) for the implementation of the Project, according to the Project Document (Annex A), and concluded agreement with Skat Consulting Ltd as die implementing partner accordingly, in line with SDC regulations. The release of the Swiss funds to Skat will be done based on the Project progress, expenses incurred and actual requirements.

(2) For the implementation of the Project, the Swiss Confederation, through SDC, shall provide:

a) Facilitation of dialogue and cooperation between die Project and the State Chancellery;

b) Facilitation of exchange between the Project, other relevant SDC-funded projects, and projects funded by other donors - in view of identifying synergies and areas of cooperation, avoiding overlap, enhancing effectiveness of development cooperation, and raising impact;

c) Facilitation of policy influencing in areas relevant for the project.

Article 3

Moldovan Contribution

The Government of the Republic of Moldova, through the State Chancellery, shall undertake the following actions:

a) Lead the reforming and coordination process in the field of LG and decentralization, according to the Government's Activity Program;

b) Steer the development of the legal/regulatory framework contributing to sustainable changes in the areas of LG and local economic and social development;

c) Advocate that the relevant institutional framework remains in place and/or is further improved and that central public authorities develop and maintain a constructive and transparent cooperation with LPAs at district and municipal levels;

d) Facilitate the collaboration with relevant authorities at national and local level;

e) Contribute to the dissemination of innovative knowledge products on innovative solutions developed in the frame of the Project;

f) Convene and coordinate meetings of the Steering Committee (SC) aimed at: managing the Project at the highest level and at supervising the correct delivery of the Project, according to the Terms of Reference for the SC, which are a part of the present Memorandum (Annex B);

g) Provide support in order to facilitate the necessary visas and permissions required for experts working within the frame of the present Project;

h) Ensure the exemption from payment of taxes, custom duties, fees and other compulsory payments for all the equipment, services, vehicles and materials financed on the grant basis and other facilities as specified in the Agreement between the Government of the Republic of Moldova and the Government of Swiss Confederation concerning Humanitarian assistance and Technical Cooperation, the reference to which is made in the Preamble of the present Memorandum. The exemption also applies to local governments (levels II and I), other institutions subcontracted within the Project, and/or other third party contribution to the project activities.

Article 4

Conditions for suspending

(1) Conditions for suspending the Swiss contribution

In case the undertakings by the State Chancellery, as representing the Government of the Republic of Moldova according to Article 3 are not met in the timeframe established for completing the tasks, SDC may suspend the Project with immediate effect. If this is the case, SDC may terminate this Memorandum by the provision of one month′s notice, or other date as SDC may decide as being the most appropriate (this period will not be less than the term established in Article 10).

(2) Conditions for suspending the Moldovan contribution

In case the undertakings by SDC, according to Article 2 are not met in the timeframe established for completing the tasks, the State Chancellery may suspend the Project. If this is the case, the State Chancellery may terminate this Memorandum by the provision of one month′s notice, or other date as the State Chancellery may decide as being the most appropriate (this period will not be less than the term established in Article 10).

Article 5

Anti-corruption clause

Within the framework of this Memorandum, the Parties shall neither directly nor indirectly propose benefits of any nature whatsoever. They shall not accept any such proposals. Any corrupt or illegal behaviour signifies a substantial breach of the present agreement and justifies its termination as well as/or the recourse to corrective measures in accordance with applicable legislation.

Article 6

Procurement of goods and services

(1) The procurement of goods and services to be financed out of the proceeds of the Swiss funds shall be conducted in accordance with Swiss procurement procedures and rules. The procured goods shall be directly delivered to beneficiary institutions in compliance with signed contracts and respective procurement rules.

(2) For the duration of the Project, the goods provided with SDC funds to be used in the Project shall remain at the unrestricted disposal of the Project and shall not be diverted from the beneficiary institutions without prior written approval of the SDC and implementing partners.

(3) The beneficiary institutions shall keep an appropriate inventory of the respective goods. The inventory is to be updated on a quarterly basis, with an indication of the status, responsible person and location of each individual object.

(4) If, for any reason, the Project should have to be discontinued, the use of the goods provided with the Swiss contribution shall be decided upon in writing by the Parties.

(5) At the end of the Project, both Parties shall agree in written form on the property and use of the goods provided and not yet handed over during the Project.

Article 7

Reporting and other implementation procedures

(1) The Parties shall hold regular Steering Committee Meetings (at least twice a year) to monitor and assess the Project implementation, as well as the efficiency, effectiveness and impact of the delivered aid. At the end of the Project phase the Final Review Meeting shall review the results achieved by the Project.

(2) The State Chancellery shall cooperate with and assist the SDC in the preparation of audits, follow-ups and evaluations of Project impact. The cost of such activities shall be financed from the Swiss funds.

(3) The State Chancellery shall provide the SDC with all other information regarding the Project that the SDC may reasonably request and enable Swiss representatives to visit the Project and inspect property, goods, records and documents.

(4) Irrespective of agreed reporting routines, the Parties shall promptly inform each other, if a situation arises that makes the project unlikely to be carried out as agreed.

Article 8

Distribution of this Memorandum of Understanding

The Parties shall undertake to distribute copies of this Memorandum to all authorities and other institutions involved in the Project of cooperation or that otherwise need to be informed of its content.

Article 9

Annexes

The project document (Annex A) and the Terms of Reference of the Steering Committee for the Project "Ma Implic - Project on civic engagement in local governance” (Annex B) form an integral part of this Memorandum.

Article 10

Final Provisions

(1) This Memorandum enters into force on 04.03.2020 and covers retroactively the period from 01.11.2019 until 31.10.2023. It shall remain valid until both Parties will have fulfilled all their obligations under the provisions of the present Memorandum.

(2) Either Party shall have the right to terminate the present Memorandum by giving one month* written notice of termination.

(3) If events resulting from force majeure (natural disaster, etc.) prevent the execution of the Memorandum, either Party may terminate the Memorandum with effect from the moment when it becomes impossible to carry it out.

(4) The present Memorandum may be amended by the way of exchange of letters at the request of any of the Party to it. The changes will come into force in accordance with the provisions of this Article.

(5) Disputes as to the interpretation or application of the provisions of the present Memorandum shall be settled by diplomatic negotiations between the Parties.

The present Memorandum is formulated in two original copies, in Romanian and English, both texts being equally authentic. In case of differences of interpretation, the English version of this Memorandum shall be of reference.
