Slovace privind cooperarea pentru dezvoltare

Guvernul Republicii Moldova şi Guvernul Republicii Slovace (denumite în continuare “Părţi”),

în spiritul relaţiilor de prietenie între aceste două State,

motivate de dorinţa de a susţine cooperarea şi dezvoltarea reciprocă,

recunoscînd importanţa şi semnificaţia asistenţei pentru dezvoltare,

cu scopul de a atinge aceste obiective, au convenit asupra următoarelor:

Articolul 1

Definiţii

În sensul prezentului Acord:

Prin “Program Naţional de Asistenţă Oficială pentru Dezvoltare” se va înţelege instrumentul principal de planificare al Republicii Slovace pentru acordarea asistenţei oficiale pentru dezvoltare Republicii Moldova, aprobat de către Guvernul Republicii Slovace;

Prin “Fonduri” se vor înţelege resursele financiare alocate în cadrul Programului Naţional de Asistenţă Oficială pentru Dezvoltare acordată Republicii Moldova;

Prin “Partea donatoare” se va înţelege Republica Slovacă;

Prin “Beneficiar” se va înţelege Republica Moldova;

Prin “Personal” (funcţionari publici, angajaţi) se vor înţelege cetăţenii Republicii Slovace şi, în acelaşi timp, angajaţi ai Părţii donatoare, care participă la proiectele Părţii donatoare în ţara Beneficiarului.

Articolul 2

Subiectul şi domeniul de aplicare a Acordului

Prezentul Acord stipulează termenii şi condiţiile generale de cooperare între Partea donatoare şi Beneficiar în cadrul Programului Naţional de Asistenţă Oficială pentru Dezvoltare. Beneficiarul asigură utilizarea eficientă a asistenţei oficiale acordată de Partea donatoare şi aplică măsurile necesare pentru prevenirea utilizării necorespunzătoare sau reţinerii Fondurilor acordate în cadrul acestei asistenţe, şi pentru respectarea termenilor şi condiţiilor în conformitate cu care au fost acordate aceste Fonduri.

Articolul 3

Autorităţile competente

(1) Autorităţile competente ale Părţilor în vederea implementării prezentului Acord sînt:

(2) Orice comunicare între autorităţile competente în procesul de implementare a prezentului Acord se efectuează în limba engleză.

Articolul 4

Finanţarea

(1) Acordarea Fondurilor în cadrul Programului Naţional de Asistenţă Oficială pentru Dezvoltare se efectuează în concordanţă cu legislaţia naţională şi regulamentele Părţii donatoare. Proceduri similare se aplică şi la operaţiunile contabile legate de aceste Fonduri.

(2) Plăţile efectuate în cadrul prezentului Acord se efectuează în EURO.

(3) Fondurile oferite de Partea donatoare sau la oferirea cărora aceasta contribuie, se utilizează, exclusiv, în scopurile proiectelor/programelor convenite, şi în cadrul proiectelor/programelor ce urmează să fie aprobate în viitor, în baza contractului cu agenţiile guvernamentale implicate în acordarea asistenţei oficiale pentru dezvoltare, cu excepţia celor prevăzute în Articolul 6, paragraful 3 al prezentului Acord.

Articolul 5

Achiziţionarea bunurilor şi serviciilor

(1) Achiziţionarea bunurilor, lucrărilor şi serviciilor se efectuează în concordanţă cu legislaţia naţională şi regulamentele Părţii donatoare.

(2) Bunurile şi serviciile oferite de organizaţiile Părţii donatoare în cadrul asistenţei oficiale pentru dezvoltare în conformitate cu prezentul Acord sînt scutite de taxe vamale, impozite şi orice alte taxe colectate de Beneficiar.

(3) Bunurile furnizate de către Partea donatoare în cadrul prezentului Acord devin proprietate a Republicii Moldova după terminarea proiectului/programului.

Articolul 6

Condiţiile aplicabile personalului (funcţionarilor publici, angajaţilor)

trimis de către Partea donatoare

(1) Beneficiarul informează Ambasada Republicii Slovace la Chişinău despre orice situaţie excepţională sau stare de urgenţă în ţară. În cazul în care oricare dintre Părţi consideră circumstanţele/evenimentele similare drept forţă majoră, sau în cazul în care se consideră că acestea ar putea pune în pericol implementarea proiectelor sau programelor de cooperare, oricare dintre Părţi poate solicita desfăşurarea de consultări imediate. În cadrul acestor consultări, Beneficiarul va oferi informaţii privind toate clauzele de securitate şi alte restricţii, în ceea ce priveşte persoanele care nu sunt cetăţeni ai săi.

(2) Autorităţile competente ale Părţii donatoare, în caz de situaţie excepţională sau pe durata stării de urgenţă din ţara Părţii donatoare, poate emite instrucţiuni specifice pentru personal (funcţionari publici, angajaţi). Aceste instrucţiuni pot include de asemenea ordinul de părăsire a teritoriului Beneficiarului. Personalul (funcţionarii publici, angajaţii) care este obligat să urmeze astfel de instrucţiuni sau să efectueze alte acţiuni preventive, justificate de anumite circumstanţe, nu va purta răspundere pentru neonorarea obligaţiunilor care decurg din contractul său de angajare.

(3) Costurile suportate de Partea donatoare pentru asigurarea securităţii personalului (funcţionari publici, angajaţi) sunt finanţate din Fondurile acordate Beneficiarului de către Partea donatoare drept asistenţă oficială pentru dezvoltare.

(4) Beneficiarul suportă toate riscurile care vor rezulta din sau care vor avea la bază activităţile desfăşurate în cadrul prezentului Acord şi este responsabil, în special, de soluţionarea tuturor petiţiilor/plîngerilor pe care Părţile terţe le vor depune împotriva Părţii donatoare, împotriva instituţiilor sale oficiale sau a reprezentanţilor săi, precum şi împotriva companiilor, instituţiilor sau persoanelor asupra cărora se răsfrînge prezentul Acord şi care rezultă din activităţile desfăşurate în cadrul prezentului Acord, sau care au legătură directă cu acele activităţi, cu excepţia cazurilor în care Beneficiarul şi Partea donatoare sunt de acord că o anumită pretenţie a apărut drept urmare a unui act de neglijenţă gravă sau de conduită necorespunzătoare premeditată a personalului (funcţionarilor publici, angajaţilor).

(5) Beneficiarul garantează personalului (funcţionarilor publici, angajaţilor):

a) Soluţionarea rapidă a formalităţilor şi eliberarea gratuită a vizelor cu intrări multiple, intrări şi ieşiri repetate în ţară şi din ţară pe întreaga perioadă a activităţilor/operaţiunilor acestora;

b) Circulaţia liberă pe teritoriul ţării şi dreptul de a intra în ţară şi de a pleca din ţară în măsura în care aceasta este necesar pentru implementarea proiectului/programului;

c) Eliberarea rapidă a tuturor permiselor sau licenţelor necesare, cum este, de exemplu, permisul de şedere, permisul de lucru şi permisul pentru îndeplinire a unor activităţi specializate, precum şi scutirea de restricţiile de imigrare, cît şi de obligaţiunea de înregistrare a străinilor pe întreaga durată a prezentului Acord;

d) Scutirea de impozitul pe venit stabilit pentru persoanele fizice şi de orice alt impozit direct aplicat la remuneraţiile acordate de către autoritatea centrală de stat a Republicii Slovace sau de către angajatorul care s-a angajat să presteze servicii sau să furnizeze bunuri în baza unui contract cu agenţiile guvernamentale implicate în acordarea asistenţei oficiale pentru dezvoltare, fie direct, fie în calitate de subcontractant.

e) Accesul la facilităţile de îngrijire şi serviciile de sănătate de cea mai înaltă calitate disponibilă în ţară, indiferent dacă acestea sunt publice sau private;

f) Posibilităţi de repatriere în timpul crizelor interne sau internaţionale, care sunt egale cu cele acordate personalului misiunilor diplomatice;

g) Dreptul de a importa şi reexporta (cu scutire de taxele vamale) echipamentul profesional şi bunurile de care personalul (funcţionarii publicii, angajaţii) are nevoie pentru realizarea sarcinilor sale.

(6) Beneficiarul poate solicita retragerea sau substituirea oricărei persoane din personal (funcţionar public, angajat) numită de către Partea donatoare a cărei activitate sau comportament nu este considerat satisfăcător.

Articolul 7

Utilizarea siglei

Fiecare dintre Părţi va utiliza sigla asistenţei oficiale pentru dezvoltare al Părţii donatoare în procesul de implementare a prevederilor prezentului Acord, fără vreo consultare sau aprobare anterioară.

Articolul 8

Restricţii

(1) Fondurile acordate Beneficiarului în cadrul Programului Naţional de Asistenţă Oficială pentru Dezvoltare nu vor putea fi utilizate de către Beneficiar în scopul achitării impozitelor, taxelor vamale sau taxelor legate de acestea.

(2) Partea donatoare îşi rezervă dreptul de a solicita restituirea Fondurilor fie în totalitate, fie parţial, în cazul în care Beneficiarul nu a utilizat Fondurile în scopul pentru care acestea au fost alocate. Părţile desfăşoară consultări reciproce cu scopul de a identifica o soluţie înainte ca Partea donatoare să-şi exercite dreptul de a solicita restituirea totală sau parţială a Fondurilor.

Articolul 9

Soluţionarea litigiilor

Orice litigii care pot apărea în procesul de interpretare sau implementare a prevederilor prezentului Acord se soluţionează prin negocieri reciproce între Părţi.

Articolul 10

Dispoziţii finale

(1) Prezentul Acord se încheie pe o perioadă nedeterminată.

(2) Prezentul Acord urmează să fie aprobat în conformitate cu legislaţia naţională şi regulamentele Statelor ambelor Părţi şi va intra în vigoare în a treizecia (30) zi ce urmează data primirii celei de a doua notificare privind această aprobare.

(3) Prezentul Acord poate fi încetat de către oricare dintre Părţi printr-o notificare de denunţare în formă scrisă transmisă cu cel puţin şase luni înainte.

(4) Prezentul Acord poate fi amendat sau completat prin acordul reciproc al Părţilor. Amendamentele şi completările vor fi perfectate în formă scrisă.

(5) Încetarea prezentului Acord nu va afecta finalizarea obligaţiunilor, care sunt deja în proces de executare, însă nefinalizate la data încetării prezentului Acord.

AGREEMENT

ON DEVELOPMENT COOPERATION BETWEEN THE GOVERNMENT

OF THE REPUBLIC OF MOLDOVA AND THE GOVERNMENT

OF THE SLOVAK REPUBLIC

The Government of the Republic of Moldova and the Government of the Slovak Republic, (hereinafter referred as “the Parties”)

In the spirit of friendly relations between the two States,

Motivated by the wish to support mutual cooperation and development,

Recognizing the importance and significance of development assistance,

have agreed, with the purpose of fulfilling of those objectives, as follows:

Article 1

Terms

For the purposes of this Agreement:

“National Program of Official Development Assistance” - means the main planning instrument of the Slovak Republic for providing the official development assistance to the Republic of Moldova, approved by the Government of the Slovak Republic;

“Funds” - means financial resources allocated within the framework of the National Program of Official Development Assistance provided to the Republic of Moldova;

“Provider” - means the Slovak Republic;

“Beneficiary” - means the Republic of Moldova;

“Staff'” (civil servants, employees) - means the citizen of the Slovak Republic, and at the same time employee of the Provider′s entity participating in projects of the Provider in the country of the Beneficiary.

Article 2

Subject and Scope of the Agreement

This Agreement stipulates general terms and conditions of development cooperation between the Provider and the Beneficiary within the framework of the National Program of Official Development Assistance. The Beneficiary shall ensure the efficient use of the official development assistance provided by the Provider, adopt the measures necessary for prevention of misuse or withholding of Funds provided within the framework of this assistance and non-infringement of terms and conditions under which these Funds were provided.

Article 3

Competent Authorities

(1) The competent authorities of the Parties in connection with implementation of this Agreement are:

(2) Any communication of the competent authorities within the implementation of this Agreement shall be carried out in the English language.

Article 4

Financing

(1) Providing of Funds within the framework of the National Programme of Official Development Assistance shall be carried out in accordance with the national law and regulations of the Provider. The same procedures shall be applied also to accounting operations connected with those Funds.

(2) Payments carried out within the framework of this Agreement shall be implemented in EURO.

(3) The Funds that are being provided by the Provider or to the provision of which this contributes, shall be used exclusively for the purposes of the agreed projects/programs and within the framework of prospective approved projects/programs based on the contract with governmental authorities involved in providing official development assistance, except for the Article 6, Paragraph 3 of this Agreement.

Article 5

Procurement of Goods, Work and Services

(1) Procurement of goods, work and services shall be carried out in accordance with the national law and regulations of the Provider.

(2) Goods and services provided by the organizations of the Provider within the framework of the official development assistance pursuant to this Agreement shall be exempt from customs duties, taxes and any other fees collected by the Beneficiary.

(3) The goods provided by the Provider within the framework of this Agreement shall become the property of the Beneficiary after the project/program is terminated.

Article 6

Conditions Applicable to the Staff (civil servants, employees) sent by the Provider

(1) The Beneficiary shall inform the Embassy of the Slovak Republic in Chisinau about any extraordinary situation or state of emergency in the country. In case any of the Parties considers similar circumstances/events for force majeure, or in case it is of the opinion they could endanger implementation of the projects or programs of cooperation, any of the Parties can ask for immediate consultations. Within the framework of these consultations the Beneficiary shall provide information on all security provisions or other restrictions, concerning individuals that are not its citizens.

(2) The competent authorities of the Provider can, in extraordinary situation or during a state of emergency in the country of the Beneficiary, issue specific instructions to the Staff (civil servants, employees). Those instructions can also include the order to leave the territory of the Beneficiary. The Staff (civil servants, employees) that shall obey such instructions or implement other preventive actions, which are reasonable under given circumstances, shall not be made responsible for violation of obligations following from their employment contracts.

(3) Costs that incur to the Provider in connection with securing safety of the Staff (civil servants, employees) shall be financed from the Funds provided by the Provider to the Beneficiary as official development assistance.

(4) The Beneficiary bears all the risks that follow from or have originated in connection with activities realised within the framework of this Agreement and is responsible mainly for the settlement of all claims/complaints that the third Parties shall file against the Provider, its official institutions or its representatives, as well as companies, institutions or persons that fall under this Agreement and that follow from activities realised within the framework of this Agreement, or that are directly connected with those activities, unless the Provider and the Beneficiary agree that a particular claim arose from an act of gross negligence or willful misconduct of the Personnel (civil servants, employees).

(5) The Beneficiary shall guarantee to the Staff (civil servants, employees):

a) Prompt arrangements and issue of free-of-charge visas enabling multiple entries, repeated entries into and departures from the country throughout the whole period of their activities/operations;

b) Free movement on the territory of the country and the right to enter into the country and to leave the country within the extent necessary for implementation of the project/program;

c) Prompt issue of all necessary permits or licenses, such as, for example, the permit for stay (residence permit), the working permit and the permit to carry out specialized activities, as well as exemption from the immigration restrictions and from the obligation of registration of aliens throughout the period of duration of this Agreement;

d) Exemption from the natural persons income tax and any other direct tax from emoluments provided by the central state authority of the Slovak Republic or by the employer that has undertaken to provide services or to supply goods based on the contract with governmental authorities involved in providing official development assistance, either directly, or as a sub-contractor;

e) Access to health care services and facilities of the highest quality available in the country, regardless whether they are public or private;

f) Possibilities of repatriation during the internal or international crises, which are equal to the possibilities provided to the staff of the diplomatic missions;

g) The right to import and re-export (free of customs duties) the professional equipment and goods that the Staff (civil servants, employees) needs for fulfilment of their tasks.

(6) The Beneficiary can request withdrawal or replacement of any person from the Staff (civil servants, employees), provided by the Provider whose work or behaviour is considered for not satisfactory.

Article 7

Use of Logo

Each Party shall use a logo of the official development assistance of the Provider while implementing provisions of this Agreement, without any prior consultations or approval.

Article 8

Reservations

(1) The Funds provided to the Beneficiary from the National Program of the Official Development Assistance must not be used by the Beneficiary for payments of taxes, customs duties and fees connected with them.

(2) The Provider reserves the right to request repayment of the Funds either within their full extent or a part of them, in case the Beneficiary did not use the Funds for the purpose for which they were earmarked. The Parties shall hold mutual consultations with the purpose of finding a solution before the Provider exercises its right to request the repayment of the full amount of the Funds or a part of them.

Article 9

Settlement of Disputes

Any disputes that may arise from interpretation or implementation of provisions of this Agreement shall be settled through mutual negotiations between the Parties.

Article 10

Final Provisions

(1) This Agreement shall be in force for indefinite period of time.

(2) This Agreement is subject to approval in accordance with the national law and regulations of the states of both Parties, and shall enter into force on the thirtieth (30.) day following the date of delivery of the second notification concerning this approval.

(3) This Agreement can be terminated by any of the Parties by giving written notification at least six months termination notice.

(4) This Agreement may be amended or supplemented by mutual agreement of the Parties. The amendments and supplements shall be done in written form.

(5) The termination of this Agreement shall not affect the completion of obligations, which are already being performed, but not completed, at the date of termination of this Agreement.
