BANCA DE DEZVOLTARE A CONSILIULUI EUROPEI, Organizaţie Internaţională, Paris (numită în continuare BCE), pe de o parte,

şi

REPUBLICA MOLDOVA (numită în continuare Debitorul), pe de altă parte,

• Referindu-se la cererea depusă de Membrul Guvernului Debitorului la data de 27 octombrie 2011,

• Referindu-se la al Treilea Protocol la Acordul General privind Privilegiile şi Imunităţile al Consiliului Europei,

• Referindu-se la Cadrul de politică generală a BCE pentru împrumut şi finanţarea proiectelor (numită în continuare Politică de împrumut), adoptat prin Rezoluţia Consiliului de Administraţie al BCE 1495 (2006) şi modificat ulterior prin Rezoluţiile 1522 (2009) şi 1530 (2010),

• Referindu-se la Politica de Mediu, adoptată prin Rezoluţia Consiliului de Administraţie al BCE 1530 (2010) (numită în continuare Politica de Mediu),

• Referindu-se la Ghidul de achiziţii de bunuri, lucrări şi servicii al BCE, datat din septembrie 2011 (denumit în continuare Ghidul de achiziţii),

• Referindu-se la Regulamentul BCE cu privire la împrumut, adoptat prin Rezoluţia Consiliului de administraţie al BCE 1495 (2006) şi modificat ulterior prin Rezoluţia Consiliului de administraţie al BCE 1530 (2010), (denumit în continuare Regulamentul cu privire la împrumut).

AU CONVENIT ASUPRA URMĂTOARELOR:

Definiţii

“Alocarea unei Tranşe” (numită în continuare de asemenea “Alocaţie” sau “Alocată”) înseamnă oferirea unei Tranşe de către Debitor pentru părţile componente ale Proiectului (identificat cu ajutorul unui tabel standard, anexat la acest Acord) chiar dacă o astfel de Tranşă nu a fost încă plătită pentru Proiect.

“Zi lucrătoare” înseamnă ziua cînd sistemul TARGET 2 (Sistemul transeuropean automat de transfer de fonduri cu decontare pe bază brută în timp real) este operativ.

“Data de încheiere” înseamnă data de la care, în urma notificării de către BCE a Debitorului, nu pot fi solicitate alte plăţi de către Debitor.

“Legislaţia de mediu” înseamnă legile şi reglementările naţionale ale Republicii Moldova, precum şi standardele de drept UE şi tratatele internaţionale aplicabile, a căror obiectiv principal este conservarea, protecţia sau îmbunătăţirea mediului.

“Directivele UE privind achiziţiile” se referă la Directiva 2004/17/CE a Parlamentului European şi a Consiliului din 31 martie 2004 de coordonare a procedurilor de atribuire a contractelor de achiziţii în sectoarele apei, energiei, transporturilor şi serviciilor poştale şi la Directiva 2004/18/CE a Parlamentului European şi a Consiliului din 31 martie 2004 privind coordonarea procedurilor de atribuire a contractelor de achiziţii publice de lucrări, de bunuri şi de servicii, conform modificărilor periodice.

“EURIBOR” (Rata Oferită Interbancară în Euro) este rata la care depozitele la termen interbancare în euro din cadrul zonei euro sunt oferite de o bancă primară unei alte bănci primare. Ea este sponsorizată de Federaţia Europeană a Băncilor, calculată de Reuters şi publicată în fiecare zi lucrătoare la Bruxelles la ora 11 dimineaţă pe pagina Reuters a EURIBOR 01.

“Beneficiarii Finali” sunt persoanele fizice care beneficiază de efectele sociale ale Proiectului, astfel cum sunt definite în Anexa 1.

“Convenţia privind ziua lucrătoare următoare modificată” înseamnă convenţia prin care dacă o dată specificată ar cădea într-o zi care nu este o Zi lucrătoare, această dată ar fi prima zi următoare Zilei lucrătoare, afară de cazul dacă această zi cade în luna calendaristică următoare, caz în care această dată ar fi prima zi premergătoare Zilei lucrătoare.

“Agenţia de Implementare a Proiectului” (numită în continuare AIP) înseamnă Ministerul Dezvoltării Regionale şi Construcţiilor, care, prin delegare a Debitorului, implementează şi administrează Proiectul.

“Unitate de Implementare a Proiectului” (numită în continuare UIP) înseamnă o UIP în subordinea Ministerului Dezvoltării Regionale şi Construcţiilor care răspunde zilnic de implementarea, managementul fizic şi financiar şi supravegherea Proiectului.

“Stadiul proiectat de progres al lucrărilor” înseamnă rata eligibilă a cheltuielilor, pentru toate părţile componente ale Proiectului, pînă la costul eligibil total al proiectului, în care cheltuielile eligibile includ cheltuielile deja apărute, precum şi cele care se preconizează să apară pentru o perioadă de timp determinată, dar care nu va depăşi un an de la data raportului de monitorizare (cum este definit în Articolul 4.2.2 de mai jos).

“Contul Fiduciar Selectiv” înseamnă un cont stabilit şi existent la BCE cu scopul oferirii subvenţiilor pentru rata procentuală pentru împrumuturile oferite de BCE şi pentru donaţiile acordate în ţările eligibile.

“Stadiul de Progres al Lucrărilor” înseamnă rata cheltuielilor eligibile deja apărute ce ţin de toate părţile componente ale Proiectului, pînă la costul eligibil total al Proiectului.

“Tranşă” înseamnă o sumă debursată sau care urmează a fi debursată din Împrumut.

Articolul 1

Condiţii

Acest Împrumut (numit în continuare Împrumut) este oferit conform condiţiilor generale ale Regulamentului cu privire la Împrumut şi conform condiţiilor speciale fixate de acest Acord Cadru de Împrumut (numit în continuare Acord), şi a Anexelor acestuia şi a acordurilor de debursare (numite în continuare Acorduri de Debursare).

Articolul 2

Proiectul

BCE oferă Debitorului, care acceptă, Împrumutul pentru finanţarea parţială a F/P 1756(2011), aprobat de Consiliul Administrativ al BCE la 17 noiembrie 2011, cu privire la finanţarea parţială a proiectelor de investiţii eligibile (numite în continuare Subproiecte) pentru asigurarea accesului la locuinţe a familiilor vulnerabile şi cu venit mic pe întreg teritoriu al Republicii Moldova, aşa cum este descris în Anexa 1 (numit în continuare Proiect).

Împrumutul este oferit de BCE ţinînd cont de angajamentul că Debitorul va aplica împrumutul integral pentru finanţarea Proiectului şi va administra acest Proiect în conformitate cu dispoziţiile care sunt stipulate în Acord şi în Anexele sale.

Orice schimbare referitoare la aplicarea Împrumutului care nu a fost aprobată de BCE poate duce la suspendarea, anularea sau rambursarea anticipată a Împrumutului, în conformitate cu prevederile Articolelor 3.3, 3.5 şi 3.6 ale Regulamentului cu privire la Împrumut.

Articolul 3

Împrumutul

3.1. Condiţii financiare

Suma Împrumutului oferit constituie:

13 400 000 EURO

treisprezece milioane patru sute mii de Euro

care va fi debursată în Tranşe.

Pentru fiecare Tranşă, suma, rata dobînzii, valuta, data debursării, perioada de rambursare şi conturile fiecărei părţi pentru transfer vor fi determinate în comun de către Debitor şi BCE. Perioada de rambursare nu trebuie să fie mai mare de douăzeci (20) de ani, inclusiv pînă la cinci (5) ani de graţie.

Un Acord de Debursare care va specifica aceste condiţii va fi elaborat la momentul debursării substanţiale conform formei stabilite în Anexa 2.

3.2. Contribuţia din contul fiduciar selectiv

Rata dobînzii pentru fiecare Tranşă va fi subvenţionată printr-o contribuţie retrasă din Contul Fiduciar Selectiv al BCE (denumit în continuare, Subvenţie). Subvenţia nu poate depăşi 2 milioane Euro pentru Proiect în conformitate totală cu aprobarea Consiliului de administraţie al BCE F/P 1756 (2011).

3.3. Debursarea

BCE va debursa Împrumutul în minimum două (2) Tranşe. Suma fiecărei Tranşe va fi determinată în conformitate cu Stadiul de Progres al Lucrărilor şi/sau Stadiul Proiectat de Progres al Lucrărilor.

Semnarea Acordului de Debursare pentru prima Tranşă trebuie să aibă loc în decurs de 12 luni de la intrarea în vigoare a prezentului Acord, cum este prevăzut în Articolul 15.

Prima Tranşă nu va depăşi 30% din suma aprobată a Împrumutului.

Fiecare Tranşă ulterioară poate fi debursată numai după ce Debitorul confirmă în scris BCE, respectarea articolului 4.2.2 de mai jos, că 90% din Tranşa anterioară a fost Alocată.

3.4. Condiţiile de debursare

Semnarea Acordului de Debursare pentru prima tranşă va fi supusă acceptării de către BCE, în forma şi conţinutul considerate satisfăcătoare pentru ea, a i) elementelor prevăzute în “condiţiile specifice” ale Anexei 1 şi ii) a unui aviz juridic în limba engleză care să acopere aspectele privind capacitatea, puterea şi autoritatea Debitorului şi care să confirme că Acordul este valabil, executoriu şi obligatoriu, în conformitate cu termenii săi.

3.5. Data de închidere

Data de închidere este 30 decembrie 2018.

3.6. Detalii de plată

Toate sumele cuvenite pentru Debitor, conform prezentului Acord, sînt plătite în valută pentru fiecare Tranşă la un număr de cont comunicat de BCE Debitorului la momentul debursării.

Debitorul sau banca instruită de Debitor, în funcţie de caz, va expedia un aviz de plată în scris către BCE cu cel puţin cinci (5) Zile lucrătoare înainte de plata oricăror sume cuvenite conform prezentului Acord.

Orice plată conform prezentului Acord poate fi efectuată într-o zi lucrătoare, supusă Convenţiei privind ziua lucrătoare următoare modificată.

Articolul 4

Monitorizarea Împrumutului şi Proiectului

4.1. Utilizarea Împrumutului

4.1.1. Perioada

Tranşele trebuie alocate de către Debitor pentru Proiect în termen de douăsprezece (12) luni după fiecare debursare.

Sumele care nu vor fi Alocate pentru Proiect în timpul acestei perioade vor fi restituite BCE în cel mult treizeci (30) de zile.

Debitorul se obligă să suporte cheltuielile care reies din aceste restituiri. Aceste cheltuieli vor include sumele pe care BCE va trebui să le suporte datorită reinvestirii aceleiaşi sume la data restituirii pentru plata restantă a Împrumutului iniţial, precum şi oricare alte cheltuieli care se referă la acestea. Rata reinvestirii va fi determinată de BCE în baza condiţiilor de piaţă la data restituirii pentru perioada în cauză. De aceea, cheltuielile vor fi calculate luînd în consideraţie diferenţa dintre rata iniţială şi rata de reinvestire.

Mai mult ca atît, dacă Tranşa debursată de BCE nu este alocată pentru Proiect sau este alocată parţial pentru acesta în perioada de timp menţionată în primul alineat de mai sus, aceasta va constitui un caz cum este stipulat în Articolul 3.3 (h) al Capitolului 3 al Regulamentului cu privire la Împrumut, şi poate duce la suspendarea, anularea sau rambursarea înainte de termen a Împrumutului în condiţiile Articolelor 3.3, 3.5 şi 3.6 ale Regulamentului cu privire la Împrumut.

4.1.2. Implementarea Proiectului

Debitorul va desemna Ministerul Dezvoltării Regionale şi Construcţiilor (MDRC) în calitate de AIP.

În cadrul AIP, o Unitate de Implementare a Proiectului (UIP), care să dispună de personal adecvat va opera în conformitate cu “Condiţiile Specifice” din Anexa 1. Costul operaţional al UIP va fi finanţat din Împrumutul obţinut, în sumă care nu va depăşi 3,1% din suma împrumutului.

Un comitet de supraveghere, compus din părţile interesate relevante (fiind membri ai ministerelor relevante şi municipalităţi etc.), va monitoriza punerea în aplicare a Proiectului.

Cu toate acestea, responsabilitatea de a se conforma cu toate obligaţiile prevăzute în Acord rămîne a Debitorului.

4.1.2.1. Obligaţia de prudenţă

Debitorul va aplica toată precauţia şi silinţa şi va antrena toate mijloacele tipice folosite, în special financiare, tehnice, sociale şi manageriale şi cele de protecţie a mediului, care vor fi necesare pentru o implementare corespunzătoare a Proiectului.

4.1.2.2. Cheltuielile majorate sau revăzute ale Proiectului

În cazul în care cheltuielile din Proiect, conform prevederilor Anexei 1 la prezentul Acord, se vor majora sau se vor modifica, din orice motiv, Debitorul se va asigura că resurse financiare adiţionale sînt disponibile pentru realizarea Proiectului.

În special, el se va asigura – înainte de implementarea Proiectului – că toate drepturile financiare, funciare şi imobiliare, care sunt necesare pentru aceasta sunt disponibile şi că toate bunurile şi instalaţiile sunt permanent asigurate şi întreţinute.

În orice caz, finanţarea parţială a BCE nu va depăşi 65% din costul total al Proiectului, cu excluderea dobînzii şi a taxelor financiare, conform prevederilor Anexei 1.

4.1.2.3. Vizibilitatea BCE

Debitorul va indica beneficiarilor finali că Proiectul este finanţat parţial de BCE prin includerea unei referinţe la BCE în contractele de închiriere cu beneficiarii finali şi prin mijloace adecvate de comunicare, inclusiv site-uri web, comunicate de presă, broşuri şi/sau afişări pe panouri, paginile web ale Subproiectelor relevante. UIP va informa BCE despre astfel de comunicări prin intermediul rapoartelor de monitorizare.

4.1.2.4. Angajamente ulterioare

Debitorul se obligă că:

- Implementarea Proiectului corespunde cu regulile relevante privind frauda, corupţia şi spălarea banilor, după cum este detaliat în articolele 4.1.4–4.1.6 de mai jos;

- Implementarea Proiectului nu va duce la violarea Convenţiei Europene privind Drepturile Omului şi a Cărţii Sociale Europene;

- Proiectul respectă prevederile Politicii de Mediu. În special, Debitorul trebuie să asigure că:

- implementarea şi funcţionarea Subproiectelor este în conformitate cu Legislaţia de mediu;

- toate autorizaţiile de mediu şi permisele pentru planificare, precum şi atunci cînd este necesar pentru realizarea Sub-proiectelor, sunt obţinute în mod corespunzător şi sunt respectate orice condiţii ataşate la fiecare acord sau permisiune; şi

- lucrările de construcţie a blocurilor de locuit respectă normele şi standardele stabilite de legislaţia naţională în domeniul eficienţei energetice în clădiri şi utilizează cadrul legal stabilit în Planul de acţiuni pentru locuinţe eficiente energetic adoptată de Comisia Economică a Naţiunilor Unite pentru Europa (UNECE) şi Directiva UE privind performanţa energetică a clădirilor, care va fi transpusă în legislaţia Republicii Moldova pînă la sfîrşitul anului 2012.

4.1.3. Achiziţia

Achiziţiile de bunuri, lucrări şi servicii care vor fi finanţate în cadrul Proiectului trebuie efectuate în conformitate cu Ghidul de Achiziţii al BCE. În special, limitele superioare pînă la care Debitorul este necesar să obţină bunuri, lucrări şi servicii prin intermediul procedurilor de achiziţii publice internaţionale sunt cele stabilite în directivele relevante privind contractele de achiziţii ale UE, aşa cum sunt publicate periodic în Jurnalul Oficial al Uniunii Europene (JOUE). Planul de Achiziţii (şi orice actualizare a acestora), indicînd metodele de achiziţii publice pentru fiecare contract va fi prezentat BCE pentru aprobare. După primire, BCE va informa Debitorul scopul revizuirii, pe care BCE o va efectua pentru fiecare contract.

În cazul în care Debitorul nu reuşeşte a se conforma angajamentelor care decurg din Ghidul de achiziţii, BCE (i) poate declara cheltuielile contractului în cauză ca fiind neeligibile pentru alocare în cadrul Proiectului şi/sau (ii), se poate proceda la suspendare, anulare sau cererea de rambursare anticipată a Împrumutului în conformitate cu condiţiile articolelor 3.3, 3.5 şi 3.6 din Regulamentul cu privire la împrumut.

4.1.4. Angajamentul de integritate

Debitorul garantează faptul că nu a comis, şi nici o persoană despre care cunoaşte la moment nu a comis, şi îşi asumă angajamentul că nu va comite, precum şi nici o persoană, cu consimţământul său, nu va comite acte de corupţie, fraudă, de constrîngere sau acţiuni ilicite în legătură cu procesul de achiziţii publice în cadrul proiectului sau executarea unui contract în cadrul Proiectului, aşa cum este descris în Anexa 1.

În sensul prezentului Acord:

- “Acte de corupţie sunt oferirea, darea, primirea sau solicitarea, direct sau indirect, orice de valoare pentru a influenţa în mod necorespunzător acţiunile unei alte părţi”;

- “Acte de fraudă reprezintă orice act sau omisiune, inclusiv declaraţii false, care induce în eroare cu bună ştiinţă sau din neglijenţă, sau încearcă să inducă în eroare, o parte pentru a obţine un beneficiu financiar sau de altă natură, sau pentru a evita o obligaţiune”;

- “Acte de constrîngere este diminuarea sau dăunarea, sau ameninţarea de a afecta sau a face rău, în mod direct sau indirect, orice parte sau proprietatea părţii de a influenţa în mod necorespunzător acţiunile unei părţi”;

- “Acţiuni ilicite reprezintă un aranjament între două sau mai multe părţi destinat pentru a atinge un scop necorespunzător, inclusiv a influenţa în mod abuziv acţiunile unei alte părţi”.

În acest sens, informaţia oricărui membru al AIP sau UIP, sau persoanele menţionate la articolul 4.1.6, se consideră informaţia Debitorului. Debitorul se obligă să informeze BCE în cazul în care ar trebui să devină conştienţi de orice fapt sau o informaţie sugestivă a Comisiei de orice astfel de acte.

Debitorul trebuie să asigure în special că nici o tranzacţie nu este introdusă cu sau în beneficiul oricăror dintre persoanele sau instituţiile menţionate în listele persoanelor sancţionate promulgate de către Consiliul de Securitate al Organizaţiei Naţiunilor Unite sau de Comitetele sale în conformitate cu Rezoluţiile Consiliului de securitate 1267 (1999), 1373 (2001) (disponibil la http://www.un.org/terrorism), actualizate periodic şi/sau de către Consiliul UE în conformitate cu Poziţiile Comune 2001/931/CSFP şi 2002/402/CSFP şi conexe acestora sau rezoluţiilor ulterioare şi/sau actelor de punere în aplicare în legătură cu aspectele de finanţare a terorismului.

Nerespectarea garanţiilor şi angajamentelor de mai sus ar constitui o încălcare a articolului 3.3-g şi/sau a articolului 3.3-h a Capitolului 3 al Regulamentului cu privire la împrumut şi pot conduce la suspendarea, anularea sau rambursarea anticipată a Împrumutului, în condiţiile articolelor 3.3, 3.5 şi 3.6 din Regulamentul cu privire la Împrumut.

4.1.5. Investigaţii şi informaţii

Debitorul se obligă:

a) să ia măsuri, în cazul în care BCE va solicita în mod rezonabil a investiga şi/sau anula orice act presupus sau suspectat sau nerespectarea conformării cu angajamentele prevăzute în articolul 4.1.4;

b) să faciliteze orice investigaţie pe care BCE o poate face în legătură cu asemenea act sau nerespectarea conformării cu angajamentele prevăzute în articolul 4.1.4; şi

c) să informeze BCE privind măsurile luate pentru solicitarea despăgubirilor de la persoanele pentru orice pierdere rezultată din orice acţiune sau incapacitatea de a se conforma cu angajamentele prevăzute în articolul 4.1.4.

4.1.6. Contact

Cu excepţia cazului în care Debitorul va specifica altfel în scris către BCE, şeful AIP va fi responsabil pentru contactele cu BCE, în sensul articolului 4.1.4 şi 4.1.5.

4.2. Solicitările de informaţii

4.2.1. Informaţia privind Proiectul

Debitorul, prin UIP, va ţine registre contabile privind Proiectul, care urmează să fie în corespundere cu standardele internaţionale, arătînd, la orice punct, Stadiul de progres al Proiectului şi în care se vor înregistra toate operaţiile efectuate şi identificate orice active şi servicii finanţate cu ajutorul Împrumutului.

Debitorul, prin UIP, se obligă să răspundă în timpul unei perioade rezonabile la orice solicitare a informaţiei din partea BCE şi să-i ofere orice documente pe care BCE le consideră necesare şi pe care le poate rezonabil solicita pentru o implementare corespunzătoare a Acordului, în special în ceea ce priveşte monitorizarea proiectului şi utilizarea Împrumutului.

Debitorul, prin UIP, va informa imediat BCE, despre orice schimbări legislative sau regulatorii din orice sector relevant pentru Proiect şi, în general, despre orice eveniment care ar putea avea un impact material advers asupra executării obligaţiilor sale conform prezentului Acord. Orice schimbări care ar putea avea un impact material advers asupra executării obligaţiilor Debitorului conform prezentului Acord, ar putea constitui o cauză conform prevederilor Articolului 3.3 (h) al Capitolului 3 din Regulamentul cu privire la Împrumut care ar putea duce la suspendarea, anularea, sau rambursarea anticipată a Împrumutului în condiţiile Articolelor 3.3, 3.5 şi 3.6 din Regulamentul cu privire la Împrumut.

4.2.2. Rapoartele de monitorizare

Fiecare şase luni, de la debursarea Împrumutului pînă la finalizarea întregului Proiect, Debitorul, prin UIP, va trimite BCE un Raport de monitorizare semestrial şi anual. Debitorul va expedia, de asemenea, un raport înainte de orice debursare. Aceste rapoarte trebuie să fie considerate satisfăcătoare de BCE înainte ca orice debursare să poată fi făcută.

Anexa 4 prevede şablonul care specifică informaţiile minime solicitate de BCE pentru rapoartele de monitorizare. Formate alternative ce conţin aceleaşi informaţii pot fi, de asemenea, utilizate.

În orice caz, rapoartele de monitorizare trebuie să abordeze:

- Condiţiile de Alocare a Tranşelor Debursate din Împrumut;

- Progresul planurilor de finanţare şi achiziţii a Proiectului;

- Progresul nemijlocit al Proiectului, în contextul avansării fizice şi cheltuielilor efectuate;

- Detaliile de management al Proiectului; şi

- Indicatorii tehnici (specificaţi în Anexa 1 şi 4).

4.2.3. Raportul privind completarea Proiectului

La completarea fizică a întregului Proiect, Debitorul, prin UIP, trebuie să prezinte un raport final care va conţine o evaluare a efectelor economice, financiare, sociale şi de mediu a Proiectului. Acest raport trebuie să fie considerat satisfăcător de BCE.

4.2.4. Misiunile de monitorizare

Debitorul se obligă să accepte orice misiune de monitorizare care va fi efectuată de angajaţii BCE sau de consultanţii care vor fi angajaţi de BCE şi să ofere toată cooperarea necesară pentru misiunile lor de monitorizare, facilitîndu-le oricare vizită posibilă pe şantierul Proiectului. În special, BCE poate efectua un audit la faţa locului al contabilităţii Proiectului, exercitat de unul sau mai mulţi consultanţi, la alegerea lor, din contul Debitorului, în cazul nerespectării de Debitor a oricăror obligaţii conform Împrumutului.

Articolul 5

Eliberarea Debitorului de Obligaţii

După achitarea integrală a sumei datorate a Împrumutului şi a tuturor dobînzilor, şi a altor cheltuieli rezultate din acestea, în special sumele menţionate în Articolele 6 şi 7 de mai jos, Debitorul va fi eliberat integral de orice obligaţiuni faţă de BCE, cu excepţia celor menţionate în Articolele 4.2.1 şi 4.2.4 de mai sus în scopul unei posibile ex post-evaluări a Proiectului.

Articolul 6

Dobînda pentru întîrziere

Pentru debursările în EURO şi indiferent de orice alt recurs valabil pentru BCE, conform Acordului şi a Regulamentului cu privire la Împrumut sau alte mijloace, în cazul în care Debitorul nu achită toată dobînda sau orice sumă plătibilă conform prezentului Acord, cel puţin la ultima dată specificată, Debitorul este obligat să achite o dobîndă suplimentară pentru suma datorată şi care nu a fost achitată integral, conform ratei pentru o lună a EURIBOR, la data datoriei la ora 11 dimineaţa (timpul local la Bruxelles), plus 2,5% pe an, de la data stabilită pentru achitare pînă la data reală a achitării.

Rata EURIBOR aplicabilă pentru o lună va fi înnoită la fiecare 30 de zile.

Articolul 7

Costurile asociate

Toate datoriile şi taxele de orice fel, datorate şi achitate, şi toate cheltuielile ce rezultă din încheierea, executarea, lichidarea, anularea sau suspendarea prezentului Acord, în întregime sau parţial, împreună cu toate actele legale sau extra-legale care ar avea la bază prezentul Acord vor fi suportate de Debitor.

Cu toate acestea, prevederile Articolului 4.7 al Capitolului 4 din Regulamentul cu privire la Împrumut se vor aplica la costul procedurii de arbitraj menţionată în Capitolul 4 menţionat.

Articolul 8

Egalitate şi gaj negativ

Debitorul declară că nici o obligaţiune nu a fost efectuată sau va fi efectuată în viitor care ar trebui să ofere terţei părţi un statut preferenţial, un drept preferenţial de achitare, un gaj sau o garanţie de orice natură care ar trebui să confere drepturi sporite terţelor părţi (numită în continuare Garanţie).

Dacă o asemenea Garanţie a fost totuşi oferită unei terţe părţi, atunci Debitorul acceptă să alcătuiască şi furnizeze o Garanţie identică în favoarea BCE, ori, unde această parte împiedică să emită această Garanţie echivalentă, să stipuleze alcătuirea unei asemenea Garanţii în favoarea BCE.

Nerespectarea acestor prevederi va reprezenta un caz de încălcare a Articolului 3.3 (h) al Capitolului 3 din Regulamentul cu privire la Împrumut care ar putea duce la suspendarea, anularea, sau restituirea anticipată a Împrumutului în condiţiile Articolelor 3.3, 3.5 şi 3.6 a Regulamentului cu privire la Împrumut.

Articolul 9

Reprezentările şi garanţiile

Debitorul reprezintă şi garantează:

- că organele sale competente au autorizat participarea acestuia la prezentul Acord şi i-au acordat semnatarului autorizaţie pentru aceasta, în conformitate cu legile, decretele, regulamentele, articole de asociere şi alte texte aplicabile acesteia;

- că întocmirea şi executarea Acordului nu contravine legilor, decretelor, regulamentelor, articolelor de asociere şi altor texte aplicabile acestuia şi că toate permisele, licenţele şi autorizaţiile necesare pentru aceasta au fost obţinute şi vor fi valabile pe toată perioada Împrumutului.

Orice schimbare în legătură cu reprezentările şi garanţiile de mai sus, pe toată perioada Împrumutului, trebuie notificate imediat la BCE şi vor fi oferite orice documente de argumentare.

Articolul 10

Legăturile cu terţele părţi

Debitorul nu va întreprinde nici o acţiune ce se referă la scopul de utilizare a Împrumutului pentru relaţiile sale cu terţele părţi cu scopul de evitare a îndeplinirii totale sau parţiale a obligaţiilor ce rezultă din prezentul Acord.

BCE nu se va implica în litigiile care pot apărea între Debitor şi terţele părţi şi costurile, oricare ar fi natura lor, stabilite de BCE datorită oricăror plîngeri şi, în special toate cheltuielile juridice şi de judecată, vor fi efectuate din contul Debitorului.

Articolul 11

Interpretarea Acordului

Debitorul declară că a primit o copie a Regulamentului cu privire la Împrumut şi a luat cunoştinţă de acesta.

În cazul în care vor apărea orice contradicţii dintre prevederile Regulamentului cu privire la Împrumut şi orice prevedere din Acord, prevederile Acordului vor prevala.

Titlurile alineatelor, secţiunilor şi capitolelor din Acord nu se vor utiliza pentru interpretarea acestuia.

În nici un caz, nu trebuie presupus că BCE a renunţat în mod tacit la orice drept oferit ei de Acord.

Articolul 12

Legislaţia aplicată

Acordul, Anexele sale şi Acordurile de Debursare legate de acesta se vor supune regulilor BCE conform prevederilor Articolului 1, alineatul 3 al celui de al Treilea protocol (din 6 martie 1959) al Acordului General privind Privilegiile şi Imunităţile Consiliului Europei (din 2 septembrie 1949) şi, într-al doilea rînd, în caz de necesitate, se vor supune legislaţiei franceze.

Litigiile dintre părţi cu privire la Acord se vor supune arbitrării conform condiţiilor stipulate în Capitolul 4 al Regulamentului cu privire la Împrumut.

Articolul 13

Executarea unei decizii arbitrare

Părţile contractuale cad de acord să nu profite de nici un privilegiu, imunitate sau prevederi legale înaintea oricărei autorităţi de jurisdicţie sau altei autorităţi, fie locală sau internaţională, cu scopul de a se opune la executarea unei decizii pronunţate conform condiţiilor stipulate în Capitolul 4 al Regulamentului cu privire la Împrumut.

Articolul 14

Notificări

Orice înştiinţare sau altă comunicare oferită sau efectuată conform prezentului Acord pentru BCE sau Debitor trebuie efectuată în scris şi trebuie considerată a fi corespunzător oferită sau înaintată astfel ca să fie livrată personal, pe cale aeriană sau legătură facsimilă de o parte celeilalte părţi la adresele părţilor specificate mai jos.

Intrarea în vigoare

Acordul va intra în vigoare la data semnării de către BCE şi Debitor şi după aprobarea de către autorităţile ţarii, din confirmarea scrisă primită de BCE de la Debitor.

Acordul este perfectat în 2 (două) exemplare originale, fiecare dintre care au valabilitate egală.

Loan Agreement between Council of Europe

Development Bank and Republic of Moldova

The COUNCIL OF EUROPE DEVELOPMENT BANK, International Organisation, Paris (hereinafter, the CEB), on the one hand,

and

The REPUBLIC OF MOLDOVA (hereinafter, the Borrower), on the other hand,

• Having regard to the application submitted by the Member Government of the Borrower dated 27 October 2011,

• Having regard to the Third Protocol to the General Agreement on Privileges and Immunities of the Council of Europe,

• Having regard to CEB Overall policy framework for loan and project financing (hereinafter, the Loan Policy) adopted by CEB Administrative Council Resolution 1495 (2006) and subsequently amended by CEB Administrative Council Resolutions 1522 (2009) and 1530 (2010),

• Having regard to CEB Environmental Policy adopted by CEB Administrative Council Resolution 1530 (2010) (hereinafter, the Environmental Policy),

• Having regard to CEB Procurement Guidelines dated September 2011 (hereinafter, the Procurement Guidelines),

• Having regard to CEB Loan Regulations adopted by CEB Administrative Council Resolution 1495 (2006) and subsequently amended by CEB Administrative Council Resolution 1530 (2010) (hereinafter, the Loan Regulations).

HAVE AGREED UPON THE FOLLOWING:

Definitions

“Allocation of a Tranche” (hereinafter, also Allocation or Allocated) means the commitment of a Tranche by the Borrower to the component parts of the Project (identified by means of a standard table appended to this Agreement) even if such Tranche has not yet been paid out for the Project.

“Business Day” means a day on which the TARGET 2 System (Trans-European Automated Real-time Gross Settlement Express Transfer System) is operating.

“Closing Date” means the date from which, upon notification by the CEB to the Borrower, no further disbursements can be requested by the Borrower.

“Environmental Law” means the national laws and regulations of the Republic of Moldova , as well as applicable EU law standards and international treaties, of which a principal objective is the preservation, protection or improvement of the environment.

“EU Procurement Directives” refers to Directive 2004/17/EC of the European Parliament and of the Council of 31 March 2004 coordinating the procurement procedures of entities operating in the water, energy, transport and postal services sectors and to Directive 2004/18/EC of the European Parliament and of the Council of 31 March 2004 on the coordination of procedures for the award of public works contracts, public supply contracts and public service contracts, as amended from time to time.

“EURIBOR” (Euro Interbank Offered Rate) is the rate at which euro interbank term deposits within the euro zone are offered by one prime bank to another prime bank. It is sponsored by the European Banking Federation, computed by Reuters and published every working day in Brussels at 11 a.m. on Reuters page EURIBOR01.

“Final Beneficiaries” are the individuals that benefit from the social effects of the Project as further defined in Appendix 1.

“Modified Following Business Day Convention” means a convention whereby if a specified date would fall on a day which is not a Business Day, such date would be the first following day that is a Business Day unless that day falls in the next calendar month, in which case that date would be the first preceding day that is a Business Day.

“Project Implementing Agency” (hereinafter, the PIA) means the Ministry of Regional Development and Construction, who, by delegation of the Borrower, implements and manages the Project.

“Project Implementing Unit” (hereinafter, the PIU) means a PIU under the Ministry of Regional Development and Construction, in charge of the day-to-day implementation, physical and financial management and follow-up of the Project.

“Projected State of Progress of Works” means the ratio of eligible expenditures, for all the component parts of the Project, to total eligible cost of the Project, where eligible expenditures include already-incurred expenditures as well as those that are expected to be incurred for a determined period of time not exceeding one year from the date of the monitoring report (as defined in Article 4.2.2. below).

“Selective Trust Account” means an account established by and existing at the CEB for the purpose of providing interest rate subsidies for loans granted by the CEB and granting donations in eligible countries.

“State of Progress of Works” means the ratio of already-incurred eligible expenditures, on all the component parts of the Project, to total eligible cost of the Project.

“Tranche” means an amount disbursed or to be disbursed from the loan.

Article 1

Conditions

This loan (hereinafter, the Loan) is granted under the general conditions of the Loan Regulations and under the special conditions established by this framework loan agreement (hereinafter, the Agreement), its Appendices and its disbursement agreements (hereinafter, the Disbursement Agreements).

Article 2

The Project

The CEB grants to the Borrower, who accepts, the Loan for the financing of F/P 1756 (2011) approved by CEB Administrative Council on 17 November, 2011 and concerning the partial financing of eligible investment projects (hereinafter, the Sub-projects) for providing access to housing to low-income and vulnerable families throughout Moldova as described in Appendix 1 (hereinafter, the Project).

The Loan is granted by the CEB in consideration of the commitment that the Borrower is making to apply it solely to financing the Project and to carry out such Project pursuant to the provisions of this Agreement and its Appendices.

Any change to the way the Loan is applied that has not received the CEB′s approval may lead to the suspension, cancellation or early reimbursement of the Loan, under the terms of Articles 3.3, 3.5 and 3.6 of the Loan Regulations.

Article 3

The Loan

3.1. Financial conditions

The amount of the Loan granted is:

€ 13 400 000

Thirteen million four hundred thousand Euro

It shall be disbursed in Tranches.

For each Tranche, the amount, the interest rate, the currency, the disbursement date, the repayment period and each party′s accounts for remittance, shall be determined jointly by the Borrower and the CEB. The repayment period shall not be greater than twenty (20) years, including up to five (5) years of grace.

A Disbursement Agreement which specifies these conditions shall be drawn up at the time of disbursement substantially in the form set out in Appendix 2.

3.2. Contribution from the Selective Trust Account

The interest rate for each Tranche will be subsidised through a contribution withdrawn from CEB′s Selective Trust Account (hereinafter, the Subsidy). The Subsidy may not exceed EUR 2 million for the Project in total pursuant to CEB Administrative Council′s approval of F/P 1756 (2011).

3.3. Disbursement

The CEB shall disburse the Loan in a minimum of two (2) Tranches. The amount of each Tranche shall be determined according to the State of Progress of Works and/or Projected State of Progress of Works.

The signature of the Disbursement Agreement for the first Tranche must occur within twelve (12) months following the entry into force of the present Agreement as defined under Article 15.

The first Tranche shall not exceed 30% of the approved Loan amount.

Each subsequent Tranche can be disbursed only after the Borrower confirms in writing to the CEB, subject to compliance with article 4.2.2 below, that 90% of the previous Tranche has been Allocated.

3.4. Disbursement Conditions

The signature of the Disbursement Agreement for the first Tranche shall be subject to the CEB′s receipt, in form and substance deemed satisfactory to it, of (i) the items set out under “Specific conditions” in Appendix 1 and (ii) a legal opinion in English, covering the issues of capacity, power and authority of the Borrower and confirming that the Agreement is valid, binding and enforceable in accordance with its terms.

3.5. Closing Date

The Closing Date is 30 December 2018.

3.6. Payment details

All the amounts due by the Borrower under this Agreement are payable in the currency of each Tranche to the account number communicated by the CEB to the Borrower at the time of disbursement.

The Borrower or the bank instructed by the Borrower, as the case may be, shall send a written payment notice to the CEB at least five (5) Business Days before payment of any amounts due under this Agreement.

Any payment under this Agreement shall be made on a Business Day subject to the Modified Following Business Day Convention.

Article 4

Monitoring the Loan and the Project

4.1. Use of the Loan

4.1.1. Period

The Tranches must be Allocated by the Borrower to the Project within twelve (12) months after each disbursement.

The amount not Allocated to the Project within such period must be repaid to the CEB, within thirty (30) days at the latest.

The Borrower undertakes to bear the cost resulting from this repayment. This cost shall include that which the CEB will have to bear due to the reinvestment of the same amount on the date of repayment for the residual life of the original Loan, as well as any other related cost. The reinvestment rate shall be determined by the CEB on the basis of market conditions on the repayment date and for the period in question. The cost shall therefore be calculated taking into account the difference between the original rate and the reinvestment rate.

Furthermore, if a Tranche disbursed by the CEB is not Allocated to the Project or is only partially Allocated to it within the period mentioned in the first paragraph above, this would constitute an event as listed in Article 3.3 (h) of Chapter 3 of the Loan Regulations and may give rise to the suspension, cancellation or early reimbursement of the Loan under the terms of Articles 3.3, 3.5 and 3.6 of the Loan Regulations.

4.1.2. Implementation of the Project

The Borrower designates the Ministry of Regional Development and Construction (MoRDC) as the PIA.

Within the PIA a Project Implementation Unit (PIU) adequately staffed will operate in accordance with the “Specific conditions” in Appendix 1. The operational costs of PIU will be financed from the loan proceeds, constituting maximum 3.1% of the loan amount.

A supervision committee composed of the relevant stakeholders (being members of the relevant ministries and municipalities, etc.) will overview the implementation of the Project.

However, the responsibility to comply with all obligations under the Agreement remains with the Borrower.

4.1.2.1. Duty of care

The Borrower shall apply all care and diligence, and shall exercise all typically used means, in particular financial, technical, social, managerial and those concerning environmental protection, which shall be necessary for the proper implementation of the Project.

4.1.2.2. Increased or revised cost of the Project

Should the costs of the Project, as described in Appendix 1 attached hereto, increase or be revised for whatever reason, the Borrower shall ensure that the additional financial resources for the completion of the Project are available.

In particular, it shall ensure – before the Project is implemented – that all the financing, land and real property rights which are necessary therefor are available and that all assets and plants are permanently insured and maintained.

In any case, financing by the CEB shall not exceed 65% of the total cost of the Project, excluding interest and financial charges, such as defined in Appendix 1.

4.1.2.3. CEB visibility

The Borrower shall indicate to the Final Beneficiaries that the Project is co-financed by the CEB by including a reference to CEB in the Final Beneficiaries′ rental agreements and via appropriate means of communication including web-sites, press releases, brochures and/or the display of billboards at the relevant Sub-project sites. The PIU shall inform the CEB on such communications via the monitoring reports.

4.1.2.4. Further undertakings

The Borrower shall undertake that:

– The implementation of the Project complies with the relevant rules on fraud, corruption and money laundering, as further detailed under Articles 4.1.4 to 4.1.6 below;

– The implementation of the Project does not lead to a violation of the European Convention on Human Rights and of the European Social Charter;

– The Project complies with the Environmental Policy. Specifically, the Borrower shall ensure, that:

- the implementation and operation of the Sub-projects complies with Environmental Law;

- all environmental consents and planning permissions, as and when necessary for the realisation of the Sub-projects are duly obtained and any conditions attached to each such consent or permission are complied with; and

- construction works of the housing units follow guidelines and standards set by the national legislation in the field of energy efficiency in buildings and use the framework set under the Action Plan for Energy Efficient Housing adopted by the United Nations Economic Commission for Europe (UNECE) and EU Energy Performance of Buildings Directive which will be transposed in the legislation of the Republic of Moldova until the end of the year 2012.

4.1.3. Procurement

Procurement of supplies, works and services to be financed under the Project shall comply with the Procurement Guidelines . In particular, the thresholds above which the Borrower shall be required to obtain supplies, works and services through international procurement procedures are the ones set out in the relevant EU Procurement Directives, as published from time to time in the Official Journal of the European Union (OJEU). The Procurement Plan (and any update thereof) indicating the procurement methods for each contract shall be submitted to the CEB for approval. Upon receipt, the CEB will inform the Borrower of the scope of review that CEB will carry out for each contract.

Should the Borrower fail to comply with the undertakings arising out of the Procurement Guidelines, the CEB (i) may declare the relevant contract expenditure as ineligible for Allocation under the Project; and/or (ii) may proceed with the suspension, cancellation or demand of early reimbursement of the Loan under the terms of Articles 3.3, 3.5 and 3.6 of the Loan Regulations.

4.1.4. Integrity Commitment

The Borrower warrants that it has not committed, and no person to its present knowledge has committed, and undertakes that it will not commit, and no person, with its consent or prior knowledge, will commit, in connection with the procurement process under the Project or the execution of any contract under the Project, as described in Appendix 1, a corrupt, fraudulent, coercive or collusive practice.

For the purposes of this Agreement:

- “A corrupt practice is the offering, giving, receiving, or soliciting, directly or indirectly, anything of value to influence improperly the actions of another party”;

- “A fraudulent practice is any act or omission, including a misrepresentation, that knowingly or recklessly misleads, or attempts to mislead, a party to obtain a financial or other benefit, or to avoid an obligation”;

- “A coercive practice is impairing or harming, or threatening to impair or harm, directly or indirectly, any party or the property of the party to influence improperly the actions of a party”;

- “A collusive practice is an arrangement between two or more parties designed to achieve an improper purpose, including influencing improperly the actions of another party”.

In this respect, the knowledge of any member of the PIA or PIU or the persons mentioned in Article 4.1.6 shall be deemed the knowledge of the Borrower. The Borrower undertakes to inform CEB if it should become aware of any fact or information suggestive of the commission of any such practice.

The Borrower shall ensure in particular that no transaction is entered with, or for the benefit of, any of the individuals or institutions named on the lists of sanctioned persons promulgated by the United Nations Security Council or its committees pursuant to Security Council Resolutions 1267 (1999), 1373 (2001) (available at http://www.un.org/terrorism), as updated from time to time, and/or by the Council of the EU pursuant to its Common Positions 2001/931/CSFP and 2002/402/CSFP and their related or successor resolutions and/or implementing acts in connection with terrorism financing matters.

Failure to comply with the above warranties and undertakings would constitute a breach of Article 3.3-g and/or Article 3.3-h of Chapter 3 of the Loan Regulations and may give rise to the suspension, cancellation or early reimbursement of the Loan under the terms of Articles 3.3, 3.5 and 3.6 of the Loan Regulations.

4.1.5. Investigations and information

The Borrower undertakes:

(a) To take such action as CEB shall reasonably request to investigate and/or terminate any alleged or suspected act or failure to comply with the undertakings described in Article 4.1.4;

(b) To facilitate any investigation that CEB may make concerning any such act or failure to comply with the undertakings described in Article 4.1.4; and

(c) To inform CEB of the measures taken to seek damages from the persons responsible for any loss resulting from any such act or failure to comply with the undertakings described in Article 4.1.4.

4.1.6. Contact

Unless the Borrower shall otherwise specify in writing to CEB, the head of the PIA shall be responsible for contacts with CEB for the purposes of Article 4.1.4 and 4.1.5.

4.2. Information requirements

4.2.1. Information concerning the Project

The Borrower, through the PIU, shall keep accounting records concerning the Project, which shall be in conformity with international standards, showing, at any point, the Project′s state of progress, and which shall record all operations made and identify the assets and services financed with the help of the Loan.

The Borrower, through the PIU, undertakes to respond within a reasonable period to any request for information from the CEB and to provide it with any documentation that the CEB should consider necessary and may reasonably request, for the proper implementation of the Agreement, particularly as concerns the monitoring of the Project and the use of the Loan.

The Borrower, through the PIU shall inform the CEB immediately of any legislative or regulatory change in the economic sector relevant to the Project, and, in a general sense, of any event which may have a material adverse impact on the execution of its obligations under the Agreement. Any event that may have a material adverse impact on the execution of the Borrower′s obligations under the Agreement would constitute an event as listed in Article 3.3-h of Chapter 3 of the Loan Regulations and may give rise to the suspension, cancellation or early reimbursement of the Loan under the terms of Articles 3.3, 3.5 and 3.6 of the Loan Regulations.

4.2.2. Monitoring reports

Every six months, from disbursement of the Loan until completion of the entire Project, the Borrower, through the PIU, shall send to the CEB a monitoring report as of mid-year and year-end. The Borrower shall also send a monitoring report prior to any disbursement. These reports must be deemed satisfactory by the CEB before any disbursements may be made.

Appendix 4 provides the template specifying the minimum information required by the CEB for monitoring reports. Alternative formats containing the same information may also be used.

In any case, monitoring reports shall address:

- the state of Allocation of the disbursed Loan Tranches;

- the progress of the Project′s financing and procurement plans;

- the progress of the Project itself, in terms of physical advancement and expenditures incurred;

- Project management details; and

- Technical indicators (as specified in Appendix 1 and 4)

4.2.3. Project completion report

Upon physical completion of the entire Project, the Borrower, through the PIU, shall present a final report containing an appraisal of the Project′s economic, financial, social and environmental effects. This report must be deemed satisfactory by the CEB.

4.2.4. Monitoring missions

The Borrower undertakes to favourably receive any monitoring missions carried out by employees of the CEB or outside consultants hired by the CEB, and to provide all the necessary co-operation for their monitoring missions, by facilitating any possible visits to the site of the Project. In particular, the CEB may have an on-site audit of the Project′s accounting carried out by one or more consultants of its choice, at the Borrower′s expense, in the case of default by the Borrower in respect of any of its obligations under the Loan.

Article 5

Discharge of the Borrower′s obligations

After payment of the full amount of the principal of the Loan and all interest and other expenses resulting therefrom, in particular those amounts under Articles 6 and 7 below, the Borrower shall be fully released from its obligations towards the CEB, with the exception of those set out in Articles 4.2.1 and 4.2.4. above for the purposes of a possible ex-post evaluation of the Project.

Article 6

Interest for delay

For disbursements in EURO, and notwithstanding any other recourse available to the CEB under the Agreement and the Loan Regulations or otherwise, if the Borrower does not pay all interest or any other amount payable under the Agreement, at the latest on the due date specified, the Borrower must pay additional interest on the amount due and not fully paid, at the one-month EURIBOR rate as of the due date at 11 a.m. (local time in Brussels), plus 2.5% per annum, as of the due date of this amount until the date of actual payment.

The applicable one-month EURIBOR rate shall be updated every 30 days.

Article 7

Associated costs

All duties and taxes of all kinds, due and paid, and all expenses resulting either from the conclusion, execution, liquidation, cancellation or suspension of this Agreement, in all or in part, together with all judicial or extra-judicial acts having this Loan as their origin, shall be borne by the Borrower.

However, the provisions of Article 4.7 of Chapter 4 of the Loan Regulations shall apply regarding the costs of the arbitration procedure mentioned in said Chapter 4.

Article 8

Pari passu and negative pledge

The Borrower declares that no other commitment has been made or will be made in the future which might give a third party a preferential rank, a preferential right of payment, a collateral or guarantee of any nature whatsoever which might confer enhanced rights upon third parties (hereinafter, a Security).

If such a Security were nevertheless granted to a third party, the Borrower agrees to form or supply an identical Security in favour of the CEB or, where it is hindered in doing so, an equivalent Security, and to stipulate the formation of such a Security in favour of the CEB.

Failure to comply with these provisions would represent an event as laid down in Article 3.3 (h) of Chapter 3 of the Loan Regulations and may give rise to the suspension, cancellation or early reimbursement of the Loan under the terms of Articles 3.3, 3.5 and 3.6 of the Loan Regulations.

Article 9

Representations and warranties

The Borrower represents and warrants:

- that its competent bodies have authorised it to enter into the Agreement and have given the signatory(ies) the authorisation therefor, in accordance with the laws, decrees, regulations, articles of association and other texts applicable to it;

- that the drawing up and execution of the Agreement does not contravene the laws, decrees, regulations, articles of association, and other texts applicable to it and that all the permits, licences, and authorisations necessary therefor have been obtained and shall remain valid for the entire Loan period.

Any change in relation to the above representations and warranties must, for the entire Loan period, be notified to the CEB immediately, and any supporting documents provided.

Article 10

Relations with third parties

The Borrower may not raise any fact relating, within the scope of the use of the Loan, to its relations with third parties in order to avoid fulfilling, either totally or partially, the obligations resulting from the Agreement.

The CEB may not be involved in disputes which might arise between the Borrower and third parties and the costs, whatever their nature, incurred by the CEB due to any claims, and in particular all legal or court costs, shall be at the expense of the Borrower.

Article 11

Interpretation of the Agreement

The Borrower states that it has received a copy of the Loan Regulations, and has taken note thereof.

Where there is a contradiction between any provision whatsoever of the Loan Regulations and any provision whatsoever of the Agreement, the provision of the Agreement shall prevail.

The headings of the paragraphs, sections, and chapters of the Agreement shall not be used for its interpretation.

In no case shall it be presumed that the CEB has tacitly waived any right granted to it by the Agreement.

Article 12

Applicable law

The Agreement, its Appendices and the Disbursement Agreements relating thereto shall be governed by the rules of the CEB as specified in the provisions of Article 1, paragraph 3, of the Third Protocol (dated 6 March 1959) to the General Agreement on Privileges and Immunities of the Council of Europe (dated 2 September 1949) and, secondarily, if necessary, by French law.

Disputes between the parties to the Agreement shall be subject to arbitration under the conditions laid down in Chapter 4 of the Loan Regulations.

Article 13

Execution of an arbitration award

The contracting parties agree not to take advantage of any privilege, immunity or legislation before any jurisdictional or other authority, whether domestic or international, in order to object to the enforcement of an award handed down under the conditions laid down in Chapter 4 of the Loan Regulations.

Article 14

Notices

Any notice or other communication to be given or made under this Agreement to CEB or the Borrower shall be in writing and shall be deemed to have been duly given or made when it is delivered by hand, airmail or facsimile by one party to the other at such party′s address specified below.

Article 15

Entry into force

The Agreement shall enter into force upon signature by the CEB and the Borrower and after approval by the country authorities, upon written confirmation to that effect received by CEB from the Borrower.

Article 16

Originals of Agreement

The Agreement is drawn up in two (2) originals, each of which is equally valid.

One original is kept by each of the contracting parties.
