Excelenţă,

Am onoarea să mă refer la recenta discuţie întreţinută între reprezentanţii Guvernului Japoniei şi Guvernului Republicii Moldova (în continuare denumit “Beneficiar”) referitoare la extinderea cooperării economice în vederea promovării dezvoltării economice şi sociale a Republicii Moldova şi să vă propun în numele Guvernului Japoniei următoarele aranjamente:

1. În scopul contribuirii la implementarea de către Beneficiar a Programului de Dezvoltare Economică şi Socială (în continuare denumit “Program”), Guvernul Japoniei va acorda Beneficiarului, în conformitate cu legislaţia şi regulamentele în vigoare ale Japoniei, un grant în valoare de cinci sute de milioane Yeni Japonezi (¥500 000 000) (în continuare denumit “Grant”).

2. (1) Grantul şi dobânda acumulată vor fi folosite de către Guvernul Republicii Moldova în modul corespunzător şi în exclusivitate pentru procurarea produselor şi/sau serviciilor necesare pentru implementarea Programului, enumerate într-o listă agreată de ambele Guverne (în continuare denumite respectiv “Produse” şi “Servicii”), precum şi pentru plata anumitor taxe necesare pentru punerea în aplicare a Programului, cu condiţia ca Produsele să fie produse în ţările-sursă eligibile, iar serviciile să fie furnizate de către resortisanţii ţărilor-sursă eligibile.

(2) Lista menţionată în subparagraful (1) poate fi supusă modificărilor care pot fi convenite între autorităţile în cauză a celor două Guverne.

(3) Scopul ţărilor-sursă eligibile menţionate în subparagraful (1) va fi convenit între autorităţile în cauză ale celor două Guverne.

3. (1) Beneficiarul va deschide un cont ordinar de depozit în yeni, la o bancă în Japonia în numele Guvernului Republicii Moldova (în continuare denumit “Cont”) imediat după intrarea în vigoare a prezentei înţelegeri şi trebuie să notifice în scris Guvernul Japoniei despre completarea procedurii de deschidere a Contului până la data de 8 Martie 2017, cu excepţia cazului in care se decide altfel de către autorităţile celor două Guverne.

(2) Scopul Contului este de a recepţiona plăţile în yen japonezi de către Guvernul Japoniei la care se face referinţă în paragraful 4, precum şi de a efectua plăţile necesare pentru procurarea produselor şi serviciilor convenite între autorităţile în cauză a celor două Guverne.

4. Guvernul Japoniei va elibera Grantul prin efectuarea plăţilor în Yeni japonezi în mărimea la care se face referinţă în paragraful 1 către Cont pe parcursul perioadei între data primirii notificării în scris la care se face referinţă în subparagraful (1) al paragrafului 3 şi 31 Martie 2017. Perioada poate fi extinsă prin decizia Guvernului japonez.

5. (1) Beneficiarul va întreprinde măsurile necesare:

(a) De a asigura folosirea Grantului şi a dobânzii acumulate pentru achiziţionarea Produselor şi/sau Serviciilor şi pentru plata taxelor menţionate la paragraful 2 al alin.(1), într-o perioadă de douăsprezece luni după data eliberării Grantului şi va rambursa suma rămasă în Cont după această perioadă către Guvernul Japoniei, dacă perioada nu va fi extinsă prin înţelegere reciprocă între autorităţile celor două Guverne implicate;

(b) De a asigura scutirea de taxele vamale, taxele interne şi alte taxe fiscale care pot fi impuse în ţara Beneficiarului în legătură cu achiziţionarea Produselor şi/sau a Serviciilor;

(c) De a acorda o atenţie deosebită din punct de vedere ecologic şi social al utilizării grantului şi al interesului său acumulat;

(d) De a prezenta Guvernului Japoniei un raport în scris întocmit într-o formă acceptabilă de către Guvernul Japoniei privind tranzacţiile în Cont împreună cu copiile contractelor, voucher-elor şi altor documente referitoare la relevanţa tranzacţiilor fără întârziere la momentul când Grantul şi dobânda sa acumulată sunt complet folosite în conformitate cu prevederile subparagrafului (1) al paragrafului 2, sau la cererea Guvernului Japoniei;

(e) De a asigura ca Produsele şi/sau Serviciile procurate din contul Grantului şi dobânzii acumulate vor fi întreţinute şi utilizate în mod corespunzător şi eficient pentru punerea în aplicare a Programului şi nu vor fi folosite în scopuri militare;

(f) De a asigura ca Produsele şi/sau Serviciile să fie utilizate, în principiu, de către utilizatorii finali, inclusiv de Beneficiarul propriu-zis, în scopuri necomerciale;

(g) De a asigura efectuarea în timp a procedurilor vamale şi transportarea în interiorul ţării a produselor procurate din contul Grantului;

(h) De a acorda persoanelor fizice japoneze şi/sau persoanelor fizice din ţările terţe ale căror servicii pot fi utilizate în legătură cu furnizarea Produselor şi/sau a Serviciilor, astfel de facilităţi care ar putea fi necesare pentru intrarea lor în ţara Beneficiarului şi şederea acestora pe teritoriul ţării pentru realizarea activităţii lor;

(i) De a suporta toate cheltuielile, altele decât cele acoperite de Grant şi dobânda acumulată, necesare pentru punerea în aplicare a Programului şi

(j) De a furniza Guvernului Japoniei un raport final privind Programul după finalizarea acestuia.

(2) La cerere, Guvernul Republicii Moldova va furniza Guvernului Japoniei informaţiile necesare privind Grantul şi dobânda acumulată.

(3) În ceea ce priveşte asigurarea de transport şi asigurare maritimă, Beneficiarul se va abţine de la impunerea oricăror restricţii care ar putea împiedica o concurenţă loială şi liberă între companiile de transport şi asigurare maritimă.

(4) Produsele şi/sau Serviciile nu vor fi exportate sau reexportate din ţara Beneficiarului.

6. Viitoarele detalii procedurale pentru implementarea prezentului Acord vor fi convenite prin consultarea autorităţilor implicate din cele două Guverne.

7. Cele două Guverne se vor consulta reciproc privind orice probleme ce pot apărea din sau în legătură cu prezentul acord.

Am onoarea de a vă propune în continuare ca această Notă şi Nota Excelenţei Dumneavoastră de răspuns să confirme în numele Guvernului Republicii Moldova aranjamentele în derulare, ce vor fi considerate drept un acord între cele două Guverne şi care va intra în vigoare la data recepţionării de către Guvernul Japoniei a notificării în scris din partea Republicii Moldova privind procedurilor interne de intrare în vigoare a prezentului Acord.

Folosesc această oportunitate de a-mi exprima înalta consideraţiune faţă de Dvs.

Am onoarea de a confirma primirea Notei de astăzi a Excelenţei Voastre, având următorul conţinut:

“Excelenţă,

Am onoarea de a mă referi la discuţiile purtate între reprezentanţii Guvernului Japoniei şi ai Guvernului Republicii Moldova (în continuare numit Beneficiar) referitoare la extinderea cooperării economice în vederea promovării dezvoltării economice şi sociale a Republicii Moldova şi să vă propun din numele Guvernului Japoniei următoarele aranjamente:

1. În scopul contribuirii la implementarea programului de Dezvoltare Socială şi Economică (în continuare denumit “Program”) în Republica Moldova, Guvernul Japoniei va acorda Guvernului Republicii Moldova, în conformitate cu legislaţia şi regulamentele în vigoare a Japoniei, un grant în valoare de cinci sute de milioane Yeni Japonez (¥500 000 000) (în continuare denumit “Grant”).

2. 3. (1) Beneficiarul va deschide un cont ordinar de depozit în yeni, la o bancă în Japonia în numele Guvernului Republicii Moldova (în continuare denumit “Cont”) imediat după intrarea în vigoare a prezentei înţelegeri şi trebuie să notifice în scris Guvernul Japoniei despre completarea procedurii de deschidere a Contului până la data de 8 Martie 2017, cu excepţia cazului in care se decide altfel de către autorităţile celor două Guverne.

(e) De a asigura ca Produsele şi/sau Serviciile procurate din contul Grantului şi dobânzii acumulate vor fi întreţinute şi utilizate în mod corespunzător şi eficient pentru punerea în aplicare a Programului şi nu vor fi folosite în scopuri militare;

(f) De a asigura ca Produsele şi/sau Serviciile să fie utilizate, în principiu, de către utilizatorii finali, inclusiv de Beneficiarul propriu-zis, în scopuri necomerciale;

(g) De a asigura efectuarea în timp a procedurilor vamale şi transportarea în interiorul ţării a produselor procurate din contul Grantului;

Am onoarea de a confirma în numele Guvernului Republicii Moldova înţelegerea de mai sus şi de a fi de acord că nota Excelenţei Dumneavoastră şi această notă ca răspuns vor constitui un acord între cele două Guverne, care va intra în vigoare la data primirii de către Guvernul Japoniei, a notificării în scris din partea Guvernului Republicii Moldova cu privire la finalizarea procedurilor interne necesare pentru intrarea în vigoare a acestui Acord.

Proces-verbal

cu privire la detaliile procedurale

Cu referire la schimbul de note între Guvernul Japoniei şi Guvernul Republicii Moldova (denumit în continuare “Beneficiar”) din data de 7 martie 2017 privind extinderea cooperării economice în vederea promovării dezvoltării economice şi sociale a Republicii Moldova (denumit în continuare “schimbul de note”), reprezentanţii Beneficiarului şi ai Guvernului Japoniei doresc să înregistreze următoarele detalii procedurale, astfel cum a fost convenit între autorităţile în cauză de cele două Guverne:

1. Lista de produse eligibile şi/sau servicii şi ţările-sursă eligibile

Produsele şi/sau serviciile menţionate la subparagraful (1), punctul 2 al schimbului de note (denumite în continuare “Produse” şi “Servicii”) şi ţările-sursă eligibile, menţionate în subparagraful (3) din alineatul 2 din schimbul de note sunt cele enumerate în anexa I.

2. Achiziţii

(1) Grantul prevăzut în alineatul 1 din schimbul de note (denumit în continuare “Grant”) şi dobânda acumulată vor fi utilizate pentru achiziţionarea produselor şi/sau serviciilor, precum şi pentru taxele necesare pentru punerea în aplicare a programului.

(2) Pentru a asigura respectarea acestor cerinţe, este necesar ca Beneficiarul să angajeze un agent independent şi competent pentru procurarea produselor şi/sau serviciilor.

Beneficiarul va urma să încheie un contract de muncă, în termen de trei luni de la data intrării în vigoare a schimbului de note, cu Crown Agents Limited (denumit în continuare “agent”), să acţioneze în numele Beneficiarului, în conformitate cu scopul serviciilor agentului aşa cum este prezentat în anexa II.

(3) Contractul de muncă menţionat va intra în vigoare după aprobarea de către Guvernul Japoniei într-o formă scrisă.

(4) Contractele pentru achiziţionarea produselor şi/sau serviciilor se încheie în yeni japonezi între agent şi resortisanţii japonezi, cu excepţia cazului în care s-a convenit altfel între autorităţile în cauză a celor două Guverne (termenul “cetăţeni japonezi”, în prezentul proces-verbal în urma discuţiilor detaliilor procedurale înseamnă persoanele fizice japoneze sau persoanele japoneze juridice controlate de persoane fizice japoneze).

(5) Produsele şi/sau Serviciile vor fi achiziţionate în conformitate cu liniile directoare privind achiziţiile desemnate de Guvernul Japoniei, care au stabilit, printre altele, procedurile de ofertare care trebuie urmate cu excepţia cazului în care astfel de proceduri sunt aplicabile sau inadecvate.

(6) Beneficiarul va lua măsurile necesare pentru a accelera utilizarea Grantului şi a dobînzii acumulate, inclusiv facilitarea procedurilor de import existente.

(7) Beneficiarul va asigura ca orice funcţionar al Beneficiarului nu îşi va asuma nici o parte din activităţile cetăţenilor japonezi şi/sau activitatea resortisanţilor ţărilor terţe privind achiziţionarea produselor şi/sau serviciilor (termenul “cetăţenii ţărilor terţe”, în prezentul proces-verbal reprezintă persoane fizice sau juridice ale ţărilor terţe).

3. Comitetul

(1) După data intrării în vigoare a schimbului de note, cele două Guverne îşi numesc reprezentanţii care vor fi membri ai unui comitet consultativ (denumit în continuare “comitetul”), al cărui rol este de a discuta orice problemă care ar putea apărea din, sau în legătură cu schimbul de note. După aprobarea contractului de muncă menţionat la paragraful (3), punctul 2 de mai sus, agentul numeşte un reprezentant care va participa la reuniunile comitetului în calitate de consilier.

(2) Comitetul este prezidat de reprezentantul Beneficiarului. Reprezentanţi ai altor organizaţii decât agentul pot fi invitaţi, după necesitate, să participe la reuniunile comitetului pentru a furniza servicii de consultanţă.

(3) Mandatul comitetului trebuie să fie aşa cum este prezentat în anexa V.

(4) Prima reuniune a comitetului are loc după aprobarea de către Guvernul Japoniei a contractului de muncă menţionat în alineatul (3), punctul 2 de mai sus. Alte întâlniri vor avea loc la solicitarea fie a Guvernului Japoniei sau a Beneficiarului. Agentul poate recomanda celor două Guverne cu privire la necesitatea de a convoca o reuniune a Comitetului.

4. Procedura de debursare

Procedura de efectuare a plăţilor referitoare la achiziţionarea produselor şi/sau serviciilor şi a taxelor agentului sub Grant şi a dobînzii acumulate este după cum urmează:

(1) Beneficiarul (sau autoritatea desemnată) şi banca din Japonia fac referire în subparagraful (1) din alineatul 3 din schimbul de note (denumit în continuare “Banca”) încheie un acord cu privire la transferul de fonduri în care Beneficiarul va desemna Agentul ca reprezentant care acţionează în numele Beneficiarului cu privire la toate transferurile de fonduri către agent.

(2) Agentul va face cereri la Banca pentru transferul de fonduri pentru a acoperi cheltuielile necesare pentru procurarea produselor şi/sau serviciilor şi a serviciilor conexe agentului stabilite în anexa II. Fiecare dintre cererile trebuie să fie însoţită de o estimare detaliată a cheltuielilor care urmează să fie acoperite de fondurile transferate şi o copie a aprobării de către Guvernul Japoniei a contractului menţionat în alineatul (3), punctul 2 de mai sus. O copie a cererii şi a estimării se trimit în acelaşi timp la destinatar.

(3) În conformitate cu solicitarea Agentului ca pe subparagraful (2) de mai sus, Banca va notifica destinatarul solicitării făcute de către agent. Banca va plăti suma agentului din contul menţionat la paragraful (1) din alineatul 3 din schimbul de note (denumit în continuare “contul”), cu excepţia cazului în care Beneficiarul face opoziţia faţă de o astfel de plată în termen de zece zile de lucru de la notificarea de către Bancă. Agentul efectuează plăţi către furnizorii de produse şi/sau serviciile din fondurile primite (denumite în continuare “Avans”), în conformitate cu termenii contractelor încheiate cu aceştia.

După astfel de plăţi, agentul poate utiliza suma rămasă a avansurilor, dacă este cazul, pentru achiziţionarea altor produse eligibile şi/sau a Serviciilor fără a transfera suma menţionată înapoi la cont.

(4) În cazul în care totalul sumei rămase în contul agentului (denumit în continuare “suma rămasă”) este mai mic de trei procente (3%) din Grant şi dobânda acumulată, Beneficiarul poate solicita agentului rambursarea sumei rămase pentru plăţile care au fost deja efectuate de către Beneficiar pentru procurarea produselor şi/sau Serviciilor şi nu au fost acoperite de Grant şi interesul acumulate, cu condiţia ca aceste plăţi au fost efectuate la/după data intrării în vigoare a schimbului de note. În acest caz, ţările sursă eligibile ale produselor menţionate anterior şi/sau Serviciile pot fi toate ţările şi zonele, cu excepţia Republicii Moldova, fără a aduce atingere dispoziţiilor din anexa I.

În cazul în care Agentul consideră solicitarea de către Beneficiar corespunzătoare avînd şi un certificat de achiziţie eligibil pentru suma rămasă certificată de Beneficiar şi Agent în conformitate cu formularul prevăzut în anexa IV, Agentul va rambursa suma rămasă Beneficiarului.

(5) În ceea ce priveşte litera (a) din subparagraful (1) punctul 5 din schimbul de note, nu se mai efectuează alte plăţi după expirarea perioadei indicate în subparagraful menţionat, dacă nu se convine altfel între autorităţile implicate din cele două Guverne.

5. Rambursarea Sumei rămase

În ceea ce priveşte litera (a) din subparagraful (1) punctul 5 din schimbul de note, atunci când Guvernul Japoniei constată, la primirea raportului final, că utilizarea Grantului şi a dobînzii acumulate este incompletă, aceasta va notifica beneficiarul despre procedurile de rambursare a sumei rămase în cont şi suma rămasă. Beneficiarul va rambursa suma Guvernului Japoniei, fără întârziere, prin intermediul procedurilor sus menţionate.

Proces-verbal

Cu referire la schimbul de note între Guvernul Republicii Moldova (denumit în continuare “Beneficiar”) şi Guvernul Japoniei şi din data de 7 martie 2017 privind extinderea cooperării economice în vederea promovării dezvoltării economice şi sociale a Republicii Moldova (denumit în continuare “schimbul de note”), reprezentanţii delegaţiei moldoveneşti şi reprezentanţii delegaţiei japoneze doresc să înregistreze următoarele:

1. În ceea ce priveşte punctul 2 din schimbul de note, reprezentantul delegaţiei japoneze a declarat că Guvernul Japoniei înţelege că:

(a) Beneficiarul va lua măsurile necesare pentru a preveni orice ofertă, cadou sau plată, luarea în considerare a unui beneficiu care ar putea fi interpretată ca o practică coruptă în ţara Beneficiarului văzută ca stimulent sau recompensă legată de atribuirea contractelor agentului menţionat în alineatul (2), punctul 2 al procesului-verbal convenit asupra detaliilor procedurale ale schimbului de note, în vederea achiziţionării produselor şi/sau serviciilor menţionate în alineatul (2) al schimbului de note.

(b) Beneficiarul va rambursa Guvernului Japoniei, în cazul în care se produce practica coruptă menţionată în subparagraful (a) de mai sus, valoarea subvenţiei menţionate la alineatul 1 din schimbul de note (denumit în continuare “Grant”) echivalentă cu suma cheltuită în astfel de practici corupte, care este determinat de Guvernul Japoniei.

2. În ceea ce priveşte subparagraful (2) din alineatul 5 din schimbul de note, reprezentantul delegaţiei japoneze a declarat că Guvernul Japoniei înţelege că:

(a) informaţiile necesare includ informaţii cu privire la practicile corupte legate de Grant; şi

(b) Beneficiarul va asigura un tratament echitabil al surselor de astfel de informaţii.

3. Reprezentantul delegaţiei Republicii Moldova a declarat că delegaţia moldovenească nu are nici o obiecţie cu privire la declaraţia reprezentantului delegaţiei japoneze menţionate anterior.

Anexa II

Scopul serviciilor agentului

1. Furnizarea de informaţii şi consiliere în cadrul reuniunilor comitetului

2. Asigurarea că Beneficiarul şi utilizatorii finali să înţeleagă pe deplin procedurile care urmează să fie aplicate, în cazul în care este necesar

3. (1) Prepararea specificaţiilor produselor şi / sau serviciilor pentru destinatar, inclusiv, acolo unde este necesar, discuţii detaliate cu utilizatorii finali

(2) Pregătirea documentelor de licitaţie corespunzătoare tipului şi valorii produselor şi / sau serviciilor care urmează să fie achiziţionate

(3) Publicitatea ofertelor, în cazul în care se va organiza licitaţia competitivă, a cărei formulare va fi convenită între cele două guverne

(4) Evaluarea ofertelor, inclusiv aspecte tehnice şi financiare

(5) Prezentarea recomandărilor către Beneficiar pentru aprobare de a plasa comanda cu furnizorii

4. Primirea şi utilizarea avansurilor, în conformitate cu contractul de muncă cu Beneficiarul menţionat în alineatul (2), punctul 2 al procesului-verbal convenit asupra detaliilor procedurale

5. Negocierea şi încheierea de contracte cu furnizorii, inclusiv modalităţi satisfăcătoare de plată, transport şi inspecţie

6. Verificarea progresului livrărilor pentru a se asigura că datele de livrare sunt îndeplinite

7. Asigurarea Beneficiarului şi utilizatorilor finali cu documente care conţin informaţii detaliate privind progresul comenzilor, notificarea ordinelor plasate, modificări la contracte, livrare, documente de transport etc.

8. Plata furnizorilor din avansuri

9. Furnizarea următoarelor documente la cele doua guverne:

10. Pregătirea rapoartelor trimestriale de stare pentru cele două guverne, care să cuprindă cereri, ordine, starea comenzii, valori şi informaţii privind livrarea

11. Prezentarea declaraţiilor trimestriale celor două guverne care detaliază soldul în raport cu Grantul, dobânda acumulată şi toate plăţile trimestriale

12. Prezentarea către Guvernul Japoniei a unui raport general de evaluare care include detalii despre toate Produsele şi / sau Serviciile expediate, ţara sursă, data livrării, valoarea Produselor şi/sau Serviciilor (inclusiv taxele pertinente) şi sumele totale plătite şi rămase

(a) Beneficiarul va lua măsurile necesare pentru a preveni orice ofertă, cadou sau plată, luarea în considerare a unui beneficiu care ar putea fi interpretată ca o practică coruptă în ţara Beneficiarului văzută ca stimulent sau recompensă legată de atribuirea contractelor agentului menţionat în alineatul (2), punctul 2 al procesului-verbal convenit asupra detaliilor procedurale ale schimbului de note, în vederea achiziţionării produselor şi / sau serviciilor menţionate în alineatul (2) al schimbului de note.

(b) Beneficiarul va rambursa Guvernului Japoniei, în cazul în care se produce practica coruptă menţionată în subparagraful (a) de mai sus, valoarea subvenţiei menţionate la alineatul 1 din schimbul de note (denumit în continuare “Grant“) echivalentă cu suma cheltuită în astfel de practici corupte, care este determinat de Guvernul Japoniei.

2. În ceea ce priveşte subparagraful (2) din alineatul 5 din schimbul de note, reprezentantul delegaţiei japoneze a declarat că Guvernul Japoniei înţelege că:

(a) informaţiile necesare includ informaţii cu privire la practicile corupte legate de Grant; şi

(b) Beneficiarul va asigura un tratament echitabil al surselor de astfel de informaţii.

3. Reprezentantul delegaţiei Republicii Moldova a declarat că delegaţia moldovenească nu are nici o obiecţie cu privire la declaraţia reprezentantului delegaţiei japoneze menţionate anterior.

I have the honour to refer to the recent discussions held between the representatives of the Government of Japan and of the Government of the Republic of Moldova (hereinafter referred to as “the Recipient”) concerning Japanese economic cooperation to be extended with a view to promoting the economic and social development of the Republic of Moldova, and to propose on behalf of the Government of Japan the following understanding:

1. For the purpose of contributing to the implementation of the Economic and Social Development Programme (hereinafter referred to as “the Programme”) by the Recipient, the Government of Japan shall extend to the Recipient, subject to the relevant laws and regulations and budgetary appropriations of Japan, a grant of five hundred million Japanese Yen (\500,000,000) (hereinafter referred to as “the Grant”).

2. (1) The Grant and its accrued interest shall be used by the Recipient properly and exclusively for the purchase of the products and/or services necessary for the implementation of the Programme, enumerated in a list to be mutually agreed upon between the authorities concerned of the two Governments (hereinafter respectively referred to as the “Products” and the “Services”), as well as for the payment of such fees necessary for the implementation of the Programme, provided that the Products are produced in eligible source countries and the Services are provided by nationals of eligible source countries.

(2) The list mentioned in sub-paragraph (1) above will be subject to modifications which may be agreed upon between the authorities concerned of the two Governments.

(3) The scope of the eligible source countries mentioned in sub-paragraph (1) above shall be agreed upon between the authorities concerned of the two Governments.

3. (1) The Recipient shall open a yen ordinary deposit account at a bank in Japan in the name of the Recipient (hereinafter referred to as “the Account”) immediately after the date of entry into force of the present understanding and shall notify in writing the Government of Japan of the completion of the procedure for opening the Account by March 8, 2017, unless otherwise decided upon by the authorities concerned of the two Governments.

(2) The sole purpose of the Account is to receive the payment in Japanese Yen by the Government of Japan referred to in paragraph 4 as well as to make payments necessary for the purchase of the Products and/or the Services, and such other payment as may be agreed upon between the authorities concerned of the two Governments.

4. The Government of Japan shall execute the Grant by making payment in Japanese Yen of the amount referred to in paragraph 1 to the Account during the period between the date of receipt of the written notification referred to in sub-paragraph (1) of paragraph 3 and March 31, 2017. The period may be extended by the decision of the authorities concerned of the Government of Japan.

5. (1) The Recipient shall take necessary measures:

(a) to ensure that the Grant and its accrued interest be completely disbursed from the Account to be ready for the purchase of the Products and/or the Services and for the payment of the fees referred to in sub-paragraph (1) of paragraph 2 within a period of twelve months after the date of the execution of the Grant unless the period is extended by mutual consent between the authorities concerned of the two Governments and to refund the remaining amount upon the completion of the Programme to the Government of Japan;

(b) to ensure that customs duties, internal taxes and other fiscal levies which may be imposed in the country of the Recipient with respect to the purchase of the Products and/or the Services be exempted;

(c) to give due environmental and social consideration in the use of the Grant and its accrued interest;

(d) to present to the Government of Japan a report prepared in a written form acceptable to the Government of Japan on the transactions on the Account together with copies of contracts, vouchers and other documents concerning the relevant transactions without delay when the Grant and its accrued interest are completely used for the purchase of the Products and/or the Services and for the payment of the fees referred to in sub-paragraph (1) of paragraph 2, or upon request by the Government of Japan;

(e) to ensure that the Products and/or the Services be maintained and used properly and effectively for the implementation of the Programme, and not be used for military purposes;

(f) to ensure that the Products and/or the Services be utilized, in principle, by end-users including the Recipient itself, for non-commercial purposes;

(g) to ensure prompt unloading, customs clearance and internal transportation in the country of the Recipient of the Products;

(h) to accord the Japanese physical persons and/or physical persons of third countries whose services may be required in connection with the supply of the Products and/or the Services such facilities as may be necessary for their entry into the country of the Recipient and stay therein for the performance of their work;

(i) to bear all the expenses, other than those covered by the Grant and its accrued interest, necessary for the implementation of the Programme; and

(j) to provide the Government of Japan with a final report on the Programme upon its completion.

(2) Upon request, the Recipient shall provide the Government of Japan with necessary information on the Grant and its accrued interest.

(3) With regard to the shipping and marine insurance of the Products, the Recipient shall refrain from imposing any restrictions that may hinder fair and free competition among the shipping and marine insurance companies.

(4) The Products and/or the Services shall not be exported or re-exported from the country of the Recipient.

6. Further procedural details for the implementation of the present understanding shall be agreed upon through consultation between the authorities concerned of the two Governments.

7. The two Governments shall consult with each other in respect of any matter that may arise from or in connection with the present understanding.

I have further the honour to propose that this Note and Your Excellency′s Note in reply confirming on behalf of the Recipient the foregoing understanding shall constitute an agreement between the two Governments, which shall become effective on the date of receipt by the Government of Japan of the written notification from the Government of the Republic of Moldova of the completion of necessary domestic procedures for the entry into force of such agreement.

“Excellency,

Agreed Minutes on Procedural Details

With reference to the Exchange of Notes between the Government of the Republic of Moldova (hereinafter referred to as “the Recipient”) and the Government of Japan dated March 7, 2017 concerning Japanese economic cooperation to be extended with a view to promoting the economic and social development of the Republic of Moldova (hereinafter referred to as “the Exchange of Notes”), the representatives of the Recipient and of the Government of Japan wish to record the following procedural details, as agreed upon between the authorities concerned of the two Governments:

1. List of Eligible Products and/or Services and Eligible Source Countries

The products and/or the services referred to in sub-paragraph (1) of paragraph 2 of the Exchange of Notes (hereinafter respectively referred to as the “Products” and the “Services”) and the eligible source countries referred to in sub-paragraph (3) of paragraph 2 of the Exchange of Notes shall be those enumerated in Appendix I.

2. Procurement

(1) The grant referred to in paragraph 1 of the Exchange of Notes (hereinafter referred to as “the Grant”) and its accrued interest shall be used for the purchase of the Products and/or the Services as well as for such fees necessary for the implementation of the Programme.

(2) In order to ensure compliance with such requirements, it is required that the Recipient employ an independent and competent agent for procurement of the Products and/or the Services.

The Recipient shall, therefore, conclude an employment contract, within three months after the date of entry into force of the Exchange of Notes, with Crown Agents Limited (hereinafter referred to as “the Agent”) to act on behalf of the Recipient in accordance with the Scope of the Agent′s Services as set forth in Appendix II.

(3) The said employment contract shall become effective upon the approval by the Government of Japan in a written form.

(4) The contracts for the purchase of the Products and/or the Services shall be concluded in Japanese Yen between the Agent and Japanese nationals, unless otherwise agreed upon between the authorities concerned of the two Governments (The term “Japanese nationals” in the present Agreed Minutes on Procedural Details means Japanese physical persons or Japanese juridical persons controlled by Japanese physical persons.).

(5) The Products and/or the Services shall be procured in accordance with the procurement guidelines designated by the Government of Japan, which set forth, inter alia, the procedures of tendering to be followed except where such procedures are inapplicable or inappropriate.

(6) The Recipient shall take necessary measures to expedite utilization of the Grant and its accrued interest, including facilitation of the existing import procedures.

(7) The Recipient shall ensure that any official of the Recipient does not undertake any part of the work of Japanese nationals and/or the work of nationals of third countries on purchase of the Products and/or the Services (The term “nationals of third countries” in the present Agreed Minutes on Procedural Details means physical or juridical persons of third countries.).

3. The Committee

(1) After the date of entry into force of the Exchange of Notes, the two Governments shall appoint their representatives who will be members of a consultative committee (hereinafter referred to as “the Committee”), the role of which shall be to discuss any matter that may arise from or in connection with the Exchange of Notes. After the approval of the employment contract referred to in sub-paragraph (3) of paragraph 2 above, the Agent shall appoint its representative who will participate in the Committee meetings as an adviser.

(2) The Committee shall be chaired by the representative of the Recipient. Representatives of other organizations than the Agent may, when necessary, be invited to participate in the Committee meetings to provide advisory services.

(3) The terms of reference of the Committee shall be as set forth in Appendix V.

(4) The first meeting of the Committee shall be held after the approval by the Government of Japan of the employment contract referred to in sub-paragraph (3) of paragraph 2 above. Further meetings will be held upon request of either the Government of Japan or the Recipient. The Agent may advise the two Governments on the necessity to call a meeting of the Committee.

4. Disbursement Procedure

Disbursement procedure relating to the procurement of the Products and/or the Services and the Agent′s fees under the Grant and its accrued interest shall be as follows:

(1) The Recipient (or its designated authority) and the bank in Japan referred to in sub-paragraph (1) of paragraph 3 of the Exchange of Notes (hereinafter referred to as “the Bank”) shall conclude an arrangement regarding transfer of funds in which the Recipient shall designate the Agent as the representative acting in the name of the Recipient concerning all transfers of funds to the Agent.

(2) The Agent shall make requests to the Bank for transferring of funds to cover expenses necessary for the procurement of the Products and/or the Services and the Agent′s related services set forth in Appendix II. Each of the requests shall be accompanied by a detailed estimate of the expenses which is to be covered by the funds transferred and a copy of the approval by the Government of Japan of the contract referred to in sub-paragraph (3) of paragraph 2 above. A copy of the request and of the estimation shall be sent at the same time to the Recipient.

(3) Pursuant to the Agent′s request as per sub-paragraph (2) above, the Bank shall notify the Recipient of the request made by the Agent. The Bank shall pay the amount to the Agent from the account referred to in sub-paragraph (1) of paragraph 3 of the Exchange of Notes (hereinafter referred to as “the Account”) unless the Recipient makes opposition to such payment within ten working days after the notification by the Bank. The Agent shall make payments to suppliers of the Products and/or the Services from the funds received (hereinafter referred to as “the Advances”) in accordance with the terms of the contracts with them.

After such payments, the Agent may use the remaining amount of the Advances, if any, for the procurement of other eligible Products and/or the Services without transferring the said amount back to the Account.

(4) When the total of the remaining amount in the account of the Agent (hereinafter referred to as “the Remaining Amount”) is less than three per cent (3%) of the Grant and its accrued interest, the Recipient may request the Agent to reimburse the Remaining Amount to the Recipient for payments which have already been made by the Recipient for the procurement of the Products and/or the Services and have not been covered by the Grant and its accrued interest, provided that such payments have been made on or after the date of entry into force of the Exchange of Notes. In this case, the eligible source countries of the said Products and/or the Services may be all countries and areas except the Republic of Moldova, notwithstanding the provisions of Appendix I.

When the Agent deems the request by the Recipient appropriate and a Certificate of Eligible Procurement for the Remaining Amount certified by both the Recipient and the Agent as per the form set forth in Appendix IV is issued, the Agent shall reimburse the Remaining Amount to the Recipient.

(5) With respect to (a) of sub-paragraph (1) of paragraph 5 of the Exchange of Notes, no further disbursement shall be made after the period mentioned in the said sub-paragraph expires, unless otherwise agreed between the authorities concerned of the two Governments.

5. Refund of the Remaining Amount

With respect to (a) of sub-paragraph (1) of paragraph 5 of the Exchange of Notes, when the Government of Japan finds, upon the receipt of the final report, that the use of the Grant and its accrued interest is incomplete, it shall notify the Recipient of the procedures for refunding of the remaining amount in the Account and the Remaining Amount. The Recipient shall refund such amount to the Government of Japan without delay through such procedures as notified above.

Record of Discussions

With reference to the Exchange of Notes between the Government of the Republic of Moldova (hereinafter referred to as “the Recipient”) and the Government of Japan dated March 7, 2017 concerning Japanese economic cooperation to be extended with a view to promoting the economic and social development of the Republic of Moldova (hereinafter referred to as “the Exchange of Notes”), the representatives of the Moldovan Delegation and of the Japanese Delegation wish to record the following:

1. With regard to paragraph 2 of the Exchange of Notes, the representative of the Japanese Delegation stated that the Government of Japan understands that:

(a) the Recipient will take necessary measures to prevent any offer, gift or payment, consideration or benefit which would be construed as a corrupt practice in the country of the Recipient from being made as an inducement or reward related to the award of the contracts that the agent referred to in sub-paragraph (2) of paragraph 2 of the Agreed Minutes on Procedural Details of the Exchange of Notes will enter into with a view to purchasing the products and/or the services referred to in paragraph 2 of the Exchange of Notes.

(b) the Recipient will refund to the Government of Japan, when the corrupt practice referred to in sub-paragraph (a) above occurs, the amount of the grant referred to in paragraph 1 of the Exchange of Notes (hereinafter referred to as “the Grant”) equivalent to the amount spent in such corrupt practice, which is determined by the Government of Japan.

2. With regard to sub-paragraph (2) of paragraph 5 of the Exchange of Notes, the representative of the Japanese Delegation stated that the Government of Japan understands that:

(a) necessary information includes information on corrupt practice related to the Grant; and

(b) the Recipient will ensure fair treatment of sources of such information.

3. The representative of the Moldovan Delegation stated that the Moldovan Delegation has no objection to the statement by the representative of the Japanese Delegation referred to above.

(2) Preparation of bid documents appropriate to the type and value of the Products and/or the Services to be procured

(3) Advertisement of bids, where the competitive bidding is to be held, the wording of which is to be agreed upon between the two Governments

(4) Evaluation of bids, including both technical and financial considerations

(5) Submission of recommendations to the Recipient for approval to place order with suppliers

4. Receipt and utilization of the Advances in accordance with the employment contract with the Recipient referred to in sub-paragraph (2) of paragraph 2 of the Agreed Minutes on Procedural Details

5. Negotiations and conclusion of contracts with suppliers, including satisfactory payment, shipment and inspection arrangements

Record of Discussions

With reference to the Exchange of Notes between the Government of the Republic of Moldova (hereinafter referred to as “the Recipient”) and the Government of Japan dated March 7, 2017 concerning Japanese economic cooperation to be extended with a view to promoting the economic and social development of the Republic of Moldova (hereinafter referred to as “the Exchange of Notes”), the representatives of the Moldovan Delegation and of the Japanese Delegation wish to record the following:

1. With regard to paragraph 2 of the Exchange of Notes, the representative of the Japanese Delegation stated that the Government of Japan understands that:

(a) the Recipient will take necessary measures to prevent any offer, gift or payment, consideration or benefit which would be construed as a corrupt practice in the country of the Recipient from being made as an inducement or reward related to the award of the contracts that the agent referred to in sub-paragraph (2) of paragraph 2 of the Agreed Minutes on Procedural Details of the Exchange of Notes will enter into with a view to purchasing the products and/or the services referred to in paragraph 2 of the Exchange of Notes.

(b) the Recipient will refund to the Government of Japan, when the corrupt practice referred to in sub-paragraph (a) above occurs, the amount of the grant referred to in paragraph 1 of the Exchange of Notes (hereinafter referred to as “the Grant”) equivalent to the amount spent in such corrupt practice, which is determined by the Government of Japan.

2. With regard to sub-paragraph (2) of paragraph 5 of the Exchange of Notes, the representative of the Japanese Delegation stated that the Government of Japan understands that:

(a) necessary information includes information on corrupt practice related to the Grant; and

(b) the Recipient will ensure fair treatment of sources of such information.

3. The representative of the Moldovan Delegation stated that the Moldovan Delegation has no objection to the statement by the representative of the Japanese Delegation referred to above.
